    SUMMARY:

    The 1998 session of the Missouri General Assembly authorized establishment of charter

    schools. Renewal charter applications are submitted every five years. Section 160.405.9, RSMo

    provides for an expedited renewal if a school qualifies and after the sponsor approves.

    The Department of Elementary and Secondary Education received a request for a renewal of a

    charter school application approved by the University of Missouri-Columbia (UMC). KIPP:

    Endeavor Academy currently serves 420 students in grades K-8. Financial data and three of the

    last four years Annual Performance Report (APR) of over 70% reflects a Local Education

    Agency (LEA) in good standing with the sponsor. The charter LEA has requested that UMC

    renew its charter for a term of five years beginning July 1, 2017, and ending June 30, 2022.

    PRESENTERS:

    Chris Neale, Assistant Commissioner; and John Robertson, Coordinator of Educational Support

    Services, Office of Quality Schools, will assist in the presentation and discussion of this item.

    RECOMMENDATION:

    The Department recommends that the State Board of Education authorize KIPP: Endeavor

    Academy to continue operations pursuant to the charter renewal granted by the University of

    Missouri-Columbia, effective July 1, 2017, for a five year period.

    As the sponsoring institution for KIPP Endeavor Academy (KEA), I write to request a fiveyear renewal of their charter. The accompanying packet provides a summary of KEA's current academic standing and their growth plan for the next five years.

    KEA was the last KIPP organization without a regional office structure and that situation has changed in the last two years. Dr. William Olsen joined KIPP after a long and successful tenure at Noble Schools. Under his leadership, KEA has all new academic leaders, with fellows in place, training for the planned expansion. This last year represented a significant culture and curriculum reset, purchase of their current building home, and we are optimistic about their future success and expansion plans.

    MU is proud to sponsor KEA and looks forward to working with them and monitoring their progress for another five year term. If I can provide further information necessary for review of their application, please let me know.

    ASSURANCES

    The authorized representative assures the Department of Elementary and Secondary Education (Department) that MUColumbia and KIPP Endeavor Academy, in accordance with sections 160.400-160.425, RSMo, shall ensure that:

    1. Student performance is increasing and is the most important factor in the determination of renewal, or revocation if performance decreases.

    2. Stakeholders adhere to the requirements of the applicable state statutes and regulations, the state rules

    governing the programs, and all other applicable statutes.

    3. The board upholds the Missouri Sunshine Law in all its proceedings. 4. The sponsor will comply with the Standards for Charter Sponsorship as outlined in 5 CSR 20-100.260 and

    other applicable rules. 5. The school adheres to generally accepted accounting practices, including a procurement policy and board

    approval of the check register on a regular basis. 6. The school receives and expends state/federal funds in a manner consistent with the intent of the approved

    application. 7. The school board regularly reviews/addresses such items as expenditures, low balances in operating funds,

    compliance with federal/state programs, and staff hiring. 8. The school reports outstanding debt as required in Section 37.850.1, RSMo. 9. The school keep such records for a period of three years and provide such information as may be necessary

    for the fiscal program auditing and for program evaluation; provide the Department any information it may need to carry out its responsibilities under the programs.

    10. The school performs appropriate background checks and has a conflict of interest policy for board members. 11. The school maintains requisite surety bond for school financial officer(s) and evidence of requisite insurance

    coverage for directors/officers, and buildings. 12. The school has an appropriate closure plan, if needed. 13. A copy of this renewal application will be submitted to the local school district.

    The board-authorized representative understands the assurances and the responsibility for compliance placed upon the applicant. The applicant will refund directly to the Department the amount of any funds made available to the applicant that may be determined by the Department, or an Auditor representing the Department, to have been misspent or otherwise misapplied.

    Article 7

    Upon the dissolution of the Corporation, the board ofdirectors, after paying or making provisions for the payment ofalt ofthe Corporation•s liabilities, shall distribute all of the Corporation's remaining assets exclusively for charitable or educational purposes to an organization or organizations with purposes similar to those described in Articles 2 and 8 hereo( which are then organizations described in Section 501(c)(3) of the Internal Revenue Code of 1986 (the "Code''). In the event that any such organization is not so described. the Corporation's assets designated for distribution to such orpnii:ation shall be distn"buted to one or more organizations described in S~on 501(c)(3) ofthe Code as determined by majority vote ofthe Corporation's board of directors.     Article 8

    The Corporation is organized and is to be operated exclusively to cany out charitable end educational purposes within the meaning ofSection S0l(c)(3) ofthe Code, as now in effect or as may hereafter be amended, including, but without limitation thereon:

    (a) To operate one or more public charter schools in accOl'dance with the KIPP educational model in the State ofMissouri;

    (b) To exercise all rights and powers conferred by the laws of the State of Missouri upon nonprofit coxporations. including, but without limitation thereon, to raise funds, to receive gifts, devises, bequests and contributions, in any fonn, and to use, apply, invest. and reinvest the principal and/or income therefrom or ctistribute the same for the above puq,oses; and,

    (c) To engage in any other activity that is incidental to, connected with or in advancement ofthe foregoing purposes and th.at is within the definition ofcharitable and educational purposes ofSection SOl(c)(3) ofthe Code, provided, the powers ofthe Corporation shall never be inconsistent with the purposes ofthe Corporation stated above or the Constitution ofthe United States or the State ofMissouri.

    The broadest discretion is vested in and conferred upon the Corporation's board ofdirectors for tbe accomplishment of these pmposes. provided, however, that no contributions shall be made or distn'buted to or for any person, finn, corpotation, or other entity that shall apply, directly or indirectly, such contributed funds for any purpose or purposes in violation ofthe Constitution and statutes ofthe United States or the State of Missouri.

    Article 10

    The sole member ofthe Corporation shall be the KIPP Foundation. a California nonprofit, public benefit corporation. Notwithstanding any other provision herein, this member ofthe Corporation shall have the exclusive right to approve any amendments to these Articles oflncorporation or the Corporation's bylaws, as well as to remove and replace any person serving on the Corporation's Board ofDirectors.

    KIPP Endeavor Academy Performance Contract 2017-2022

    As the official charter school sponsor of KIPP Endeavor Academy (KEA), the University of MissouriColumbia (MU) is legislatively required to monitor compliance and performance of the school, recommend sanctions, if necessary, and closure when the school demonstrates an inability to meet standards. This performance contract represents expectations in this five-year charter term.

    Governance

    Charter schools are governed by an independent board of directors that are required to abide by all laws governing 501(c)3 organizations, and public schools. The board of KEA shall:

    1. Consistently abide by all Missouri laws, including the Missouri Sunshine Law in all its operations.

    2. Maintain an active. involved board as described in their bylaws and policies.

    Finances

    The school depends on the board mainta ining proper fiduciary responsibility and adherence to all laws and accounting and record-keeping guidelines. The KEA board shall ensure that all stakeholders:

    3. Comply with annual auditing and ASBR requirements, and remedy all audit findings.

    4. Maintain adequate fiscal health, as evidenced by producing regular financial statements, ensuring board review and oversight of payments, and paying all obligations in a timely manner.

    Operations

    KEA staff and other stakeholders will engage in a myriad ofactivities necessary to operate a school. From human resources, to facil ity management and contracting, to extensive data collection and reporting on all those activities, KEA will obey all laws, maintain appropriate oversight, and create and implement sound policies and processes, with fidelity. KEA shall:

    5. Consistently comply with all laws and policies and meet all reporting requirements, including, but limited to, MOSIS submissions and Tiered Monitoring requirements.

    6. Operate the school in accordance with approved school policies, in a way that advances stated goals and objectives, and address deficiencies in an appropriate and timely manner.

  • Environment

    KEA measures school climate internally, and MU assesses it using various methods, as needed. KEA shall:

    7. Adhere to all laws and regulations pertaining to the health and safety ofall staff and students, and promptly and adequately answer any and all issues or complaints raised by any stakeholder.

    8. Maintain school leadership and culture that contributes to successful attainment ofstated goals and objectives.

    Teaching and Learning

    The most important measure of success in any school is student outcomes and quality teaching is the most important input to successful outcomes. KEA shall:

    9. Maintain a professional development system that includes: a new teacher mentor program, teacher evaluation system that meets state requirements, retention of excellent teachers, and removal or development of teachers that are not meeting expectations.

    10. Exceed district averages on all academic indicators and benchmarks evaluated by the state. This includes, but is not limited to; MAP assessments, attendance, graduation, high school readiness, and any new indicators that may become part of any state monitoring or grading system.

    KEA and MU agree that substantial failure to meet any of the ten (10) terms of accountability will result in a deficit letter with a required remedy. Failure to adequately address any deficiencies will cause KEA to be placed on probation. Probation will require a remediation plan for addressing all deficiencies in a prescribed timeline and failure to remediate may result in a recommendation for closure.

    This contract is for five years. In the fourth year, KEA and MU will determine, based on MU policy and procedures and successful adherence to this contract, if the school is prepared for renewal. At that time, a new performance contract will be created to address the next renewal period.
