ABOUT LEADINGAGE FLORIDAFor 54 years LeadingAge Florida has served as the only statewide association representing the full continuum of care for seniors.

We serve more than 250 mission-driven communities trusted with providing quality care and services. We promote practices that support, enable and empower people to live fully as they age. Our communities

serve more than 70,000 Floridians every day in settings across the continuum from their homes to independent housing, assisted living

and care centers. LeadingAge Florida members are diverse but share a common focus on person-directed living, missions of service to their

communities and choice in older adult services.

STRATEGIC INITIATIVESIn 2016, the LeadingAge Florida Board of Trustees approved the association’s Five-Year Strategic Plan. The plan includes six areas of focus: • Increase non-dues revenue to 60% by 2021 • Maintain advocacy effectiveness (95% success rate) • Collaborate with other associations (training, conferences, advocacy) • Increase expertise in all areas • Improve state & national communications • Improve training in all areas

ADVOCACY: With more than 100 years of combined experience, LeadingAge Florida is your voice - providing year round advocacy at both the state and federal levels on issues affecting our members. Our advocacy team has a proven record of effectiveness. This was a very successful Legislative Session for LeadingAge Florida with many bills advocated for and monitored by LeadingAge Florida passing the Legislature. The following highlights the victories and accomplishments of LeadingAge Florida and includes key issues, health care legislation, and other bills of interest passed by the Florida Legislature.

COMMUNICATIONS: LeadingAge Florida is committed to keeping you up to date with news that will help your organization thrive. We are a valuable resource covering a wide range of issues related to aging and older adult services. We connect media with organizations that serve seniors in communities across the state. LeadingAge Florida proudly promotes the great work done by our members via announcements about their new initiatives, innovative programs and leadership changes.

The LeadingLink is distributed to more than 2,500 aging services providers and has received up to 1,200 views per week.

FAHA H&S:FAHA H&S Corporation is responsible for contract negotiation, health system relationships and education resources for all of its member nursing homes. FAHA H&S also provides billing/ administrative assistance, and credentialing/ administrative support, as well as assistance with proper prior authorization processes, best practices, and management of quality data related to contract payment requirements.

CALL TO ORDER

LeadingAge Florida Board of Trustees Chair, Josh Ashby, welcomed the assembly and called the meeting to order at 3:06 p.m., ET.

SECRETARY’S REPORT Kevin Smaage, Secretary, LeadingAge Florida

• The Secretary referred to the handout containing the Minutes of the Annual Membership Meeting on July 1, 2015.

A MOTION was made and SECONDED to accept, as written, the July 1, 2015, Annual Membership Meeting minutes. The motion PASSED.

TREASURER’S REPORT Troy Hart, Treasurer, LeadingAge Florida

The Treasurer pointed out that the 2015 Annual Report showed that the Association remains in strong financial position and has the appropriate board oversight of financial reporting.

He advised the membership that the Association’s annual financial audit raised no internal fiscal management issues and was determined to be a “clean” unqualified audit.

Mr. Hart noted that the Association’s investment portfolio’s value as of November 30, 2015, was $1,602,359, down from the previous year.

A MOTION was made, SECONDED and PASSED to approve the Treasurer’s Report.

VALUE FIRST REPORT Roger Stevens, Chair-Elect, LeadingAge Florida

Roger indicated that 228 members of LeadingAge Florida are participating in Value First and that sales in Florida through Value First are up by 42% at $9.6 million.

FAHA H&S REPORT Brian Robare, Chair, FAHA H&S Board of Trustees

Mr. Robare indicated that FAHA H&S continues to recruit more members into the program. • FAHA H&S members must meet quality criteria to join• Managed care companies are shrinking their networks – allowing only “Quality” providers to remain or join• Quality will be and is the focus going forward

CONTRACT NEGOTIATION:• FAHA H&S has moved beyond Medicaid and has secured partnerships with large Medicare Advantage and

Commercial insurers.

MEMBER AWARDS PROGRAM

Josh Ashby, Chair – Introduced Jenny George to present the Caregiver of the Year Award.

Jenny George – Presented the Caregiver of the Year Award to Linda “Fay” Nettles of OakBridge Terrace Assisted Living of Indian River Estates.

Bruce Jones – Presented the Resident Volunteer of the Year Award to David Quirk, of Penney Retirement Community.

Melissa Gilreath – Presented the Service Coordinator of the Year Award to Larry Lewis, of Jefferson Center, Inc.

Maureen Gartland – Presented the Best Practice of the Year Award to Susan George, Executive Director, and Carol DuMond-Stryker, Director of Nursing, of Edgewater Pointe Estates.

Troy Hart – Presented the Trustee of Year Award to Paul Simpson, Chairman of the Board of Directors of John Knox Village of Florida.

Josh Ashby – Presented the Distinguished Service Award to the Westminster Alzheimer’s Action Group of Westminster Oaks. Shannon Sauls, Health Services Administrator accepted the award on behalf of WAAG.

Honoring Outgoing Trustees - Josh Ashby presented recognition to the outgoing Trustees:

George Bryan, Trustee At Large and Ansley Holt, Central Region Chair Trustee, for their long-term service and dedication to the LeadingAge Florida, Board of Trustees.

GOVERNANCE COMMITTEE REPORT Diane Marcello, Immediate Past Chair and Governance Committee Chair

Diane Marcello reported the Governance Committee had received nominations for the Board of Trustees At-Large position and had met to review and select a nominee for election. The nominee slate was sent to members in advance of the Annual Meeting.

A MOTION was made and SECONDED presenting the nominee, James Richman of River Garden Senior Services, for At-Large Trustee to the Annual Membership Meeting for election. There was no discussion. The motion PASSED.

A MOTION was made and SECONDED to approve the nominee by acclamation.

Josh Ashby called for a voice vote to approve the motion and nominee, James Richman, by acclamation. The motion PASSED.

INSTALLATION OF NEW BOARD OF TRUSTEES

Josh Ashby, Chair, invited the newly elected board members come to the front of the stage for the installation ceremony.

Region Chair and Vice-Chairs (determined by region election) are:Y. GAIL WATTLEY, Village on the Green: Region Chair - Central Region CHRISTINA BAGLEY, Retirement Housing Foundation: Vice Chair, Membership – Central RegionAIMEE HILTON, St. Andrews Estate: Vice Chair, Membership – Southeast Region Josh Ashby, installed the Regional Chair and Vice Chairs, as well as the newly elected At-Large Trustees. Mr. Ashby asked all other current members of the Board of Trustees to stand and be recognized.

LEADINGAGE REPORT Nancy Hooks, Vice President Member Relations & Board Development

Ms. Hooks introduced herself to the membership and discussed her industry experience and ex-pertise. She indicated she was available to all and that she welcomed their inquiries. She is looking forward to visiting and getting to know the members of LeadingAge Florida.

PRESIDENT & CEO’S REPORT Steve Bahmer, President & CEO

Mr. Bahmer welcomed members and thanked Nancy Hooks for her timely updates on LeadingAge. He congratulated James Richman, Gail Wattley, and the Vice Chairs on their election to office. He mentioned that he had visited 100 member communities and has not left one without great inspiration.

A brief snapshot of LeadingAge Florida’s progress includes:

•Sound finances

•Membership growing

•Member retention at all time high

•Reputation growing with public and lawmakers

•Building a strong team of professional staff

•Revitalized newsletter – with social media footprint in the thousands

Steve introduced staff to members. He said he was proud to work with the Board on strategic plan-ning that will focus on core competencies and asked members to watch for more information about this in the near future. Steve thanked the Board for their guidance, confidence, and patience as he has been making changes over the past year.

ADJOURN Mr. Ashby thanked Mr. Bahmer for his report and thanked members for attending and called for an adjournment of the 53rd Annual Meeting of LeadingAge Florida. There being no further business, the meeting adjourned at 3:59 p.m., ET.
