How we do it… We mitigate the risksNatura Energy carries out an early fatal flaw and a risk mitigationanalysis to assess and understand if a project concept has any chanceof becoming bankable (see Project Finance section hereafter).Regulatory, financial and contractual elements are taken into accountin this analysis.

Arandis Power 120MW Heavy Fuel Oil + 45MW Solar PV

First in the Africa utility scale hybrid power plantNatura Energy has developed the Arandis Power project in Namibia.This 120MW Hybrid HFO + Solar PV power station will generatebaseload power with 8x15MW Wärtsilä reciprocating enginesgenerator sets and 45MW of solar PV.

Never before has a utility scale power hybrid plant of this size beencommissioned in Africa or the world.

A showcase project for Africa, the USD 340 million fully fundedArandis Power plant will produce almost 25% of Namibia’s electricityrequirement by fully integrating in one homogenous system, thermalpower generation using Heavy Fuel Oil (HFO) and solar photovoltaicpower generation.

The originality of this solution lies in that fact that the solar park isnot operated in the traditional manner where electricity is self-dispatched into the national grid as and when an electrical current isavailable. In the Arandis Power case the function of the PVcomponent is used as an original cost saving mechanism to reducethe fuel bill of the power station and therefore to bring down theoverall cost of electricity for the client.

Achievements

What we have achieved…Solar energy will always be dispatched first, and HFO generatedenergy will complete any shortfall of solar supply so as to satisfy thefull dispatch order as required by the client.

The HFO component would cover the function of voltage regulationand will compensate the erratic generation characteristics of the PVcomponent thus cancelling out any “negative” impact of the PVenergy on the grid. The PV would offer the advantage of generatingelectricity with no fuel cost and with no CO2 emissions. A detailedtechnical integration and command and control study has beencompleted, in conjunction with the EPC contractors.

With this approach the 45MW photovoltaic component will saveapproximately 23.000 tons of fuel per annum. This saving becomescost effective when the value of this fuel is greater than the cost ofthe PV energy produced.

Wärtsilä of Finland is to be the EPC contractor and main equipmentsupplier for the power plant.

Walvis Bay Tank Farm ProjectNatura Energy is actively working to construct a strategic bulkpetroleum fuel storage facility in the industrial area of Namibia’smain harbour town, Walvis Bay.

This facility will serve primarily the Arandis Power station project,however it will also be used by major oil companies to improve thecompetitiveness of their offer on the Namibian market of Heavy FuelOil (HFO) for industrial and shipping use.

The USD 100 million Natura Energy strategic bulk petroleum fuelstorage facility will have the capacity to store up to 90.000m3 of HFOto be developed in two successive phases of 45.000m3 each.

Gautrain 4.8MW main emergency backup generation plantIn association with Pramac of Italy and Cato Ridge Electrical of South Africa,Natura Energy participated in the sale and installation of the mainemergency backup power generation capability of Gautrain railway projectin Johannesburg at the Marlboro precinct.

5.2MW power generation project in Johannesburg and in Cape TownIn association with Pramac of Italy and IST Powertech of South Africa, NaturaEnergy participated in the sale and installation of the main emergency backupcapability for the Independent Newspapers group at the premises of The Starnewspaper in Johannesburg and of the Argus and Cape Time in Cape Town.

Waste-to-Energy Biogas PlantsNatura Energy proposes to municipalities and townships to converttheir sewerage effluent and other organic waste (plant and animal)into electricity.

This is achieved through well-proven anaerobic digestion orfermentation technology which captures methane, otherwisereleased into the atmosphere, that is used to power a ConventionalHeat and Power (CHP) unit consisting of a gas engine, alternator andheat exchanger.

The net result of this is:

1. The freeing up existing sewerage treatment capacity withoutneed to expand the town’s existing water treatment facility asthe biogas project will remove at the entrance of the plant verylarge volumes of sludge.

2. No capital outlay is required. Natura Energy will raise allnecessary funding and recover its costs through the sale ofelectricity.

3. Enhanced electricity security for the town through a baseload,renewable energy supply source at competitive cost.

4. The reduction of methane emissions from landfills andreduction of landfill waste.

What we have achieved…

Natura Energy has been awarded a grant from the Energy andEnvironment Partnership Programme with Southern and East Africa(EPP) to carry out a feasibility study for biogas plant to be built inWindhoek. This is a Programme Funded by the Governments ofFinland and Austria and hosted by the Development Bank ofSouthern enabled Natura Energy to develop the necessary financialanalysis tools for this type of project. Natura Energy proposes theimplementation of biogas projects ranging from 1MW to 5MW tofuelled by a diversified source of waste streams including municipalsludge and organic industrial waste.

What is a Hybrid systemA Hybrid Thermal + Solar Photovoltaic (PV) system is the fullintegration of a thermal power generator (powered by HFO, gas ordiesel) with a photovoltaic solar system.

Typically large utility scale solar PV power generation systems aredirectly connected to the national grids and the electrical energy isself-dispatched as and when the sun shines and the system generatespower.

A hybrid system is a baseload power generation system that cansupply electrical energy on a continuous basis 24/7.

Natura Energy’s Thermal Power + PV Hybrid concept…

How it worksThe Natura Energy Hybrid system is not two separate stand-alonesystems connected to the grid that generate electricityindependently.

The Hybrid system is one fully integrated power plant that uses bothfossil fuels (HFO, gas or diesel) and solar PV to generate power withone single connection point to the national grid.

The power station’s Control Centre ensures that the client’srequested electricity dispatch orders are always fully satisfied at anygiven moment of day or night. The Control Centre analyses the solarPV production on a continuous basis; should this fall short of therequested dispatch order, the power station instantly complementsany missing generation capacity by providing energy from thethermal component of the power station.

Natura Energy’s experienceNatura Energy, with the extensive involvement of its technicalpartners, has developed the largest HFO + Solar PV hybrid in theworld which is expected to be implemented in the Arandis Powerproject.

This is a 120MW heavy fuel oil power plant, fully integrated with a48MW solar photovoltaic plant. All technical integration studies havebeen carried out to the full satisfaction of Natura Energy.

Solar power is not constantSolar power generation is not constant. Very significant electricityproduction fluctuations occur in the course of day not only due to thesun’s constantly changing position, but also to the dramatic negativeeffect of cloud cover on photovoltaic production. In contrast, energydemand is from the national grid or from large industrial users tendsto follow pre-determined and constant patterns throughout the day.The Hybrid solution helps resolve this impasse.

What is Project Finance?

Project Finance has been used to finance some of the largest and mostcapital intensive infrastructure developments in the world and hasbecome the most common structure for infrastructure finance whereprojects are not directly funded by governments.

Project finance has been used to develop a wide range ofinfrastructure including:

Energy infrastructure facilities Ports, airports, roads, rail lines Oil & gas gfacilities Telecommunications systems Petrochemical plants Water desalination facilities Sports arenas, stadiums, hotels

Virtually any industry requiring major capital investment to produce alarge quantity of products or services and which generates sales (anincome stream), can utilise project financing.

Why is Project Finance Used?Government budgetary constraints are one of the reasons for thestructuring of the implementation of large infrastructure projectsthrough Project Finance. Here money is raised and spent by theprivate sector, thereby removing financial pressure on the nationalfiscus, treasury or on the state’s balance sheet.

A Project Finance structure is appropriate in large, capital intensiveprojects that are able to generate income from sales.

This structure is robust enough in its protection of Investors andLenders alike, to give comfort to the financiers to disburse the verylarge sums of money which are required to turn such projects intoreality.

Bankable Feasibility StudiesNatura Energy, in its capacity of Project Sponsor and Project Developerwill typically execute a Bankable Feasibility Study (BFS) which isaimed at testing beyond reasonable doubt, to all stakeholders that theproject is:

i. Technically feasibleProof that technically the project can be executed

ii. Economically viableProof that the project can make enough money to be profitableand to repay all its debts without risk

iii. Practically executableProof that in practice there is a builder with the necessary skills toexecute the project and that there are no practical impediments toits realisation at the desired location

iv. Legally supported by commitments and contractsProof that all legal contracts, permits, licences are in place allowingthe project to be built and to be profitable whilst having mitigatedall risks.

Most large independent power generation projects are financed andconstructed using limited recourse Project Finance structures.Typically, Natura Energy will recommend the financing of powerproject with such structure.

One of the principle characteristics of Project Finance is that themoney for the project, which is typically funded by multiple lenders,is not only secured by the physical assets of the Project Company, butalso by the income stream generated by the project’s sales.

The quality of this income stream is the central and most criticalcomponent of a Project Finance structure. If this income stream isnot robust, the project will not be “bankable”.

The Power Purchase Agreement (PPA), is the central element of a Project Finance structure. This is the contractual agreement thatsecures for a long period of time (typically between 15 and 25 years) the sale of electricity. This is the All other contracts required inthe structure feed off or relate to the PPA.

The Government Support Agreement, Government Implementation Agreement is the other critical element of the Project Financestructure is the contractual with the host Government. The Implementation Agreement (IA) addresses risks or events that cannotbe addressed in the PPA because these relate to the actions of Government and not to the actions of the electricity buyer or theIPP. These risks are relevant only if they negatively impact the cash flows of the IPPs. An IA is a two-way contract between the IPPand Government, whereby both parties give the other assurances and undertakings of performance.

Natura Energy’s Fund Raising Know-how… Typical Stages of FinancingAn IPP project requires finance at different stages of the project life,with the initial stages of finance riskier due to the possibility of non-completion. Certain advisory /technical costs are fixed, irrespective ofthe size of the project, and thus a reasonably size single project, orportfolio of projects, is an absolute necessity.

Natura Energy is experienced in sourcing early stage financingprovided stakeholder commitment is available in-country for theintended project.

The buy-in of GovernmentGovernment and institutional support and facilitation is critical to: (1)reduce the time to completion of the project and efficiently utiliseproject funds, (2) allocate project risks adequately in order to build aBankable project, and (3) obtain more certainly and commitment forinvestors (both debt and equity) to appraise the project and countryrisks efficiently.

Natura Energy Access to FinanceNatura Energy has indicatively pre-funded (size >USD 420 million) itstwo Namibian projects (power station and tank farm). Natura Energyis over-subscribed both for debt (commercial bank loan tenorconstruction plus >15years, DFI >17 years) and equity. Capital wasraised cost-effectively in ZAR local currency from local banks,institutions (pension funds and private equity players), and technicalpartners. A number of DFIs and ECAs have provided confirmation ofinterest to fund (KFW IPEX, DEG, OPIC, AFDB, DBSA…)

Ezio VernettiManaging Director

Ezio has a National French Postgraduate Degree in Masters in Management and BusinessAdministration. He has worked most of his career as a marketing business developmentconsultant for European and South African companies and institutions, including the UNFAO. He has held very senior positions in both private and parastatal companies wheretechnology and engineering have been central elements of the marketing mix. Ezio is themajority shareholder and a co-founder of Natura Energy.

Johny AshipalaExecutive DirectorBusiness Development

Johny left Namibia for exile in his early teens to participate in the country’s liberationstruggle. He received the essential part of his formal education and training in the ex-SovietUnion and satellite eastern bloc countries. Upon his return to a liberated Namibia, Johny hasbeen involved in businesses as a founder and director of companies. As a co-founder andExecutive Director of Natura Energy, Johny also consults and is a director of foreigncompanies investing in Namibia in the mining sector.

Sincethen, Annitta has carried out various private consulting assignments in the field ofrenewable energies. Annitta is currently Project Manager of Natura Energy’s 120MW powergeneration project

Jennifer StrideFinancial Structuring and Legal (external)

Jennifer has a Bachelor of Science (Honours) in Economics, Mathematics and AppliedMathematics. She also is a Chartered Financial Analyst. She has worked and consultedvariously to a number of banks and financial institutions in the capital markets arena. She hassubstantial experience in structuring financial instruments issued to various institutionalinvestors.

Michael CurtisNon Executive Director

Michael is a professional Mechanical Engineer with over 20 years experience. He graduatedat the University of Cape Town and is the Non Executive Technical Director of NaturaEnergy. Mike is also currently Deputy General Manager at De Beers Marine. In this capacityhe has been responsible for the conceptual design, feasibility study and implementation ofnumerous multi-million US dollar projects in the engineering and mining sector.
