RatesAll rates are exclusive of the cost of advertising material unless otherwise specified. The rates are inclusive of initial posting, a four-weekly change of poster if required, illumination, cleaning and maintenance.
Cancellation and PostponementContracts may only be cancelled or postponed by providing 6 weeks written notice. A 5% penalty will apply for the cancellation amount. It should be noted, however, that Advertisers cannot cancel bookings such that the period of display is reduced to less than the minimum period applicable to that display, e.g. in the case of 4-sheet panels an Advertiser cannot cancel part of a booking such that the period of display would be reduced to less than four weeks.

Juxtaposition of Competitive AdvertisingJuxtaposition occurs when two posters next to each other display advertising for competitive products. JCDecaux Pearl & Dean Limited will endeavor to avoid such juxtaposition.

Return of MaterialsPosting or other advertising materials which are surplus to requirements or which have been removed from display will be disposed of unless at least seven days prior notice in writing has been given to hold them for collection. JCDecaux Pearl & Dean Limited will then hold the materials for two weeks. If they have not been collected by then they will be disposed of without further notice.

General Rules1. Use of Materials:
1.1) Removable stickers: only 3M 8648 laminated with 3M 8936, Avery 7400 and MacTac Digitrans are allowed.1.2) Removable stickers for rough surface station exterior: only 3M 3690 is allowed.1.3) Removable stickers as floor sticker: only 3M Controltac Plus 162 w/ 3M over laminate 3645 are allowed.1.4) Removable white sticker: only Ritrama VJ 100M is allowed.1.5) Removable clear sticker: only Ritrama Rijet 100 Clear AVM (clear sticker) is allowed. 1.6) Removable VHB tape: only 3M, reference no. 4945 (width = 1”) is allowed. 1.7) For any necessary lamination of stickers for in-train format: only 3M 8648 laminated with 3M 8936 is allowed.1.8) Forex board: BS 476 part 7 class 1 certificate is required.1.9) Vinyl: BS 476 Part 7 class 1 certificate is required. 1.10) Polycarbonate: BS 476 Part 7 class 1 certificate is required.1.11) Lenticular material: material sample and fire retardant certificate should be submitted for approval.1.12) Wood and other combustible material: Wood and plywood material are not allowed to be used in MTR stations and

2. Stickers must comply with size and material specification.3. Presentable and colorful artworks are preferred.4. DO NOT use creatives that resemble MTR signage and are offensive (or likely to give offence).5. DO NOT incorporate too much wordings in layout and should avoid small wordings.6. Advertisers are responsible for installing sticker and removing sticker residue right after the display period, additional charge will be exercised when
delay in removal.7. Cleaning should be made after each campaign and meet with the standard as set by JCDecaux Pearl & Dean Limited.8. Any installation and dismantling of FeatureAds and site measurement must be taken during MTR non-operation hours.9. Should there be arrangement needed on irregular commencement or dismantling days, the following charges will be incurred per job per site for

10. Advertisers shall maintain the advertising material in good appearance and conditions and shall rectify or remedy any defects immediately upon JCDecaux Pearl & Dean Limited’s notification.
11. Advertisement must be applied on both sides of FeatureAds formats which are visible from both sides e.g. Train Door Window Stickers.12. Silkscreen printing is not allowed for FeatureAds.13. Any other additional notes should refer to the “MTR FeatureAds Installation Guideline for Contractor”.

Train14. Round-cornered creative is preferable for Train Door Window Stickers.15. DO NOT post Train Door Window Stickers in such a way that they cover the Safety Stickers on door window.16. Use templates while posting Train Door Window Stickers and Stickers Next to Saloon Window. Templates of Train Door Window Stickers should
be provided by advertisers.17. No sticker should be posted on the surface of rubber seal along train windows and doors.18. Mirror materials should not be used.19. Any other additional notes should refer to the “MTR FeatureAds Installation Guideline for Contractor”.
Station20. Die-cut creative for Poster On Walls may be used subject to approval.21. Walls or Pillars with Emergency Train Stop Button or Help Line can never be used for advertising.22. Poster on Walls should be at least 0.8m away from other advertising panels, and at least 0.5m away from signages and any MTR Corporation
Limited facilities. Backings should be used when location selected is on VE panels so as to avoid non-smooth surface.23. Die-cut should be made where there are signages, dust bin, power socket, control units, etc. on Pillars or Walls. Stickers should have a 15cm
clearance around “station name”, Emergency Train Stop Button or Help Line. For more details about the guidelines for different signages or facilities, please refer to the “MTR FeatureAds Installation Guideline for Contractor”.
24. Mirror materials would be applied subject to location and creative as approved by JCDecaux Pearl & Dean Limited. 25. Stickers can cover whole surface area of balustrades. Die-cut should be made around stoppers (emergency plunger) with at least 15cm clearance.
The escalator safety stickers should be protected by non-sticky material before putting on the advertisement. At least 50% of the safety stickers should be restated on the advertisement.
26. Installation of Station Exterior Advertising is subject to the valid Road Permit from Transport Department. Please refer to the “MTR FeatureAds Installation Guideline for Contractor” for details.
27. Any other additional notes should refer to the “MTR FeatureAds Installation Guideline for Contractor”.
Advertisement Layout SubmissionFor Train Door Window Stickers (regular size), Stickers Next to Saloon Window and Trackside Billboard, final layout(s) and mockup(s) have to be submitted to JCDecaux Pearl & Dean Limited for approval at least 3 full workings days prior to the campaign production start date. Terms & Conditions – PosterAds (I)
1. Definitions(a) The expression "the Company" shall mean "JCDecauxPearl & Dean Limited" and shall include its successors andassigns.(b) The expression "the Advertiser" shall mean the person,firm or company placing the Order and shall include itssuccessors, assigns and, as the case maybe, the Client.
2. AgenciesWithout prejudice to any right that the Company may haveagainst the Client, an Advertiser who is an advertising agentshall be personally liable for payment of all accountshereunder and shall be deemed to have full authority of theClient in all matters connected with the placing of Orders andtheir amendment.
3. CommissionAgency commission at the rate of 15 per cent is payable toall recognized advertising agencies and shall be on the valueof the Order less any discount allowed.
4. TermsThe placing of an Order by the Advertiser with the Companyshall constitute acceptance by the Advertiser of these Termsand Conditions which shall override and exclude any otherterms stipulated, incorporated or referred to by theAdvertiser. No modification of these terms shall be effectiveunless made by express written agreement between theparties.
5. AcceptanceNo Order placed with the Company shall be deemed to beaccepted until completion of the Acknowledgement of Order
10. PaymentUnless otherwise stipulated by the Company, all charges shallbe payable monthly in arrears and shall be paid within 28 daysafter the invoice date. The Company shall have the right tocancel any continuing Order or Contract forthwith in respect ofwhich part payment is overdue after the expiry of such 28days.
11. DepositEach Contract is subject to the payment of a deposit and theContract is voidable by the Company if this is in default. TheCompany shall have the absolute right to demand this depositequivalent to the charge for eight weeks display on each panelor each type of panels / networks. For any Contract with eachpanel or each type of panels / networks for a display period of8 weeks or less, payment in full is required in advance 2 weeksbefore the Contract starts. The deposit will be refundablewithout interest upon expiry of the full Contract period where alloutstanding sums to JCDecaux Pearl & Dean Limited pursuantto the particular poster booking Contract has been paid in full.The deposit is not allowed to set off against the Company'sinvoices during the continuance of the Contract. Transfer ofdeposit from one booking Contract to another is allowed whereall outstanding sums due to JCDecaux Pearl & Dean Limitedunder that particular booking Contract has been fully settled.
12. Interest(a) Interest on all sums due shall accrue after expiry of the 28days referred to above and shall run at the rate of 2 per centper calendar month until payment is received after as well asbefore any judgment therefor.(b) Payment shall be made in Hong Kong dollars (unlessotherwise specified) at the office of the Company without any

accepted until completion of the Acknowledgement of Orderby the Company.
6. DeliveryAll posters for display shall be delivered carriage paid to theCompany at its address overleaf, or to such other address oraddresses as the Company shall specify, not less than 3days prior to the date of commencement of display specifiedin the Contract.
7. DisplayThe Company shall, subject as provided below, and so far asreasonably possible, display each advertisement throughoutthe period specified in the Order commencing on or as nearas reasonably possible to the specified commencementdate. Charges shall accrue due as from the date ofcommencement of display or the specified commencementdate whichever is the later.
8. Late or Non-DeliveryIn the event of late delivery or non-delivery of posters,charges shall still be payable and shall accrue due as fromthe specified commencement date. During any period ofnon-display of advertiser's material, the Company shall havethe absolute right to display any posters featuring charityorganizations or MTR Corporation Limited posters.
9. Right of RejectionThe Company shall have the absolute right at any time torefuse to display or continue to display any poster which, inits opinion is objectionable, unsuitable, impracticable or likelyto give offence, or designs that resemble safety signages. Insuch event the Contract in whole or in part may be cancelledby the Company forthwith without any responsibility orliability on the part of the Company and to the extent not socancelled the Contract shall continue in full force and effect.

14. Damage or LossThe Company shall be under no liability for loss of or damageto posters, designs or advertisements supplied to theCompany except insofar as such loss or damage arises due tothe fault or negligence of the Company or its employees, andin any event the Company's liability shall never exceed theoriginal cost to the Advertiser of the destroyed or damagedposters.
15. Force MajeureThe due performance of any Order is subject to suspension,variation or cancellation by the Company by reason of war,riot, explosion, fire, flood, strike, lock-out or any cause beyondthe Company's control.
16. Statutory RequirementsThe Company accepts full responsibility for compliance withstatutory requirements so far as concerns the use of any sitefor the display of advertisements to which a Contract relates,but so far as concerns the subject matter or content of theadvertisement itself the Advertiser will indemnify the Companyagainst all liability and will be responsible therefor.
Terms & Conditions – PosterAds (II)
17. CancellationAny Order may be withdrawn by the Advertiser prior toacknowledgement of the Order by the Company. Thereafter,and without prejudice to Conditions 9 & 10 hereof, theCompany may cancel the Contract provided that due noticeis served on the Advertiser not less than 6 weeks prior to thespecified commencement date and the Advertiser may alsocancel the Contract provided that due notice is served on theCompany not less than 6 weeks prior to the specifiedcommencement date and by payment of a sum of 5% of thecancelled contract amount as liquidated damages.
18. Change of Posters(a) All rates include (subject to Clause 18c) a change ofposters once a month if required. All changes required atmore frequent intervals than once a month or which arerequired within a shorter time limit than specified in Clause19 will be charged for.(b) When an Advertiser is entitled to a change of posterswithout separate charge and stipulates a date upon whichsuch change should be commenced the Company willcomplete such change within 10 working days after thestipulated date.(c) Where an Advertiser requires a change of posters inrespect of which separate charge is to be made, they mustdo so in writing to JCDecaux Pearl & Dean Limited and theCompany shall complete such change within 5 working daysafter the stipulated date.
19. Condition of Posters All rates include the maintenance of the display ofAdvertiser’s posters in good condition and for this purposethe Advertiser shall supply a sufficient number of posters of
23. Company’s LienThe Company shall be entitled to a general lien on all postersin the Company’s possession for all sums, whether liquidatedor qualified or not, due from the Advertiser to the Company.
24. NoticesAny notice given hereunder may be delivered or sent by handor by post and shall be deemed to be served if sent by hand atthe time of delivery and if sent by post to the address of theparty to be served specified on the order or such other addressas may be notified in writing from time to time 48 hours afterposting.
25. Governing LawThis agreement shall be governed by and interpreted inaccordance with the laws of Hong Kong Special AdministrativeRegion and the Advertiser submits to the jurisdiction of theHong Kong Courts.

the Advertiser shall supply a sufficient number of posters ofthe correct size including spares as specified in the rate cardbut the Company shall only be liable in respect of anydamaged or incorrect display of any posters if the defectshave not been remedied 6 working days after notification ofthe same to the Company by the Advertiser.
20. Limit on LiabilityIn any event the Company’s liability for non-display, incorrectdisplay or display of any damaged poster, shall not exceedthe charge for display of that poster for the period of suchnon-display or incorrect display. The Advertiser shall notifythe Company immediately the Advertiser becomes aware ofany non-display, incorrect display or display of any damagedposter.
21. Change of TermsThe Company reserves the right at any time by not less than6 weeks notice in writing served on the Advertiser to alter therates chargeable hereunder and any of these terms andconditions. Any such alterations shall take effect on the datespecified by the Company or 6 weeks after service of writtennotice on the Advertiser whichever shall be the later. TheAdvertiser shall be entitled to cancel or terminate without anypayment on any Order so altered by notice in writing servedon the Company within 6 weeks after service of particulars ofthe changes on the Advertiser.
22. AssignmentThe Advertisers shall not assign any benefit under thisContract without the consent in writing of the Company.
Terms & Conditions – FeatureAds
1. All terms and conditions of PosterAds (except clause 17) areapplicable.
2. The Advertiser is responsible for posting, maintenance andremoval of all advertising materials, and will restore the trainbody, train interior and / or any station structures on whichadvertising materials have been pasted to their original stateimmediately upon the completion of the Contract period. Unlessotherwise agreed by the MTR Corporation Limited, theAdvertiser shall remove all advertising materials and carry outany necessary cleaning and minor repairs on all stationlocations within 2 days after the expiry of the respective displayperiods and for train bodies within 24 hours or at the earliestavailable time as advised by the MTR Corporation Limited. Ifrepairs are required to be made on any station pillar, wall orstructure and any train exterior and interior after the advertisingmaterials have been removed, JCDecaux Pearl & Dean Limitedwill be responsible for carrying out the necessary repairs andthe cost (varies with different structures and conditions) will becharged to the Advertiser on an actual basis.
3. The materials to be used, the layout and design of alladvertising materials and the exact locations for mounting alladvertising materials must be submitted to JCDecaux Pearl &Dean Limited for approval at least 3 weeks prior tocommencement date. Subject to the foregoing, advertisingmaterials on all station structures including pillars and walls shallcover all sides and the full height of the structures. If there areany station names, directional signages or safety devicesaffixed, displayed or installed on any side of a station structure,the advertising materials to be displayed on such side must becarefully die-cut to avoid covering, or obstructing or interferingwith such objects. Please refer to Important Notes of

The MTR Corporation Limited reserves the right to terminate anyContract or remove certain advertising materials it considersnecessary to avoid undue disruption to normal or smooth runningor rail operations. Without affecting the generality of a Contract, ifand when the MTR Corporation Limited exercises its right underits clause to terminate the Contract in whole or in part, the mediacost relating thereto shall cease to accrue from the date oftermination and all related charges already made or moniesalready paid for displays after the date of termination shall ceaseto apply or shall be refunded accordingly. Under nocircumstances will the MTR Corporation Limited be liable for anycompensation or damages.
7. The Advertiser acknowledges that the trains assigned under anyContract are subject to normal routine maintenance and maytherefore be out of service from time to time. The Advertiserfurther acknowledges that certain trains may not run during non-peak hours.
8. Except where clause (6) applies, this is a non-cancelableContract.
9. Rescheduling must be in written notice 8 weeks prior to thecommencement date and subject to availability.
10. Insurance(a) The Advertiser is responsible for security of all advertisingdisplay under this Contract which are displayed at his own risk.The Advertiser is advised to take out proper insurance coveragefor such risks.(b) The Advertiser shall at its own costs (without limiting itsobligations and responsibilities) insure in the joint names of theAdvertiser and MTR Corporation Limited against any damage,

with such objects. Please refer to Important Notes ofFeatureAds.
4. The Advertiser shall maintain the advertising materials in goodappearance and conditions and shall rectify or remedy anydefects, disrepair, or disfigurement of advertising material orremove or replace the same immediately upon demand by theMTR Corporation Limited. Where the Advertiser fails to do so,the MTR Corporation Limited will take all actions it considersnecessary to achieve the same at a cost to be borne by theAdvertiser. If replacement of advertising materials under thesecircumstances is contemplated, the Advertiser must reserveadequate levels of spare materials in advance, as the lack ofspare materials shall not be accepted as reason for notconforming to this requirement or as cause for delays in doingso.
5. The Advertiser acknowledges that the quality, stability orappearance of the advertising materials may be affected bynormal operation of the rail system including but not limited tocleaning, wear and tear or vandalism and that no warranty inthese or other regards are provided by the MTR CorporationLimited. The Advertiser further acknowledges that theadvertising materials are put up at its own risk.
Advertiser and MTR Corporation Limited against any damage,loss or injury which may occur to any property or to any personby or arising from any of the advertising materials displayedunder the terms of Contract.(c) Such insurance (Public Liability and Third Party Insurance)shall be effected with an insurer and in terms approved by theMTR Corporation Limited and with a minimum limit of liability ofHK$50 million on any one occurrence and shall cover the entirebooking period under the Contract.
11. The Advertiser and the Advertising Agency are jointly andseverally responsible for all responsibilities and obligations underthe Contract.
12. Advertisers and / or their Agencies should also refer to the “MTRFeatureAds Installation Guideline for Contractor”.
13. All Contractors / workers must comply with the statutoryrequirement as well as the Safety Rules and Proceduresspecified by the MTR Corporation Limited and JCDecaux Pearl &Dean Limited.
Terms & Conditions – All Formats (I)
1. fail to comply with the law of the Hong Kong SAR, or incite orprovide any means to cause or enable any person to break the lawof the Hong Kong SAR, .
2. contain any statements, visual/audio presentations or messageswhich are immoral; or which offend against the generally acceptedstandards of public decency or the social or cultural standards ofthe society; or which depict, suggest or amount to indecency orobscenity; or which depict any human, animals or their bodies assex objects; or which encourage, endorse or provoke physicalviolence or any anti-social behaviour; or which promote, support orare in any way connected with any terrorists activities ororganizations; or which are otherwise in any way causing anydiscomfort, fear, distress, embarrassment or distaste to the public.
3. suggest, encourage or endorse any unsafe practices. Particularattention shall be given to the safety, interest and welfare ofchildren to ensure that no statements, visual/audio presentationsor messages will be likely to result in harm (whether physical,mental or moral) to children, or which may exploit their immaturity,inexperience, lack of knowledge or tendency to believe in whatthey see, hear or read.
4. promote or advertise any films and television programes and:-
• attack or degrade any religion; or in any way visualize orpresent in any manner any religious or sacred objects orsubjects which may offend or cause discomfort or anxietyto the viewers; or may directly or indirectly result in orincite religious controversy, conflict or discrimination.
7. reproduce or contain a reproduction of, whether or not to thecorrect scale, any Hong Kong currency note or any partthereof; or involve or consist of the making of anything whichresembles a Hong Kong coin in shape, size and thesubstance of which it is made, except with the prior writtenconsent of the Monetary Authority.
8. may in any way cause social unrest, or incite socialcontroversy, whether arising immediately or occurringanytime afterwards; or are likely to attract or cause largecrowd of people or viewers to gather or remain within theMTR system; or cause or inciting them to create anynuisance or inconvenience to the public.
9. are of a political nature and which: (a) do not clearly state theorganization or party involved; or (b) cause or incite activitieswhich break the law or which cause nuisance to the public; or(c) cause political unrest or incite political controversy; or (d)
The MTR system is a very popular and widely used mode of public transport that serves all walks of life. As the sales agent for MTR CorporationLimited ("MTRCL"), JCDecaux Pearl & Dean Limited ("JCDecaux") must consider the suitability and acceptability of the formats, presentation andcontents of all advertisements displayed or published in the MTR system to take into account the interest of the public. Therefore, to obviate last-minutes difficulties and the possibility of wasted production costs, JCDecaux will willingly advise on the likelihood of acceptability of alladvertisements before production shall commence.
Advertisements will not be accepted for, or retained on, display on the MTR system if in the opinion of JCDecaux (which opinion shall be decided byits sole and absolute discretion), they:-

4. promote or advertise any films and television programes and:-
• such films and/or their advertising materials have not beensubmitted for classification or have been classified asobscene under the Control of Obscene and Indecent ArticlesOrdinance, Cap. 390, or otherwise in any way fail to complywith or violate the provisions of such Ordinance.
• if the application for grant of the relevant certificate ofapproval or exemption by the Commissioner for Televisionand Entertainment Licensing of any film is refused, itsadvertisements may be withheld or withdrawn from displayor publication.
• if the advertisements of any films or television programmesare depicting murder, scene of terror or horror, acts ofviolence, controversial religious issues, nudity or having anysexual connotation, they will be subject to thorough andvigilant examination and may be rejected.
5. contain any descriptions, claims or illustrations, presentation orconvey any messages which may directly or impliedly misleadabout the products or services advertised; or mislead or causefalse impression to the viewers by inaccuracy, ambiguity,exaggeration, deceit, omission or otherwise. All descriptions,claims and comparisons which relate to matters of objectivelyascertainable facts should be capable of substantiation.
6. contain any materials or convey any messages that may directly orindirectly:
• suggest, endorse or provoke discrimination (including but notlimited to sex, race, religion, age, jobs, financial position ordisability) or to humiliate, stigmatize or undermine the statusor standing of any identifiable group of persons.
• cause racial hatred or give rise to strong racial feeling; ormay directly or indirectly result in or incite racial controversy,conflict or discrimination.
(c) cause political unrest or incite political controversy; or (d)in any way suggest or imply that any political stand orviewpoint is taken by MTRCL and/or JCDecaux and/or thepublic.
All advertisements of a political nature shall first be subject toreview and approval by JCDecaux who may, if considernecessary, ask for the substantiation of the contents, or askfor further particulars and supporting documents concerningthe nature and objective of the promotion and also thesource of its funding.
10. do not comply with any Ordinance, Regulations or By Lawsof, governing or applicable to MTRCL.
11. conflict with or fail to meet the standards and guidelines ofthe Hong Kong Code of Advertising Standards; or fail tocomply with the code of practice, regulations or requirementsof any professional bodies which are applicable to the type ofgoods or services advertised.
12. contain, whether directly or by implication, any statement orsuggestion which:
• is defamatory in nature; or which disparages or denigratesother products, services or business competitors orperson(s) or company(ies). Comparative advertising willbe closely scrutinized.
• amount to infringement or may give rise to claim forinfringement of trademarks, copyrights, patents, designsrights and/or other intellectual property rights of othersunless prior written consent of the rightful owner isobtained and submitted to JCDecaux for approval.MTRCL and JCDecaux may require an indemnity to begiven against any future or potential claims, legal actionsand/or loss and damage before any approval is given.
• contain any unfair or unproven accusations or criticisms.
Terms & Conditions – All Formats (II)
13. imitate or copy other products or services; or the works,designs, tradenames, trademarks and/or the visual/audiopresentation of others in any way which is likely to mislead orcause confusion to the public.
14. violate or intrude the personal privacy or involve theunauthorized use or disclosure of personal data of any person;or unfairly portray or refer to people in any adverse oroffensive way; or in any manner whether directly or byimplication depict, make reference to or present any quotes orimages of a living person unless prior written consent of thatperson is obtained and submitted to JCDecaux for approval.MTRCL and JCDecaux may require an indemnity to be givenagainst any future or potential claims, legal actions and/or lossand damage before approval is given.
15. display, make reference to or contain any features or imageswhich resembles any logo, signages, routes or stations chartsor diagrams, designs or images (whether registered or not) ofMTRCL; or which is likely to mislead or cause confusion to thepublic.
16. may damage or adversely affect the image, goodwill andreputation of MTRCL and/or JCDecaux; or create anynegative, unpopular or biased impression or opinion towardsMTRCL and/or JCDecaux; or may in any way adversely affectthe interest of MTRCL and/or JCDecaux.
JCDecaux is entitled at any time to incorporate, show, display, makereferences to and/or use as examples or demonstration any of theadvertisements accepted by them for the purpose of their own

advertisements accepted by them for the purpose of their ownbusiness presentation, marketing and/or promotion activities andmaterials. All requisite consent is deemed to be given to JCDecaux inrelation to such purpose.
These general terms and conditions and all rights obligations and/ordisputes arising hereunder and/or under any other documents whichform part of the contract between the Advertiser and JCDecaux shallbe governed by and construed in accordance with the law of the HongKong SAR. All parties irrevocably agree to submit to the non-exclusivejurisdiction of the Courts of the Hong Kong SAR.
