Bylaws of the Moraine Valley Community College Annuitants Association Article 1- Name The name of this organization is the Moraine Valley Community College Annuitants Association (MVCCAA). It is a chapter of the State Universities Annuitants Association (SUAA) (illinois), and the SUAA Bylaws are adopted as a governing document for MVCCAA. The SUAA Bylaws supersede these bylaws in the case of conflicts or discrepancies. Article II - Purpose The primary purposes for which this organization exists are to promote individual and collective interests and welfare of Moraine Valley Community College employees, annuitants, spouses, and survivors and to encourage discussion with and service to the Moraine Valley Community College community. When appropriate, the association will support discussion and participation with organizations that concern themselves with public higher education issues in the State of Illinois. The association cultivates collegiality and promotes social events for members. Article ill- Membership Membership in the MVCCAA is open to Moraine Valley Community College faculty, staff, annuitants, spouses, survivors, and others who support the purposes of the association. Membership in MVCCAA requires membership in SUAA and payment of annual state and chapter dues. Article IV - Executive Board The affairs of this association shall be administered by an Executive Board of five (5) officers: President, President-elect, Secretary, Treasurer, and past president, all of whom shall serve concurrently for two years. Officers shall be elected at the annual meeting. Their terms of office shall begin at the close of the annual meeting. Vacancies on the Executive Board shall be filled for the remainder of the term by a majority vote of the remaining officers. Should an officer be sanctioned, reprimanded, or removed from office, the procedures outlined in the current edition of Robert's Rules of Order shall apply. Article V- Duties of Officers The President shall schedule meetings, prepare an agenda, and preside at all meetings. The president shall serve as the official spokesperson for the association. The President-elect shall preside at meetings when the president is unable to be present and shall act as ex-officio member of all standing and ad hoc committees except the Nominating Committee.

Article 1 - Name

The name of this organization is the Moraine Valley Community College Annuitants Association(MVCCAA). It is a chapter of the State Universities Annuitants Association (SUAA) (illinois), and theSUAA Bylaws are adopted as a governing document for MVCCAA. Article II - Purpose

The Secretary shall prepare and maintain minutes for all Executive Board and membership meetings.

The Treasurer shall maintain records for all funds received from members, make disbursements asappropriate, and submit regular reports at meetings of the association. The Treasurer works with thestate office to collect and monitor dues.

The past president shall continue as a voting member of the Executive Board for two years.

Article VI - Election of Officers

In even-numbered years, at least three months prior to the annual meeting, the Executive Board shallappoint a nominating committee. This committee shall identify candidates for Executive Board positionsto be filled and shall present the names of the nominees (who have consented) to the membership at theannual meeting. Additional nominations (with consent of the nominee) may be made from the floor atthe meeting. The election procedure shall be determined by the Executive Board and will be managed bythe chair of the Nominating Committee.

Article VII - Committees

Standing committees will include the Membership Committee and the Legislative Committee, withchairs appointed annually by the President and approved by the Executive Board.

The financial records of the association may be audited by a special committee of the membership andreported at the annual meeting.

The President, with agreement of the Executive Board, may form ad hoc committees as needed andappropriate to support the work of the association. Appointments to ad hoc committees and chairpositions shall be made by the President.

Article VIll - Dues

Annual dues include dues to SUAA and to MVCCAA. The amount ofSUAA dues is determined by thestate association. The amount of chapter dues shall be recommended by the President and approved bythe Executive Board.

Members may pay dues by check, credit card, or other available means to SUAA. Annuitant membersmay also arrange for dues deduction from their monthly pensions.

Article IX - Meetings of the Association

The President shall schedule an annual membership meeting, usually in the fall. The agenda shallinclude the President's report, the Treasurer's report, reports from committees of the association, andother topics of interest. Officers shall be elected at an annual meeting. The annual meeting may alsoinclude guest speakers from the college or other organizations.

The President shall schedule regular membership meetings as needed. Notice of a regular meeting shallbe given at least 21 days in advance of the meeting. The agenda shall include the President's report, the

Treasurer's report, reports from committees of the association, and other topics as needed. A regularmeeting may include guest speakers from the college or other organizations.

Committee meetings shall be scheduled by the chairperson.

The Executive Board shall meet regularly, as needed.

A quorum shall consist of a majority of those members in attendance for Executive Board andcommittee meetings.

Votes taken at the annual or regular membership meeting shall be decided by a simple majority ofmembers in attendance.

Article X - Communications

Most communication from the association to members shall be bye-mail or other available electronicmeans. Information shall also be posted to the association Web site at http://mvccaa.morainevalley.eduJ

Article XJ- Amendments

Amendments to these bylaws may be proposed by the President, the Executive Board or by petitionsigned by no fewer than ten (10) members of the association. Such amendments will be presented foradoption no sooner than the next membership meeting. Amendments must be approved by two-thirds(2/3) of the membership present and voting.
