December 20, 2016 Metro Group Demerger: Capital Markets Day 2016 1) Metro Group will demerge into two companies in mid-2017: Metro, a food retailer and wholesaler, and Ceconomy, a consumer electronics retailer that operates mainly under the Media Markt and Saturn banners. 2) Presentations from the wholesale and food retail division emphasized that Metro is predominantly a wholesaler; that Metro Cash & Carry stores are being tailored to different demands; and that its retail stores are being made more inspirational places to shop. 3) Presentations from the electronics division noted Ceconomy’s scale; the dynamism of the European consumer electronics market; how Ceconomy has been transformed in recent years; and opportunities for growth. METRO GROUP SET TO DEMERGE On December 15, Germany’s Metro Group unveiled its post-demerger plans, at its Capital Markets Day in Düsseldorf. In mid-2017, the company will split into the following: Metro: Currently the Wholesale and Food Specialist Company (WFS), which consists of Metro Cash & Carry and Real hypermarkets. Ceconomy: The consumer electronics company, which consists largely of Media Saturn. Separation will be on a 1:1 basis, with each Metro Group shareholder receiving one share in each of Metro and Ceconomy. In the following sections, we outline key takeaways from the Capital Markets Day. METRO: FOOD RETAIL AND WHOLESALE Here are our top three themes from Metro Group’s presentation on its WFS division: 1) WFS is Predominantly a Wholesale Company Some 80% of WFS revenues and a greater share of profits come from wholesaling. shares.MetroGrouphastraditionallysufferedfroma“conglomeratediscount”tothesumofitsparts,anditsWFSgetslinkedtoafood-retailvaluationmultiplebyanalysts,Kochsaid.Thereisa“significantdifference”inmultiplesforwholesalers,soMetroGroup’svaluationstandstogainfrombeingviewedasawholesalefirm.

2) WholesaleOpportunitiesareDifferentbyMarketMetroCash&Carryisrecognizingthatitswholesalecustomertypesdifferbymarket,andismovingfromuniformstoresfollowingcentralizedtemplatesandguidancetomoretailored,focusedstores.Theaimofthisistodrivecomparable-salesgrowththroughrelevancy.

Inimplementingthis,thecompanyisfocusingontwotargetgroups:hotel,restaurantsandcafés(HoReCa),andneighborhoodretailstores(“momandpop”stores).

HoReCaoffersveryattractivemargins,thecompanysaid,whilelower-marginretailcustomerswillremainanimportantelementofthewiderretailsectorand,inEasternEuropeinparticular,areasignificanttargetmarket.Smallcompaniesingeneral,suchasofficesandinstitutions,compriseathirdtargetsegment,buttheyarenotakeytarget,andMetrowillnotadjustitsofferingtocaterparticularlytothesecustomers.

Metroisformattingitsstorestocatertothedominantcustomergroupineachmarket:inItaly,forinstance,HoReCacustomersareatthecenterofMetro’soffering,whileinRomania,smallretailcustomersareitsprincipalcustomers.Differentiatingbyregionisdesignedtounderpincomparablesalesgrowth,whichisthecentralplankofMetro’sgrowthstrategy.

AttheWFSgrouplevel,thecompanyistargetingtotalsalesgrowthof3%ormoreinthemediumterm.Marginresilienceandimprovedcashgenerationarefurtherfinancialprioritiesforthegroup.

3) WideChoiceisNotSufficienttoSatisfyRetailCustomers“Everythingunderoneroofisnotenough,”declaredKoch;forgroceryshoppersatthecompany’sretailhypermarkets,theshoppingexperienceneedstobe“inspirational.”Tothisend,ReallaunchedanewconceptformatatKrefeldinNovember2016,whichHochdescribedasa“sensation,”andthecompanyupdatedonearlytrading.Thefirstthreeweeksshowed“promisingsignsofsuccess,”withfeedback“soextreme,sopositive”thatWFShasconvictionthatthismodelisthewayforward.

WFSwillconvertselected“superior”Reallocationstothisconcept,aswellasapplying“relevantmodules”fromthemodeltothebulkofitsestate,andimplementonlyselectedelementstothetail-endofitsestate.

CECONOMY:CONSUMERELECTRONICSCeconomyisa“€22billionstartupcompany”witha“long-lastinghistory,”notedCFOMarkFrese.ThecompanyoperatesMediaMarktandSaturnstoresaswellaspure-playRedcoon.Aswediscussbelow,managementnotedthatthecompanyisthebiggestconsumerelectronicsretailerinEurope,operatesinadynamicmarket,hastransformeditsbusinessinrecentyearsandhasopportunitiestogrowfurther.

• Shapingup:Thecompanyhasfocusedoncorebanners,cuttingtheRedcoonandSaturnnameinsomemarketstofocusonthecoreMediaMarktbanner.Ithasalsoconstantlyinvestedinupgradingandremodelingitsstores.

• Slimmingdown:Ithas“cleanedup”itsstoreportfolio,exitinganumberofmarketssuchasFranceandChina,makingsomestoreclosuresand“rightsizing”someotherstorestoreducesalesarea.
