OFFICIALLY LICENSED PRODUCT

PAYMENT TERMS (U.S. DEALERS): On approved credit, Buyer shall pay Lodis Accessories, Inc. (Lodis) for all goods shipped to Buyer within thirty (30) days of shipment. In the absence of approved credit, all goods shall be paid in cash, company check or major credit cards in advance prior to shipment unless the Buyer and Lodis expressly agree otherwise in writing. All references to money amounts herein, unless otherwise specified, shall be in United States currency. Invoice payments past due shall bear interest on the daily balance at a rate of one and one-half percent (1 1/2%) per month (18% APR) on all past due items. Remit payments to Lodis Accessories, Inc. at 20382 Hermana Circle, Lake Forest, CA 92630. Please include your Customer ID on the check. A charge of $25 will apply to all returned checks.

FREIGHT TERMS: F.O.B. Lodis Accessories, Inc. (Shipping Point).Please Note: You may request to be contacted when your shipment is ready for final credit card or COD authorization. Freight charges will not be available at the time of authorization. Please make advance notification requests in writing when your initial order is placed.

TITLE: Title passes to buyer at our dock. Lodis’ responsibility is limited to proof of delivery to carrier.

BACK ORDERS: Unless notified otherwise, Lodis reserves the right to back order and/or split ship on a purchase order if necessary.

INITIAL ORDER MINIMUM: A $300 opening order is required to be set up as a new Lodis account.

RE-ORDER MINIMUM: The minimum re-order amount is $100 or 3 units (whichever is less).

SHIPMENT REFUSALS: We will charge a 20% re-stocking fee for all refused shipments.

SHIPMENT DISCREPANCIES OR DAMAGES: All claims for shortages, shipping discrepancies (style/color/size/overages, etc…) and/or damages must be receive in writing within 5 working days of order receipt or remittance invoice(s). Lodis will issue credit only when claims are accompanied and supported by documentation that verifies such claims. Email [email protected] or fax us at 949.900.5943 to process your claim. Please provide us with the order details along with your Customer ID.

RETURNS: Returns cannot be made without the written consent of Lodis. All return requests on defective product are processed through our Customer Service Department. Phone Customer Service at 888.900.5536 or email [email protected] to request a return authorization (RA) form. An RA Number will be issued if the return is warranted, along with a FedEx ship label (if applicable.) Please do not issue store credit without giving Lodis the opportunity to inspect and potentially repair the product. You must ship the product back to Lodis within 5 working days of receiving the RA or the shipping label will expire. We will initially attempt to repair product and if we cannot, the item will be replaced or credited. Product returned without a valid RA Label will be refused and returned at the Buyer’s expense.

Please note: Lodis will not participate in the practice of accepting chargebacks for Handling, Administrative Fees, Service Fees or Penalties for PO Violations or Shipping Errors.

WARRANTY: We warrant that our products are free from material and sewing defects for up to 6 months from customer purchase date. We will not cover product that has been submerged in water, worn out, or abused either by misuse or extreme element exposure.

CANCELLATIONS: Order cancellations will be at the discretion of Lodis. Any goods in transit at time of receipt of cancellation notice must be accepted by Buyer. We require at least a two-week shipping window based on start ship and stop ship dates. We do not recognize “Received by” or “In House By dates.”

UNAUTHORIZED USE: The use of any Lodis licensed product (Harley-Davidson Motor Company) trademarks, names and/or logos are prohibited without Harley-Davidson Motor Company’s written consent. Harley-Davidson licensed products can be placed in authorized dealership locations only. Buyer acknowledges and agrees that the trade practices commonly known as “diverting”, “transshipping” or “parallel import/export” are prohibited by the terms of this agreement. Under no circumstances will Buyer sell products through online auction websites or otherwise through the internet, except as specifically authorized in writing by Lodis.

IN NO EVENT IS LODIS RESPONSIBILE OR LIABILE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCURRED BY BUYER HOWEVER ARISING. EXCEPT AS HEREIN SPECIFICALLY PROVIDED, LODIS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR PURPOSE, OR OTHERWISE. LODIS’ LIABILITY FOR BREACH OF ANY WARRANTY OR CONTRACT IS LIMITED SOLELY TO REFUND OF THE PURCHASE PRICE OR REPLACEMENT, AT LODIS’ OPTION.

ANY VARIANCE OF THE ABOVE POLICIES MAY RESULT IN AN INTERRUPTION OF SHIPMENTS AND MAY LEAD TO THE TERMINATION OF OUR BUSINESS RELATIONSHIP. ALL SALES ARE SUBJECT TO THE TERMS AND CONDITIONS OF LODIS ACCESSORIES, INC. THIS AGREEMENT SHALL BE DEEMED TO HAVE BEEN MADE UNDER AND CONSTRUED AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA.
