Digital Advertising Terms & ConditionsThis Digital Advertising Agreement (“Agreement”) is effective as of the ______ day of _________________________, 20____by and between Rocklin Unified School District/Rocklin High School (“RHS”) and _______________________ _____________________________(“Customer”) and will expire as of the ______ day of __________________,20____.

1) DIGITAL ADVERTISING (DIGITAL AD) During the Term of this Agreement, RHS will display the Customer digital ad on the Scoreboard Display during each designated “Day’s Available Rotation” and each digital ad shall have a duration equal to or no less than ten (10) seconds. Each “Day’s Available Rotation” shall mean any time during the applicable RHS event as listed below:

• Five (5) RHS Home Football Games – Varsity/JV/Freshman• RHS Home Soccer Games – Varsity/JV/Freshman• Saturday Rocklin Youth Football Home Games• RHS Track Games • Special Events when appropriate

2) DIGITAL ART - SPECIFICATIONSCustomer shall provide the digital ad artwork no later than 10 days prior to the first advertising event.

FILE FORMAT• JPG, BMP or GIF for still image content at 100% quality;

Use RGB color, not CMYK (required)• Resolution: 72 dpi is adequate. Because message centers

have a fixed pixel spread, dpi is technically irrelevant.• Physical size of artwork is also a non-factor. Focus on the

actual pixel dimensions (height and width) of the artwork.

KEEP IT SIMPLEThe first step to creating effective messages with your electronic sign is to keep the wording short and succinct.

• Avoid spelling out complete sentences. Don’t use eight words when four will do.

• Stick with shorter, simple words to maximize quick com-prehension.

• A single message idea will read quicker and more easily than trying to combine multiple offers.

KEEP IT BIG If your text is too small, it will be too hard to read. Your audience is then likely to disregard your messages entirely. Although capable of much smaller, a 12” character (as a minimum) is recommended.

KEEP IT CLEAN Avoid using thin fonts as well as most script fonts. The strokes of each character are simply too thin to maintain legibility over long distances. Use thick, heavy fonts to maximize readability. The bold option is an excellent way to add weight to your wording.

KEEP IT COLORFUL High color contrast is a key ingredient. Just like using large text, the right color combination can make your message readable from a much longer distance. Additionally, dark backgrounds are best at enhancing contrast.

Should any customer desire assistance in creating an ad for the scoreboard, RHS has made arrangements with Bouchard Communications Group (916-783-6161 or [email protected]) to design an ad at a cost of $150. The initial ad prepared shall be paid for by the Customer in accordance with RHS’s then current rates and the design cost ($150) of the ad shall be paid at the time of execution of this Agreement.

RHS may reject the Advertising material if it is not submitted in accordance with specifications. Customer may replace their initial “ad” (text, graphics, artwork, and all other advertising, hereinafter (“ad”) with a new ad if received by RHS at least 7–10 business prior to advertisement run date. RHS shall not be responsible for any errors submitted by the Customer or for any material that is not properly displayed or that cannot be accessed or viewed because the material was not received in the proper form, in a timely manner, or in an acceptable technical quality for display.

3) CANCELLATION IN EVENT OF CHANGED LAW OR CONDITIONDistrict and Advertiser reserve the right to cancel this agreement in the event that the sale or advertising of any of the products or services to be advertised is restricted or prohibited by any form of federal, state, or local governmental action.

Truth in Advertising and Indemnification I. Advertiser is solely responsible for any legal liability arising out of or relating to the Advertisement, and/or any material to which users can link through the Advertisement

II. Advertiser represents and warrants that it holds the necessary right to permit the use of the Advertisement and the District for the purpose of this Agreement; and that the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, music, im age, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy

rights of celebrity, violation of any anti-discrimination law or regulation, or any other right of any person or entity.

III. Advertiser agrees to indemnify District and hold District harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by District, arising out of or related to Advertiser’s breach of any of the foregoing representations and warranties.

Right to Refuse Unacceptable AdvertisingI. District reserves the right to refuse any advertisement that does not completely conform to every detail, instruction, method, and guideline set forth in this agreement.

II. District does not accept advertising from companies that produce or provide tobacco or alcohol or pornographic products or services or their subsidiaries, or foundations funded by such companies whose goal is to improve acceptance of such products by the public, or any other organization or company producing products or services deemed by District to be harmful to the image and reputation of the District.

III. This Agreement is voidable by District immediately if Advertiser fails to disclose, conceals or misrepresents, any involvement with products or services defined above.

IV. In addition, District may in its complete discretion refuse the use of any other advertising that it deems to be inappropriate.

1. Entire Agreement. This Agreement contains the entire agreement between the parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto. 2. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of California. Exclusive jurisdiction and venue shall be in California. 3. Binding Effect. This Agreement shall be binding upon and inure to the benefit of both parties and their respective successors and assigns, provided that neither party assigns any of their obligations under this Agreement without the other’s prior written consent. 4. Waiver. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agree-ment at any time shall not in any way affect, limit, or waiver such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement. 5. In the event any party to this Agreement employs an attorney to enforce any of the terms of the Agreement, the prevailing party shall be entitled to recover its actual attorney’s fees and costs, including expert wit-ness fees.

4. LOSS OF DISPLAY OR INTERRUPTION OF SERVICEIn the event the RHS scoreboard LED monitor malfunctions due to power outages or any other unforeseencircumstance that creates downtime, RHS is not responsible, for any reason, for loss of advertising time. However, RHS will make good on the advertising during future events whenever possible.

IN WITNESS WHEREOF, THE PARTIES HAVE EXECUTED THIS AGREEMENT EFFECTIVE AS OF THE DATE SET FORTH IN THIS AGREEMENT AND AGREE TO THE TERMS AND CONDITIONS.

This Agreement contains the entire agreement between the parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. Each year we set up a scholarship fund that is awarded to a student athlete selected by the Leimbach Family.
