1. Your Chairman’s Club 2013 & 2014 will be based upon the total of your personal paid annualized target Life sales and Annuity sales(traditional fixed and fixed indexed annuities only) from 7/1/12 – 6/30/2014. Each individual producer must meet the qualification requirements, regardless of date contracted, set forth in Section 2. A minimum of six (6) qualifying policies for NYC and twelve (12) for Australia must be sold to be eligible.

3. The term “individual producer” refers to any person appointed as an agent of Life Insurance Company of the Southwest (LSW), except those specifically excluded below: a) agents contracted through NLFA or ValuTeachers; b) agents contracted through Organizations who have opted out, with prior written permission, from participating in the Chairman’s Club; or c) any other agent/organization determined at a future date to be ineligible.

4. Excluded LSW Products/Sales Limitations a. All variable products. b. Life premium in excess of Target. c. Unallocated group annuities. d. Sales from SureRate 2 and RetireMax Secure products. e. Annuity sales in excess of $500,000 on a single life or

5. Chairman’s Club 2013 & 2014 Credit is awarded to the agent(s) whose signature and number(s) are shown on the application. We reserve the right to adjust Chairman’s Club 2013 & 2014 Credits for case size, family or controlled business, or for any other unusual circumstances.

6. Producers with life insurance persistency at December 31, 2012 or 2013 of less than 65% may not receive any credit for life insurance sales generated during those respective calendar years. Persistency is measured using the 24 month persistency measure.

7. Chairman’s Club Credits will be applied pro-rata to any adjustments to commissionable premium or commission rates.

8. Chairman’s Club Credits are awarded in the year in which the policy is paid. No credits are given for sales that are “Not Taken.” A deduction of credits may occur in the current or subsequent year if the premium on which an award is based is not collected, is refunded for any reason, and/or the commission on a policy is wholly or partially charged back. The Company will use its records to determine qualifications and make all judgments regarding applicable business.

9. There is no cash alternative or substitution in lieu of the Chairman’s Club.

10. If you hold a Securities license, you will need to consult with your Broker-Dealer to see if you are eligible for invitation to the Chairman’s Club, based on your LSW annuity life sales.

11. You must be a producer actively writing with LSW eligible to participate, and in good standing to receive an invitation. NLGroup reserves the right to determine eligibility based on company records, and attendance is by invitation only.

12. Awards are taxable according to IRS Rules and a 1099 will be issued, to the extent applicable.

13. Only Single Sum Annuity payments made between July 1, 2012 and June 30, 2014 which are made prior to the policy’s 5th anniversary will count toward Chairman’s Club validation.

New Contract First Time Qualification Requirements: 60,000 Conference of Champions Credits

1. Conference of Champions (“COC”) Credits are based upon the total of your qualifying life and annuity sales from 1/1/12 – 12/31/12. Each individual producer must meet the above qualification requirements, regardless of date contracted, applying the Product Weightings in Section 2 below. A minimum of six (6) qualifying policies is required to be eligible.

Single qualifier qualification participation is available to agents who are initially contracted in the 2012 calendar year, reach the required 60,000 COC Credits and have a minimum of five (5) qualifying policies. Qualifier can pay to bring a guest (air, guest fees, etc.).

h. COC Credit of .06 is awarded for each dollar of net annuity premium increase (on any salary reduction/deduction and monthly bank draft) after the first policy year. Writing agent is responsible for tracking increases and submitting same for possible credit.

5. Conference of Champions Credit is awarded to the agent(s) whose signature(s) and number(s) are shown on the application. We reserve the right to adjust Conference of Champions Credits for case size, family or controlled business, or for any other unusual circumstances.

6. Producers with persistency of less than 65% on life insurance sales may not be eligible to receive an invitation. The persistency minimum does not apply to producers that have less than 10 cases or $10,000 of issued premium between October 1, 2009, through September 30, 2010. Persistency is measured using the 24–month persistency measurement. Production credit for each policy will be given to the agent whose signature and number are shown on the application.

7. Conference of Champions Credits will be applied pro-rata to any adjustments to commissionable premium or commission rates.

13. Awards are taxable according to IRS Rules and a 1099 will be issued, to the extent applicable. If a Producer attends all business meetings held during the Conference of Champions, any 1099 issued will be for costs associated with their guest at same.

2010 Conference of Champions Qualification Requirements for Individual Producers

1. The Qualification Period is January 1, 2010 through December 31, 2010. Only individual producers are eligible. Production Credits required for qualification are 1,500,000. Each individual producer must meet the stated production requirements, regardless of date contracted.

2. The term “individual producer” refers to any person licensed as an agent of Life Insurance Company of the Southwest (LSW) or National Life Insurance Company (National Life) except for those specifically excluded below. The following categories of agents, sales, and/or collected premium are excluded from participating in this incentive program: a) sales by agents or agencies contracted through LaSalle National Bank, NLFA, and/or ValuTeachers or any other organization determined at a future date by us to be ineligible for participation; b) all sales on the life of an agent, such agent’s family members (to the extent the family business exceeds ¼ of the qualifying amount), or other agency members; c) sales by agents who are assigned to agencies and/or marketing organizations (“MO”) as determined by us are excluded and/or may be subject to different qualification standards; principals of an included agency or marketing organization must be contracted separately as an individual producer to be eligible for qualification under these rules; d) unallocated Group Annuity contracts; e) sales by any Non-Commissioned Agent (“NCA”) assigned to an agency and/or marketing organization which agency or MO has elected not to participate in the 2011 Conference of Champions; f ) 1/10 of SureRate 2 sales are eligible, subject to the above. NCAs may qualify for the 2011 Conference of Champions.

3. Qualifying production relates to the sales of LSW and National Life annuity and life products only, must be based on at least 6 applications and is awarded only after all Policy delivery requirements are met. Production Credits are calculated as

follows: One Production Credit is awarded for each dollar of issued and paid single annuity premium (regardless of Policy Form) with a maximum credit per life of 1,000,000. Single sum payments made to existing policies during the first five policy years will receive one dollar of production credit per premium dollar subject to above maximum. Four Production Credits are awarded for each dollar of issued and paid first-year annualized annuity premium, which premium is paid by salary reduction/deduction payments and/or monthly bank draft only subject to a maximum of 82,000 Production Credits per life. Six Production Credits are awarded for each dollar of annualized first-year, paid target life premium and term premium. One Production Credit is awarded for annualized, paid first-year life premium in excess of target premium. Life production credits are limited to 250,000 per life. One Production Credit will be awarded for each dollar of net annualized annuity premium increase (on salary reduction/deduction and monthly bank draft ) after the first Policy Year, subject to determination under Company rules and meeting Company required persistency for agent’s total book of business. Writing agent is responsible for tracking increases and submitting same for possible credit.

4. Internal Transfers will receive Production Credits based on the percentage of commissions payable on the new Policy.

5. Production Credits are awarded in the year in which the policy is issued or when a subject increase is made. No credits are given for sales that are “Not Taken.” A deduction of credits may occur in the current or subsequent year if the premium on which an award is based is not collected, is refunded for any reason, and/or the commission on a policy is wholly or partially charged back. The Company will use its records to determine qualifications and make all judgments regarding applicable business.

6. No cash or alternate awards will be awarded or paid in lieu of the awards shown herein.

7. If you hold a Securities license, you will need to consult with your Broker-Dealer to see if you are eligible for non-cash compensation incentives based on your LSW and National Life annuity and life sales.

8. The Company reserves the right to determine eligibility and attendance is by invitation only. Only the qualifying producer and spouse may attend. If a qualifier has no spouse, adult guests over the age of 21 will be considered for invitation. The Conference of Champions is designed for adults and, as such, children are not allowed. Attendees must be currently appointed and contracted with LSW or National Life at the time of the Conference of Champions to be eligible for invitation.

LSW’s 2010 Conference of Champions Qualifi cation Requirements for Individual Producers

1. % e 'uali! cation Period is January 1, 2009 through December 31, 2009. Only individual producers areeligible. Production Credits required for quali! cationare 2,000,000. Each individual producer must meetthe stated production requirements, regardless of datecontracted.

2. % e term “individual producer” refers to any person licensed as an agent of LSW except for those speci! cally excluded below. % e following categories of agents, sales, and/or collected premium are excludedfrom participating in this incentive program: a) sales by agents or agencies contracted through LaSalle National Bank, National Life Insurance Company, NLFA, IFA and/or ValuTeachers or any other organization determined at a future date by LSW to be ineligible for participation; b) all sales on the life of an agent, such agent’s family members (to the extent the family business exceeds ( of the qualifying amount), or other agency members; c) sales by agents who are assigned to agencies and/or marketing organizations (“MO”)as determined by LSW are excluded and/or may be subject to di& erent quali! cation standards; principals of an included agency or marketing organization must be contracted separately as an individual producerto be eligible for quali! cation under these rules; d)unallocated Group Annuity contracts; e) sales by any Non-Commissioned Agent (“NCA”) assigned to an agency and/or marketing organization which agency or MO has elected not to participate in the 2010 Conference of Champions; f ) 1/10 of SureRate 2 salesare eligible, subject to the above. NCAs may qualify forthe 2010 Conference of Champions.

3. 'ualifying production relates to the sales of LSW annuity and life products only, must be based on atleast 6 applications and is awarded only a" er all Policy delivery requirements are met. Production Creditsare calculated as follows: One Production Credit

is awarded for each dollar of issued and paid singleannuity premium (regardless of Policy Form) witha maximum credit per life of 1,000,000. Single sumpayments made to existing policies during the ! rst ! ve policy years will receive one dollar of production credit per premium dollar subject to above maximum.Four Production Credits are awarded for each dollar of issued and paid ! rst-year annualized annuity premium, which premium is paid by salary reduction/deductionpayments and/or monthly bank dra" only subject to a maximum of 82,000 Production Credits per life.Six Production Credits are awarded for each dollarof annualized ! rst-year, paid target life premium andterm premium. One Production Credit is awarded forannualized, paid ! rst-year life premium in excess of target premium. Life production credits are limited to 250,000 per life. One Production Credit will beawarded for each dollar of net annualized annuity premium increase (on salary reduction/deduction and monthly bank dra" ) a" er the ! rst Policy Year, subjectto determination under Company rules and meeting Company required persistency for agent’s total book of business. Writing agent is responsible for tracking increases and submitting same for possible credit.

4. Internal Transfers will receive Production Credits based on the percentage of commissions payable on the new Policy.

5. Production Credits are awarded in the year in whichthe policy is issued or when a subject increase is made.No credits are given for sales that are “Not Taken.”A deduction of credits may occur in the current or subsequent year if the premium on which an award is based is not collected, is refunded for any reason, and/or the commission on a policy is wholly or partially charged back. LSW will use its records to determinequali! cations and make all judgments regarding applicable business.

6. No cash or alternate awards will be awarded or paid in lieu of the awards shown herein.

7. If you hold a Securities license, you will need to consultwith your Broker-Dealer to see if you are eligible fornon-cash compensation incentives based on your LSW annuity and life sales.

8. LSW reserves the right to determine eligibility and attendance is by invitation only. Only the qualifying producer and spouse may attend. If a quali! er has no spouse, adult guests over the age of 21 will be considered for invitation. % e LSW Conferenceof Champions is designed for adults and, as such, children are not allowed. Attendees must be currently appointed and contracted with LSW at the time of the Conference of Champions to be eligible for invitation.
