Comm. DeYoung called the January 15, 2019 Regular Public Meeting of the Board of Commissioners of King County Public Hospital District No. 2 to order at 5:00 p.m. and announced that the Board would immediately adjourn into Executive Session to consider and discuss medical staff privileges, personnel, litigation and quality matters. Comm. DeYoung further announced that the Executive Session would adjourn at approximately 6:30 p.m. and that the open Public Meeting would resume at approximately 6:35 p.m.

The Executive Session commenced at 5:01 p.m. The Executive Session was concluded at 6:30 p.m., at which time a short recess was taken.

Comm. De Young reconvened the Public Meeting, calling it to order at 6:36 p.m. and welcoming those present.

There were no changes to the agenda.

Jeff Friedman, Sr. Vice-President, Hospital and Medical Group Operations, introduced Diane Vondruska, the newly-hired Construction Project Manager and former Community Advisor.

Election of Board Officers

PRESENTATION

2018 Employee Engagement Survey

Comm. DeYoung asked Dr. Beiter to conduct the Election of Board Officers for 2019.

Chair:

Dr. Beiter called for nominations to the office of Board Chair. Comm. Butler nominated Comm. DeYoung to continue in the office of Board Chair. Comm. Pilcher seconded the nomination. Comm. DeYoung stated he was willing to continue serving as Chair. No other nominations were made. Dr. Beiter closed the floor for nominations and called for the vote for the office of Board Chair for 2019.

Comm. DeYoung was unanimously re-elected to the office of Board Chair. Comm. DeYoung stated that this is the best qualified Board that he's had the pleasure of serving with at EvergreenHealth - the commissioners are very knowledgeable and very willing to ask questions. The six commissioners serving beside him are very, very qualified.

Secretary:

Dr. Beiter then called for nominations for the office of Board Secretary. Comm. DeYoung nominated Comm. Butler. Comm. Hirt seconded the motion. Hearing no other nominations, Dr. Beiter closed the floor for nominations and called for the vote for the office of Board Secretary for 2019.

Comm. Butler was unanimously re-elected to the office of Board Secretary. Comm. Butler stated that 2018 was a learning year for her and she looks forward to a great 2019.

Oath of Office:

Mr. Fitzgerald administered the Oath of Office to Commissioners DeYoung and Butler and they assumed their duties in the capacities of Chair and Secretary, respectively.

Bob Sampson, Sr. Vice-President, Human Resources and Jessika Groce, Director, Employee and Labor Relations, presented the 2018 Employee Survey results, which included: 2014-2018 Survey Comparison Data; Overall Engagement; Physician

Mr. Sampson thanked Ms. Taylor for her assistance with analyzing the data.

Comm. Butler made a motion to approve the Consent Agenda.

Comm. Butler made a motion to approve Designated Legal Counsel as amended.

Comm. Pilcher made a motion to adopt Resolution 895-19:

A RESOLUTION ("Resolution 11) of the Board of

Commissioners of King County Public Hospital District No. 2. King County. Washington (the "District"), specifying and adopting a plan for constructing and equipping new health care facilities and renovating and equipping existing health care facilities: declaring the estimated costs of such plan: providing for the submission to the voters of the District at a special election to be held therein on April 23, 2019, of a proposition authorizing the incurring of general indebtedness in the sum of not to exceed $345.000.000 for capital purposes only, . which shall not include the replacement of equipment. and authorizing the issuance of general obligation bonds evidencing such indebtedness, the principal of and interest thereon to be payable from annual property tax levies to be made in excess of regular property tax levies.

Comm. Hirt made a motion to accept the MEC recommendation for New Appointments, Reappointments, Status Changes, and Privileges pertaining to the EvergreenHealth Medical Center Medical Staff and AHPs in Exhibit D, and Delineation of Privileges.

Comm. Butler seconded the motion.


Ms. Mycroft presented the year-end vendor report for 2018 and answered questions from the Board.

Ms. Burton presented the rolling agenda for the months of February March and April, noting the Community Advisor Retreat will be held on January 23rd at 4:30 p.m.

Following the presentation, nominees for the Annual Community Service Award were discussed. The Board consensus was to honor the Lake Washington Institute of Technology with the 2018 Community Service Award on February 19 at the Regular Board meeting and asked Ms. Burton to make the appropriate arrangements.

Jim O'Callaghan, Medical Staff President, had no additional report at this time.


Administrative Update Amy Beiter, MD, CEO, gave notice of and reported on the following:

• The first neuro-interventional case in the bi-plane room was performed on December 27, 2018.

• Dr. Chris Boone completed the first joint replacement case using our new Navio Surgical System. Three additional cases have been completed this year.

• The Healthline's workflow redesign closes the loop for physician referrals ensuring the requested care of the patient is scheduled.

• An open house for the new Cancer Center at EHM is scheduled for January 17, 5:30-7:30 p.m.

• A new secure text messaging system is scheduled to go live in February.

• EvergreenHealth's Home Health is the only agency, in King County, to receive four stars from CMS for both quality and patient satisfaction.

• Nationally, CMS monitors Certral Line Blood Stream ·Infections ("CLABSI") and EvergreenHealth is to be congratulated for their outstanding results: No infections in the CCU for the past two years, no infections in the NICU for the past 8 years, no infections in the non-CCU units, resulting in no CLABSl's in the entire hospital for 2018.

• 2019 Employee Recognition events have been scheduled . • Dr. Beiter recognized Mr. Martin and the IT Team for the

impressive list of accomplishments for the last 30 days.

Commissioner Reports Comm. Snyder thanked Ms. Burton for her support and assistance in making sure the Board has accurate and up-to-date information. He also thanked Mr. Fitzgerald, noting that tonight is his last meeting due to his retirement later this week. Comm. Snyder expressed appreciation to Mr. Fitzgerald for sharing with the Board and others his many years of experience and for all of the knowledge he has imparted. Comm. Snyder also appreciated Mr. Fitzgerald's straightforwardness in expressing his opinions, and congratulated him on his retirement.

Comm. Banks commented that he recently met an employee working in IT and was appreciative of the comments shared. He also thanked Mr. Fitzgerald, stating he will be missed.

Comm. McLaughlin echoed the other commissioners with regard to Mr. Fitzgerald, ,hanking him for the orientation provided to him when he joined the Board, and for his work on behalf of EvergreenHealth and helping him personally.


Commissioner Reports, Comm. Pilcher stated simply, 'Tm going to miss Jim." cont.

Comm. Hirt thanked Mr. Fitzgerald for everything he's done for EvergreenHealth, for his commitment and service to the community, and for his clear and straight-forward advice.

Comm. Butler was very impressed with the transition of the space for the bi-plane equipment from a big, dusty room in August to a fully functioning bi-plane room in December. She is looking forward to longer-term strategic planning in 2019, the addition of a COO, and arrival of a new CNO.

Comm. DeYoung thanked the staff that attends the Board meeting and does the work. He noted it's a lot of hard work and it makes us a safer hospital.

The January 15, 2019 Meeting of the Board of Commissioners for King County Public Hospital District No. 2 was adjourned at 7:44 p.m.
