Well folks, summer is in full swing, and hopefully you’re beginning to dry out from all the rain we’ve had in April and May. I’m sure we’ll be very appreciative of the saturation received by August when we’re battling the heat again. Once again, our annual fishing and golf tournaments were both well attended and a huge success. Thank you to our committee leaders and chairs for their tireless efforts to make everything seamless and enjoyable for everyone. I know we dodged a bullet on the weather for the golf tournament, something we always deal with in May, and it could not have turned out better for everyone attending. I can’t stress enough how important it is to take full advantage of your membership by attending these events and getting to know your fellow members, it’s truly one of the many advantages we have as members to keep our existing relationships with business

Q: Assume a typical life tenant/remaindermen ownership of minerals. The life tenant and the remainderman are named in a pooling proceeding with options of a) 1/8, b) 3/16, and c) 1/5. If the life tenant elects 3/16 and the remainder-man elects 1/5, does the operator amend the revenue decimal to 1/5 at the death of the life tenant? Alternatively, if the life tenant elects 3/16 and the remaindermen fails to elect, can the operator amend the division of interest to the default 1/8 when the life tenancy terminates through death? The primary question is whether the remainderman is bound by the election by the life tenant. – B.M.

A: When a life tenant and a remaindermen jointly allow for oil and gas development to take place, they are free to agree to divide the proceeds of the lease as they see fit. However, in this situation where the parties have been statutorily pooled, it appears that they haven’t agreed to a common royalty.

Unfortunately, there is very little guidance and no case law on the prop-er answer. However, there are some things we do know, so the author can hazard an educated, but unproven, guess.

The initial question is who is to be paid for the pooling bonus.

In a conventional life estate, under common law, the bonus was treated as income rather than corpus. Therefore, it was to be paid to the life tenant. Frank-lin v. Margay Oil Corp. (Okla. 1944).

However, Oklahoma has adopted the Uniform Principal and Income Act. Section 4.11 of the Act (60 O.S. §175.411) recites how a party is to allocate re-

Q: I examined an Oil and Gas Lease dated July 1, 1984, covering tracts in Sections 1, 2, 3, 4, 5 and 6. I have also examined copies of Oklahoma Corporation Commission Completion Reports (Form 1002) for the Smith 1-1 Well drilled in the SE/4 and the Smith No. 2 Well located in the NE/4 of Section 1.

During the primary term of the lease, two wells were drilled on the lands in Section 1. The first well, which is denoted as the Smith 1-1 Well, was commenced on October 13, 1984 and drilled in the S/2 SE/4 (which is not part of the leased tract). The Smith 1-1 was completed in a formation, which was established as a 160-acre drilling and spacing unit for the SE/4.

A second well, denoted as the Smith No. 2 Well, was drilled in the NE/4 of Section 1 (part of the leased tract) on April 24, 1986, and completed in the Hartshorne formation. The Hartshorne formation has not been established as a drilling and spacing unit for the NE/4 of Section 1.

Does the drilling of the Smith 1-1 Well in a drilling and spacing unit of 160-acres cause the lease to terminate outside the SE/4? What is the impact of the Smith No. 2 Well Well on the extension of the Smith 1-1 lease?

A: Title 52 O.S. 87.1(b) recites: "In case of a spacing unit of one hundred and sixty (160) acres or more, no oil and/or gas leasehold interest outside the spacing unit involved may be held by production from the spacing unit not more than ninety (90) days beyond expiration of the primary term of the lease." (This statute is frequently described as the “Statutory Pugh Clause”).

Unfortunately, there is no case law and only one law review article that construes this statute and its impact on wells drilled. The only guidance is the wording of the statute. In this situation the oil and gas lease would not have been extended solely by virtue of production from the spacing unit and the well drilled in the SE/4, but the lease was

ceipts from an interest in oil and gas. Under this Act, if the bonus amount is less than $1,000.00, it is allocated to income. If $1,000.00 or more is paid, it is allocated to 15% to principal or corpus, and 85% to income. Producing royalties are to be paid the same way.

The income (85%) is paid to the life tenant. The principal or corpus (15%) is in-vested and any interest accruing on the invested money is paid from time to time to the life tenant. Upon the life tenant’s death, the principal is distributed to the remainderman. Therefore, under the statute, assuming it is more than $1,000, as the bonus is divided such that 85% is income, and 15% is principal, an argument could be made that in the event of a pooling, 85% of the pooling bonus is to be paid to the life tenant and the other 15% goes to the principal/corpus to be invested.

The same can be argued as it relates to production royalties. As the statute provides for this formula to be applied to production royalties, then I think an argument could be made that the royalty to be paid is a blend of 85% of the royalty elected by the life tenant and 15% of the royalty elected by the remainderman. However, as stated above, we are not certain and there are no reported cases on this issue.

There is a certain amount of logic to use this formula. For example, if the operator pays $2,000.00 for a bonus for a 1/8 royalty, as opposed to a $500.00 bonus for a 1/5 royalty, then it would be inequitable for the applicant/operator to pay a higher royalty upon the death of the life tenant when they paid for 100% of the interest at the bonus amount attributable to a 1/8 royalty. In other words, it would not be fair if the applicant paid for the bonus at $2,000.00 (1/8), and then was forced to also pay the 1/5 royalty at some point. In a contrary situation, it would not be equitable to the royalty owner to receive $500 an acre for a pooling bonus for a 1/5 royalty, and then have the total NRI be lessened at the death of the life tenant.

Therefore, it would appear that the royalty would (should) be a blending of the life tenant’s elected royalty (85%) and the remainderman’s elected royalty (15%).

In this situation, the examiner should require that the parties agree to this division, or require a declaratory judgment as to the proper method of paying the royalties. Note: If you have any title questions you want answered, email your questions to [email protected].

The contract peaked at $54.84 and bottomed out at $53.05.Brent crude oil for August delivery posted a steeper decline during the early week

session. The benchmark ended the day at $62.29, reflecting a $1 loss.As Bloomberg reported earlier Monday, oil futures had been on the rise. Factors such as slower U.S. drilling activity and reports that Saudi Arabia and Russia had pledged to continue trying to stabilize the oil market through the OPEC+ alliance contributed to the uptick, the news service stated. Moreover, another Bloomberg article posted to Rigzone indicates that oil market expectations for 2020 appear to be increasingly bearish.Tracking crude oil, reformulated gasoline (RBOB) also edged downward Monday. The July RBOB contract price shed nearly one cent to settle at $1.73 per gallon.

Although the recent slump in crude oil prices has garnered much attention, natural gas prices have also dropped considerably in recent weeks. Tom McNulty, Houston-based managing director of Great American Group, anticipates developments in the gas market as a result.“When you have a lot of something, you need to find a way to commercialize it – fast,” said McNulty. “The U.S. is awash in natural gas, and this is great for commercial reasons and for energy security reasons.”Noting that the most recent U.S. Department of Energy gas inventory data show a week-on-week increase of 119 billion cubic feet, McNulty also observed that NYMEX Henry Hub prices are at three-year lows and are

down approximately 20 percent year-to-date.Bucking the recent trend, however, July natural gas futures added two cents Monday to settle at $2.36.“Natural gas will drive power generation, LNG exports and the petchem complex for years to come,” said McNulty. “We shall see about transportation. That might happen to some degree as well.”

OCAPL and OU Energy Management Volunteer Event at the Regional Food Bank of Oklahoma

OCAPL and OU Energy Management students partnered up for our first volunteer event of the year at The Regional Food Bank of Oklahoma on Saturday, April 27th. Volunteers performed various tasks such as sorting food donations, moving/organizing pallets and packaging various boxes of foods. The Food Bank has provided food to families since 1981, feeding over 136,000 hungry Oklahoman’s each week. In 2018, The Food Bank was able to distribute over 49.7 million pounds of food throughout 53 Oklahoma counties, and project to exceed those numbers this year. Thank you to all the members who participated!

The 34th Annual OCAPL Fishing Tournament was held on May 3rd & 4th at Lake Texoma, with another solid turnout of OCAPL members and guests. The festivities kicked off with a dinner on Friday evening where participants enjoyed good food, cold drinks, and conversation with new and old friends. Mother Nature cooperated again and the rain held off, which allowed everyone to enjoy a sunny day on the water. Clint Williams brought in an impressive bag of bass weighing close to 17 pounds to take home this year’s first place trophy, with Scottie Duvall and Matthew Lannon rounding out the top 3 of the bass division. Russ McPherson continued to add to his “wall of fishing fame” with first place finishes in the crappie and sand bass divisions. Great job gentlemen! If your company would like to join these Sponsors, please remember that there are three (3) types of SPONSORSHIP: Event Sponsor, Financial Sponsor and Team Sponsor. We encourage you to take advantage of all of them, but remember that they are separate and distinct.

Event Sponsor will get your company name on the Sponsor Banner, mention in all printed materials and allows you to distribute marketing materials at the event. We also encourage the Event Sponsors to send company reps for introduction before each flight. Please find the form attached.

Requested flight shooting times will be assigned according to the order they are received in the mail.
