Message from the President

JBCCI scheduled to hold the Elec�on of the Board of Directors and the AGM in September 2020, despite all our prepara�on we are unable to do this due to the circular issued by Ministry of Commerce direc�ng all Chambers and Associa�ons to postpone their Elec�on of the Board of Directors/Execu�ve Commi�ee and Annual General Mee�ng (AGM) un�l December 2020 due to Covid-19 situa�on. In view of this, JBCCI has no other way but to postpone the under prepara�on Elec�on of the Board of Directors for �me being. The Elec�on Board of JBCCI will issue a formal no�ce to this effect as soon as we get government approval.

Following the advent of the corona virus pandemic from end of March in Bangladesh, all our usual ac�vi�es and gathering has been stopped. However JBCCI have been doing some limited ac�vi�es like webinars even during the exis�ng Covid-19 pandemic.

One of the main objec�ves of JBCCI is to a�ract FDI from Japan. Due to the ongoing pandemic, companies will have to recoup their losses before making any plans for investment or expansion. Government support & incen�ves for those companies will play a key role in their decision to reach other markets. Already a number of countries in ASEAN & South Asia announced incen�ve packages to a�ract FDI.

I strongly believe that it is the high �me for Bangladesh government to go for regulatory reforms to improve the bo�lenecks to a�ract FDI during post COVID 19 regime. Japanese Investors are always closely watching the Bangladesh government's efforts to improve investment climates & incen�ve packages for investment. JBCCI is working closely with different stakeholders to support Government to take posi�ve ini�a�ve & ac�on plan to a�ract FDI from Japanese companies, who consider diversifying their produc�on to Bangladesh.

a) The 15th AGM of JBCCI The 15th Annual General Meeting (AGM) was held on 30th June, 2019 at Hotel Amari Dhaka which successfully ended with a dinner.

b) The EGM of JBCCI On 18.12.2019 an Extra-ordinary General Meeting (EGM) of JBCCI followed by

Networking and Welcome Lunch in honor of the new Japanese Ambassador H.E. Mr. Naoki Ito and the new Minister of the Embassy Mr. Hiroyuki Yamaya was held at Lakeshore Hotel.

5.1 The 2nd JBCCI Business Excellence Award of JBCCI followed by Dinner.

The 2nd JBCCI Business Excellence Award 2019 was held on 30th June, 2019 at Hotel Amari Dhaka which successfully ended with a dinner.

5.2 Farewell Lunch in honour of Mr. Daisuke Arai (President of JBCCI) and Mr. Takashi Shimokyoda (First Secretary, Embassy of Japan in Bangladesh).

On 10.07.2019, The Board of Directors of JBCCI hosted a humble farewell lunch in the honor of Mr. Daisuke Arai (President of JBCCI) and Mr. Takashi Shimokyoda (First Secretary, Embassy of Japan in Bangladesh) along with welcoming their SuccessorsMr. Yuji Ando and Ms. Yuko Asano at Lucknow Restaurant, Banani. This event wasattended by 15 persons.

5.3 A Discussion Meeting of JBCCI with METI Delegation from Japan. On 08.04.2019, the meeting with High Officials from "Ministry of Economy, Trade and Industry of Japan (METI)" was held at JETRO Dhaka Office and this was attended by 13 members. The Board of Directors of JBCCI discussed about various issues with them to develop bilateral trade and investment between Japan and Bangladesh. 15

5.4 A Discussion Meeting with the President of JETRO Mr. Yasushi Akahoshi.

On 08.09.2019, JBCCI had a discussion meeting with the President of JETRO Mr.

Yasushi Akahoshi at JETRO Dhaka Office, who visited Bangladesh for the first time.

During the meeting, discussion took place about the business situation in Bangladesh and what we expect from JETRO to improve the situation even more. Mr. Yuji Ando

(President, JBCCI), Mr. Md. Shariful Alam (Vice President, JBCC), Mr. Tareq Rafi Bhuiyan (Jun) (Secretary General, JBCCI), Mr. Hideaki Kojima (Treasurer, JBCCI), Mr. Salahuddin

Kasem Khan (Director, JBCCI), Mr. Abdul Haque (Past President, JBCCI), Mr. Matiur Rahman (Founder President, JBCCI), Mr. Syed Mastafizur Rahman (Managing Director,

NOVO Cargo Services Ltd.), Mr. Shariful Alam (Director, JETRO Dhaka Office), Mr.

Akhtaruzzaman (Adviser to the Board, JBCCI), Dr. AKM Moazzem Hussain (Honorary Executive Director, JBCCI) attended in this Meeting.

5.6 “Japanese Investor B2B Meetings 2019” held in Japan.

5.7 The Workshop on “JICA’s Two Step Loan (TSL) for Foreign Direct

Investment Promotion”.On 24.09.2019, The workshop on “JICA’s Two Step Loan (TSL) for Foreign Direct Investment Promotion” organized by Bangladesh Bank and collaborated by JBCCI, was

held at the Lakeshore Hotel.

From 15th-19th April, 2019, JBCCI and Haison International Ltd. jointly organized the “JAPANESE INVESTOR B2B meetings 2019 ” which was held at Tokyo, Osaka and Fukuoka in Japan. The Delegation attended several meetings there. From Bangladesh side, 18 companies participated in this Delegation and JBCCI Directors also attended there. In the B2B Meetings in Tokyo and Osaka, respectively 100 and 48 Japanese Companies participated . The Delegation Team also attended the “Bangladesh Business Seminar” in Fukuoka organized by JETRO, JICA and UNIDO to show investment oppor-tunities for Japanese people available in Bangladesh.

Mechanism (JCM) in Bangladesh”. On 15.10.2019, JBCCI collaborated a workshop on “Facilitate Matchmaking for Joint

Crediting Mechanism (JCM) in Bangladesh” which was organized jointly by Institute for

Global Environmental Strategies (IGES), Japan and Department of Environment, Ministry of Environment, Forest & Climate Change, Bangladesh. It was also supported by the

Ministry of Environment of Japan. 78 persons attended this program.

5.9 The Joint Seminar and Panel discussion on “Future of Corporate Reporting in Enhancing Investment Decisions”.

On 02.11.2019 the Joint Seminar and Panel discussion on “Future of Corporate

Reporting in Enhancing Investment Decisions” organized by IFC, World bank and JBCCI held on Nov 2nd, 2019 at Le Meridien Hotel, Dhaka. Around 95 people attended this

event.

5.10 Handing-over & Taking-over Ceremony of JBCCI SME Report as well as a Meet the Press event.

On 29.09.2019, SME Support Standing Committee of JBCCI arranged a Handing-over & Taking-over ceremony as well as a Press Conference regarding the “Recommendation of Development of SMEs in Bangladesh” for handing over to the Board of Directors of JBCCI for submission of the same to the relevant authorities of the Govt. of Bangladesh for their kind consideration in making the National Policy for the SME Development of this country.

5.11 JBCCI’s 7th Factory Visit Program. On 06.04.2019, JBCCI organized the 7th Factory Visit for its members to the “PHP Ship Breaking and Recycling Industries Ltd.” a sister concern of “PHP Group” in Shitalpur,

Shitakundo, Chittagong along with Chittagong Portand. This was participated by 10

persons.

5.12 JBCCI’s 8th Factory Visit Program. On 25.11.2019, JBCCI organized the 8th Factory Visit for its members to the “Walton Hi-Tech Industries Ltd.” in Chandra, Gazipur and this was participated by 12 persons.

5.13 The 1st Joint Networking Reception of JBCCI & CanCham Bangladesh. The 1st Joint Networking Gathering of JBCCI and CanCham Bangladesh followed by

Dinner was held at Four Points by Sheraton Dhaka, Gulshan-2 and this was attended by

about 70 members & guests including Canadian High Commissioner Benoit Prefontaine,

First Secretary Mr. Takashi Shimokyoda Embassy of Japan in Bangladesh and Executive Chairman of Bangladesh Investment Development Authority (BIDA) Kazi M Aminul Islam

as well as Representatives of the Embassies of Brazil and Turkey, UNDP, ICC were also present in this event apart from the Leaders of other Chambers of Commerce.

5.14 Joint Networking Gathering and Dinner Reception of JBCCI, CanCham Bangladesh and supported by BIDA.

On 27.02.2020, the Joint Networking Gathering and Dinner Reception of JBCCI and

CanCham Bangladesh and supported by BIDA was held at the Ball Room, The Westin Dhaka Hotel and this was attended by about 90 members & guests. Honorable H.E.

Ambassador of Japan, Mr. Naoki Ito, Honorable High Commissioner of Canada H.E. Mr. Benoit Prefontaine and Delegates and high officials from other Embassies and

International Organizations were present and Mr. Md. Sirazul Islam, Executive Chairman of BIDA was present too.

Mr. Naoki Ito was the Chief Guest and the event was attended by about 100 persons.

We have audited the accompanying �inancial statements of Japan-Bangladesh Chamber of Commerce andIndustry (JBCCI), which comprise the Statements of �inancial position as at 31 March 2020 and theStatement of pro�it or loss and other comprehensive income, and Statement of cash �lows for the periodfrom 01 April 2019 to 31 March 2020, and notes to the �inancial statements, including a summary ofsigni�icant accounting policies.

We conducted our audit in accordance with International Standards on Auditing (ISAs). Ourresponsibilities under those standards are further described in the Auditor’s Responsibilities to the Auditof the Financial Statements section of our report. We are independent of the organization in accordancewith the International Ethics Standards Board for Accountants’ Code of Ethics for ProfessionalAccountants (IESBA Code), and we have ful�illed our other ethical responsibilities in accordance withIESBA Code. We believe that the audit evidence we have obtained is suf�icient and appropriate toa basis for our opinion.

Responsibilities of Management and Those Charged with Governance for the Financial Statements and Internal Controls

Management is responsible for the preparation and fair presentation of these �inancial statements inaccordance with International Financial Reporting Standards (IFRSs) , and for such internal control asmanagement determines is necessary to enable the preparation of �inancial statements that are free frommaterial misstatement, whether due to fraud or error.The Companies Act, 1994 require the Managementto ensure effective internal audit, internal control and risk management functions of the organization. In preparing the �inancial statements, management is responsible for assessing the organization’s abilityto continue as a going concern, disclosing, as applicable, matters related to going concern and using thegoing concern basis of accounting unless management either intends to liquidate the organization or tocease operations, or has no realistic alternative but to do so. The Board of Directors are also responsiblefor overseeing the organization’s �inancial reporting process.

Japan-Bangladesh Chamber of Commerce and Industry (JBCCI) obtained License No. 26/2004, dated 03-06-2004 from Ministry of Commerce and was incorporated on 15 August 2004, vide registration No. C-591(43)/2004 with the Registrar of Joint Companies and Firms, Bangladesh under section 28 of CompaniesAct 1994, as a not for pro�it organization. The of�ice of JBCCI is situated at Flat # 3-B, House # 30 (3rd Floor),Road # 18, Block # A, Banani, Dhaka-1213. JBCCI Board of Directors comprise of 12 (Twelve) members (sixfrom the Japan and six from Bangladesh).

JBCCI has been established to provide a forum for discussing and exchanging views of business conditionsand issues, both domestic and international, affecting Japanese and Bangladeshi companies. In furtheranceof this objective and with limiting the generality of such object, the chamber shall be empowered inaccordance with the law for the time being in force.

Property, plant & equipment are stated at cost less accumulated depreciation and impairmentlosses. The cost of acquisition comprises of purchase price, including import duties and non-refundabletaxes and any directly attributable cost of bringing the assets to its working condition for its intendeduse.

Depreciation is charged to the income statement under reducing balance method over the estimateduseful lives of each part of an item of property, plant and equipment. The estimated useful lives for thecurrent and comparative periods are as follows:

Chamber receives annual subscription and admission fee from their members. Annual subscription andadmission fee are recognized when it is earned.

Chamber receives bank interest from Fixed Deposit Receipt (FDR) and that income is recognized when it is earned.

No provision for income tax has been made on the excess of income over expenditure, while theassociation is a company within the meaning of section 2 (20) of the ITO-1984 and exmptioncerti�icate/order from the concern authority was not obtained.

Due to low value and short-term of the lease (of�ice rent), the requirement of ‘IFRS-16 Lease’does notapply rather entity recognises the lease payments as rent expense on a straight line basis over the leaseterm.

The accounting policies set out below have been applied consistently to all periods presented in these�inancial statements.

We have audited the accompanying �inancial statements of Japan-Bangladesh Chamber of Commerce andIndustry (JBCCI), which comprise the Statements of �inancial position as at 30 June 2020 and the Statementof pro�it or loss and other comprehensive income, and Statement of cash �lows for the period from 01 April2020 to 30 June 2020, and notes to the �inancial statements, including a summary of signi�icant accountingpolicies.In our opinion, the accompanying �inancial statements present fairly, in all material respects, the �inancialposition of the organization as at 30 June 2020 and it's �inancial performance and its cash �lows for theperiod then ended in accordance with International Financial Reporting Standards (IFRSs).

We conducted our audit in accordance with International Standards on Auditing (ISAs). Ourresponsibilities under those standards are further described in the Auditor’s Responsibilities to the Auditof the Financial Statements section of our report. We are independent of the organization in accordancewith the International Ethics Standards Board for Accountants’ Code of Ethics for Professional Accountants(IESBA Code), and we have ful�illed our other ethical responsibilities in accordance with the IESBA Code.We believe that the audit evidence we have obtained is suf�icient and appropriate to provide a basis for our

Responsibilities of Management and Those Charged with Governance for the Financial Statements and Internal ControlsManagement is responsible for the preparation and fair presentation of these �inancial statements inaccordance with International Financial Reporting Standards (IFRSs) , and for such internal control asmanagement determines is necessary to enable the preparation of �inancial statements that are free frommaterial misstatement, whether due to fraud or error. The Companies Act, 1994 require the Managementto ensure effective internal audit, internal control and risk management functions of the organization. In preparing the �inancial statements, management is responsible for assessing the organization’s ability tocontinue as a going concern, disclosing, as applicable, matters related to going concern and using the goingconcern basis of accounting unless management either intends to liquidate the organization or to ceaseoperations, or has no realistic alternative but to do so. The Board of Directors are also responsible foroverseeing the organization’s �inancial reporting process.

Our objectives are to obtain reasonable assurance about whether the �inancial statements as a whole arefree from material misstatement, whether due to fraud or error, and to issue an auditor’s report thatincludes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an auditconducted in accordance with ISA's will always detect a material misstatement when it exists.Misstatements can arise from fraud or error and are considered material if, individually or in theaggregate, they could reasonably be expected to in�luence the economic decisions of users taken on thebasis of these �inancial statements.

Evaluate the overall presentation, structure and content of the �inancial statements, including thedisclosures, and whether the �inancial statements represent the underlying transactions and in amanner that achieves fair presentation.

As part of an audit in accordance with ISAs, we exercise professional judgement and maintain professionalskepticism throughout the audit. We also:

In accordance with the Companies Act, 1994 we also report that:we have obtained all the information and explanations which to the best of our knowledge and beliefwere necessary for the purposes of our audit and made due veri�ication thereof;in our opinion, proper books of account as required by law have been kept by the organization so faras it appeared from our examination of those books; and

Obtain suf�icient appropriate audit evidence regarding the �inancial information of the entities orbusiness activities within the organization to express an opinion on the �inancial statements.We are responsible for the direction, supervision and perfor mance of the Company audit.We remain solely responsible for our audit opinion.

Japan-Bangladesh Chamber of Commerce and Industry (JBCCI) obtained License No. 26/2004, dated 03-06-2004 from Ministry of Commerce and was incorporated on 15 August 2004, vide registration No. C-591(43)/2004 with the Registrar of Joint Companies and Firms, Bangladesh under section 28 of CompaniesAct 1994, as a not for pro�it organization. The of�ice of JBCCI is situated at Flat # 3-B, House # 30 (3rd Floor),Road # 18, Block # A, Banani, Dhaka-1213. JBCCI Board of Directors comprise of 12 (Twelve) members (sixfrom the Japan and six from Bangladesh).

JBCCI has been established to provide a forum for discussing and exchanging views of business conditionsand issues, both domestic and international, affecting Japanese and Bangladeshi companies. In furtherance ofthis objective and with limiting the generality of such object, the chamber shall be empowered in accordancewith the law for the time being in force.

To encourage and develop the establishment of Japan-Bangladesh joint venture in speci�ic areas ofcommon interest.

To utilize the expertise of the Chamber members to identify and develop opportunities for bothJapanese and Bangladeshi companies.

To develop closer interaction between the private/public sector and related organizations in both

The �inancial statements have been prepared under historical cost convention following accrual basis ofaccounting.

These �inancial statements are prepared in Bangladeshi Taka, which is the organization’s functionalcurrency. All �inancial information presented in Taka has been rounded off to the nearest integer.

The accounting policies set out below have been applied consistently to all periods presented in�inancial statements.

The �inancial statements cover the period from 01 April 2020 to 30 June 2020.

Property, plant & equipment are stated at cost less accumulated depreciation and impairmentlosses. The cost of acquisition comprises of purchase price, including import duties and non-refundabletaxes and any directly attributable cost of bringing the assets to its working condition for its intendeduse.

Depreciation is charged to the income statement under reducing balance method over the estimateduseful lives of each part of an item of property, plant and equipment. The estimated useful lives forcurrent and comparative periods are as follows:

Due to low value and short-term of the lease (of�ice rent), the requirement of ‘IFRS-16 Lease’does notapply rather entity recognises the lease payments as rent expense on a straight line basis over theterm.
