ITG MOTORSPORTS

Our objective is to provide national exposure opportunities for your company. Research has proven that the NHRA fans demonstrate one of the highest sponsor loyalty scenarios and actively try new Sponsor products, services and promotions based on their association with the NHRA . Research also has proven that sponsorship in the NHRA continues to grow in popularity as a vehicle for securing communication objectives and more importantly gains in bottom line revenues. Current sponsors are succeeding with brand awareness and increases in sales due partly to the unprecedented brand loyalty exhibited by NHRA fans and partly due to the high visibility offered to sponsors.

One of our past clients (Casavant Mining-CMKXtreme Machine Funny Car) on the day of announcing their sponsorship had over 4M hits on their website over a period of a few weeks and subsequently, have had heavier trading in their company as a result of being involved in the NHRA. Thus, according to Urban Casavant (Owner) said “CMKX could never buy the airtime, PR, or other media that has given them the PR coverage they’ve received since April for the price they paid to become a main Sponsor on the Funny Car”. ITG Motorsports will also be providing existing sponsors the opportunity to do burn outs in a Funny Car at the end of the season as an appreciation of their support.

Our hospitality accommodates 1000 people per weekend (Round Tables). The guests will have access to all food, beverages, and trade show Kiosks along with drivers and crew. Guests will obtain their passes through the ITG Motorsports website and receive their hospitality packages in the mail prior to the event. Hospitality packages will include wristband admission to the Dog Pound, rain poncho, earplugs, logo T-shirt and ITG Motorsports fan club points card.

The center section is available to all attendees* of the race weekend (approximately 100,000 people). The area has been set as a trade show type environment with Kiosk(s) available to sponsors for presentation and product sale purposes. sponsors can purchase individual kiosks to demonstrate their products and take Internet orders on-site at $10,000 per race.

* These spectators have no access to the food section, only the kiosks.

Payment: The Sponsor shall provide a cashiers check, wire paymentinto ITG Motorsports account.

Exclusivity: From the date of the execution of this term sheet until theeffective date, the Company agrees not to pursue atransaction of this nature with any other person unless anduntil good faith negotiations with the Sponsor have terminated.

Confidentiality: The Company agrees to keep this term sheet and itscontents confidential and not to distribute it to, or discuss itwith, any third party (other than the Company’s legal andfinancial advisors, who shall be informed of the confidentialnature of this document) without the prior express writtenconsent.

This term sheet is intended for the commencement of the two stated parties above only. Closing is subject to mutual agreement. This term sheet will be considered void if not executed by both parties prior to the close of business on 02/08/08. The undersigned Company officer, on behalf of the Company hereby represents and warrants that this term sheet has been duly authorized, executed and delivered by the Company.
