After a nerve-racking day at Zoo, we went for a movie and followed by a delicious lunch in a restaurant. Our day was made special by the lively participant, Manpreet Singh Saluja (jo saluja nhe likhta) with his humour and jokes and thus he was nicknamed Manpu..our lucky mascot!!! Of the days that followed, I vividly remember the day when we interacted with Dr. Purnima Agarwal who happens to be a psychologist. Now, Id like to clarify something: Dont interpret us as a bunch of mentally retarded or psy-chologically delinquent people that we needed a session with a psychologist. I give you my words that we all are psychologically sound and in full possession of our mental faculties. She was only there to help us understand the finer nuances of Behavioral Science and Personality. She even briefly assessed each one of us, I was adjudged as the one with visionary personality. The last few days were very tiring because of the Projects and Preparations. After a funfilled initial days, we all had to become serious. I was surprised to see the transformation that happened in all of us. From the ashes of a crazy, rowdy and brawling bunch arose the Phoenix of sober and responsible, wanna-be managers and leaders. But, amidst all these actions, we all were also apprehensive of the separation that would befall upon us on 24th September. Finally the D-Day arrived. Armed with our Projects and Presentations, an invaluable experience of learning of the past 14 days of MSOP and brimming with confidence, we stood before the Jury. They were very polite, encourag-ing and appreciative of our efforts and it brought out the Oracles in us. We also got to see the creative side of us. Umang scored the background music for all of us in true A R Rahman style. For Rahul Misra (Misra Ji) Meri Umar Ken au Jawano-Dil lagana ohh Dewano The auditorium was filled with a thundering applause and roaring laughter, on Umangs singing this song for Mishra Ji. Later-on Umang played the MSOP 2011- A Journey in Photographs The whole hall had come to a eerie silence, our eyes were moist, our throats were parched and a wave of parting sorrow swept all over. Truly, those days, no personal issues, no trivial matters only learning and camaraderie and memories. The Jury adjudged our group The Go-Getters presentation as the Best Project and there was a tie for the Best Group between The Leaders and The Champions. Umang Mehrotra and Swasti were adjudged as the Best Partici-pants. Finally after the long 15 Days, we decided to unwind ourselves. The mood was set, and we all attacked the dance floor and let our hairs down and danced and dined till the wee hours of night. It may appear to be a normal MSOP to readers but take my word, that it was an experience of a lifetime. I am sure its a flashback of the wonderful experience for all of us. It was the MSOP which enriched all of us with soft skills, Knowledge, happiness, thoughts and most importantly friends forever 15 years down the line, we all will be busy with our professional and personal lives, but I am sure, whenever well take a walk down the memory lane, well be filled with happy nostalgia and a montage of those exhilarating 15 days. We sure will love to live it AGAIN.

Those were the best days of my life Wish I could go back to the Summer of '69

WORDS OF APPRECIATION FOR LUCKNOW CHAPTER

    Dear Professional Colleagues,

It is indeed my pleasure to recognize that the Lucknow Chapter of NIRC - ICSI under able leadership of Mr. Amit Gupta, Chairman of Chapter and with the support and guidance of members, is making its best efforts to organize programs of professional interest for members and various training programs for students. In this series Chapter has organized its First Management Skill Orientation Program (MSOP).

The excellence signifies outstanding performance, superior quality and extraordinary services and I must compli-ment the Chapter and its Team on organizing such an excellent and flawless training program for students. In its First MSOP itself Chapter has set the example for others to follow.

I express my sincere thanks & gratitude to the Chairman & members of the Managing Committee of the Lucknow Chapter for giving me an opportunity to be part of its First MSOP as one of the faculty. I spent entire day with the students and during the day excellent response of students and the team members was unparallel.

Friends, I am confident that the Team Lucknow will continue its effort in organizing more and more programs for benefit of our students and members and always strive for excellence.

I extend my best wishes to the Chapter in its future endeavor.

  • MULTI FACETED PERSONNA OF A CS

This has made me think over why Mastering the law and practice of learning different facets is important for a CS and Is it enough which takes to become a successful CS.

The answer is not clear. Look around and you will find CS from different backgrounds who have tasted success.

Let first assess the role of a CS: A jack of all trades - CS is expected to have a meaningful discus-sion with MDs, Business heads, CEOs on their functions and understand how to implement them with all due Compliances. This helps a CS to identify new capabilities that he can create with the new amendments that keep pouring on regular basis.

A CS overseas everything in an organization impacting the front-office, back-office, marketing, Sales, Brand Value, Clientage along with obvious ensuring support of functions such as finance, Accounts, HR, Legal & administration. Depending upon an organization, a process related un-dertaking and loyalty is required too.

A CS is required to keep the attrition low, mentor the organization as a whole and generate pe-riodic reports for managements reviews. As a CS is always expected to be on the top of a situa-tion in case of exigencies for non compliance.

Think Now, what kind of qualification would be required to be a successful CS?

Do you need to be major in knowledge of laws or its practice? Does it offer value? What about soft skills ??

Look around any successful CS & you will get the answer as you find successful CS from all the walks of life juggling all of the tasks. The theoretical knowledge is essential. It is needed all the more but not to the level of how to proceed with the compliance of any provision or to bring out the loop hole because thats for the next level even an assistant or a trainee.

On the other hand, corporate & soft skill cannot be substituted. Those need to be developed to a level where communication with any Authority is needful &

Mind it seriously that If you are not challenged with it, then you will find yourself at the giving end and not receiving!!

  • First of all, it needs to be discussed as to the class of companies which are required to file their Balance Sheet and Profit and Loss Account in XBRL Format:-

    1. Listed Companies and their subsidiaries;

    2. Companies having paid up capital of Rs. 5 Crores and above;

    3. Companies having turnover of Rs. 100 Crores and above.

However, banking, insurance, power Companies and NBFCs are exempt for XBRL Filing.

    Time Limit :-

To provide adequate time and flexibility, time limit has been extended to 30th November, 2011.

All the above entities are allowed to file their balance sheet upto 30/11/2011 or within 60 days of their due date which ever is later.

    Authentication of XBRL Document:-

Earlier it was decided that only Statutory Auditors will certify the XBRL document. However, it was further clarified that CA / CS/ CWA in whole time practice can certify XBRL documents.

    1. Creation of XBRL instance document:

The Companies and professionals have an option either to obtain complete set of XBRL software or to obtain services of the IT companies / professionals having such XBRL software or access privilege of such software

After payment of requisite fee they can have their own user id. Then using that user id the financial statements can be con-verted into XNRL format. Using the same id Companies / Professionals can convert the financial statements of their Group Companies / Other Companies as well. However, additional fees is to be payable for each company data conversion.

    A. Map Companys each financial statement element to a corresponding element in published taxonomy

After user registration the next step is to MAP the companys data into XBRL Taxonomy. Companies have the option to create by their own XBRL documents in house or to obtain the services of the owner of the software or the service provider to convert their financial statements into XBRL form.

Tagging is not a difficult task just to convert the language used in financial statement into the language used in Taxonomy for example:

    1. First Instance:

In balance sheet the word used:- Reserve and Surplus

And the approved Taxonomy is :- Reserve&Surplus

So, you have to change the specified tab into Reserve&Surplus.

    2. Second Instance:

In the profit and Loss Account the used word is Salaries.

And the approved Taxonomy is Salary & Wages.

So, you have to change the specified tab into Salary & Wages.

This process is called the tagging.

There are certain like above errors occurs while tagging the financial statements because in the financial statements Com-panies use specified Schedule VI and the taxonomy is created keeping in mind that Schedule VI.

The excel file is uploaded into XBRL software and it automatically convert the specific fields of financial statements into the Taxonomy specified fields and in case of any error as above, the system will automatically show error. You have to correct that error and save the respective page.

FILING IN XBRL FORMAT AND ITS PRACTICAL ASPECTS

    ISSUE 3 Page 24

  • B. Create instance document for Balance sheet and Profit and loss Account-

Once the tagging of financial statement elements with the published taxonomy elements is done, the next step is to create the instance document. An instance document is a XML file that contains business reporting information and represents a collection of financial facts and report-specific information using tags from the XBRL taxonomy.

Separate instance documents need to be created for the following:

    1. Stand Alone Balance sheet of the company

    2. Stand Alone Profit and Loss Account of the company

    3. Consolidated Balance sheet of the company

    4. Consolidated Profit and Loss Account of the company

The instance document should contain the financial information for both the current as well as the previous financial year.

Consolidated balance sheet and Profit and Loss instance documents to be created only in case the same is applicable to the company

All the instance documents are in machine readable format.

1 Certify the instance Document created using XBRL software

The next step is to certify the instance document. As specified by the MCA now CA / CS / CWA in practice can certify the in stance document by using their digital signature.

However, this validation is awaited from the Ministry.

2 Download XBRL validation tool from MCA portal

There shall be a tool provided at the MCA portal for validating the generated XBRL instance document. Validating the instance document is a pre requisite before filing the balance sheet and profit & loss account on MCA portal. You are required to download the tool from the MCA website and validate the instance document before uploading. There shall also be a facility to view and search the taxonomy.

Note:- Validation Tool of MCA is awaited.

3 Use the tool to validate the instance document

Once the tool has been downloaded, the next step is to validate the instance document. The following validations shall be perf ormed by the tool-

    (a) Validating that the instance document is as per the latest and correct version of taxonomy prescribed by MCA

    (b) All mandatory elements have been entered

    (c) Other validations as per taxonomy

4- Perform pre-scrutiny of the validated instance document through the tool

Once the instance document is successfully validated from the tool, the next step is to pre-scrutinise the validated instance docu ment with the help of the same tool. For pre-scrutinizing the instance document, a working internet connection shall be required. In the Pre-scrutiny, the server side validations (i.e. validations which are to be validated from the MCA21 system) shall be per formed.

Also, there shall be a feature provided in the tool to verify the appearance of the generated XBRL instance document using the built in Viewer. It is imperative that the company should use this feature to verify the accuracy of the instance document.

5- Attach instance document to the Form 23AC and Form 23ACA

There shall be a separate set of Form 23AC and Form 23ACA available on the MCA portal for filing in XBRL form. First fill up the Form 23AC and Form 23ACA. Thereafter, attach the validated and pre-scrutinised instance document for Balance sheet to Form 23AC. Similarly, the instance document for Profit and Loss account is to be attached to Form 23ACA. Separate instance documents need to be attached with respect to Standalone financial statements and consolidated financial statements.

6- Submitting the Form 23ACA and Form 23ACA on the MCA portal

After the forms are filled, you are required to perform pre-scrutiny of the form, sign the form and then upload the same as per the normal eForm filing process. It shall be validated that the attached instance documents are validated and pre-scrutinised from the XBRL validation tool.
