S E C T I O N A : I N T R O D U C T I O N

1 Objective

1.1 This document is an Invitation to Pitch (“ITP”) for a new cinema and film series (the “Series”) for BBC Four (‘the Programme’) and both BBC on-line platforms and BBC accounts on non-BBC on-line platforms (‘the Digital Content’).

1.2 The Programme will be six to eight hours of content on BBC Four for delivery and transmission by the end of March 2020, with a start date determined by your editorial proposal. The Digital Content should be delivered for publication weekly for a minimum of 40 weeks and be approximately 4’ of content per week.

1.3 This opportunity is for any supplier, based in the UK, whether qualifying independent producers, non-qualifying independent producers (see http://www.legislation.gov.uk/uksi/1991/1408/made for more information); or BBC Studios - (“Producer”).

1.4 The BBC is seeking to encourage and support the longer term sustainability of production in the Nations/Regions.

1.5 The “Successful Producer” will be determined by the Commissioning Team in accordance with the Requirements (Section B) and Pitch Process (Section C) set out in this ITP.

1.6 The Commissioning Team will comprise the following individuals:

The Commissioning Team may seek opinion from subject matter experts from across the BBC (e.g. channel management, finance, procurement, etc.) to help inform the decision of the Commissioning Team.

1.7 The BBC is a signatory to, and will abide by the principles of, the APC Code: http://downloads.bbc.co.uk/commissioning/site/apc_code_2009.pdf

1.8 The BBC will keep confidential all commercially sensitive information included in responses to this ITP and will only use this information for the purposes of evaluating the Pitch, provided that the Producer has identified the confidential nature of any such information in their response documents.

1.9 Producers submit responses to this ITP and take part in this process at their own cost.

1 Editorial

1.1 The brief

We are seeking to commission a cross platform proposition where the Digital Content will live for the majority of the year online. The Digital Content should be approximately 4’ per week and delivered for publication by the BBC weekly for a minimum of 40 weeks.

The Programme will comprise of six to eight hours of television Programmes to be broadcast on BBC Four and available on iPlayer. The television Programme hours could for example, comprise of:

Two series of either 30’ or 60’ episodes, e.g. two series of 8 x 30’ episodes or two series of 3 x 60’ episodes or other combinations that total between six and eight hours, or

Six to eight 60’ topical or non-topical standalone Programmes spread across the year

The Programme should be available for delivery and transmission by the end of March 2020, with the shape and start date determined by your editorial proposal. There will be an option to extend on the same terms and same volume and equivalent hours for delivery in 2020/2021.

1.2 What’s it about?

The BBC would like the Series to respond to the UK film release calendar but do not expect it to offer exhaustive reviews or to cover a majority of films being released in a given week. Rather, we would expect that the films, shows or events sparking the greatest conversation, or those that say something interesting about film, society and culture more broadly would be the topics of focus.

These topics could then be a jumping off point for a broader discussion: this could be a set of mini film/screen essays – providing a new perspective on the world of film, cinematic history and media (film, TV and digital), or it could be something more thesis driven - what do these films and what’s happening around them say about society and culture today? Or it could be something more comedic, lateral or conversational. Whatever prospective Producers choose to develop and pitch it should aim to make new connections for the audience whilst also ensuring a lightness of touch which means a curious and interested mainstream film viewer would enjoy it as much as a more seasoned film-lover.

1.3 The audience

Online, the BBC would expect this Digital Content to develop 20-45 year old following – intellectually curious, lovers of media and culture. The core audience for the Programme will be the BBC Four audience – TV lovers with an appetite for levity, intelligence and a new perspective. Core to the approach for both audiences will be humour, an entertaining mix of high and low cultural commentary and authenticity.

1.4 The shape and the approach:

Television Programmes: We have an open mind as to the format more generally – whether studio based, location specific, with/without inserts, etc. – however, a strong visual approach with an efficient use of budget will be a key factor (see budget note below). Producers may wish to think about how they work with potential partners and in less typical locations to achieve the proposed ambitions at this price point.

Digital Content: The BBC also has an open mind as to the format online but it should feel digitally native and we expect a strong element of short form video (no longer than 4‘, optimised and re-versioned for a range of social platforms) to feature. We would expect the Digital Content to iterate and develop as we go – responding to audience and creative feedback.

Core to the Series overall will be talent. The BBC would expect that all the proposals would be built around a small core of talent with personality and passion driving the approach. Producers are requested not to make any commitments to talent at any stage of the ITP process without the BBC’s prior agreement.

As with all of our content we would expect production to deliver shows that are in line with the BBC editorial guidelines and to be able to adapt to BBC’s changing editorial and business needs during the production period.

2 Technical & Delivery

2.1 The Successful Producer should be able to deliver the Series in line with their proposed editorial bid and taking into account the award date of the ITP.

2.2 The Producer must deliver to the BBC the items listed as Delivery Items pertaining specifically to the Series. More information will be provided to shortlisted Producers at secondary information stage.

2.3 The Delivery Items for Programme must adhere to all specifications for BBC transmission as are set out in the BBC Technical Standards for Network Television Programme Delivery (BBC 1, BBC 2, BBC 3, BBC 4, Cbeebies and the CBBC Channel), which are contained on the BBC’s Commissioning website. The Programme will be required to be tech-reviewed and delivered in line with your editorial proposal.

2.4 The Delivery items for the Digital Content must adhere to all the specifications for digital content delivery as amended from time to time by the BBC. More information will be provided to the Shortlisted producers at Secondary Information stage.

2.5 The Producer will be required to complete all necessary diversity and inclusion information for Project Diamond. Project Diamond is a diversity monitoring initiative set up by the Creative Diversity Network to monitor the diversity of individuals participating in productions both on-screen and off-screen in the United Kingdom. 3 Financial

3.1 Tariff: The maximum tariff for the Series to cover both the Programme and the Digital Content is £630,000, with a maximum tariff of £480,000 set against the Programme and £150,000 set against the Digital Content.

3.2 Distribution investment: Bids should reflect proposals for any 3rd Party investment, including distribution advances.

3.3 Price: The contract is offered as a “fixed price” deal, with the Producer responsible for any overspend and entitled to keep any underspend. Producers are expected to use their own Property, Technology and Post Production solution.

3.3.1 The fixed price shall be inclusive of all deliverables and clearances required by the BBC.

3.3.2 The fixed price shall be inclusive of all insurance requirements for the production.

3.3.3 The fixed price shall be inclusive of Directors’ UK contributions and any other payments that the BBC makes directly on behalf of the Producer; these shall be deducted from the BBC funding agreed with the successful producer.

4 Insurance

4.1 The BBC has in place a Production Insurance Scheme (“BBC Scheme”) which is available to all BBC commissioned independents. The BBC Scheme will also be made available to the Successful Producer for the Series at a cost of 0.5% of the ‘insurable amount’ of a production's costs (defined as the total budget minus production fee, overheads, royalties, insurance premium and contingency).

4.2 By joining the scheme, the Successful Producer will ensure compliance with the BBC insurance requirements (other than Errors & Omissions which is not provided under the BBC Scheme).

4.3 If the Producer elects not to join the BBC Scheme they will need to show evidence of the following covers prior to commencement of any filming and ensure that the BBC is named on the following policies:

4.3.1 Production Insurance (including but not limited to cast, extra expense, negative and videotape, props sets and wardrobe, miscellaneous technical equipment, and UK Terrorism)

4.3.6 Errors & Omissions Insurance - the Producer will need to hold at least £3m of Errors & Omissions insurance in respect of defamation and Intellectual Property rights infringement risk.

1 Eligibility & Short Proposal

1.1 Eligibility - At this stage Producers will be required to submit an Eligibility Form (Appendix 1). The Eligibility Form requires some core information about producers’ business and experience. It consists of a number of pass/fail criteria and a number of evaluated criteria and is designed to allow the BBC to understand more about the company and producers’ relevant experience in producing similar or comparable programmes. Please follow the instructions in Bravo when filling this in.

1.2 Eligibility Criteria (evaluated) - The Commissioning Team will assess all eligibility submissions against the following criteria.

Relevant Experience (of company* and/or the key personnel attached): 80%

Deep knowledge of the world of film; the film calendar; film history and film genres - to be demonstrated through key editorial personnel attached to your bid

Within the past 5 years

Experience of producing and delivering factual and / or arts content (at least 5 hrs) for broadcast on network UK television

Experience of producing and publishing / delivering short form digital content on a weekly basis for a minimum of 10 weeks with a demonstrable scale of audience

* Open to all producers –QI, NQ or BBC Studios

Conflicts of Interest: 10%

Interests, potential conflicts of interest, contractual commitments that may impair ability to produce this Programme to the Editorial and Broadcast standards required, including mitigation measures

Production policies compliance: 10%

1.3 Scoring Method - All pass/fail criteria will need to be marked pass in order for Producers to be eligible. All evaluated criteria will be scored on a scale of 1 to 10. These scores will be multiplied by the criteria weighting set out in the table above and the resulting weighted scores (one score per criteria) will be added in order to determine a total score for each eligibility form. The top ranked approximately eight producers will be longlisted and their short proposals will be assessed.

1.4 Short Proposal - Producers are required to fill in a short proposal document (this should be no longer than a single sheet of A4, font size 11), outlining their ambition for this programme. With reference to the editorial requirement in Section B, the short proposals should outline the Producer’s key ideas around the following; the format(s) and treatment of the Digital Content and the Programme including filming locations, proposed presenting talent, draft running order and the overall shape and transmission pattern for the Programme. Please follow the instructions in Bravo when filling this in.

1.5 Short Proposal Criterion - The Commissioning Team will evaluate all short proposals against the following assessment criterion and score each proposal on a scale of 1 to 10. The top ranked four (approximately) producers will be shortlisted and invited to submit a pitch response and for a pitch meeting.

2 Secondary Information

2.1 Shortlisted producers may then be issued with further relevant production information some of which might constitute confidential information. Producers may therefore be required to sign NDAs prior to the BBC supplying this confidential information.

3 Pitch responses & pitch meetings

3.1 Pitch documents: Shortlisted producers will be invited to submit a Pitch document. This should be a written document of max 30 sides of A4 (font size 12) and should include:

A high-level summary of the Pitch for the Series, including names, responsibilities and official designations of the principal personnel who will be involved in production of the Series.

A detailed Pitch response, showing how the proposal responds to the BBC’s Requirements outlined in this Invitation to Pitch document.

A budget and proposals for funding the production and delivery of the Series.

If proposing to qualify as a Regional Programme under the Ofcom code, details on how the Programme will qualify.

Confirmation of acceptance of the BBC Key Contract Terms.

Key risks and the processes or systems that will be put in place to manage the identified risks.

Evidence of required company policies.

3.2 Pitch meetings: All Shortlisted producers who have submitted a pitch will be invited to a pitch meeting with the Commissioning Team.

3.3 Assessment Criteria: The BBC will evaluate all Pitches and pitch meetings together against the Assessment Criteria in the table below in order to make final commissioning decisions.

3.4 Scoring method: Further information about this will be provided as part of secondary information

3.5 The Producer with the highest total score will be selected as the Successful Producer.

4 Full Contract Signed

4.1 The BBC will move to contract signature with the Successful Producer.

4.2 If the contract cannot be signed in a timely manner, the BBC reserves the right either to move to contract signature with the Producer with the next highest total score or to re-open the pitch process.

5 Feedback

5.1 Unsuccessful Producers may request feedback within two weeks of receiving notification of being unsuccessful. Request for feedback should be submitted via Bravo. Feedback will be provided within three weeks of receiving the request.

6 Timetable

6.1 The BBC intends to conduct the pitching process within the following indicative timetable:

6.2 The BBC reserves the right to disqualify any Producer who does not submit their response by the deadlines outlined in the table above.

7 Submission Instructions

7.1 Eligibility Forms and Pitches should be submitted using the BBC Bravo system. Instructions for using this portal can be found here: http://downloads.bbc.co.uk/commissioning/site/bravo-user-guide-cinema-film-october-2018.pdf

7.2 Documents must be received no later than close of business on the dates set out in the timetable.

7.3 The documents should be submitted in an electronic format, and should either be protected as a “read only” MsWord file or saved as a pdf file or equivalents. The BBC anticipates only needing a document submission for the Pitch. If anything further is required, the BBC will inform Eligible Producers.

7.4 Pitches are submitted entirely at the Producer’s own risk. Producers are strongly advised to submit their final responses in good time to avoid the possibility of difficulties caused by unforeseen network or transmission problems.

7.5 This ITP is not a contract. However, the information contained in this ITP, together with the responses of the Successful Producer will form the basis of the final Contract between the BBC and the Successful Producer.

7.6 All responses must be in English.

7.7 The BBC reserves the right to exclude any Producer that is found to provide information which is untrue.

8.2 No individual other than the BBC’s nominated representative (or their delegates as advised by the BBC) is authorised to discuss the contents or the substance of the ITP with Producers. Producers will be advised of any change or addition to the BBC’s nominated representative.

8.3 Producers wishing to pitch for the Programme should not contact any BBC or BBC Studios Production staff seeking information about the ITP or the subject matter. As above, all queries for further information should be directed to the Pitch Manager.

8.4 Producers must nominate a single point of contact within their organisation and this person will be responsible for all communication related to the ITP. The name and contact details of the nominated representative must be included in the Pitch documentation. If the Producer wishes to change the nominated representative for any reason, it must inform the BBC’s nominated representative in writing.

9 Queries

9.1 All queries in connection to this Invitation to Pitch that Producers wish to raise prior to submitting their responses should be submitted via Bravo no later than 2 calendar days before the deadlines for submissions outlined above. In the interest of fair competition, anonymised questions and responses will be circulated to all Producers, where the BBC considers it is appropriate to do so.

S E C T I O N D : K E Y C O N T R A C T T E R M S

The Successful Producer will be Producer of the Series (“Producer”).

The contract for the Programme shall be as a long-form television commissioning agreement on standard prevailing terms as agreed between the BBC and PACT, which shall contain the following key contract terms.

The contract for the Digital Content shall be on the BBC’s standard terms for contracting new media content.

1 Pre-conditions

1.1 The Producer must comply with all relevant Health and Safety legislation for the time being in force and must either have been vetted by the BBC’s Health and Safety department within the previous 36 months, or arrange to be re-vetted and obtain BBC H&S approval prior to contract.

1.2 In making the Programme the Producer shall comply with the BBC Guidelines (see: http://www.bbc.co.uk/commissioning/tv/production/articles/policies-guidelines) and comply with all applicable law including: child protection legislation, disability discrimination legislation, data protection legislation, anti-bribery legislation, construction design and management regulations and all regulations and orders made under such legislation.

1.3 The Producer shall ensure that all production personnel directly engaged by the Producer, or a company within the same group, working on the production and/or delivery of the Programme to the BBC are paid the appropriate Real Living Wage according to the location of their work within the UK as applicable. The rate of the Real Living Wage that the BBC is taking as a benchmark is that set out by the Living Wage Foundation: http://www.livingwage.org.uk/

1.4 The Producer and the BBC will need to agree the detailed Editorial Specification in the form published on the BBC’s Commissioning Website: (See http://downloads.bbc.co.uk/commissioning/site/Commissioning_Specification.docx)

2 Finance

2.1 Financial Terms shall reflect the set tariff model and the final duration and volume for the programme across its cross platform proposition as commissioned from the Producer.

3 Rights & revenue

3.1 The Programme is offered on the BBC’s standard Programme Production Agreement.

3.2 The Digital Content is offered on the BBC’s standard terms for contracting new media content and would be non-geo blocked.

4 Production

4.1 The Producer will have free access to specific BBC Archive systems while contracted to produce and deliver the Programme for the purposes of producing and delivering said Programme only. All use of archive material will abide by the relevant Editorial Guidelines and guidance.

4.2 The Producer will have access to BBC Archive footage for the purposes of producing the Programme on the following basis:

4.2.1 Producer will not be required to pay for Public Service Use within the Programme;

4.2.2 Producer will be required to clear archive for commercial use within the Programme

4.2.3 In the event that any complaints are made in connection with the Programme, the Producer will be available to prepare and submit evidence in accordance with the relevant BBC Complaints Procedure.

5 Deliverables

5.1 The provisions referenced in the Editorial, Technical & Delivery and Financial sections of the Requirement shall be reflected as terms of the Contract.

6 Termination and takeover

6.1 The BBC shall also be entitled to terminate the Contract (without prejudice to any other rights or remedies that the BBC may have) in the event that the BBC determines (acting reasonably) that one (or more) of the Pre-Conditions set-out above are not being fulfilled.

6.2 The BBC’s standard rights of termination or takeover of production of the Programme will apply.

7 Modification and withdrawal

7.1 The BBC may modify the ITP (including the timetable) at any time prior to the deadline for receipt of submissions. Any such amendment will be notified in writing to all prospective Producers. To allow time for such amendment to be taken into account, the BBC may, at its discretion, extend the deadline for receipt of submissions.

7.2 Producers may modify their submissions prior to the deadline for receipt by giving written notice to the BBC and resubmitted documentation as agreed with the BBC’s Nominated Representative. No Pitch may be modified after the deadline for receipt.

8 Contract award / commission

8.1 The BBC reserves the right to perform appropriate due diligence (including but not limited to financial and health and safety assessments) at any stage of the Pitch process prior to the award of a commission to a Producer.

8.2 The BBC will notify the Successful Producer in writing. The BBC will notify the unsuccessful Producers as soon as reasonably practical and within the timetable set out.

8.3 Any Contract resulting from the ITP will be between the BBC and the Successful Producer and will include the BBC Key Contract Terms.

8.4 By submitting their proposal, Producers confirm acceptance of the Key Contract Terms subject to any specific amendments requested in the Pitch documents and subsequently agreed by the BBC.

8.5 This is an invitation to pitch process and therefore it is unlikely that TUPE will apply. However, in the event that any claim is made under TUPE, the BBC will work together with the successful bidder in good faith to address any such claim.

9 Freedom of Information Act

9.1 As a public authority, the BBC is required to comply with the Freedom of Information Act 2000 (“FOIA”), which came into force on 1st January 2005. FOIA is intended to deliver greater accountability for decisions and spending across the whole of the public sector. It requires public authorities to strike the balance between achieving transparency and protecting genuinely confidential or commercially sensitive information.

9.2 Producers should be aware that, under an FOIA request, the BBC may be required to disclose information contained within the Pitch or future contractual information. Following a request, the BBC may take the views of organisations submitting pitches into account when making a decision on what information will be disclosed. 10 General

10.1 ACCEPTANCE AND REJECTION OF PITCHES - The BBC reserves the right to accept or to reject any Pitch and to annul the Pitch process and reject all Producers at any time prior to Award without incurring any liability to the affected Producers.

10.2 VALIDITY - Producers must remain open for acceptance for 120 days from the closing date of the Pitch. The validity period should be confirmed in the Pitch documents. Pitches must be signed by a representative of the organisation who must also have corporate authority to sign any resultant Contract.

10.3 COSTS ASSOCIATED WITH PITCHING - All costs incurred directly or indirectly in responding to, preparing and submitting the ITP or those costs which arise out of any presentations requested by the BBC will be borne wholly by the Producer.

10.4 PUBLICITY - Producers shall not, without the prior consent of the BBC, make any reference to the BBC in any advertising, promotional or published material, nor speak in public about the BBC or its affairs in connection with this Pitch.

10.5 USE OF BBC LOGO - Producers must not use or reproduce any BBC logo or otherwise make reference to the BBC without the prior consent of the BBC, other than to the extent required in order to prepare a response to the ITP.

10.6 INDUCEMENT - The offering of inducement of any kind in relation to obtaining this or any other contract with the BBC will automatically disqualify a Producer and may constitute a criminal offence.
