ST RDMINUTES OF THE 51 AGM HELD ON 23 NOVEMBER 2012 AT KOLKATA

· After confirming the quorum with Director General, Mr. B R Jayaraman, National President, Mr. C Subbakrishna declared the Meeting open.

· National President addressed the house and briefed on Key activities of the Institute. He requested for more participation from Branches and also explained the huge potential that IIMM holds. He requested National Secretary/Treasurer, Mr. O P Longia to take over for finance presentations.

· National Secretary/Treasurer, Mr. O P Longia, briefed on the Finance details and explained the major Income & Expenditure. He requested the house for

th ndconfirmation of the minutes of the 50 AGM held on 2 December 2011 at Delhi. After due deliberation it was approved unanimouslyProposed by Mr. L R Meena and Seconded by Mr. V K Jain.

Mr. B V Iyer, Past President mentioned that revenue is not adequate.

· National Secretary/Treasurer, Mr. O P Longia, requested the house to adopt stthe Income & Expenditure Account for the year ended 31 March 2012 and

Auditor's Report thereon. After detailed discussions the same was approved unanimously. Proposed by – Mr. A Mathias and Seconded by Mr. D N Chakraborty

National Secretary/Treasurer, Mr. O P Longia appraised the house on the Status of IT issue and assured the house that all efforts and care would be taken.

National Secretary/Treasurer, Mr. O P Longia, proposed C & J as the Auditors for the next year. He further informed the house that they have asked for an increase in the Audit Fees from Rs. 3.25 lacs to Rs. 3.75 lacs. He sought for approval from the Members present. Unanimously approved.

1. The National Council of Indian Institute of Materials Management, Mumbai has pleasure in presenting stthe Annual Report for the year ended 31 March 2013 and subsequently.

2. The National Council met five times during the year April 2012 to March 2013.

3. NATIONAL CONVENTION 2012 (NATCOM 2012)rd thKolkata Branch hosted NATCOM 2012 on 23 & 24 November 2012 at Science City, Kolkata.

The Theme selected – “Building & Sustaining Supply Chain – Emerging Concepts, Technology and Process”The two-day mega conference was conducted in an excellent manner with large delegate participation. The speakers were experts in their area and the Technical sessions were quite focused. The NATCOM was inaugurated by His Excellency Shri M K Narayanan, Governor of West BengalNATCOM was attended by over more than 250 delegates from various industries across the country.

4. NATIONAL CONVENTION 2013 (NATCOM 2013)th th th36 National Convention is being hosted by Bangalore Branch at ITC Windsor, Bangalore on 27 & 28

December 2013. The Theme selected “Creating a Winning Organization Through Supply Chain Excellence”

5. MATERIALS MANAGEMENT DAYrd 23 April was celebrated as Materials Management Day. All the branches had organized various

programmes such as evening talks, seminars, symposia, Industrial visit etc. These programmes do improve the visibility and image of the Institute. The theme for the Materials Management Day Celebration was “Navigating Materials Management Strategies in Global Knowledge Economy”.

7. NATIONAL COMPETITION FOR YOUNG MATERIALS MANAGEMENT/IIMM AWARDS 2012

The Theme selected for the YMM –“Building & Sustaining Supply Chain – Emerging Concepts, Technology and Process”

4 teams participated in the competition and the following teams were declared winners based on written and oral presentation evaluation and only two prizes were given First & Second.

8. NATIONAL BUDGETthNational Budget for the year 2012-2013 was filed with the Charity Commissioner on 4 February 2013

9. MMR PUBLICATIONMr. M K Bhardwaj as Editor in Chief of MMR Publication has done an excellent job and has upgraded the contents and Editing of this Journal. The Journal has been acclaimed as a source of Professional article on the domain of Supply Chain.

10. BRANCH ACTIVITIES :Aurangabad Branch : IIMM Aurangabad have conducted a unique in style and its maiden Signature Program “First MAT Select” a full day conference at Hotel Rama International and a launch of a souvenir of “First MAT Select” The Theme for the same as “Redefining Business Strategy”. The programme was sponsored by M/s Dhoot Transmission and supported by M/s. Rajuri Steels. More than 70 delegates from various companies attended.

Bangalore Branch : Supply Chain And Logistics Exposition (SCALE-2012) a Signature Annual Event was hosted th thby IIMM Bangalore Branch on 18 & 19 May at Hotel Ashok, Bangalore along with pre-event

thWorkshop on 17 of May 2012. The theme was “Sourcing for Profit”. It was a highly successful event with overwhelming responses from Supply Chain professionals across India.

st ndChennai Branch : IIMM Chennai Branch organized Spectrum 2013 on 1 & 2 February 2013. The Theme selected was “Technology Leverage Towards Accelerated Profitability in Global Supply Chain”. A multi industry panel discussion covering Healthcare (represented by practicing doctor), Pharma, Core manufacturing and Logistics also very interactive and lively. The overall feedback from about 140 participants was very good and excellent.

thMumbai Branch: IIMM Mumbai Branch organized the 5 edition of annual Signature program – Disha 2013 – on th thJanuary 24 & 25 at Hotel Taj Lands End, Bandra (West). The Theme of the program was “Transforming

Supply Chain in India – Integrating Challenges – Sustainability, Innovation, Technology, Risks, and People”. The program was a grand success in terms of the relevance of topics, quality of deliberations, and expertise of the speakers. The proceedings were highly appreciated by the participants and the feedback was very good.

New Delhi: IIMM Delhi Branch organized its first signature programme on Public Procurement which is designated with name of SCCOPE ie: Supply Chain Challenges of Public Entities. The programme was organized on October 31, 2012 at Hotel Connaught, New Delhi. The first session relating to proposed public procurement bill 2012 was addressed by Mr. S Ramachandran, CEO, OMPL, Mr. R N Ghosh, NIFM & Mr. S Misra of Ministry of Finance. The programme was well appreciated by all the participants.

Pune Branch: The first to be chosen by any overseas corporate, to send their teams for Training all the way to India. During September and October 2012. Pune Branch conducted two intensive Residential training programmes, for Materials Executives from Bhutan's Government Organization. The workshop was on

th th“Stores & Materials Management” was conducted during 17 to 26 September 2012. A team of 9 persons attended.

thVadodara Branch: IIMM Vadodara branch organized a one day signature Event – Vibrant 2012 on 20 October, 2012. The Theme “Next Level Supply Chain Excellence”. Speakers from academics & Industry conducted the Technical Sessions to name a few Prof. Saral Mukherjee-IIMM Ahmedabad, Dir. Nikhil Zaveri- Director, Semcon University. It was a grand event with 50 organisations and more than 150 delegates from spectrum of Industries and members from various branches attended.

The Western Regional Final of Matquiz 2012 was organized by Vadodara Branch with technical support and rdcoordination by Mumbai Branch on 23 June 2012 at Vadodara.

thTEACHER'S DAY CELEBRATIONS: 5 September 2012 was celebrated in a grand scale by our branches, Birthday of the great academic scholar and philosopher. Dr. Sarvepalli Radhakrishnan and IIMM organized the event as a tribute of Dr. S Radhakrishna's love and attachment to the Teaching Profession.

Board of Studies

The Educational activities of the Institute are governed by the Board of Studies. The Board consists of eminent academicians, professionals with vast knowledge and experience in various facets of materials management in particular and related functional areas of management in general. The Board is responsible for all matters relating to curriculum planning, educational delivery system, teaching methodology, examination procedures, standards and all matters relating to education.

Recognitions

GDMM has been recognized by Distance Education Council. It is equivalent to graduate degree for employment. It is also recognized by Indian Navy and the Ministry of Defence.

Materials Management is specified as designated trade by the Central Government for Graduate and Technician Apprentices under Apprentices Act 1961.

GDMM Course has been accredited by International Federation of Purchasing and Supply Management (IFPSM).

PGDMM is recognized by the Directorate General Resettlement, Ministry of Defence and Distance Education Council

12. CRIMM

CRIMM is quite geared up and functioning very well. So far quite a few Fellowships have been awarded. Year ahead will see more activities and Industry Network. Four new Regional Centres have been established – Delhi, Vadodara, Nagpur, Chennai & CRIMM HQ at Kolkata. The Northern Coalfields Limited (NCL) a subsidiary of CIL has awarded a contract of inventory analysis to CRIMM, Kolkata under the leadership of Shri P P Sengupta.

13. MEMBERSHIP DEVELOPMENT

Membership Strength as on March 2013 is 9189 as against 9095 in March 2012. In fact Corporate Membership Strength has to grow more and towards this all Branches are working very focused.

14. NATIONAL AUDITORS

Chandabhoy & Jassoobhoy were appointed National Auditors for the Fiscal Year 2012-2013 to audit Branches / NHQ accounts including Education Wing and the Materials Management Review and annual fees is Rs. 3.75 lacs plus out of pocket expenses and travelling for Branch Audit.

AUDITOR’S REPORTTo,The Trustees,Indian Institute of Materials Management

1. We have audited the attached Balance Sheet of Indian Institute of Materials Management("the Institute") as at 31st March, 2013 and Income and Expenditure Account for the yearended on that date prepared under sub section (1) of Section 34 of the Bombay Public TrustAct, 1950 ("the Act") in which are incorporated accounts of the Head quarters, 32 branchesaudited by us, 3 branch audited by other firm of Chartered Accountants.

2. These financial statements are a responsibility of the Institute's management. Ourresponsibility is to express an opinion on these financial statements based on our audit.

3. We have conducted our audit in accordance with auditing standards generally accepted inIndia. These standards require that we plan and perform the audit to obtain reasonableassurance about whether the financial statements are free of material misstatements. Anaudit also includes assessing the accounting principles used and significant estimates madeby management, as well as evaluating the over all financial statement presentation. Webelieve that our audit provided a reasonable basis for our opinion.

4. The Balance Sheet and Income and Expenditure Account have been drawn up in accordancewith the provisions of the Act.

5. The Accounts of branch namely Vishakapatnam, Mangalore, Mysore have been audited by other firm of Chartered Accountants. We have relied on the report submitted by such other firm of Chartered Accountants in respect of these branches.

7. Subject to our comments in para 6 above, we report as under:

a. Accounts are maintained regularly and are in accordance with the provisions of theAct and Rules thereto.

b. Receipts and disbursements are properly and correctly shown in the accounts.

c. The cash balances and vouchers in the custody of the Managers and/or Trusteeson the date of audit were in agreement with the accounts.

d. All books, deeds, accounts, vouchers or other documents or records required by uswere produced before us.

e. During the year under audit, register for movable and immovable properties hasbeen properly maintained by the Institute. The Institute has generally complied withour previous audit report in this respect.

a) The Institute has not made provision in respect of unreconciled difference of Rs. 20.34 lacs outstanding at the beginning of the year adn which is outstanding for a long time. Had the provision been made, surplus for the year in Income & Expenditure A/c would have been lower by the same amount.

b) Addition of Rs. 2.87 lacs during the year to Inter Branch balance is subject to reconciliation and consequential adjustment, if any.

f. The representatives of the trustees appeared before us and furnished the necessaryinformation required by us.

g. No property or funds of the Institute were applied for any object or purpose otherthan the object or purpose of the Institute.

h. No amount is written off During the year. Balance of Rs. 11,700/- Iying with ASSOCHEM of Delhi Branch is outstanding for a period exceeding one year.

i. No monies of the Institute have been invested during the year under report contraryto the provisions of Section 35 of the Act.

j. Tenders were invited in respect of repairs construction expenditure exceedingRs.5,000/-.

k. There was no alienation of immovable properties contrary to the provisions of Section36 of the Act, which has come to our notice.

I. During the course of our audit, we have not observed any case of irregular, illegal orimproper expenditure or failure or omission to recover monies or other propertiesbelonging to the trust or of loss or waste of other property thereof.

m. The budget has been filed in the form provided by Rule 16A of the Act on 04.02.2013.

n. The minimum and maximum number of trustees are maintained.

o. The meetings of the trustees are held regularly as provided in the Trust Deed.

p. The minutes of the proceedings of the meetings of the trustees is maintained properly.

q. None of the trustees is a debtor or creditor of the Institute.

r. None of the trustees have any interest in the investments of the Institute.

s. The irregularities pointed out by us in the previous year have been complied with bythe trustees during the year except as stated in Para 6 above.

t. There is no special matter during the year that we should bring to the notice ofDeputy Charity Commissioner.

I) SIGNIFICANT ACCOUNTING POLICIES

1. Basis of Accounting:Income & Expenditure are recorded in the books on cash basis

2. Fixed Assets:Fixed Assets are stated at historical cost and shown at written down value.

3. Depreciation:Depreciation is calculated on the written down value at the rates prescribed underthe Income Tax Act 1961.

4. Investment:Investment are stated at book value.

5. Stock:Stock of study materials are valued at cost.

II) NOTES TO ACCOUNTS

1. No provision of taxation has been made in the accounts in view of the exemptionavailable to the Institute under the Income Tax Act 1961.

The Institute has received notice of demand from Dy. Director of Income Tax(Exempt) - II(i), Mumbai under Section 156 of Income Tax Act. 1961, dated23.12.2011 in respect of Assessment Year 2009-10 determining an amount of Rs.1,01,48,360/- as payable by the Institute.

The Institute has paid Rs. 20,00,000/- on 21.03.2012 under protest and has filed anappeal before CIT (appeal) - I, which is pending.

2. Stock of Reading materials is certified by the management.
