THAT the Company has also carried out work pertaining to furnishing and interiors, AV etc. which do not come under the purview of the BOC Act, the said Act and the said Rules;

THAT as a mater of abundant caution, the Company has without prejudice to its rights and contentions, deposited an amount of Rs. 10,00,000/- (Rupees Ten Lakhs only) with the Maharashtra State Welfare Board for Building and Other Construction, Account No. 004220110000153, Bank of India, TArdeo Branch, Mumbai-400 034; NOW THIS DEED OF INDEMNITY WITNESSES THAT I, Mr. Ramaswami Reddy hereby and hereunder agree to indemnify and at all times keep indemnified the ONGC and/or its Directors, office bearers, agents and representatives against any possible claim, action or proceedings by any person or persons whomsoever being at any time hereafter made against ONGC and/or its Directors, office bearers, agents and representatives before any Court, Tribunal or Quasi-Judicial Body/Authority as regards any matter pertaining to the payment of Cess under the BOC Act, the said Act and the said Rules and also against all losses, damages, costs, charges and expenses which the ONGC and/or its Directors, office bearers, agents and representatives might reasonably incur or suffer on account of defending any such claim, action or proceedings in such regard.

V/021 to V/025 of Face Value of Rs. 50/- each under Share Certificate No.5 (referred to herein after as the said Share Certificates) in the name of the said Dilip Morarji Gala and the said deceased Mrs. Chanchalaben Morarji Gala jointly as the holders of the said Flat;

THAT Smt. Chanchalaban Morarji Gala dies intestate on 20.09.2012 leaving Mr. Morarji Karamshi Gala, her husband, the said Mr. Dilip Morarji Gala, Mr. Naresh Morarji Gala, and Dr. Bharat Morarji Gala her sons and Smt. Varsha Hasmukh Gogri, her married daughter as her legal heirs in respect of her one-half undivided share in the said Flat and the said Shares.

THAT the said Mr. Dilip Morarji Gala in or about February 1993 sold and transferred his one-half share in the said Flat and in the said Shares in favour of the said Mr. Morarji Karamshi Gala and pursuant thereto, on or about 26.03.1993, the said Society transferred the said Flat and the said Shares jointly in the names of the said Mr. Morarji Karamshi Gala and the said Deceased Smt. Chancghalaben Morarji Gala and accordingly the said Morarji Karamshi Gala and the said deceased Smt. Chamchalaben Morarji Gala bcame jointly seized and possessed of the said premises and the said Shares as Co-Owners each having one-half undivided Share therein.

THAT a duly Registered Deed of Release dated __________ as regards the said Flat has been executed in favour of Dr. Bharat Morarji Gala jointly and severally by Shri Morarji Karamshi Gala, Mr. Dilip Morraji Gala, Mr. Naresh Morarji Gala and Mrs. Varsha Hasmukh Gogri (nee Ms. Varsha Morarji Gala), which is annexed herewith as Annexure-A. The contents of the said Deed of Release are self explanatory.

THAT we have made an Application dated ___________ addressed to the Honble Chairman of the Society praying therein that the said Share Certificates which were allotted in the names of Shri Morarji Karamshi Gala and the late Mrs. Chanchalben Morarji Gala be transferred in our joint names, viz. that of Shri. THAT we have been informed by the Society that in order for the Society to accede to our said request made vide our said above-mentioned letter to the Society dated __________ we are required to furnish to the society an Indemnity Bond as under:

The Firm Monex Engineering Works situated at L.B. Shastri Marg Opp. Shiv Krupa Industrial Estate Vikhroli, Mumbai-400 083 was closed down permanently and irrevocably with effect from the closing hours of 26.11.2010.
