Notice of Hearing on ProposedAdministrative Regulations

A public hearing will be conducted at 1 p.m. Thursday,February 21, in Suite 507 of the Landon State Office Build-ing, 900 S.W. Jackson, Topeka, to consider the adoptionof proposed rules and regulations of the Board of Tech-nical Professions.

This 60-day notice of public hearing shall constitute apublic comment period for the purpose of receiving pub-lic comments on the proposed regulations. All interestedparties may submit written comments prior to the hear-ing to the Board of Technical Professions, Suite 507, Lan-don State Office Building, 900 S.W. Jackson, Topeka,66612, or by e-mail at [email protected]. All interestedparties will be given a reasonable opportunity to presenttheir views orally on the adoption of the proposed reg-ulations during the hearing. In order to give all partiesan opportunity to present their views, it may be necessaryto request each participant to limit any oral presentationto five minutes.

Any individual with a disability may request accom-modation in order to participate in the public hearing andmay request the proposed regulations and economic im-pact statement in an accessible format. The following is a brief summary of the substance ofthe proposed regulations and the economic impact:

K.A.R. 66-6-1. Seals and signatures. The board is pro-posing a revision to this existing regulation to provide anoption for a licensee to utilize a secure digital signatureon technical documents.

K.A.R. 66-6-4. Professional conduct. This existing reg-ulation also is being revised to parallel the language con-tained in K.A.R. 66-6-1 regarding the use of a digital sig-nature. The other proposed revision clarifies that all landsurveyors are to comply with the minimum standards ofpractice for land surveying set forth in K.A.R. 66-12-1.

K.A.R. 66-10-1. Architect experience of a character sat-isfactory to the board. This existing regulation is beingrevised to reflect the current version of the architect ex-perience guidelines.

K.A.R. 66-12-1. Minimum standards for the practiceof land surveying. This existing regulation is being re-vised to reflect the current version of the minimum stan-dards for the practice of land surveying. Other variouschanges that are grammatical, appropriate to format orupdated to the most current form of the statute have beenmade.

There is no anticipated economic impact on the Boardof Technical Professions. The proposed regulations arenot mandated by federal law as a requirement for partic-ipating in or implementing a federally subsidized or as-sisted program. There may be cost savings for some gov-ernmental entities in conjunction with the adoption ofK.A.R. 66-6-1. There were no less costly or less intrusivemethods considered for achieving the stated purpose of

the regulations, and there were no methods rejected infavor of the proposed regulations.

The state of Kansas will submit by December 31 an up-dated Kansas state plan and annual report for adminis-tration of the block grant to states for Temporary Assis-tance for Needy Families (TANF). TANF providesassistance to needy families with children and providesparents with job preparation, work and support servicesto enable them to leave the program and become self-sufficient. Only minor revisions are being made to theTANF state plan.

Request for Comments

Federal law requires that a specified percentage of re-cipients of Temporary Assistance for Needy Families(TANF) be engaged in work or work activities. In deter-mining if a state meets its minimum work participationrequirement, a state is allowed a credit for reducing thesize of its TANF caseload.

The Department of Social and Rehabilitation Serviceshas prepared a report on its caseload reduction estimatesand the methodology used to arrive at the estimates. K.A.R. 40-4-41. Utilization review organizations; stan-dards. The proposed policy and procedure adopts by ref-erence URAC’s Health Utilization Management Accred-itation, Version 5.0, which provides Core Standards,Version 2.0, and Health Utilization Management Stan-dards for Utilization Review Organization. Changes to

URAC’s Health Utilization Management Accreditationhave been made to comply with Kansas laws.

The proposed revisions to this regulation incorporateall of the standards that were contained in K.A.R. 40-4-41a through K.A.R. 40-4-41j into this regulation. This pro-posed change makes it easier for users of the regulationto determine the difference in Kansas law to URAC’sHealth Utilization Management Standards.

The economic impact on entities that perform utiliza-tion review activities is minimal given that many of theseentities currently follow URAC standards. There will belittle or no economic impact on consumers, the KansasInsurance Department, and other governmental agencies.

The Horse Thief Reservoir project is located approxi-mately 9 miles west of Jetmore, Kansas, near the junctureof Kansas Highway 156 and County Road 255. The res-ervoir project includes a zoned earthfill embankmentdam with a total volume of approximately 2,500,000 CY.Features to be constructed include a principal spillwayand an auxiliary spillway. The embankment is approxi-mately 86 feet high, with a crest width of 15 feet and acrest length of approximately 7,210 feet. The seepage con-trol features include a conventional cutoff trench to bed-rock, a cement/bentonite slurry trench (approximately40,250 SF, with an approximate depth of 25 feet), andchimney and toe drains. The principal spillway will con-sist of an intake tower and bridge located near the up-stream toe, a 60-inch diameter conduit consisting of con-crete-encased steel pipe approximately 400 feet longfounded on bedrock, and a stilling basin. The auxiliaryspillway will consist of an excavated 500-foot-wide un-lined, open-channel chute protected with concrete cutoffwalls. In addition, the project includes relocation of ap-proximately 1,000 lineal-feet of County Road 255. Theconstruction cost is estimated at $15,000,000.

This opinion is in response to your letter received byemail on November 19, 2007, in which you request anopinion from the Kansas Governmental Ethics Commis-sion concerning the state level conflict of interest laws,K.S.A. 46-215 et seq. We note at the outset that the Com-mission’s jurisdiction is limited to the application ofK.S.A. 46-215 et seq., and whether some other statutorysystem, common law theory or agency rule or regulationapplies to your inquiry is not covered by this opinion.Factual Statement:

We understand that you are asking for this opinion inyour capacity as program director for the Kansas HealthPolicy Authority’s HealthQuest Program. You have ex-plained that the Kansas Health Policy Authority would

like to provide a $50.00 reward to state employees whoparticipate in the Authority’s Wellness Program. This re-ward would be available to all benefits-eligible state of-ficers and employees who participate in the Wellness Pro-gram, and would be paid through the employee’spaycheck after deducting income taxes. You state that itis common practice for employers to offer incentives ofthis kind in order to increase participation in programsdesigned to improve employee health and reduce healthcare costs.Question:

May benefits-eligible state officers and employees ac-cept a cash reward for participating in the Kansas HealthPolicy Authority’s Wellness Program?Opinion:

K.S.A. 2007 Supp. 46-237a, which applies to all officersand employees of the executive branch of state govern-ment, states in pertinent part:

(b) No person subject to the provisions of this sectionshall solicit or accept any gift, economic opportunity, loan,gratuity, special discount or service provided because ofsuch person’s official position . . . . (Emphasis added.)

K.A.R. 19-40-3a defines the term ‘‘gift’’ as follows:(b) ‘‘Gift’’ means the transfer of money or anything of

value unless legal consideration of a reasonably equal orgrater value is received in return.

The gift prohibition for executive branch officers andemployees includes gifts given from anyone, includingstate agencies. See Opinion No. 2002-08. State officers andemployees subject to the provisions of K.S.A. 2007 Supp.46-237a are entirely prohibited from accepting gifts givenbecause of their official position.

In opinion 1999-50, the Commission discussed the def-inition of ‘‘official position’’ and held that:

[T]he term ‘‘official position’’ refers to an individual’s par-ticular position with the State and does not apply gener-ally to a person because they are a State employee. Forguidance, the Commission notes that a gift or discountwhich is provided to all State employees is not being pro-vided to a person because of his or her ‘‘official position.’’

Because the Wellness Program reward is available toall benefits-eligible state officers and employees, the re-ward would not be given to any officer or employee ofthe executive branch because of his or her official posi-tion.

Gifts to state legislative branch officers and employeesare subject to the provisions of K.S.A. 46-237, which statesin pertinent part:

(a) [N]o state officer or employee, candidate for state of-fice or state officer elect shall accept, or agree to acceptany (1) economic opportunity, gift, loan, gratuity, specialdiscount, favor, hospitality or service having an aggregatevalue of $40 or more in any calendar year. . . from anyone person known to have a special interest, under cir-cumstances where such person knows or should knowthat a major purpose of the donor is to influence suchperson in the performance of their official duties or pro-spective official duties.

The reward would not be given to an officer or em-ployee of the legislative branch to influence such officer

or employee in the performance of their official duties.Therefore, the Wellness Program reward may be acceptedby officers and employees of the executive and legislativebranches of state government without violating the stateconflict of interest statutes.

Judicial branch employees are not covered by the stateconflict of interest laws, and therefore, are not addressedin this opinion.

Written November 28, 2007, to all interested persons:Pursuant to K.S.A. 25-4159, the Kansas Governmental

Ethics Commission takes this opportunity to issue itsopinion regarding the use of campaign funds for vehicleexpenses incurred for legitimate campaign purposes oroffice-holder expenses under the Campaign Finance Act,K.S.A. 25- 4142 et seq.Opinion:

K.S.A. 25-4157a states in pertinent part:(a) No moneys received by any candidate or candidatecommittee of any candidate as a contribution under thisact shall be used or be made available for the personal useof the candidate and no such moneys shall be used bysuch candidate or the candidate committee of such can-didate except for:

(1) Legitimate campaign purposes;

(2) expenses of holding political office;. . .For the purpose of this subsection, expenditures for ‘‘per-sonal use’’ shall include expenditures to defray normalliving expenses for the candidate or the candidate’s familyand expenditures for the personal benefit of the candidatehaving no direct connection with or effect upon the cam-paign of the candidate or the holding of public office.

Candidates for political office may use campaign fundsto pay for otherwise un-reimbursed vehicle expenses in-curred as a result of holding political office or for legiti-mate campaign purposes. In the past the Commissionpermitted candidates to be reimbursed for either theamount of vehicle expenses incurred or for mileage. Dueto the difficulty in determining the allocation of vehicleexpenses between a candidate’s personal use of a vehicleand the candidate’s use of a vehicle for holding politicaloffice or for campaign purposes, the Commission nowdetermines that beginning January 1, 2008, the use ofcampaign funds to pay for otherwise un-reimbursed ve-hicle expenses will be limited to the state mileage reim-bursement rate. When claiming reimbursement for mile-age from campaign funds, the treasurer, pursuant toK.S.A. 25-4147 and K.A.R. 19-27-3, shall keep detailed re-cords for mileage expenditures showing the dates oftravel, the necessity for and specific purpose of the travel,and the actual mileage traveled. If a candidate does notreceive reimbursement during the reporting period inwhich the mileage expense was incurred, the expensemust be listed as an account payable on the candidate’sreceipts and expenditures report for each reporting pe-riod until the reimbursement is paid.

K.A.R. 17-25-1 is a new regulation concerning the ap-plicable fees for initial registrations, renewals and amend-ments of applications to conduct business as a credit serv-ices organization in the state of Kansas pursuant to theKansas Credit Services Organization Act, K.S.A. 50-1116et seq. The regulation includes an initial application feeof $500, an annual renewal feel of $200 and a $25 fee forany amendments to the registration, such as a namechange on the registration certificate. There are no ex-pected new costs to the OSBC associated with the adop-tion of this regulation. This regulation would increase thefee being received by the OSBC for an initial Credit Serv-ices Organization license from $100 to $500, and increasethe annual renewal and amendment fees from their cur-rent status of no fee to $200 and $25 respectively. Thecosts of adoption of the regulation to the applicants forregistration and renewal are clearly delineated throughthe fee assessments outlined in the regulation.

A summary of the proposed amended rules and reg-ulations to be considered at the hearing and the respectiveeconomic impact follows:

K.A.R. 100-29-7. Fees. This regulation establishes thefees collected by the board for physical therapists andphysical therapy assistants for license application, rein-statement and renewal.

With the implementation of new procedures, theboard’s involvement in processing physical therapy ap-plications based on examination has decreased. The feefor this service is being decreased proportionally for theapplicant. Based upon the assumption that the amend-ments to this rule and regulation will become effectiveprior to July 1, 2008, the FY 2009 anticipated decrease inincome to the board by amending K.A.R. 100-29-7 is$1,900 (95 applications based on exam x $20 decrease).There is no foreseen cost to the public to implement thisregulation.

K.A.R. 100-54-4. Fees. This regulation establishes thefees for initial licensure, license renewal, late renewal,temporary permits and various other fees collected by theboard in the profession of respiratory therapy.

K.A.R. 100-55-4. Fees. This regulation establishes thefees for initial licensure, license renewal, late renewal,temporary permits and various other fees collected by theboard in the profession of occupational therapy.

Article 4.—PUBLIC ASSISTANCE PROGRAM

30-4-98. Funeral assistance (FA) program. Assis-tance may be provided for funeral expenses upon thedeath of a recipient under the TAF, GA, or medical assis-tance program. (a) Funeral expenses. Funeral expensesshall include the cost of the following:

(1)(A) The preparation of the body;(B) a minimal casket;

(C) the transportation of the body within the trade area;and

(D) a service; or(2) a cremation.(b) Application. Each request for funeral assistance

shall be made within six months after either the date ofdeath or the date on which the body is released by acounty coroner.

(c) Treatment of resources.(1) If a decedent, at the time of death, was not living

with a child of the decedent who was under age 21, thespouse of the decedent, or an adult disabled child of thedecedent, the total estate of the decedent shall be consid-ered available. This provision shall not be applicable insituations in which there were separate living arrange-ments because of the need for institutional care. The es-tate shall not be allowed any exemptions.

(2) Eligibility for assistance shall be based on the assetsowned by the family group at the time of decedent’sdeath, under these circumstances:

(A) If, at the time of death, a decedent was living witha child of the decedent who was under age 21, the spouseof the decedent, or an adult disabled child of the dece-dent, or if the decedent was a child under age 21 livingwith the parent of the decedent; or

(B) if there were living arrangements separate from oneof the persons specified in paragraph (c)(2)(A) because ofthe need for institutional care.

(3) The total amount of proceeds on any life insurancepolicy on the decedent shall be considered available if thepolicy was owned by the decedent, the spouse of the de-cedent, or, if the decedent was a child under age 21, theparent of the decedent.

(4) Death benefits from SSA, VA, railroad retirement,KPERS, and any other burial funds shall be consideredavailable.

(d) Resource limit. If the value of the resources consid-ered available in accordance with subsection (c) does notexceed $2,000, assistance may be provided.

If the resource value exceeds $2,000, the decedent shallbe ineligible for assistance.

(e) Assistance provided. If the decedent is eligible, theamount of funeral assistance provided shall be $680, ex-cept that the total cost of funeral expenses, including the$680 payment, shall not exceed $2500. If the total costexceeds $2500, no assistance shall be provided.

(2) any statement, design, device, or representationthat is obscene, as defined by K.S.A. 21-4301(c)(1) andamendments thereto; or

(3) any statement concerning the brand of alcoholic liq-uor that is inconsistent with any statement on the label-ing.

(b) Cooperative advertising by two or more retail liq-uor stores shall be permitted, but advertisements for re-tail liquor stores shall not directly or indirectly imply,state, or suggest to the public that multiple retail liquorstores have the same ownership or are part of a chain orfranchise of retail liquor stores.

(c) Each advertisement shall conspicuously state thefull ‘‘doing business as’’ name of each licensed premisesincluded in the advertisement. This name shall be at leastas prominent as the stated location of the licensed prem-ises. Article 24.—WINERY SHIPPING PERMITS

14-24-1. Definitions. As used in this article, unlessthe context clearly requires otherwise, the followingterms shall have the meanings specified in this regulation:

(a) ‘‘Director’’ has the meaning specified in K.S.A. 41-102, and amendments thereto.

(b) ‘‘Large winery shipping permit’’ means a shippingpermit issued pursuant to K.S.A. 41-349, and amend-ments thereto, to a wine manufacturer licensed in anotherstate that manufactures at least 100,000 gallons of wineeach year.

(c) ‘‘Small winery shipping permit’’ means a shippingpermit issued pursuant to K.S.A. 41-348, and amend-ments thereto, to an entity that meets the following con-ditions:

(1)(A) Is a farm winery licensed in Kansas; or(B) is a wine manufacturer licensed in another state;

and(2) manufactures no more than 100,000 gallons of wine

each year.(d) ‘‘Wine distributor’’ means any person licensed pur-

suant to K.S.A. 41-306a, and amendments thereto, to sellor offer for sale wine to any person authorized by law tosell wine at retail.

(e) ‘‘Winery shipping permit’’ means either a large win-ery shipping permit or a small winery shipping permit.(Authorized by and implementing K.S.A. 2006 Supp. 41-348 and 41-349; effective Dec. 28, 2007.)

14-24-2. Shipping record to accompany each ship-ment of wine. Each holder of a winery shipping permitshall complete a shipping record form approved by thedirector for each shipment of wine. The shipping recordshall be distributed as follows:

(a) The permit holder shall retain the original with thepermit holder’s business records for at least three yearsand shall make the original shipping record and the busi-ness records available for audit by the director of taxationor director’s designee.

(b) The permit holder shall attach a copy to the annualreport of sales filed with the director of taxation if thepermit holder is located outside the state of Kansas.

(c) The permit holder shall attach the following copiesto the outside of the shipment:

(1) Two copies for the Kansas retailer. The retailer shallsubmit one copy with the retailer’s liquor enforcement taxreturn. The retailer shall retain the other copy for at leastthree years and shall make the copy available for auditby the director of taxation or the director’s designee;

(2) one copy to be given to the purchaser when thepurchaser picks up the shipment from the retailer; and

(3) one copy for the Kansas distributor if the shipmentis made through a Kansas distributor. The distributorshall retain this copy for at least three years and shallmake the copy available for audit by the director of tax-ation or the director’s designee. 14-24-3. Disposition of wine shipment not re-moved from retailer’s premises. (a) The retailer shall no-tify the purchaser upon receipt of the wine shipment or-dered by the purchaser. If the purchaser fails to pick upthe wine shipment and pay the handling fee and liquorenforcement tax due pursuant to statute, the retailer shallnotify the director. The wine shipment and the shippingrecord shall be picked up by the director or the director’sdesignee and shall become the property of the director.The retailer shall document in writing the efforts that theretailer made to contact the purchaser. The retailer shallnot be entitled to a handling fee, and no liquor enforce-ment tax shall be calculated or reported by the retailer.

(b) Wine that has become the property of the directoras specified in subsection (a) shall, at the discretion of thedirector, be either destroyed or sold at auction. Wine soldat auction may be purchased only by a retailer licensedunder the Kansas liquor control act. (Authorized by andimplementing K.S.A. 2006 Supp. 41-348 and 41-349; ef-fective Dec. 28, 2007.)

14-24-4. Gallonage tax returns and payments byout-of-state permit holders. Each out-of-state permitholder shall annually submit the following to the directoron or before January 15 of the next calendar year:

(a) A tax return reporting all shipments subject to thegallonage tax, on forms approved by the director; and

(b) payment of the gallonage tax on all shipments. (Au-thorized by and implementing K.S.A. 2006 Supp. 41-348and 41-349; effective Dec. 28, 2007.)

14-24-5. Calculation and payment of the liquor en-forcement tax. (a) Each Kansas retailer shall calculate andcollect from the purchaser the liquor enforcement tax oneach wine shipment when the shipment is delivered tothe purchaser. The liquor enforcement tax shall be cal-culated on the total charges paid by the purchaser to boththe holder of the winery shipping permit and the retailer,including the following charges:

(1) The price of the wine and all handling and shippingcharges paid to the permit holder, as shown on the ship-ping record; and

(2) the handling charge paid to the retailer.(b) The retailer shall identify the total amount of tax

collected on each shipment and remit this amount to theKansas department of revenue pursuant to K.S.A. 79-4103, and amendments thereto. (Authorized by and im-plementing K.S.A. 2006 Supp. 41-348 and 41-349; effectiveDec. 28, 2007.)

14-24-6. Report of sales by permit holders. (a) Eachin-state permit holder shall report information about thepermit holder’s sales each month to the director of taxa-tion on forms approved by the director. Each report shallbe due on or before the 15th day of the month followingthe end of each month.

(b) Each out-of-state permit holder shall annually re-port information about the permit holder’s sales to thedirector of taxation on forms approved by the director.Each report shall be due on or before January 15 of thenext calendar year. Article 2.—BUSINESS RECOVERY—CONTINGENCY PLANNING

121-2-1. Contingency plan. (a) Plan establishment.Each credit union’s board of directors shall develop andmaintain a current written contingency and business re-covery plan, which shall be referred to as ‘‘the plan’’ inthis regulation, meeting the requirements of subsection(b). The plan shall provide an established basis for actionif the credit union is affected by a disaster, whether nat-ural, human, or technical, that causes a disruption of op-erations.

(b) Plan requirements. The plan shall establish specificprocesses and procedures to ensure a timely resumptionof services and minimize financial loss to the credit union.The plan shall meet the following requirements:

(1) Identify critical products and services, includingphysical, technical, and human, provided by the creditunion and by third-party service providers;

(2) identify, assess, and prioritize the credit union’s ex-posure to specific and general risks, including the failureof credit union operating systems and the interruption ofservice from third-party service providers;

(3) state the key assumptions on which the plan is pred-icated;

(4) state the credit union’s response to each identifiedrisk, including steps to minimize the potential impact ofthe disruption;

(5) address data reconstruction and provide for secureand remote backup storage of data files, programs, andrecords;

(6) state the alternative responses to each event thatcould cause the interruption of service, if the credit un-ion’s response is dependent upon the anticipated dura-tion of the service interruption;

(7) provide for the relocation of the credit union, recov-ery of necessary data and operating systems, and re-sumption of key or critical products and services; and

(8) provide for alternate methods to communicate withemployees, members, business partners, third-party ven-dors, the news media, regulators, and other outside par-ties.

(c) Testing. Each credit union’s board of directors shallannually conduct one or more operational tests of theplan for each identified key or critical product or service.The board of directors shall document the results of thetest or tests, including identified weaknesses and correc-tive action taken.

(d) Plan review. Each credit union’s board of directorsshall at least annually review and approve the plan. Thereview and approval shall be reflected in the minutes ofthe credit union. Article 3.—CREDIT UNION SERVICESORGANIZATION (CUSO)

121-3-1. Credit union services organization(CUSO). (a) Organization. The board of directors of acredit union may invest in or make loans to a CUSO onlyif the CUSO is legally established under Kansas law as acorporation, a limited partnership, or a limited liabilitycompany, is operated as a legal entity separate from thecredit union, and meets the following requirements:

(1) Ensuring that the CUSO’s business transactions, ac-counts, and records are not intermingled with those of aninvesting or lending credit union;

(2) observing the formalities of the CUSO’s separatecorporate procedures;

(3) ensuring that the CUSO is adequately financed as aseparate entity for obligations reasonably foreseeable ina business of its size and character;

(4) identifying the CUSO to the public as an enterpriseseparate from the investing or lending credit union;

(5) not operating as a department of an investing orlending credit union; and

(6) in the absence of a credit union-guaranteed loan tothe CUSO, ensuring that all borrowings by the CUSO in-dicate that the credit union is not liable for an amountgreater than the credit union’s loan or investment to theCUSO.

(b) In order to document and verify the required sep-aration, the board of directors of each investing creditunion and the board of directors of each lending creditunion that intends to invest in or loan to a CUSO on orafter February 1, 2008 shall obtain a written legal adviceor opinion regarding whether the CUSO is established ina manner that will limit potential exposure of the creditunion to no more than the loss of funds invested in, orlent to, the CUSO. The written advice or opinion shallalso address the following factors:

(1) Whether the legal identity of the CUSO is separatefrom that of the investing or lending credit union;

(2) whether the boards of directors and employees arepersons in common;

(3) whether one entity has control over the other; and(4) whether separate books and records are maintained.(c) Investments and loans. The board of directors of a

credit union may invest in or make loans to a CUSO if allof the following conditions are met:

(1) The CUSO engages only in permissible operationaland financial services that are primarily provided to theinvesting or lending credit union, the investing or lendingcredit union’s members, or another credit union and itsmembers.

(2) The investing or lending credit union requires no-tification by the CUSO when a change in CUSO capitalstock or ownership that is greater than 51 percent occurs.

(3) The CUSO does not engage in activities prohibitedby subsections (e) or (f).

(4) The CUSO complies with subsections (g), (h), and(i).

(d) Permissible services. The board of directors of acredit union may invest in or make loans to a CUSO thatprovides one or more of the following general services:

(1) Checking and currency services;

(2) clerical, professional, and management services;(3) electronic transaction services;(4) financial counseling services;(5) loan support services;(6) record retention, security, and disaster recovery

services;(7) shared credit union branch or service center oper-

ations; or(8) trust and trust-related services.Each CUSO’s president or chief executive officer shall

ensure the CUSO’s compliance with applicable federal,state, and local laws when engaging in any of the servicesspecified in paragraphs (d)(1) through (8). Each servicethat is not authorized in paragraphs (d)(1) through (8)shall be required to be approved by the administrator ofthe Kansas department of credit unions, as a financial oroperational service before a CUSO may offer that service.Each request for approval shall include a full explanationof the proposed service and how that service would pro-vide a financial or operational benefit to the investing orlending credit union, the investing or lending credit un-ion’s members, or another credit union and its members.

(e) Prohibited activities. The board of directors of acredit union shall not invest in or make loans to a CUSOthat has acquired control, directly or indirectly, of anotherfinancial institution or has invested in shares, stocks, orobligations of an insurance company, trade association,liquidity facility, or similar organization. The board ofdirectors of a credit union shall not engage in any activity,contract for, or enter into any form or manner of arrange-ment with a CUSO that would cause the credit union tobe committed or liable for an amount in excess of its in-vestment in or loan to the CUSO.

(f) Conflict of interest.(1) For purposes of this subsection, the following defi-

nitions shall apply:(A) ‘‘Official’’ means a director or committee member

of a credit union.(B) ‘‘Senior management employee’’ means a chief ex-

ecutive officer, assistant chief executive officer, or chieffinancial officer of a credit union. This term shall includethe president, treasurer, manager, assistant president,vice president, assistant treasurer, and assistant managerof a credit union.

(C) ‘‘Immediate family member’’ means a spouse, par-ent, adult sibling, or other family member who lives inthe same household.

(2) An official or senior management employee of acredit union that invests in or makes loans to a CUSO,and any immediate family member of the individual,shall not receive any salary, commission, investment in-come, or other income or compensation from a CUSOeither directly or indirectly, or from any person beingserved through the CUSO. This paragraph shall not pro-hibit an official or senior management employee of acredit union from providing occasional minor assistancein the operation of a CUSO, if the individual is not com-pensated by the CUSO. The CUSO may reimburse thecredit union for the services provided by the officials andsenior management employees only if the account receiv-able of the credit union due from the CUSO is paid in fullat least every 60 days.

All transactions with business associates or with indi-viduals not specifically prohibited by paragraph (f)(1)(C)shall be conducted at arm’s length and in the interest ofthe credit union.

(g) Accounting procedures. The board of directors ofeach credit union shall follow generally accepted account-ing principles to record any investment in, loan to, orother transactions with a CUSO. The CUSO’s presidentor chief executive officer shall agree in writing with anycredit union for which the CUSO provides financial oroperational services to follow generally accepted account-ing principles.

(h) Financial statements. The board of directors of eachcredit union shall obtain the following from any CUSOwith which the credit union has an outstanding loan orinvestment:

(1) A certified public accountant’s opinion audit of theCUSO’s financial statements conducted in accordancewith generally accepted auditing standards on at least anannual basis; and

(2) quarterly financial statements, including a balancesheet and income statement.

(i) Access to records. The board of directors of a creditunion shall not invest in or make loans to a CUSO whosechief executive officer has not agreed, in writing, withthat credit union’s board of directors to provide repre-sentatives of the Kansas department of credit unions withcomplete access to any of the books and records of theCUSO as the administrator may request. Article 5.—CREDIT UNION DETERIORATINGCONDITION

121-5-4. Meaning of insolvent. (a) For purposes ofthis regulation, the following definitions shall apply:

(1) ‘‘Assets’’ shall mean all items owned by a creditunion, including cash, loans, investments, buildings,equipment, accounts receivable, and repossessed collat-eral.

(2) ‘‘Liabilities’’ shall mean all items owed by a creditunion, including accounts payable, notes payable, andoutstanding checks.

(b) A credit union shall be deemed to be ‘‘insolvent,’’as that term is used in K.S.A. 17-2206(d) and K.S.A. 17-2230(b) and amendments thereto, if the total amount ofthe credit union’s shares exceeds the credit union’s assetsafter accounting for liabilities, unless all of the followingconditions are met:

(1) The administrator of the Kansas department ofcredit unions determines that the facts that caused thedeficient share-asset ratio no longer exist.

(2) Further depreciation of the share-asset ratio is notlikely.

Article 9.—FOREIGN CREDIT UNIONS

121-9-1. Foreign credit union; requirements forapproval. (a) Before doing business in this state, the boardof directors of each foreign credit union shall obtain theapproval of the administrator of the Kansas departmentof credit unions.

(b) In order to apply for the administrator’s approvalof a foreign credit union, the board of directors of theforeign credit union shall meet the following require-ments:

(1) Describe on a form provided by the administratorhow the group or groups who have a common bond ofoccupation or association or who reside within a well-defined neighborhood, community, or rural district arein compliance with K.S.A. 17-2205 and amendmentsthereto;

(2) provide documentation by which the administratorcan evaluate the financial safety and soundness of thecredit union, including the following:

(A) A statement from the credit union regulator in thestate where the foreign credit union is chartered or in-corporated that the credit union is in good standing inthat state;

(B) a copy of the most current insurance certificate fromthe national credit union share insurance fund;

(C) a copy of the credit union’s most current balancesheet, the year-to-date income statement, and the mostrecent call report;

(D) a resolution from the foreign credit union’s boardof directors stating that, for loans originating in Kansas,the foreign credit union will comply with Kansas statutesand regulations;

(E) a copy of the most recent regulatory examination,annual supervisory committee audit report, or equivalentexamination or report from the credit union regulator inthe state where the foreign credit union is chartered orincorporated; and

(F) a description of the services that the credit unionintends to provide to its members; and

(3) if deemed necessary by the administrator to deter-mine the credit union’s safety and soundness, undergoan examination by the Kansas department of credit un-ions. (Authorized by K.S.A. 17-2260; implementing K.S.A.2006 Supp. 17-2223a; effective Dec. 28, 2007.)
