MOTION OF CERTAIN FLORIDA CHINESE DRYWALL CLAIMANTS FOR APPOINTMENT OF COMMITTEE

Certain Florida Chinese Drywall Claimants2 (collectively “Drywall Claimants”), by and

through their undersigned counsel, move the Court for appointment of a Defective Chinese

Drywall Committee. In support of this Motion, the Drywall Claimants respectfully state:

I. INTRODUCTION

1. On August 4, 2008 (the “Petition Date”), the Debtors filed Voluntary Petitions for

relief under Chapter 11 of Title 11 of the United States Bankruptcy Code (the “Bankruptcy

Code”) in the United States Bankruptcy Court for the District of Delaware. The Debtors are

debtors in possession.

2. On August 13, 2008, the office of the United States Trustee filed a Notice of

Appointment of Committee of Unsecured Creditors. At the time of formation of the Committee,

the Drywall Claimants were not yet aware of the existence of their claims as creditors of the

Debtors’ estates.

II. RELIEF REQUESTED

3. By this Motion, the Drywall Claimants request entry of an Order forming a

special committee of Florida Defective Drywall Claimants pursuant to 11 U.S.C. §

1102(a)(2).(“Drywall Committee”) This special committee will allow the Drywall Claimants to

be adequately represent as a distinct group of creditors and it will protect rights and interests

which will not be adequately safeguarded by the UCC.

III. ARGUMENT AND AUTHORITIES

THE APPOINTMENT OF A FLORIDA DEFECTIVE DRYWALL CLAIMANTS’ COMMITTEE IS APPROPRIATE IN ORDER TO ASSURE

ADEQUATE REPRESENTATION OF DRYWALL CLAIMANTS

4. 11 U.S.C. § 1102(2) provides:

On request of a party in interest, the Court may order the appointment of additional committees of creditors or of equity security holders if necessary to assure adequate representation of creditors or equity security holders. The United States Trustee shall appoint any such committee.

5. The ability for courts to appoint additional committees has been specifically

recognized by this Court. In In re Etoys, Inc., 331 B.R. 176 (Bankr. D. Del. 2005), this Court

recognizes its power under 11 U.S.C. § 1102(a)(2), stating that it may appoint an additional

committee “if necessary to assure adequate representation.” Etoys, 331 B.R. at 186 (quoting 11

U.S.C. § 1102(a)(2)).

6. The determination of whether the appointment of an additional creditors’

committee is “necessary to assure adequate representation of creditors” must be resolved on a

case by case basis. 7 Collier on Bankruptcy ¶ 1102.02[4][a], p. 1102-19 (Matthew Bender 15th

Ed.). In In re Drexel Burnham Lambert Group, Inc., 118 B.R. 209 (Bankr. S.D.N.Y. 1990), the

court noted:

[T]he chief concern of adequacy of representation is whether it appears that different classes of debt and equity holders may be treated differently under a plan and need representation through appointment of additional committees.

Id. at 212, citing H.R.Rep. No. 595, 95th Cong., 1st Sess. 401 (1977), U.S.Code Cong. & Admin.

News 1978, p. 5787; In re McLean Ind., Inc., 70 B.R. 852, 861 (Bankr. S.D.N.Y. 1987); In re

Beker Ind. Corp., 55 B.R. 945 (Bankr. S.D.N.Y. 1985). Furthermore, this Court has frequently

appointed special committees in asbestos cases which, as in this case, have a class of claimants

that may not even know of the existence of their claims.

7. In this case, Drywall Claimants are a relatively numerous group that are overly

burdened and have not been specifically informed by the Debtors of the existence of defective

Chinese drywall in their homes. All Drywall Claimants may have claims against insurance

coverage that is not necessarily an asset of the estate and there may be unique discovery required

and remedies available for the Drywall Claimants. Furthermore, there may need to be

declaratory judgment actions against insurance carriers.

8. While drywall claimants may have received notice of the bankruptcy and the Bar

Date, they may be unaware that they have defective Chinese drywall and that the problems they

are experiencing may be related to defective Chinese drywall or give rise to claims against the

Debtors. Consequently, these unique claims may include implications under 11 U.S.C. §

523(a)(3) and need to be addressed to insure a successful plan of reorganization. Furthermore,

any plan of reorganization filed in this case may need to classify the claims of Drywall Claimants

separately from general unsecured claims. “[A] plan may place a claim or an interest in a

particular class only if such claim or interest is substantially similar to the other claims or

interests of such class.” 11 U.S.C. § 1122(a). The claims of Drywall Claimants may not be

substantially similar to the claims of general unsecured creditors for reasons already noted.

9. For the reasons set forth above, the UCC cannot adequately represent the unique

interests of the Drywall Claimants.

10. Appointment of a Florida Defective Drywall Claimants’ Committee will assist in

the administration of the estate. There have been multiple motions filed by Drywall Claimants

for extension of the previously set Bar Date. Those Drywall Claimants were unaware of their

claims prior to the Bar Date and it is believed that there are numerous additional potential

claimants that have not been informed by the Debtors of the existence of defective drywall in

their homes and they may have claims associated therewith. A Drywall Claimants’ Committee

could work to assist in the appropriate extension of a Bar Date for these possible claimants and

move to have the Debtors provide adequate notice and disclosure. The Drywall Claimants’

Committee could protect all of this class of claims, could centralize discovery and assist in the

formation of a Plan that addresses the needs of its constituency while protecting the viability of

the reorganization process for the Debtor.

11. Furthermore, the Drywall Claimants specifically are opposed to inclusion as

members of any yet to be certified class and want to maintain their independence while working

with the estate to evaluate insurance coverage, other possible causes of action to against parties

liable for the production, delivery and installation of the defective Chinese Drywall and to

organize and create viable procedures to manage the claims of the Drywall Claimants.

12. In addition, there may be many parties who may have Drywall that is not

defective installed in their homes and to preserve and protect the legitimate defective Drywall

Claimants, the Drywall Claimants’ Committee could assist the Debtor in creating a process to

manage the costs to evaluate claims to determine whether a potential claimant does, in fact, have

defective Chinese Drywall.

IV. CONCLUSION

13. The UCC cannot adequately represent the very substantial, unique and shared

interests of the Drywall Claimants. A separate committee charged with advocating the interests

of those creditors before this Court, negotiating with the Debtors and other creditors, and keeping

Drywall Claimants informed regarding developments in the case important to them will facilitate

the administration of the case and reduce the total costs to creditors in connection with the case.

Accordingly, the Drywall Claimants urge this Court to enter an order, substantially in the form

attached hereto as Exhibit A, appointing a Florida Defective Chinese Drywall Claimants’

Committee.

Upon consideration of the Motion of Certain Florida Chinese Drywall Claimants for

Appointment of Committee (the “Motion”); and the Court being satisfied, based upon the

representations made in the Motion, that a Drywall Claimants’ Committee is required to

adequately represent the common, unique and significant interest of the Drywall Claimants2

because the Drywall Claimants are unrepresented by the existing Official Committee of

Unsecured Creditors and have no other avenue for participation; and based upon the

representations made at the hearing on the Motion, if any; and it appearing that due and

sufficient notice of the Motion has been given, and that no further notice need be given; and

good cause having been shown, it is hereby

ORDERED that the Motion is GRANTED; and it is further

ORDERED that the United States Trustee is hereby directed to appoint a Drywall
