8. In case of court suit, the venue shall be the courts of competent jurisdictionCalamba City, to the exclusion ofall other coufts.

6. Any amendment to this Contract Agreement shall be made mutually inand signed by the procuring Entity and the Consultant.

the cost of the unperformed portion for every day of delay. Once cumulatiamount of liquidated damages reaches ten (10) percent of the Contract Price, tProcuring Entity shall rescind the Contract Agreement, without prejudiceother courses of action and remedies open to the Procuring Entity.

Should any dispute related to this contract and/or rights of the parties arise,same shall be submitted in mutual consultation, m'ediation and arbitration,order of application. The venue of the proceedings shall be at Calamba CLaguna.

This Contract Agreement shall commence seven days upon receipt by theConsultant of the Notice to Proceed and shall be eflfective until the issuance ofacceptance ofthe Final Report by the Procuring Entity.

Failure to comply with the Terms and Conditions of this Contract Agreement willresult in the payment ofcorresponding penalties/liquidated damages. The amountof liquidated damages shall be at least equal to one-tenth ofone percent (0.1%) of
