Business Overview

The view from the top

In Unitas Capital and NWS Holdings, I believe that we have found the ideal new shareholders and partners to take Hyva to the next level.

Both companies are highly experi-enced in business in Asian markets – Unitas as a private equity investor in engineering and technology busi-nesses and NWS as an operator of infrastructure (roads, energy, water, ports and logistics) and service businesses (facilities management, construction and transport). Our new partners will also bring new perspectives in some management disciplines such as project finance and supply chain management, procurement and sourcing.

In recent years we have enjoyed significant growth in China and India, and this is likely to continue. It is hugely beneficial therefore that we have active shareholders, with strong network connections, who understand and can help accelerate and consolidate Hyva's position in these regional markets throughout Asia.

However, Hyva will remain a global company with its key functions in the Netherlands although some key leading positions are expected to be based in Hong Kong. All growth markets, including South America, Africa, Central and Eastern Europe and Russia, will be targeted. Western Europe remains exceptionally important in developing many new technologies, applications and markets before they go global. And, much of the potential in North America and Australia is yet to be realised. Our global perspective is vital to the continued success and performance of the company and will

be maintained through our distri-buted network of production facilities, R&D centres, sales offices and agents.

Employees around the world, at all levels in the com-pany, should be encouraged and excited by the new ownership. Growth brings opportunity in both quantity and quality of employ-ment prospects and career development.

Looking ahead, we expect strong positive growth in most of our regions of operation and expect to achieve revenues in excess of EUR 1 billion in the next five years. We are particularly encour-aged by the potential in the environ-mental service industry and we will be working hard to become a global market leader in this industry as we are in commercial vehicles today.

We recently celebrated the produc-tion of the one millionth Hyva hydraulic cylinder at a ceremony in India. This is a very tangible reminder of the past performance and future potential of the company. The future is bright for Hyva.

As we welcome our new sharehold-ers, we must also say farewell and thank you to 3i and especially our outgoing Chairman, Hamdi Conger. We have worked closely together over the last seven years, tripled the size of the company and brought Hyva a long way towards the truly global business that it is today.

My role within Hyva will also be changing in the coming months. After more than twenty years with Hyva, more then seven of them as CEO, I will be stepping down but will continue to be associated with Hyva in an advisory role. I would like to thank my fellow Board members, our management teams and all of our employees for their contributions to the growth and success of Hyva during my tenure as CEO.

It has been a remarkable journey for all of us and I have enjoyed every step of it. I feel privileged by having had the chance to work together with a remarkable team of people over more than two decades and I would like to especially say thanks to all our customers for their loyalty and friendship while we were growing together. I will never forget it.

The new investment in Hyva, a leveraged buyout by Hong Kong-based Unitas Capital and NWS Holdings is a significant develop-ment for our company. Financing of the debt portion of the deal entirely through a $375 million high-yield bond issue is a first-of-its-kind in Asia. This innovative approach demonstrates creative leadership, gives more flexibility in financial management and conserves cash within the business for day-to-day operations.

The success of the bond issue can also be viewed as a 'vote of confi-dence' in Hyva by international investors and validation of the new shareholders' assessment of the value of Hyva's brand, entrepreneur-ial spirit, R&D culture, products and services, global positioning and strength in growing markets.

The addition of new shareholders with strong credentials in operations in Asian markets is a powerful and timely development for Hyva. Unitas Capital has partners with the operating expertise to evaluate investments and NWS is a well established operator and service provider in roads, energy, water, ports and logistics projects in Mainland China. Their affinity with parts of Hyva's existing business is strong.

Since 2004, with 3i as investors, Hyva has achieved significant growth and established a global business. In the next stage with Unitas and NWS as investment partners we will be aiming, through organic growth and acquisition, to drive business revenues beyond EUR

1 billion and achieve, besides our current global leadership in hydraulic solutions, market leadership in sectors such as environmental services.

medium term growth is likely to come from operations in India, China and other Asian markets. Our new partners' experience in these markets will be invaluable.

Demand for hydraulic cylinders will increase and expansion of capacity is planned for China and India. There is great potential for localisation of cranes and development of products for waste handling and processing. Improved 'local' knowledge will also allow us to build better long term partnerships and make improve-ments in sourcing, purchasing and supply chain management. Cost savings may also be realised through vertical integration and acquisition targets should be more readily identified.

R&D will continue and should probably be strengthened in priority product categories such as cranes and waste handling. There will be a lot of change in Hyva's operations and employees will benefit from this as new jobs are created and new opportunities opened up.

Looking ahead ten years, Hyva will certainly be a much larger company – possibly three times its current size – with a broader global footprint. It will be much more vertically integrated and, in addition to hydraulics and commercial vehicles, it will have established market leading businesses in cranes and environmental services.

Since I joined Hyva in 2006, I have been responsible for all Operations and the R&D function. In this time, we have implemented many advances in both of these areas which have contributed to the growth of the company. Now, as I leave Hyva, I wish the new shareholders continued success and would like to thank my colleagues on the Board and throughout the company for their support and friendship over the last five years.

ROMANIAThe most significant development has been the delivery of the biggest truck crane sold on the Romanian market – Hyva Crane model HC501xE8. The customer, which operates in the telecoms and power/electricity infrastructure sector, needed a heavy duty chassis with a strong crane for moving high voltage and GSM pillars. The Hyva solution was selected as the best of the four offers considered. The crane with a lifting moment of 46 Tm and with remote control and full accessories was delivered on time with a full service and support plan.

After 2-3 months of operating, the owner called to compliment Hyva on the performance of the crane which had just successfully com-pleted a complicated task of moving some very heavy poles in difficult terrain in a mountainous part of the country. Previously, this work would have needed 2-3 machines, would have taken longer and incurred higher costs. This time it was completed with just one crane, one truck and one trailer.

Managing a global companyHyva is a global company and will continue to be a global company with balanced and managed operations across all regions of the world. In the last couple of years there has been an apparent 'shift to the East' as Hyva has, quite cor-rectly, capitalised on strong growth opportunities in China and India. However, other regions too are showing real growth. Management will ensure that a global perspective is maintained and not sacrificed for any short term 'local' opportunities. Global reach and operating capabil-ity is key to the continued success and performance of the company.

As we move forward in 2011, Ajeet Singh is the new Chairman of the company, Alex Tan joins the Board and a new CEO will be appointed. The new CEO is likely to divide his time between the Netherlands and the rest of the world. A decision on the location of the head office will be taken at an appropriate time to suit the business, but key strengths of Hyva will be maintained in the Netherlands.

Louwrens Dijkstra, the outgoing CEO, deserves high praise for his leadership of Hyva over the last decade. Hyva attended but did not display at Canada's national trucking show which is much smaller than the Mid America Trucking Show in Louisville. Hyva is still relatively unknown to end users. However, recognition is improving and attendance at trade shows is helping this process.

Hyva reports record results for 2010

Alphen aan den Rijn, Netherlands, 30 March 2011. Hyva, a leading provider of transport solutions for the commercial vehicle and environmental service industries, has published record sales revenues and strong earnings in its Annual Report for 2010.

Turnover increased to €486 mio in 2010, better than 2008 and 2009 and the highest annual sales revenue in Hyva's history. Earnings (EBITDA) also recovered to reach €60mio. Trading was especially strong in China, India and South America and ahead of regional GDP growth rates.

Hyva adds the most compact hook loader to HyvaLift range

Alphen aan den Rijn, Netherlands, 10 May 2011. Hyva, a leading global provider of transport solutions for the commercial vehicle and environmental service industries, has introduced the 01-18-R 'City' hook loader as the smallest in the HyvaLift range.

The 01-18-R has been developed to assist companies with the efficient and safe transport of goods up to 500 kilograms and meet the growing demand for efficient transport solutions in the sub-3.5T GVW class.

In many countries this GVW class is not restricted or less restricted by regulations than vehicles above 3.5T GVW. Furthermore, these compact vehicle combinations allow users to access narrower roads and smaller spaces while still maintaining the functionality of a larger hookloader.

The Hyva 'City' hook loader provides a durable light-weight system, which has the flexibility to fit many different containers or accessories. This enables the 01-18-R to cater for many transport requirements in construction, environmental, gardening and general transport applications.

The 01-18-R is designed to improve (un-)loading times by using removable containers and a fast and safe loading mechanism. The 01-18-R can handle containers with lengths of 1.8m up to 2.4m* and has a lifting and tipping capacity of 500 kilograms. This capacity enables the 01-18-R,

2for example, to efficiently transport 2 euro pallets, 2 big bags or 2m of waste. And because the hydraulic power unit and electric controls are included in the system, no additional investment in PTOs or pumps is required, resulting in a cost-efficient, flexible and ergonomic container handling system.

The Hyva 'City' hook loader can improve economic performance by increasing operating efficiency and decreasing absenteeism caused by work related injury. Reduced (un)loading and waiting times will save man hours and ground level loading can reduce lift related injuries (Lower back pains have a relatively high prevalence amongst workers in the small construction and landscaping sectors).
