Types of Companies in Portugal

• Private Limited Company (Sociedade por Quotas - LDA)

The Private Limited Company (Sociedade por Quotas - LDA)

• It can be formed by at least two shareholders

• It requires a minimum share capital of 1 EUR

• The liability of the founders is limited only to the amount of their contribution to the initial capital.

Public Company (Sociedade Anónima SA)

• It requires a minimum share capital of 50,000 EUR

• It must be established by at least five shareholders

• The liability of the founders is limited only to the amount of their contribution to the initial capital.

Limited Partnership (SociedadeemComandita - SC)

• It requires at least two partners

• No minimum capital is required

• One of the partners bears full liability for the company’s obligations (Socios Comanditarias), while the other has limited liability (Socios Comanditados).

General Partnership (Sociedade em Nome Collectivo - SNC)

• It should be formed by at least two partners

• No minimum capital is required

• The members are fully responsible for the company’s obligations

• The partners are able to make decisions on behalf of the company and manage the company.

Steps for company formation in Portugal

• providing three company names

• providing a set of identification documents

• setting-up a the bank account for share capital

• submitting the registration documents with the Portuguese Trade Register

• providing passport copies of the shareholders and board members
