General Terms and Conditions

This order is subject to the following terms and conditions:

A. INSTRUCTIONS:

1. Please mention our Work Order reference in all correspondence, challans , invoices, etc. Kindly note that you’re all RA Bill/ invoices should be in the name of “Hindustan Salts Limited, Kharagoda-382760, Distt.- Surendranagar, Gujarat”.

2. Our CST No. 24580400257

3. Consignee/Delivery address will be “Hindustan Salts Limited, Kharagoda-382760, Distt.- Surendranagar, Gujarat

4. All correspondence, invoices and dispatch document mentioning work order no. date should be addressed to Manager(Commercial), Hindustan Salts Limited, Kharagoda-382760, Distt.- Surendranagar, Gujarat.

5. Acceptance of this order must be sent within 07 days from the date of order, failing which it will be presumed that the order has been unconditionally accepted in all respect.

B. ORDER TERMS:

1. General terms and conditions of CPWD will be applicable.

2. No Order will be considered unless written up on the official form of the company and we

reserve the right to refuse to pay goods supplied without such order.

3. Tenderer shall mean such person(s) or company (ies) as select for supply/ execution of work and shall include its heir, executers, successors and permitted assignees.

4. “Company” shall mean “Hindustan Salts Ltd.” a company within the meaning of companies

Act 1956 and having its registered office at B-427, Pradhan Marg, Malviya Nagar, Jaipur -302017.

5. Any terms and conditions quoted by you previously which are inconsistent with the terms and conditions of this order settled hereby will not form part of the terms and conditions of this order. RFQ shall be part of terms & condition of this order.

6. The company reserves the right to make variations in the ordered quantity after due notice in

writing.

7. Prices governing this WORK ORDER shall remain firm till execution of order.

8. EXECUTION is the essence of this order. You must strictly adhere to the TIME schedule

mentioned in the order falling which the SERVICES is liable to TERMINATE.

C. SCOPE OF SERVICES:

1. The scope of services under this work order will be as per BOQ/Price Schedule. The detailed scope of services under this work order shall be as per Technical Specification agreed during the course of finalization of this WORK ORDER.

D. TAX & DUTIES:

1. Unless otherwise specified all taxes, duties, levies, charges etc. may be applicable to this contract is deemed to have been included in the contract price. Income tax as applicable shall be deducted by us from your bill.

2. We shall be entitle to recover from your bill all cost ,damages, expenses which may have to incur or become liable to incur as a result of your negligence or any other action that may originate such cost, charges, expenses. Incase your bill amount is not sufficient to cover such recovery amount , the balance shall be deducted from any sum which may become due to you at any time thereafter under this or any other contract which you may have with us. If the said sum also not be sufficient to cover the full amount recoverable, then we reserve our right to recover the same as remedies available under law.

E MEASUREMENT & REGULATION LAWS:

1. All work done by contractor shall be duly recorded and certified by our engineer-in-charge

IN MEASUREMENT BOOK. 2. Bills not supported by duly certified measurement sheet / certificate shall not be considered

as work done and correspondingly shall not be considered for payment under the contract

3. Contractor shall comply with all Statutory Rules and Regulations, including but not limited to Contract Labour Act, Workmen’s Compensation Act, Employee Insurance Act, Personal Accident Insurance, Provident Fund and any other laws, rules and regulations etc. that may be applicable to this type at work including any licenses like labour license etc. that may be required to be obtained by the contractors. You shall indemnify and keep us indemnified against all such cost, including are not limited to taxes & duties damages, penalties/ fines punitive measures, lawyer fees, taxes, duties etc. of whatever nature due to noncompliance by you in your scope of the applicable statutory law, rules, notification etc.

In the event of breach of statutory laws & regulation by you, we shall terminate the contract and no payment shall become due and payable to you.

5. Discipline and obedience: You shall ensure that you will follow all rules and regulations and

timings prevailing at Our Company Site as amended from time to time and obey all instructions as are issued by Engineer -In- Charge arising from your scope of work/ exigencies of work. You shall ensure that your staff maintains maximum efficiency and decorum and discharge their duties in a manner commensurate with our culture. Under no circumstances indiscipline or involving in any act, which in our opinion, will cause disturbance, industrial relations problems, reduction of production/plant efficiency, indiscipline, immorality etc. then we reserve the right to expel such person(s)of your staff without reference to You.. You shall be advised of such an action and then you shall promptly replace such person(s) and ensure the work is not affected in any way. Under no circumstances your staff will be construed to be our employees directly to which you agree.

6. Safety Measures: As personnel employed by you for working inside the SITE premises shall

abide by the all safety, health and environmental rules and regulations of SSL/HSL, minimize pollution at source through environment friendly process, techniques and processes, reduce fugitive emission from loading/unloading and transportation of materials ( where applicable). Your mobile equipment should possess valid and current P.U.C. You shall depute a technically skilled supervisor who has got job knowledge, clarity of co-operation with various agencies for workers to follow right methods, thereby, avoiding accidents.

7. Construction of contract and legal jurisdiction. You shall be governed by the applicable

laws in India. The legal jurisdiction relating to this contract shall be at Jaipur, court only. 8. Force Majeure: In case either of party fail to fulfill in time their respective contractual

obligations owing to factors beyond their control like act of god, war, enemy action, embargoes, blockades, fire, flood, civil commotion and riots then time for performance of such obligations/responsibilities shall be automatically extended for the period of the force

majeure provided force majeure is established and one party informs the other promptly of such occurrences, no increase in price and or any other claim shall be claimed/made by the contactor due to force majeure condition the parties shall mutually/discuss and agree to future course of action.

10. RECESSION AND CANCELLATION OF CONTRACT: In case the Tenderer fails to

complete the contract as stipulated in the contract or any revision and if the company apprehends the performance to be below average than the Company reserves the right to rescind the contract and recover from the said Tenderer the loss, if any incurred by the Company in doing so apart from his liability under clauses of the contract.

11. Arbitration:

11.1 In the event of any question, dispute of difference whatsoever arising under this contract or in connection therewith including any question relating to existence, meaning and interpretation of this contract or any alleged breach thereof, the same shall be referred to the Sole Arbitrator, Chairman & Managing Director, Hindustan Salts Limited or to any officer of the company appointed by him for the purpose. The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act., 1996.

11.2 It will be no objection that the Arbitrator is an interested person and/ or that he had to deal with the matters to which the contract relates and/ or in the course of his duties he has expressed any view on any matter in dispute of difference. The award of Arbitrator shall be final and binding on both the parties.

11.3 In the event of Arbitrator dying, neglecting, resigning or being unable to act for any reason or his award being set aside by the court for any reason, it will be lawful for the Chairman & Managing Director of the Hindustan Salts Limited/ Sambhar Salts Limited to appoint another Arbitrator in place of outgoing Arbitrator.

11.4 The Arbitrator may from time to time, with the consent of all parties, enlarge the time in making the award.

11.5 The cost incidental to the arbitration shall be at the discretion of the Arbitrator. The arbitration shall be conducted at Jaipur (Rajasthan) or at such other place or places as the Arbitrator may so decide.

11.6 Notwithstanding any dispute in between the parties, shall not be entitled to withhold/delay or defer his obligations under the contract and the same shall be carried out strictly in accordance with the terms and conditions of the contract.

F. LIQUIDATED DAMAGES:

In case of delay in SERVICES, penalty @1/2% per week subject to maximum of 5% of the

order value will be levied .

G. PAYMENT TERMS

On receipt of bill, the company shall release the payment to the contractor within 30 days from the date of certification of bill by the Engineer In charge of the company.

H. SECURITY DEPOSIT shall be returned after the final bill payment, on satisfactory execution of

contract certified by Engineer In-charge of the company.
