B. Commercial terms and conditions

1. Supply, Installation and Commissioning: The system should be supplied, installed

and commissioned by the supplier at VSSC – Trivandrum. This includes

demonstration of camera performance and software data acquisition.

2. The offer shall be accompanied by an authorized service provider / dealer

certificate, certificate of undertaking from original equipment manufacturer,

agreement with product vendors on back to back support as shown in Annexure 1

and Annexure 2, without which the offer will not be considered.

3. Warranty: Three years comprehensive onsite warranty from the date of installation

and acceptance of High Speed Camera and other accessories at ASOE. During

Warranty period if there is any defect to the high speed camera & accessories, the

camera and its accessories has to be serviced free of cost at VSSC. If the item is to

be taken out for servicing, suitable replacement/bank guarantee has to be provided

and the item has to be taken out at party’s expense. The camera to be serviced and

returned to VSSC at party’s expense within a period of one month at the latest. Cost

for warranty (if any) should be quoted separately as shown in the table1 in

compliance matrix (annexure-3).

4. All the necessary accessories provided warranty certificate, User and service

manual, Catalogues, data sheets etc for the camera and software must be given in

CD/DVD form. Software must be loadable in any PC not having internet

connectivity.

5. Maintenance and Service support: Vendor must have Service Centre in India for

pre/post guarantee/warranty service and technical support. Vendor shall submit

detailed list of Service Centre/s. The service provider shall have the necessary

technical expertise in handling high speed camera.

6. Annual maintenance contract: The vendor must be willing to undertake annual

maintenance contract (non comprehensive) for High Speed Camera at VSSC beyond

the period of warranty. Party must be willing to undertake AMC (non-

comprehensive) for 7 years beyond warranty and authorized Indian agent must be

able to take up AMC after WARRANTY PERIOD if desired by VSSC. AMC charges shall

also be quoted which is optional. Cost for AMC should be quoted separately. AMC

charges are paid quarterly on prorata basis. The vendor must be ready to supply the

spares in the AMC period when the need arises. The vendor shall furnish the details

of 24

of the parts/components, if any, along with the price for consideration and approval of

the Centre/Unit prior to actually replacing the parts/components. The

parts/components so replaced after approval shall carry warranty for one year.

7. Vendor expertise and proof of satisfactory working: Vendor shall have enough

expertise in the supply and commissioning of similar systems in the past 5 year.

Details of these systems and customers address and contact details shall be provided

along Part 1 of bid.

8. Bidding process: The quote should be presented in TWO parts, namely, Techno-

Commercial bid (Part 1) and Price bid (Part 2). Specific instructions with respect to

Two Part tender is attached. No mention on price shall be there in the techno

commercial bid.

9. The offer must be for complete activity as specified above in the scope of supply.

All equipment and consumables (for demonstration and acceptance tests at works)

required will be in the scope of the supplier. Offer shall be for the total work as

above and incomplete/partial offers will not be considered. The techno commercial

bid shall address each and every specification, terms and conditions including

accessories. Also sources / makes of individual equipment / parts proposed shall be

mentioned in the quote for evaluation of the quality aspects of the components

used in the realization of the system as a whole. For each item/terms and

conditions, apart from the make and model, Quantity, the vendor shall provide a

technical compliance table as per the format furnished in annexure – 3 In case of

any deviation (may be superior or inferior), the same may be explicitly mentioned

against remarks. In the compliance table for any specification or terms &

conditions, left blank shall be treated as non-complied to VSSC specification and

offer shall not be considered. Offers without compliance statement shall be

rejected.

10. Compliance Matrix in the enclosed format annexure 3 shall be filled up and

submitted along with the techno-commercial bid (Part 1).

11. Training at VSSC: Training in operation of camera and accessories shall be provided

to VSSC officials (4 Nos). Training shall be arranged over a period of 2 days from

9.30am to 4.30 pm with a break from 12.00 to 1.00 pm. This would include Basic

training on, instructions for operation, measurement / acquisition of data during

test, instructions for routine and periodical maintenance, handling of error

of 24

messages and trouble shooting. All costs related to travel, accommodation, food,

transportation during installation, training and subsequent tests must be borne by

the vendor

12. Updates/renewal of licenses: For all the licensed products, required licenses shall

be submitted with appropriate authorization in detail. The license should be

perpetual. License expiry details if any shall be highlighted.

13. Updates/renewal of such licenses during warranty & comprehensive AMC periods (if

any) shall be the responsibility of the vendor and the vendor shall provide the

updates/renewals without any cost to VSSC

14. Inspection of the system at VSSC and acceptance: The system shall be evaluated

by a Test & evaluation committee and subjected to final inspection and acceptance

at VSSC and for performance based on sample tests to be carried out at VSSC,

Trivandrum.

15. Documentation in English Language: At least two copies in original form shall be

provided. The manual shall contain instructions or guide lines in English with details

on

a) General information about system i.e. hardware / software

b) Instructions for fixing / mounting i.e. readying the system for

measurements

c) Calibration procedure

d) Instruction for operations i.e., Measurement/acquisition of data

during test

e) Instruction for routine and periodical maintenance

f) Error message manual & Trouble shooting manual

g) Complete list of parts with identification numbers and brief

specifications

h) Technical notes / application notes on the system.

16. Packing: The Supplier shall provide faultless seaworthy packing of the goods as is

required to prevent their damage or deterioration during transit to their final

destination. The packing shall be sufficient to withstand, without limitation, rough

handling during transit and exposure to extreme temperatures, salt and

precipitation during transit and open storage. Packing case size and weights shall

take into consideration, where appropriate, the remoteness of the goods' final

destination and the absence of heavy handling facilities at all points in transit

17. Delivery Schedule: Best possible delivery schedule should be indicated in the

technical offer.

18. LD Clause: "LIQUIDATED DAMAGES: The delivery period quoted by you and stipulated

in the Purchase Order shall be deemed to be the essence of the order and delivery

must be completed not later than the date specified therein or otherwise VSSC shall

have the right to recover a sum @ 0.5% of the order value per week or 0.5% of the

value of the stores for each week of delay, as the case may be, subject to a

maximum of 10% of the order value. The supply will be deemed to have been

completed only when the Entire system is supplied, installed, commissioned and

accepted”.

19. PBG: In the event of placement of order, you have to submit a Performance Bank

Guarantee for 10% of the order value, obtained from a Nationalized / Scheduled

Bank, which shall be valid beyond 2 months from the expiry of Guarantee/Warranty

period.

20. Payment terms:

a) On Completion of supply of camera and accessories and acceptance by VSSC – 60%

b) after installation and commissioning and acceptance by VSSC --- 30%

c) Performance bank guarantee --- 10%

21. Security Deposit: In the event of placement of order, you have to submit a Security

Deposit by means of a Bank Guarantee/Fixed Deposit Receipt for 10% of the order

value, along with your Order Acceptance. The Bank Guarantee/FD Receipt shall be

valid beyond two months of the stipulated Delivery Period/Completion period and

completion of all contractual obligations by you. The Security Deposit will be

returned to you without any interest within one month after the stipulated delivery

period/completion period and completion of all contractual obligations.

22. Deviation: Vendor shall provide the information about the deviations in technical

Specifications, terms &conditions. VSSC may or may not accept the deviation.

Vendor’s offer shall be rejected without asking for any clarification if any one or

more deviations are not acceptable to VSSC.

Note:Purchase may please add any terms and conditions to safeguard the interest of

VSSC.
