1. PURPOSE

2. MOU STATUS

Purpose of this MOU reflects the preliminary understanding between the two parties for setting up and

operation of the HED SCHOOLS CAMPUS. After the standards and requirements set in here, the Prospective

NWA upon signing the MOU shall be known as Prospective Network Associate (NWA) of HED SCHOOLS.

a. HED SCHOOLS SHALL:

This MOU give permission to Prospective Network Associate to take necessary steps to operate HED

SCHOOLS with the following information:

4. Design skins for promotion.

6. Design question papers and other items for assessment.

8. Maintain, update and run web portal on behalf of HED SCHOOLS.

5. Be responsible to pay all types of taxes, duties, and other charges etc of Federal, Provincial or Local

Government/Authorities/Departments, relating to establishing or operations of the schools (s).

8. Abide by the intellectual property right of HED SCHOOLS System (as per Copyrights Ordinance,

1962 of Government of Pakistan) concerning all logos, designs, artwork, literary work, trade

names, logos; styles & colors, Textbooks; contents of Textbooks and Title pages, Campus Operation

manuals/Campus Operating procedures; their contents and Titles, Cds, DVDs, Technology based

works/Web Portal such as computer programs and electronic databases, Scheme of Studies, Lesson

plans, Worksheets, Assessment Material and other Teaching Aid Material, and Uniform (summer &

winter) shall not be reproduced in any manner whatsoever.

down standards and prescribed construction codes/other pre-requistes to the satisfaction of

the Local Education or other relevant authority and the company (HED SCHOOLS)

9.1 PRE-REQUISTES FOR PRIMARY SCHOOL (Nursery to Class V-Seven Classes) Single

9.2 PRE-REQUISTE COMPREHENSIVE SCHOOL (Toddlers to Class X-Twelve Classes)

(I) Principal’s Office

(ix) Play Room

(Physics, Chemistry, Biology) Administrative + academic Infrastructure = 20 rooms.

Note: Recreation Facilities/Playground, as per requirements of School registration

Authorities/BISE will be part of above pre-requisites.

e. Proceed with the operations scheduled for commencement of the school w.e.f. August 20----

4. MOU EXTENSION

a. Request for extension shall be made on a prescribed Application Form through Sales Department

mentioning the new proposed date for commencement of the school operation, if Prospective NWA

fails to open the campus as mentioned in MOU status, hence, extension (s) implies financial

obligations.

b. However, HED SCHOOLS reserves the right to accept or reject the application. with or, without

assigning any reason.

d. Be responsible for registration of the would be HED SCHOOLS with concerned Government

Departments/Authorities and the affiliation thereof with the BISE/concerned Board in accordance

with relevant Laws.

5. CHANGE OF OWNERSHIP OF CAMPUS BUSINESS

c. Prospective Network Associate shall be responsible to book order (s) to Head Office that includes

Textbooks, Notebooks, Diaries, Promotional material and uniform plus accessories (summer/winter)

or any other material as intimated by the Head office of HED SCHOOLS.

(NETWORK ASSOCIATE AND / OR PARTNERS.

Change of ownership, whether for NWA or Partners, made on prescribed Application Form through

sales Department, shall be subject to the approval by competent authority of the HED SCHOOLS

6. MOU LOCATION/TERRITORY AREA CHANGE

MOU shall only be amended for Location/Territory Area if the Prospective Network Associate proves that

there is no suitable land / building available in the area for which he/she has signed MOU. The Prospective

Network Associate shall apply through sales department on prescribed Application Form for change of

MOU to another Location/Territory area. however, the discretion lies with the Head Office of HED

SCHOOLS whether to accept the request or other wise.

e. On terminatino/withdrawal of this MOU, an amout of PKR 100,000/- shall be deducted from the deposited

MOU fee or the extension Fee will be demanded.

b. This MOU will stand null and void Prospective NWA fails to meet the required standards and basic

requirements of setting up/operating the HED SCHOOLS as per MOU.

d. MOU shall be terminated if Management of HED SCHOOLS deems so without any explanation to

Prospective NWA.

8. FRANCHISE FEE PAYMENT MODE

Fracnchise fee shall only be paid through Pay Order/Bank Draft in favor of (HED SCHOOLS)

Prospective Network Associate shall:

f. If found Prospective NWA involved in making or instigating or communicating or any other similarly

activities, declaration of disassociation and termination of MOU will be effective immediately.

7. MOU TERMINATION

c. Quality Assurance and School Evaluation & Effectiveness Plan (SEEP) Departments shall evaluate the

HED SCHOOLS regularly. If the campus is suitable and meets all the requirements and standards, the

Prospective NWA shall be allowed to operate the campus.

a. In case of any contradiction/violation to any Clause of MOU by the Prospective NWA and/or on failure

to pay Franchise fee, HED SCHOOLS reserves the right to terminate this MOU and this MOU shall

stand null and void.

11. LICENS FEE PAYMENT SCHEDULE:

The Prospective Network Associate has agreed payment schedule mentioned below:

12. Renewal of MOU and Agreement

a. This MOU is likely to mature into an Agreement between HED SCHOOLS and Prospective NWA(S) MOU

and if subject to fulfillment of the MOU requirements.

b. The revision of MOU and if Agreement shall be subject to Yearly Evaluation by Authorized Departments of

HED SCHOOLS, Head Office.

c. If HED SCHOOLS feels that Network Associate is in non-compliane with policies and procedures, HED

SCHOOLS reserves the right to suspend the MOU/Agreement and operations of campus untill the

NWA/Campus meet the required standards and requirements.

13. FINANCIAL UNDERSTANDING

d. The license for the HED SCHOOLS shall be for an initial period of Ten (10) years liable to be renewed for

another term on the conditions mutually agreed upon by both th eparties and subject to the satisfaction of

HED SCHOOLS Management.

a. On operation the Campus shall charge students:

d. Be responsible to pay Surcharges and delayed payments as per Financial Management Policy.

14. AMMENDMENT

15. Disputes on MOU

This MOU commences on the date signed by both Parties (Subject to realisation of the initial payment)

and will continue until terminated with a notice of at least (15 days). The HO will seek ways to maintain

the services available to the community after the termination of this memorandum of Understanding.

The clauses of MOU may be amended at any time by agreement in writing between the parties, subject to

the notified Rules of HED SCHOOLS/Financial Management Policy, etc.

If any dispute or difference between both parties cannot be resolved by active, open and good faith

discussion, this Memorandum of Understanding (MOU) shall be terminated immediately breached.

16. TERMS OF MOU

2. Challenge any decision of HED SCHOOLS in any local and international courts of Law.
