CROWDFUNDING PROMOTION TERMS & CONDITIONS

1 PARTIES

1.1 These Terms & Conditions form an agreement (Agreement) between HashChing Ltd ABN 99 600 101 184 (Company) and the applicant (Applicant).

1.2 This Agreement becomes effective and binding upon the parties at the time it is accepted by the Applicant, which shall include by electronic means via the ticking of a check box on the Company’s website.

2 CROWD-SOURCED FUNDING

2.1 The Company is undertaking a crowd-sourced funding campaign to raise up to AUD$5,000,000 from the issue of ordinary shares in the Company via Equitise Pty Ltd (CSF Offer).

2.2 The CSF Offer allows retail investors to invest a minimum of AUD$250 and a maximum of AUD$10,000 in the Company.

3 PROMOTION TERMS

3.1 Promotion

(a) Subject to the terms of this Agreement, if the Applicant invests AUD$5,001 or more in the CSF Offer, the Company will provide the Applicant with a unique gift card promotional cade of AUD$200 in value for the Company’s HashChing platform (Promo Code).

(b) For the avoidance of doubt, the Promo Code shall be eligible for either a new home loan or refinancing of existing home loan, provided the home loan is settled via the HashChing platform using the services of a registered HashChing mortgage broker (Loan).

3.2 New Customer

(a) The Applicant is free to share their Promo Code with third-parties who may also use the Promo Code for their own individual Loans (New Customer), in which case the New Customer shall also receive their own Promo Code on the same terms upon successful settlement of their Loan.

(b) The New Customer shall only be eligible to receive their own Promo Code if the Applicant’s Promo Code is entered by the New Customer prior to settlement of their Loan, unless agreed otherwise in the Company’s absolute discretion.

3.3 Promo Code

(a) The Promo Code can be used for multiple Loans for different customers, however it cannot be used by the same customer for multiple Loans.

3.4 Delivery

(a) The Company will provide the Promo Code within 45 days of:

i For the Applicant, the official closing of the CSF Offer; and

ii For the New Customer, their Loan having successfully settled.

(b) Unless otherwise agreed between the parties, the Promo Code shall be sent by email.

3.5 Contact

(a) The Applicant may be contacted by the Company’s staff, whether by phone and/or email, in order to confirm entitlement to the Promo Code.

(b) The Applicant must provide up-to-date and accurate contact details at all times. The Company shall not be responsible in any way for the Applicant not receiving the Promo Code as a result of incorrect contact details being provided to the Company.

3.6 Limitations

(a) The value of the Loan must be no less than AUD$250,000 in order for the Promo Code to apply.

(b) The Applicant must not be a party of any kind to the New Customer’s documentation for the Loan (such as acting as a guarantor for the customer).

(c) The Company may cancel the Promotion at any time in its absolute discretion without notice to the Applicant.

4 CONDITIONS

4.1 By entering this Agreement, the Applicant agrees to be bound by this Agreement and any special conditions appearing on the Company’s website specific to the particular Promotion.

5 PRIVACY

5.1 By entering this Agreement, the Applicant confirms that they have read and accept our Privacy Policy found at https://www.hashching.com.au/privacy.

6 ASSIGNMENT

6.1 The Applicant may not assign or create an interest in this Agreement without the written permission of the Company.

7 INDEMNITY AND REFUND

7.1 The Applicant agrees to indemnify the Company for any loss, damage, cost or expense that the Company may suffer or incur as a result of or in connection with the Applicant’s participation in the Promotion, including any breach by the Applicant of this Agreement.

7.2 Where the Applicant and/or New Customer successfully uses the Promo Code provided by the Company under this Agreement, and the Company later determines that the Applicant was in fact not entitled to the Promo Code and, by extension, so to

the New Customer, whether intentional or otherwise, the Company reserves the right to make a claim against the Applicant and/or New Customer for the refund of the value of the Promo Code in full.

8 GOVERNING LAW

8.1 This Agreement is governed by the laws of New South Wales, Australia, and each party hereby submits to the non-exclusive jurisdiction of courts with jurisdiction there.
