Call to Order Chairman Michael Felt called the Halifax Community College Board of Trustees meeting to order on August 27, 2019 at 10 a.m. in the president’s conference room. Trustee Quorum President Elam did a roll call. A quorum was met for the meeting. Invocation Trustee Smith gave the invocation. Swearing in of Mr. Thomas Barrett Jr. Kim Mack, NC Notary and Executive Assistant to the President and Board of Trustees, gave Mr. Lewis “Rocky” Lane and Dr. Michael Williams their oaths of office. Both are beginning new terms. Mr. Lane was appointed by Roanoke Rapids Graded Schools District and is replacing J. Deans Eatman. Dr. Williams was appointed by Governor Roy Cooper and is replacing Byron Waters. Their terms will end on June 30, 2023. (A copy of the oaths of office will be attached to the minutes in Appendix A.) Nominating Committee Report Trustee Bettie Cofield and Chairman Felt changed seats for Trustee Cofield to chair the election of the chair, vice chair, and secretary. It is stated in the Board of Trustee Bylaws that the nominating committee chair presides during the election of officers. Although the committee brought back recommendations, nominations could still be made from the floor. The nominating committee appointed Trustee Cofield as the chair of the committee. The other members of the nominating committee were Trustee Marie Robinson and Trustee Byron Waters. The committee met on June 25, 2019. Trustee Cofield announced the nominating committee recommends Trustee Michael Felt to continue as chair for this academic year. Trustee Cofield opened the floor for nominations. Trustee Smith nominated Trustee Michael Felt. There were no other nominations. Trustee Lane made the motion to close the nominations on said name and accept Trustee Michael Felt as chair by acclamation. Trustee Robinson seconded the motion. The motion carried. Trustee Michael Felt was re-elected as chair. Trustee Cofield announced that the nominating committee recommended Trustee Marie Robinson to continue as vice chair for this academic year. Trustee Cofield opened the floor for nominations. Trustee Mills nominated Trustee Marie Robinson. There were no other

nominations. Trustee Felt made the motion to close the nominations and accept Trustee Marie Robinson as vice chair by acclamation. Trustee Greene seconded the motion. The motion carried. Trustee Marie Robinson was re-elected as vice chair. Trustee Cofield announced the committee recommends President Michael Elam as secretary of the board. Trustee Cofield opened the floor for nominations. Trustee Smith nominated President Michael Elam. Trustee Greene made the motion to close nominations on the said name of Dr. Michael Elam and accept him by acclamation. The motion carried. President Elam was re-elected as secretary. Trustee Cofield congratulated everyone that was elected. Trustee Cofield exchanged seats with Chairman Michael Felt. He chaired the remainder of the meeting. Chairman Felt thanked the board for their support and stated he will do the best he can to continue to support the board and community college in the year ahead. Adoption of the Agenda Trustee Mebane made the motion to adopt today’s agenda. Trustee Mills seconded the motion. The motion carried. Potential Conflicts of Interest Notifications Chairman Felt read the potential conflicts of interest notifications from the North Carolina State Ethics Commission for Trustee Thomas Barrett, Jr. and Lewis “Rocky” Lane. The letter regarding Trustee Thomas Barrett, Jr. stated the following: “We did not find an actual conflict of interest, but found the potential for a conflict of interest. The potential conflict identified does not prohibit service on this entity. Mr. Barrett fills the role of an at-large member on the Board. Mr. Barrett and his spouse own Whichard Appraisal Service, a real estate appraisal firm. Because Whichard Appraisal Service could seek to conduct business with Halifax Community College, he has the potential for a conflict of interest. Accordingly, Mr. Barrett should exercise appropriate caution in the performance of his public duties should issues involving Whichard Appraisal Service come before the Board for official action.” The letter regarding Trustee Lewis “Rocky” Lane stated the following: “We did not find an actual conflict of interest, but found the potential for a conflict of interest. The potential conflict identified does not prohibit service on this entity. Mr. Lane fills the role of an at-large member on the Board. He is a partner in the Sanford Holshouser Economic Development Consulting firm. Sanford Holshouser provides development, site selection and public policy consulting to both government and private entities, and because it could seek to conduct business with Halifax Community College, Mr. Lane has the potential for a conflict of interest. Accordingly, Mr. Lane should exercise appropriate caution in the performance of his public duties should issues involving Sanford Holshouser or its clients come before the Board for official action.”

(A copy of the letters from the NC State Ethics Commission will be attached to the minutes as Appendix B.) Ethics Awareness & Conflict of Interest Reminder Chairman Felt read the Ethics Awareness & Conflict of Interest reminder. There were no conflicts of interest. Presentation of Academic Excellence President Elam presented the nursing department with the Academic Excellence award for their achievements in the program. The faculty is Lori Pepper, Michael Clay, Tia Alfonso, Sarah Harris, and Maria Navarro. The program increased their enrollment from seven to full enrollment. This entering class has all seats filled at all three levels, LPN, RN, and LPN to RN transition program. The program has received 100% pass rate for their licensing. The program was also rated as a #1 program in the state of North Carolina by an independent evaluator. HCC was ranked #1 out of 75 nursing programs in North Carolina. Healthcare Career Pathways Certificate Presentation Brandi Braggs and Duna Dickinson with NC Works presented to HCC the Healthcare Career Pathways Certificate. HCC, local school systems, local employers, and NC Works Center sent a joint application to recognize their efforts in the healthcare career pathways. Introduction of Visitors and New Staff Everyone present introduced himself or herself. Gary Redding was introduced as the new Criminal Justice Director. Sanethia Smith was introduced as the new Comptroller, and Dr. John Eze was introduced as a new instructor for Business Economics. Trustee Business Consent Agenda

Trustee Smith made the motion to accept the consent agenda with the minutes from the June 25, 2019 regular meeting. Trustee Mills seconded the motion. The motion carried.

Committee Reports

Buildings, Grounds, & Finance Year end Report: Fiscal Year 2018-19 State, County, and the Griffin Centre Expenditures through June 30, 2019-Mr. David Forester, Vice President of Administrative Services, presented the year end report: fiscal year 2018-19 State, County and the Griffin Centre Expenditures through June 30, 2019. Mr. Forester shared some background information on how to read the financial report. The categorical line under institutional support will not carry over $1. Under Curriculum Instruction, Perkins had $1,355 not spent. Under Continuing Education, the Small Business Center had $3,215 left unspent. Also, there is a special categorical for English Lit & Civics Education for $8,616. Those funds will be carried forward into the 19-20 fiscal year. Under student support, the student services had $6,944 unspent. The unspent funds came from a position that was not filled. Under Capital, Books Library Collection had $24,468

unspent, but will be carried forward into 19-20. Also, Equipment had $247.632 unspent. Those funds will also be carried forward into the 19-20 fiscal year. HCC will be able to carry forward a total of $292,000 for the next fiscal year. The new fiscal year will be a tough year, because there will be a lower budget. The budget will be cut in the 19-20 fiscal year by $829,466 according to the status quo budget. It will be a decrease in the budget by 8.9%. Chairman Felt asked why the reduction in budget. Mr. Forester stated it was due to our lower FTE. Mr. Felt asked if the reduction in the budget would cause a reduction in staff. Mr. Forester said we will reduce the equipment funding and reallocate it into other areas. We hope that next year’s FTE would increase and have a higher budget for next year. No layoffs have been planned. For the county budget, the total for the year was $1,702,878. The actual amount spent was $1,711,087. This shows that the county budget was over spent by $-8,209. That is not correct. Mr. Forester expressed that he made a mistake and did not include the rental income from CADA, which amounted to $14,000 for the year that should have been budgeted. He did confirm with Halifax Co. that any funds left over could be carried forward to 19-20 fiscal year. In 18-19 fiscal year, there was an increase in electricity bills, which was more than expected. The Griffin Centre budget showed that HCC budgeted $160,489 for the year. The expenditures budgeted was $153,880. The actual revenue was $143,438. The Centre was under budgeted by $17,051. At the end of the fiscal year, the Griffin Centre was left with a slight increase of $637. Trustee Robinson made the motion to accept the year-end Report: Fiscal Year 2018-19 State, County, and the Griffin Centre Expenditures through June 30, 2019, with the additional rental income of $14,000 from CADA for rental income in the county budget. Trustee Mebane seconded the motion. The motion carried. The Dr. Ervin V. Griffin, Sr. Centre Update on Finances-Mr. Forester read the letter from Ms. Joanne Jolly-Ellis where she analyzed the differences with income generated in the Griffin Centre from 17-18 and 18-19. The letter is attached as Appendix C. Chairman Felt expressed concern that reports should be accurate and up to date when presented. Please assure the numbers are consistent from the year’s end from the previous year to the current year. Mr. Forester responded that the finance office added the year to date column with expenditures within the last six months to show the amount spent from the same time in the previous year. When the reports were done, the accruals were not taken into account and caused the numbers not to be reflected the same as the previous year’s report. Financial Report: Fiscal Year 2019-20 State, County, and the Griffin Centre Expenditures through July 31, 2019-HCC has not yet received the budget for this year. As of now, we are spending under budget for the state budget. We have spent $76,144 of the county budget. We are under budget for the county, as well. For the Griffin Centre, we have an increase for funds generated for the month of July. Dr. Williams asked about

the state budget and the presentation to the board. President Elam stated HCC does not have a budget yet. When we get the budget, we will present it. The county and Griffin Centre budget will be completed next month. Dr. Williams asked about the institutional cash accounts and the negative accounts. Mr. Forester is working on it and has been working on a plan to remedy negative accounts. For example, the negative childcare account will have CADA rental income used to bring the negative account into the positive over time. Trustee Smith made the motion to accept the Financial Report: Fiscal Year 2019-20 State, County, and the Griffin Centre Expenditures through July 31, 2019. Trustee Mills seconded the motion. The motion carried. MOU for Community Education Centers with Halifax County Schools-Mr. Jeffery Fields shared the MOU for the Community Education Centers with Halifax County Schools. He asked the Board of Trustees to approve the Memorandum of Understanding (MOU) with Halifax County Schools for usage of two facilities, Hollister Elementary School and Scotland Neck Elementary School, for the operation of the Community Education Centers. HCC is in close collaboration with the County and school system in Halifax County and with the support and direction of a steering committee for the development of the three Community Education Centers. Golden Leaf Foundation has funded a grant to HCC for $582,000 for 36 months to start the project. The Community Education Centers are created to provide instruction, training, and services necessary to prepare residents for employment opportunities. Additionally, service offerings and resources from community-based organizations such as CADA, Turning Point Workforce Development Board, NCWorks Career Center, and Cooperative Extension will be strengthened to holistically address youth, adult, and family workforce development. President Elam also mentioned Attorney Chichester did review the MOU. Dr. Fields mentioned there will be around 150 students per site. When the grant ends, HCC should have enough FTE to continue the sites in the future. Trustee Lane brought to the board’s attention some edits that should be made. Trustee Lane made the motion to approve the MOU with the amended edits and charged the president and board chair with signing. Trustee Mills seconded the motion. The motion carried. EDA Update-Mr. Victor Marrow informed the board that everything is on schedule and on budget for the new buiding. HCC has asked EDA for a four month extension. We have been informed by EDA the extension would be granted. Trustee Lane expressed concern regarding the advertisement for bids and the bid opening dates. Mr. Marrow will check on those dates and get back with the board to confirm the correct dates. Chairman Felt encouraged the board to attend meetings with Oakley Architects. He reminded the trustees the building will be the Board’s and it is nice to see how the building is coming together. (The report did not require any action). Chairman Comments and Announcements Chairman Felt reminded the board the meeting dates and times had been sent out. He will review the committee assignments and share those with the board soon. He encouraged board members to attend the meetings with Oakley Collier Architects for the Advanced Manufacturing & Corporate Training Center. Chairman Felt also mentioned how nice NCACCT conference was in Wilmington. Those who attended were able to complete new trustee/reappointment training and ethics training. Chairman Felt and Dr. Elam will be sitting on a panel at the ACCT Leadership Conference in October in California. Chairman Felt and Allen Purser, HCC Foundation Director, encouraged board members to donate to the foundation. Lastly, Chairman Felt encouraged board members to attend the Community Education Centers’ Grand Opening on September 26, 2019 at 4:30 p.m. in Hollister, Scotland Neck, or here at HCC. President’s Report Dr. Elam presented the president’s report. During the report, President Elam discussed enrollment at the end of his presentation. Marcus Lewis, Director of Institutional Research & QEP, shared HCC Retention rates. President Elam announced the budget allocation from Halifax and Northampton County Local Governments and a recap of the LPN Pinning Ceremony. Ms. Eller, Nursing Director, shared the nursing education partnership and a white coat ceremony for nurses update. Also, Dr. Elam shared the following recaps: National Night Out, Community Education Centers & RAMP East update, NC Forestry conference, Northampton County Manager reception, and the HCC & CADA partnership update on the childcare center on campus. (More details from the report are in Appendix D.) Dr. Elam also shared with the board the Founder’s Day invitation and encouraged everyone to attend. The program is scheduled for September 12th at 12:30 p.m. in the Griffin Centre

Motion to approve the president’s report Trustee Robinson made the motion to accept the president’s report. Trustee Greene seconded the motion. The motion carried. Motion to go into closed session Trustee Robinson made the motion to go into closed session pursuant to NCGS 143-318.11 (a)(1) to discuss a confidential personnel matter pursuant to NCGS 115D-27 and go into closed session pursuant to NCGS 143-318.11 (a)(3) to consult with the Board’s attorney regarding a confidential attorney/client privilege matter. Item: College Travel Authorization Area: North Carolina Community College System Presenter (s): Dr. Michael A. Elam, President/CEO Recommended Action: The Halifax Community College Board of Trustees hereby grants

the President, Trustees, and employees blanket travel authorization for essential travel within the United States for fiscal year 2019-2020. Authorization for out-of-country travel requires the signature of the Chair of the Board of Trustees. The Board further authorizes the President to sign the Travel Reimbursement Form on behalf of each trustee.

Background: The North Carolina Community College System requires that all

travel be approved annually by the Board of Trustees.

DEFINITIONS

Full time equivalent (FTE) - an amount of instruction that equates to 512 student hours in membership. The North Carolina Community College System determines FTE as follows: 16 contact hours x 16 weeks x 2 semesters = 512 hours = 1 FTE.

Combined Course Library – (CCL) The set of statewide uniform courses from which North Carolina Community Colleges must choose their curriculum course offerings.

Budget FTE Funding – All student membership hours generated by the college for a given class shall be counted for budget FTE purposes provided 100 percent of the instructional cost is paid from college funds.

Contact Hour – The actual time of student attendance in a class or lab.

Course Contact Hours – Are based upon the total class, laboratory and clinical hours of a course multiplied by 16.

Not all courses earn the same amount of contact hours per student.

To determine the contact hours assigned to a course in the Combined Course Library (CCL), do the following:

1. Take the total number of contact hours for Class, Lab, Work and Clinical and multiply by 16 (16 is the standard).

2. The total contact hours multiplied by 16 is the total contact hours for that course.

3. This total is also the number of hours of instruction that should be provided for that class each semester.

Now that I have shared how the contact hours of a course contribute to FTE, we will review the different funding classifications for courses:

Tier 1A: Includes curriculum budget FTE in health care and technical education courses that train North Carolinians for immediate employment in priority occupations that have documented skills gaps and pay higher wages. This tier also includes FTE in a limited number of continuing education occupational extension (OE) courses that train students for the exact same third-party certification as curriculum courses in Tier 1A.

Examples of Tier 1A include the following courses:AUT, TRN, ISC, CIT, WLD ELN, ELC, MNT, NURPLU, PME (HCC currently offers PLU and PME in the correctional setting)

Student Government Association Report

The Student Government Association President, along with the Student Services department, has been looking for applicants for the cabinet positions of Vice President, Secretary, Treasurer, and Information Officer. The SGA advisor has received two applications thus far. Campaigning began September 19, 2019 and elections will be held on October 22.

The Student Government Association President, gave the greetings at the Founder’s Day celebration on behalf of the HCC student body on September 12th. Some of the major highlights of the celebration was having lunch with new and exciting faces, and listening to Dr. Phillip W. Taylor’s son give a speech about his father’s legacy.

October 22, 2019. • Fall Blood Drive• The Fall Blood Drive hosted by the HCC Student Government Association will be held

October 22, 2019 in the 300 building from 10am until 2pm.
