4.2 The Bidders shall obtain the clarifications to the queries raised in form of Minutes of

Meeting which will be uploaded by GWSSB on the web site. These Minutes shall be a

part of Tender Document.

5. Online Submission of Tech-Bid & Price bid:

5.1 Bidders can prepare and edit their offers number of times before final submission. Once

finally submitted bidder cannot edit their offers submitted in any case. No written or

online request in this regards shall be granted.

5.2 Tenderer shall submit their offer i.e. Technical bid as well as price Bid in Electronic

format on above mentioned web site Dt. shown above after Digitally signing the same.

5.3 Offers submitted without digitally signed will not be accepted.

5.4 Offers in physical form will not be accepted in any case.

6. Submission of tender Fees, Bid Security and other Documents:

6.1 Demand Draft for Tender fee & DD/FDR/BG for EMD shall be submitted in electronic

format only through online (by scanning) while uploading the bid. This submission shall

mean that E.M.D. & tender fee are received for purpose of opening the bid. Accordingly

offer of those shall be opened whose E.M.D. & tender fee is received electronically.

However for the purpose of realization of DD/FDR/BG bidder shall send the DD/FDR/BG

in original through RPAD/Speed Post so as to reach to concerned office as mentioned in

the tender documents within 7 days from the last date of uploading. For not submitting

DD/FDR/BG in original bidder shall be banned to participate in any tender of the board

for period of 3 years as a penaltive action.

7. Opening of Tender:

7.1 Opening of Bid documents will be held on Dt. & time shown above in the office of

Chief/Executive Engineer, Material Cell (Civil) GWSSB, Gandhinagar.

7.2 Intending bidders or their representative who wish to remain present at GWSSB,

premises at the time of tender opining can do so.

7.3 The Offline technical evaluation of the tenders received on or before last date of

submission would be done and results will be displayed on website.

7.4 After Successful completion of Technical Evaluation, price bid of only those bidders

would be opened online who are found to be substantially responsive.

9 GENERAL INSTRUCTIONS:

9.1 The fees for online tender document will not be refunded under any circumstances.

9.2 EMD in the form specified in tender document only shall be accepted.

GENERAL TERMS AND CONDITIONS FOR THE TENDER FOR

CONSTRUCTION SUPERVISION CONSULTANCY SERCIVES (CSC) FOR VARIOUS

WATER SUPPLY & DRAINGE PROJECS / OFFICE BUILDING/ NEW PROJECT/

MATERIAL INSPECTION, ETC.

1. Eligibility for Bidding:

Indian Construction Supervision Consultancy (CSC) firms are only eligible to

compete in their own names in this bid and accordingly rate contract agreement

shall be executed with agency. However agency may designate only one

representative on appropriate power of attorney acceptable to GWSSB who

may deal with GWSSB on his behalf. The specimen signature of authorized

signatory of the CSC firms shall be given in the tender so that during the

execution of contract the correspondence from the same authority shall be

entertained.

Joint venture is not allowed.

2. Quoting Rates:

The Rates shall be quoted on percentage basis only. The rates quoted shall be

inclusive of all taxes & duties but exclusive of service charge which shall be

paid extra as actual. income tax if any shall be born by CSC agency. the TDP

shall be deducted at source as per provision of IT rules.

3. Submission of tender:

Tenderer should submit their offer online and it shall be submitted before last

date and time.

4. The offer for tenderer rates shall be valid for a period not less than 180 days

from the date of opening of price bid of the tender. Any tender having validity

for lesser period shall be outright rejected.

5. Taxes: The rates shall be inclusive of all taxes & duties except service charge.

6. Unit of Rate: The tenderer shall quote the rate on

• % basis of Cost of material to be inspected in price schedule - I and

• % basis of value of Accepted tender for Turn -Key projects / Labour

work in price schedule - II.

7. Payment:

(a) The Payment shall be made through 'NEFT' (National Electronic Fund Transfer)

as per payment schedule.

(b) Paying Authority: Concern Chief Engineer or any officer authorized by

GWSSB.

(c) Payment by Demand Draft.

On request of CSC agency, payment shall be made through Demand Draft. Bank

Commission charges for D.D. shall be borne by agency. Chief Engineer or

authorized officer shall request the concern Bank to issue DD. However GWSSB

shall not be liable for any loss of DD during transaction.

8. Tender Agreement:

After approval of GWSSB, approved or accepted tendering party shall be

required to enter in to an agreement for the execution of the contract. The

stamp duty on all documents to be executed in connection with this rate

contract to be entered into shall be born by agency.

The rate contract agreement shall have to be executed on a Non - Judicial

stamp paper of appropriate value as per value in force at that time.

9. Duration:

The rate contract shall be valid up to a period of 1 (one) year from the date of

approval of the Rate Contract unless it is further extended by mutual consent.

10. Responsibility of CSC:

CSC shall be responsible for quality of complete work of contract entrusted to

them for inspection observed at any time before or after completion of work.

GWSSB shall black list the agency and can take action for recovery of cost of

the poor work.

11. Termination of Contract:

Member Secretary, Gujarat W/s & Sewerage Board Gandhinagar OR any

office authorized by him shall discretionary power as per either of the

conditions as given below with a future action to terminate the contract.

If any agency fails to discharge its duties as CSC work within time limit

satisfactorily. It shall be debarred from participating in the tender of GWSSB

rate contract for the period of RC validity three years thereafter.

If any agency fails to carry out the CSC work satisfactorily as per tender

specification, GWSSB shall take necessary actions of termination including

black listing the agency for the period up to three years.

The decision of the Member Secretary GWSSB in this regard shall be final &

binding to the agency.

This will also include any breach of contract leading to the loss to the GWSSB,

which may occur on account of agency.

12. Right to reject any OR all offers failing to comply the above requirements is

reserved by Gujarat Water Supply and Sewerage Board, Gandhinagar.

13. Force Majeure:

The CSC Agency shall not be responsible for any event beyond the control of

the agency and could not have been foreseen prevented OR avoided by a

prudent person provided a notice of the happening is given within 15 days

from the date of occurrence there of by agency.

These events include but are not restricted to acts of God, Acts of enemy, Acts

of Government, fire, floods, earthquake, cyclone, explosion, riot, strikes

lockout civil commotion, sabotage, terrorism, epidemics etc.

14. Jurisdiction:

In the event of any dispute on difference arising out of this tender / contract,

the jurisdiction of the court shall be Gandhinagar (Gujarat) only.

15 Indemnity:

The CSC agency shall at all time indemnify the Member Secretary. Gujarat

Water Supply and Sewerage Board, Gandhinagar against all claims which may

be made for infringement of any right protected by patent registration and

shall take all risk of accidents or damage which cause a failure of the supply

from whatever cause arising and entire responsibility for the sufficiency of the

means use by supplier for the fulfillment of the contract. Provided always that

in the event of any claims in respect of alleged breach of letter, Patent,

registered patent, registration design of trademark being made against the

GWSSB shall notify to the CSC agency shall be at the liberty at his own

expense to conduct negotiation for settlement of any litigation that may arise

there from.

16. Dispute:

In the event of any problem dispute of difference arising out of or under this

contract the decision of member Secretary, Gujarat Water Supply and

Sewerage Board, Gandhinagar shall be the final and binding to the parties to

this contract.

17. Mode of Payment:

Payment shall be made as per payment schedule.

18. Undertaking of the Construction Supervision Consultancy Agency (CSC):

General Standards of performance by the Construction Supervision

Consultancy Agency (CSC).

(a) The Construction Supervision Consultancy Agency (CSC) shall carry

out the services with the diligence and efficiency and shall exercise

such skill and care in the performance of the services as is consistent

with recognized professional standards.

(b) The CSC shall act at all times so as protect the interest of the GWSSB

and shall take all reasonable steps to keep all expenses to a minimum

consistent with sound (Engineering) practices.

19. Specifications and designs:

The CSC shall review and ensure that the specifications and designs and all

documentations relating to procurement of goods and services for the project

are prepared on an impartial basis so as to promote fairness and standard

engineering practices.

20. Records:

(a) The CSC shall keep accurate and systematic records in respect of the

services in such from and details as is customary in the profession.

These records shall be kept at project site office of the CSC and shall be

made available to the client as and when required or asked for.

(B) The CSC shall permit the duly authorized representative of the client

and from time to time to inspect its records and accounts relating to the

service and to make copies thereof and shall permit the client of any

person authorized by the client from time to time to audit records and

accounts during and after the service.

21. Information:

The CSC shall furnish the client any such information relating to the service

and the project as the client may require from time to time.

22. Assignments sub contracts:

(A) Except with the prior written approval of the client the consultant shall

not assign or transfer the contractor or any part there of nor engage any

independent CSC or sub contractor to perform any part of the service.

(B) The approval by the client to the assignment of any part of the contract

or to the engagement by the CSC of independent CSC or sub contractors

to perform any part of the service shall not relieve the CSC from any of

its obligations under the contract.

(c) In the event that any such independent consultant or sub contractor is

found by the client to be incompetent in discharging his assigned duties,

the client may request the CSC forth with either to provide as a

replacement a consultant or sub contractor with qualifications or

experience acceptable to the client or to resume the performance of the

service itself.

23. Confidentiality:

Except with the prior written consent of the client the CSC shall not at any

time communicate to any person or entity any confidential information

disclosed to them for the purpose the service or discovered by them in the

course of the service nor shall the CSC make public any information known

to them in the course of as a result of the service.

24. Prohibition on association:

The CSC agrees that during the project work of this contract the CSC limits

its role under the project for the provision of the services and otherwise

disqualifies itself if any other, contractor/consulting engineer of manufacturer

with which the CSC is found associated or affiliated for the provision of

goods or services in any capacity for this project including bidding for any

part of the project except as the client may otherwise agree.

25. Independent contractor:

Nothing contained herein shall be construed as establishing or creating

between the client and CSC the relationship of master and servant or

principal and agent. It be understood that the position of CSC and of any one

else performing the service is that of an independent contractor.

26. Proprietary right of the client equipment:

(a) Equipment supplied by the client during the project shall remain at all

times the property of the client and shall be returned by the CSC in

accordance with procedures to be determined by the client.

(b) Equipment purchased by the client or by the CSC agency for the client

for the purposes of the project shall be property of the client.

27. Proprietary Right of the client in report and records:

All reports and relevant data such as maps, diagrams, plans, statistics and

supporting records or materials complied or prepared in the course of the

service shall be confidential and shall be absolute property of the client. The

CSC agency agrees to deliver all these materials to the client upon

completion of this contract. The CSC agency may retain a copy of such data

but shall not use the same for purposes unrelated to this contract without

prior written approval of the client.

28. Insurance:

(a) The CSC agency shall take out and maintain adequate professional

liability insurance as well as adequate insurance purchased by the CSC

agency for providing service to the client for performance of this

contract.

(b) The client undertake no responsibility in respect of any life, health,

accident, travel and other insurance which may be necessary or

desirable for the personal of or sub contractors and specialists associated

with the CSC agency for the purpose of the service nor for any members

of any family of any such persons.

29. Reports:

All reports and recommendations and general correspondence from the CSC

agency to the client and all tender documents prepared by the CSC under this

contract shall be in the English/Gujarati language as desired by client.

30. Warranty as to Eligibility:

The CSC agency should be of Indian company/firm/ association etc. and the

service shall be wholly and substantially supplied from the country except

provided therein.

31. Notice of delay:

In the event that CSC agency foresees any delay in obtaining the required

service or facilities for the discharge of the service, the CSC agency shall

promptly notify client of such delay and may request an appropriate

extension of time for completion of the service.

32. Contractual Ethics:

No fees, gratuities, rebates, gifts, commissions or other payments, other than

those shown in the proposal or the contract been given or received in

connection with the selection process or the contract execution.

33. Establishment:

CSC agency must established office at Ahmedabad/ Gandhinagar with

Computer/Fax/Telephone/Internet facilities after fixing Contract and should

give details to GWSSB.

34. Appointment of Technical Staff:

CSC agency shall appoint the technical/non-technical staff as per qualifying

criteria awarded for the work and multiple in Nos. if multiple contracts are

awarded for inspection and those staff must be for minimum two years with

CSC agency.

35. Liquidated Damages:

If CSC does not carry out the inspection work in time as demanded by Engineer in

charge of GWSSB or delay or left out the site, GWSSB shall levy the liquidated

damages at the rate of 0.1 percent of tender cost for particular work per day limited to

10 percent of tender cost for the particular work and GWSSB shall take the action to

black list or withdrawal all the work to CSC agency.

36. Performance Security; (A) For Material Inspection:-

The successful bidder shall have to pay initial performance security deposit of

Rs. 500000/- (Rupees Five Lacs) in the form of DD/ FDR / an unequivocal bank

guarantee issued by Nationalized Bank/Private Bank (I) IDBI Bank (II) Axis Bank

(III) HDFC Bank (IV) ICICI Bank having a branch at Gandhinagar in favour of

member secretary GWSSB, Gandhinagar having validity for six months.

50% performance security shall be returned to the agency within 30 days from the

date of successful completion of the contract and remaining 50% will be returned

after 6 month from the date of successful completion of the contract after getting "No

Objection Certificate" from concerned Executive Engineer of the Project. Monitoring

for the same shall have to be done by concerned Superintending Engineer.

Bank (IV) ICICI Bank having Branch in Gujarat State B.G. should be in favour of

concern Executive Engineer in charge of Project.

50% performance security shall be returned to the agency within 30 days from the

date of successful completion of the contract and remaining 50% will be returned

after 6 month from the date of successful completion of the contract after getting No

objection certificate from concerned Superintending Engineer of the Project.

TERMS OF REFERENCE

1) Preamble:

The Construction Supervision Consultant shall provide consultancy services for

Supervision of construction and inspection of Materials for water supply, drainage

and other civil engineering projects under GWSSB. The works shall be undertaken

on behalf of the concern ULB by GWSSB and funds for the works shall be obtained

from the Government of Gujarat and/or from the Government of India.

The project as a whole is facilitated and monitored by GWSSB. The scope of

the construction supervision consultant shall be to help GWSSB in implementation,

supervision of construction & inspection of materials as a responsible partner of

GWSSB. The Construction supervision consultant appointed by the consultant shall

be responsible in day to day work and shall remain in close touch with GWSSB. The

funds shall be managed by the GWSSB representing the Government of Gujarat.

2) Construction Supervision Consultant’s Scope Of Work :

There are two basic agreements which govern the work of the Consultant:

i) The Construction agreement between the GWSSB and the Contractor.

ii) The Operation and Maintenance agreement between the GWSSB and the

contractor. (Where ever applicable)

The duties and responsibilities of the Construction supervision consultant flow from

the above two agreements between the parties, but the primary agreement

governing the Construction supervision consultant shall be the Construction

agreement. The role of Construction supervision consultant shall be in four phases:

• Inspection of Material

• Pre-construction activities

• Activities during construction

• Defects correction supervision

• Post-construction activities

The Construction agreement and the Operation & Maintenance Agreement set out in

various clauses, the role of the Construction supervision consultant. Implicit in this

contract is the fact that the client has certain rights and obligations vis-à-vis the

contractor, and certain rights and responsibilities vis-à-vis the Government of

Gujarat. The Construction supervision consultant shall be expected to fulfill such

obligations, which are directly set out in the construction contract, as well as assist

the client for exercising and fulfilling the clients’ rights and obligations. The

Construction supervision consultant shall act as an extended arm of the client in the

technical and contractual issues connected with the implementation of the project.

The two agreements are deemed to be a part of this TOR, in so far as the duties and

obligations of the Construction supervision consultant are concerned, and the

Construction supervision consultant shall acquaint himself to the letter and spirit of

the agreements.

3) CONSTRUCTION SUPERVISION CONSULTANT'S GENERAL DUTIES :

The broad role of the Construction supervision consultant shall be to act as the

Client's representative for:

1. Material inspection @ Manufacturer factory & at site of work;

2. Overall Design review;

3. Check of survey and setting out;

4. Construction supervision, Quality Assurance and Progress Monitoring;

5. Measurements, scheduling and certification;

6. Reporting;

7. Other activities related to the technical and contractual aspects of the

construction of the Project.

The Construction supervision consultant shall, during the pre construction period,

inspect the project site at intervals in order to determine the progress of mobilization.

The Construction supervision consultant shall monitor the progress of surveys and

setting out, review the construction drawing submitted by the contractor and shall

review the contractor’s proposal in broad terms of Technical Requirements and the

Performance Standards stipulated for the works in the tender.

The representative of Construction supervision consultant shall, during the

construction period, be available on regular basis at the project site in order to

supervise, inspect, monitor and certify the works, and shall see that the Technical

Requirements and the Performance Standards stipulated for the works are fully

taken care of as per tender requirement. The Construction supervision consultant

shall also monitor the progress of setting out, and review the construction drawings

and as-built-drawings submitted by the contractor. The Construction supervision

consultant shall also perform test checking of measurements, certification of

payments, adherence to project programmes, and reporting. The Construction

Supervision Consultant shall also be liable for "100% Scrutiny" of measurement for

certification of Auditor/ Charter Accountant & shall give their comments for payments,

adherence to project programmes and reporting.

For the period during the defect liability, the construction supervision consultant shall

inspect the project site at interval of one month in order to monitor technical

performance during defect liability period of the project. The payment for every

month visit during defect liability period includes in quoted price. No extra payment

shall be made for the same. But he shall also be available "on call" at reimbursable

basis, for which CSC shall be paid at Rs.5000/- plus service tax per day for defect

correction period, which shall be born by the concern contractor of the work.

The Construction supervision consultant shall report to the Client at very frequent

intervals, on a daily, weekly, and monthly basis, such details as are mutually agreed

between the Client and Construction supervision consultant. Apart from period

reports, the Construction supervision consultant shall intimate the Client in writing of

any deviations from the Technical Requirements and Performance Standards.

It is reiterated that the contract is for an important public Facility; the Client binds the

contractor on performance. It shall be the responsibility of CSC to see that the over

all performance of the project is as per design and tender requirements. Construction

supervision consultant shall ensure that a complete internal record of the work is

available. The Construction supervision consultant shall ensure that his inspections

do not impede the design, construction and operation and maintenance of the

Facility.

4) Roles & responsibilities of CSC agency:

1. CSC is required to support overall “contract management” of the component in

implementing the rural water supply and urban water supply and drainage projects of

Gujarat.

2. CSC should study contract documents for all procurements and construction activity

in civil, mechanical and electrical works including EPC (engineering procurement and

Construction) turnkey contracts. Based on such study, CSC should define all

parameters relating to quality assurance, testing and certification.

3. CSC should check all the surveys and settings previously done by GWSSB /

Consultants and should finalise the survey documents which needs implementation.

4. CSC should review, finalize & recommend approval of “Quality Assurance” plan

prepared and provided by the manufacture as well as construction contractors based

on contract specifications and formulate and put in place quality assurance and

material inspection procedures in accordance to the relevant codes (BIS, AWWA etc)

and standard engineering design and implementation standards. It shall be the

responsibility of CSC to review, finalize and recommend approval of “Inspection Test

Plans” (ITP) prepared by the vendors and the contractors.

5. CSC should review Engineering Designs (Civil, Structural, Mechanical, Electrical and

Instrumentation control) and drawings formulated by the EPC / turnkey contractors

as per the specifications contained in contracts in accordance with the prescribed

codes / standards like BIS, AWWA, API, ISO etc. as may be applicable from the

point of view of implementation at site and recommend its approval.

6. CSC agency should ensure and certify quality of the materials and equipments and

issue “Inspection Reports” and “Quality Certificates”. for the items that are expected

to be covered under this scope. This is not an exclusive list as all items of materials

and equipments specified in the designs, drawings and contracts shall be covered

under the scope.

7. CSC agency should ensure that the manufacturer / supplier gets the raw materials

and the finished goods tested in approved laboratories in their presence as per the

requirement prescribed in the applicable quality standard specifications and work

specifications contained in the contract. Strict implementation of the “Quality

Assurance Plan” and “Material Testing Procedures” are the core duties of the CSC

agencies.

8. The CSC agency shall give a clearance certificate for acceptance of the materials

and equipments inspected and accepted for supply to GWSSB. The payment shall

be released as per contract only after such certification is made available by the CSC

agency on the record.

9. The inspection agency (CSC) will check and certify lines and levels of reference, as

per the approved drawings and designs and contractor’s setting out of works so as to

ensure accuracy in work locations and levels of all structures, pipelines, machineries

prime movers, equipments and facilities.

10. The inspection agency will check and certify all equipments and construction

materials brought on site by the contractor / supplier with reference to the materials

and work specifications prescribed in the contracts and their conformity with the

approved designs and drawings.

11. CSC agency will check and monitor contractor’s site management systems and

methods for permanent and temporary works as per the work specifications,

approach and methodology including centering & scaffoldings, equipment installation

and workmanship in compliance to the applicable standards, manufacture’s

recommendations, safety codes local regulations and bye-laws and also from the

point of view of avoidance of public nuisance.

12. CSC should ensure strict adherence to approved drawings, specification and

conditions of contract and inform GWSB, if there are any unacceptable deviations.

CSC agency should also suggest remedies to correct such deviations.

13. Inspection agency should witness from time to time such tests to ensure the quality

of construction materials and equipment and workmanship as required under the

construction contract. In case of any unacceptable deviation, they should give

directions to the contractor to take necessary corrective action.

14. CSC agency will supervise the testing of works, materials and facilities so as to

ensure its conformity with the plan of action and work specifications. After analyzing

the test results, decide whether the said facilities are sufficiently sound to be

incorporated in the permanent works, without adversely effecting functional and

operational efficiency.

15. CSC agency will provide guidance and assistance to the contractor and the GWSSB

site staff to resolve technical problems cropping up in site and work management.

16. CSC agency should also monitor all the safety precautions at site of work and guide

the contractor accordingly.

17. CSC agency will certify quality of works, physical progress, and bill of quantities,

interim and final payments as per the terms and conditions of construction contract.

They are supposed to review the milestones for payments before advising the

payments.

18. It will be the duty of CSC agency to see that the materials are periodically tested as

per IS specifications. For RCC work and especially for water retaining structures the

field testing of concrete cubes is necessary and it shall be the duty of CSC agency to

take the field tests of the cubes. In case it does not materialize due to any reason,

CSC agency should inform the Client for his intervention.

19. CSC should issue the field inspection reports on the same day to (i) GWSSB

Engineer in charge and (ii) Representative of contractor, under intimation to

Executive Engineer. GWSSB should act effectively and immediately no sooner the

CSC inspection reports are received. CSC should also issue fortnightly inspection

report to (i) Chief Engineer, (ii) Superintending Engineer and (iii) Executive Engineer

with summary of progress achieved in the period of report and total achievement.

The monthly progress report should be submitted in prescribed format to all

concerned.

20. It shall be the responsibility of CSC to check Manpower & Machinery of the

contractor and see that it is as per the requirement of the tender specifications.

21. If contractor sub lets the work, CSC agency should see that the main contractor has

got the written permission of the Engineer in charge for sub letting the work. Further

sub letting of the part of the work is not allowed.

22. CSC agency will prepare and present progress reports and project completion report

as per the actual work done and should assist GWSSB in finalizing the accounts as

per tender conditions.

23. CSC agency should assist GWSSB in clearing the ROU matters / claims and in

getting the approval from authorities for various activities.

24. CSC should also review the stages of work such as construction phase, testing

phase, commissioning phase and handing over phase.

25. CSC agency will scrutinize and check all quantity and price variations under and

construction contract and claims lodged by the contractor with reference to the

conditions of contract and its reasonability with necessary justifications for clearance

and payment.

26. CSC agency will examine the cases of “Time Limit Extension” as requested by the

contractor and make appropriate recommendations to GWSSB.

27. CSC agency will ensure that the equipments and structures planned and provided

are adequately designed, constructed and installed so as to resist multi-hazard risks

including seismic forces, cyclones, floods etc as per the prescribed engineering

standards.

28. During inspection of materials, the samples are to be collected as prescribed under

IS/Contract specifications. In case of pipes, it should be seen that at least one

sample is inspected from one lot of pipes irrespective of the percentage.

29. CSC shall guide GWSSB officials regarding the handling of materials, storage

guidelines and other such factors which if ignored can affect the quality of materials,

especially in case of PVC / HDPE pipes.

30. CSC agency shall report directly to GWSSB and should avoid direct control over

contractor as far as possible. GWSSB shall be the sole point for instructions to

contractors.

31. CSC shall monitor Work programme, identify slacks and slippage, and suggest

remedial measures and shall monitor adequacy of manpower, machinery and other

resources to meet the target.

32. They should also Co-ordinate the review meetings, and review and certify milestone

payments.

33. CSC shall review and verify variations and advice in value engineering and advice on

time extensions.

34. CSC shall monitor implementation of quality assurance procedures.

35. CSC is supposed to review and certify stages of work such as Taking Over,

Construction Completion, and Maintenance certificate.

36. CSC shall have to scrutinize the all designs submitted by Agency.

37. Any defect identified by CSC shall be rectified through concern Agency under

Supervision of CSC. The intimation for the same shall be passed to client.

38. CSC shall be Liable to carry out the execution according to all guidelines of PWD

manual.

5) REPORTING AND CO-ORDINATION :

The Construction supervision consultant (and his staff) shall report only to the

Client's representative. The Construction supervision consultant shall not exercise

any direct control over the contractor, but shall report to the Client's representative

who shall be the sole point of contact with the Contractor. The Client shall also have

senior and supervisory staff as required at site. The contracts also provide for

Construction supervision consultant to supervise the contract agreement. Similarly

the Lenders may appoint a Lender's engineer. The Construction supervision

consultant shall co-ordinate with all such persons for the fulfillment of obligations, but

shall report solely to the Client's representative.

6) PROJECT TEAM :

The Consultant would be required to form a multi disciplinary Project Team for this

assignment, from the areas given below:

(a) Water Supply Engineering

(b) Hydraulics with Surge Analysis & Control

(c) Project Management

(d) Structural Engineering

(e) Mechanical, Electrical, Instrumentation

(f) Quality Assurance and Quality Control

(g) Contract expert

(h) Environment Engineer

The Consultant Team should also have multi-disciplinary skills with various

experiences in monitoring of the Environmental Management Plan.

7) Roles & responsibilities of GWSSB:

1. It is generally seen that the drawings and specifications do not tally. In case of

ambiguity, decision from GWSSB shall be very quick as it affects the progress of the

work. The role of CSC under such circumstances shall be of catalyst in resolving the

dispute / ambiguity of the tender documents.

2. Periodical meetings shall be held by the Chief Engineer between GWSSB

implementing officers, contractors and CSC agency. The proceedings of the meeting

should be furnished to all concerned including to CSC agency for follow up actions.

The next review meeting should start with the review of the follow up actions taken

reports of the previous meetings.

3. All the relevant drawings and detailed drawings designs, calculations for the

components like Pumping Machinery, WTP, ESR, Sump etc should be provided to

CSC agency. CSC is supposed to go through the details and should comment and

issue their findings and suggestions to GWSSB for improving the overall efficiency of

the project. GWSSB should consider the suggestions and take necessary actions

where ever necessary.

4. CSC should be provided with all the necessary documents like estimates, tender

papers, designs, and drawings for their use in hard copy as well as in soft copy. CSC

agency should thoroughly go through these documents and offer their suggestions, if

necessary.

5. The actions for approving the Designs, QAP, and Changes etc. shall immediately be

taken by the competent authority and CSC should provide their helping hand in

finalizing the approval where ever required.

6. When the designs are approved on Weight basis and on mixed design basis for

important concrete structures, the copy of the same should be given to CSC agency.

It shall be the duty of CSC agency to see that the concreting at work site is done

strictly under the conditions which are assumed in design. No variations should be

allowed. If CSC notices the variation, he is authorized to stop the work and inform

GWSSB. The decision of Chief Engineer in that case shall be final and binding to

contractor.

7. After the materials are received at site or store, GWSSB officials will check the

materials at site from physical parameters like dimensions, thickness, and density

point of view and will compare the results with the report of inspection at Factory. If

some deviations in standard specifications are observed then these deviations shall

be properly justified by CSC agency.

8. GWSSB shall exchange data and information pertaining to project with CSC agency

and should have day to day interaction and monitoring of activities to enable active

project management.

9. GWSSB should issue the letter of authority to CSC agency where ever required to

facilitate the assignment and other related activities required to be done by CSC

agency.

must be in water supply / drainage sector. Details shall be given in following table, along

(III) The bidder should have average financial turnover for last three years of at least Rs.1 Crores.

Financial evaluation shall be carried out according to balance sheet submitted by Bidders.

9) PHASING OF AND LOCATION FOR CONSULTANCY SERVICES:

The Consultancy services are to be rendered in following four phases together with

the locations:

a) Pre-Contract work : Office / site, as appropriate

b) Contract Monitoring, Construction Supervision : Site / at venders premises

Material inspection any where in India

c) Defects Correction Supervision : Site

d) Post-Contract work : Office / site as appropriate

Specific details of the services to be rendered are defined by phase in Terms of

Reference.

10) PROCEDURES AND AUTHORITY LEVEL:

The Consultant shall carry out the Services as defined in Terms of Reference or as

otherwise required for efficient works' execution, while acting in the capacity of the

"Representative of the Client" according to the intentions of the "Conditions of

Contract", which form part of the tender/contract documents for works execution and

are available for review at the GWSSB. The "Conditions of Contract" clarifies in

detail, the duties and authorities of the Construction supervision consultant and of his

representative, to whom the Construction supervision consultant may delegate duties

and authorities as required.

Principally, the Construction supervision consultant has to carry out the periodical

qualitative and supervision of works execution and construction contract

administration on behalf of the Client following the laid down procedures.

The powers vested in the Construction supervision consultant there to under the

terms and conditions of this Contract are subject to limitations as stipulated in the

above said "Conditions of Contract" in respect of taking major steps in construction

contract administration notably referring to:

− approving assignment and sub-contracting

− issuing a notice to commence

− certifying additional costs and payments

− determining extensions of time

− issuing a certificate of substantial completion

− issuing a defects correction certificate for which the specific approval of the Client in

writing will be needed in advance.

Whilst, therefore, being fully accountable to the client in ensuring that the

works are executed within the tender total or such other sum as may become

payable to the contractor under the provisions of this contract and within the

scheduled time for completion, the Construction supervision consultant also has

duties towards the contractor in administrating and interpreting the contract properly

and fairly to maintain the work schedule and to avoid disputes. Thereto the

Construction supervision consultant shall ensure that the Client's and the

contractors’ rights under the construction contract are upheld by ensuring good

verbal and written communication between himself, the Client and his

representatives and the contractor and his representatives. The Construction

supervision consultant shall follow the contractor's progress carefully and forecast

well ahead the needs for critical actions to be taken. He shall ensure that items with

a lead time or otherwise not readily available e.g. pipes, pumps and electrical

installation items are ordered well in time by the contractor. He should help

contractor in preparing the Procurement Schedule of important materials and shall

also ensure that excessive quantities of materials are not ordered where the delivery

of such quantities could cause difficulties on site or the materials could deteriorate.

The Construction supervision consultant, during the contract, shall provide the Client

with monthly reports indicating physical progress compared to the work schedule and

cost aspects including amounts certified so far and during that month and any

financial implication in the reports, the Construction supervision consultant shall also

include observations and comments on testing results and quality of workmanship.

11) SCOPE OF WORK:

In the capacity of Construction supervision consultant, the Consultant shall carry out

duties and authorities which include, without being limited to them, the following

functions and tasks by phase of work.

11.1 Pre-Contract work:

i) read and understand the concept of the details of the works and of the Services from

the various documents prepared by or on behalf of the Client.

ii) inspect all existing surveys, mapping and other site data to determine and identify

additional work as required to provide the contractor with sufficient information to

execute the works with no claims or time extension.

iii) Jointly with the Client, develop formats for reporting and recording.

iv) mobilize all staff and other requirements well in time to carry out the services.

11.2 Contract, Construction supervision and inspection of materials / machineries &

equipments

Contract Monitoring

i) With in the powers granted to the Construction supervision consultant, administer the

construction contract on behalf of the client.

ii) Work closely with the client, to assist him to carry out his obligations under the

construction contract in order that the contractor is not hampered in any way in

carrying out his duties.

iii) ensure that the contractor carries out the works in accordance with the construction

contract and assist the contractor therewith, all to enable the contractor to fully carry

out his obligations within the tender total or such other sum as may become payable

to him under the provisions of his contract and within the scheduled time for

completion.

iv) Liaise between the Client and the contractor to ensure good communication between

all parties such that disputes do not arise and that any such disputes are settled

reasonably and amicably and assist in any adjudication.

v) Keep accurate records of all site activities and operations and those required

elsewhere for efficient works execution from the contractor and others under the

construction contract, including but not restricted to

− Correspondence between client, Consultant and contractor as well as between them

and third parties.

− Minutes of scheduled meetings

− daily, weekly and monthly report from the Engineer's representative and the site

inspectors

− Instructions, variation orders, approval forms, etc.

− Level and survey books, including checks on setting out and completed work.

− Work records, such as measurement, level, dimension, as built drawings and

material delivery notes.

Work's programming:

i) Agree with the Client on the overall construction program.

ii) Agree with the contractor at the start of the works on his detailed work program.

iii) Monitor progress of the works and ensure that the contractor, as and when required,

produces revised programs.

iv) Ensure that the contractor allows for sufficient lead time for the provision of all

materials, plant, equipment and labour to avoid hold ups or bottlenecks.

v) Timely devise, jointly with the contractor, a plan of action for detailed investigations

and testing of existing facilities, if any to be incorporated in the permanent works.

vi) Prevent any hold ups due to factors beyond the control of the contractor, including

such factors in the hands of the client like granting of access to all parts of the site,

provision of certain facilities and storage areas, obtaining of rights of way and way

leaves and any such other items which are the duty of or where assistance is to be

given by the Client

vii) Assist the contractor in case, notwithstanding the above time problems not caused

by himself occur in making up for any lost time or in negotiating interim extension of

time.

Inspection of Materials, Machineries and Equipments :

Inspection of Materials Machineries and equipments AT THE PLACE OF

MANUFACTURER WITHIN Gujarat and outside Gujarat in the country.

The inspection shall consist of preparation of methodology sequences and system

report inclusive its commissioning for each category works ensuring quality

assurance and control so as to achieve the desired objective and sustainability of the

system for the anticipated serve life to each category.

Any effective modification found necessary during their inspection process for

achieving the designated aim shall be brought to the notice of the Client and

obligatory on the agency.

Typical inspection checklists shall be prepared for each category of works on each

operation and activities with reference to documents and standards. The acceptance

/ rejection report through the concerted inspection engineer ensuring al the points

shall be mandatory.

The inspection system and procedure shall be prepared and maintained on day-to-

day basis. The inspection crews shall have guidelines, test plans, scope of

inspection, procedures, checklists and various formats to carry out inspection in a

systematic method.

The inspection reports shall have to be prepared on computer using M.S. word2000.

The inspecting authority shall have to establish office at Ahmedabad / Gandhinagar

with infrastructure facilities including computer hardware and software facilities on

site, testing instruments at his cost and responsibility. The office shall be headed by

a senior technocrats with project related background and experience not less than 15

years, who shall be the team leader.

The inspection report on based on factory and / or on site inspection shall be

submitted to the engineer-in-charge of the project, periodically as per requirement.

All stationary, drawing stationary, design facilities, reprographic facilities etc. shall be

provided by the inspecting authority at his own cost.

The inspecting authority shall issue necessary certification on progressive

completion of each category of work after ensuring quality control and assurance so

as to achieve the designed objectives of the particulars works. The certification shall

be based on satisfactory adherence of the system and procedures of the inspection.

Supervision of construction:

i) Supervise the mobilization of the contractor, his staff, plant, equipment etc. and his

provisions for storage and other operating areas, paying particular attention to land

made available for the construction of the works, including rights-of-way and way

leaves.

ii) Provide the contractor with points, lines and levels of reference, as made available

by the Client or otherwise established, and check the contractor’s setting out his shall

include the accurate locations and levels of all structures, the lines and levels of

pipelines and the locations of accesses, storage areas, working areas, way leaves

etc.

iii) Check all construction materials and equipment arriving on site to ensure that they

are in compliance with the lists of supplies submitted by the contractor and meet the

requirements of the specification and the applicable standards’ ensure that all

materials handing and storage is in accordance with the manufacturers’

recommendations. Advise to the EPC contractor for safety measures & epidemics.

iv) Monitor and inspect the contractor’s methods of construction for permanent and

temporary works, including false work, checking of centering & scaffolding,

reinforcement and supervision of concrete & other civil work, as well as materials

and equipment installation, workmanship and other site operations in regard of

compliance with the requirements of the specification, the applicable standards and

the manufacturer’s recommendations, with all due attention being given to

adherence to safety codes, labour laws, either laws, bye-laws and regulations and

avoidance of public nuisance.

v) Prepared and Issue to the contractor from time to time, as and when necessary,

such further drawings, specification and instructions as required under the

construction contract to enable the contractor to complete his obligations under his

contract in a timely manner.

vi) Direct and witness from time to time such tests regarding construction materials and

equipment and workmanship as required under the construction contract to be

executed by the contractor or elsewhere and instruct the contractor to undertake

corrective action in case of non-compliance with the specification or the applicable

standards.

vii) Supervise the contractor’s detailed investigations and testing of existing facilities, if

any, in regard of compliance with the plan of action and decide on the basis of the

results of the testing on whether the said facilities are sufficiently sound to be

incorporated in the permanent works Winton adversely effecting later operation and

functioning.

viii) In the event of technical problems arising on site, assist the contractor in overcoming

them in the interest of the Client. Within the tender total or such other sum as may

become payable to the contractor under the provisions of his contract and within the

scheduled time for completion.

ix) Issue instructions to carry out work on a day-work basis as and when necessary.

x) Upon having obtained approval of the client, issue variation orders or order extension

of time as required under the construction contract.

Supervision of construction including commissioning and testing of entire system.

Review / Approval of the documents:

− Study of contract documents for Civil / Mechanical and Electrical work.

− Inspection test plan prepared by the contractor for Civil, Mechanical and Electrical

works.

− Material test certificates for cement, reinforcement and major bulk materials.

− Al check test reports laboratory as well as internal for the materials convert, mortar

etc.

Site Supervision of construction:

− Ensuring setting up of field laboratories

− Contractors internal test on materials, concrete, mortar etc.

− Pipe line trenching, bedding

− Lowering, laying and welding & jointing of Mild Steel pipe lines of various sizes.

− Installation of valves, specials fittings.

− Inside in-situ lining

− Pipeline hydro testing and pre commissioning test.

− Proper alignment of pipeline trenching.

− Nallah / River crossings – culverts bridges etc.

− Major / minor road crossings

− Railway crossings

− Orientation, location of structures depth of foundation etc. with respect to approved

drawings and approved test plan

− Dimensions, reinforcement, concreting in foundation for major civil works.

− Shuttering, plumb, dimensions, concreting etc. in sub structure including vertical wall,

ring beams, tie beams, columns, slab etc as per approved inspection test plan.

The items listed in scope of works are major items covered under the

construction contract.

The miscellaneous items and any other major items remained in the lists but

required for the successful implementation of the project shall also form the part of

scope of work under this consultancy.

Operation and Maintenance Manuals and Training of Operators

i) ensure that "as-built" drawings meeting professional standards are provided by the

contractor.

ii) prepare detailed project report "as-executed" and operation and maintenance

manuals for all components of the permanent works, as required.

iii) train scheme operators, selected by the Client or others, to give them the appropriate

skills for proper operation and maintenance of the works.

11.3 Defects Correction Supervision:

i) Make periodic site visits to ensure that any outstanding work agreed upon with the

contractor before the issue of the certificate of substantial completion is properly

carried out.

ii) In the event of any defect and whenever required, visit the site, ensure that repairs

are properly carried out.

iii) On the occasion of site visits as above and / or request of the Client, supervise

performance of the operators and report to the Client in case of shortcomings,

including recommending on corrective actions.

iv) At the end of the defects correction period and when all outstanding work is

completed and all repairs are carried out satisfactorily, issue the defects corrections

certificate in accordance with the provisions of the construction contract.

11.4 Post Contract Work:

i) on removal of all material, plant, equipment and staff from the site by the contractor,

agree with the Client and the contractor on all monies owed to or by the contractor,

including the remaining retention money, and release all guarantees and securities in

accordance with the provisions of the construction contract.

i) after clearing and tidying up of the site by the contractor is complete, carry out all

work required to finalize the construction contract administratively.

12) Milestone for CONSTRUCTION SUPERVISION CONSULTANT for Water Supply

and Drainage Projects:

The following is a typical general guide line that gives an overall responsibility and

the duties of CSC for different types and kinds of works that are generally the part of

civil and mechanical activities of water supply and drainage projects. There may be

various other categories of works, but the general guide lines will remain more or

less same.

12.1 General

• CONSTRUCTION SUPERVISION CONSULTANT to study the tender document

thoroughly including specifications, drawings and bill of quantities and to offer

ambiguity if any

• CONSTRUCTION SUPERVISION CONSULTANT to visit the site, examine the

soil, analysis, report, survey data and opine regarding the location of the structures

and lay out prepared by the contractor – water table, flood level, etc

• The CONSTRUCTION SUPERVISION CONSULTANT to study the methodology

and work plan submitted by the contractor

• CONSTRUCTION SUPERVISION CONSULTANT to collect the samples of the

material, steel, and send the same for testing from the approved laboratory and

approve the material to be consumed in the work

• CONSTRUCTION SUPERVISION CONSULTANT to attend project review meeting

and submit the progress report to employer

12.2.1.1 Inspection

CONSTRUCTION SUPERVISION CONSULTANT to visit the site at various

important and critical stages for each component of the project as under:

12.2.2 Pipeline Work

1. All the material i.e. pipes, valves, joints, etc. to be inspected and tested at

factory as per the relevant BIS and as per tender specifications

2. Regular supervision and checking of excavation of pipeline trenches,

bedding and laying, jointing of pipeline work

3. At the time of hydraulic testing and commissioning of the pipeline

12.2.1.2 Civil Work

It is essentially the responsibility of CSC to arrange for over all supervision

and inspection of works, however there should be some bare minimum visits

for regular supervision and checking of the works as shown against each item

of work.

12.2.2.1 Pump House

1. Approval of the foundation along with comparison with S.B.C. report and

water table, etc.

2. Visit at plinth level including foundation for pumping machinery, etc.

3. Visit at slab level including checking of reinforcement, centering and cube

testing, etc

4. Visit at final finishing including verification of excess extra items, time limits

and important contractual matter

12.2.1.3 GSR/Sump

1. Approval of the foundation along with comparison with S.B.C. report and

water table, etc.

2. Visit at the site of casting of base slab including reinforcement checking, etc.

3. Visit at 50% height of vertical walls and columns including reinforcement

checking, cube test, etc.

4. Visit at full height of vertical walls and columns including reinforcement

checking, cube test, etc.

5. Visit at the time of roof slab casting with checking of steel and centering

6. Visit during the plastering and other allied works including inlet, outlet, scour

arranged

7. Visit at the time of hydraulic testing and commissioning and certifying of test

12.2.1.4 Elevated Service Reservoir

1. Foundation approval along with comparison with S.B.C. report and water

table, etc.

2. Visit at the time of casting the footing and vertical shaft wall or columns etc

with dimension check, verticality check and cube test, etc.

3. Visit at 30% staging height with dimension check, verticality check and cube

test, etc.

4. Visit at 60% staging height with dimension check, verticality check and cube

test, etc.

5. Visit at 100% staging height with ring beam, checking the centering,

reinforcement, centering, dimensions of container, verticality check including

cube test, and casting of base slab and slant wall

6. Visit at the time of vertical wall of container – reinforcement, centering and

dimensions of container and verticality check including cube test

7. Visit at the time of casting roof slab/dome – checking centering,

reinforcement, etc

8. Visit at the time of erection of vertical pipes – pipe checking and alignment

check

9. Visit during the plastering and other allied works

10. Visit at the time of testing and commissioning along with checking of excess,

extra items time limit and other contractual matter

12.2.1.5 Filtration Plant

Scrutinizing the hydraulic diagram along with approved design and the lay out

of all the units suggested by agency

Visit for checking the line out and foundation of clarifier, filter, chemical house

along with SBC report, water table and general appearance, etc

12.2.1.5.1.1 Clarifier

1. Visit at the time of base slab along with checking all required levels

2. Visit at the time of floculator walls along with checking at all required levels,

cube test and verticality test

3. Visit at the time of casting vertical wall up to 50% height along with checking

at all required levels, cube test and verticality test

testing of equipment at factory site and installation, testing and trial run at site

12.2.1.6 Filter House

1. Approval of the foundation along with checking S.B.C. report and water table,

etc.

2. Visit at the time of base slab concreting and column footing, reinforcement,

etc

3. Minimum 2 visit for concreting work for vertical wall of the filter bed and first

floor slab – verification with structural drawings, cube test, etc.

4. Visit at the time of casting roof slab – verification with structural drawings,

cube test, etc.

5. Visit at the time of casting all the chambers and channels and other allied

work

6. Minimum 3 visit for erection of mechanical and electrical equipment and

testing of equipment at factory site and installation, testing and trial run at site

7. 3 visits at the time of all the piping work and under drainage system, filling of

gravel and sand – filter media – back wash arrangement, wash out

arrangement as per drawings, etc

8. Visit at the time of commissioning, hydraulic testing, flow testing and quality

and quantity checks

12.2.1.7 Chemical House and Recycling Unit

1. Periodical 4 visits for both the work considering all of above technical points

including laboratory and office setting – alum and chlorine dosing –

equipment testing, installation and commissioning

12.2.2 Mechanical and Electrical

1. 100% inspection of material i.e. pump, motor, transformer, cables, panel,

valves, etc

2. Finalization of P. & I. diagram

3. Checking of lay out of foundation blocks

4. Erection of pumps and motor

5. Erection of electrical components

6. Trial run and testing of equipment

13) Payment terms to CSC agency: 1. CSC agency should be witness for each Test as per prescribed norms & standards in

the factory, when the call for Inspection is received from supplier / manufacturer /

Contractor of work. In case of false inspection call received i.e. material is not ready

for inspection at time of visit, CSC shall be eligible to elaborate actual expenditure

(minimum to Rs. 5000/-) plus 20% over head. This expenditure shall be born by

supplier / manufacturer/ Contractor. The client shall immediately issue warning

notice to concern contractor.

2. In case the work is not completed or seems to be delayed for a longer period for

want of sanction from competent authority or for any other reasons, the payment to

CSC shall be made on the basis of the cost of the actual work done and not on the

billed amount of the contractor.

3. In case of termination of contract also the CSC shall be paid on the basis of the

actual work done by the contractor and not in the billed amount of the contractor, as

generally interim payments to contractors are not being fully done.

4. In case the progress of the work is not satisfactory, which generally happens in the

fag end of the completion stage, minimum monthly remuneration will be paid to CSC

which shall be equal to the salary of the field staff plus 20% overheads. The field

staff will be decided in consultation with Client according to the quantum of works in

progress.

5. Materials tested at factory fail in site and if authentication of materials is proved that

these are tested by CSC, the responsibility of failure lie with CSC agency. GWSSB,

at his will, can take either of the actions like (i) termination of contract with CSC

agency, (ii) penalizing the CSC agency up to 10% cost payable to CSC agency, (iii)

black listing the CSC agency from the department for a period up to 5 years or by

other means as deemed fit to GWSSB.

6. If materials received at store or site of work are found to be of inferior quality or are

found doubtful then at the report of CSC, all the materials shall have to be replaced

by the manufacturer / supplier / contractor. CSC will be paid at actual expenses plus

20% overheads for the second inspection which shall be born by the manufacturer /

supplier / contractor.

2.0 PREAMBLE TO PRICE SCHEDULES 1. The bid is lump sum bid for construction supervision consultancy services for

implementation of water supply, Drainage, other civil engineering project. 2. The bidder shall quote his firm and fixed lump sum price, on percentage

basis, for the entire work under this Contract, defined in more details in various sections of this bid document.

3. The rates and prices shall be submitted in the formats given in the enclosed

Price Schedules. Rates and prices received in any other formats will be rejected and the Bids will be disqualified.

4. It will be entirely at the discretion of the Employer to accept or reject the

consultant’s proposal, without giving any reasons whatsoever and the consultant shall not be permitted to withdraw his bid on this account.

5. Interim payment will be made as per break up given in the Price document. 6. Prices shall be written in ink and shall be entered in figures and in words.

Where there is a discrepancy between the unit rates and the amount entered, the latter shall govern.

7. The Price Schedules are to be read in conjunction with the Conditions of

Contract, the Specifications and other sections of these bid documents and these documents are to be taken as mutually explanatory of one another.

8. Prices quoted by the consultant shall be firm for the entire period of Contract

without any escalation. 9. GWSSB will distribute the work among more than one consultants as deemed

fit. 10. The interim payment will be made by GWSSB every month if possible as per

availability of fund.

Payment Schedule

The payment to the consultant will be made as under.

Mode of Billing and Payment

Billing and payments in respect of the Services shall be made as follows:

1. As soon as practicable as and not later than fifteen (15 days) after the end of each

calendar month during the period of the Services, the Consultants shall submit to the

Client, in duplicate, the bill for the services rendered by him. In case of additional

payment under clause 7, the necessary documents in support of claim shall be

furnished. Each such separate monthly statement shall distinguish that portion of the

total eligible costs which pertains to remuneration from that portion which pertains to

reimbursable expenditure.

2. The Client shall cause the payment of the Consultants periodically as given above the

payment within thirty (30) days after the receipt by the Client of the bills supporting

documents. Only such portion of a monthly statement that is not satisfactorily

supported may be withheld from payment. Should any discrepancy be found to exist

between actual payments and costs authorized to be incurred by the consultants, the

client may add or subtract the difference from any subsequent payments.

3. The final payment under this Clause shall be made only after the final report and a

final statement, identified as such, shall have been submitted by the consultants and

approved as satisfactory by the Client. The services shall be deemed completed and

finally accepted by the Client and the final report and final statement shall be deemed

approved by the Client as satisfactory unless within ninety (90) days period client

gives written notice to the Consultants specifying in detail deficiencies in the

Services, in the final report or in final statement, the consultants shall there upon

promptly make any necessary corrections, and upon completion of such corrections,

the foregoing process shall be repeated. Any amount which the Client has paid or

caused to be paid in accordance with this Clause in excess of the amounts actually

payable in the accordance with the provisions of this Contract shall be reimbursed by

the Consultants to the Client within thirty (30) days after receipt by the Consultants of

notice thereof. Any such claim by the Client for reimbursement must be made within

(12) calendar months after receipt by the Client of a final report and a final statement

approved by the Client in accordance with the above.
