1.0 INTRODUCTION:

GAIL (India) Limited, India’s premier organization in the field of Natural Gas & LPG transmission is operating and maintaining huge pipeline infrastructure in different regions of the country. In view of the emerging scenario of globalization, l i b e r a l i z a t i o n a n d b o o m for infrastructure development in the country, gas transmission and distribution networks assume high importance. A number of Indian private and multinational companies are expected to be in the field of gas transmission, distribution and marketing in near future, in the deregulated business scenario. Multi-product, trans- regional, interstate, inter-regional pipelines will be laid with huge capital investments in the near future, in the backdrop of hydrocarbon findings in NELP/HELP blocks as well as to utilize the imported RLNG and Natural Gas through transnational pipelines.

In order to facilitate lying of multiple pipelines within the same ROU or in different ROUs, crossing of pipeline facilities at one or more number of locations in a safe manner, to avoid problems in Cathodic Protection (CP) and likely future maintenance, there is need for formulation of basic guidelines as minimum criteria to be followed in GAIL. The respective site in-charges, based on site conditions and statutory requirements as applicable, however, may take additional measures as necessary. These guidelines shall be applicable for the crossings of GAIL’s pipelines / OFC and the pipeline to be laid by other pipeline/utility owner.

Best efforts shall be made to re-route new pipelines and avoid crossing of any high-pressure hydrocarbon pipeline unless warranted at site. However, in case of unavoidable situations, pipeline crossings need accurate mapping, considering public safety and effective emergency response. This emphasizes the need for GAIL to have its own policy for crossing of buried pipelines by a third party and vise-versa.

2.0 SCOPE:

This policy describes various requirements for On-Shore pipeline/ OFC crossings.

(a) GAIL pipeline/OFC crossed by third party’s gas/water/ chemical/ slurry / petroleum & petroleum products pipelines

(b) GAIL pipeline/OFC crossed by third party’s OFC/ Telephone/ Power cables and

conduits.

(c) GAIL pipeline/OFC crossed by third party’s Canal/ Road/ Rail/ HT/ OHT/ EHV transmission line/cable crossing etc.

3.0 DEFINITIONS:

(a) Shall: The word “shall” is used to indicate that the provision is mandatory. (b) Should: The word “should” is used to indicate that the provision is recommendatory. (c) Other Pipeline/ Utility Owner: Any other agencies/companies interested on laying

the pipeline/OFC/canal/Road/Rail/HT/EHV transmission line/cable across GAIL pipeline /OFC.

4.0 FEASIBILITY STUDY AND RECOMMENDATIONS: 4.1 A team of representatives consisting of a GAIL pipeline engineer (executive ) along with

representative of Other Pipeline/utility Owner shall carry out a feasibility study after receipt of application / request for crossing (sample of contents of application is attached as Annexure II) and processing charges. Based on that, a joint feasibility report would be prepared mentioning exact pipeline chainage, location (Village, Mandal, District etc.), existing utilities (underground cables, water & other pipelines etc.) constraints/difficulties (type of soil, terrain conditions, rock, water courses) etc. and other site maps.

4.2 Above application shall be considered for crossing GAIL pipeline/OFC except locations

where Canal, river, road etc. crossing exists. In case crossing is falling under other’s ROU, such as highway, railways etc., same shall be done complying requirement of concerned authorities

4.3 The Other Pipeline/Utility Owner shall submit the drawings of pipeline crossing,

methodology and procedure proposed to be adopted for crossing the GAIL pipeline along with time bar chart/ schedule.

4.4 On receipt of relevant documents (clause 4.3 above), a proposal shall be put up by site-in-

charge / GAIL engineer through HOD (Pipeline) along with feasibility report and recommendations for acceptance/ denial of the crossing for approval of competent authority. Regional/Trunk/Cross Country Pipeline Officer-In-Charge will be the Competent Authority for this purpose.

4.5 After approval of competent authority, other pipeline owner shall be intimated to deposit

security deposit, supervision charges and agreement duly signed as per clause-13. Other pipeline/utility owner shall also intimate the date of commencement of work and submit the time schedule for execution of the job.

5.0 INSTALLATION OF PIPELINE/OFC BY OTHER PIPELINE/ UTILITY OWNER:

5.1 Other’s pipeline/ OFC shall be installed below GAIL pipeline.

5.2 In exceptional cases, necessitated by the site conditions or if the party insists for crossing

above the pipeline the permission granted shall be on the condition that in case of any damage to the OFC/Pipeline at a later date arising out of Maintenance requirement or otherwise GAIL shall not be held responsible and the utility owner has to take the OFC/Pipeline repair job at his own cost and risk. A clearance of minimum 500mm shall be maintained between the OFC/Pipeline and top surface of the GAIL’s pipeline.

5.3 Other’s pipeline/ OFC shall be as straight as practicable and shall have uniform positioning

below the pipe for entire length of crossing. There shall not be any bends used at the crossing point.

5.4 Pipe/ OFC shall be so installed as to minimize the void between the pipe and adjacent soil. 5.5 One full-length pre tested pipe (approx. 12 meters) shall be inserted under the existing GAIL

pipeline so that no joint comes within the pipeline crossing. Any Tie-in joints of the crossing shall be at min 5 meter distance on either ends from the center of the GAIL pipeline. If more than one pipe exists in same ROU, a pre-tested double joint pipe (Approx. 24 meter) shall be inserted under the GAIL pipelines. Effort shall be made so that pre-tested joint should not come just below any of the pipelines. The other pipe shall be welded in accordance with the latest edition of API 1104, ANSI/ASME B31.4 Code for Pipeline Transportation Systems for Liquid Hydrocarbon and ANSI/ASME B31.8 Code for Gas Transmission and distribution piping systems as applicable.

5.6 Any deviation shall be recorded in writing & approved by competent authority before

commencement of the work. Additional, appropriate protective /safety measures, necessitated by the deviation, should be taken to ensure the safety of pipeline.

6.0 CLEARANCES AND CROSSING ANGLE: 6.1 The angle of intersection at crossing should be as near to 90o as practicable. In case of Rail,

Road and water crossing OISD 226 shall be referred for the determination of angle of crossing, whereas in case of other utilities OISD 141 to be referred.

6.2 Crossing at wet or rocky terrain should be avoided as far as possible. 6.3 The clearance between other’s pipeline top surfaces to GAIL pipeline/OFC bottom surface

shall not be less than 500 mm. A concrete slabs (PCC) M15 of 80 mm thickness as per IS 456 / plastic grating of 8 mm thick shall be installed between the pipelines at distance of min 200 mm from the top of others pipeline. A typical drawing is attached as Annexure-I for reference.

7.0 EXCAVATION, LAYING & BACKFILLING:

7.1 Location of existing line shall be confirmed first by pipeline locator and then establish the exact location of the GAIL’s pipeline crossing by opening trial pit manually at crossing location. After establishing the line alignment, trenching shall be taken up only manually up to 5 meters on both the sides from the point of crossing/intersection and also up to complete depth of the crossing. All excavation shall be done strictly under the supervision of GAIL’s engineer/ representative. LEL must be checked intermittently right from starting of excavation. It is advisable to use only non-sparking wooden / brass tools for complete manual excavation near the pipeline crossing within a radius of 5 meters particularly in case of LPG pipelines.

7.2 If boring is being used, then the diameter of the hole bored or jacked installations shall be

kept as minimum as possible from outside diameter of other pipe (including coating). Where unstable soil condition exists, boring, jacking or tunneling operation shall be conducted in such a manner that it will not be detrimental to GAIL pipeline. A suitable HDD machine having pilot tracking facility should be used for this purpose to avoid any damage to GAIL pipeline/OFC.

7.3 Earth and or Sand filled bags or other suitable means shall be used to support pipeline.

7.4 The depth of other’s pipeline owner shall be uniform throughout the entire GAIL ROU as far

as possible. 7.5 Excavation work shall be taken in dry weather only and adequate dewatering equipment

should be provided by other pipe line owner to maintain a workable trench. 7.6 Before back filling, holiday checking including repair of coating damages to GAIL pipeline

shall be carried out & data recording shall be done as per existing GAIL practices. 7.7 A 300 mm dry sand cushion shall be provided all around the GAIL pipe. Proper restoration

and compaction shall be done as per standard practices and to the satisfaction of GAIL representative to avoid depression of back filled earth over GAIL pipeline.

8.0 PIPELINE MARKERS:

8.1 The permanent pipeline markers and warning signs at crossing location shall be installed to identify the crossing location and demarcation of ROU as set forth in API RP 1109 and approved by GAIL.

9.0 SAFETY INSTRUCTIONS: 9.1 Other pipeline/utility owner in consultation with GAIL shall prepare the contingency plan

for safety of GAIL’s pipeline in case of any eventuality during laying work and maintenance subsequently. The copy of the contingency plan shall be available at the crossing site.

9.2 All construction works shall be carried out in a manner so that the requirements of all

relevant standards (PNGRB Standard, OISD-226, 214, PMP act, API-1102, ANSI / ASME- B31.4/B31.8etc.) are complied.

9.3 Maximum over hang length of GAIL pipeline shall not exceed 8.0 meters during

construction of crossing. 9.4 Other pipeline/utility owner shall ensure that no heavy earth moving equipment such as

bulldozer, road roller, tanker, backhoe etc. operates in the ROU area unless approval is taken from GAIL with sufficient safety precautions. No crawler mounted heavy earth moving equipment shall be taken over GAIL pipeline under any circumstances. In case of unavoidable circumstances, the crawler mounted equipment may be allowed at the discretion of GAIL site in-charge, after making a ramp with extra compacted earth filling for a min of 800 mm by the other pipe line owner, in GAIL ROU.

9.5 All safety measures shall be taken as per relevant standards.

9.6 Job shall be carried out only in presence of GAIL representative and in strict supervision of

the other pipeline/utility owner authorized persons. 9.7 Other pipeline/utility owner shall deploy fire and Safety person(s) with safety gadgets

required during construction at crossing location to the satisfaction of GAIL. In case other pipeline operator is not able to provide, the same shall be provided by GAIL on chargeable basis; the other pipeline/utility owner shall reimburse the charges on actual basis

9.8 Standby vehicle and proper communication facility shall be made available at the work place

till the completion of the entire work, including backfilling and restoration. 9.9 During hydrostatic testing of section of pipeline crossing “Code for Pipeline Transportation

Systems for Liquid Hydrocarbon” shall be followed and site shall be evacuated accordingly for 300 feet.

9.10 Adequate shoring / shuttering of excavated pit shall be provided to prevent collapse of

trench side walls.

9.11 Watch and Ward shall be provided during off work hour to avoid accident falling off in t rench. Also work area shall be barricaded by yellow Danger tape and temporary markers.

10.0 DAMAGE AND REPAIR: 10.1 Other pipeline/utility owner shall take utmost care not to damage GAIL pipeline and

infrastructure during laying of pipeline crossing or during subsequent maintenance or any other reason. However in case any damage occurs, it shall be repaired by the other pipeline/utility owner at his own cost as per GAIL’s specifications within 48 hours for pipeline and within 6 hours for OFC. In case other pipeline/utility owner fails to repair the same within stipulated time, GAIL shall execute the job and all such expenditure shall be borne by the other pipeline/utility owner.

10.2 Any maintenance activities involving excavation shall be taken up by the other pipeline/utility

owner only after obtaining written permission from GAIL. Execution of the job shall be informed to GAIL at least 24 hrs. in advance. Agreement, security deposit & Supervision charges, as mentioned in clause no. 13.0 shall be applicable.

11.0 CATHODIC PROTECTION: 11.1 Since Impressed current cathodic protection (CP) system can cause Stray Current Interference

on adjacent pipeline depending upon the location of the ground bed, the exact location of pipeline and operating characteristic of CP system, a common Test Lead Point (TLP) with the facility of PSP monitoring of GAIL and Other Pipeline shall be provided by the Other pipeline/utility owner and study should be conducted for the effect of the stray potential of other pipe line with or without the CP system.

11.2 Any CP system introduced by the Other pipeline/utility owner for protection of their

pipeline, crossing GAIL Pipeline, shall be approved by GAIL and such that it shall not cause any interference to existing CP system of GAIL and shall not drain the current from GAIL CP system. A joint survey for interference shall be conducted after installation of CP system as per standard practices and in case of any interference, other pipeline/utility owner shall take measure to mitigate the same on their own cost to the satisfaction of GAIL. Method of mitigation e.g. bonding, electrical Shield, galvanic anode etc., shall be examined and approved by GAIL. All testing and study cost shall be borne by other pipeline/utility owner.

11.3 Manual Test Stations shall be installed at crossing location with a facility for bonding as well

as measurement of PSP of both the Pipelines with access to both Pipeline Owners. PSP measurements of both the Pipelines shall be taken as per Standard and if any abnormal reading is observed, immediate remedial action is to be taken by respective pipeline Owners under intimation to each other.

11.4 Cable connection from GAIL’s Pipeline to manual test station shall be done by Pin Brazing /

Cold Soldering method. The connection scheme including cable specification etc., shall be

mentioned in the Pipeline crossing scheme and to be approved by GAIL. Cables with different colour shall be used for connections in both the Pipelines for easy identification.

11.5 Anode ground bed of CP System pertaining to Other Pipeline shall be at least 100 meters

away from any nearest point of GAIL pipeline and it is to be located in such way that GAIL pipeline should not fall in between Other Pipeline and anode ground bed.

12.0 OTHERS: 12.1 No temporary / permanent structure, sectionalizing valves, cables, plantations, equipment,

pond etc. Shall be constructed / erected by the other pipeline/utility owner within GAIL ROU.

12.2 ‘As built’ drawing of the crossing by superimposing on GAIL’s existing pipeline

drawing or a new drawing as prescribed by GAIL should be submitted to GAIL after completion of the job.

12.3 No objection certificate from the landowners / farmers of ROU shall be obtained and a copy

of which shall be submitted to GAIL after complete restoration of ROU/ROW. 12.4 If GAIL pipeline / OFC is required to be lowered or rerouted due to soil erosion, inadequate

land cover, upcoming other crossings (e.g. Highways etc.) in future, the other pipeline/utility owner shall also reroute or lower its pipeline at his own risk and cost as per GAIL instruction and/or revised drawing provided by GAIL.

12.5 All the records (drawings, alignment sheet etc.) shall be updated by site in-charge after

completion of the work.

13.0 SECURITY DEPOSIT AND AGREEMENT: 13.1 An agreement on a non-judicial stamp paper of Rs.100/- shall be executed / signed by the

authorized representative of both the parties. (As per Performa attached as Annexure IV). 13.2 The Other Pipeline/Utility Owner shall make a refundable interest free deposit of Rs. 2.0 Lacs

per crossing in advance towards security of GAIL pipeline, which will be refunded after completion of the work pertaining to crossing, CP interference survey, mitigation measures and submitting all required document to the satisfaction of GAIL, after deducting supervision charges and cost of repair with overhead, restoration or any other charges and accrued dues etc., if applicable for non-compliance. However, Security deposit can be waived off under exceptional cases at the discretion of Competent Authority (as defined in clause 4.4) in case of Govt. Authorities (e.g. Irrigation, PHED, Jal /Water supply Boards,

Municipal Corporation, etc.) and GAIL-JVs & Subsidiaries. In that case an “Undertaking” as per format attached as Annexure-III shall be taken against security deposit. If more than one parallel pipelines exists in GAIL’s ROU, the crossing by other pipeline/ utility owner (at single location) may be considered as one crossing for financial/commercial purpose, however all technical requirements may be fulfilled as in independent crossing.

13.3 Supervision charges (non- refundable) shall be as given below towards the administrative and manpower cost for initial execution as well as subsequent maintenance activities involving excavation in each case:

13.3.1 A lump sum of Rs.1,00,000/- plus applicable taxes per crossing shall be charged by GAIL per crossing towards supervision, administrative & manpower costs. However, supervision, Administrative & manpower charges can be waived off under the exceptional cases at the discretion of concerned Officer-In-Charge of Regional/Trunk / Cross Country Pipeline.

13.3.2 Supervision charges for subsequent period, if any, shall be of Rs. 8200/- plus applicable taxes per day lump sum.

13.3.3 Additional security measures, if any necessitated for deployment by GAIL for a period beyond one week, the other pipeline/utility owner shall reimburse the charges on actual basis. The actual rate shall be derived from the running contract.

13.4 Other pipeline/utility owner shall pay non-refundable / non-adjustable amount of Rs. 10000/- plus applicable taxes in advance against the processing charges (administrative and man-hour) to carry out Joint Survey Visit by GAIL representative. However, supervision charges (Rs.1,00,000/- plus taxes) may also be collected along with processing charges (Rs.10,000/- plus taxes) before the joint feasibility survey. In case, the crossing is found to be not feasible or is not carried out after the joint feasibility survey, the supervision charges shall be refunded to the pipeline / utility owner.

13.5 Other pipeline/utility owner shall take a Special Contingency Insurance Policy Cover against loss or damage including cost of gas/LPG/OFC, cost of repair /replacement for material damage, third party liability and consequential loss/customer’s claim to GAIL due to other pipeline/utility owner’s negligence for an amount of Rs. 2.5 Crore per crossing in addition to indemnifying GAIL as per agreement.

13.6 For surface crossing of OFC and irrigation pipe laid by manual digging method, other pipeline/utility owners take a special undertaking as per Annexure-III in dual language (English and Local Language). In case of surface crossing, maximum up to 6 inch diameter PE pipe is allowed and the clearance from top surfaces of GAIL pipeline/OFC shall not be less than 500 mm. In case of CS/GI pipe, PCC slab (80 mm thickness) shall be installed over

GAIL PIPELINE/OFC CROSSED BY THIRD PARTY’S CANAL / ROAD / RIL / HT / EHV TRANSMISSION LINE / CABLE CROSSING

14.0 New Canals / Roads / Railway lines:

14.1 Any new Canals / Roads / Railway lines proposed to be crossed through existing GAIL

pipeline /ROU/ ROW shall be dealt by local work centers on case to case basis. 14.2 At first, best efforts shall be made to convince the crossing agency to divert / de-route their

crossing highlighting the adverse effects of any damage to our pipeline. In unavoidable situations, the following shall be taken into consideration:

14.2.1 Proposed Crossing Scheme with design & specifications shall be obtained from the crossing

agency clearly specifying the clearance between pipeline and stress on pipeline due to proposed utility.

14.2.2 Stress calculations submitted by other pipeline/utility owner shall be validated by reputed

third party. Stresses due to proposed utility should not exceed maximum stress permitted by relevant standards/codes ASME 31.8/31.4, API 1102, OISD 226 etc.

In case the stress calculations are done by GAIL then the cost equivalent to the third party validation shall be recovered from the other pipeline utility/ owner.

14.2.3 If necessitates, additional protections, like installing casing by split casing method, anti-

bouncy measures etc. (for canal) shall be provided by other pipeline/utility Owner to protect the GAIL’s pipeline.

14.2.4 During execution of job, other pipeline /utility owner shall protect the pipeline from

excessive loads or damage from grating. 14.2.5 Facilities to be provided for easy accessibility of manpower and equipment in case of routine

and emergency maintenance of our pipeline like providing walkway for patrolling, bridge over canal etc.

14.2.6 Arrangements to protect our pipeline whenever any maintenance of above crossings is

undertaken.

14.3 In addition to above, all other relevant requirement / procedures of Pipeline/OFC crossing may be adhere to including joint surveys, agreement, execution, fees/deposit structure etc. barring minor changes as required on case to case basis, which may be decided by the concerned Head of Pipeline network.

15.0 Underground HT/LT cables and overhead HT Power line crossing: 15.1 Any proposed High Tension / EHV transmission line / cables crossing through existing

GAIL pipeline shall be dealt by local work centers on case to case basis in line with rail/road/canal crossing.

15.2 At first, best efforts shall be made to convince the crossing agency to divert / de-route their crossing highlighting the adverse effects of any damage to our pipeline. In unavoidable situations, the following shall be taken into consideration:

15.3 Proposed crossing scheme details with design specification shall be obtained from other utility owner.

15.4 No pylon for overhead HT/EHV transmission line should fall in GAIL ROU/ROW.

15.5 Other utility owner shall indicate the clearances for HT/ EHV power lines to keep the

GAIL’s pipeline safe in crossing scheme, which should be validated by reputed agencies or supported by some standard document like CEA regulation, NEC guidelines or equivalent.

15.6 Other utility owner shall propose available/ proven protection methodology against adverse

effect of HT transmission line/cable on pipeline like cathodic protection interference, induced voltage due to inductive /capacitive effect, arcing due to fault etc.

15.7 GAIL may hire the reputed third party to study the adverse effect of HT line/cable on

pipeline, mitigation and safe clearance between pipeline & HT cable. 15.8 In case of Underground HT/LT cable crossing, other pipeline/utility owner shall undertake

the measures to mitigate the adverse effect after GAIL approval at their own cost up to the satisfaction of GAIL. In case same is not undertaken by other utility owner, the required mitigation measures shall be done by GAIL at their risk & cost. In case of overhead HT power line crossing where pylon is not falling in ROU, the suitable mitigation measures may be taken by GAIL immediately to ensure safety & Integrity of Pipeline and to avoid any kind of interference leading to AC Corrosion with the approval of concerned OIC.

15.9 In areas where high tension tower/ pole/cable are in close proximity (like densely populated area where GAIL is not having its own ROU/ROW), grounding cells /surge diverters/Kirk

and/or PVC / RCC slab shall be provided as preventive measures. 15.10 A concrete slabs (PCC) M15 of 80 mm thickness as per IS 456 / plastic grating of 8 mm

thick shall be installed between the pipelines & cable/OHT to protect the pipeline from physical damage due to fault in cable/ OHT.

15.11 In addition to above, all other relevant requirement / procedures of Pipeline /OFC

crossing may be adhered to including joint surveys, agreement, execution, fees/ deposit structure etc. barring minor changes as required on case to case basis, which may be decided by the concerned Competent Authority (as defined at clause no. 4.4)

15.12 Underground cable shall be laid below the GAIL’s pipeline / OFC at a minimum clearance of

500 mm through GI pipe of suitable size. A pre-casted concrete slab of minimum 80 mm thickness, 1 meter width and 2 meter long shall be placed below GAIL’s pipeline/ OFC.

16.0 Construction of High Tension Power Lines outside ROU: 16.1 The effects of electrical interference, fault currents on our Pipeline and CP due to the

adjacent HT power line are to be studied after construction and commissioning of the power line.

16.2 Appropriate mitigation measures shall be implemented by GAIL as required based on the

outcome of the studies.

17.0 Amendment / Deviation clause: 17.1 All the Pipeline /OFC crossing related activities should be carried out in line with the laid

down Policy and guidelines.

However, in case of requirement, any deviation to the laid down Policy/Guidelines other than pipeline rerouting cases shall be approved by respective OIC. Re-routing of GAIL’s pipeline/OFC cases and deviation to the guidelines/Policy for exceptional cases, approval shall be taken from respective Executive Director (O&M).

Format for Agreement

An agreement made and entered into this ______ day of ___________ 20__ between GAIL (India) Limited, a Government of India Undertaking registered under the Companies Act 1956, having its registered office at 16, Bhikaiji Cama Place, New Delhi (hereinafter referred to as “the Licensor” which expressions shall, where the context so requires or admits be deemed to include its successors and permitted assigns) on the ONE PART and M/s ____________________, having its office,______________________________ (hereinafter referred to as the “Licensee” which expressions shall, where the context so requires or admits be deemed to include its successors and permitted assigns) on the OTHER PART. Whereas the Licensor is owning, operating and maintaining Gas pipeline and / or Liquid hydrocarbon pipeline and /or Optical Fibre Cable (hereinafter called as “OFC”) and whereas the said Licensee is desirous to develop an integrated township/ apartments / housing/ commercial complex in ___________________________________________. i.e. surrounding to the above pipeline of the Licensor. Now it is hereby agreed by and between the said parties here as follows:

1. No permanent structure such as building, boundary wall, sectionalizing valves, cables, plantations, equipment, ponds, and water tank whatsoever shall be erected/constructed on the ROU by M/s XYZ. The minimum distance of any dwelling/ industrial building etc. will be maintained at more than 15 meters from the Pipeline (herein referred to “area specified”). ROU area may be developed into green belt which may be limited to development of grass lawn, plantation of shrubs, hedges etc. It is also to be ensured that the soil cover in the ROU is not reduced.

2. No construction shall be commenced without the prior written approval of Licensor.

Construction shall be carried out strictly in accordance with the approved plans and specifications of GAIL. The work within the ROU (Right of User) area shall be executed in the presence of GAIL’s authorized Engineer/ representative.

3. In the event of major exigency of repair/maintenance work of GAIL, M/s XYZ

shall make reconstruction/diversion arrangement to the entire satisfaction of the GAIL promptly at the entire cost & initiative of the M/s XYZ .In case M/s XYZ fails to do so promptly, GAIL shall remove/ demolish their structure /services in ROU at the entire cost & risk of the M/s XYZ.

4. GAIL shall have no responsibility whatsoever for preservation of any essential services or any other property either moveable / immoveable from losses , injuries or damages arising due to leakage / burst of the pipeline during its maintenance or any other associated activity. M/s XYZ undertakes to indemnify and keep indemnified GAIL, its employees, contractors, labourers for any losses/ damages and injuries due to negligence of M/s XYZ or its employees, contractors & labour etc .

5. GAIL shall have free access to its ROU and pipeline without any permission from M/s XYZ.

In case GAIL ROU gets blocked from approach road, M/s_XYZ will make approach road to the GAIL ROU from the public road.

6. The movement of heavy equipment such as Bulldozer, Road roller, Excavator and Side Boom etc. are prohibited in the GAIL’s ROU unless sufficient precautions are taken with the prior written approval of the GAIL.

7. M/s XYZ shall ensure that all repair & maintenance work including excavation and hot work

of any type including cutting, welding, grinding etc. in the area specified are carried out with written approval of the GAIL and in presence of the representative of the GAIL whose instruction shall be binding.

8. It is acknowledged by the parties that all rights in the ROU by and/or under Petroleum &

Minerals Pipelines (Acquisition of Right of Users in land ) Act 1962 and its amendment act of 1977 along with any notification thereto shall remain vested with GAIL.

9. M/s XYZ shall be bound by various statutory enactment Acts Rules, Regulations & By laws

of the state /central Govt. as issued and amended from time to time. M/s XYZ shall also be bound by various directions in respect of Health, Safety and Environment Management system of GAIL.

10. In case of damage to the GAIL’s pipeline and the optical fiber cable in the ROU, due to any

act or omission on behalf of M/s XYZ, the same shall be repaired by them free of cost. In case M/s XYZ fails to repair the same immediately, the same shall be got repaired by the GAIL at the risk & cost of M/s XYZ.

11. No blasting/drilling activity shall be undertaken by M/s XYZ in the ROU and specified area

without the prior written permission from GAIL. 12. In case the ROU is surrounded by the developers plot, there shall be no wall constructed

over the ROU, the area may be fenced using a chain link fencing to allow clear visibility of the ROU and a ready access to be provided to the ROU for maintenance/ inspection purposes. During the construction work by the developer, the ROU may be clearly demarcated and only fixed corridor to be used for crossing the ROU. Any fencing/ marking of the ROU, if required by GAIL, shall be done by the developer in consultation of GAIL to restrict the movement of heavy machinery on the ROU during the construction phase.

13. If the GAIL pipeline gets damaged in any manner for any reasons during construction and

maintenance by M/s XYZ, the damage shall be forthwith repaired by M/s XYZ at their

own cost and risk and GAIL will be indemnified by M/s XYZ against third party damage as a result of such accident.

14. For maintenance, inspection, operation or utilization of pipeline, if required, GAIL shall

have the right to remove the road at the risk and cost of M/s XYZ. In case pipeline within ROU breaks or yields due to other reasons the same shall be repaired by M/s XYZ as soon as possible at their risk & cost. In case M/s XYZ fails to undertake the repair of such damaged pipeline falling in the ROU, GAIL shall get the same repaired at the risk and cost of M/s XYZ.

15. GAIL is free to construct/lay another pipeline parallel to existing pipeline in its existing

ROU after giving prior intimation to M/s XYZ. M/s XYZ hereby agrees to remove any development/ plantation at its risk and cost to enable GAIL to use such ROU for laying of the pipeline without any hindrances.

16. M/s XYZ undertakes to take utmost care to prevent any damage to the GAIL’s pipeline,

coating and wrapping and OFC laid side by side as well as all the appurtenances of the GAIL like boundary pillars, pipeline markers etc. existing on the ROU and specified area. Any damage to GAIL’s property including pipeline, coating, OFC etc. shall be repaired/rectified immediately by M/s XYZ as per GAIL specifications. In case M/s XYZ fails to undertake the repair work, GAIL shall get the same repaired at the risk and cost of M/s XYZ.

17. For pipeline crossing permission, M/s XYZ have to obtain separate permission from GAIL

as per GAIL’s “Guideline/ Policy for Pipeline/OFC Crossing”. 18. If GAIL has to engage and/or seek legal recourse on account of cases arising out directly or

indirectly due to actions & omissions of M/s XYZ, the same shall be reimbursed by them to GAIL with incidental expenses such as traveling, boarding, lodging etc.

19. GAIL is entitled at any time without notice to M/s XYZ to take appropriate /suitable actions

as deemed appropriate for protection and maintenance of the pipeline/OFC in the ROU. 20. The parties acknowledge that Developers shall suitably incorporate the enabling clauses in

the agreement as deemed appropriate and also circulate to the Buyers and Lessees for awareness.

21. Any dispute between the Parties arising out of or relating to this Agreement, which is

unresolved via amicable discussions between the parties shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 by a Sole Arbitrator. The arbitration proceedings and hearing shall be held in the English language. The venue of arbitration shall be New Delhi.

crossing of the Licensor’s Pipeline/OFC subject to the agreed terms.

Now this deed of agreement for the Licensor’s pipeline crossing is witnessed as under:

1. That the Licensee shall lay the pipeline and /or OFC or Road or Rail or Canal/River or Electric

Transmission Line/Power Cable across the Licensor’s ___________ Gas pipeline and / or hydrocarbon pipeline and /or Optical Fiber Cable at chainage __________ KM. The said licensee shall lay the pipeline/OFC or Road or Rail or Canal/River or Electric Transmission Line/Power Cable in accordance with laws, rules and regulations of the appropriate Government as made applicable from time to time.

2. That the rights of Licensor shall remain unaltered in the land acquired for “Right of User” hereinafter referred to as “ROU”). The permission granted by the Licensor to the Licensee shall not in anyway be deemed to convey to the licensee any right or interest in Licensor’s ROU acquisition.

3. That the Licensor shall have no responsibility for preservation of the licensee’s persons or service or property including the pipeline and / or OFC from injury or damage whatsoever arising due to leak burst, maintenance, accidents, collapse, explosion or any other act of the Licensor’s said Pipeline and / or OFC. The Licensor shall be kept fully indemnified of any losses suffered by the licensee due to reason aforesaid. However the licensee shall alone be liable for any loss or damages suffered by the Licensor due to aforesaid reasons of the pipelines/OFC/Road/Rail/Canal/River/Electric Transmission Line/Power Cable of the licensee and indemnify the Licensor of any such losses or damage in full including any third party claims.

4. Indemnity and Insurance:

4.1 That the licensee shall indemnify the Licensor from all claims or damages, action suits or proceedings made /brought by any person or corporation against them and from all costs, charges and expenses which they may have to incur by reason or due to the exercise by the licensee(s) of any of the privileges arising from the permission hereby given or due to the existence of the said licensee’s pipeline / OFC or Road or Rail or Canal/River of Electric Transmission Line/Power Cable across the Licensor’s pipelines and / or OFC.

4.2 The licensee shall take a Special Contingency liability Policy Cover for sum insured of Rs. 2.5 crores. However, availing insurance policy for an agreed limit does not intend to limit the liability of Licensee as in clause 4.1. The Special Contingency insurance Policy covers licensor against loss or damage including cost of gas/LPG/OFC, cost of repair /replacement for material damage, third party liability and consequential loss/customer’s claim to GAIL due to __________ (other pipeline/utility owner’s name) negligence for an amount of Rs. 2.5 Crores.

Licensee shall bear and reimburse to Licensor all the deductibles, if any, in connection with the claim amount. The insurance policy should be available before executing the job and cover shall be valid till one month beyond the completion of work.

5. That the pipeline’s crossing shall be used for the purpose for which permission has been sought

by the Licensee and granted by the Licensor thereto and the Licensee shall not use the same for any other purpose without the prior written consent of the Licensor and it is agreed that breach or violation of this condition entails the Licensor to terminate this agreement.

6. That the Licensee shall submit the design and drawings of the pipeline crossing, methodology and procedure to be adopted, for laying across the Licensor’s pipeline & get the approval of the Licensor before commencement of work along with time bar chart.

7. That the Licensee shall lay the pipeline / OFC below the pipeline of the Licensor in such way that the clearance between licensee’s pipeline top surfaces to the pipeline bottom surface of the Licensor shall be at least 500 mm. A concrete slabs (PCC) M15 of 80 mm thickness as per IS 456 or plastic grating of 8 mm thick shall be installed between the pipelines at distance of min 200 mm from the top of licensee’s pipeline. A drawing is attached as annexure to this agreement for reference.(shall be revised in case of any approved deviation).

7.1 That the Licensee shall lay Road/Rail/Canal/River/Power Cable in such way that the clearance between licensee’s Road/Rail/Canal/River/Power Cable top/bottom surfaces to the pipeline bottom/ top surface shall be as per prevalent standards with prior approval of Licensor.

7.2 That the Licensee shall lay water pipeline (maximum up to 6 inch diameter PE pipe for irrigation purpose)/ surface crossing of OFC by manual digging method only in such a way that the clearance from top surfaces of GAIL pipeline/OFC shall not be less than 500 mm. In case of CS/GI pipe, PCC slab (80 mm thickness) shall be installed over GAIL’s pipeline

8. That the licensee shall take additional precaution during laying of Road/Rail/Canal/River/Electric Transmission Line/Power Cable to protect licensor’s pipeline/OFC against adverse effects during laying and subsequently on the basis of recommendation of reputed agency /stress calculation.

9. That the licensee shall provide facilities across Road/Rail/Canal/River crossing for easy accessibility of licensor’s manpower and equipment for routine and emergency maintenance of licensor’s pipeline/OFC.

10. That one full-length pre tested pipe (approx. 12 meters) shall be inserted by the Licensee under the existing pipeline of the Licensor so that no joint comes within the pipeline crossing. Any Tie-in joints of the crossing shall be at min. 5 meter distance on either ends from the centre of the Licensor’s pipeline / a pre-tested double joint pipe (Appox. 24 meter) shall be inserted under the pipelines. Effort shall be made so that pre-tested joint should not come just below any of the pipelines of the Licensor (In case, more than one pipeline exists in same ROU).

11. That the angle of intersection at crossing should be as near to 90o as practicable and/or per prevalent OISD standard.

12. That the licensee shall install permanent pipeline markers and warning signs at crossing location to identify the crossing location and demarcation of ROU as set forth in API RP 1109 and approved by the Licensor.

13. That the Licensee shall prepare the contingency plan for safety of Licensor’s pipeline for any eventuality during laying work and maintenance subsequently. The copy of the contingency plan shall be available at the crossing site.

14. All the construction works shall be carried out in a manner so that the requirements of all relevant standards (PNGRB Standard, OISD-226, 214, PMP Act, API-1102, ANSI / ASME-B31.4/B31.8 etc.) are complied.

15. Maximum over hang length of the Licensor’s pipeline shall not exceed 8.0 meters during construction of crossing.

16. That the Licensee shall maintain uniform depth through out the GAIL ROU as far as possible.

17. Excavation work shall be carried out in dry whether only and dewatering equipment shall be kept available by the licensee to maintain workable trench.

18. That the Licensee shall provide adequate shoring / shuttering of excavated pit to prevent collapse of the trench.

19. That the Licensee shall provide watch and ward during off work hour to avoid accident falling off in trench. Also work area shall be barricaded by yellow Danger tape and temporary markers.

20. That the licensee shall ensure that no heavy equipments like bull dozer, road roller, tanker, backhoe etc. shall operate in/ through pipe ROU area unless approval taken from the Licensor with sufficient precaution.

21. All safety measures shall be followed as per relevant standards.

22. Job shall only be carried out in presence of the Licensor’s representative and in strict supervision of the licensee’s authorized persons. Any instruction from the Licensor’s representative would be binding to the licensee.

23. That the Licensee shall provide adequate Fire and Safety arrangements with safety gadgets, person(s), standby vehicle and communication facility at site during the tenure of construction work of crossing including backfilling and restoration. In case facilities provided are not adequate, to the satisfaction of the Licensor’s representative, same shall be provided by the Licensor on chargeable basis @ Rs. ____/Day.

24. That the Licensee shall ensure that no damage is caused to the Licensor’s pipeline/OFC and infrastructure during laying of pipeline/OFC or Road or Rail or Canal/River or Electric Transmission Line/Power Cable or constructing the crossing structure or during maintenance or during subsequent maintenance or any other reason. However in case of any damage occurred, it shall be repaired by licensee at their own cost as per the Licensor’s specifications within max. 48 hours for pipeline and within 6 hours for OFC. In case the licensee fails to repair the same within stipulated time, the Licensor shall execute the job and all such expenditure shall be borne by the licensee.

25. In case the Licensor’s OFC is also present at crossing location the licensee shall keep all the required accessories i.e. splicing machine, OTDR, Straight joint closures, joint pits, OFC cable (same as Licensor’s existing cable) cleaver cable preparation tool etc. to restart the OFC in case of damage.

26. That a common Test Lead Point (TLP) with the facility of Pipe to Soil Potential (hereinafter referred to as “PSP”) monitoring of the Licensor’s and the licensee’s pipeline shall be provided by the licensee and study should be conducted for the effect of the stray potential

due to licensee pipe line with or without the Cathodic protection (hereinafter referred to as “CP”) system.

27. That if the licensee introduces any CP system for protection of their pipeline, the Licensee shall be subject to approval of the Licensor whose decision shall be final. The Licensor, while approving such system may consider, inter-alia, other options in order to satisfy that the system being approved does not (i) cause any interference to existing CP system of GAIL and (ii) drain the current from CP system of the Licensor. A joint survey for interference shall be conducted after commissioning of CP system of the licensee’s pipeline as per standard practice and in case of any interference, the licensee shall take measure to mitigate the same on their own cost up to the satisfaction of the Licensor. Method of mitigation e.g. Bonding, Electrical Shield, Galvanic Anode etc., shall be approved by the Licensor. All testing and study cost shall be borne by the Licensee.

28. Manual Test Stations shall be installed at crossing location with a facility for bonding as well as measurement of PSP of both the Pipelines with access to the Licensor and the Licensee. PSP measurements of both the Pipelines shall be taken as per Standard and if any abnormal reading is observed, immediate remedial action shall be taken by the Licensor and the Licensee under intimation to each other.

29. Cable connection from the Licensor’s Pipeline to manual test station shall be done by Pin Brazing / Cold Soldering method by the licensee. The connection scheme including cable specification etc., shall be mentioned in the Pipeline crossing scheme and to be approved by the Licensor. Cables with different colour shall be used for connections in both the Pipelines for easy identification.

30. Anode ground bed of CP system pertaining to the licensee shall be at least 100 meters away from any nearest point of Licensor’s pipeline and it is located in such way that the Licensor’s pipeline should not fall in between party’s pipeline and anode ground bed.

31. No structure, sectionalizing valves, cables, plantations, equipments, pond etc. shall be constructed / erected by the licensee with in ROU Area of the Licensor.

32. That the licensee shall submit a final “As Build Drawings” after prior approval of the Licensor to the Licensor within one month after completion of job.

33. Any maintenance activities involving excavation shall be taken up by the Licensee only after obtaining prior permission in written from the Licensor. Execution of the job shall be informed to the Licensor at least 24 hrs in advance. The job shall be carried out in presence of

the Licensor’s supervisors only. The instructions of the Licensor’s representative shall be binding on the licensee. Supervision charges shall be applicable as per prevailing rates.

34. That the Licensee shall submit a refundable deposit of Rs. ______Lacs in advance towards security charges for the Licensor’s pipeline(s), which shall be refunded after successful completion of the work pertaining to crossing, CP interference survey, mitigation measures and submitting all required document, after deducting supervision charges and cost of repair or any other charges as applicable for non compliance. The supervision charges shall be intimated to the licensee as per prevailing rates at the time of execution of job.

35. No blasting /drilling activity shall be undertaken by the licensee near to the Licensor’s pipeline.

36. That the licensee shall carry out holiday check of all the pipelines under excavated ROU before back filling & data recording, as per existing practice of the Licensor and repair of damaged coating in the Licensor’s Pipeline, if any, with the same coating material.

37. After laying of pipeline, proper restoration & compacting will be done by the licensee. The Licensee shall also form a crest over the pipeline so as to avoid the possibility of depression. Backfilling shall be as per standard practices and to the satisfaction of authorized representative of the licensor.

38. During the backfilling, a sand cushion of minimum 300 mm shall be provided by the licensee all around the Licensor’s pipeline /OFC exposed for construction activity due to licensee pipeline crossing.

39. In case of digging by the licensee for laying / repair of their pipeline / OFC/Road /Rail / Canal/River/Electric Transmission Line/Power Cable which causes any damage to the gas pipeline and/or OFC and/or land of adjoining field owner or khatedars, the responsibility to make good including payment or compensation if any payable, rests with the licensee. Also the licensee shall submit a copy of “No Objection Certificate” from landowners / farmers of ROU to Licensor after completion of restoration.

40. That the licensee shall not have any right to restrict the free access to the Licensor’s personnel, machineries, tools, tackles and vehicle at crossing location for inspection and maintenance of the licensor’s pipeline and it’s ROU and the licensor shall not be liable to give any intimation in advance or thereafter.

41. For maintenance, inspection and operation of the Licensor’s pipeline / OFC, if required, the Licensor shall have the right to excavate earth and dismantle any other structure of the

Licensee obstructing in carrying out maintenance activities falling in the ROU of the Licensor at the risk and cost of the Licensee.

42. That if the Licensor’s pipeline / OFC is required to be lowered or rerouted due to soil erosion, inadequate land cover, upcoming other crossings (e.g. Highways etc.) in future, the licensee shall also reroute or lower its pipeline at his own risk and cost as per the Licensor’s instruction and/or revised drawing provided by the Licensor.

43. Any notice required to be given under this contract including all correspondence shall be addressed to the respective parties at their address given hereunder. Any change in address shall be intimated by the parties in writing under registered post at least 15 days in advance.

44. Laws of India shall be the governing law for this agreement and the court of Delhi shall have exclusive jurisdiction.

1. In consideration of GAIL granting permission to the Crossing party to share the ROU of GAIL, the Crossing Party hereby unconditionally and irrevocably covenant to indemnify and keep GAIL indemnified from and against all losses, damages, liabilities, third party Claims etc which are specifically not covered by/under the above referred policies, arising out of or in relation to any act/omission/negligence/breach/default or non-fulfilment of the Terms and Conditions of the Agreement dated …………..in connection with or in relation to the aforesaid Agreement whether arising directly or indirectly and in the event of any such claim or loss caused to or incurred by GAIL, we hereby undertake to compensate GAIL forthwith on demand, without protest or demur, any loss suffered by GAIL together with any direct or indirect expenses incurred.

2. Notwithstanding the Terms and Conditions as set out in the Agreement, the Crossing party shall indemnify and hold GAIL , its Contractors, Subcontractors and Agents, and/or any of the aforesaid Employees, harmless from and against any Loss, damage and/or expense arising out of any such claim as stated in Para1.

3. Any first demand/claim made by GAIL shall be final and binding upon the Crossing party and the Crossing Party shall without any protest or demur indemnify and keep GAIL indemnified against any such Claims, liability, proceedings etc by any third party including but not limited to damages, penalties or other Cost and expenses etc of whatsoever nature arising out of or in relation to any act or omission/negligence/mistake/misconduct/breach or default or non-fulfilment of the Terms and Conditions of the Agreement pertaining to Claims as stated in Para 1 above.

4. This Indemnity shall remain valid and irrevocable for all Claims of GAIL arising from any such case or Court Case filed for which GAIL or its employees has been made party until now or hereinafter.

5. This Indemnity shall not be discharged/revoked by any change/modification/ amendment/deletion in the Constitution of the Crossing Party or any conditions thereof including insolvency etc of the Crossing party but shall be valid in all respects and for all purposes be binding and operative until any claims for payment of GAIL are settled by the Crossing party.
