BG) :10% of the Total Comprehensive O&MContract Price for 10 (ten) years, to besubmitted two months before the expiry ofPerformance BG valid for one year of O&Mperiod and to be renewed every year for theten (10) years of total O&M period.




IMPORTANT NOTE TO BIDDERS:

Timely Submission of offer to GSECL: In addition to bid submitted online, all therelevant documents as per requirement of the Tender shall also be submitted physicallyalong with the proof of Tender Fee and EMD in sealed cover so that the same is receivedin this office on or before the due date and time. All such documents should be strictlysubmitted by RPAD / speed post only. Otherwise the offer will not be considered and noany further communication in the matter will be entertained. Bid (Appendix 14) is not to be submitted in physical form.No tender shall be accepted in any case after due date and time of receipt of the Tender,irrespective of delay due to postal services or any other reasons and GSECL does notassume any responsibility for late receipt of the Tender.1. 1.0 Definitions, Interpretation and Brief Introduction on GSECL

1.1. Definitions1.1.1. The following words and expressions shall have the meanings hereby assignedto them:1.1.2. “Adjudicator” means the person, who shall be an engineer or a firm of engineerswho is appointed by GSECL to act as the adjudicator to make a decision on or tosettle any dispute or difference between GSECL and the Contractor referred to itby the parties pursuant to Tender (Adjudicator) hereof.1.1.3. “Applicable Law” means any statute, law, regulation, ordinance, notification,rule, regulation, judgment, order, decree, bye-law, approval, directive, guideline,policy, requirement or other governmental restriction or any similar form ofdecision of, or determination by, or any interpretation or administration havingthe force of law in the Republic of India and the State Government, by anyGovernment Authority or instrumentality thereof, whether in effect as of the dateof this Contract or thereafter.1.1.4. “Bid” shall mean the bid submitted by the Bidder in response to this tender“Engineering, Procurement, Construction and Commissioning of ConcentratedSolar Thermal (CST) - Compound Parabolic Collector (CPC) Based 150 TR Air –Conditioning Plant at Administrative Building of Power Station (GTPS),Gandhinagar, Gujarat with10 years Comprehensive Operation and Maintenance”,GSECL’S TENDER NO. PP/PMI/Solar Thermal/GTPS/ADM/, Dated 26thOctober2016 issued by GSECL.1.1.5. “Bidder”- Any reference to the Bidder includes Bidding Company including itssuccessors, executors and permitted assignee severally, as the context mayrequire;1.1.6. “Chartered Accountant” shall mean a person practicing in India or a firmwhereof all the partners practicing in India as a Chartered Accountant(s) withinthe meaning of the Chartered Accountants Act, 1949.1.1.7. “Commissioning” means the satisfactory, continuous and uninterruptedoperation of the equipment/system as specified after all necessary statutory




approvals, initial tests, checks and adjustments for a period of at least 3 days tothe satisfaction of GSECL and necessary certificates are issued by the allconcerned/ nodal agencies appointed by EPD (GoG)/GSECL/GEDA/GUVNL/GERMI /MNRE/UNDP/ SECI.1.1.8. “Company” means Gujarat State Electricity Corporation Limited and includesthe legal successors or permitted assigns of the Company.1.1.9. “Completion of the Facilities” means that the Facilities (or a specific part thereofwhere specific parts are specified in the Scope of Work) have been completedoperationally and structurally and put in a tight and clean condition and that allwork in respect of Commissioning of the Facilities or such specific part thereofhas been completed as per the Scope of Work.1.1.10. “Consultant” shall mean any consultant hired by GSECL or the company for thepurpose of this project.1.1.11. “Contract” or “Contract Agreement” means the Contract signed between GSECLand the Contractor to execute the entire Scope of Work as given in Appendix 19:Format of Agreement between GSECL and the Contractor1.1.12. “Contract Documents” means the documents listed in Appendix-19.1.1.13. “Contractor” means the Successful Bidder with whom contract is signed byGSECL includes the legal successors or permitted assignee of the Contractor.1.1.14. “Contractor’s Equipment” means all plant, facilities, equipment, machinery,tools, apparatus, appliances or things of every kind required in or for installation,completion and maintenance of Facilities that are to be provided by theContractor, but does not include Plant and Equipment, or other things intendedto form or forming part of the Facilities.1.1.15. “CoP” means coefficient of performance of the chiller and more details tocalculate it, is given in Appendix 15: Performance Guarantee Required1.1.16. “Day” means calendar day of the Gregorian calendar.1.1.17. “Delivery Point” shall be the interconnection point at which Contractor shalldeliver the chilled / hot air(i.e. conditioned air) at the Air Handling Unit(AHU)outlet outside the administration building of the GTPS. The metering shallbe done at this point of interconnection.1.1.18. “Defect Liability Period” means the period of validity of the warranties givenby the Contractor, during which the Contractor is responsible for defects with




respect to the Facilities (or the relevant part thereof) as provided in Clause No.6.13 (Defect Liability) hereof.1.1.19. “Effective Date” for this Contract shall mean the date of issuance of Letter ofIntent by GSECL.1.1.20. “EPD (GOG)” means Energy & Petrochemicals Department(Govt. of Gujarat,India)1.1.21. “Engineer-in-Charge” shall mean the engineer appointed at Project site byGSECL.1.1.22. “Financial Bid” or “Financial Proposal” means the proposal submitted by theBidder online and by post (un-priced) as a part of the Bid including the EPCContract Price, O&M Contract Price and Guaranteed Generation as per formatprescribed in Appendix-141.1.23. “Guaranteed plant performance” means the plant performance calculated asCoP and combined performance data quoted by the Bidder in the Tenderdocument at the time of submission of Bid.1.1.24. “GUVNL” shall mean Gujarat Urja Vikas Nigam Limited.1.1.25. “GERMI” means Gujarat Energy Research and Management Institute andconsultant of GSECL for this project.1.1.26. “Government Authority” means Government of India, any state government orany governmental department, commission, board, body, bureau, agency,authority, undertaking, or administrative body or any sub-division orinstrumentality thereof, central, state, or local, having jurisdiction over theContractor, the Facility, or the performance of all or any of the services,obligations or covenants of Contractor under or pursuant to this Contract or anyportion thereof.1.1.27. “Guarantee Test(s)” means the Performance & Guarantee Test(s) specified inthis Tender to be carried out to ascertain whether the Facilities or a specifiedpart thereof is able to attain the Functional Guarantees.1.1.28. “GEDA” shall mean Gujarat Energy Development Agency.1.1.29. “GSECL” means Gujarat State Electricity Corporation Limited (GSECL) andincludes the legal successors or permitted assigns.1.1.30. “Installation Services” means all those services ancillary to the supply of thePlant and Equipment for the Facilities, to be provided by the Contractor under




the Contract; e.g., transportation and provision of marine or other similarinsurance, inspection, expediting, Site preparation works (including theprovision and use of Contractor’s Equipment and the supply of all civil, structuralConstruction and Commissioning materials required), installation,Commissioning, carrying out guarantee tests, operations, maintenance, theprovision of operations and maintenance manuals, training of GSECL's personneletc.1.1.31. “Month” means calendar month of the Gregorian calendar.1.1.32. “MNRE” means Ministry of New and Renewable Energy, Government of India.1.1.33. “O&M” means Operations and Maintenance.1.1.34. “Owner(s)” means GSECL and includes the legal successors or permittedassigns.1.1.35. “Price Bid” means the same as per Clause No. 1.1.24.1.1.36. “Party” or “Parties” means individually any one of the Bidder, Contractor orGSECL; or collectively any or all of the Bidder, Contractor or GSECL; respectively.1.1.37. “System” or “Project” means the “Concentrated Solar Thermal (CST) -Compound Parabolic Collector (CPC) Based 150 TR Air – Conditioning Plant atAdministrative Building of Power Station (GTPS), Gandhinagar, Gujarat”1.1.38. “System Capacity” is defined as the function of capacity of absorber chillerunder STC conditions as defined and measured relevant guidelines of MNRE/GUVNL / any other Gujarat State Agencies guidelines as well as the requirementsstipulated by GSECL; the plant shall be complete in all respect and shall becapable to deliver hot/cool air required for the conditioning of the mentionedbuilding.1.1.39. “Project Site” means the Concentrated Solar Thermal (CST) - CompoundParabolic Collector (CPC) Based 150 TR Air – Conditioning Plant atAdministrative Building of Power Station (GTPS), Gandhinagar, Gujarat; locatedon bank of Sabarmati River near Gandhinagar, Gujarat as per the provisions inthis Tender including but not limited to its design, engineering, procurement &supply, construction, commissioning, compressive operation and maintenance.1.1.40. “Project Manager” means the person appointed by GSECL in the mannerprovided in the Tender hereof and named to perform the duties delegated byGSECL.




1.1.41. “Prudent Utility Practices” means those practices, methods, techniques andstandards, that are generally accepted for use in electric utility industries takinginto account conditions in India, and commonly used in prudent electric utilityengineering and operations to design, engineer, construct, test, operate andmaintain equipment lawfully, safely, efficiently and economically as applicable topower stations of the size, service and type of the Project, and that generallyconform to the manufacturer’s operation and maintenance guidelines.1.1.42. “Site” means the land and other places upon which the Facilities are to beinstalled, and such other land or places as may be specified in the Contract asforming part of the Site.1.1.43. “Subcontractor”, including vendors, means any person to whom execution ofany part of the Facilities, including preparation of any design or supply of anyPlant and Equipment, is sub-contracted directly or indirectly by the Contractor,and includes its legal successors or permitted assigns.1.1.44. “Successful Bidder” means the Bidder who is financially and technically eligibleand qualified, and evaluated as the Lowest Evaluated Bidder as per theprovisions in this Tender and to whom the contract is awarded.1.1.45. “Tender” or “Tender Document(s)” shall mean this “Tender for Engineering,Procurement, Construction and Commissioning of Concentrated Solar Thermal(CST) - Compound Parabolic Collector (CPC) Based 150 TR Air – ConditioningPlant at Administrative Building of Power Station (GTPS), Gandhinagar, Gujaratwith10 years Comprehensive Operation and Maintenance”GSECL’S TENDERNO.PP/PMI/Solar Thermal/GTPS/ADM/dated on 26 October 2016 issued byGSECL including its annexure, appendices, attachments, amendments and anyother documents as added or modified by GSECL as per the provisions in thisTender.1.1.46. “Tender Issuing Authority” means the office of The Chief Engineer (P&P),Gujarat State Electricity Corporation Limited (GSECL), Corporate Office, VidyutBhavan, Race Course, Vadodara.1.1.47. “Time for Completion” shall be the date on or before which Completion of theFacility has to be achieved to the satisfaction of GSECL and such date is specifiedin NIT.




1.2. Interpretations1.2.1. Language: Unless otherwise agreed by the parties in writing, the parties shalluse the English language and the Contract and the other Bid documents, allcorrespondence and communications to be given, and all other documentation tobe prepared and supplied under the Contract shall be written in English, and theContract shall be construed and interpreted in accordance with that language. Ifany of the Contract Documents, correspondence or communications areprepared in any language other than English, the English translation of suchdocuments, correspondence or communications shall prevail in matters ofinterpretation.1.2.2. References: All Clauses, Sections, Chapters, Appendices, Annexure or any otherobjects mentioned in this Tender shall refer to the same in this Tender unlessspecified otherwise.1.2.3. Singular and Plural: The singular shall include the plural and the plural thesingular, except where the context otherwise requires.1.2.4. Headings: The headings and marginal notes in the General Conditions ofContract are included for ease of reference, and shall neither constitute a part ofthe Contract nor affect its interpretation.1.2.5. Persons: Words importing persons or parties shall include firms, corporationsand government entities.1.2.6. Men: The word ‘Men’ in this Tender shall mean all genders i.e. male, female andothers.1.2.7. Entire Agreement: The Contract constitutes the entire agreement betweenGSECL and Contractor with respect to the subject matter of Contract andsupersedes all communications, negotiations and agreements (whether writtenor oral) of parties with respect thereto made prior to the date of Contract. Thevarious documents forming the Contract are to be taken as mutually explanatory.Should there be any discrepancy, inconsistency, error or omission in the Contractdocuments, the matter may be referred to the Adjudicator and the Contractorshall carry out work in accordance with the decision of the Adjudicator.1.2.8. Amendment: No amendment or other variation of the Contract shall be effectiveunless it is in writing, is dated, expressly refers to the Contract, and is signed by aduly authorized representative of each party hereto.




1.2.9. Time: Any time, unless mentioned otherwise, shall be as per Indian StandardTime (IST).1.2.10. Currency: All amounts mentioned as Rupees, Rs. or INR shall be interpreted asIndian Rupees.1.2.11. Independent Contractor: Subject to the provisions of the Contract, theContractor shall be solely responsible for the manner in which the Contract isperformed.a. All employees, representatives or subcontractors engaged by the Contractorin connection with the performance of the Contract shall be under thecomplete control of the Contractor and shall not be deemed to be employeesof GSECL and nothing contained in the Contract or in any sub-contractawarded by the Contractor shall be construed to create any contractualrelationship between any such employees, representatives or Subcontractorsand GSECL.b. Not in any case the sub-contractor shall claim or shall put any binding toGSECL and the sub-contractor must be handled by the Contractor and GSECLshall not be responsible for any claims at any time by the Contractor inrelation to the sub-contractor.1.2.12. Non-Waiver:a. Subject to Clause1.2.12 (a) below, no relaxation, forbearance, delay orindulgence by either party in enforcing any of the terms and conditions of theContract or the granting of time by either party to the other shall prejudice,affect or restrict the rights of that party under the Contract, nor shall anywaiver by either party of any breach of Contract operate as waiver of anysubsequent or continuing breach of Contract.b. Any waiver of a party’s rights, powers or remedies under the Contract mustbe in writing, must be dated and signed by an authorized representative ofthe party granting such waiver, and must specify the right and the extent towhich it is being waived.1.2.13. Severability: If any provision or condition of the Contract is prohibited orrendered invalid or unenforceable, such prohibition, invalidity orunenforceability shall not affect the validity or enforceability of any otherprovisions and conditions of the Contract




1.2.14. Country of Origin: “Origin” means the place where the materials, equipment andother supplies for the facilities are mined, grown, produced or manufactured, asthe case may be, and from which the services are provided. This shall beaccording to MNRE/ GSECL/EPD (GoG)/GUVNL/GEDA/UNDP guidelines.




2. About

2.1. About GSECLGujarat State Electricity Corporation Limited (GSECL) was incorporated inAugust 1993 and is registered under the Companies Act, 1956 with theobjectives to initiate a process of restructuring of Power Sector and to mobilizeresources from the market for adding to the generating capacity of the State andimproving the quality and cost of existing generation. The Company waspromoted by erstwhile Gujarat Electricity Board (GEB) as it is wholly ownedsubsidiary in the context of liberalization and as a part of efforts towardsrestructuring of the Power Sector. The Memorandum and Articles of Associationof GSECL envisage a wide spectrum of activities to improve the electricityinfrastructure of Gujarat. GSECL has initiated its activities in the field ofGeneration of Power.The Government of Gujarat (GoG) has also given to the GSECL the status ofIndependent Power Producer (IPP) with approval to undertake new powerprojects. The Company commenced it is commercial operation in the year 1998.However, the operations of GSECL were limited to Power Stations unitsGandhinagar #5, Wanakbori #7, Utran GBPS &Dhuvaran CCPP till the completeunbundling of erstwhile GEB was undertaken, i.e. up to 31st March 2005.As a part of the reform process, the Government of Gujarat has unbundled thevarious functions of GEB. As a result of this unbundling, Gujarat State ElectricityCorporation Limited (GSECL) has taken up the responsibility of electricitygeneration. Electricity Transmission has been entrusted to the already existingcompany - GETCO. Distribution network in the state has been split up among fourdistribution companies, which cater to the northern, central, southern, andwestern parts of the state respectively. All these companies have been structuredas subsidiaries of a holding company, Gujarat Urja Vikas Nigam Limited (GUVNL).GUVNL is also the single bulk buyer in the state as well as the bulk supplier todistribution companies. It will also carry out the trading function in the state.




As part of Clean-Green Energy programme, GSECL has also initiated process forinstalling solar panels on roof-top at identified locations within GSECL / GUVNLpremises.2.2. About Gujarat Energy Research and Management Institute (GERMI)2.2.1. Gujarat Energy Research & Management Institute (GERMI) is a centre ofexcellence in industry learning and has set up to develop human resource assetsto cater to the petroleum and allied energy sectors, improve knowledge base ofpolicy makers and technologists and provide a competitive edge to leaders tocompete in the global arena.

GERMI is a registered Society and Trust under the Societies RegistrationAct, 1860 and the Bombay Trust Act, 1950. GERMI is a recognized Scientific and Industrial Research Organization(SIRO) by the Department of Department of Scientific and IndustrialResearch (DSIR), Government of India. GERMI is a schedule-I Environment Auditor recognized by the GujaratPollution Control Board (GPCB) and an Energy Auditor Consultantrecognized by the Gujarat Energy Development Agency (GEDA). GERMI is promoted by the Gujarat State Petroleum Corporation Limited(GSPC), a Government of Gujarat undertaking.2.2.2. GERMI has executed various megawatt and kilowatt-scale ground-mounted androoftop solar PV power plants in the capacity of advisor, implementing agency,project management consultant (PMC) and third-party engineer/ inspector(TPE/ TPI). GERMI has conducted various training programs for the solarindustry professionals throughout the country and have gained wide knowledgein the sector.2.2.3. GERMI has been retained as “Consultant” for the current project by GSECL.--- End of Section ---




3. Instructions to Bidders

3.1. General Instructions3.1.1. The current document is the Tender, which is issued to all the potential Bidders,requesting a Bid for implementation of the Project on a fixed price basis. AContractor would be selected through competitive bidding process for executionof the Project.3.1.2. Any information regarding tender can be obtained from the office ofChief Engineer (P&P) at ([email protected]) on any working day prior tolast date of submission of tenders. The payment of Tender Document Fee and e-service Fee can be made online directly through Debit Cards & Internet BankingAccounts. The payment of Earnest Money can be made by the bidders onlinedirectly through RTGS / NEFT.3.1.3. Before submitting tenders, the instructions may be read carefully regardingsubmission of tender. If any bidder finds discrepancies or omissions in theTender documents or is in doubt as to the true meaning of any part, he shallclarify same from the Tender issuing office in writing before the due date ofsubmission of the queries.3.1.4. Unless exempted specifically, tenders not accompanied with the prescribedEMD, Tender Fees shall be rejected. EMD / Tender Fees shall be in the prescribedmode of payment as asked in the NIT otherwise the tender shall be liable to berejected.3.1.5. The validity of the Tender / offer shall be for 180 days from the date of openingof Technical Bid.3.1.6. The details of NIT along with Tender Documents can be seen and downloadedfrom the portal http://gsecl.nprocure.com as well as GSECL websitewww.gsecl.in.3.1.7. The committee nominated by GSECL shall evaluate all the bids received againstNIT on the parameter indicated under heading Pre-Qualifying Requirement(PQRs)/ Eligibility conditions in Clause 3.2 and other relevant clause of theTender. The decision of the committee shall be final.3.1.8. Issuance of Tender Documents to any party shall not construe that such party isconsidered to be qualified.




3.1.9. In case due dates of sale / receipt /opening of the Tender happens to be holidayin GSECL, the needful will be done on next working day.3.1.10. The bidders / contractors shall observe the highest standards of ethics duringthe submission of tender, procurement and execution of the contract. In case ofevidence of cartel formation by the Bidder(s) EMD is liable to be forfeited.3.1.11. The bidder shall bear all costs including bank charges if any, associated with thepreparation and submission of his bid and the purchaser will in no case beresponsible or liable for those costs, regardless of the conduct or outcome of thebidding process.3.1.12. Tender Issuing Authority reserves the right to cancel the NIT or to changequalifying requirement or to reject any or all the tenders so received withoutassigning any reason.3.1.13. The Site for the work is either available or it shall be made available in the partsin a manner so as not to hamper the progress of work.3.1.14. The Bidder whose Bid is accepted will be required to furnish by way of SD cumPerformance Bank Guarantee the amount as prescribed in the NIT for the duefulfillment of his Contract.3.1.15. Canvassing in connection with tenders is strictly prohibited and the tenderssubmitted by the Bidders who resort to canvassing will be liable to rejectionstraight way.3.1.16. All rates shall be quoted on the proper form i.e. price bid supplied as part of theTender documents on e-tender portal by the Department.3.1.17. On acceptance of the Tender, the name of the authorized representative(s) ofthe Successful bidder, who would be responsible for taking instructions from theEngineer-in-Charge and shall be communicated to the Engineer-in-Chargeimmediately after the allotment / start of work.3.1.18. The Gujarat State Electricity Corporation Limited does not bind itself to acceptthe lowest tender and reserves to itself the right to accept the whole or any partof the Tender and the Bidder shall be bound to perform the same at the ratequoted in this Tender.3.1.19. No contractor is permitted to tender for the works if any of his near relatives isposted to deal with day to day duties in the passing of bill etc. and who isworking in any capacity requiring him to give instructions / advice and in




particular any office / official of the Company including the member of the Board.Any breach of this condition by any one shall render him liable to be removedfrom the list of the contractors for the Gujarat State Electricity CorporationLimited and the work entrusted to him may be terminated.*Note:1. By the terms near relatives meant wife/ husband, parents and grandparents,children and Grandchildren, brothers and sisters, uncles and cousins and theircorresponding in-laws.2. The bidder shall attach the list of officers and employees of GSECL related to himwith this tender.3.2. Pre-Qualifying Requirements (PQRs)/ Eligibility Conditions3.2.1. GENERALi. The Bidder shall be a body incorporated in India under the Companies Act, 1956or 2013 including any amendment thereto. A copy of certificate of incorporationshall be furnished along with the bid in support of above.3.2.2. TECHNICALi. In order to participate in the bid, Bidder must satisfy following necessaryqualification criteriaa. Bidder must be MNRE registered channel partner for solar thermalsystemsb. Bidder must be a manufacturer of CPC collectors or VAM.c. The Bidder shall have an experience of design, supply, installation,commissioning and Operational & Maintenance of at least one project ofSolar Thermal Air - Conditioning Systems in India or abroad, which havebeen successfully commissioned and in operation on the Deadline forSubmission of Bid.ii. The Bidder shall have an experience of design, supply, installation,commissioning and testing of minimum 3000 sq. m of CST based systems forindustrial process heating applications with its operation and maintenance.iii. The Bidder shall have commissioned at least one number of solar thermal basedair – conditioning system of minimum 50 TR capacity.




NOTE:i. Joint Venture / Consortium: A Bidder is eligible to submit the Bid for the ownProjects. Any form of Joint Venture / Consortium to fulfill qualification criteriafor this tender is not allowed.ii. The Bidder shall furnish a certificate in English towards registration of itsCompany as manufacturer of CPC collector or VAM issued by the MNRE /Competent Authority.iii. Bidder shall provide certificate of newness of solar field, VAM and otherimportant components duly notarized.iv. The Bidder shall furnish a performance certificate in English issued by theCompetent Authority from Company / MNRE / UNDP / SNA; clearly mentioningthat the Bidder has successfully Engineered, Procured, Constructed, Installed,Tested, Commissioned projects as mentioned above, duly signed and notarizedby notary.v. Details of experience shall be submitted in the Bid as per Appendix 4.vi. The Bidder should have EPF Code and should also submit a valid notarizedcertificate of EPF registration mentioning the EPF codevii. Bidder shall submit, in support to the above, the list of projects commissionedalong with their work order/ LoI and the commissioning certificates along withthe certificate of plant being in operation. In case the bidder wants to meet theeligibility criterion through its own power plant, then a certificate fromChartered Accountant to that effect will be required to be submitted.3.2.3. FINANCIALi. Average Annual Turnover of the Bidder for last three (3) financial years shallbe at least INR5 Crore (INR. 5, 00, 00,000/-).ii. The Net Worth of the Bidder during the last Financial Year shall be positive forlast three years. The computation of Net Worth shall be based onunconsolidated audited annual accounts of the company wherein the NetWorth shall be calculated as follows:Net Worth = (Equity + Reserves) – (Revaluation reserves+ intangible assets +miscellaneous expenses to the extent not written off + carried forward losses).




NOTE:i. The Bidder shall provide a copy each of audited annual report to ascertain theirturnover & net-worth.ii. The Bidder shall submit audited annual report of FYs 2012-13, 2013-14,2014-15 and FY 2015-16.3.2.4. PROJECT DEVELOPMENT COMPETENCEi. The Bidder should submit documentary evidence of tie up for materials andequipments other than that manufactured by them such as: CPC Modules, VAM,Chillers and balance of the system in the form of MoU / In-Principle SupplyAgreement etc. with the manufacturers/distributers/suppliers for the capacityfor which the bidder is bidding forii. The Bidder should also submit the list of technical personnel who will bedeployed on this project along with their technical qualifications and experiencein Solar Thermal field as per Appendix 5: Format of Details of Qualified TechnicalStaff3.2.5. OTHERi. The Tender of only those bidders will be considered who will producedocumentary proofs, self-attested to meet the following requirements: TheBidders to have valid Proof of Permanent EPF account no., ESI registration no.and Service Tax no.ii. The agency should have valid license under contract labour regulation andabolition Act-1970 from labour department Gujarat or should give anundertaking that he will get himself registered within one month if work isallotted to him.iii. A self-attested certificate as per Appendix 20 from the Bidder to the effect thatthe Bidder is not blacklisted/ banned from any Public Sector undertakings ofCentral Govt. / State Govt. /SEBs / Corporations/ GSECL/ any other reputedThermal Plant etc.If the documents were issued inadvertently/downloaded from website, offerssubmitted by such bidders shall not be considered foropening/evaluation/award.




If the bidder does not disclose and submit the bid & happen to be successfulbidder and order is also placed and at a later date GSECL comes to know the fact,the order is liable to be cancelled without any further payment even for the workdone and if any payment is paid, EMD/SD shall be forfeited. This applies even ifthe bidder companies’ name is changed and such blacklisting/ ban was put up fortheir earlier name.3.3. Local Conditions3.3.1. The Bidder is advised to visit and examine the Project Site conditions, traffic,location, surroundings, climate, availability of power, water and other utilitiesfor construction, access to site, handling and storage of materials, weather data,applicable laws and regulations, and obtain for itself on its own responsibility allinformation that may be necessary for preparing the Bid and entering into theContract Agreement. The costs of visiting the Project Sites shall be at Bidder'sown expense.3.3.2. The Bidder and any of its personnel or agents shall be granted permission byGSECL to enter upon its premises and lands for the purpose of such inspection,but only upon the express condition that the Bidder, its personnel or agents, shallrelease and indemnify GSECL and its personnel and agents from and against allliability in respect thereof and shall be responsible for personal injury (whetherfatal or otherwise), loss of or damage to property and any other loss, damage,costs and expenses however caused, which, but for the exercise of suchpermission would not have arisen.3.3.3. Failure to visit the Project Sites or failure to study the Tender Document shall inno way relieve the Successful Bidder from furnishing any material or performingany work in accordance with the Tender Document.3.3.4. In no case the Target Date for Completion of Projects shall be extended, due tothe failure of the Bidder to visit the Project Sites. The Bidder must conduct itsown inspection of the Project Sites, access to the Project Sites and surroundingsat its own cost in order to make a proper estimate of the works to be performedunder consideration of site-specific constraints. This applies in particular to thetransportation of equipment to the Project Sites and the scope of Project Sitesworks. The Bidder shall also inspect the Project Sites and the access to Project




Sites from the point of manufacture to make sure that its equipment is suitablefor the available access and the site terrain.3.3.5. It shall be deemed that by submitting a Bid, the Bidder has:a. made a complete and careful examination of the Tender Document;b. received all relevant information requested from GSECL;c. acknowledged and accepted the risk of inadequacy, error or mistake in theinformation provided in the Tender Documents or furnished by or on behalfof GSECL relating to any of the matters referred to in this Tender;d. satisfied itself about all matters, things and information includingmatters referred to in the Tender Document, necessary and required forsubmitting an informed Bid, execution of the Projects in accordance with theTender Document and performance of all of its obligations there under;e. acknowledged and agreed that inadequacy, lack of completeness orincorrectness of information provided in the Tender Document or ignoranceof any of the matters referred to in the Tenderherein shall not be a basis forany claim for compensation, damages, extension of time for performance ofits obligations, loss of profits etc. from the GSECL, or a ground fortermination of the Contract Agreement and Agreed to be bound by theundertakings provided by it under and in terms hereof.3.3.6. GSECL shall not be liable for any omission, mistake or error on the part of theBidder in respect of any of the above or on account of any matter or thing arisingout of or concerning or relating to the Tender Document or the Bidding Process,including any error or mistake therein or in any information or data givenby GSECL.3.4. Local Regulatory Frame Work3.4.1. It shall be imperative for each Bidder to fully inform itself of all local conditions,laws and factors which may have any effect on the execution of the Contract asdescribed in the Bidding Documents. GSECL shall not entertain any request forclarification from the Bidder, regarding such local conditions.3.4.2. It is the responsibility of the Bidder that such factors have properly beeninvestigated and considered while submitting the Bid proposals and that noclaim whatsoever including those for financial adjustment to the Contractawarded under this Tender shall be entertained by GSECL and that neither any

3.6. Amendments to Tender Document3.6.1. GSECL may, for any reason, whether at his own initiative or in response to aclarification requested by a prospective Bidder, modify the Tender Documents.3.6.2. The amendments will be notified on website as mentioned in Notice Inviting e-Tender of this Tender.3.6.3. In order to allow the prospective Bidder(s), reasonable time in which to take theamendment into account in preparing their Bids, GSECL at its discretion, mayextend the deadline for the submission of Bids.3.7. Acceptance of Bids3.7.1. GSECL neither bind itself to accept the lowest or any nor to assign any reasonfor the rejection of any Bid. It is also not binding on GSECL to disclose anyanalysis report.3.8. Withdrawal of Invitation to Bid3.8.1. While GSECL has floated this Tender and has requested Bidders to submit theirproposals, GSECL shall always be at the liberty to withdraw this invitation to bidat any time before the acceptance of bid offer.3.9. Representative/ Agent of Bidder3.9.1. All the Bidders are requested to mention the name of their authorizedrepresentative/ agent, if any, with full address in the Bid.In case the




representative is changed during the bidding process such changes shall benotified by the Bidder, failing which, GSECL shall not accept any responsibility.3.10. Financial Proposal and Currencies3.10.1. The Bidders shall quote prices for the Project exclusive of all the taxes, whilealso providing the breakup of taxes as mentioned in Appendix 14.The Biddershall indicate the price in Financial Proposal in Indian National Rupee only.3.11. Bank Guarantees& EMD3.11.1. The validity of EMD shall be as per mentioned in NIT.3.11.2. The EMD shall specifically bind the Bidder to keep its Bid valid for acceptanceand to abide by all the conditions of the Tender Documents in the event of GSECLdesiring to award the work to the said Bidder. GSECL shall have an unqualifieddiscretion to forfeit the EMD in the event: (i) Bidder fails to keep the Bid valid upto the date specified/ required; or (ii) refuses to unconditionally accept Letter ofIntent and carry out the work in accordance with the Bid. In the event suchBidder is chosen as the Successful Bidder.3.11.3. The Company shall, however, arrange to release the EMD in respect ofunsuccessful Bidders, without any interest, only after issue of LOA to theSuccessful Bidder and their acknowledgement of the same.3.11.4. The EMD in respect of the Successful Bidder shall be return back on submissionof Security Deposit Cum Performance Bank Guarantee which will be valid uptofaithful execution of work including O&M period.3.11.5. The EMD shall be forfeited and appropriated by GSECL as per the discretion ofGSECL as genuine, pre-estimated compensation and damages payable to GSECLfor, inter alia, time, cost and effort of GSECL without prejudice to any other rightor remedy that may be available to GSECL hereunder or otherwise, under thefollowing conditions:a. If a Bidder submits a non-responsive Bid;b. If a Bidder engages in a corrupt practice, fraudulent practice, coercivepractice, or restrictive practice;c. In the case of Successful Bidder, if it fails within 7 days from the issue of LoI –(a) to sign the Contract Agreement and/ or (b) to furnish the PerformanceBank Guarantee within the period prescribed.




d. In case the Successful Bidder, having signed the Contract Agreement,commits any breach thereof prior to furnishing the Performance BankGuarantee.3.11.6. The Successful Bidder shall furnish the following Bank Guarantees:i. SD cum Performance Bank Guarantee as per the format given in Appendix 17:Format of SD cum Performance Bank Guarantee, shall be furnished in favour ofGujarat State Electricity Corporation Limited (GSECL), Vadodara. TheContractor shall submit SD cum Performance Bank Guarantee of 10% of theEPC Contract Price, within seven (7) days along with acceptance of Letter ofIntent (LoI), initially valid for a period of eighteen (18) months from the dateof issue of LoI. However, in case of delay in demonstration of the PG test, thesame will have to be extended upto 3 months beyond the due date forcompletion of PG test. The period for Performance Guarantee Test shall beginfrom the date mentioned in NIT of this Tender and shall continue till next one(1) year. Performance Bank Guarantee shall be returned only after successfulPerformance Guarantee Test/ Final Acceptance Test.ii. O&M Bank Guarantee: The Contractor shall undertake comprehensiveoperation and maintenance (O&M) activities for a period of ten (10) years fromthe date mentioned in NIT of this Tender. The Contractor shall submit the O&MBank Guarantee to GSECL within 30 days from the date of start of O&M periodas specified in the NIT of this Tender in favour of Gujarat State ElectricityCorporation Limited (GSECL) Vadodara. The format of the O&M BankGuarantee is given in Appendix 18: Format of O&M Bank Guarantee3.11.7. Due to an extended nature of the O&M Bank Guarantee, the Contractor isallowed to provide O&M Bank Guarantees of not less than one (1) year andrenew the same each year. However, the Contractor shall renew the O&M BankGuarantee at least one month before the expiry of the validity failing whichGSECL will be at liberty to encash the same. In case the O&M Bank Guarantee isencashed due to any penalty then the Contractor has to replenish within 20 daysthe O&M Bank Guarantee for the remaining period.3.11.8. Any lapse in the timely renewal of the O&M Bank Guarantee shall entitle GSECLto encash it without assigning any further reason thereof.




3.11.9. The O& M Bank Guarantee for 1st year should be valid upto 45 days beyond thedue date of completion of 1st O&M year. For subsequent O&M years, the BankGuarantee should be extended/renewed in such a manner that the same remainsvalid upto 45 days beyond the date of completion of each subsequent O&M year.3.12. Project Management Consultant and Third Party Inspection Agency3.12.1. GERMI shall act as Project Management Consultancy (PMC) or Third PartyInspection agency (TPI) appointed by GSECL, at its sole discretion, to conductany kind of inspection regarding procurement, fabrication, installation, hook-up,quality, execution, commissioning, operation and maintenance during the span ofthe Project. The Contractor shall provide necessary access and coordination toconduct such inspections. The Contractor shall provide all necessary access andcooperation for inspection by National or State agency.3.12.2. Factory Inspection: Successful EPC contractor shall invite TPI / ProjectConsultant appointed by Company and representatives of the Company(maximum 4 nos.) for the purpose of inspection of materials / equipments likeCPC collectors, VAM, Chillers etc. being manufactured at the manufacturing unitwithin / outside country. All cost towards the inspection including local andnational / international travel, accommodation, food and other incidentalexpenditure to be borne by the EPC contractor. EPC Contractor shall intimateCompany and give inspection call one month in advance to Company /Consultant / TPI. During the inspection, EPC contractor shall demonstrate /arrange to demonstrate necessary safety, operation and performance tests to theinspection team. Company at its own discretion may take necessary action toinspect or waive the inspection call and accept the material without inspection atmanufacturing place.3.13. Right to Accept or Reject any or all Bids3.13.1. Notwithstanding anything contained in this Tender, GSECL reserves the right toaccept or reject any Bid and to annul the bidding process and reject all Bids atany time without any liability or any obligation for such acceptance, rejection orannulment, and without assigning any reasons thereof.3.13.2. GSECL reserves the right to reject any Bid and appropriate the EMD if:




a. after reviewing the Bid there is doubt that the offered works, materials orequipment are not state of the art and/ or not suitable for the site operatingconditions;b. at any time, a material misrepresentation is made or uncovered, orc. the Bidder does not provide, within the time specified by the GSECL,the supplemental information sought by GSECL for evaluation of the Bid.3.13.3. Such misrepresentation/ improper response shall lead to the disqualification ofthe Bidder. If such disqualification / rejection occur after the Bids have beenopened and the Successful Bidder gets disqualified / rejected, then GSECLreserves the right to:a. select the next Bidder with the Lowest Evaluated Bid Value as the SuccessfulBidder; orb. take any such measure as may be deemed fit in the sole discretion of GSECL,including annulment of the bidding process.3.13.4. In case it is found during the evaluation or at any time before signing of theContract or after its execution and during the period of subsistence thereof, thatone or more of the pre-qualification conditions have not been met by the Bidderor the Bidder has made material misrepresentation or has given any materiallyincorrect or false information, the Bidder shall be disqualified forthwith, if notyet appointed as the Contractor either by issue of the LoI or entering into of theContract Agreement, and if the Successful Bidder has already been issued the LoIor has entered into the Contract Agreement, as the case may be, the same shall,notwithstanding anything to the contrary contained therein or in this Tender, beliable to be terminated, by a communication in writing by GSECL to theContractor, without GSECL being liable in any manner whatsoever to the Bidderor Contractor, as the case may be. In such an event, GSECL shall forfeit andappropriate the bank guarantees without prejudice to any other right or remedythat may be available to GSECL.3.13.5. GSECL reserves the right to verify all statements, information and documentssubmitted by the Bidder in response to the Tender Documents. Failure of GSECLto undertake such verification shall not relieve the Bidder of its obligations orliabilities hereunder nor will it affect any rights of GSECL there under.




3.14. Performance Guarantee (PG)3.14.1. The Bidder shall be required to quote the Performance Guarantee for ten (10)years period. The Bidder shall give CoP and combined performance guaranteeper month/annum after considering proposed configuration and all localconditions, solar isolation, wind speed and direction, air temperature & relativehumidity, barometric pressure, rainfall, sunshine duration, water availability andwater related all other factors and losses due to near shading, irradiance level,temperature loss, pressure loss, module quality loss, soiling loss and variousabsorber losses etc. Bidders are required to provide computation documentsalong with considered factors based on which CoP, Minimum heat production(kw), Minimum chilled water produced (kilo liter), chilled water/Hot wateroutput condition (Temperature, Pressure etc.) conditioned air quality(Temperature, RH, Filtration, flow rate etc.) according to ASHRAE ventilation andcomfort standards with energy saving practices to be followed for offeringguaranteed performance.3.14.2. Bidders are expected to undertake their own study of solar profile and otherrelated parameters of the area and make sound commercial judgment aboutrequired quantity of conditioned air. The site information and solar dataprovided in this Tender except the reference radiation for the twelve months isonly for preliminary information purpose. No claim or compensation shall beentertained on account of this information. It shall be the responsibility of theBidder to access the corresponding solar insolation values and related factors ofsolar plant along with expected Net Hot Water Generation. The Bidder shouldaccess all related factors about the selected Project Site and quote theperformance guarantee parameters required as per Appendix – 15.3.14.3. The Contractor shall be responsible for achieving Minimum heat production(kw), Total chilled water produced (kilo liter), CoP and conditioned air at AHUoutlet. For any shortfall in Minimum heat production (kw), Total chilled waterproduced (kilo liter), CoP and conditioned air quality at AHU outletcorresponding to the offer, the compensation shall be recovered from theContractor. The Contractor shall maintain the System equipment including itsrepair, replacement, overhauling, etc., so as to give the agreed performance




parameters as per Appendix -15, for which GSECL shall pay the agreed O&MContract Price and the applicable taxes.3.14.4. If the bidder anticipates any degradation of the CPC modules/panels during thefirst year, it shall be taken care of to provide additional capacity of solar CPCpanels to meet guaranteed generation at the end of first year to avoid liquidateddamages/compensation on account of Performance Guaranteed Generation.Total chilled water output kl (kilo liter) should have degradation factor less than5% for 25 year of Plant life cycle. Bid not following these conditions shall besummarily rejected.3.14.5. Performance Guarantee (as per Appendix-15) shall also considered theevaluation of the Bid. --- End of Section ---




4. Submission of Bid

4.1. General Terms4.1.1. Along with electronic submission of Bid, the bid has to be also submitted in postas indicated in Clause 4.3 for Technical Bid and Price Bid (un-priced).4.1.2. Notwithstanding anything to the contrary contained in this Tender, thedetailed terms specified in the draft Contract Agreement shall have overridingeffect; provided, however, that any conditions or obligations imposed on theBidder hereunder shall continue to have effect in addition to its obligationsunder the Contract Agreement.4.1.3. The Bid should be furnished in the formats mentioned in the Tender Document,which shall be duly signed by the Bidder’s authorized signatory, provided thatthe Financial Proposal (un-priced) will be submitted in separate envelope.4.1.4. The Bidder should submit a power of attorney as per the format given inAppendix 11: Power of Attorney for signing of Bid” authorizing the signatory ofthe Bidder to commit to the Bid.4.1.5. Any condition or qualification or any other stipulation contained in the Bidother than those already existing in the Tender Document shall render the Bidliable to rejection as a non-responsive Bid. The complete Bid shall be withoutalterations, interlineations or erasures, except those to accord with instructionsissued by GSECL, or as necessary to correct errors made by the Bidder, in whichcase such corrections shall be initialed by the person or persons signing the Bid.4.1.6. The Tender Documents, Bid Documents and all attached documents are andshall remain the property of GSECL and are transmitted to the Bidders solely forthe purpose of preparation and the submission of a Bid in accordance herewith.Bidders are to treat all information as strictly confidential and shall not use it forany purpose other than for preparation and submission of their Bid. GSECL willnot return any Bid or any information provided along therewith.4.1.7. Bidder shall note that Price Bid of only those Bidders shall be opened who arefound technically qualified and responsive to GSECL’s Tender terms andconditions including but not limited to the Scope of Work.




4.2. Format and Signing of Bid4.2.1. The Bidder shall provide all the information sought under this Tender. GSECLwill evaluate only those Bids that are received in the required formats andcomplete in all respects.4.2.2. The Bid shall be typed or written in indelible ink and signed by the authorizedsignatory of the Bidder who shall also initial each page, in blue ink. All thealterations, omissions, additions or any other amendments made to the Bid shallbe initialed by the person(s) signing the Bid.4.3. Sealing and Marking of Bid4.3.1. The Bid of the Bidder shall be contained in one (1) single “Main” Envelope.4.3.2. The Main Envelope shall contain four (4) Envelopes as follows:1. “Original” Envelope2. “Copy” Envelope3. “CD” Envelope4.3.3. The “Original and “Copy” Envelopes shall contain the following Envelopes:a. Cover-I: Signed Copy of the Tender Document(s)b. Cover-II: Enclosures of the Bidc. Cover-III: Proof of EMD; and Tender Feed. Cover-IV: Financial Proposal (Appendix 14) un-priced by duly signed andstamped4.3.4. The “CD” Envelope shall contain one (1) CDs containing the following folderswith the same information submitted in the Original Envelope:a. Cover-I: Signed Copy of the Tender Document(s)b. Cover-II: Enclosures of the Bidc. Cover-III: Proof of EMD and Tender Fee




4.3.5. All original attested Tender Documents, Bid Enclosures, EMD and Tender Fee,and Financial Proposal (un-priced) shall be contained in the “Original” Envelope.4.3.6. All soft/ scanned copies of the original attested Tender Documents, BidEnclosures, EMD and Tender Fee shall be contained in the CD in an appropriatelyorganized manner as in the physical copies, and enclosed in the “CD” Envelope.IMPORTANT: THE COPY OF THE FINANCIAL BID (Appendix 14) SHALL NOT

BE INCLUDED IN THE CDS.4.3.7. Envelopes shall be clearly marked as “Original,” and “CD”.4.3.8. The content of documents uploaded on e-Procurement portal and hard copiessubmitted should be same and in case of any discrepancy all documentsuploaded on e-Procurement portal shall stay valid.4.4. Enclosures of the Bid4.4.1. Cover-I shall be duly marked as “Signed copy of the Tender Document(s)” andshall include the duly signed and sealed Tender Document including itsannexure, appendices, attachments, amendments and any other documents asadded or modified by GSECL as per the provisions in this Tender.4.4.2. The documents accompanying the Bid other than the attested TenderDocument(s), and Proof of Tender Fee and EMD shall be placed in Cover-II andmarked as “Enclosures of the Bid”. y. Appendix 20: Declaration by bidder regarding non blacklisting of firm4.4.3. Cover–III shall be duly marked as “copy of Proof of EMD and Tender Fee” andshall contain the copy of proof of Tender Fee and EMD.4.4.4. Cover-IV shall be duly marked as “Financial Proposal un-priced by duly signedand stamped” and shall contain the Financial Proposal (un-priced duly signedand stamped) as per the format prescribed in Appendix-144.4.5. All Bid documents shall be placed in hard binding and the pages shall benumbered serially. Each page thereof shall be initialed in blue ink by theauthorized signatory.4.4.6. 4.5.2. GSECL may, in its sole discretion, extend the Bid due date by issuing anAmendment/ Addendum in accordance with Clause No. 3.6 uniformly for allBidders.4.6. Late Bids4.6.1. Bids received by GSECL after the specified time on the Bid due date shall not beeligible for consideration and shall be summarily rejected. In case it happens tobe holiday on the prescribed closing/ opening day of the Bid, the next workingday shall be treated as the scheduled prescribed day of closing/ opening of theBid.4.7. Confidentiality4.7.1. Information relating to the examination, clarification, evaluation andrecommendation for the Bidders shall not be disclosed to any person who is notofficially concerned with the process or is not a retained professional advisor/consultant advising GSECL in relation to or matters arising out of, or concerningthe bidding process. GSECL will treat all information, submitted as part of theBid, in confidence and will require all those who have access to such material totreat the same in confidence. GSECL may not divulge any such information unlessit is directed to do so by any statutory entity that has the power under law torequire its disclosure or is to enforce or assert any right or privilege of thestatutory entity and/ or GSECL.4.8. Correspondence with the Bidder4.8.1. The Company shall not entertain any correspondence with any Bidder inrelation to acceptance or rejection of any Bid.4.9. Bid Opening and Evaluation4.9.1. The Company shall open, examine and evaluate the Bids in accordance with theprovisions set out in this Tender.4.9.2. To facilitate evaluation of Bids, the Company may, at its sole discretion, seekclarifications in writing from any Bidder regarding its Bid.4.9.3. After the receipt of Bids, the Company may at its discretion send a team ofengineers and other staff if necessary to inspect the engineering facilities, toensure suitability and satisfactory working conditions at the Bidder’s work(s)/




yard(s) and equipment listed to be used by the Bidder for the work. The Biddershall ensure that the aforesaid team shall at all the times have access to visit andinspect works, equipment etc.4.10. Tests of Responsiveness4.10.1. Prior to evaluation of Bids, the Company shall determine whether each Bid isresponsive to the requirements of the Tender. A Bid shall be consideredresponsive only if:i. The minimum Performance Guaranteed of the Power Plant for one year isprovided by the Bidder.ii. it is received by the Bid due date including any extension thereof;iii. it is received in the manner prescribed in this Tender;iv. it is accompanied by the requisite Tender Fee and EMD;v. it is received with all the Enclosures of the Bid as prescribed in Clause 4.4 ;vi. its Enclosures are received as per the formats specified in Appendices as well asthe Tender;vii. it contains all the information (complete in all respects) as requested in thisTender (in the same formats as specified);viii. it complies will all the terms, conditions and provisions specified in this Tender;andix. it does not contain any conditions or deviations;4.10.2. GSECL reserves the right to reject any Bid which is non-responsive and norequest for alteration, modification, substitution or withdrawal shall beentertained by GSECL in respect of such Bid.4.11. Modification and Withdrawal of Bids4.11.1. In case any clarifications are sought by GSECL after opening of Bids then thereplies of the Bidder should be restricted to the clarifications sought. Any Bidderwho modifies its Bid (including a modification which has the effect of altering thevalue of its Financial Proposal) after opening of Bid without specific reference byGSECL, shall render the Bid liable to be rejected without notice and withoutfurther reference to the Bidder and its EMD shall be forfeited.4.11.2. Withdrawal or unsolicited modification of a Bid during this interval shall resultin the Bidder's forfeiture of its EMD.




4.12. Evaluation of Bid and selection of Bidder4.12.1. GSECL will examine the Bid to determine whether they are complete, whetherany computational errors have been made, whether required sureties have beenfurnished, whether the documents have been properly signed, and whether theBid is generally in order.4.12.2. Prior to the detailed evaluation, GSECL will determine the substantialresponsiveness of each Bid. A substantially responsive Bid is one which conformsto all the terms and conditions of the Tender Documents without materialdeviations. Deviations from or objections or reservations to critical provisionssuch as those concerning EMD, Applicable Law and Taxes and Duties will bedeemed to be a material deviation. GSECL’s determination of a Bid’sresponsiveness is to be based on the contents of the Bid itself without recourseto extrinsic evidence.4.12.3. If the Bid is not substantially responsive, it will be rejected by GSECL and maynot subsequently be made responsive by the Bidder by correction of thenonconformity.4.12.4. GSECL will evaluate and compare Bids which have been determined to besubstantially responsive.4.12.5. Following factors shall be required for evaluation of Bid:a. The Evaluated Bid Value (EBV) shall be calculated using the followingparameters:i. Engineering Procurement Commissioning (EPC) Contract Price;ii. Net Present Value (NPV) of O&M Price of ten (10) years;iii. Performance Guarantee; andiv. Constant parameters as indicated in the Tender.b. The Bid with the Lowest Evaluated Bid Value for each Project shall beconsidered as L-1 and the Successful Bidder for each Project. The Bid withnext highest value shall be considered as L-2 and so on.4.12.6. In no case, a Bidder shall have the right to claim to be the Successful Bidder forits Bid.




4.13. Contacts during Bid Evaluation4.13.1. Bids shall be deemed to be under consideration immediately after they areopened and until such time GSECL makes official intimation of award/ rejectionto the Bidders. While the Bids are under consideration, Bidders and/ or theirrepresentatives or other interested parties are advised to refrain from contactingby any means, GSECL and/ or their employees/ representatives on mattersrelated to the Bids under consideration.4.14. Employment of Officials/ Ex-Official of GSECL4.14.1. Bidders are advised not to employ serving GSECL employees. It is also advisednot to employ ex-personnel of GSECL within the initial two years period aftertheir retirement/ resignation/ severance from the service without specificpermission of GSECL. GSECL may decide not to deal with such firm (s) who failsto comply with this provision.4.15. Declaration on Bidder's Relation to Directors4.15.1. The Bidders are required to certify in prescribed format Appendix 8: Format ofDeclaration of Compliance, whether he/ they is/ are related to any of theDirectors/ Senior Personnel of GSECL in any of the ways mentioned in theCertificate. It is clarified that any such affirmative certificate shall not, by itself,prejudice consideration of the Bid. This certificate must accompany the Bid.4.16. Letter of Intent (“LoI”) and Notification to Proceed4.16.1. After selection of the Successful Bidder, a Letter of Intent (the “LoI”) shall beissued, in duplicate, to the Successful Bidder. The Successful Bidder shall not beentitled to seek any deviation from the Contract, as may have been amended byGSECL prior to the bid submission date.4.16.2. On issue of the LoI by the Company, Authorized representative of the SuccessfulBidder shall sign the Contract Agreement within 7 (seven) days and submit theBank Guarantee within the stipulated time. The authorized representative of theSuccessful Bidder shall sign the Contract Agreement.4.17. SD cum Performance Guarantee4.17.1. The Successful Bidder shall, within seven (7) days along with acceptance of LOI,submit the SD cum Performance Bank Guarantee as per the format prescribed in




Appendix 17: Format of SD cum Performance Bank Guarantee and sign theContract Agreement with stipulated time.4.17.2. The bank guarantee by the Contractor will be given from bank specified inAppendix 16: List of Banks (for Bank Guarantee) only. BG of any other Bank willnot be treated as valid BG.4.18. Fraudulent Practices4.18.1. The Bidders may please note that GSECL shall not entertain any correspondenceor queries on the status of the Bids received against this Tender. Bidders areadvised not to depute any of their personnel or agents to visit GSECL’s office formaking such inquiries.4.18.2. Any effort by a Bidder to influence GSECL on the Bid evaluation, Bid comparisonor Contract award decision may result in the rejection of the Bidder's Bid.

5. Scope of Work

5.1.General Scope of Work

5.1.1. The general scope of work involves Engineering, Procurement Construction andCommissioning(EPC) of the Solar Thermal Air - Conditioning System based onCompound Parabolic Collector– CPC with seasonal tracking (minimum three anglesi.e. tilt angle for latitude, summer and winter) for the purpose of providingrequired quantity and quality of conditioned air for space cooling (in summerperiod) and heating (during winter) along with humidity control and filtrationfrom three AHUs (one each for central part and left and right part of the GTPSAdmin. Office).The system shall have electrical back – up to provide requiredenergy for low or no –sun shine hours. The system shall have buffer tank foroffering steady plant output but no thermal storage is envisaged. Henceforth, theproject shall be referred to as Solar Thermal AC system. The capacity of the systemshall be 150 TR and project shall be executed on turn-key basis.5.1.2. The scope of work includes commissioning of the Solar Thermal AC System so asto deliver guaranteed performance as defined in Appendix 15: PerformanceGuarantee Required5.1.3. Successful EPC contractor shall invite TPI / Project Consultant appointed byCompany and representatives of the Company (maximum 4 nos) for the purposeof inspection of materials / equipments like CPC collectors, VAM, Chillers etc.being manufactured at the manufacturing unit within / outside country. All costtowards the inspection including local and national / international travel,accommodation, food and other incidental expenditure to be borne by the EPCcontractor. EPC Contractor shall intimate Company and give inspection call onemonth in advance to Company / Consultant / TPI. During the inspection, EPCcontractor shall demonstrate / arrange to demonstrate necessary safety,operation and performance tests to the inspection team. Company at its owndiscretion may take necessary action to inspect or waive the inspection call andaccept the material without inspection at manufacturing place.




5.1.4. Work includes ten (10) years of Comprehensive Operation and Maintenance(O&M) of the system including replacement / repair / operation andmaintenance of entire system wherein the system shall perform as per minimumperformance guarantee as defined inAppendix 15: Performance GuaranteeRequired5.1.5. CIVIL WORK: consisting of conducting soil tests, HFL, water test and any othertests which is required to identify and provide as designing guidelines for theproject; design, fabricate, supply and installation of Compound ParabolicCollector (CPC) mounting structures; civil footings / foundations of appropriateand anchoring of seasonal tilt CPC mounting structure; work required for sitedevelopment activities inclusive but not limited to excavation, cutting, filling anddisposal of soil from site, levelling of land; cable trenches (if required), pruningof trees, laying of pebbles in the solar field, construction of control room forequipments like VAM, control panels, Remote Monitoring System and DataLoggers (if required) etc. with electrical fixtures, tank, chiller and cooling tower,civil foundations for storage tank (s) and cooling tower; provide pipelinenetwork with necessary pump, control panel, RO / DM plant, pipeline, waterstorage, taps, flexible hoses etc. for washing of CPC, provide fire hydrant system,etc.

Note: Company shall provide three phase power and tap water at a fixed locationin the plant area, free of cost to EPC Contractor during and after construction ofthe solar thermal AC plant and also during the O&M period. EPC contractor shallsurvey project site to requirement for laying additional electricity line, RO / DMsystem to bring the required quality and quantity of electricity and water to hisdesired location. Company shall not be responsible for extending any of theancillary facilities in the project area.5.1.6. MECHANICAL WORK: consisting of all CPC collector connected in series andparallel with proper joints, hot/chilled/cooling water pipe networks, Control &Balancing valves, Temperature and Pressure Gauges, strainers, measurementdevices in piping network, Absorption Chillier (s), cooling tower and AHUs (3Nos; Total 60,000 CFM).5.1.7. ELECTRICAL WORK: consisting of supply, installation of VFD pumps, auxiliaryheaters, monitoring and control system (SCADA) with remote web-based




communication & monitoring hardware and software etc.; interconnection offacility through pipes with insulation to flow the water in system etc.; electricalpanel and controls should follow safety standards; comprehensive testing of allequipments and system and commissioning, training of Company’s engineers onO&M of plant; human safety and protection equipment including danger signs,indicator sign boards, fire fighting system; etc.;5.1.8. The Bidder shall submit in the Bid a comprehensive project execution scheduleas well as Comprehensive Operation and Maintenance (O&M) schedule for 10years with resource planning in the form of Gantt chart and shall be liable forabiding by the schedule.5.1.9. All construction, operation and maintenance procedures shall be carried outthrough appropriate relevant standards, regulations laid by GERMI / GSECL /GEDA / MNRE / SECI / NVVN / GERC / CEI/ UNDP or any other agency as andwhen applicable. Further, this shall comply with the applicable labor laws andtake necessary safety measures during construction and O&M period. TheContractor shall make itself aware of such requirements and shall not solelydepend on the Company to avail full information.

5.1.10. Any civil / mechanical / electrical / other work, which is not mentioned orincluded in this tender document but necessary for the plant shall be borne by theContractor.5.1.11. The EPCcontractor shall also supply necessary SCADA and remote monitoring facility. EPCContractor shall also provide 10 years of comprehensive operation and maintenance(CMC) for this project. Any civil / electrical / mechanical / other requirements foroffering guaranteed output of the plant is included in the scope of work of this tender.5.3.Electrical Requirements

5.3.1. Electrical MainsThe power supply of the cold and heat generation is realized from the existing220/380VAC - 50Hz main distribution board, which is located on the ground floor of themain building next to the machine room. It is secured with 500 A- As there is only a verylimited space reserved for the main distribution board, a modular extension must heplanned for the new supply lines which has an expansion capacity of at least ≥ 30 %.5.3.2. Electrical Specifications5.3.2.1. General (installation for the HVAC system)i. For the new installation, only the TN-S protection system with 100% neutralconductor cross-section must be applied.a. All of the cable and conductor types used must comply with the currentlyapplicable standards with respect to cross-section, number of cores and colour-coding (halogen-free FE0).b. Dismounting of the old equipment, cables, etc. which are no longer in use




c. Any dislocation of the existing installation according to the coordination of thenew installation.d. The new installations have to be protected against over voltage caused bylightning or short circuit.e. Changing of existing installations and all new installation shall be:̵ controlled and measured, a record shall be created̵ proof of safety shall be created and signed5.3.2.2. Switchgeari. The main- and sub-distributions shall be located in a separate utility room whichmust be positioned as centrally as possible.ii. The switchgears must be partiality type-tested pursuant to standard EN 60439-1(operation by laypersons). They shall be planned in such way that there is anexpansion capacity of ≥ 20 % for tater installations. The reserved space must beindicated in the execution project.iii. On principle, self-supporting steel sheet or aluminium cabinets with front doorsmust be used. The protection class of the cabinets is subject to their location.iv. Any installed socket outlets must imperatively be secured with a fault currentcircuit breaker.v. In all new switchboards over voltage protection has to be implemented.5.3.2.3. Earthing / Potential Equalisationi. For the realisation of the earthing / potential equalisation, conductive connectionsmust be installed between the metal conductors in the building listed below:

i. The newly realised roof platform must be protected by means of a lightningprotection system according to standard IEC 62305-1 / Edition 2006/ Lightningprotection.5.3.2.5. Electric Kick Zone and Cable Carry Systemi. The horizontal and vertical development must be clearly structured. The mainaccesses must be separated from the fine distribution. Consumers should bearranged in a centralised way as far as possible. Vertical and if possible,horizontal developments must have reserved spaces of 30% for laterinstallations.5.3.2.6. Underground Control and Power Linesi. Between the plant and the administrative building, supply lines / cables must belaid underground. These must in any case be laid in mechanically protectedinstallation pipes. The pipes must be laid in a depth of at least 0.7 m in the ground.In order to allow for access to the pipes, access shafts must be provided every100m. Furthermore an indication tape 40cm above the cable has to be laid intothe ground.5.3.3. Building Regulationsi. The most important regulations for this project are mentioned below.a. IEC G0529 / Edition 2.2 2013-08/ Degrees of protection provided by enclosures{IP Code}d. IEC 60364-8-1 / Edition 1.0 2014-10/ Low-voltage electrical installation5.3.4. Electrical Standards5.3.4.1. The national regulations in which the administration is located shall beobserved, as far as the minimum in matter of security according to Europeanregulations is reached.5.3.4.2. The following points have to be considered and included in the tender:i. Basic protection (protecting against touching): Persons must beprotected against dangers from touching active parts of the facilities bymeans of appropriate covers/casings.




ii. Fault protection (protection against indirect contact): Persons must beprotected against dangers resulting from contact with the bodies ofelectrical facilities in case of a fault.iii. Protection against thermal effects: The electrical facilities must bearranged in such way that they do not pose the risk of igniting flammablematerials due to high temperatures or an electric arc.iv. Protection against overcurrent: Persons must be protected againstinjuries and material must be protected from damage resulting from toohigh temperatures or electromechanical loads due to overcurrents.v. Emergency shutdown: If this is necessary in case of danger, the powersupply must be interrupted immediately. This means that a device forinterruption must be installed in such way that it is clearly recognisable andcan be operated effectively and quickly.vi. All new sockets shall be supplemented with a separate fault-currentprotectionvii. All of the selected electrical facilities must safely withstand the loads andenvironmental conditions under which they will be operated.viii. All branching boxes, sockets, and cables must be labelled with their groupassignment in a clearly visible and permanent way.ix. If existing installation will be changed all labelling, drawings and diagramshave to be updated5.4.Civil / Construction Requirements

5.4.1. Everything related to the general civil / construction work is explained in thissection. It is explained what the owner representative intends to do and wherefurther information can be found, mainly in All general construction work will bebrought by the all contractors. The Contractor needs to specify the requirementsand coordinate this work with its installation schedule.5.4.2. The Scope of work includes, apart from the work as per the specification anddrawings, supply of all labour, technical personnel, material, fuel, water, power,laboratory testing and equipment required for proper completion of the work, itshall also include the other related works although they may not be specificallymentioned in the subsequent clauses and all such incidental items not mentionedbut reasonably implied and necessary for completion of the job as a whole, all as




desired and as directed by the Company. The Contractor shall give all notices,pay all taxes, fees, duties, etc. that are required for all works including temporaryworks.5.4.3. Tests & Surveys5.4.3.1. Topographical Survey: Topographical survey is required. Contractor shallundertake Topographical survey at the proposed site at appropriate interval bywith the help of Total Station or any other suitable standard method of surveyif felt required.5.4.3.2. Soil Test: Contractor shall carry out detailed soil test to ascertain soilparameters of the proposed site for construction of foundations forfoundations, CPC Panel Structures, storage tank, chillers, VAM, auxilliary supplyequipment etc. The Contractor shall carry out soil investigation throughcertified soil consultant. These reports shall be furnished to the Company priorto commencing work.5.4.3.3. HFL: Contractor shall carry out detailed soil test to ascertain soil parameters ofthe proposed site for construction of foundations for module mountingstructures for equipments, CPC, Chillers etc. These reports shall be furnished tothe Company prior to commencing work.5.4.3.4. The scope of Soil Investigation covers execution of complete soil explorationincluding boring, drilling, collection of undisturbed soil sample where possible,otherwise disturbed soil samples, conducting laboratory test of samples to findout the various parameters mainly related to load bearing capacity, groundwater level, Earth Resistivity Test (ERT), settlement, and soil condition andsubmission of detail reports along with recommendation regarding suitabletype of foundation for each bore hole along with recommendation for soilimprovement where necessary.5.4.3.5. Contractor shall obtain and study earthquake and wind velocity data for designof CPC panel mounting structure5.4.3.6. The foundations should be designed considering the weight and distribution ofthe structure and assembly, and a maximum wind speed of 150 km per hour.Seismic factors for the site have to be considered while making the design ofthe foundation.




5.4.3.7. Contractor shall also plan for transport and storage of materials at site andshall arrange for its own construction power and water.5.4.3.8. Foundation / Anchoring design shall be made in accordance with the IndianStandard Codes and structural condition of building, with the help ofRegistered Structural Designer having substantial experience in similar work.The Contractor shall submit the detailed structural design analysis along withcalculations and bases/ standards in the Bid.5.4.3.9. Contractor shall also plan for transport and storage of materials and transportof manpower to the project site, arrangement for cleaning of CPC modules,physical isolation of solar installation so as to avoid any accidental contact.5.4.3.10. The Contractor shall carry out Shadow Analysis at the site and accordinglydesign CPC panel arrays layout considering optimal use of space, material andman-power.5.4.3.11. The Contractor shall estimate the water requirements for cleaning the CPCpanels at least once in every week in order to operate the system at itsguaranteed performance-ratio. The Contractor shall make all provisions forwater including installation of overhead storage facility, a network of GI pipes,and outlets with manual isolating valves, flexible UV resistant pipe, wipers etc.for convenient cleaning of CPC panels. The overhead tank shall be of a standardmake like Sintex or equivalent.5.4.3.12. Construction of Room for VAM, Chiller and Control Unit shall plan for sufficientspace for equipment as per the equipment’s operating guidelines. The room (s)thus constructed shall have auxiliary power supply, electrical fixtures with allnecessary protections for connection of the equipments inside.5.4.3.13. All civil work shall strictly follow relevant IS standards and guidelines.5.4.3.14. Fire Extinguishers: Liquefied CO2 fire extinguisher shall be upright type ofcapacity 10 kg having IS: 2171.7 IS: 10658 marked. The fire extinguisher shallbe suitable for fighting fire of Oils, Solvents, Gases, Paints, Varnishes, ElectricalWiring, Live Machinery Fires, and All Flammable Liquid & Gas.5.4.3.15. Sand Bucket: Sand buckets should be wall mounted made from at least 24SWG sheet with bracket fixing on wall conforming to IS 2546.




5.4.3.16. Sign Boards: The sign board containing brief description of variouscomponents of the solar thermal AC system as well as the complete powerplant in general shall be installed at appropriate locations of the power plant.The Signboard shall be made of steel plate of not less than 3 mm. Letters on theboard shall be with appropriate illumination arrangements. The Contractorshall provide to the Company, detailed specifications of the sign boards.5.4.4. Solar Collectors5.4.4.1. The solar collectors will be placed on the ground of the administrativebuilding.For further information see thegoogle earth image.

The pipeline from the main building to the utility room (i.e. room made forchillers, controls etc.) be leading through the garden one meter below groundand it needs to be as short as possible. Identification tape must be laid 40cmabove the pipeline and the cables.5.4.6. Utility Room5.4.6.1. The Utility room is required for the Chiller and the control systems. Thelocation of transfer station in then administration building has been decided bythe project manager.5.4.6.2. The transfer station room must be constructed by the contractor.




5.5.Mechanical Requirements

5.5.1. Solar CPC Panel Mounting Structure5.5.1.1. The panel mounting structure should be designed for an optimum tilt angle(seasonal tilt adjustments) so as to meet the guaranteed performance for thesystem. The angle should be systematically optimized for maximum energygeneration for minimum three positions one each for summer and winter andone for the entire year.5.5.1.2. The panel mounting structure should be safe, and designed to allow easyreplacement of any panel and easy access to the O&M staff. It should bedesigned for simple mechanical and electrical installation, should support SolarCPC panel set a given orientation, absorb and transfer the mechanical loads tothe ground properly and there should be no requirement of welding orcomplex machinery at site.5.5.1.3. The CPC array structure shall be so designed that it will occupy minimum spacewithout sacrificing the output from Solar CPC panels at the same time it willwithstand severe cyclonic storm with wind speed up to maximum 150 kmph.5.5.1.4. The structure shall be designed for simple mechanical installation. It shallsupport Solar CPC panels at a given orientation, absorb and transfer themechanical loads to the ground properly. There shall be no requirement ofwelding or complex machinery at site and is strictly not allowed.5.5.1.5. Seismic factors for the site to be considered while making the design of thefoundation/ramming etc. or any technology. The design of array structure shallbe based on soil test report of the site and shall be approved from Company /Consultant.5.5.1.6. The frames and leg assemblies of the CPC panel array structures shall be madeof hot dip Galvanized steel per ASTM A123.5.5.1.7. In case of galvanization of structures, thickness of galvanization should be atleast 80 microns. Ensure inner side should also be galvanised.5.5.1.8. CPC panels shall be clamped / bolted with the structure properly. The materialof construction shall be GI / Al / Steel.5.5.1.9. CPC arrays shall be earthed through proper earthing arrangements.5.5.1.10. The material of construction, structural design and workmanship shall beappropriate with a factor of safety of not less than 1.5.




5.5.1.11. The Contractor / manufacturer shall specify installation details of the Solar CPCpanels and the support structures with appropriate diagrams and drawings.5.5.1.12. The Panel Mounting Structure design shall be certified by a charteredstructural engineer.5.5.1.13. All fasteners shall be of Stainless steel - SS 304. Nut & bolts, supportingstructures including the entire CPC structure shall have to be adequatelyprotected against all climatic condition specially protected from sulphur attack.5.5.1.14. The Contractor should design the structure height considering highest floodlevel at the site. The minimum clearance between the lower edge of the moduleand the ground shall be the higher of highest flood level at the site5.5.1.15. Communication / electrical cable should be passes from Pipes and Cable-tiesshall be used to hold and guide the Pipes (cables/wires).5.5.1.16. Civil foundation design for CPC panel array structures shall be made inaccordance with the Indian Standard Codes and soil conditions, with the help ofChartered Structural Designer having substantial experience in similar work.The Contractor shall submit the detailed structural design analysis along withcalculations and bases/ standards in the Bid.5.5.2. CPC panels5.5.2.1. Project shall only make use of ETC-CPC panels / modules.5.5.2.2. Total number of CPC panels to be supplied for the Project shall cumulativerated capacity of all solar CPC module under supply as per relevant IEC / MNRE/ BIS standard under STC conditions.5.5.2.3. The Project may consist of CPC panel 18 Evacuated tube in each configuration.5.5.2.4. The net rated and certified capacity of the panel at Standard Testing Conditions(STC) may be 2.4 litres.5.5.2.5. Minimum certified panels efficiency shall be ≥62 %. The Max. Stagnationtemperature of panel shall not be more than 272 °C.5.5.2.6. CPC module shall have module safety and should be highly reliable, lightweight and must have a service life of more than 25 years.5.5.2.7. The CPC module shall be made up of high absorptive &reflector shall have highreflectivity. The module frame shall be made of corrosion resistant material,which shall be electrically compatible with the structural material used formounting the modules.




5.5.2.8. The panel frame should have been made of Aluminium or corrosion resistantmaterial, which shall be electrolytically compatible with the structural materialused for mounting the panels with sufficient no. of grounding/installation.5.5.2.9. All materials used for manufacturing solar CPC panels shall have a provenhistory of reliability and stable operation in external applications. It shallperform satisfactorily in wintery conditions with a 400 W/m2 irradiation at anair temperature of 20 °C and shall withstand adverse climatic conditions, suchas high speed wind, blow with dust, sand particles, saline climatic / soilconditions and for wind 150 km/hr on the surface of the panel.5.5.2.10. Company or its authorized representative reserves the right to inspect thepanels at the manufacturer’s site prior to dispatch.5.5.2.11. 5.6.1. Remote monitoring System (RMS)5.6.1.1. Contractor shall provide the data over remote web-server with cloud storage ofdata and data visualisation using a static IP address, rights to control or modifythe same through appropriate arrangements.5.6.1.2. The cost of data plan during the project and O&M shall be borne by theContractor. At the end of the O&M, the same shall be transferred to theCompany at no extra cost.5.6.1.3. It shall also have local data logging and communication through Bluetooth /Wi-Fi and Ethernet port.5.6.1.4. The Remote Monitoring System shall be capable of sustaining maximum –minimum temperature, rainfall, wind gusts and UV radiation. The enclosureshall be IP65 for outdoor installation / IP21 for indoor installation.5.6.1.5. The Remote Monitoring System shall have capability to log and send data fromweather sensors.5.6.1.6. The data shall be available for every minimum 15 minutes interval.5.6.1.7. The system shall have sufficient internal memory storage to retain data for onecomplete year and shall have provision of expanding memory through externalmemory card / USB drive.5.6.1.8. The system shall be able to communicate wirelessly in a close proximity5.6.1.9. The Contractor shall provide to Company the detailed specifications, and alladministrative rights/ privileges / passwords to the string monitoring system.5.6.1.10. Contractor shall provide following measuring instruments with all necessarysoftware & hardware compatible with the Data logging and web basedmonitoring system.5.6.1.10.1. Temperature Sensor: Contractor shall provide suitable RTD typetemperature sensor with required weather shield as per Indian Standards.Instrument shall have a range of -5°C to 120°C.The temperature ofindividual clusters of the solar collectors are monitored for the temperatureof the hot water flowing through, and if any cluster temperature goes morethan the average of the temperature of all the clusters by a set amount, thenthere is an alarm and indication as to which cluster has this abnormality.This will help in checking the flow through it and correct any variations.5.6.1.10.3. Pressure Sensor: The Contractor shall provide Pressure sensor withrequired weather shield as per Indian Standards or ASTM Standards.Pressure sensor range should be according to application pressure withsome higher margin for safer operation. (Application can be Chiller/Hotwater/ AHU piping network).




5.6.1.10.4. RH (Relative Humidity) Hygrometer:The Contractor shall provide RH(Relative Humidity) Hygrometer to measure the humidity content in theatmosphere with valid calibration certificates which should be producedduring one month of the installation. Some provision should be made in AHUto measurement of RH of conditioned air.5.6.1.11. Each instrument shall be supplied with necessary cables. Calibration certificatewith calibration traceability to World Radiation Reference (WRR) or WorldRadiation Centre (WRC) shall be furnished along with the equipment. Thesignal cable length shall not exceed 20m. Contractor shall provide Instrumentmanual in hard and soft form.5.6.1.12. Reliable sensors for solar insolation, temperature and relative humidityparameters are to be supplied with the data logger unit.5.6.1.13. The data acquisition system shall measure, continuously record hot and coldwater supply and output of solar filed piping network, chiller and AHU system,ambient temperature of field, relative humidity (RH)%, fault messages, alarmsetc. in Indian Standard Time.5.6.1.14. All data shall be recorded chronologically date wise. The data file should be MSExcel compatible. The data logger shall have internal reliable battery backupand data storage capacity to record all sorts of data simultaneously round theclock. All data shall be stored in a common work sheet chronologically.Representation of monitored data in graphics mode or in tabulation form. Allinstantaneous data can be shown in the Computer Screen.5.6.1.15. Provision should be available for Remote Monitoring and Data Retrieval overweb server. Moreover, Contractor shall also provide one no. of PC withrequired hardware and licensed copies of software to make it fully functionalfor normal operation and data logging through Bluetooth / Wi Fi / RS portfrom the site.5.6.1.16. The Bill of Materials associated with the equipment must clearly indicateespecially the details about the PC and other accessories.5.6.1.17. The Data Acquisition System should be housed in appropriate enclosure tosustain outdoor environment as per generation design guidelines laid forenclosures. The same shall have provision of locking the same to prevent




unauthorized operation. Remote Monitoring System can be used for the visualrepresentation of the process. (This is also not a must).5.6.1.18. Remote Monitoring System shall provide 15 minute daily, monthly and annualaverage of following parameters:i. Exported hot water to chillerii. Hot and cooled water temperaturesiii. Solar Radiation from all three pyranometersiv. Ambient Temperaturev. Relative Humidity5.6.1.19. Remote Monitoring System shall have feature to be integrated with the localsystem as well remotely via the web using either a standard modem or aGSM/WIFI modem. The data should be able to get downloaded through user IDand password by logging on the website. Data of input, output, outages, savingsetc. shall be displayed in the form of appropriate visuals (graphs / charts /excel file etc.)The Contractor shall provide compatible software and hardwareso that data can be transmitted via. Standard modem.5.6.1.20. Remote Monitoring System shall be provided with reliable power supply alongwith backup supply for at least one hour to cater to outage of electricity.5.6.1.21. The Remote Monitoring System shall be compatible to the requirements formeasuring and reporting the guaranteed performance of the system asspecified in Appendix 15: Performance Guarantee Required.5.6.1.22. The Contractor shall provide all administrative rights/ privileges/ passwordsof the Remote Monitoring System to the Company.5.6.1.23. The Contractor shall submit the data sheet with technical specifications of theRemote Monitoring System.5.6.1.24. The PC shall be of Industrial type, rugged & robust in nature to operate in ahostile environment. The PC shall have minimum Intel Core 2 Duo processorhaving 2 X 150 GB HDD with 2 GB RAM. The PC shall also have 17” TFT Colormonitor, DVD Drive with Writer, Floppy Drive, USB drive, Scroll Mouse and UPSfor 4 hours Power back up.5.6.1.25. The printer shall be of industrial type, rugged & robust in nature and ofreputed make. The printer shall be equipped for printing, scanning, copyingand fax.




5.6.2. Automation system suggested for the solar hot water systems5.6.2.1. Safety systems1. Over temperature protectioni. If the water temperature in the circuit crosses the set point (say 95) thenthe safety solenoid valve opens in preset pulses and the hot water flows outof the system from the outlet of the pipe and the Hot Water Tank.ii. Make up water taken in to the system from expansion tank by gravityflowiii. There are separate such safety circuits for the collector loops and the Hotwater tanks.2. Excess Pressure protectioni. Though it is a non-pressurized system, in the unlikely event of the pressurein the system exceeding the set pressure, then the safety solenoid valveopens and the hot water flows out of the system, as explained above.5.6.2.2. Control Systems

1. Control of water temperature in the solar circuiti. The frequency of the VFD connected to the solar collector circuit pump is variedto pump in more water when the collector outlet hot water temperature is moreand vice versa2. Control of water levelsi. There is a level controller in the hot water tank that will give signals to open thesolenoid valve to maintain the water level.ii. Level controllers in the Hot water tanks to indicate the water level going belowthe set level.3. Flow controlsi. There is a flow meter or a BTU meter to monitor and log the quantity of hotwater flow in the solar collector circuit, to log the amount of heat collected fromthe solar heat.5.6.2.3. Lightening Arrestorsi. The design, manufacture, inspection, testing and performance of LightingArrester shall comply with all currently applicable statutes, safety codes,provision of latest Indian Electricity Act, Indian Electricity Rules andRegulations of Statutory Authorities.




ii. Contractor shall provide dedicated two earth pits for Lightening Arrestor as perrelevant IS standard.5.6.3. Sign or Indicator Boards / Platesi. Size of each Indicator Notice plates shall be 200 mm x 150 mm made of mildsteel sheet and at least 2 mm thick, and vitreous enamelled white on both sidesand with inscription in signal red colors on front side as required. Theinscriptions shall be in Gujarati and English.5.6.4. Fire Extinguishing Systemi. The installation shall meet all applicable statutory requirements, safetyregulations in terms of fire protectionii. Liquefied CO2 fire extinguisher shall be upright type of capacity 10 kg having IS:2171.7 IS: 10658 marked. The fire extinguisher shall be suitable for fighting fireof Oils, Solvents, Gases, Paints, Varnishes, Electrical Wiring, Live MachineryFires, and All Flammable Liquid & Gas. The individual elements of the system can be operated individually on a manualmode from the control panel located near the collector clusters.




iv. There are emergency switches provided at the monitoring point and the controlpanels.v. When the Emergency switch is pressed, the system will shut down in a plannedmanner based on the protocol programmed.5.6.7. Water Consumptioni. The mains water consumption for the cooling tower selected for minimum spilland evaporation losses and have to given by bidders, which will be metered bythe water meter. There is no loss from the solar hot water system as it is a closedcircuit, only one time filling required.ii. In order to save water, the listed arrangements below must be considered:a. efficient cooling unitsb. efficient water treatment (low waste water rate)c. high quality of pipe material and connections (pressure testing mandatory)d. low water consumption concept for solar collector cleaning5.6.8. Operation Testingi. The new Plant required to successfully tested by the technical main contractorand approved by the project manager. The operation testing is defined as below.

5.6.9. Written invitation to Company for witnessing and approvingi. Evaluation shall happen after completion of all activities mentioned hereunderand by giving written invitation to Company for witnessing and approving thesame.ii. Obtaining written certificate of commissioning of the facility and permission tooperate plant to supply conditioned air to the administrative building.iii. Inspection and successful commissioning certificate from the Company.




iv. Satisfactory completion certificate towards completion of all other contractualobligations by the Contractor from the Company.5.7.Comprehensive Operation and Maintenance Guarantee

5.7.1. Contractors shall separately quote for 10 years of Comprehensive Operation andMaintenance of the system, wherein the system should perform at a minimumannual guaranteed performance as mentioned in 3.14 and Appendix 15:Performance Guarantee Required, indicated by the Contractor for the first year ofinstallation.5.8.Working Methodology

5.8.1. Approvals5.8.1.1. All designs, specifications, reports etc. submitted or used by the Contractor atany point in time shall first be approved by the Company / Consultant andrevised by Company, if required, prior to execution.5.8.1.2. All designs, construction and procurement - electrical and civil, shall complywith regulations laid by GEDA/CEI(G)/MNRE/UNDP and/or any other agencyas and when applicable. Contractor shall make itself aware with suchrequirements and shall not depend on the Company to avail full information.5.8.1.3. The Contractor shall submit in the Bid a comprehensive project managementschedule in the form of a Gantt chart and shall be liable for abiding by theschedule.5.8.1.4. The Contractor shall submit in the Bid general engineering drawings of all civilwork, including but not limited to, layout of the cooling system at differentbuildings indicating rows of CPC panels, location of storage tanks, chillers andcooling tower, hot and coldwater lines, civil foundations and anchoring design /details, shading analysis and hot water generation estimation report, cooling airgeneration report etc.5.8.1.5. The Contractor shall submit in the Bid technical specifications / Drawings /Designs and datasheets for all mechanical work including but not limited tomechanical component of the system including CPC panels, pipes, connectors,valves, gauges, sensors, storage tanks, pumps, absorption chiller, cooling tower,monitoring and auxiliary systems, etc.




5.8.1.6. The Contractor shall submit a comprehensive maintenance schedule for 10years of comprehensive operation and maintenance of the solar thermal ACsystem and shall be liable for abiding by the schedule. All construction,operation and maintenance procedures shall be carried out through appropriaterelevant standards, regulations and labor laws.5.8.2. Planning and Designing5.9.1.1. The Contractor shall plan and design for the electrical / mechanical / civilrequirements including but not limited to system configuration, spaceoptimization, distance between rows of CPC, sufficient passage for vehicle andman-power movement in the system, mounting structures, location of storagetank, pipe line / duct routeing, selection of equipments and items, procurementplan etc. to enhance system output.5.9.1.2. The Contractor shall carry-out Shadow Analysis at the site and accordinglydesign strings and arrays layout considering optimal usage of space, materialand labour.5.9.1.3. All designs & drawings have to be developed based on the governing standardsand requirements of the project and also keeping in mind basic designspecifications.5.9.1.4. Company may approve minor deviations in the same which are meant forincreasing plant performance without sacrificing quality / workmanship norms.5.9.1.5. The Company reserves right to modify the specifications at any state as per localsite conditions / requirements5.10. Functional Specifications

5.10.1. Demand Requirement5.10.1.1. The plant is in continues day time operation from 9:30 am to 6:30 pmminimum. The plants must be controlled according the cooling and heatingdemand of the administrative building.5.10.2. Change-Over5.10.2.1. The whole plant can either be operated in the cooling or the heating mode.The change of the mode is called change-over. All pipework, instruments,exchanger, meters and so on are to be used for both mode. The change-overbetween cooling and heating needs to be done by a manual switch/ RMS




control. Within ten minutes from activating the switch to either side, therequired temperature and capacity need to be met at the exchangers. In orderto fulfil this requirement, it is recommended to build no cold or heat storageinto the cooling or heating circuit. The information in which mode the plantis, needs to be sent to the building controls of the building. For theseinterfaces see section5.10.9.5.10.3. Buffer Tank Management5.10.3.1. The cooling and heating buffer tanks are used as a hydraulic shunt. The tankcapacity must be designed in order to store the energy produced during theminimal running time of the absorption chiller. The tanks are changed overby the motorised damper.5.10.4. Maximal Pipeline Temperature5.10.4.1. The exposed pipe line must be protected by a self-operated safetytemperature limit.5.10.5. Minimal and Maximal Circuit Temperature5.10.5.1. The minimal and maximal temperature will be monitored by safetythermostats.5.10.6. Safety of Solar Circuit5.10.6.1. The temperature in the solar collector circuit must be kept under 110 ˚C. Thesolar circuit must be protected against high pressure and vapour deposition.5.10.7. Frost Protection5.10.7.1. No circuit will be run with antifreeze fluid. In case of temperature aroundfreezing point the plant will be protected to a certain extent by a forced pumpcirculation. The solar circuit has to be automatically drained, whentemperature reaching the freezing point.5.10.8. Controls5.10.8.1. Parameters will be controlled by the building control monitoring, which is alsopart of this tender. The control interfaces are shown below:

5.10.10.During adverse weather condition to produce required quantity of heat by CPCcollector, auxiliary heater electric input should supported by properconnections. The electrical energy supplied by company shall be measured bycertified meter (to be provided by Contractor) for measurement of auxiliaryconsumption.5.10.11.Noise Management5.10.11.1. In order to reduce the noise emission of the plant, a noise reduction functionneeds to be prepared.5.10.12.Criteria for Controls, Gauges & Sensors:5.10.11.1. Common Criteria:i. Branching from many branches to single branch or vice-versa, thereshould be Temperature& Pressure Sensors before and after branchconnections. Main branch should also have Temperature& PressureGauges additionally. Sensors should supply measured parameters to datalogger or configured computer system. This is shown in following figure.




ii. Pumps should be operated by control logic or online monitoringaccording to control demands in the system. Each pump should have VFDcontrol.iii. Inlet water pipe for the solar field pipe should have Temperature &Pressure sensors, control valves, VFD driven pumps, Check valves,strainers, and gauges as mentioned in above figure. Outlet water pipefrom the solar field should have pressure safety system and requiredcontrollers for its safer working.iv. AHU and Chiller should have Temperature & Pressure sensors at inlet andoutlet connections, and temperature and pressure gauges additionally atthe inlet connection. Strainers should be installed in the inlet connections.Flow measurement device should be installed at the chiller outlet tomeasure chilled water flow rate& hot water flow rate. AHU should havemeasurement device from various tapping points to measure pressuredrop across filter and coils and air flow rate at the outlet damper.v. Hot water tank should have Temperature & Pressure sensors,Temperature & Pressure gauges with safety system such as pressurerelief valve and other controllers.vi. Similarly consumption of water from tapping provided by Company shallalso be measured through appropriate flow meter.




6. General Terms and Conditions

6.1. Use of Contract Documents & Information6.1.1. The Contractor shall not, without GSECL’s prior written consent, disclose theContract or any provision thereof or any specification, plan, drawing, patterntherewith to any person other than person employed by the Contractor inperformance of the Contract. Disclosure to any such employed person shall bemade in confidence and shall extend strictly for purpose of performance only.6.1.2. The Contractor shall not, without GSECL’s prior written consent, make use ofany document or information except for purpose of performing the Contract.6.1.3. Any document other than the Contract itself shall remain the property of GSECL.6.2. Patent Rights6.2.1. The Contractor shall indemnify GSECL against third party claims ofinfringement of patent, trademark or industrial design rights arising from use ofgoods/design or any part thereof.6.3. Materials and Workmanship6.3.1. All materials shall be of the best quality and workmanship capable ofsatisfactory operation under the operating and climatic conditions as may bespecified. Unless otherwise specified, they shall conform in all respect to thelatest edition of the relevant Bureau of Indian Standard (BIS) specificationwherever Indian specifications apply or British Standard (BS) or InternationalElectro-technical Commission (IEC) or ASTM or ASHRAE or internationallyaccepted standard.6.3.2. The Contractor shall supply and deliver all equipment and materials forinstallation at site. The Contractor shall arrange for transportation, loading andunloading and safe storage of materials at project site at his own cost and risk.6.3.3. If the Contractor offers equipment manufactured in accordance with otherinternational well recognized standards, in that case, supply a copy in English ofthe Standard Specification adopted and shall clearly mention in what respectsuch standard specification differs from Indian Standard Specifications. Theplant, equipment, and materials offered by the Contractor should comply withone consistent set of Standards only as far as possible.




6.3.4. No deviation in foreign exchange rate shall be admissible at any point of timeafter submission of the Bid.6.4. Inter-changeability6.4.1. All the parts shall be made accurately to standard gauges and specifications soas to facilitate replacement and repairs. All corresponding parts of similarapparatus shall be inter-changeable.6.4.2. All equipments, material, parts etc.. Supplied, erected and commissioned forproject must be identical, interchangeable so that spares can be used in plants.6.5. Packing and Marking6.5.1. The Contractor shall be responsible for securely protecting and packing theplant and equipment as per prescribed standards in force to withstand thejourney and ensuring safety of materials and also arrival of materials atdestination in original condition and good for contemplated use. Packing casesize and weight shall take into consideration the remoteness of the goods’ finaldestination and absence of heavy material handling facilities at all points intransit.6.5.2. Packing lists of materials shall be provided in each package to facilitate checkingup of the contents at the destination.6.5.3. In order to import any items, associated with the Project, from abroad or fromany other state in India, the Contractor shall have to arrange any clearance,permission, if required at his own risk, from any Government (Government ofState and Government of India) or any Government (Government of State andGovernment of India) controlled organization for transportation of materialsfrom manufacturing shop to delivery at any site. Necessary certificates if sorequired shall be issued by GSECL within reasonable time after getting writtenrequest from the Bidder along with the necessary documents substantiatingnecessity of such approvals. All packing material is the property of GSECL andshall be immediately deposited by the Contractor to GSECL’s Store at Project Site.6.6. Negligence6.6.1. If the Contractor neglects to manufacture or supply the plant and equipmentwith due diligence and with expeditiousness or refuses or neglects to complywith any reasonable order given to it in writing by GSECL or contravenes any




provisions of the Contract, GSECL may give seven (7) seven days notice inwriting to the Contractor, to make good the failure, neglect or contraventioncomplained of. If the Contractor fails to comply with the notice within reasonabletime from the date of serving thereof, in the event of failure, neglect orcontravention capable of being made good within that time, then in such case, ifGSECL thinks fit, it shall be lawful for it to take the manufacture or supply ofplant wholly or in part, out of the Contractor’s hand and give it to another personon Contract at a reasonable price and GSECL shall be entitled to retain anybalance which may be otherwise due on the Contract by it to the Contractor orsuch part thereof as may be necessary, to the payment of the cost of manufactureor supply of such plant as aforesaid.6.6.2. If the cost of executing the work as aforesaid shall exceed the balance due to theContractor and the Contractor fails to make good such deficiency, GSECL shalltake action in the manner it may consider deem fit in terms of the Contract.6.7. Statutory Responsibility6.7.1. The Contractor shall comply with all applicable laws, by laws, rules, andregulations and shall procure and maintain their validity all necessary Municipal,Panchayat and Government permits & licenses etc. at its own cost.6.8. Insolvency and Breach of Contract6.8.1. GSECL may at any time by notice in writing summarily terminate the Contractwithout compensation to the Contractor in any of the following events:a. If the Contractor at any time, is adjudged insolvent or have a receiving orderor order from administration of its state made against it or shall take anyproceeding for compensation under any Insolvency Act for the time being inforce or make any conveyance or assignment with its creditors or suspendpayment. If the Contractor being a company is wound up voluntarily or by theorder of a court or a Receiver, Liquidator or manager on behalf of theDebenture holder is appointed or circumstances have arisen which entitle theCourt or debenture holder to appoint a Receiver, Liquidator or Manager.




6.9. Timeline6.9.1. The Contractor shall provide full programme of the supply in detail and deliveryschedule along with work schedule thereto. Strict adherence and guaranteeddelivery schedule mentioned in terms and conditions shall be the essence of theContract and delivery schedule must be maintained.6.9.2. The work must be completed in as such a way that entire plant is to becommissioned on or before 1st March, 2017.6.9.3. The Contractor shall also provide a Bar/ PERT Chart indicating completionschedule for various items involved in the work within the stipulated completionperiod and the Contractor should strictly adhere to that schedule.6.9.4. The issue of LoI shall be considered as the Zero Date6.9.5. The Bar/ PERT Chart provided by the Contractor shall submitted to Company /Consultant for approval prior to commencement of the execution of the Project.All comments and modifications provided by Company / Consultant shall beincorporated and adhered to by the Contractor in the Timeline, Bar/ PERT Chart,detailed execution plan, etc. for execution of the Project.6.9.6. This schedule shall be prepared so as to ensure the commissioning of completeplant on before 1st March, 2017.6.9.7. Partial commissioning of the solar thermal AC System shall not be considered.6.10. Delay in Execution or Failure to Supply6.10.1. Any delay in completion of the work shall attract liquidated damage/ penaltyfor late completion as per Liquidated Damage Clause 6.11 of this Tender.6.10.2. If the Contractor fails to deliver the plant or fails to start the work withinspecified time frame after issue of LoI or leaves the work site after partialexecution of the work, GSECL shall have the right to get the work done throughany other agency at the risk and cost of the Contractor. Further to this, GSECLmay, without prejudice to the right of the Contractor to recover damages forbreach of trust of the Contract, may impose penalties.6.11. Liquidated Damages for Delay and Underperformance

A. Delay in Commissioning6.11.1. In case the Contractor fails to achieve successful completion of the contractualduties followed by commissioning of plant by the due date indicated in Timeline




Clause 6.9.2, then GSECL shall levy the Liquidated Damages on the Contractor(wherein partial commissioning shall not be accepted).6.11.2. The Liquidated Damages levied to the Contractor shall be equal to financial losson account of loss of revenue or loss of incentives or lapse of subsidy on accountof delay in achieving satisfactory completion of the project followed bycommissioning and certification of the same by designated authority like GEDA /MNRE / UNDP etc. on account of delay in completion / commissioning byContractor.6.11.3. The maximum time period allowed (with penalty) delay for Commissioning ofthe Project shall be ten (10) months from the date of issue of LoI. In case of delayfor more than ten (10) months, GSECL may terminate the Contract and get theProject complete by other suitable agency at the risk and cost of the Contractor.6.11.4. For calculation of penalty, date of LoI shall be the reference date.B. Underperformance6.11.5. At the time of the Operational Acceptance Test, any shortfall in the Coefficient ofPerformance (CoP),conditioned air at the AHU outlet, hot water/chilled water asdetermined through the Test Procedure and will attract imposition of LiquidatedDamages. For any shortfall in CoP below 0.70 by the bidder, a penalty shall belevied at the rate of 1% of the EPC Contract Value (including taxes & duties) perday for reduction in CoP by fraction of 0.1 for the period till which plant isobserved underperforming.6.11.6. In case the CoP and combined performance as per Appendix 15: PerformanceGuarantee Required tested as mentioned above remain below than submitted,the Contractor shall make all necessary corrections in minimum possible timeand again commence the above test, within 7 days, so as to demonstrate theequal to submitted. Each time, the penalty at the rate specified above shall belevied on the Contractor. The penalty shall be deducted from the Bank Guaranteeand pending payments.6.11.7. If the “Actual Performance Realized” at metering point is less than the base CoPand combined performance data (corresponding to CoP and data quoted for 1styear of O&M) based on the procedure mentioned in the Appendix 16, then theentire Performance Bank Guarantee shall be encashed by the Company.




6.12. Penalty for Underperformance during O&M6.12.1. Guaranteed uptime for the plant shall be 99%. All schedule / unscheduledmaintenance to be undertaken during non – sunny period only. In case plant isnon – operation for whatsoever reasons other than those caused from Company,the same needs to be rectified within 48 hours of occurrence of plant shut –down.6.12.2. For each Contract Year, the Contractor shall demonstrate “Actual PerformanceRealized” at the Metering Point as compared to the ‘CoP and combined

performance data ’ for the particular year (calculated as per the methodologygiven in Appendix 15).6.12.3. If for any Contract Year, it is found that the “Actual Guaranteed Output” is lessthan ‘Base CoP and combined performance data’ for the particular year, theContractor shall pay the compensation to Company at the rate of 1% of the EPCContract Value (including taxes & duties) per day for reduction in CoP by fractionof 0.1 for the period till which plant is observed underperforming. In addition,Company will also recover from the Contractor, the full penalty due to lessoutput , All penalties shall be recovered from payments yet to be made byCompany to the Contractor and/ or from .the Bank Guarantees available withCompany.6.12.4. In case of any defect in the system after Commissioning, the Contractor shallrepair it within forty eight (48) hours. After 48 hours, penalty shall be chargedand the same shall be deducted from the Bank Guarantee submitted to CompanyA penalty at the rate of Rs. 25000 per day shall be charged by the company forthe loss of generation. The loss of generation shall be calculated with respect tothe CoP and combined performance data given in Appendix 15 of that particularyear based on the actual radiation.6.12.5. In case the Project fails to generate any conditioned air or hot water and chilledwater output continuously for 6 months any time during the O&M period, it shallbe considered as an “Event of Default”.6.12.6. Upon occurrence of any Event of Default mentioned in Clause 6.12.5 hereinabove, Company shall have the right to encash the entire amount of O&M BankGuarantee submitted by the Contractor and withheld any other pendingpayment.




6.12.7. The Company reserves the right to perform random audits of weathermonitoring system of the plant anytime during the entire O&M period. If anydiscrepancy is found between the measured parameters, the difference betweenthe measured parameters by Company from secondary sources and the weathermonitoring system installed by the Contractor at the site will be factored incalculating the adjusted CoP and combined parameters during the entire year.However, GSECL will have the final authority to decide on this matter.6.13. Defect Liability6.13.1. The Contractor must warrant that the facilities or any part thereof shall be freefrom defects in the design, engineering, materials and workmanship of the Plantand Equipment supplied and of the work executed.6.13.2. If it shall appear to the authorized representative of the Company that anysupplies have been executed with unsound, imperfect or unskilled workmanship,or with materials of any inferior description, or that any materials or articlesprovided by the Contractor for the execution of Contract are unsound orotherwise not in accordance with the Contract, the Contractor shall on demandin writing inform the authorized representative of the Company specifying theitem, materials or articles complained of, notwithstanding that the same mayhave been inadvertently or otherwise passed, certified and paid for. TheContractor shall forthwith rectify or remove and replace that item so specifiedand provide other proper and suitable materials or articles at its own charge andcost, and in the event of failure to do so within a period to be specified by theauthorized representative of the Company in its demand aforesaid, the ProjectManager may on expiry of notice period rectify or remove and re-execute thetime or remove and replace with others, the materials or articles complained ofas the case may be at the risk and cost in all respects of the Contractor. Thedecisions of the authorized representative of the Company as to any questionarising under this Clause shall be final and conclusive.6.13.3. The Contractor shall be liable for the operation and maintenance of the Facilityand consequently shall be required to rectify any defects that emerge during theoperation of the Facilities for the entire term of this Contract. The Defect LiabilityPeriod shall be eighteen (18) months from the date of expiry or early




termination of this Contract (“Defects Liability Period”) including the operationand maintenance period.6.13.4. If during the Defect Liability Period any defect found in the design, engineering,materials and workmanship of the Plant and Equipment supplied or of the workexecuted by the Contractor, the Contractor shall promptly, in consultation andagreement with GSECL regarding appropriate remedying of the defects, and atits cost, repair, replace or otherwise make good (as the Contractor shall, at itsdiscretion, determine) such defect as well as any damage to the Facilities causedby such defect.6.13.5. Furthermore, without prejudice to the generality of the foregoing, it is clarifiedthat the Contractor shall also be responsible for the repair, replacement ormaking good of any defect or of any damage to the Facilities arising out of orresulting from any of the following causes:a. Improper operation or maintenance of the Facilities by the Contractor duringoperation and maintenance of the Facility; orb. Operation of the Facilities violating specifications of the Facilities.6.13.6. Company shall give the Contractor a notice stating the nature of any such defecttogether with all available evidence thereof, promptly following the discoverythereof. Company shall afford all reasonable opportunity for the Contractor toinspect any such defect.6.13.7. Company shall provide the Contractor all necessary access to the Facilities andthe Site to enable the Contractor to perform its obligations.6.13.8. The Contractor may, with the consent of the Company, remove from the Site anyPlant and Equipment or any part of the Facilities that are defective, if the natureof the defect and/ or any damage to the Facilities caused by the defect is suchthat repairs cannot be expeditiously carried out at the Site.6.13.9. If the repair, replacement or making good is of such a nature that it may affectthe efficiency of the Facilities or any part thereof, the Company may give to theContractor a notice requiring that tests of the defective part of the Facilities shallbe made by the Contractor immediately upon completion of such remedial work,whereupon the Contractor shall carry out such tests.6.13.10. If such part fails the tests, the Contractor shall carry out further repair,replacement or making good (as the case may be) until that part of the




Facilities passes such tests. The tests, in character, shall in any case be notinferior to what has already been agreed upon by Company and the Contractorfor the original equipment/part of the Facilities.6.13.11. If the Contractor fails to commence the work necessary to remedy such defector any damage to the Facilities caused by such defect within a reasonable time(which shall in no event be considered to be less than seven (7) days), theCompany may, following notice to the Contractor, proceed to do such work,and the reasonable costs incurred by Company in connection therewith shallbe paid to Company by the Contractor or may be deducted by the Companyfrom any monies due to the Contractor or claimed under the PerformanceGuarantee, without prejudice to other rights, which Company may have againstthe Contractor in respect of such defects.6.13.12. If the Facilities or any part thereof cannot be used by reason of such defectand/ or making good of such defect, the Defect Liability Period of the Facilitiesor such part, as the case may be, shall be extended by a period equal to theperiod during which the Facilities or such part cannot be used by the Companybecause of any of the aforesaid reasons. Upon correction of the defects in theFacilities or any part thereof by repair/ replacement, such repair/ replacementshall have the defect liability period of eighteen (18) months from suchreplacement.6.13.13. In addition, the Contractor shall also provide an extended warranty for anysuch component of the Facilities and for the period of time. Such obligationshall be in addition to the Defect Liability Period specified under Clause 6.13.3.6.14. Termination for Default6.14.1. The Company may, without prejudice to any other remedy for breach ofContract, by written notice of default sent to the Contractor, terminate theContract in whole or in part if the Contractor fails to deliver or execute any or allof the goods within the time period(s) under the Contract or any extensionthereof granted by Company pursuant to the clause for Delay in Execution orFailure to Supply or, If the Contractor fails to perform any other obligations(s)under the Contract.6.14.2. In the event the Company terminates the Contract in whole or in part, pursuantto above, the Company may procure, upon such terms and in such manner as it




deems appropriate, goods similar to those undelivered, the Contractor shall beliable to the Company for any excess costs for such similar goods. However, theContractor shall continue the performance of the Contract to the extent notterminated.6.14.3. In case the Contractor is not able to demonstrate the “Actual PerformanceRealized” as per the “Base CoP and combined performance data” based on theprocedure mentioned in Appendix 15 during the Performance Guarantee Testand after the penalties levied as mentioned in Clause 6.12.; Company reservesthe right to terminate the Contract at its discretion if there are no efforts aremade from the Contractor to correct the issues regarding plant performance.6.14.4. In case termination of the Contract due to default, the Contractor may beblacklisted by Company and Consultants and its associate companies, etc. forfuture work.6.15. Breach and Cancellation of the Contract6.15.1. In case of non-performance in any form or change of the covenant andconditions of the Contract by the Contractor, the Company shall have the powerto annul, rescind, cancel or terminate the order and upon its notifying in writingto the Contractor that it has so done, this Contract shall absolutely determine.The decision of the Company in this regard shall be final and binding.6.15.2. The Company may cancel the order or a portion thereof, and if so purchase orauthorize purchase of the plant/equipment not so delivered or order Plant/Equipment of similar description (opinion of the Company shall be final) at therisk and cost of the Contractor.6.16. Force Majeure6.16.1. In the event of either party being rendered unable by Force Majeure to performany obligation required to be performed by them under this Contract, relativeobligation of the party affected by such Force Majeure shall be treated assuspended during which the Force Majeure Clause lasts.6.16.2. The term “Force Majeure” shall have herein mean riots (other than among theContractor’s employee), Civil commotion, War (whether declared or not),invasion, act of foreign enemies hostilities, civil war, rebellion, revolution,insurrection, military coup, damage from aircraft, nuclear fission, embargoes,




quarantines, acts of god such as earthquake (above 7.0 magnitude on Richterscales), lightning, unprecedented floods, fires not caused by the Contractorsnegligence and other causes which the Contractor has no control and accepted assuch by GSECL whose decision shall be final and binding. Normal rainy seasonand monsoons are not Force Majeure.6.16.3. Upon occurrence of such causes and upon its termination, the party alleging thatit has been rendered unable as aforesaid, thereby, shall notify the other party inwriting by registered notice within 24 (twenty four) hours of the allegedbeginning and ending thereof giving full particulars and satisfactory evidence insupport of its claim.6.16.4. Time for performance of the relative obligation suspended by the Force Majeureshall stand extended by the period for which such clause lasts.6.16.5. If works are suspended by Force Majeure conditions lasting for more than two(2) months, Company shall have the option of cancelling this Contract in wholeor part thereof, at its discretion.6.16.6. The Contractor shall not claim any compensation for Force Majeure conditionsand shall take appropriate steps to insure men and materials utilized by it underthe Contract well in advance.6.17. Progress Report of Work6.17.1. The Contractor shall submit a weekly progress report on execution of worksconforming to Bar/ PERT Chart and format provided by GSECL. In case of anyslippage(s) or delay in execution of work reasons for such delay along withdetails of hindrances will be submitted by the Contractor along with modifiedBar/ PERT Chart mentioning the action plan being taken to keep the due date ofcompletion of project unchanged. If required, the Contractor shall use additionalmanpower to keep the due date of completion of Project unchanged.6.17.2. The authorized representative of the Contractor shall review the progress of theProject work every fortnight on a prefixed day at project site with Company orits representative as per the network and record the minutes.6.18. Insurance6.18.1. During the construction period, i.e. before the handing over of the Project, allinsurance related expenses shall be borne by the Contractor. The goods supplied




under the Contract shall be fully insured against the loss or damage incidental tomanufacture or acquisition, transportation, storage, delivery, theft, natural orother disaster, etc. in such a manner that the Company shall not incur anyfinancial loss, as long as the construction of the Project continues to remainunder the custody of the Contractor.6.18.2. In case of any loss or damage or pilferage or theft or fire accident orcombination of the said incidents etc. under the coverage of insurance, theContractor shall lodge the claim as per rules of insurance. Any FIR required to belodged to local Police Station shall be the responsibility of the Contractor.6.18.3. The Contractor shall arrange to supply/ rectify/ recover the materials even ifthe claim is unsettled for timely completion of the Project. The final financialsettlement with the insurance company shall be rested upon the Contractor.6.18.4. In case of any delay of the Project attributable to the Contractor, the Contractorhimself in consultation with the Company should take the extension of insurance.Any financial implications shall, however, be borne by the Contractor.6.18.5. The Contractor shall arrange for providing insurance coverage to its workmenunder Workmen’s Compensation Act or similar Rules and Acts as applicableduring execution of work for covering risk against any mishap to its workmen.The Contractor shall also undertake a Third Party Insurance. The Company shallnot be responsible for any such loss or mishap.6.18.6. Comprehensive insurance is to be arranged by the Contractor during the O&Mperiod of the Contract.6.18.7. At the end of the term of insurance undertaken by the Contractor, theContractor shall provide all the necessary documents to the satisfaction of theCompany in order to enable the Company to take up the insurance of the Plant.6.19. Statutory Acts, Rules and Standards6.19.1. The work shall be executed in conformity with the relevant standard of Bureauof Indian Specification (or equivalent International Standard), Electricity Rules,2010 (as amended up to date), Indian Electricity Act, BARC/DAE rules, ExplosiveAct 1948, Petroleum Act 1934, National Building Code and relevant Rules invogue at the time of execution including operation and maintenance period.




6.20. Tools and Tackles6.20.1. The Contractor shall provide technically suitable tools and tackles forinstallation & erection of Plant and Machineries conforming to relevant BISsafety and technical standards for proper execution of work. The Company, in noway, shall be responsible for supply of any tools and tackles for implementationof the work and also to carry out operation and maintenance activities.6.21. Safety Measures6.21.1. The Contractor shall have to provide necessary and adequate safety measuresincluding personal protective equipment and precautions to avoid any accident,which may cause damage to any equipment/ material or injury to workmen. TheCompany shall not be responsible for any such accidents.6.22. Hazardous Material6.22.1. Any hazardous material used during construction or used as part of the planthas to be taken back by the supplier for recycling or dumping purpose after itsoperating/ working life, so that it may not affect the environment or any livingbeing. The Contractor shall comply with the State Pollution Board regulation.6.23. Stoppage of Work6.23.1. The Company shall not be responsible and not liable to pay any compensationdue to stoppage of work as a reaction from local public due to any undue actionon the part of the Contractor causing annoyance to local people.6.24. Hindrance Register6.24.1. The Contractor may also maintain a Hindrance Register where reasons for delaymay be recorded from time to time and at the time of occurrence of thehindrance and get it duly certified by the Project Manager or his authorizedrepresentative.6.25. Responsibility of the Contractor6.25.1. The Contractor shall provide guarantee and be entirely responsible for theexecution of the Contract in accordance with this Tender including but notlimited to its specification, schedules, and annexure. The Contractor shall furtherprovide guarantee and be responsible for the quality and workmanship of all




materials and completed works, correct designs and drawings, correct deliveryof material, erection, testing and commissioning including operation andmaintenance.6.26. Right of the Company to Make Change(s) in Design6.26.1. All designs shall be approved by Companyprior to the execution of such designs.6.26.2. The Company shall have the right to make any change in the design, which maybe necessary in the opinion of Companyto make the plant and materials conformto the provisions and contents of the specification without extra cost toCompany.6.27. Manuals6.27.1. The Contractor shall supply all necessary erection and commissioning manuals,O&M manuals etc. as and when required. Six sets of test results, manuals etc.shall be submitted by the Contractor on completion of the work in hard and softcopies.6.28. Governing Language6.28.1. The Contract shall be written in English Language. All correspondence anddocuments pertaining to the Contract, which are exchanged by the Company andContractor, shall be written in English.6.29. Order Amendments6.29.1. No variation in or modification of the terms of the contract shall be made exceptby written amendments issued by the Company.6.30. Assignments or Subletting of Contract6.30.1. The Contractor shall not, without the prior consent in writing of the Company,assign or sublet or transfer its Contract in whole or in part, its obligations toperform under the Contract or a substantial part thereof, other than rawmaterials, or for any part of the work of which makers are named in the Contract,provided that any such consent shall not relieve the Contractor from anyobligation, duty or responsibility under the Contract.




6.31. Subcontracts6.31.1. The Contractor shall notify the Company in writing of all subcontracts awardedunder the Contract if not already specified in his Bid. Such notification in itsoriginal Bid or later shall not relieve the Contractor from any liability orobligation under the Contract.6.31.2. Subcontracting a work shall not, under any circumstances, relieve theContractor from its obligations towards the Project and the Company.6.31.3. In case, the Contractor engages any Subcontractor to carry out a part of thework, the Subcontractor should have requisite Government License for carryingout such part of the work.6.32. Inspection and Testing6.32.1. The Company or its authorized representative including appointed Consultantfor the project shall have, at all times, access to the Contractor’s premises andalso shall have the power to inspect and examine the materials andworkmanship of project work during its manufacture, shop assembly and testing.If part of the plant is required to be manufactured in the premises other than theContractor’s, the necessary permission for inspection shall be obtained by theContractor on behalf of GSECL or its duly authorized representative.6.32.2. GSECL shall have the right to serve notice in writing to the Contractor on anygrounds of objections, which he may have in respect of the work. The Contractorhas to satisfy the objection, otherwise, the Company at his liberty may reject allor any component of plant or workmanship connected with such work.6.32.3. The Contractor shall issue request letter to Company or his authorizedrepresentative for testing of any component of the plant, which is ready fortesting at least Seven (7) days in advance from the date of actual date of testingat the premises of the Contractor or elsewhere. When the inspection and thetests have been satisfactorily completed at the Contractor’s works, Companyshall issue a certificate to that effect. However, the Company at its own discretionmay waive the inspection and testing in writing under very specialcircumstances. In such case, the Contractor may proceed with the tests whichshall be deemed to have been made in Company’s presence, and it shall forthwithforward six (6) sets of duly certified copies of test results and certificates to theCompany for approval of the Company. The Contractor, on receipt of written




acceptance from Company, may dispatch the equipment for erection andinstallation.6.32.4. For all tests to be carried out, whether in the premises of the Contractor or anySubcontractor or the supplier, the Contractor, shall provide labour, materials,electricity, fuel, water, stores, apparatus and instruments etc. free of charge asmay reasonably be demanded to carry out such tests of the plant in accordancewith the Contract. The Contractor shall provide all facilities to Company or itsauthorized representative to accomplish such testing.6.32.5. The Company or his authorized representative shall have the right to carry outinward inspection of the items on delivery at the Site and if the items have beenfound to be not in line with the approved specifications, shall have the liberty toreject the same.6.32.6. If the Company desires, testing of any component(s) of the plant be carried outby an independent agency, the inspection fee, if any, shall be paid by theCompany. However, the Contractor shall render all necessary help to Companywhenever required free of charge.6.32.7. The Contractor has to provide the necessary testing reports to Company as andwhen required.6.32.8. Neither the waiving of inspection nor acceptance after inspection by Companyshall, in anyway, absolve the Contractor of the responsibility of supplying theplant and equipment strictly in accordance with specification and drawings etc.6.33. Authorized Test Centres6.33.1. The CPC panels, storage tank, absorption chiller, pipes, wires, etc. deployed inthe AC system shall have valid test certificates for their qualification as per abovespecified ASTM / BIS Standards by one of the NABL Accredited Test Centres inIndia. In case of module or other equipment for which such Test facilities maynot exist in India, test certificates from reputed ILAC Member Labs abroad willbe acceptable.6.34. Delivery of Equipment6.34.1. (i) The Contractor shall deliver the equipment of the plant and machineries inaccordance with the terms of the Contract at the time(s) to the place(s) and inthe manner specified in the Contract. The Contractor shall comply with




instructions that may be given by the Company from time to time regarding thetransit of the plant and material.(ii) Mode of DispatchThe material shall be dispatched on door delivery basis and shall be consigned toThe Chief Engineer (Gen)Gujarat State Electricity Corporation LimitedThermal Power Station, GSECLGandhinagar – 382041Gujarat6.34.2. Notification of delivery or dispatch in regard to each and every consignmentshall be made to the Company immediately after dispatch or delivery from themanufacturing works. The Contractor shall supply to the consignee Invoice intriplicate and packing account of all stores delivered or dispatched by him.6.34.3. In case of any occurrence of loss or damage in transit, it shall be the liability ofthe Contractor to initiate or pursue the claim with the Insurance company. Itshould take immediate steps to repair the damaged apparatus or replacementthere to.6.35. Liabilities during Transit6.35.1. The Contractor shall be responsible for loss, damages, or depreciation to goodsor of system, equipment, and machineries up to delivery at the Site.6.36. Deduction from Contract Price6.36.1. All costs, claims, damages or expenses, which the Company may have paid forwhich the Contractor is liable, will be deducted by the Company from depositedbank guarantees or from any money due or which become due to him under thisContract or any contract are being executed elsewhere with the Company.6.36.2. Any sum of money due and payable to the Contractor, as per the ContractAgreement, may be appropriated by the Company and set off against any claim ofthe Company, for the payment of a sum of money arising out of or under anyother contract made by the Contractor with the Company. It is an agreed term ofthe Contract that the sum of money, withheld or obtained under this clause bythe Company, will be kept withhold or retained as such by the Company or tillthis claim arising out of in the same Contract is either mutually settled ordetermined by the arbitrator, or by competent court, as the case may be, and thatthe Contractor shall have no claim for interest or damages whatsoever on this




account or any other account in respect of any sum of money withheld orretained under this clause and duly notified as such to the Contractor.6.37. Terms of Payment6.37.1. The Company shall pay the Contractor in the following manner for supply ofmaterial and at the following time for achieving the respective milestones:Sr. Payment Milestones Amount

EPC Contract Value “EPC Contract Price” (including taxes) quoted by theContractor in its Financial Proposal. All supply of equipment shall be considered for payment on a pro-rata basis ofpayment milestones.6.38. Payments6.38.1. Subject to any deduction which the Company may be authorized to make underthis Contract, and or to any additions or deductions provided for in this Contract,the Contractor shall be entitled to payment as follows:Bidder has to submit all the invoices in triplicate along with original supportingdocument for all payments related to project & O&M to:The Chief Engineer (Gen), Gujarat State Electricity Corporation Limited, ThermalPower Station, Gandhinagar 382041, Gujarat.The copy of project related invoices are to be submitted to:The Chief Engineer (P&P), Corporate Office, GSECL, Vadodara-390007, Gujarat.




a. All payments shall be made in Indian Rupees, unless otherwise specified inthe LoI/Contract Agreement. All payment shall be made on the basis of actualmeasurement for the quantified items as per schedule of works / completionof milestone activity by Gandhinagar TPS.b. The Contractor shall submit the bill / invoice for the work executed showingseparately VAT, Service Taxes and any other statutory levies in the bill /invoice. All taxes and deductions shall be applicable as per prevailing income tax andother statutory rules and provisions in force.6.39. Warranty/ Guarantee6.39.1. The system shall perform as per the Guaranteed Performance indicated by theBidder in its Financial Proposal.6.39.2. CPC panels used in generation of hot water in solar thermal AC system must bewarranted for peak output for a period of 25 years.6.39.3. The CPC panels shall be warranted for at least 25 years for failures due tomaterial defects and workmanship6.39.4. The Contractor shall ensure that the goods supplied under the Contract are new,unused and of most recent or current models and incorporate all recentimprovements in design and materials unless provided otherwise in theContract.6.39.5. The warranty / guarantee period shall be as follows:a. Solar CPC Panels: Panels shall be warranted for a minimum period of 25years in the Bidder’s detailed Warranty/ Guarantee certificate. Same shall befurnished with its Bid.b. Storage / Buffer Tank: Storage/Buffer tank shall be warranted for theguarantee period provided by the original equipment manufacturer. Sameshall be furnished with its Bid.c. Absorption Chiller, associated insulations, pipes and others: Bidder shallfurnish in detail its warranties/ guarantees for these items.




6.39.6. During the period of Warranty/ Guarantee the Contractor shall remain liable toreplace any defective parts, that becomes defective in the Plant, of its ownmanufacture or that of its Subcontractors, under the conditions provided for bythe Contract under and arising solely from faulty design, materials orworkmanship, provided such defective parts are not repairable at Site. Afterreplacement the defective parts shall be returned to the Contractors works at theexpense of the Contractor unless otherwise arranged.6.39.7. At the end of Guarantee period, the Contractor’s liability shall cease. In respectof goods not covered above, GSECL shall be entitled to the benefit of suchGuarantee given to the Contractor by the original Contractor or manufacturer ofsuch goods.6.39.8. During the Operation and Maintenance and Guarantee period, the Contractorshall be responsible for any defects in the work due to faulty workmanship ordue to use of sub-standard materials in the work. Any defects in the work duringthe guarantee period shall therefore, be rectified by the Contractor without anyextra cost to GSECL within a reasonable time as may be considered from the dateof receipt of such intimation from GSECL failing which GSECL shall take uprectification work at the risk and cost of the Contractor.6.39.9. Material Warranty:Material Warranty is defined as: The manufacturer should warrant the CPCPanels to be free from the defects and/or failures specified below for aperiod not less than ten (10) years from the date of sale to the Company: Defects and/or failures due to manufacturing defects and/or failures dueto materials, including optical defects Non-conformity to specifications due to faulty manufacturing and/orinspection processes.If the solar CPCPanel(s) fails to conform to this warranty, themanufacturer will repair or replace the CPC panels at GSECL’s solediscretion.(a) Performance Warranty:




The manufacturer should warrant the output of Solar CPC Panel(s) basedsolar thermal AC system for at least 95% of its rated power at the end of 25years from the date of receipt of modules on Site.If, Panel(s) fail(s) to exhibit such output in prescribed time span, theContractor will either deliver additional CPC Panel(s) to replace the reducedoutput or repair or replace the CPC Panel(s) with no change in area of landused at Company’s sole discretion. Total land available from GSECL is fixedand the bidder shall design the plant so that in this case he has enough spacewithin this land to accommodate additional capacity.Chiller should have performance warranty to give desired CoP at full loadwithout fail. AHU should have noise free with proper panel thickness andfilters according to ASHRAE standard. Fan should be properly balanced andshould not cause vibration due to rotation.6.40. Arbitration6.40.1. All matters, questions, disputes, differences and / or claims arising out of and /or concerning, and /or in connection with, and /or in consequence of, and /orrelating to any contract, whether or not obligations of either or both theCertifying agency and the Corporation under that contract be subsisting at thetime of such dispute and whether or not the contract has been terminated orpurported to be terminated or completed, shall be referred to the solearbitration of MD, GSECL or an officer appointed by MD, GSECL as his nominee.The award of the Arbitrator shall be final and binding on both the parties to thecontract.6.40.2. The objection that the Arbitrator has to deal with matters, to which the contractrelates, in the course of his duties or, he has expressed his views on any or all ofthe matters in dispute or difference, shall not be considered as a valid objection.6.40.3. The Arbitrator may, from time to time, with the consent of the parties to thecontract enlarge the time for making the award. The venue of the arbitrationshall be Vadodara.6.40.4. All questions, disputes or differences whatever which may at any time arisebetween the parties to this contract in connection with the contract or anymatter arising out of or in relation thereto shall be reported to Gujarat Public




Works Contract Dispute Arbitration Tribunal and provision of Gujarat PublicWork Contract Disputes Arbitration and Tribunal Act 1996 shall be applied asupdates time to time.6.41. Court of Competent Jurisdiction6.41.1. The Courts of Vadodara for GSECL shall have exclusive jurisdiction in all mattersarising under the Contract.6.42. Law and Procedure6.42.1. The law which is to apply to the Contract and under which the Contract is to beconstrued shall be Indian Law.6.43. Construction of Contract6.43.1. The Contract shall in all respect be construed and operated, as a Contract asdefined in the Indian Contracts Act, 1872, and all the payments there under shallbe made in Indian Rupees unless otherwise specified.6.44. Notices6.44.1. For all purpose of the Contract, including arbitration there under, the address ofthe Contractor mentioned in the Bid shall be the address to which allcommunications addressed to the Contractor shall be sent, unless the Contractorhas notified a change by a separate letter containing no other communicationand sent by registered post with acknowledgement due to GSECL. The Contractorshall be solely responsible for the consequence of an omission to notify change ofaddress in the manner aforesaid.6.44.2. Any communication or notice on behalf of the Company in relation to theContract Agreement may be issued to the Contractor by the Company and allsuch communication and notice may be served on the Contractor either byregistered post or under certificate of posting or by ordinary post or by handdelivery at the option of the officer.6.44.3. Instructions or notices to the Contractor and notices from the Contractor toGSECL recorded in a minute signed by the authorized representatives of bothGSECL and the Contractor. Such notice or instruction shall be valid notice ofinstruction for the purpose of the Contract.




6.45. Final Bill6.45.1. The Final EPC Bill relating to the Contract shall be prepared only after thePerformance Guaranteed Test of the plant has been observed and it will includethe adjustments of all claims against the Contractor by the Company andawarded in its favour by the arbitrator up to the date of preparation of the finalbill.6.45.2. The Operation and Maintenance shall be comprehensive. The maintenanceservice provided shall ensure project functioning of the Solar Thermal AC systemas a whole to the extent covered in the Contract. All preventive / routinemaintenance and breakdown / corrective maintenance required for ensuringmaximum uptime shall have to be provided. Accordingly, the ComprehensiveOperation &Maintenance shall have two distinct components as describedbelow:6.45.3. Preventive / Routine Maintenance: This shall be done by the Contractorregularly and shall include activities such as cleaning and checking the health ofthe Solar thermal AC system, cleaning of module surface, checking insulation ofthe pipes, tightening of all valves , and any other activity that may be required forproper functioning of the Solar Thermal AC system as a whole. Necessarymaintenance activities, Preventive and Routine maintenance of entire systemalso shall be included.6.45.4. Breakdown / Corrective maintenance: Whenever a fault has occurred, theContractor has to attend to rectify the fault & the fault must be rectified within48hrs time from the time of occurrence of fault failing which the Contractor willbe penalized as per terms& conditions under Performance Guarantee and underWarranty.6.45.5. The Contractor may ensure adequate insurance of Solar Thermal AC systemsagainst robbery, theft and acts of God such as natural calamities, flood etc. Thedate of Comprehensive Operation & Maintenance Contract period shall begin onthe date of demonstration of guaranteed annual CoP and combined performancedata. Detailed scope of comprehensive operation & maintenance has beendescribed in Chapter 5 of this document. However, operation of the Systemmeans operation of system as per bidding schedule and workmanship in order tokeep the project trouble free covering the guarantee period.




6.46. Degradation of CPC Panels6.46.1. If Panel(s) fail(s) to exhibit required thermal energy output, the Contractor willeither:a. Deliver additional CPC Panel(s) to replacethe loss of output; <or>b. Repair or replace the existing CPC Panel(s) <or>c. Compensate Company with an amountequivalent to the loss of savings from the date of audit to 26th years whichshall be calculated based on Net Present Value of amount of loss of revenuesfrom the date of audit to 26th years discounted at the rate of Company’s costof capital.6.47. Risk Purchase6.47.1. If the Contractor fails, on receipt of the LoI, to take up the work within areasonable period or leave the work Site after partial execution of the work,GSECL shall have the liberty to get the work done through other agency at theContractor’s own risk and additional cost if any. If the situation, so warrants, tocompel Company to cancel the LoA placed on the Contractor, it shall be liable tocompensate the loss or damage, which Company may sustain due to reasons offailure on Contractor’s part to execute the work in time.6.48. Confidential Information6.48.1. Company and the Contractor shall keep confidential and shall not, without thewritten consent of the other Party hereto, divulge to any third party anydocuments, data or other information furnished directly or indirectly by theother Party hereto in connection with the Contract, whether such informationhas been furnished prior to, during or following termination of the Contract.Notwithstanding the above, the Contractor may furnish to its Subcontractor(s)such documents, data and other information it receives from GSECL to the extentrequired for the Subcontractor(s) to perform its work under the Contract, in




which event the Contractor shall obtain from such Subcontractor(s) anundertaking of confidentiality similar to that imposed on the Contractor underthis Clause 6.48.6.48.2. Notwithstanding the generality of the foregoing Clause 6.48.1, all maps, plans,drawings, specifications, schemes and the subject matter contained therein andall other information given to the Contractor, by the Company in connection withthe performance of the Contract shall be held confidential by the Contractor andshall remain the property of the Company and shall not be used or disclosed tothird parties by the Contractor for any purpose other than for which they havebeen supplied or prepared. The Contractor may disclose to third parties, uponexecution of secrecy agreements satisfactory to the Company, such part of thedrawings, specifications or information if such disclosure is necessary for theperformance of the Contract.6.48.3. Maps, layouts and photographs of the unit/integrated plant including itssurrounding region's showing vital installation for national security shall not bepublished or disclosed to the third parties or taken out of the country withoutprior written approval of the Company and upon execution of secrecyagreements satisfactory to the Company with such third parties prior todisclosure.6.48.4. Title to secret processes, if any, developed by the Contractor on an exclusivebasis and employed in the design of the unit shall remain with the Contractor.The Company shall hold in confidence such process and shall not disclose suchprocesses to the third parties without prior approval of the Contractor andexecution by such third parties of secrecy agreements satisfactory to theContractor prior to disclosure.6.48.5. Technical specifications, drawings, flow sheets, norms, calculations, diagrams,interpretations of the test results, schematics, layouts and such otherinformation which the Contractor has supplied to the Company under theContract shall be passed on to the Company. The Company shall have the right touse these for construction erection, start-up, commissioning, operation,maintenance, modifications and/ or expansion of the unit including for themanufacture of spare parts.




6.48.6. The obligation of a party under this Clause 6.48, however, shall not apply to thatinformation which:a. now or hereafter enters the public domain through no fault of that Party,b. can be proven to have been possessed by that Party at the time of disclosureand which was not previously obtained, directly or indirectly, from the otherParty hereto, orc. otherwise lawfully becomes available to that Party from a third party that hasno obligation of Confidentiality.6.48.7. The above provisions of this Clause 6.48 shall not in any way modify anyundertaking of Confidentiality given by either of the Parties hereto prior to thedate of the Contract in respect of the Facilities or any part thereof.6.48.8. The provisions of this Clause 6.48 shall survive Termination, for whateverreason, of the Contract. --- End of Section ---




7. Special Terms and Condition7.1. Definition7.1.1. The General Terms and Conditions as well as the Special Terms and Conditionsof the Tender are complementary to each other, and wherever there is a conflict,the Special Terms and Conditions shall prevail.7.2. Objective of the Project7.2.1. The main objective of this project is “Engineering, Procurement, Constructionand Commissioning of Concentrated Solar Thermal (CST) - Compound ParabolicCollector (CPC) Based 150 TR Air – Conditioning Plant at Administrative Buildingof Power Station (GTPS), Gandhinagar, Gujarat with10 years ComprehensiveOperation and Maintenance” to supply conditioned air at the outlet of AHU,hot/chilled water, CoP for the air conditioning requirement of theadministrative building at GTPS.7.3. Compliance with GUVNL Guidelines7.3.1. The Bidders and Contractor shall make themselves fully aware of and complywith the norms and guidelines provided by GUVNL if any, towards the Project.7.3.2. The Contractor shall ensure that the Project shall comply with all the norms andguidelines of GUVNL/ if any, and subsequent clarifications or amendmentsissued from time to time. The Contractor is required to refer the compliancedocuments of GUVNL/ if any, for necessary compliances of GSECL/GUVNL/requirements.7.3.3. In case of any conflict between the compliance of GUVNL and this Tender or anyaspect of the Project, the Contractor shall immediately notify GSECL for clarity.7.3.4. Any changes in the Tender or the Contract including but not limited to the Scopeof Work, Guarantees and Warranties to comply with the guidelines or provisionsof the Scheme under which this project is being executed shall have no bearingon the EPC Contract Price & O&M Contract Price.7.4. Project Site7.4.1. Details of the Project Site will be as per theAnnexure-2




7.5. Scope of Service7.5.1. The item of work to be performed on all equipment and accessories shallinclude but not limited to the following:a. Transportation, unloading, receiving andstorage at site.b. Arranging to repair and/or re-order alldamaged or short-supply items.c. Final check-up of equipment andcommissioning and putting the system into successful operation, delivery ofrequired conditioned air at the output of AHU.7.6. Training of GSECL’s Personnel7.6.1. The Bidder shall provide training on Plant operations and maintenance to three(3) teams of 5-10 personnel each (Engineers and Technician/ Operators) ofGSECL as and when requested by GSECL.7.7. Mode of Execution7.7.1. The entire work shall be executed on turnkey basis. Any minor item(s) notincluded in the schedule but required for completion of the work shall have to becarried out/ supplied without any extra cost. Such works, not listed in theschedule of works but elaborately described to perform or to facilitate particularoperation(s) required for completion of the project shall be deemed to have beenincluded in the scope of this work and the Contractor shall supply, install thesame without any extra cost.7.8. Programme of Work7.8.1. The Contractor shall submit the programme of work within 15 days from thedate of receipt of Letter of Intent. The programme shall include a Bar Chartindicating there in the starting position and completion date of each of the majoritems of work.7.9. Starting of Work7.9.1. The Contractor shall be required to start the work within 15 (fifteen) days fromthe date of issue of Letter of Intent and shall thereof, report to GSECLaccordingly.




7.10. Completion Schedule7.10.1. The time of completion and Commissioning of the Plant as per Tender Noticethereafter 10 year of O&M Contract from the date of commissioning of the plant.7.10.2. The Contractor shall inform GSECL at least Seven (7) days advanced preliminarywritten notice and at least fifteen (3) days advanced final written notice, of thedate on which it intends to commission the plant.7.10.3. The Contractor shall prepare the completion schedule accordingly andinconformity with provisions of technical specifications and carry out the workas per this schedule subject to “Force Majeure” conditions. The Contractor shallmobilize resources keeping in view, the above scheduled completion period.7.11. Site Inspection & Basis of Bid7.11.1. The volume and quantity of work indicated in schedule of works may vary. TheContractor should visit the Site before quoting rate for civil works. After taking into consideration all aspects of the site, condition of soil etc., the Contractorshould quote for civil works. No extra claim will be entertained at post biddingstage. The foundation design of module structure and the building shall have tobe approved by GSECL. In case of any defects arising in the building duringguarantee period, the Contractor shall have to rectify the same at its own cost.7.12. Price Escalation7.12.1. The rate(s) quoted against the work shall remain firm during the entireContract period.7.13. Taxes and Duties7.13.1. The price quoted shall be exclusive of all applicable taxes, duties, levies asapplicable (as per the format of the Financial Proposal), which shall be paid onproduction of documentary evidences for the same.7.13.2. Bidders shall quote the rates as well as taxes and duties based on theconcessional exemption in the same that can be availed by the Bidder.7.13.3. Statutory variations in the tax shall be permitted as under:(A) Statutory variations during original contractual completion period :(i) If any increase takes place in taxes and duties due to statutory variation, thenGSECL shall admit the same on production of documentary evidences.




(ii) If any decrease takes place in taxes and duties due to statutory variation, thesame shall be passed on to GSECL or GSECL shall admit the decreased rate oftaxes and duties while making the payment.(B) Statutory variations beyond original contractual completion period :(i) If reasons for extension of contractual completion period is attributable solely toGSECL, the provisions of (A) (i) above shall apply.(ii) If reasons for extension of contractual completion period is attributable toBidder, then:(a) If any increase takes place in taxes and duties due to statutory variation,then GSECL shall not admit the same; however GSECL shall admit the taxesand duties at the rate prevailing during payment of last invoice raisedduring original contract completion period.(b) If any decrease takes place in taxes and duties due to statutory variation,the same shall be passed on to GSECL or GSECL shall admit the decreasedrate of taxes and duties while making the payment.7.13.4. Variation on account of exchange rate will not be payable. No statutoryvariation shall be payable by GSECL on the input items. i.e. raw materials etc.7.13.5. No statutory variation shall be admitted if the excise duty becomes payablebecause of exceeding of the prescribed limits for turnover of the Bidder.7.14. Procurement of Materials7.14.1. The Contractor shall procure all necessary material required for the projectwork and arrange to store them properly. Test certificate in accordance with thespecifications are to be furnished by the Contractor to GSECL for approval inrespect of the materials procured by the Contractor.7.15. Samples7.15.1. Apart from adhering to special provision made in the specification regardingsubmission of samples, the Contractor shall within fifteen (15) days of its receiptof Letter of Intent, provide to GSECL samples as per the directive of GSECL alongwith detailed literature of all materials it proposes to use irrespective of the factthat specific make/ material might have been stipulated. If certain itemsproposed to be used are of such nature that samples cannot be presented orprepared at Site, detailed literature / test certificate of the same shall be




provided instead. GSECL shall check the samples and give his comments and/orapproval to the same.7.16. Notice of Operation7.16.1. The Contractor shall not carry out important operation without the consent inwriting of GSECL or his representative. For carrying out such important activity,the Contractor shall intimate to GSECL at least seventy two (72) hours beforestarting of the job.7.17. Rejection of Materials7.17.1. GSECL’s decision in regard to the quality of the material and workmanship willbe final. The Contractors at its own cost and risk without any compensation shallimmediately remove any material rejected by the Project Manager or Engineer-in-Charge from the Site of work.7.18. L.T Power and Water Supply7.18.1. The GSECL shall provide single point connection for the Power Supply at the siteat free of cost.7.18.2. The GSECL shall also provide single point connection for the tap water at theproject site at free of cost.7.18.3. GSECL shall not provide facility for storage of material, and accommodation forlabours at site. The Contractor shall make his own arrangement for the same.7.19. Labour Engagement7.19.1. The Contractor shall be responsible to provide all wages and allied benefits toits labours engaged for execution of the project work and also to carry outOperation and Maintenance service. The Contractor shall remain liable to theauthorities concerned for compliance of the respective existing rules andregulations of the government for this purpose and shall remain liable for anycontravention thereof.7.19.2. Strict adherence of various applicable labour laws like the Factories Act,Minimum Wages Act, ESI Act, Payment of Wages Act, the Workman‟sCompensation Act, EPF Act, Contractor labour (Regulation & Abolition) Act, 1970and all other statutory requirements as amended from time to time to the entiresatisfaction of Central/State Govt. Authorities, shall be the responsibility of the




Contractor and he shall have to make good loss, if any, suffered by GSECL onaccount of default in this regard by the Contractor.7.19.3. The contractor is encouraged to use local manpower as per the local statutory(labour) requirement, if any.7.20. Handing Over –Taking Over7.20.1. The Project shall be taken over by GSECL upon successful completion of all tasksto be performed at Site(s) on equipment supplied, installed, erected andCommissioned by the Contractor in accordance with provision of this Tender.During handing over complete Project work, the Contractor shall submit thefollowing for considering final payment:a. All as- Built Drawings;b. Detailed Engineering Document withdetailed specification, schematic drawing, circuit drawing and test results,manuals for all deliverable items, Operation, Maintenance & SafetyInstruction Manual and other information about the project;c. Bill of material; andd. Inventory of spares at projects Site.e. Copies of all warranties/guarantees.7.20.2. Immediately after taking over of complete Plant, the same will be handed overto the Contractor for Operation & Maintenance for a period as mentioned in theTender.7.20.3. Handing over will be done only after Completion of Facilities and successfulOperational Acceptance Test.7.21. Termination on the death of Contractor7.21.1. Without prejudice to any of the rights or remedies under this contract, if theContractor dies, the Engineer-in-Charge on behalf of GSECL shall have the optionof terminating the Contract without compensation to the contractor.7.22. Retired Government servants taking to Contract7.22.1. No engineer of gazette rank or other gazette officer employed in engineering oradministrative duties in the Engineering Department of the Company is allowedto work as contractor for a period of two years of his retirement from Company's




service without the previous permission of the Company. This contract is liableto be cancelled if either the contractor or any of his employees is found at anytime to be a person who had not obtained the permission of the Company asaforesaid before submission of the tender or engagement in the contractor'sservice as the case may be.7.23. EPF7.23.1. The contractor will deduct and deposit EPF of his labour staff/worker asapplicable from time to time in his own EPF A/c code and then produce aphotocopy of documentary evidence of EPF Challan with each R.A. Bill for theconcerned period.7.24. Miscellaneous7.24.1. The project manager appointed by EPC contractor shall not be replaced withoutthe prior written approval of GSECL.7.24.2. Any project manager or member of the Contractor at Site shall be replacedwithin a period of forty eight (48) hours of intimation by GSECL withoutassigning any reason thereof.7.24.3. The Contractor shall take care of all statutory, local clearance, approvals, etc.7.24.4. All warranties on the equipment shall be in the name of GSECL with reference tothe Clause No.6.39.7.24.5. The Contractor shall be responsible for claiming and retaining any subsidy andshall quote only final price and responsibility of Project registration/applications etc. shall lie with the Bidder only. In no case, GSECL is responsible toprovide any additional amount other than the EPC Contract Price & O&MContract Price.7.24.6. The Contractor shall provide arrangement for water drainage, which shall beappropriately arranged for dispersion/ evacuation as per the local statutorynorms without causing any local inconvenience or hindrance.7.24.7. The design philosophy and related specifications mentioned in this Tender areto be treated as baseline specifications. The Contractor may further improve thedesign of the Plant through minor modifications and execute the samecontingent on GSECL’s approval of the new design or specification.




7.24.8. Based on reviewing the Project, if the progress is below expectation as judgedbased on GSECL’s discretion, then GSECL shall reduce the Scope of the Contractorin part or full and assign the same to other contractor(s) at the risk and cost ofthe existing Contractor.7.24.9. The Contractor shall continue to provide all the monitoring services, licenses,software, access to all information (real-time or stored) that were been usedduring the O&M Contract period by the Contractor to GSECL at the time of handover at no extra cost to GSECL for the rest of the life of the Plant.7.24.10. The Contractor shall construct a dedicated site office including tables, chairs,functional power outlets, light, fan air conditioner, etc. for at least eight (8)people to host GSECL’s employees or authorized representatives at the time ofconstruction of the Plant.7.24.11. Provision for installing any additional monitoring equipment to facilitate on-line transfer of data shall be provided by the Contractor at the request of GSECL.--- End of Section ---

Appendix 15: Performance Guarantee Required

1. Performance SpecificationsThe General Scope of Work includes commissioning of the system corresponding to theguaranteed performance of the system. It should include guaranteed conditioned airquality (Temperature, RH, Filtration, flow rate etc.) according to ASHRAE ventilationand comfort standards. AHU fan (backward curved) should be selected such that atoperating speed, noise should be in reasonable range. Contractor shall operate andmaintain the facility and shall demonstrate guaranteed performance of the system inthe form of Total Heat production (kw) and Total chilled water production (kilo litre) asshown in following Table A.A. Combined Performance Parametersi. According to weather information available, Solar Thermal Air conditioningsystem should be give following outcome shown in the Table A.ii. Based on the average annual GHI figures of Gandhinagar for 3 years shown inAnnexure 2: Details of Plant Location and Site, It shall offer Total Heatproduction (kw) and Total chilled water production (kilo litre) should beminimum as mentioned in Table A.iii. The details have to be worked on a monthly basis duringthe tender submission forthe Performance Guarantee.iv. The chilled water flow to the AHU should have to be between 7 and 12deg Celsius.v. The quantity of chilled water to be supplied from the chiller without useconsuming auxiliary power shall be provided as mentioned in the table

B. Coefficient of Performance - CoPi. The coefficient of Performance should be measured for checking chillerperformance. It should not be less than value submitted by bidder.ii. For the calculation of CoP, or other performance parameters, Absorber chillershould have measurement instrument (i.e. flow meter, Temperaturegauge/sensor, Pressure Gauge/sensor as mentioned in Section 5).iii. For this calculation, bidder have to give specific heat capacity Cp(KJ/Kg-C) ofworking fluids at the time of submission of tender.iv. CoP should not be less than 0.70 under full load performance.

The measurement to be done for the Guarantee will be by1. The measurement of the energy supplied from the Collectorduring sun shinehours is to be measured and getting data logging on per minutebasis.




2. The chilled water/hot water flow to the AHU is to be measured with a flow meterand the chilled/ hot water temperature differential is to be measured with temperaturesensors on continuous basis and the data is to be logged on per minute basis.3. The data thus logged is to be stored in the cloud and visualized to generate theheat produced and the chilled water supplied MIS information on real time basis tomonitor the performance.

1. OverviewThe Gandhinagar Thermal Power Station is located at Gandhinagar, the capital ofGujarat near Ahmedabad. It is a Coal Based Power Station. It is on the bank ofSabarmati River. There are two units of 120 MW each (Unit no. 1 & 2), three units of210 MW each (Unit no. 3, 4 & 5) with a total installed capacity of 870 MW. All theabove units are of BHEL make. Commissioning dates of unit no. 1 to 5 are13.03.1977, 10.04.1977, 20.03.1990, 20.07.1991 and 17.03.1998 respectively.Thelocation of the site is shown in the map below Figure.2. Basic Site Details

Site Location :The site is located in the outer periphery of Gandhinagar city, State: Gujarat. Thegeographical location of the Site is at Latitude: 23.14’57”⁰ N and Longitude:72⁰40’15” E.
