6.2 The RFI submissions should address an approach to collect the following information:

6.2.1 The audit deliverables report should include the following data:

a. Name of the DC or federal government agency occupying the facility;

b. Address of the building;

c. Number of vending machines in the building;

d. Location of the vending machine in each building;

e. Identify the type of vending machine (i.e. snack, beverages, combination, gum

ball machine, cold food merchandiser, hot food merchandiser, hot beverage

machine)

f. Name of vending company(s) servicing the machines in the building;

g. Confirm if the vending machines have credit card transaction systems; and

h. Confirm if the vending machines are energy efficient or equipped with devices

that conserve energy usage.

6.2.2. Describe anticipated challenges a contractor may encounter in attempting to access thegovernment properties, i.e., security clearances and government issued identificationcards.

6.2.3. Describe the knowledge, skills, and abilities needed for a contractor to perform an auditof this nature.

6.2.4. Discuss any other challenges or areas of consideration not identified in the RFIdeliverables.

6.2.5. Estimated cost to audit buildings owned or leased by the District of Columbia andestimated time to complete the audit.

6.2.6. Estimated cost to audit buildings owned or leased by the federal government along withan estimated time to complete the audit.

6.2.7. Identify manpower required to execute audits, i.e. FTE count, and any possiblesubcontractor involvement.

6.2.8. Attached are documents that will be included in the RSVFP’s solicitation for vendingmachine provider(s). Use this information to assist in providing the deliverables listedabove.

7. BACKGROUND:

7.1 The Randolph Sheppard Vending Facilities Program (RSVFP) is a vocationalrehabilitation program that supports the development of business enterprises for legallyblind licensed managers. The Program operates under the auspices of the Department onDisability Services (DDS), Rehabilitation Services Administration (RSA). Under Codeof Federal Regulations 34, Part 395-Vending Facility Program for the Blind on Federaland Other Properties, the Randolph Sheppard Act and the District of Columbia MunicipalRegulations 29 Chapter 2 Blind Vendors Program. The RSA is authorized by the U.S.Department of Education as the State Licensing Agency (SLA) to administer the RSVFP.The RSVFP provides business opportunities, training and remunerative employment forindividuals that are legally blind and are assigned to manned vending facilities (includingbut not limited to snack bars, cafeterias, card shops, dry cleaners, newsstands) on Federaland District properties. RSVFP also works in conjunction with the city and federalproperty managing officials of Federal and District government agencies to provideautomatic vending machine services.

7.2 The RSVFP receives written requests for vending machine services from Federal andDistrict Government agencies. Based on the need and proximity of current providersassigned to location, the SLA assigns a commercial vending machine provider to servicethe agency. Vending commissions are used to support program operations, mannedvending facility operations, and pension capital for licensed blind vendors of theprogram.

7.3 Within 45 business days of the installation of vending machines, the commercial vendingprovider forwards a commission statement and a commission check. The commissionreport identifies the location, type of machine, gross sales, and net sales of each machine.An RSVFP personnel receives and processes the commission report and check. Thevending commission revenues are deposited, distributed, and tracked within theRelational Standard Accounting & Reporting System (R-STARS) and ProcurementAutomated Support System (PASS). R-STARS and PASS are District of ColumbiaGovernment financial management systems under the auspice of the District of ColumbiaOffice of the Chief Financial Officer.

7.4 In 2011, RSVFP issued a solicitation to consolidate the vending machine services under asingle company. See Attachment 1. Ultimately, the solicitation was cancelled becausethere were numerous uncertainties that could not be quantified and questions thatrequired additional information. RSVFP is issuing this RFI for a vending machine auditwith the intent to gather information that will be pertinent to issuing a solicitation toprocure a contractor to audit automatic vending machines located on federal and DistrictGovernment buildings. Based on the audit findings in input from potential vendors,RSVFP intends to identify interested vendors, compile finding to prepare and issue asolicitation for a commercial vending company or companies to service all automaticvending machines located on Federal and District Government properties on behalf ofRSVFP.

7.5 To assist in the completion of the RFI, RSVFP is providing the following information:

7.5.1 There are 1039 owned or leased DC Government properties in Washington DC.See Attachment 2.

7.5.2 RSVFP receives vending commissions from 309 vending machines located onproperties owned or leased by DC Government [excluding DC Public Schoolsand DC Charter Schools]. Commissions are received monthly from commercialvending machine providers. See Attachment 3.

7.5.3 RSVFP receives vending commissions from 2784 vending machines located onproperties owned or leased by the Federal government. Commissions arereceived monthly from commercial vending machine providers. See Attachment4

7.5.4 Vending commission collections in fiscal year 2009-2012 were approximately$1.2 million dollars per year.

8. RESPONSES

8.1 Interested parties are requested to respond to this RFI with a white paper.

8.2 White papers in Microsoft Word for Office compatible format are due no later thanFebruary 14, 2014, at 4 p.m. EST. Responses shall be limited to 10 pages andsubmitted via e-mail to [[email protected] and cc: [email protected]].Proprietary information, if any, should be minimized and MUST BE CLEARLYMARKED. To aid the District, please segregate proprietary information. Please beadvised that all submissions become District property and will not be returned. If anyrespondee does not currently have a Proprietary Data Protection Agreement (PDPA) thatwould permit other contractors or District staff to review and evaluate white paperssubmitted in response to this RFI, the respondee is requested to sign PDPAs for thispurpose.

8.3 Section 1 of the white paper shall provide administrative information, and shall includethe following as a minimum:

8.3.1 Name, mailing address, overnight delivery address (if different from mailingaddress), phone number, fax number, and e-mail of designated point of contact.

8.3.2 Recommended contracting strategy.

8.3.3 Whether the organization is a certified District CBE. In order to be eligible forCBE certification, a business must meet a local standard to demonstrate that it is abona fide District-based business. Among other requirements, the business musthave its principal office located in the District and the chief executive officer andhighest level managerial employees of the business must maintain their office andperform their managerial functions in the District. In addition, the business mustmeet one of four standards: it must have more than 50% of its assets located in theDistrict; more than 50% of its total sales or other revenues derived fromtransactions in the District; more than 50% of its employees must be Districtresidents; or, more than 50% of the owners must be District residents.

8.3.4 The facility security clearance of the offeror.

8.4 Section 2 of the white paper shall answer the issues addressed in Section 6 of this RFI andshall be limited to 10 pages.

9. Industry Discussions

Discussions at the pre-response conference would only be intended to get further clarification ofpotential capability to meet the requirements, especially any development and certification risks.

10. Questions

Questions regarding this announcement shall be submitted in writing by e-mail to the Contractspecialist and Contracting Officer shown. Verbal questions will NOT be accepted. Questionswill be answered by posting answers to the OCP and DDS websites; accordingly, questions shallNOT contain proprietary or classified information. The Government does not guarantee thatquestions received after February 6, 2014 will be answered. .

11. Summary

THIS IS A REQUEST FOR INFORMATION (RFI) ONLY to identify sources that can provideinput necessary to procure a District and Federal Government Property Vending Machine Audit,and a separate solicitation to procure the services of a single contractor responsible for the

SECTION B: CONTRACT TYPE, SUPPLIES OR SERVICES AND PRICE/COST

B.1 The Government of the District of Columbia, Department on Disability Services (the “District”),Rehabilitation Services Administration, Randolph Sheppard Vending Facilities Program (RSVFP)is seeking a contractor to provide vending machine services throughout the District of Columbia inall federal and District Government buildings under the authority of the District’s RandolphSheppard Vending Facilities Program (RSVFP).

B.2 The District contemplates award to one prime contractor based on the highest average gross salespercentage paid to the District as offered in Table 1.

B.3 Price Schedule of Goods is listed as Table 1. The pricing schedule is established based on typicalsales of products sold in the vending facility locations operated by RSVFP blind programparticipants. Prices are subject to change annually based on the U.S. Bureau of Labor StatisticsConsumer Price Index for “retail food” not to exceed three percent per year.

required by law. For contracts in excess of $250,000, at least 35% of the dollar volume of thecontract shall be subcontracted in accordance with section H.9.1.

SECTION C: SPECIFICATIONS/WORK STATEMENT

C.1 SCOPE:

The Vending Machine Service Contract serves to provide vending machine products such as soda,juice, water, snacks foods, fruit, salads, and other products that can be provided via cold and dryfood vending machines meeting the Fit Pick Standards established by the National AutomaticMerchandising Association as of September 2010. Thirty percent of the products sold in beverageand snack machines must meet the minimum Fit Pick Standards whereby 35% of total calories arederived from fat, 10% of calories from saturated fats and 35% of total product weight from sugar.For more information regarding Fit Pick log on to www.FitPick.org. This contract also serves toprovide delivery, maintenance, repair, and replacement of machines owned, leased or contracted tothe Bidder as necessary and approved by the Contracting Officer’s Technical Representative(COTR).

The District intends to award one contract for a full range of vending machine services forapproximately 800 buildings located on federal and District Government properties in the Districtof Columbia containing approximately 4,000 vending machines. The Contractor must be awarethat background checks for staff access to federal and District Government properties may take upto six months for completion.

Federal & District Property: any building, land or other real property owned, leased, or occupiedby any department, agency or instrumentality of the United States (including the Department ofDefense and the United States postal Service), or any other instrumentality wholly owned by theUnited States, or by any department or agency of the District of Columbia or any territory orpossession of the United States.

Fit Pick Program: Lists products that meet the healthy food selections as defined by theAmerican Heart Association, 2005 USDA Dietary Guidelines for Americans and Alliance for aHealthier Generation.

Gross Vending Machine Commission Income: income paid to the District based on the valueof sales before deducting customer discounts, allowances, returns, or other expenses. Thisincome is collected from vending machines located on federal and District Governmentproperties under the jurisdiction of the SLA-RSVFP.

Prime Contractor - The vending company that is awarded this contract. A list of currentvending machine service providers and their current assigned locations will be provided to theprime contractor to encourage subcontracting opportunities.

Rehabilitation Services Administration (RSA)-Randolph Sheppard Vending FacilitiesProgram (RSVFP) - an administration within the Department on Disability Services that is thedesignated as the State Licensing Agency to manage the RSVFP.

State Licensing Agency (SLA): the State agency designated by the Secretary of the USDepartment of Education under the Act to issue licenses to blind persons for the operation ofvending facilities on Federal and other property.

Vending Machine: a machine that accepts coin, currency and credit card and/or bank debitcards for the purchase of food and beverages.

C.4 BACKGROUND

C.4.1 The RSVFP is a business enterprise for legally blind licensed managers. Vending machineincome provides management support to the SLA/RSVFP functions, pension income for theprogram participants and monthly income to the program participants.

C.4.2 The Program operates under the auspices of DDS, RSA. Under Code of Federal Regulations 34,Part 395-Vending Facility Program for the Blind on Federal and Other Properties, theRandolph Sheppard Act and the District of Columbia Municipal Regulations 29 Chapter 2Blind Vendors Program. The RSA is authorized by the U.S. Department of Education as theSLA to administer the Randolph Sheppard Vending Facilities Program. The Program providesbusiness opportunities, training and remunerative employment for the legally blind individualswho are assigned to vending facilities (including but not limited to snack bars, cafeterias, cardshops, dry cleaners, and newsstands) located on Federal and District properties.

C.4.3 Currently, the RSVFP engages in Full Service Vending Agreements with nineteen vendingmachine providers to service RSVFP designated buildings. The SLA receives written requestsfor vending services from Federal and District Government agencies. The SLA selects avending machine provider to fulfill the request based on the building population and proximityof the current provider to the assigned location. Immediately upon assignment, the full servicevending agreement is amended to include the new location. Within 45 business days of theprior month closing, the vending companies mail a vending commission report and check to theRSVFP based on the negotiated commission rate from the Full Service Vending Agreement.Attachment 5 provides an example of a vending commission report.

C.5 REQUIREMENTS

C.5.1 The Contractor shall become the prime contractor for all vending machines currently located inthe Federal and District Government owned or leased buildings under the purview of theRSVFP.

C.5.2 Immediately after Contract award, the Contractor shall work collaboratively with SLA toinventory the existing vending machines by type and location within 14 days after Contractaward.

C.5.3 Additional vending locations developed by the SLA/RSVFP after the Contract is awardedshall become the responsibility of the Contractor to service and assign to subcontractors.

C.5.4 Vending machines operated by the Contractor which are not listed with the SLA/RSVFP butthat are located on federal and District Government properties shall be reported to theSLA/RSVFP within 10 working days of being identified by the Contractor. These locations andvending machines shall become part of the Contract and will be bound by the same standards,specification, and performance as defined in the Contract following approval by the SLA/RSVFPto add the equipment to the Contractor’s inventory.

C.5.5 The Contractor shall establish vending machine product pricing in accordance with Table 1 ofSection B.3 at all locations.

C.5.6 The contractor shall work efficiently with minimal disruptions to the SLA/RSVFP’s normalbusiness.

C.5.7 The contractor shall respond to service requests made by the SLA/RSVFP, federal and/orDistrict agency partner within twenty four hours and provide on-site personnel within twentyfour hours or less to service or repair malfunctioning machines.

C.5.8 The contractor shall keep vending machines in proper mechanical and electrical workingorder at all times. All equipment shall be clean, attractive and in good sanitary condition tothe satisfaction of industry standards.

C.5.9 Contractor must provide an easy and efficient process for refunding money lost due to

C.5.9 Vending Machine Standards and Specifications

C.5.9.1 The Contractor shall provide at least thirty (30) percent of products meeting the Fit Pickguidelines in each vending machine whereby no more than seventy percent of productincludes traditional vending products and at least thirty percent meet the Fit Pick guidelines.The Fit Pick items must be easily identified by the consumer when making their selection.

C.5.9.2 The Contractor shall provide high quality, fresh merchandise. All food products will be removedfrom vending machines on the date that their freshness dating expires. All products will beconsidered past dated according to the date stamped on the manufacturers’ package. A varietyof vended goods will be provided in a manner so the customers are offered choices at frequentintervals. The Contractor must provide an equal number of Pepsi and Coke products at in amanner where both products are available within a reasonable distance from the. The Districtshall determine whether Contractor’s food is of satisfactory quality and whether sufficientvariety is being offered. The District reserves the right to request specific products to bedispensed in vending machines on its premises and shall have the final right of approval on alltypes of products. Sodas, juices and snacks will be the predominant products sold in thevending machines. Tobacco products will not be vended on federal or District Property.

C.5.9.3 The Contractor shall ensure that all vending machines have an Energy Star rating as defined bythe U.S. Dept of Energy.

C.5.9.4 Vending machines, shall be equipped with credit card readers, Dollar Bill validating (MARS orequivalent), coin counters and be capable of accepting US dollar coins.

C.5.9.5 All vending machines provided by the contractor shall be equipped with non-re-settable cashcounters and also be incorporated with industry-standard, DEX/UCS or like systems such asCantaloupe Systems web-base data format technology in order that they specifically providefull cash and credit audit to SLA/RSVFP.

C.5.10 Reporting Requirements and Deliverables:

C.5.10.1 The Contractor shall prepare a Monthly Service Report, due not later than the 21st day of thefollowing month after the service call is reported, detailing the number of service callsreceived from the Federal or District partner and the SLA, the status of each service call, aswhether the call has been resolved or the reason the call has not been resolved.

C.5.10.2 The Contractor shall compile data and receipts from all subcontractors in sufficient time tosubmit a single comprehensive monthly gross vending commission income reports andgross vending commission income check to the SLA/RSVFP not later than the 21st day ofeach month following the month the contract is awarded.

C.5.10.3 The Contractor shall submit the monthly gross vending commission income reportelectronically by email, CD or flash drive in the format provided by the District.

C.5.10.4 The Contractor shall submit an inventory report at least annually for the duration of theContract.

C.5.11 Subcontracting Requirements

C.5.11.1 Although not required, the Contractor is encouraged to subcontract with as many of theexisting vending machine service providers as necessary to fulfill the Contract requirementsand adhere to the subcontracting requirements described in Section H.9.1.

C.5.11.2 The Prime Contractor shall develop an objective performance evaluation for each of thesubcontractors for which the Prime Contractor enters into any agreement to provide services.The performance evaluation shall be based on the standards and specifications on which thePrime Contractor will be evaluated annually at the end of each Contract year.

C.5.11.3 It shall be the responsibility of the prime contractor to obtain background investigations forbuilding access to all federal and District buildings under the auspice of the SLA/RSVFP andmaintain those building access privileges for the duration of the contract. A backgroundaccess clearance may take as long as six (6) months to obtain for each individual.

C.5.11.4 It is preferred that service personnel wear uniforms provided by the Contractor. At aminimum, service personnel must have Contractor supplied identification badges.

SECTION D: PACKAGING AND MARKING

The packaging and marking requirements for this contract shall be governed by clause number(2), Shipping Instructions-Consignment, of the Government of the District of Columbia'sStandard Contract Provisions for use with Supplies and Services Contracts, dated March 2007.(Attachment J. 1)

SECTION E: INSPECTION AND ACCEPTANCE

The inspection and acceptance requirements for this contract shall be governed by clause numberfive (5) Inspection of Supplies and clause number six (6), Inspection of Services, of theGovernment of the District of Columbia's Standard Contract Provisions for use with Supplies andServices Contracts, dated March 2007. (Attachment J.1)

SECTION F: PERIOD OF PERFORMANCE AND DELIVERABLES

F.1 TERM OF CONTRACT

F.2.1 The District may extend the term of this contract for a period of four (4) one year option periods, orsuccessive fractions thereof, by written notice to the Contractor before the expiration of thecontract; provided that the District will give the Contractor preliminary written notice of its intentto extend at least thirty (30) days before the contract expires. The preliminary notice does notcommit the District to an extension. The exercise of an option is subject to the availability of fundsat the time of the exercise of this option. The Contractor may waive the thirty (30) day preliminarynotice requirement by providing a written waiver to the Contracting Officer prior to expiration ofthe contract.

F.2.2 If the District exercises this option, the extended contract shall be considered to include this optionprovision.

F.2.3 The price for the option period(s) shall be as specified in the Section B of the contract.

G.6 THE QUICK PAYMENT CLAUSE

G.6.1 Interest Penalties to Contractors

G.6.1.1 The District will pay interest penalties on amounts due to the Contractor under the Quick PaymentAct, D.C. Official Code §2-221.01 et seq., for the period beginning on the day after the requiredpayment date and ending on the date on which payment of the amount is made. Interest shall becalculated at the rate of 1% per month. No interest penalty shall be paid if payment for thecompleted delivery of the item of property or service is made on or before:

a) the 3rd day after the required payment date for meat or a meat product;b) the 5th day after the required payment date for an agricultural commodity; or

c) the 15th day after the required payment date for any other item.

G.6.1.2 Any amount of an interest penalty which remains unpaid at the end of any 30-day period shall beadded to the principal amount of the debt and thereafter interest penalties shall accrue on theadded amount.

G.6.2 Payments to Subcontractors

G.6.2.1 The Contractor must take one of the following actions within seven (7) days of receipt of anyamount paid to the Contractor by the District for work performed by any subcontractor underthis contract:

a) Pay the subcontractor for the proportionate share of the total payment received from theDistrict that is attributable to the subcontractor for work performed under the contract; or

b) Notify the District and the subcontractor, in writing, of the Contractor’s intention towithhold all or part of the subcontractor’s payment and state the reason for thenonpayment.

G.6.2.2 The Contractor must pay any subcontractor or supplier interest penalties on amounts due to thesubcontractor or supplier beginning on the day after the payment is due and ending on the dateon which the payment is made. Interest shall be calculated at the rate of 1% per month. Nointerest penalty shall be paid on the following if payment for the completed delivery of theitem of property or service is made on or before:

a) the 3rd day after the required payment date for meat or a meat product;b) the 5th day after the required payment date for an agricultural commodity; orc) the 15th day after the required payment date for any other item.

G.6.2.3 Any amount of an interest penalty which remains unpaid by the Contractor at the end of any 30-dayperiod shall be added to the principal amount of the debt to the subcontractor and thereafterinterest penalties shall accrue on the added amount.

G.6.2.4 A dispute between the Contractor and subcontractor relating to the amounts or entitlement of asubcontractor to a payment or a late payment interest penalty under the Quick Payment Act doesnot constitute a dispute to which the District of Columbia is a party. The District of Columbiamay not be interpleaded in any judicial or administrative proceeding involving such a dispute.

G.6.3 Subcontract requirements

G.6.3.1 The Contractor shall include in each subcontract under this contract a provision requiring thesubcontractor to include in its contract with any lower-tier subcontractor or supplier thepayment and interest clauses required under paragraphs (1) and (2) of D.C. Official Code §2-221.02(d).

G.8 AUTHORIZED CHANGES BY THE CONTRACTING OFFICER

G.8.1 The CO is the only person authorized to approve changes in any of the requirements of thiscontract.

G.8.2 The Contractor shall not comply with any order, directive or request that changes or modifies therequirements of this contract, unless issued in writing and signed by the CO.

G.8.3 In the event the Contractor effects any change at the instruction or request of any person otherthan the CO, the change will be considered to have been made without authority and noadjustment will be made in the contract price to cover any cost increase incurred as a resultthereof.

SECTION H: SPECIAL CONTRACT REQUIREMENTS

H.1 HIRING OF DISTRICT RESIDENTS AS APPRENTICES AND TRAINEES

H.1.1 For all new employment resulting from this contract or subcontracts hereto, as defined in Mayor’sOrder 83-265 and implementing instructions, the Contractor shall use its best efforts to complywith the following basic goal and objectives for utilization of bona fide residents of the District ofColumbia in each project’s labor force:

H.1 .1.1 At least fifty-one (51) percent of apprentices and trainees employed shall be residents of theDistrict of Columbia registered in programs approved by the District of ColumbiaApprenticeship Council.

H.1 .2 The Contractor shall negotiate an Employment Agreement with the Department of EmploymentServices (“DOES”) for jobs created as a result of this contract. The DOES shall be theContractor’s first source of referral for qualified apprentices and trainees in the implementation ofemployment goals contained in this clause.

H.2 DEPARTMENT OF LABOR WAGE DETERMINATIONS

The Contractor shall be bound by the Wage Determination No. 2005-2 103 Revision No 10, dated June 15,2010, issued by the U.S. Department of Labor in accordance with the Service Contract Act, 41 U.S.C.§351 et seq., and incorporated herein as Section J.2. The Contractor shall be bound by the wage rates forthe term of the contract subject to revision as stated herein and in accordance with Section 24 of the SCP.If an option is exercised, the Contractor shall be bound by the applicable wage rates at the time of theexercise of the option. If the option is exercised and the CO obtains a revised wage determination, therevised wage determination is applicable for the option periods and the Contractor may be entitled to anequitable adjustment in price of goods for sale.

H.3 PUBLICITY

The Contractor shall at all times obtain the prior written approval from the CO before the Contractor,any of its officers, agents, employees or subcontractors, either during or after expiration or terminationof the contract, make any statement, or issue any material, for publication through any medium ofcommunication, bearing on the work performed or data collected under this contract.

H.4 FREEDOM OF INFORMATION ACT

The District of Columbia Freedom of Information Act, at D.C. Official Code §2-532 (a-3), requires theDistrict to make available for inspection and copying any record produced or collected pursuant to aDistrict contract with a private contractor to perform a public function, to the same extent as if therecord were maintained by the agency on whose behalf the contract is made. If the Contractor receives arequest for such information, the Contractor shall immediately send the request to the COTR who will

provide the request to the FOIA Officer for the agency with programmatic responsibility in accordance

with the D.C. Freedom of Information Act. If the agency with programmatic responsibility receives arequest for a record maintained by the Contractor pursuant to the contract, the COTR will forward acopy to the Contractor. In either event, the Contractor is required by law to provide all responsiverecords to the COTR within the timeframe designated by the COTR. The FOIA Officer for the agencywith programmatic responsibility will determine the releasability of the records. The District willreimburse the Contractor for the costs of searching and copying the records in accordance with D.C.Official Code §2-532 and Chapter 4 of Title 1 of the D.C. Municipal Regulations.

H.5 51% DISTRICT RESIDENTS NEW HIRES REQUIREMENTS AND FIRST SOURCEEMPLOYMENT AGREEMENT

H.5.1 The Contractor shall comply with the First Source Employment Agreement Act of 1984, asamended, D.C. Official Code §2-2 19.01 et seq. (“First Source Act”).

H.5.2 The Contractor shall enter into and maintain, during the term of the contract, a First SourceEmployment Agreement, (Section J.4) in which the Contractor shall agree that:

(1) The first source for finding employees to fill all jobs created in order to perform this contractshall be the DOES; and

(2) The first source for finding employees to fill any vacancy occurring in all jobs covered by theFirst Source Employment Agreement shall be the First Source Register.

H.5.3 The Contractor shall submit to DOES, no later than the 10th of each month following execution ofthe contract, a First Source Agreement Contract Compliance Report (“contract compliancereport”) to verify its compliance with the First Source Agreement for the preceding month. Thecontract compliance report for the contract shall include the:

(1) Number of employees needed;(2) Number of current employees transferred;(3) Number of new job openings created;(4) Number ofjob openings listed with DOES;(5) Total number of all District residents hired for the reporting period and the cumulative total

number of District residents hired; and(6) Total number of all employees hired for the reporting period and the cumulative total number

of employees hired, including:(a) Name;(b) Social security number;(c) Job title;(d) Hire date;(e) Residence; and(f) Referral source for all new hires.

H.5.4 If the contract amount is equal to or greater than $100,000, the Contractor agrees that 51% of thenew employees hired for the contract shall be District residents.

H.5.5 With the submission of the Contractor’s final request for payment from the District, theContractor shall:

(1) Document in a report to the CO the Contractor’s compliance with section H.5.4 of thisclause; or

(2) Submit a request to the CO for a waiver of compliance with section H.5.4 and include thefollowing documentation:

(a) Material supporting a good faith effort to comply;(b) Referrals provided by DOES and other referral sources;(c) Advertisement ofjob openings listed with DOES and other referral sources; and(d) Any documentation supporting the waiver request pursuant to section H.5.6.

H.5.6 The CO may waive the provisions of section H.5.4 if the CO finds that:

(1) A good faith effort to comply is demonstrated by the Contractor;(2)The Contractor is located outside the Washington Standard Metropolitan Statistical Area and

none of the contract work is performed inside the Washington Standard MetropolitanStatistical Area which includes the District of Columbia; the Virginia Cities of Alexandria,Falls Church, Manassas, Manassas Park, Fairfax, and Fredericksburg, the Virginia Counties ofFairfax, Arlington, Prince William, Loudoun, Stafford, Clarke, Warren, Fauquier, Culpeper,Spotsylvania, and King George; the Maryland Counties of Montgomery, Prince Georges,Charles, Frederick, and Calvert; and the West Virginia Counties of Berkeley and Jefferson.

(3) The Contractor enters into a special workforce development training or placementarrangement with DOES; or

(4) DOES certify that there are insufficient numbers of District residents in the labor marketpossessing the skills required by the positions created as a result of the contract.

H.5.7 Upon receipt of the Contractor’s final payment request and related documentation pursuant tosections H.5.5 and H.5.6, the CO shall determine whether the Contractor is in compliance withsection H.5.4 or whether a waiver of compliance pursuant to section H.5.6 is justified. If the COdetermines that the Contractor is in compliance, or that a waiver of compliance is justified, theCO shall, within two business days of making the determination forward a copy of thedetermination to the agency Chief Financial Officer and the COTR.

H.5.8 Willful breach of the First Source Employment Agreement, or failure to submit the report pursuantto section H.5.5, or deliberate submission of falsified data, may be enforced by the CO throughimposition of penalties, including monetary fines of 5% of the total amount of the direct andindirect labor costs of the contract. The Contractor shall make payment to DOES. The Contractormay appeal to the D.C. Contract Appeals Board as provided in this contract any decision of theCO pursuant to this section H.5.8.

H.5.9 The provisions of sections H.5.4 through H.5.8 do not apply to nonprofit organizations.

H.6 SECTION 504 OF THE REHABILITATION ACT OF 1973, as amended.

During the performance of the contract, the Contractor and any of its subcontractors shall comply withSection 504 of the Rehabilitation Act of l973, as amended. This Act prohibits discrimination againstdisabled people in federally funded programs and activities. See 29 U.S.C. § 794 et seq.

H.7 AMERICANS WITH DISABILITIES ACT OF 1990 (ADA)

During the performance of this contract, the Contractor and any of its subcontractors shall comply with theADA. The ADA makes it unlawful to discriminate in employment against a qualified individual with adisability. See 42 U.S.C. §12101 et seq.

H.8 WAY TO WORK AMENDMENT ACT OF 2006

H.8.1 Except as described in H.8.8 below, the Contractor shall comply with Title I of the Way to WorkAmendment Act of 2006, effective June 8, 2006 (D.C. Law 16-118, D.C. Official Code §2-220.01et seq.) (“Living Wage Act of 2006”), for contracts for services in the amount of $100,000 ormore in a 12-month period.

H.8.2 The Contractor shall pay its employees and subcontractors who perform services under thecontract no less than the current living wage published on the OCP website at www.ocp.dc.gov.

H.8.3 The Contractor shall include in any subcontract for $15,000 or more a provision requiring thesubcontractor to pay its employees who perform services under the contract no less than thecurrent living wage rate.

H.8.4 The DOES may adjust the living wage annually and the OCP will publish the current living wagerate on its website at www.ocp.dc.gov.

H.8.5 The Contractor shall provide a copy of the Fact Sheet attached as J.6 to each employee andsubcontractor who performs services under the contract. The Contractor shall also post theNotice attached as J.5 in a conspicuous place in its place of business. The Contractor shallinclude in any subcontract for $15,000 or more a provision requiring the subcontractor to postthe Notice in a conspicuous place in its place of business.

H.8.6 The Contractor shall maintain its payroll records under the contract in the regular course ofbusiness for a period of at least three (3) years from the payroll date, and shall include thisrequirement in its subcontracts for $15,000 or more under the contract.

H.8.7 The payment of wages required under the Living Wage Act of 2006 shall be consistent with andsubject to the provisions of D.C. Official Code §32-1301 et seq.

H.8.8 The requirements of the Living Wage Act of 2006 do not apply to:

(1) Contracts or other agreements that are subject to higher wage level determinations requiredby federal law;(2) Existing and future collective bargaining agreements, provided, that the future collective

bargaining agreement results in the employee being paid no less than the established living wage;(3) Contracts for electricity, telephone, water, sewer or other services provided by a regulatedutility;

(4) Contracts for services needed immediately to prevent or respond to a disaster or imminentthreat to public health or safety declared by the Mayor;(5) Contracts or other agreements that provide trainees with additional services including, butnot limited to, case management and job readiness services; provided that the trainees do notreplace employees subject to the Living Wage Act of 2006;(6) An employee under 22 years of age employed during a school vacation period, or enrolled asa full-time student, as defined by the respective institution, who is in high school or at anaccredited institution of higher education and who works less than 25 hours per week; providedthat he or she does not replace employees subject to the Living Wage Act of 2006;(7) Tenants or retail establishments that occupy property constructed or improved by receipt ofgovernment assistance from the District of Columbia; provided, that the tenant or retailestablishment did not receive direct government assistance from the District;(8) Employees of nonprofit organizations that employ not more than 50 individuals and qualifyfor taxation exemption pursuant to section 501(c)(3) of the Internal Revenue Code of 1954,approved August 16, 1954 (68A Stat. 163; 26 U.S.C. § 501(c)(3);(9) Medicaid provider agreements for direct care services to Medicaid recipients, provided, thatthe direct care service is not provided through a home care agency, a community residencefacility, or a group home for mentally retarded persons as those terms are defined in section 2 of theHealth-Care and Community ResidenceFacility, Hospice, and Home Care Licensure Act of 1983, effective February 24, 1984 (D.C. Law 5-48; D.C. Official Code § 44-501); and(10) Contracts or other agreements between managed care organizations and the Health CareSafety Net Administration or the Medicaid Assistance Administration to provide health services.

H.8.9 The Mayor may exempt a contractor from the requirements of the Living Wage Act of 2006,subject to the approval of Council, in accordance with the provisions of Section 109 of theLiving Wage Act of 2006.

H.9 SUBCONTRACTING REQUIREMENTS

H.9.1 Mandatory Subcontracting Requirements

H.9.1.1 For contracts in excess of $250,000, at least 35% of the dollar volume shall be subcontracted tocertified small business enterprises; provided, however, that the costs of materials, goods, andsupplies shall not be counted towards the 35% subcontracting requirement unless suchmaterials, goods and supplies are purchased from certified small business enterprises.

H.9.1.2 If there are insufficient qualified small business enterprises to completely fulfill the requirementof paragraph H.9. 1.1, then the subcontracting may be satisfied by subcontracting 35% of thedollar volume to any certified business enterprises; provided, however, that all reasonableefforts shall be made to ensure that qualified small business enterprises are significantparticipants in the overall subcontracting work.

H.9.1.3 A prime contractor which is certified as a small, local or disadvantaged business enterpriseshall not be required to comply with the provisions of sections H.9. 1.1 and H.9. 1.2.

H.9.2 Subcontracting Plan

If the prime contractor is required by law to subcontract under this contract, it must subcontract atleast 35% of the dollar volume of this contract in accordance with the provisions of sectionH.9.1. The prime contractor responding to this solicitation which is required to subcontract shallbe required to submit with its bid, a notarized statement detailing its subcontracting plan. Bidsresponding to this IFB shall be deemed nonresponsive and shall be rejected if the bidder isrequired to subcontract, but fails to submit a subcontracting plan with its bid. Once the plan isapproved by the CO, changes to the plan will only occur with the prior written approval of theCO and the Director of DSLBD. Each subcontracting plan shall include the following:

H.9.2.1 A description of the goods and services to be provided by SBEs or, if insufficient qualifiedSBEs are available, by any certified business enterprises;

H.9.2.2 A statement of the dollar value of the bid that pertains to the subcontracts to be performed by theSBEs or, if insufficient qualified SBEs are available, by any certified business enterprises;

H.9.2.3 The names and addresses of all proposed subcontractors who are SBEs or, if insufficientSBEs are available, who are certified business enterprises; the name and address of thesubcontractors that will be used to fulfill this contract.

H.9.2.4 The name of the individual employed by the prime contractor who will administer thesubcontracting plan, and a description of the duties of the individual;

H.9.2.5 A description of the efforts the prime contractor will make to ensure that SBEs, or, ifinsufficient SBEs are available, that certified business enterprises will have an equitableopportunity to compete for subcontracts;

H.9.2.6 In all subcontracts that offer further subcontracting opportunities, assurances that the primecontractor will include a statement, approved by the contracting officer, that the subcontractorwill adopt a subcontracting plan similar to the subcontracting plan required by the contract;

H.9.2.7 Assurances that the prime contractor will cooperate in any studies or surveys that may berequired by the contracting officer, and submit periodic reports, as requested by thecontracting officer, to allow the District to determine the extent of compliance by the primecontractor with the subcontracting plan;

H.9.2.8 A list of the type of records the prime contractor will maintain to demonstrate proceduresadopted to comply with the requirements set forth in the subcontracting plan, and assurancesthat the prime contractor will make such records available for review upon the District’srequest; and

H.9.2.9 A description of the prime contractor’s recent effort to locate SBEs or, if insufficient SBEsare available, how and what criteria was used to select other subcontractors to fulfill thiscontract.

H.9.3 Subcontracting Plan Compliance Reporting.

If the Contractor has an approved subcontracting plan required by law under this contract, theContractor shall submit to the CO and the SLA/RSVFP , no later than the 21st of each monthfollowing execution of the contract, a Subcontracting Plan Compliance Report to verify itscompliance with the subcontracting requirements for the preceding month. The monthlysubcontracting plan compliance report shall include the following information:

H.9.3.1 The dollar amount of the contract or procurement;

H.9.3.2 A brief description of the goods procured or the services contracted for;

H.9.3.3 The name of the business enterprise from which the goods were procured or servicescontracted;

H.9.3.4 Whether the subcontractors to the contract are currently certified business enterprises;

H.9.3.5 The dollar percentage of the contract awarded to SBEs, or if insufficient SBEs, to othercertified business enterprises;

H.9.3.6 A description of the activities the Contractor engaged in, in order to achieve the subcontractingrequirements set forth in its plan; and

H.9.3.7 A description of any changes to the activities the Contractor intends to make by the next month toachieve the requirements set forth in its plan.

H.9.4 Enforcement and Penalties for Breach of Subcontracting Plan

H.9.4.1 If during the performance of this contract, the Contractor fails to comply with its approvedsubcontracting plan, and the CO determines the Contractor’s failure to be a material breach of thecontract, the CO shall have cause to terminate the contract under the default clause of theStandard Contract Provisions.

H.9.4.2 There shall be a rebuttable presumption that a contractor willfully breached its approvedsubcontracting plan if the contractor (i) fails to submit any required monitoring or compliancereport; or (ii) submits a monitoring or compliance report with the intent to defraud.

H.9.4.3 A contractor that is found to have willfully breached its approved subcontracting plan forutilization of certified business enterprises in the performance of a contract shall be subject tothe imposition of penalties, including monetary fines of $15,000 or 5% of the total amount ofthe work that the contractor was to subcontract to certified business enterprises, whichever isgreater, for each such breach.

H.10 DISTRICT RESPONSIBILITIES

H.10.1 The District agrees to provide a list of current vending machine providers and locations wherethose companies provide vending services on behalf of the SLA/RSVFP within ten business daysof the contract award.

H.10.1 The District agrees to assist in introduction of the new contractor to the federal and Districtagency partners within ten business days of the contract award.

H.10.2 When and if necessary, the District agrees to coordinate meetings between the buildingmanagers and the vending companies before and after the installation or removal of vendingmachines or to resolve service related matters.

H.11 CONTRACTOR RESPONSIBILITIES

H.1 1.1 Contractor agrees to install service and maintain at the highest standards of quality, sanitationand cleanliness at all vending machines at specified locations in SLA/RSVFP.

H.11.2 Contractor agrees to keep the machines adequately serviced/repaired so as to be in good workingorder and shall see that the machines are fully stocked or supplied with products on a round-the-clock basis consistent. Products shall be of good quality and be available at the prices specified incontractor’s proposal and agreed by SLA/RSVFP.

H.11.3 Contractor agrees to provide on-site personnel within twenty four hours or less to service/repairmalfunctioning machines. Bidder will provide monthly reports covering service record of thenumber of service calls received, and the status of each whether open, close or pending.

H.11.4 Contractor will notify SLA/RSVFP and request replacement of a machine that is owned by RSA,RSVFP, when it becomes irreparable. SLA/RSVFP, may consider contractor’s request for anyother replacement of machine.

H.11.5 Contractor agrees to provide a customer reimbursement fund to be administered on thecontractor’s behalf by the SLA/RSVFP location(s) designated personnel or host agency orrepresentative. This fund shall be initially established in the amount of $25.00 and replenished asneeded and will be used to reimburse users of vending machines which malfunction and fail toreturn money.

H.11.6 Contractor agrees to issue a gross vending commission income check and/or appropriate rebatecheck monthly via regular mail, payable to Rehabilitation Service Administration, RandolphSheppard Vending Facilities Program, 1125 15th St NW, 2nd floor, Washington DC 20005, notlater than three weeks or 21 business days after the close of each month.

H.11.7 Contractor agrees to send the gross vending commission income report electronically to theRehabilitation Service Administration, Randolph Sheppard Vending Facility Program no laterthan 3 weeks or 21 business days after the close of each month.

H.11.8 Contractor agrees to comply with the NAMA Fit Pick Program in all vending machines wherebyno less than 30% of products offered in the vending machines satisfy the Fit Pick standards.

H.11.9 Contractor agrees to provide a toll free contact telephone number on each any every machine forcustomer service concerns.

H.11.10 Contractor agrees to post a sticker on every machine, which says “Sponsored byRehabilitation Services Administration, Randolph Sheppard Vending Facility Program”.

SECTION I: CONTRACT CLAUSES

I.1 APPLICABILITY OF STANDARD CONTRACT PROVISIONS

The Standard Contract Provisions for use with District of Columbia Government Supplies andServices Contracts dated March 2007 (“SCP”) are incorporated as part of the contract. To obtaina copy of the SCP go to www.ocp.dc.gov, click on OCP Policies under the heading“Information”, then click on “Standard Contract Provisions – Supplies and Services Contracts”.

I.2 CONTRACTS THAT CROSS FISCAL YEARS

Continuation of this contract beyond the current fiscal year is contingent upon future fiscalappropriations.

I.3 CONFIDENTIALITY OF INFORMATIONThe Bidder acknowledges that any information regarding RSA, RSVFP, including but not limitedto, its operation, business practices and security procedures, obtained by the Bidder, its agents oremployees while performing the Work is to be treated as confidential and agrees not to disclose anysuch information and to require its agents and employees not to disclose any such information to athird party without the District’s prior written consent.

I.4 TIME

Time, if stated in a number of days, will include Saturdays, Sundays, and holidays, unlessotherwise stated herein.

I.5 RIGHTS IN DATA

I.5.1 “Data,” as used herein, means recorded information, regardless of form or the media on which itmay be recorded. The term includes technical data and computer software. The term does not

include information incidental to contract administration, such as financial, administrative, cost orpricing, or management information.

I.5.2 The term “Technical Data”, as used herein, means recorded information, regardless of form orcharacteristic, of a scientific or technical nature. It may, for example, document research,experimental, developmental or engineering work, or be usable or used to define a design orprocess or to procure, produce, support, maintain, or operate material. The data may be graphic orpictorial delineations in media such as drawings or photographs, text in specifications or relatedperformance or design type documents or computer printouts. Examples of technical data includeresearch and engineering data, engineering drawings and associated lists, specifications, standards,process sheets, manuals, technical reports, catalog item identifications, and related information,and computer software documentation. Technical data does not include computer software orfinancial, administrative, cost and pricing, and management data or other information incidental tocontract administration.

I.5.3 The term “Computer Software”, as used herein means computer programs and computer databases.“Computer Programs”, as used herein means a series of instructions or statements in a formacceptable to a computer, designed to cause the computer to execute an operation or operations."Computer Programs" include operating systems, assemblers, compilers, interpreters, datamanagement systems, utility programs, sort merge programs, and automated data processingequipment maintenance diagnostic programs, as well as applications programs such as payroll,inventory control and engineering analysis programs. Computer programs may be eithermachine-dependent or machine-independent, and may be general purpose in nature or designedto satisfy the requirements of a particular user.

I.5.4 The term "computer databases", as used herein, means a collection of data in a form capable ofbeing processed and operated on by a computer.

I.5.5 All data first produced in the performance of this Contract shall be the sole property of the District.The Contractor hereby acknowledges that all data, including, without limitation, computerprogram codes, produced by Contractor for the District under this Contract, are works made forhire and are the sole property of the District; but, to the extent any such data may not, byoperation of law, be works made for hire, Contractor hereby transfers and assigns to the Districtthe ownership of copyright in such works, whether published or unpublished. The Contractoragrees to give the District all assistance reasonably necessary to perfect such rights including, butnot limited to, the works and supporting documentation and the execution of any instrumentrequired to register copyrights. The Contractor agrees not to assert any rights in common law orin equity in such data. The Contractor shall not publish or reproduce such data in whole or in partor in any manner or form, or authorize others to do so, without written consent of the Districtuntil such time as the District may have released such data to the public.

I.5.6 The District will have restricted rights in data, including computer software and all accompanyingdocumentation, manuals and instructional materials, listed or described in a license or agreementmade a part of this contract, which the parties have agreed will be furnished with restricted rights,provided however, notwithstanding any contrary provision in any such license or agreement,such restricted rights shall include, as a minimum the right to:

I.5.6.1 Use the computer software and all accompanying documentation and manuals or instructionalmaterials with the computer for which or with which it was acquired, including use at anyDistrict installation to which the computer may be transferred by the District;

I.5.6.2 Use the computer software and all accompanying documentation and manuals or instructionalmaterials with a backup computer if the computer for which or with which it was acquired isinoperative;

I.5.6.3 Copy computer programs for safekeeping (archives) or backup purposes; and modify thecomputer software and all accompanying documentation and manuals or instructional materials,or combine it with other software, subject to the provision that the modified portions shall remainsubject to these restrictions.

I.5.7 The restricted rights set forth in section I.5.6 are of no effect unless

(i) the data is marked by the Contractor with the following legend:RESTRICTED RIGHTS LEGEND

Use, duplication, or disclosure is subject to restrictions stated in Contract No. with(Contractor’s Name); and

(ii) If the data is computer software, the related computer software documentation includes aprominent statement of the restrictions applicable to the computer software. The Contractormay not place any legend on the computer software indicating restrictions on the District’srights in such software unless the restrictions are set forth in a license or agreement made apart of the contract prior to the delivery date of the software. Failure of the Contractor toapply a restricted rights legend to such computer software shall relieve the District ofliability with respect to such unmarked software.

I.5.8 In addition to the rights granted in Section I.5.6 above, the Contractor hereby grants to the District anonexclusive, paid-up license throughout the world, of the same scope as restricted rights set forthin Section I.5.6 above, under any copyright owned by the Contractor, in any work of authorshipprepared for or acquired by the District under this contract. Unless written approval of theContracting Officer is obtained, the Contractor shall not include in technical data or computersoftware prepared for or acquired by the District under this contract any works of authorship inwhich copyright is not owned by the Contractor without acquiring for the District any rightsnecessary to perfect a copyright license of the scope specified in the first sentence of thisparagraph.

I.5.9 Whenever any data, including computer software, are to be obtained from a subcontractor underthis contract, the Contractor shall use this clause, I.5, Rights in Data, in the subcontract, withoutalteration, and no other clause shall be used to enlarge or diminish the District’s or theContractor’s rights in that subcontractor data or computer software which is required for theDistrict.

I.5.10 For all computer software furnished to the District with the rights specified in Section I.5.5, theContractor shall furnish to the District, a copy of the source code with such rights of the scopespecified in Section I.5.5. For all computer software furnished to the District with the restrictedrights specified in Section I.5.6, the District, if the Contractor, either directly or through a successoror affiliate shall cease to provide the maintenance or warranty services provided the District underthis contract or any paid-up maintenance agreement, or if Contractor should be declared bankruptor insolvent by a court of competent jurisdiction, shall have the right to obtain, for its own and soleuse only, a single copy of the then current version of the source code supplied under this contract,and a single copy of the documentation associated therewith, upon payment to the person in controlof the source code the reasonable cost of making each copy.

I.5.11 The Contractor shall indemnify and save and hold harmless the District, its officers, agents andemployees acting within the scope of their official duties against any liability, including costs andexpenses, (i) for violation of proprietary rights, copyrights, or rights of privacy, arising out of thepublication, translation, reproduction, delivery, performance, use or disposition of any datafurnished under this contract, or (ii) based upon any data furnished under this contract, or basedupon libelous or other unlawful matter contained in such data.

I.5.12 Nothing contained in this clause shall imply a license to the District under any patent, or beconstrued as affecting the scope of any license or other right otherwise granted to the Districtunder any patent.

I.5.13 Paragraphs I.5.6, I.5.7, I.5.8, I.5.11 and I.5.12 above are not applicable to material furnished tothe Contractor by the District and incorporated in the work furnished under contract, providedthat such incorporated material is identified by the Contractor at the time of delivery of suchwork.

I.6 OTHER CONTRACTORS

The Contractor shall not commit or permit any act that will interfere with the performance ofwork by another District contractor or by any District employee.

I.7 SUBCONTRACTS

The Contractor hereunder shall not subcontract any of the Contractor’s work or services to anysubcontractor without the prior written consent of the CO. Any work or service so subcontractedshall be performed pursuant to a subcontract agreement, which the District will have the right toreview and approve prior to its execution by the Contractor. Any such subcontract shall specify thatthe Contractor and the subcontractor shall be subject to every provision of this contract.Notwithstanding any such subcontract approved by the District, the Contractor shall remain liableto the District for all Contractor's work and services required hereunder.

I.8 INSURANCE

A. GENERAL REQUIREMENTS. The Contractor shall procure and maintain, during the entire

period of performance under this contract, the types of insurance specified below. The

Contractor shall have its insurance broker or insurance company submit a Certificate ofInsurance to the Contracting Officer giving evidence of the required coverage prior tocommencing performance under this contract. In no event shall any work be performed until therequired Certificates of Insurance signed by an authorized representative of the insurer(s) havebeen provided to, and accepted by, the Contracting Officer. All insurance shall be written withfinancially responsible companies authorized to do business in the District of Columbia or inthe jurisdiction where the work is to be performed and have an A.M. Best Company rating ofA-VIII or higher. The Contractor shall require all of its subcontractors to carry the sameinsurance required herein. The Contractor shall ensure that all policies provide that theContracting Officer shall be given thirty (30) days prior written notice in the event the statedlimit in the declarations page of the policy is reduced via endorsement or the policy is canceledprior to the expiration date shown on the certificate. The Contractor shall provide theContracting Officer with ten (10) days prior written notice in the event of non-payment ofpremium.

1. Commercial General Liability Insurance. The Contractor shall provide evidencesatisfactory to the Contracting Officer with respect to the services performed that itcarries $1,000,000 per occurrence limits; $2,000,000 aggregate; Bodily Injury andProperty Damage including, but not limited to: premises-operations; broad formproperty damage; Products and Completed Operations; Personal and AdvertisingInjury; contractual liability and independent contractors. The policy coverage shallinclude the District of Columbia as an additional insured, shall be primary and non-contributory with any other insurance maintained by the District of Columbia, and shallcontain a waiver of subrogation. The Contractor shall maintain Completed Operationscoverage for five (5) years following final acceptance of the work performed under thiscontract.

2. Automobile Liability Insurance. The Contractor shall provide automobile liabilityinsurance to cover all owned, hired or non-owned motor vehicles used in conjunctionwith the performance of this contract. The policy shall provide a $1,000,000 peroccurrence combined single limit for bodily injury and property damage.

3. Workers’ Compensation Insurance. The Contractor shall provide Workers’Compensation insurance in accordance with the statutory mandates of the District ofColumbia or the jurisdiction in which the contract is performed.

4. Employer’s Liability Insurance. The Contractor shall provide employer’s liabilityinsurance as follows: $500,000 per accident for injury; $500,000 per employee fordisease; and $500,000 for policy disease limit.

B. DURATION. The Contractor shall carry all required insurance until all contract work isaccepted by the District, and shall carry the required General Liability and if required in “SectionA” Professional Liability; and any required Employment Practices Liability insurance for five (5)years following final acceptance of the work performed under this contract.

C. LIABILITY. These are the required minimum insurance requirements established by the Districtof Columbia. HOWEVER, THE REQUIRED MINIMUM INSURANCE

REQUIREMENTS PROVIDED ABOVE WILL NOT IN ANY WAY LIMIT THECONTRACTOR’S LIABILITY UNDER THIS CONTRACT.

D. CONTRACTOR’S PROPERTY. Contractor and subcontractors are solely responsible for anyloss or damage to their personal property, including but not limited to tools and equipment,scaffolding and temporary structures, rented machinery, or owned and leased equipment. Awaiver of subrogation shall apply in favor of the District of Columbia.

E. MEASURE OF PAYMENT. The District shall not make any separate measure or payment forthe cost of insurance and bonds. The Contractor shall include all of the costs of insurance andbonds in the contract price.

F. NOTIFICATION. The Contractor shall immediately provide the CO with written notice in theevent that its insurance coverage has or will be substantially changed, canceled or not renewed,and provide an updated certificate of insurance to the CO.

G. CERTIFICATES OF INSURANCE. The Contractor shall submit certificates of insurance givingevidence of the required coverage as specified in this section prior to commencing work. Evidenceof insurance shall be submitted to:

H. DISCLOSURE OF INFORMATION. The Contractor agrees that the District may disclose thename and contact information of its insurers to any third party which presents a claim against theDistrict for any damages or claims resulting from or arising out of work performed by theContractor, its agents, employees, servants or subcontractors in the performance of this contract.

I.9 HOLD HARMLESS AND INDEMNIFICATION

The Contractor agrees to indemnity, defend, and save harmless the District, its officers, employees,and agents, from any claim, real or imaginary, filed against the District or its officers, employeesand agents, alleging damage or injury arising out of the subject matter of this Agreement;provided, however, that such provision shall not apply to the extent that damage or injury resultsfrom the fault of the District or its officers, agents, or employees.

I.10 EQUAL EMPLOYMENT OPPORTUNITY

In accordance with the District of Columbia Administrative Issuance System, Mayor’s Order 85-85 dated June 10, 1985, the forms for completion of the Equal Employment OpportunityInformation Report are incorporated herein as Section J.3. An award cannot be made to any bidderwho has not satisfied the equal employment requirements.

I.11 ORDER OF PRECEDENCE The contract awarded as a result of this IFB will

contain the following clause:

ORDER OF PRECEDENCE

A conflict in language shall be resolved by giving precedence to the document in the highest order ofpriority that contains language addressing the issue in question. The following documents areincorporated into the contract by reference and made a part of the contract in the following order ofprecedence:

(1) An applicable Court Order, if any(2) Contract document(3) Standard Contract Provisions(4) Contract attachments other than the Standard Contract Provisions(5) IFB, as amended(6) Bid

I.12 GOVERNING LAW

This contract, and any disputes arising out of or related to this contract, shall be governed by, andconstrued in accordance with, the laws of the District of Columbia.

SECTION J: ATTACHMENTS

SECTION L: INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

L.1 METHOD OF AWARD

L.1.1 The District reserves the right to:

Reject any and all bids received in response to this concept- planning document.

Waive or modify any information, irregularities, or inconsistencies in bids received; .All bid documents become the property of the District and will not be returned to thecontractor and the District will not divulge to outside sources the specific content to anybids to the extent that the contractor identifies the contents as privileged on confidential.

L.1.2 Contract award will be made to the bidder that offers the highest commission rate to theDistrict that is determined responsible. In the event of tied bids, the award will be made tothe tied bidder that currently services the highest number of vending machines in thedesignated facilities. If all tied bidder do not currently serve the District, award will bebased on the highest valued company as annotated in the Cost/Price package submitted bythe Contractors. All unselected bidders will be notified in writing and specific reasons forrejection will not be furnished to the unsuccessful nor will the amount of the contractaward, if any, be disclosed.

L.2 PREPARATION AND SUBMISSION OF BIDS

The District will not accept a facsimile copy of a bid as an original bid. All items accepted by theDistrict, all pages of the Invitation for Bids (IFB), all attachments and all documents containingthe bidder’s offer shall constitute the formal contract. Each bid shall be submitted

as specified in Section A.3 in a sealed envelope conspicuously marked: “Bid in Response toSolicitation No. DCJM-201 1-B-0005”.

L.2.2 The original bid shall govern if there is a variance between the original bid and the copysubmitted by the bidder. Each bidder shall return the complete solicitation as its bid.

L.2.3 The District may reject as non-responsive any bid that fails to conform in any material respect tothe IFB.

L.2.4 The District may also reject as non-responsive any bids submitted on forms not included in orrequired by the solicitation. Bidders shall make no changes to the requirements set forth in thesolicitation.

L.2.5 The bidder must bid on all CLINs to be considered for this award. Failure to bid on all CLINs inTable 1 in Section B.4 will render the bid non-responsive and disqualify a bid.

L.3 FAMILIARIZATION WITH CONDITIONS

Bidders shall thoroughly familiarize themselves with the terms and conditions of this solicitation,acquainting themselves with all available information regarding difficulties which may beencountered and the conditions under which the work is be accomplished. Bidders will not berelieved from assuming all responsibility for properly estimating the difficulties and the cost ofperforming the services required herein due to their failure to investigate the conditions or tobecome acquainted with all information, schedules and liability concerning the services to beperformed.

L.4 BID SUBMISSION DATE AND TIME

Bids must be submitted no later than 3 p.m. local time on January 25, 2011.

L.5 WITHDRAWAL OR MODIFICATION OF BIDS

A bidder may modify or withdraw its bid upon written, telegraphic notice, or facsimiletransmission if received at the location designated in the solicitation for submission of bids, but notlater than the exact time set for opening of bids.

L.6 LATE SUBMISSIONS, LATE MODIFICATIONS, AND LATE WITHDRAWALS

L.6.1 Bids, modifications to bids, or requests for withdrawals that are received in the designated Districtoffice after the exact local time specified above, are “late” and shall be considered only if they arereceived before the award is made and one (1) or more of the following circumstances apply:

a. The bid or modification was sent by registered or certified mail no later than the fifth (5th)day before the date specified for receipt of bids; or

b. The bid or modification was sent by mail and it is determined by the CO that the late receipt atthe location specified in the solicitation was caused by mishandling by the District afterreceipt.

L.6.2 Postmarks

The only acceptable evidence to establish the date of a late bid, late modification or latewithdrawal sent either by registered or certified mail shall be a U.S. or Canadian Postal Servicepostmark on the wrapper or on the original receipt from the U.S. or Canadian Postal Service. Ifneither postmark shows a legible date, the bid, modification or withdrawal shall be deemed tohave been mailed late. When the postmark shows the date but not the hour, the time is presumedto be the last minute of the date shown. If no date is shown on the postmark, the bid shall beconsidered late unless the bidder can furnish evidence from the postal authorities of timelymailing.

L.6.3 Late Submissions

A late bid, late request for modification or late request for withdrawal shall not be considered,except as provided in this section.

L.6.4 Late Modifications

A late modification of a successful bid which makes its terms more favorable to the District will beconsidered at any time it is received and may be accepted.

L.6.5 Late Bids

A late bid, late modification or late withdrawal of a bid that is not considered shall be heldunopened, unless opened for identification, until after award and then retained with unsuccessfulbids resulting from this solicitation.

L.7 HAND DELIVERY OR MAILING OF BIDS

Bidders must deliver or mail their bids to the address in Section A. 8 of the cover page.

L.8 ERRORS IN BIDS

Bidders are expected to read and understand fully all information and requirements contained inthe solicitation; failure to do so will be at the bidder’s risk. In event of a discrepancy between theunit price and the total price, the unit price shall govern.

L.9 QUESTIONS ABOUT THE SOLICITATION

If a prospective bidder has any questions relative to this solicitation, the prospective bidder shallsubmit the questions in writing to the CO at [email protected]. The prospective bidder

shall submit questions no later than 15 days prior to the closing date and time indicated for thissolicitation. The District will not consider any questions received less than 15 days before the

date set for submission of bids. The District will furnish responses promptly to all prospectivebidders. An amendment to the solicitation will be issued, if that information is necessary insubmitting bids, or if the lack of it would be prejudicial to any prospective bidders. Oralexplanations or instructions given before the award of the contract will not be binding.

L.10 FAILURE TO SUBMIT BIDS

Recipients of this solicitation not responding with a bid should not return this solicitation. Instead,they should advise the CO, by letter or postcard whether they want to receive future solicitationsfor similar requirements. It is also requested that such recipients advise the Contracting Officer,DDS, of the reason for not submitting a bid in response to this solicitation. If a recipient does notsubmit a bid and does not notify the CO, DDS, that future solicitations are desired, the recipient’sname may be removed from the applicable mailing list.

L.11 BID PROTESTS

Any actual or prospective bidder or contractor, who is aggrieved in connection with thesolicitation or award of a contract, must file with the D.C. Contract Appeals Board (Board) aprotest no later than ten (10) business days after the basis of protest is known or should havebeen known, whichever is earlier. A protest based on alleged improprieties in a solicitationwhich are apparent prior to bid opening or the time set for receipt of initial bids shall be filedwith the Board prior to bid opening or the time set for receipt of initial bids. In procurements inwhich bids are requested, alleged improprieties which do not exist in the initial solicitation, butwhich are subsequently incorporated into this solicitation, must be protested no later than thenext closing time for receipt of bids following the incorporation. The protest shall be filed inwriting, with the Contract Appeals Board, 717 14th Street, N.W., Suite 430, Washington, D.C.20004. The aggrieved person shall also mail a copy of the protest to the Contracting Officer.

L.12 SIGNING OF BIDS

L.12.1 The bidder shall sign the bid and print or type its name on the Solicitation, Offer and Award form ofthis solicitation. Each bid must show a full business address and telephone number of the bidderand be signed by the person or persons legally authorized to sign contracts. Erasures or otherchanges must be initialed by the person signing the bid. Bids signed by an agent shall beaccompanied by evidence of that agent’s authority, unless that evidence has been previouslyfurnished to the Contracting Officer.

L.12.2 All correspondence concerning the bid or resulting contract will be mailed to the address shown onthe bid in the absence of written instructions from the bidder or contractor to the contrary. Anybid submitted by a partnership must be signed with the partnership name by a general partnerwith authority to bind the partnership. Any bid submitted by a corporation must be signed withthe name of the corporation followed by the signature and title of the person having authority tosign for the corporation. Bidders shall complete and sign all Representations, Certifications andAcknowledgments as appropriate. Failure to do so may result in a bid rejection.

L.13 ACKNOWLEDGMENT OF AMENDMENTS

The bidder shall acknowledge receipt of any amendment to this solicitation (a) by signing andreturning the amendment; (b) by identifying the amendment number and date in the spaceprovided for this purpose in Section A, Solicitation, Offer and Award form; or (c) by letter,telegram or e-mail from an authorized representative. The District must receive theacknowledgment by the date and time specified for receipt of bids. A bidder’s failure toacknowledge an amendment may result in rejection of its bid.

L.14 BIDS WITH OPTION YEARS

The bidder shall include option year prices in its bid. A bid may be determined to benonresponsive if it does not include option year pricing.

L.15 LEGAL STATUS OF BIDDER

Each bid must provide the following information:

L.15.1 Name, address, telephone number and federal tax identification number of bidder;

L.15.2 A copy of each District of Columbia license, registration or certification that the bidderis required by law to obtain. This mandate also requires the bidder to provide a copy ofthe executed “Clean Hands Certification” that is referenced in D.C. Official Code §47-2862, if the bidder is required by law to make such certification. If the bidder is acorporation or partnership and does not provide a copy of its license, registration orcertification to transact business in the District of Columbia, the bid shall certify itsintent to obtain the necessary license, registration or certification prior to contract awardor its exemption from such requirements; and

L.15.3 If the bidder is a partnership or joint venture, the names and addresses of the generalpartners or individual members of the joint venture, and copies of any joint venture orteaming agreements.

L.16 BID OPENING

The District shall publicly open bids submitted in response to this IFB. The District shall readaloud or otherwise make available the name of each bidder, the bid price, and other informationthat is deemed appropriate.

L.17 CERTIFICATES OF INSURANCE

Prior to commencing work, the Contractor shall have its insurance broker or insurance companysubmit certificates of insurance giving evidence of the required coverages as specified in Section I.8to:

L.18 GENERAL STANDARDS OF RESPONSIBILITY

The prospective contractor must demonstrate to the satisfaction of the District its capability in allrespects to perform fully the contract requirements; therefore, the prospective contractor mustsubmit the documentation listed below, within five (5) days of the request by the District.

L.18.1 Evidence of adequate financial resources, credit or the ability to obtain such resources asrequired during the performance of the contract.

L.18.2 Evidence of the ability to comply with the required or proposed delivery or performanceschedule, taking into consideration all existing commercial and governmental businesscommitments.

L.18.3 Evidence of the necessary organization, experience, accounting and operational control,technical skills or the ability to obtain them.

L.18.4 Evidence of compliance with the applicable District licensing and tax laws and regulations.

L.18.5 Evidence of a satisfactory performance record, record of integrity and business ethics.

L.18.6 Evidence of the necessary production, construction and technical equipment and facilities or theability to obtain them.

L.18.7 Evidence of other qualifications and eligibility criteria necessary to receive an award underapplicable laws and regulations.

L.18.8 If the prospective contractor fails to supply the information requested, the CO shall make thedetermination of responsibility or nonresponsibility based upon available information. If theavailable information is insufficient to make a determination of responsibility, the CO shalldetermine the prospective contractor to be nonresponsible.

SECTION M: EVALUATION FACTORS

M.1. Preferences for Certified Business Enterprises

Under the provisions of the “Small, Local, and Disadvantaged Business Enterprise Developmentand Assistance Act of 2005”, as amended, D.C. Official Code § 2-218.01 etseq. (the Act), theDistrict shall apply preferences in evaluating bids from businesses that are small, local,disadvantaged, resident-owned, longtime resident, veteran-owned, local manufacturing, or localwith a principal office located in an enterprise zone of the District of Columbia.

M.1.1. Application of Preferences

For evaluation purposes, the allowable preferences under the Act shall be applicable to primecontractors as follows:

M.1.1.1 Any prime contractor that is a small business enterprise (SBE) certified by the Department ofSmall and Local Business Development (DSLBD) will receive a three percent (3%)reduction in the bid price for a bid submitted by the SBE in response to this Invitation forBids (IFB).

M.1.1.2 Any prime contractor that is a resident-owned business (ROB) certified by DSLBD willreceive a five percent (5%) reduction in the bid price for a bid submitted by the ROB inresponse to this IFB.

M.1.1.3 Any prime contractor that is a longtime resident business (LRB) certified by DSLBD willreceive a five percent (5%) reduction in the bid price for a bid submitted by the LRB inresponse to this IFB.

M.1.1.4 Any prime contractor that is a local business enterprise (LBE) certified by DSLBD willreceive a two percent (2%) reduction in the bid price for a bid submitted by the LBE inresponse to this IFB.

M.1. 1.5 Any prime contractor that is a local business enterprise with its principal offices located in anenterprise zone (DZE) certified by DSLBD will receive a two percent (2%) reduction in thebid price for a bid submitted by the DZE in response to this IFB.

M.1.1.6 Any prime contractor that is a disadvantaged business enterprise (DBE) certified by DSLBDwill receive a two percent (2%) reduction in the bid price for a bid submitted by the DBE inresponse to this IFB.

M.1.1.7 Any prime contractor that is a veteran-owned business (VOB) certified by DSLBD willreceive a two percent (2%) reduction in the bid price for a bid submitted by the VOB inresponse to this IFB.

M.1.1.8 Any prime contractor that is a local manufacturing business enterprise (LMBE) certified byDSLBD will receive a two percent (2%) reduction in the bid price for a bid submitted by theLMBE in response to this IFB.

M.1.2 Maximum Preference Awarded

Notwithstanding the availability of the preceding preferences, the maximum total preference towhich a certified business enterprise is entitled under the Act is twelve per cent (12%) for bidssubmitted in response to this IFB. There will be no preference awarded for subcontracting by theprime contractor with certified business enterprises.

M.1.3 Preferences for Certified Joint Ventures

When DSLBD certifies a joint venture, the certified joint venture will receive preferences as aprime contractor for categories in which the joint venture and the certified joint venture partnerare certified, subject to the maximum preference limitation set forth in the preceding paragraph.

M.1.4 Verification of Bidder’s Certification as a Certified Business Enterprise

M.1.4.1 Any vendor seeking to receive preferences on this solicitation must be certified at the time ofsubmission of its bid. The CO will verify the bidder’s certification with DSLBD, and thebidder should not submit with its bid any documentation regarding its certification as acertified business enterprise.
