This RFQ is not an agreement and is neither an offer nor invitation by DGCA to the prospective Respondents or
any other person. The purpose of this RFQ is to provide interested parties with information that may be useful
to them in the formulation of their Response for qualification pursuant to this RFQ (the “Response”). This RFQ
includes statements, which reflect various assumptions and assessments arrived at by DGCA in relation to the
Project. Such assumptions, assessments and statements do not purport to contain all the information that
each Respondent may require. This RFQ may not be appropriate for all persons, and it is not possible for DGCA,
its employees or advisors to consider the investment objectives, financial situation and particular needs of
each party who reads or uses this RFQ. The assumptions, assessments, statements and information contained
in this RFQ may not be complete, accurate, adequate or correct. Each Respondent should therefore, conduct
its own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and
completeness of the assumptions, assessments, statements and information contained in this RFQ and obtain
independent advice from appropriate sources.
Information provided in this RFQ to the Respondent(s) is on a wide range of matters, some of which depends
upon interpretation of law. The information given is not an exhaustive account of statutory requirements and
should not be regarded as a complete or authoritative statement of law. DGCA accepts no responsibility for
the accuracy or otherwise for any interpretation or opinion on law expressed herein.
DGCA, its employees and advisors make no representation or warranty and shall have no liability to any
person, including any Respondent or Bidder, under any law, statute, rules or regulations or tort, principles of
restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or
be incurred or suffered on account of anything contained in this RFQ or otherwise, including the accuracy,
adequacy, correctness, completeness or reliability of the RFQ and any assessment, assumption, statement or
information contained therein or deemed to form part of this RFQ or arising in any way with pre-qualification
of Respondents for participation in the Bidding Process.
DGCA also accepts no liability of any nature whether resulting from negligence or otherwise howsoever caused
arising from reliance of any Respondent upon the statements contained in this RFQ.
DGCA may, in its absolute discretion but without being under any obligation to do so, update, amend or
supplement the information, assessment or assumptions contained in this RFQ.
The issue of this RFQ does not imply that DGCA is bound to select and short-list pre-qualified bidders for Bid
Stage or to appoint the selected Bidder, as the case may be, for the Project and DGCA reserves the right to
reject all or any of the Responses or Bids without assigning any reasons whatsoever.
The Respondent shall bear all its costs associated with or relating to the preparation and submission of its
Response including but not limited to preparation, copying, postage, delivery fees, expenses associated with
any demonstrations or presentations which may be required by DGCA or any other costs incurred in
connection with or relating to its Response. All such costs and expenses will remain with the Respondents and
DGCA shall not be liable in any manner whatsoever for the same or for any other costs or other expenses
incurred by a Respondent in preparation or submission of the Response, regardless of the conduct or outcome
of the Bidding Process.

1 Introduction
1.1 About DGCA
The Directorate General of Civil Aviation (DGCA) is a regulatory body under Ministry of Civil Aviation
and its primary function is to ensure safe air travel in the country. DGCA is responsible from policy
making to ensuring proper implementation of safety measures and guidelines (including
international guidelines). DGCA maintains control over stakeholders such that compliance to safety
standards is adhered to and efficient air travel is ensured in India.
DGCA, located in New Delhi, is headed by the Director General (DG) and has 12 Directorates and 4
Divisions. Further, DGCA has 5 Regional Offices (ROs) located in Delhi, Bangalore, Mumbai, Chennai
and Kolkata and 10 Sub-Regional Offices (SROs) Located in Pune, Lucknow, Kanpur, Patiala, Patna,
Bhubaneswar, Guwahati, Hyderabad, Trivandrum and Bhopal.
1.2 Project Background
DGCA performs many important, process oriented and paper work intensive functions which are
critical for safe and efficient air travel throughout India. Most of the work and the services provided
to the stakeholders are done manually and are not IT enabled which put significant constraints on
DGCA officials for timely processing of various activities. It is with this view and a strong desire to
provide efficient, effective and speedy services to the stakeholders that DGCA has embarked on the
eGCA (e-Governance for Civil Aviation) project.
DGCA is seeking to enhance its productivity, quality of service and effectiveness by introducing
automation across the enterprise. To achieve this objective, DGCA has initiated the Project-
eGovernance for Civil Aviation (eGCA) which envisages online service delivery, automation of the
systems and processes at the back-end and implementation of required IT infrastructure.
The vision of eGCA project is to completely automate the processes and functions of DGCA and its
constituent directorates as well as provide a strong base for IT infrastructure and service delivery
framework. The project envisages an end-to-end system including various software applications,
Data Center, Disaster Recovery site, client and server side infrastructure, Network to connect all the
offices of DGCA, a ‘Portal’ for dissemination of information and for providing online and speedy
service delivery supported by Digital Signatures for security.
1.3 Project Objectives
The objectives of eGCA are:
• Enhanced Service Delivery – Provide online and technology based services to stakeholders with speed and certainty. Meet the timelines in CARs.
• Speedy Back-Office Processing – Efficient technology automation of processes – application, verification, approval, audit and support functions
• Greater coordination through cross-functional integration and cross-entity interfacing - Create a central, secure electronic repository of all records
• Effective Surveillance & Enforcement - MIS Reports/Historical Track record and Analysis

• Ease of Data access – With a digitized environment and an automated workflow it will be very easy to identify data
• Interface with Regional and Sub-Regional offices - To communicate, share and constantly work hand in hand with the other offices in a very efficient way
1.4 Scope of Services
1.4.1 High Level Overview of Proposed Solution
The proposed solution comprises of the business processes/services, application solution components and the infrastructure components.
A brief overview on each of the components is provided below:
1.4.1.1 Business Processes
DGCA and its directorates have close to 100 services as indicated in Annexure-II; however
these services could be grouped into broad categories of services groups as given in the
figure.
Note: The Examination module is being developed by NIC, so necessary interfaces need to be developed for the seamless flow of information between eGCA system and Examination module.

Factors considered for Service grouping:
1. Services with similar administrative workflow could be grouped together, for example
Registration, Certification, Permits, Approvals and licensing processes have a similar
workflow and thus are grouped into a bucket of services called licensing/ Permits/
Certifications.
2. Services performing a similar type of function/having a common objective were grouped
together. For example Audits/Surveillance/Inspections are functions which are exhaustively
performed across all the DGCA Directorates and accounts for a major proportion of the
services. While the audit may be of different types or of varied components, the procedure
and the objective are similar.
3. Services related to examinations to pilots, aircraft maintenance engineers are grouped
under examinations
4. Similarly all the HR/Establishment related functions are grouped under Establishment &
Administration and the finance and accounts related functions are grouped under Finance.
However the SP may group/design the services based on the proposed solution.
1.4.1.2 Application Solution Components
Service Provider shall implement the below requirements preferably using product based
solutions. An indicative solution components but not limited to the following components
is detailed in the following sections.
1. Interfaces and Access Channels such as Web Portal, Mobile/Smart Phone
2. Enterprise Content Management System
3. eForms
4. BPM/Case Management
5. Payment & Mobile Gateway
6. Digital Signatures
7. MIS Reporting Engine
8. Rule/Policy Automation

1.4.1.3 Infrastructure Solution Components
The infrastructure solution components of the DGCA comprise of the following:
1. Hosted Data Centre and Disaster Recovery at NIC Data Centre.

2. Networking the DGCA Headquarters, Regional Offices and the Sub-Regional Offices.
3. Server and Client Hardware & Software Components
1.4.1.4 Scope of work for Services Provider
The Service Provider selected through the bidding process will be responsible for
providing end to end services on a Turnkey basis as indicated below:
Overall Project Management
Study, Design (including Process Re-engineering), Configure/Customize & Implement
the eGCA Solution
Procurement of software product licenses and associated software solution
components.
Procurement, Installation, Configuration and Commissioning of the IT Infrastructure:
a. Procurement, Installation & Commissioning of the client side Personal Computers (hardware and software) and Peripherals at all offices including HQ, ROs and SROs
b. Installation, operation and Commissioning of Networks at all DGCA office including HQ, ROs and SROs.
c. Procurement of necessary Infrastructure (servers), Setup & commissioning of DC and DRC (Hosting and Facility Management Services)
Data Migration, Digitization of historical data
Training & Change Management
Digital Signature / PKI Issuance and Management Processes
Support to Acceptance Testing, 3rd Party Audit and Certification
Provide Operations and maintenance (Post Implementation) services as per the
Service Levels defined in the RFP
Exit Management & Transition at the end of contract period
Handholding Support at the Client Sites (DGCA-HQ, RO Offices, and SRO Offices)
A presentation will be made to the shortlisted respondents on a scheduled date before
the release of the RFP

1.4.1.5 Payment Model
A certain percentage of the total cost of the project will be made based on a particular
milestone and the balance payments will be made at half yearly instalments during the
operations and maintenance based on the Service Level Agreement (SLA).
1.4.1.6 Timelines of Project

1.4.1.7 Requirement on the Project Office
The Service Provider shall either have a Project Office or commit to setup a Project Office
in the National Capital Region (NCR) of Delhi during the project implementation and
maintenance phase.
The requirements given in this Request for Qualification are indicative only and DGCA shall seek inputs from the short listed respondents in further refining the requirements and all aspects of services before finalizing the Request for Proposal.

1.5 Brief Description of Bidding Process
1.5.1 DGCA has adopted a two-stage process (collectively referred to as the "Bidding Process")
for selection of the Service Provider or the Bidder for award of the Project. The first stage
(the "Pre-Qualification Stage") of the process involves qualification (the “Pre-
Qualification”) of interested parties who submit a Response in accordance with the
provisions of this RFQ (the "Bidders"). At the end of this stage, DGCA expects to announce a
short-list of pre-qualified Respondents who shall be eligible for participation in the second
stage of the Bidding Process (the "Bid Stage or the RFP Stage") comprising Request for
Proposal (the “Request for Proposal” or “RFP”).
1.5.2 In the Pre-Qualification Stage, Bidders or Respondents would be required to furnish all the
information specified in this RFQ. Only those Bidders or Respondents who are pre-qualified
as per the pre-qualification criteria described in this RFQ by DGCA shall be invited to submit
their Bids for the Project during Bid stage in accordance with the procedure set out in the
RFP (Request for Proposal)
1.5.3 A non-refundable processing fee for INR 1,00,000 (Rupees One Lakh only) in the form of a
Demand draft or a Pay Order drawn in favour of Pay & Accounts Officer, DGCA, payable at
New Delhi has to be submitted along with the RFQ Response. Responses received without
or with inadequate RFQ Processing fees shall be liable to get rejected.
1.5.4 In the second Stage of Bidding, the Bid Stage, the qualified Bidders will be called upon to
submit the technical and financial proposals (the "Bids" or Proposals) in respect of the
Project, in accordance with the RFP and other documents to be provided by the DGCA,
pursuant to the RFP (collectively the "Bidding Documents").
1.5.5 DGCA will review the Techno-Commercial bids of the short-listed bidders to determine
whether the Techno-Commercial bids are substantially responsive. Bids that are not
substantially responsive are liable to be disqualified. DGCA may seek inputs from their
professional, external experts in the Techno-Commercial and Price evaluation process.
1.5.6 Further and other details of the process to be followed at the Bid Stage and the terms
thereof will be spelt out in the Bidding Documents.
1.5.7 Any queries or request for additional information concerning this RFQ shall be submitted in
writing or by fax and e-mail to the officer designated in Clause 2.11.2 below. The
envelopes/ communications shall clearly bear the following identification/title:

2 Instructions to Respondents
2A General
2.1 Scope of Response
2.1.1 DGCA wishes to receive Responses for pre-Qualification in order to short-list experienced
and capable Bidders for the Bidding Stage.
2.1.2 Short-listed Bidders may be subsequently invited to submit the Bids for the Project.
2.2 Eligibility of the Respondent
2.2.1 The Respondent for pre-qualification shall be a single entity and no consortium is allowed.
2.2.2 A Respondent may be a natural person, private entity, or any combination of them with a
formal intent to enter into an agreement.
2.2.3 A Respondent shall not have a conflict of interest (the “Conflict of Interest”) that affects the
Bidding Process. Any Respondent found to have a Conflict of Interest shall be disqualified. A
Respondent shall be deemed to have a Conflict of Interest that affects the Bidding Process,
if:
I. the Respondent, its Member or Associate (or any constituent thereof) and any
other Applicant, its Member or Associate (or any constituent thereof) have common
controlling shareholders or other ownership interest; provided that this

disqualification shall not apply in cases where the direct or indirect shareholding of
a Respondent, its Member or Associate (or any shareholder thereof having a
shareholding of more than five percent of the paid up and subscribed share capital
of such Respondent, Member or Associate, as the case may be) in the other
Respondent, its Member or Associate, as the case may be, is less than five per cent
of the paid up and subscribed share capital thereof;
provided further that this disqualification shall not apply to a bank, insurance
company, pension fund or a public financial institution referred to in section 4A of
the Companies Act 1956; or
II. a constituent of such Respondent is also a constituent of another Respondent; or
III. such Respondent receives or has received any direct or indirect subsidy, grant,
concessional loan or subordinated debt from any other Respondent, its Member or
Associate or has provided any such subsidy to any other Respondent; or
IV. such Respondent has the same legal representative for purposes of this Response
as any other Respondent; or
V. such Respondent has a relationship with another Respondent, directly or through
common third party/ parties, that puts either or both of them in a position to have
access to each others’ information about, or to influence the Response of either or
each other; or
VI. such Respondent has participated as a consultant to DGCA in the preparation of any
documents, design or technical specifications of the Project.
2.2.4 A Respondent shall be liable for disqualification if any legal, financial or technical adviser of
the DGCA in relation to the project is engaged by Respondent in any manner for matters
related to or incidental to the project. This disqualification shall not apply where such
adviser was engaged by the applicant in the past but its assignment expired or was
terminated six months prior to the date of issue of this RFQ.
2.2.5 To be eligible for pre-qualification and short-listing, a Respondent shall fulfil all the criteria
for evaluation mentioned in Section 3 .
2.2.6 The Respondent should submit a Power of Attorney as per the format at Annexure-I: Form-
VI, authorising the signatory of the Response to commit the Respondent.
2.2.7 Any entity which has been barred by Government of India, or any entity controlled by it,
from participating in any project, and the bar subsists as on the date of Response, would not
be eligible to submit a Response
2.2.8 The Respondent should, in the last three years, have neither failed to perform on any
contract, as evidenced by imposition of a penalty by an arbitral or judicial authority or a
judicial pronouncement or arbitration award against the Respondent, nor been expelled
from any project or contract nor have had any contract terminated for breach by such
Respondent.

2.2.9 The following conditions shall be adhered to while submitting a Response:
i) Respondents should attach clearly marked and referenced continuation sheets in the event
that the space provided in the prescribed forms in the Annexure - I is insufficient.
Alternatively, Respondents may format the prescribed forms making due provision for
incorporation of the requested information;
ii) Information supplied by a Respondent must apply to the Respondent, Member or Associate
named in the Response and not, unless specifically requested, to other associated
companies or firms. Invitation to submit Bids will be issued only to Respondents whose
identity and/ or constitution is identical to that at prequalification;
iii) In responding to the pre-qualification submissions, Respondents should demonstrate their
capabilities in accordance with Clause 3.1 below.
2.2.10 Notwithstanding anything to the contrary contained herein, in the event that the Response Due Date falls within three months of the closing of the latest financial year of a Respondent, it shall ignore such financial year for the purposes of its Response and furnish all its information and certification with reference to the number of years mentioned, as the case may be, preceding its latest financial year. For the avoidance of doubt, financial year shall, for the purposes of a Response hereunder, mean the accounting year followed by the Respondent in the course of its normal business.
2.3 Number of Responses and costs thereof
2.3.1 A Respondent is eligible to submit only one Response for the Project.
2.3.2 The Respondents shall be responsible for all of the costs associated with the preparation of
their Responses and their participation in either the Qualification Stage or the Bid Stage.
DGCA will not be responsible or in any way liable for such costs, regardless of the conduct
or outcome of the RFQ Process.
2.4 Acknowledgement by the Respondent
2.4.1 By submitting a response to this RFQ, each respondent shall be deemed to acknowledge
that it has
a. carefully read all sections of this RFQ, including all forms, annexure hereto,
b. has fully informed himself/herself as to all existing conditions and limitations
c. received all relevant information requested from DGCA and
d. agreed to be bound by the undertakings provided by it under and in terms hereof.

2.4.2 The DGCA shall not be liable for any omission, mistake or error on the part of the
Respondent in respect of any of the above or on account of any matter or thing arising out
of or concerning or relating to the RFQ or the Bidding Process, including any error or
mistake therein or in any information or data given by the DGCA.
2.5 Right to accept or reject any or all Responses
2.5.1 Notwithstanding anything contained in this RFQ, DGCA reserves the right to accept or reject any Response and to annul the Bidding Process and reject all Responses, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof. In the event that DGCA rejects or annuls all the Bids, it may, in its discretion, invite all Bidders to submit fresh Bids hereunder
2.5.2 DGCA reserves the right to reject any Response and/ or Bid if: a) at any time, a material misrepresentation is made or uncovered, or
b) the Respondent does not provide, within the time specified by DGCA, the
supplemental information sought by DGCA for evaluation of the Response.
Such misrepresentation/ improper response shall lead to the disqualification of the
Respondent / Bidder.
2.5.3 In case it is found during the evaluation or at any time before signing of the Agreement or
after its execution and during the period of Agreement, that one or more of the pre-
qualification conditions have not been met by the Respondent or the Respondent has made
material misrepresentation or has given any materially incorrect or false information, the
Respondent shall be disqualified forthwith if not yet appointed as the Service Provider
either by issue of the LOA or entering into of the Agreement, and if the Respondent has
already been issued the LOA or has entered into the Agreement, as the case may be, the
same shall, notwithstanding anything to the contrary contained therein or in this RFQ, be
liable to be terminated, by a communication in writing by DGCA to the Respondent,
without DGCA being liable in any manner whatsoever to the Respondent and without
prejudice to any other right or remedy which DGCA may have under this RFQ.
2.5.4 DGCA reserves the right to verify all statements, information and documents submitted by
the Respondent in response to the RFQ. Failure of DGCA to undertake such verification shall
not relieve the Respondent of its obligations or liabilities hereunder nor will it affect any
rights of DGCA there under.
2.5.5 DGCA makes no commitments, explicit or implicit, that this process will result in business
transaction with anyone.

2.6 Contents of RFQ
This RFQ comprises the disclaimer set forth hereinabove, the contents as listed below, and will

2.7 Clarifications
2.7.1 Bidders or Respondents requiring any clarification on the RFQ may notify DGCA in writing or
by fax or e-mail in accordance with Clause 1.5.7. They should send in their queries before
the date specified in the schedule of submitting the Response contained in Clause 1.6.
DGCA shall endeavour to respond to the queries within the period specified therein. (The
responses will be sent by e-mail. DGCA will publish all the queries (without identifying the
source of queries.) and DGCA’s responses thereto on its web site
2.7.2 The DGCA shall endeavour to respond to the questions raised or clarifications sought by the
Respondents. However, DGCA reserves the right not to respond to any question or provide
any clarification, in its sole discretion, and nothing in this Clause shall be taken or read as
compelling or requiring the DGCA to respond to any question or to provide any clarification.

2.7.3 The Respondents are requested to note that DGCA will try its best to answer the queries.
However, DGCA has the right to not to respond to the questions it perceives as non-
relevant which were raised by a Respondent or not to provide clarifications if DGCA in its
sole discretion considered that no reply is necessary. No extension of Deadline for
Submission of Response will be granted on the basis or grounds that DGCA has not
responded to any question directly or indirectly or not provided any clarification to a query
and the clauses or conditions as mentioned in the RFQ will remain valid.
2.7.4 DGCA may also on its own motion, if deemed necessary, issue interpretations and
clarifications to all Respondents. All clarifications and interpretations issued by the DGCA
shall be deemed to be part of the RFQ. Verbal clarifications and information given by DGCA
or its employees or representatives shall not in any way or manner be binding on the DGCA.
2.8 Amendment of RFQ
2.8.1 At any time prior to the deadline for submission of the Response, DGCA may, for any
reason, whether at its own initiative or in response to clarifications requested by a
Respondent, modify the RFQ by the issuance of Addenda.
2.8.2 Any Addendum or Supplemental information thus issued will be made available on DGCA
website. Any such addendum/supplement shall be deemed to be incorporated by this
reference into this RFQ.
2.8.3 In order to allow Respondents a reasonable time to take the amendment(s) into account in
preparing their Responses, DGCA, at its discretion, may extend the deadline for the
submission of responses.
2C Preparation and Submission of Response
2.9 Language
The Response and all related correspondence and documents in relation to the RFQ Process
shall be in English language.
2.10 Format and Signing of Response
2.10.1 Format and signing of the Response should adhere to the following guidelines
i) The Response to the RFQ shall be prepared in accordance with the requirements specified
in this RFQ and in the format prescribed in this document for each of the qualifying criteria
mentioned in Section 3 as proof of having the minimum requirements.
ii) The response must be direct, concise, and complete. All information not directly relevant to
this RFQ should be omitted.
iii) The response shall be sealed and super scribed “Response to RFQ – eGCA Project” on the
top right hand corner and addressed to DGCA at the address specified in this document.

iv) The response should be submitted with two printed copies, one marked ORIGINAL and the
second one as DUPLICATE and a soft copy on non-rewriteable compact discs (CDs) with all
the contents of the response. The words “Response to RFQ – eGCA Project” shall be written
in indelible ink on the CD. The Hard Copy shall be typed or written in indelible ink and signed
by the authorized signatory on all the pages in blue ink before being put along with the CD in
the envelope and sealed. All the alterations, omissions, additions or any other amendments
made to the Response shall be initialled by the person(s) signing the Response.
v) The Response shall contain page numbers and shall be bound together in hard cover.
vi) The Respondent shall ensure that the contents of the printed version and the soft copy (CD)
are identical. In case of discrepancies between the information in the printed version and
the contents of the CDs, the ORIGINAL printed version of the response will prevail and will
be considered as the response for the purpose of evaluation.
vii) The response should contain the copies of references and other documents as specified in
the RFQ.
viii) A board resolution or Power of Attorney authorizing the Respondent to sign/ execute the
response to the RFQ as a binding document and also to execute all relevant agreements
forming part of RFQ shall be included in this envelope.
ix) DGCA will not accept delivery of response in any manner other than that specified in this
RFQ. The response delivered in any other manner shall be treated as defective, invalid and
rejected.
2.11 Submission of Responses
2.11.1 The response should be submitted in the sealed envelope. The Respondent shall seal the
original and the copy of the Response, together with their respective enclosures, in
separate envelopes duly marking the envelopes as “ORIGINAL” and “COPY”. The envelopes
shall then be sealed in an outer envelope.
The respondents are requested to submit their responses for the RFQ in five (5) parts, clearly
labelled according to the following categories:
1. Part I – Covering Letter, Processing Fee, and Board Resolution or Power of
Attorney
a. Covering Letter from the Respondent as per the format provided in (Annexure I -
Form I)
b. A non-refundable processing fee for INR 1,00,000 (Rupees One Lakh only) in the
form of a Demand draft or a Pay Order drawn in favour of PAO, DGCA, payable at
New Delhi has to be submitted along with the RFQ Response.
c. Board resolution or Power of Attorney authorizing the Respondent to sign/ execute
the proposal as a binding document and also to execute all relevant agreements
forming part of RFQ (Annexure I – Form VII).
d. Statement of Legal Capacity stating that the authorised signatory is vested with
requisite powers to furnish the required letter and authenticate the same (Annexure I –
Form VI).

2. Part II – Details of the Organization
a. This part must include a general background of the respondent organization (limited
to 400 words) along with other details of the organization as per the format
provided in the RFQ (Annexure I – Form II). Enclose the mandatory supporting
documents listed in format.
b. The respondent must also provide the financial details of the organization as per
format provided in the RFQ (Annexure I – Form III). Enclose the mandatory
supporting documents listed in format.
3. Part III – Relevant Project Experience
a. Respondents must provide details (client organization, nature / scope of the project,
project value) of IT project experience as per the format provided in the RFQ
(Annexure I– Form IV). This form may be used to present the details of the projects
related to Government domain. The projects mentioned here should match with the
projects quoted by the respondent in order to satisfy the qualification requirements.
Enclose the mandatory supporting documents listed in format.
4. Part IV – Proof of Fulltime IT Professionals in the Respondent’s Organization
a. The respondent must enclose certified copy by Statutory Auditor or Company
Secretary of the respondent’s organization with the number of full time IT
professionals in the respondent’s organization.
5. Part V – Proof of Certification
a. Assessment and Certification of the required certification (CMMi Level 3).

2.11.3 If the envelopes are not sealed and marked as instructed above, DGCA assumes no
responsibility for the misplacement or premature opening of the contents of the Response
and consequent losses, if any, suffered by the Respondent.
2.11.4 Responses submitted by fax, telex, telegram or e-mail shall not be entertained and shall be
rejected.
2.12 Response due date
2.12.1 Responses should be submitted on the date and time mentioned in Clause1.6. In the
manner and form as detailed in this RFQ. A receipt thereof should be obtained from the
person specified in Clause 2.11.2
2.12.2 DGCA may, in its sole discretion, extend the Response Due Date by issuing an Addendum in
accordance with Clause 2.8 uniformly for all Respondents.
2.13 Late Response submission
Responses received by the DGCA after the specified time on the Responses Due Date shall
not be eligible for consideration and shall be summarily rejected.
2.14 Modifications/ substitution/ withdrawal of Applications
2.14.1 The Respondent may modify, substitute or withdraw its Response after submission,
provided that written notice of the modification, substitution or withdrawal is received by
DGCA prior to Response Due Date. No Response shall be modified, substituted or
withdrawn by the Respondent on or after the Response Due Date.
2.14.2 The modification, substitution or withdrawal notice shall be prepared, sealed, marked,
and delivered in accordance with Clause 2.10, with the envelopes being additionally
marked “MODIFICATION”, “SUBSTITUTION” or “WITHDRAWAL”, as appropriate.
2.14.3 Any alteration/ modification in the Responses or additional information supplied
subsequent to the Response Due Date, unless the same has been expressly sought for by
DGCA, shall be disregarded.

2D Evaluation Process
2.15 Opening and Evaluation of Responses
2.15.1 Responses will be evaluated by a Committee of Officers (the “Committee”) appointed by
DGCA or their designated representative(s). DGCA or such other authority designated by
DGCA as the case may be is also referred to herein as the Committee of Officers (or
“Committee”).
2.15.2 DGCA shall open the Responses on the Response Due Date, at the place specified in Clause
2.11.2 and in the presence of the Respondents who choose to attend.
2.15.3 Responses for which a notice of withdrawal has been submitted in accordance with Clause
2.14 shall not be opened.
2.15.4 DGCA will subsequently examine and evaluate Responses in accordance with the provisions
set out in Section 3.
2.15.5 Respondents are advised that pre-qualification of Respondents will be entirely at the
discretion of DGCA. Respondents will be deemed to have understood and agreed that no
explanation or justification on any aspect of the Bidding Process or selection will be given.
2.15.6 Any information contained in the Response shall not in any way be construed as binding on
DGCA, its agents, successors or assigns, but shall be binding against the Respondent if any
Project is subsequently awarded to it under the Bidding Process on the basis of such
information.
2.15.7 DGCA reserves the right not to proceed with the Bidding process at any time without
notice or liability and to reject any Response without assigning any reasons.
2.15.8 If any information furnished by the Respondent is found to be incomplete or contained in
formats other than those specified herein, DGCA may, in its sole discretion reserve the
right to reject the Response.
2.16 Confidentiality
Information relating to the examination, clarification, evaluation, and recommendation for the
short-listed pre-qualified Respondents shall not be disclosed to any person who is not officially
concerned with the process or is not a retained professional advisor advising DGCA in relation
to or matters arising out of, or concerning the Bidding Process. DGCA will treat all information,
submitted as part of Response, in confidence and will require all those who have access to
such material to treat the same in confidence. DGCA may not divulge any such information
unless it is directed to do so by any statutory entity that has the power under law to require
its disclosure or is to enforce or assert any right or privilege of the statutory entity and/ or
DGCA.

2.17 Tests of responsiveness
2.17.1 Prior to evaluation of Responses, DGCA shall determine whether each Response is
responsive to the requirements of the RFQ. A Response shall be considered responsive only
if:
a) it is received as per forms specified in Annexure-I
b) it is received by the Due Date including any extension thereof pursuant to Clause 2.12.2;
c) it is signed, sealed, hard bound and marked as stipulated in Clause 2.10;
d) it is accompanied by the Power(s) of Attorney as specified in Clause 2.2.6;
e) it contains all the information (complete in all respects) as requested in this RFQ;
f) it contains information in formats same as those specified in this RFQ
g) it contains certificates from statutory auditors as specified at Annexure-I : Form III of
the RFQ;
h) it contains a demand Draft for payment of Rs. 1,00,000 (Rupees one Lakh only) to DGCA
towards the Response processing fee;
i) it does not contain any condition or qualification; and
j) it is not non-responsive in terms hereof.
2.17.2 DGCA reserves the right to reject any Response which is non-responsive and no request for
alteration, modification, substitution or withdrawal shall be entertained by DGCA in
respect of such Response.
2.18 Clarifications
2.18.1 To facilitate evaluation of Responses, DGCA may, at its sole discretion, seek clarifications
from any Respondent regarding its Response. Such clarification(s) shall be provided within
the time specified by DGCA for this purpose. Any request for clarification(s) and all
clarification(s) shall be in writing.
2.18.2 If a Respondent does not provide clarifications sought under Clause 2.18.1 above within
the prescribed time, DGCA may proceed to evaluate the Response by construing the
particulars requiring clarification to the best of its understanding and the Respondent shall
be barred from subsequently questioning such interpretation of DGCA.

2E Qualification and Bidding
2.19 Short-listing and notification
After the evaluation of Responses, DGCA would announce a list of shortlisted pre-qualified
Respondents (Bidders) who will be eligible for participation in the Bid Stage. At the same
time, DGCA would notify the other Respondents that they have not been short-listed. DGCA
will not entertain any query or clarification from Respondents who fail to qualify.
2.20 Submission of Bids at RFP/Bid Stage The Respondents/Bidders will be requested to submit a Bid in the form and manner to be set
out in the RFP/Bidding Documents.
The RFP will be issued only to the shortlisted bidders. DGCA is likely to provide a
comparatively short time span for submission of the Bids in response to the RFP. The short-
listed bidders are therefore advised to familiarise themselves with the Project by the time of
submission of the Bids at Bid/RFP stage. No extension of time is likely to be considered for
submission of Bids pursuant to the RFP that may be issued by the DGCA.
2.21 Proprietary data
All documents and other information supplied by DGCA or submitted by Respondents to
DGCA shall remain or become the property of DGCA. Respondents are to treat all
information as strictly confidential and shall not use it for any purpose other than for
preparation and submission of their Response. DGCA will not return any Response or any
information provided along therewith.
2.22 Correspondence with the Respondent
DGCA shall not entertain any correspondence with any Respondent in relation to the
acceptance or rejection of any Response.
3 CRITERIA FOR EVALUATION
3.1 Evaluation Parameters
The Responses received will be evaluated based on the following criteria as specified below
a) The participation is restricted to companies registered in India who fulfil all the criteria:
i. The respondent should be a company registered under Indian Companies Act 1956. The
company should be primarily providing IT / ICT / ITeS solution & services in India for at
least the last five financial years ending 31st March 2013 as evidenced by the Certificate
of Incorporation issued by the Registrar of Companies, India. The respondent will be a
single legal entity.
ii. The respondent should be a profitable company for the last three years and must have
an annual turnover of not less than INR 500 Crores for each of the last three financial
years ending 31st March 2013. Out of the total turnover of the company at least INR
250 Crores or above should be from IT services/solutions and system integration
services for each of the last three years

iii. The Respondent must have executed1 at least Three (3) ‘IT Projects2 ’ of total contract
value of INR 50 Crores or above, of which at least two projects shall be ’Turnkey IT
Projects3 ’
iv. The respondent must have executed at least one of the above Three projects of value at
least INR 10 Crores for a Government State or Central / public sector enterprises in
India
v. The Respondent must have at least 1000 full time IT professionals on its payroll
vi. The Respondent must have been assessed and certified for CMMi4 Level 3 or above
either in Development or IT Services. The certificate should be valid at the date of
submission of the bid
Notes:
1. Only Project Citations executed in the last 5 financial years (2008-2013) will be considered for
evaluation. All the projects application completion or Go-Live should have happened but the
operation & maintenance activities may be on-going.
2. ‘IT Projects’ relates to projects involving IT Application and Operations & Maintenance Services on
the application. In respect of the cited projects, the respondent should have been directly responsible
for the implementation of the projects and not just a member of a consortium.
3. ‘Turnkey IT Projects’ relates to projects involving IT Application, IT Infrastructure, and Operations &
Maintenance Services on the application and infrastructure. In respect of the cited projects, the
respondent should have been directly responsible for the implementation of the projects and not just
a member of a consortium.
4. In case of respondents where the CMMi certification is under renewal, the respondents shall
provide the details of the previous CMMi certification and the current assessment details for
consideration in the RFQ process.
The CMMi certification should be valid as on the last date of Response submission. In case of expiry
of current assessment, the bidder shall provide a certificate from the SEI auditor that reassessment
for the same or higher level is commenced. The bidder shall ensure the assessment for the first year
after the contract is commenced.
4 FRAUD AND CORRUPT PRACTICES
4.1 The respondent and their respective officers, employees, agents and advisers shall observe
the highest standard of ethics during the Bidding Process. Notwithstanding anything to the
contrary contained herein, DGCA shall reject the response without being liable in any
manner whatsoever to the respondent if it determines that the respondent has, directly or
indirectly or through an agent, engaged in corrupt practice, fraudulent practice, coercive
practice, undesirable practice or restrictive practice in the Bidding Process.
4.1.1 Without prejudice to the rights of DGCA under Clause 4.1 hereinabove, if a respondent is
found by DGCA to have directly or indirectly or through an agent, engaged or indulged in
any corrupt practice, fraudulent practice, coercive practice, undesirable practice or
restrictive practice during the Bidding Process, such respondent shall not be eligible to
participate in any tender or RFQ issued by DGCA during a period of 2 (two) years from

the date such respondent is found by DGCA to have directly or indirectly or through an
agent, engaged or indulged in any corrupt practice, fraudulent practice, coercive
practice, undesirable practice or restrictive practice, as the case may be.
4.2 For the purposes of this Clause 4, the following terms shall have the meaning hereinafter
respectively assigned to them:
(a) “corrupt practice” means
(i) the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value
to influence the actions of any person connected with the Bidding Process (for
avoidance of doubt, offering of employment to or employing or engaging in any
manner whatsoever, directly or indirectly, any official of DGCA who is or has been
associated in any manner, directly or indirectly with the Bidding Process or the Letter
of Award (LOA) or has dealt with matters concerning the Agreement or arising there
from, before or after the execution thereof, at any time prior to the expiry of one year
from the date such official resigns or retires from or otherwise ceases to be in the
service of DGCA, shall be deemed to constitute influencing the actions of a person
connected with the Bidding Process);
or
(ii) engaging in any manner whatsoever, whether during the Bidding Process or after
the issue of the LOA or after the execution of the Agreement, as the case may be, any
person in respect of any matter relating to the Project or the LOA or the Agreement,
who at any time has been or is a legal, financial or technical adviser of DGCA in relation
to any matter concerning the Project;
(b) “fraudulent practice” means a misrepresentation or omission of facts or suppression of
facts or disclosure of incomplete facts, in order to influence the Bidding Process ;
(c) “coercive practice” means impairing or harming or threatening to impair or harm,
directly or indirectly, any person or property to influence any person’s participation or
action in the Bidding Process;
(d) “undesirable practice” means establishing contact with any person connected with or
employed or engaged by DGCA with the objective of canvassing, lobbying or in any
manner influencing or attempting to influence the Bidding Process; and
(e) “restrictive practice” means forming a cartel or arriving at any understanding or
arrangement among Respondents with the objective of restricting or manipulating a full
and fair competition in the Bidding Process.
5 Pre-Bid Conference
DGCA will host a meeting in Delhi at the address given under Clause 2.11.2. The meeting is
tentatively scheduled as per the schedule given in Clause 1.6. The representatives of the
interested organizations (restricted to two persons) may attend the meeting at their
own cost. The purpose of the meeting is to provide respondents with any clarifications

regarding the RFQ. It will also provide each respondent with an opportunity to seek
clarifications regarding any aspect of the RFQ and the project.
During the course of Pre-Response conference, the Respondents will be free to seek
clarifications and make suggestions for consideration of DGCA. DGCA shall endeavour
to provide clarifications and such further information as it may as mentioned in Clause
2.7, in its sole discretion, consider appropriate for facilitating a fair, transparent and
competitive Bidding Process.
6 MISCELLANEOUS
6.1 Directorate General of Civil Aviation (Government of India) reserves its right to
subject the respondents to security clearances as it deems necessary.
6.2 The Bidding Process shall be governed by, and construed in accordance with, the laws of India
and the Courts at Delhi shall have exclusive jurisdiction over all disputes arising under,
pursuant to and/ or in connection with the Bidding Process.
6.3 DGCA, in its sole discretion and without incurring any obligation or liability, reserves
the right, at any time, to;
(a) suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the
Bidding Process or modify the dates or other terms and conditions relating thereto;
(b) consult with any Respondent in order to receive clarification or further information;
(c) pre-qualify or not to pre-qualify any Respondent
(d) retain any information and/ or evidence submitted to DGCA by, on behalf of, and/ or
in relation to any Respondent; and/ or
(e) independently verify, disqualify, reject and/ or accept any and all submissions or other
information and/ or evidence submitted by or on behalf of any Respondent.
6.4 It shall be deemed that by submitting the Response, the Respondent agrees and releases
DGCA, its employees, agents and advisers, irrevocably, unconditionally, fully and finally from
any and all liability for claims, losses, damages, costs, expenses or liabilities in any way related
to or arising from the exercise of any rights and/ or performance of any obligations hereunder,
pursuant hereto and/ or in connection herewith and waives any and all rights and/ or claims it
may have in this respect, whether actual or contingent, whether present or future.

2. This statement is made for the express purpose of qualifying as a Bidder for issuing the RFP for the aforesaid Project.

(a) I/ We have examined and have no reservations to the RFQ document, including any Addendum issued by the DGCA.
(b) I/ We do not have any conflict of interest in accordance with Clauses 2.2.3 and 2.2.4 of the RFQ document; and
(c) I/We have not directly or indirectly or through an agent engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice, as defined in Clause 4.3 of the RFQ document, in respect of any tender or request for proposal issued by or any agreement entered into with the DGCA or any other public sector enterprise or any government, Central or State; and
(d) I/ We hereby certify that we have taken steps to ensure that in conformity with the provisions of Section 4 of the RFQ document, no person acting for us or on our behalf has engaged or will engage in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice.
7. 10. I/ We further certify that in regard to matters relating to security and integrity of the
