PurposeofthisdocumentTheMackay-WhitsundayHealthyRiverstoReefPartnership(thePartnership)governancecharteroutlinesthepurpose,objectives,keypersonnelandcommittees,theiroperationalresponsibilitiesandinputofregionalworkinggroups.ItalsocontainsoperationalguidelinesforthePartnershipandhostorganisation,alongwiththeMemorandumofUnderstanding(MoU)forPartnershipmembership.
ItincludesaconsolidatedsetofagreementsdevelopedandagreedbythePartnershipsinceitsinceptioninOctober2014.ItaimstoensurethatallpartnershaveacommonunderstandingonthegovernanceandoperationofthePartnership.
ThisCharterwillbereviewedonanannualbasistoensuremembershipiscurrentandPartnershipgovernanceandprocessesarecurrent.
PurposeofthePartnershipTheprimarypurposeofthePartnershipistodevelopanannualMackay-Whitsundayregionalwaterwayhealthreportcard.ThereportcardusesthebestindependentscienceandintegratesarangeofGBR-wideandregionalmonitoringprogramstomeasurewaterwayhealthinanenvironmental,social,economicandculturalcontext.Bydrawingoninformationfromexistingmonitoringprograms,duplicationsandgapscanbeidentified,andmoreeasilycommunicatedinformationprovidedtothecommunityinacosteffectiveway.
ForthepurposeofthisPartnership,thereportingregionincludesfiveregionalbasins(theDon,Proserpine,Pioneer,O’ConnellandPlane),urbanareas,theportsofAbbotPoint,MackayandHayPoint,marinasandtheadjacentcoastalandmarineareatotheeasternboundaryoftheGreatBarrierReefMarinePark.
ArangeofreportingproductsareproducedfortheGreatBarrierReefthatcomplementeachotherandrespondtodifferentdrivers(seeAttachmentA).TheintentistohaveaReef-wideapproachtoreporting,withnestedregionalproductsthatprovidefinerscaleinformation.TheregionalprogramwillcollectsimilarcoreindicatorsthatcanthenberolledupintoReef-wideorstatewidereporting,andwilldeliverproductsatascalethatcommunitiescanrelateto.
ThefocusofthePartnershipforthe2017/2018periodwillbetoconsolidateandstreamlinetheprocessforthedevelopmentoftheannualreportcard.Thiswillinvolvecoordinatingdatamanagementfromcurrentassessments,aligningassessmentsandreportingwithnewandcurrentprograms,andidentifyingcurrentdatagaps.Thelatteriscriticallyimportanttothedevelopmentofacomprehensiveunderstandingofthehealthoftheregion’swaterwaysandadjacentareaoftheGreatBarrierReefandtoinformGBR-wideinitiativesfromaregionallevel.

ObjectivesofthePartnershipThemembersarecommittedtodeliveringthefollowingobjectivesthroughtheMackay-WhitsundaysHealthyRiverstoReefPartnership:
• Communicateinformationeffectivelyandatarelevantscaletothebroadercommunityonwaterwayhealthissueswithscientificintegrity,independenceandtransparency.
• Supportdecisionmakingformanagementactivitiesandinterventions,modeloutcomesandreportoneffectivenessofthoseinterventions.
• BespecifictotheMackay-WhitsundayregionandconsistentwithotherregionalwaterwayreportcardsincludingSouthEastQueensland(SEQ),GladstoneandFitzroy.
• Provideeffective,coordinated,strategicandtransparentinvestmenttoensurecosteffectivedevelopmentofanannualreportcardandassociatedcatchmentimprovementsolutions
• Consolidateandintegrateoutputsfromambientandeventmonitoringprogramsaswellasdifferentmodellingplatforms.
• Providescientificinformationthatmayassistinimprovingormaintainingtheenvironmental,socialandeconomicvaluesoftheDon,Proserpine,O’Connell,PioneerandPlanecatchments,riversandadjacentreef.
• Delivermoreinnovativeapproachestounderstandingcatchmentwidecumulativeimpactsandcommunicatingthatmoreeffectivelytothebroadercommunity.
• InformplanninganddeliveryactivitiesofthePartnersinresponsetothefindingsofthereportcard.
• Buildupon,complementandenhanceexistingeffortsofmembers.
Governanceresponsibilities
ChairTheelectedChairwillhaveresponsibilityforchairingboththePartnershipandManagementCommittee.TheelectionofaChairistooccuratthebeginningofeachfinancialyear.
TheroleofChairisfurtherdetailedintheTermsofReferenceforboththePartnershipandtheManagementCommittee.ThepositionisevaluatedagainstKeyPerformanceIndicators(KPI).ChairKPIsforthe17/18FYareincludedinAttachmentGalongwithmeasurestoevaluateperformanceandtheposition’sremunerationprotocol.
DeputyChairTheDeputyChairofthePartnershipiselectedbythePartners.TheselectedDeputyChairwillberesponsibleforchairingboththePartnershipandManagementCommitteeintheabsenceoftheChair.TheDeputyChairwillonlyberemuneratedwhenstandinginfortheChair.
TheelectionoftheDeputyChairistooccuratthebeginningofeachfinancialyear.

ExecutiveOfficerTheroleoftheExecutiveOfficeristosuccessfullydeliversecretariatfunctionsandmanagealloperationalarrangementsforthePartnership.
TheExecutiveOfficerwillbeemployedbythehostorganisationonbehalfofthePartnershipandwill:
• Coordinatetheimplementationofprojects,allreportsandanycontractedworksassociatedwiththePartnership,includingcommunications,governanceandtechnicalsupport.
• CoordinatethedeliveryofsecretariatandoperationalfunctionsofthePartnership.• WorkwithpartnerstofinalisethedevelopmentoftheregionalwaterwayhealthReportCard.• MaintainandenhancegovernancearrangementsforthePartnershipviastakeholder
engagementactivitieswithcurrentandprospectivePartners,viapromotionofthePartnership’sprofileandreputation.
• Maintain,developandseekoutnewnetworksandrelationshipswithmembers(includingnewmembers),stakeholdersandthecommunity.
• OverseethemanagementofthePartnership’sbudgetincludingperformancereportingandaudits,aswellaspromotingfinancialmembershipforthenextyeartocurrentandprospectivepartners.
• WorkcloselywiththeCommunicationsTeamatReefCatchments(ifutilisedtodeliveronthePartnership’scommunicationsandengagementstrategy)todevelopacommunicationandengagementstrategyforallProjectphasesaswellasmonitorandupdateallpublicallyavailableinformationonthePartnershipanditsdeliverables(e.g.viathewebsiteandmediareleases).
• ProvideProjectsupportforthesecretariatandoperationalfunctionsofthePartnership,includingorganisationofmeetings/functions,providing/circulatingdeliverables.
• Providedirection,supportandassistancetotheTechnicalOfficer(andanyotherstaff)asrequired.
TechnicalOfficerTheTechnicalOfficerwillcoordinatealltechnicalactivitiesofthePartnership,theprimaryoutputbeingtheannualReportCardfortheregion.
TheTechnicalOfficerwillbeemployedbythehostorganisationonbehalfonthePartnershipandwill:
• Develop,collate,synthesiseanddisseminatetechnicalandscientificinformationthatcontributestotheannualReportCard.
• DevelopandregularlyreviewandupdatetheprogramdesignandassociatedreportingtodelivertheannualReportCardbasedonarangeofdataandinformation.
• WorkcloselywiththePartnership’sTechnicalWorkingGroupandtheReefPlanIndependentSciencePaneltoensurescientificvalidityofthereportingframework.
• CoordinateandimplementadatamanagementsystemonbehalfofthePartnership.• Communicatetheprogramanditsoutcomestotechnicalandnon-technicalaudiences,asper
thePartnership’scommunicationsandengagementstrategy.• WorkcloselywiththeExecutiveOfficertodeveloprelevantandtailoredcommunication
productsonbehalfofthePartnership.• WorkcloselywiththePartnership’schosencommunicationresourcesandexternalservice
providerstodevelopandmaintainthePartnership’swebsite.• AssisttheExecutiveOfficertodevelopscopesofworkandcontractsforexternalservice
providersonbehalfofthePartnership,whererequired.

• AssisttheExecutiveOfficerwithdevelopingagendasandtakingminutesforPartnership,ManagementCommitteeandothermeetingsasrequired.
• Otherfunctionsasrequired.
Partnership
Oneofthekeyobjectivesofanypartnershipmodelistoensurecommitmentandparticipationfromallmembers.Partnersmeet2-3timesayeartoprovidestrategicdirectionandoversightoftheworkoftheManagementCommitteeandthehost.ThefulllistofPartnersisatAttachmentB.CommitmenttothePartnershipwillbethroughaMemorandumofUnderstanding(MOU)signedbyallpartners(AttachmentC).ItisexpectedthatthePartnershipwouldmeetatleasttwiceayearandprovideupdatestoallpartnersonprogress.
ThePartnershipTermsofReferenceisatAttachmentD.
ManagementCommitteeTheMackay-WhitsundayHealthyRiverstoReefManagementCommitteeisasub-setofthePartnershipandprovidesmoreofanoperationalroleforthePartnership.ItisexpectedthattheManagementCommitteewillmeetuptosixtimesperyearandoverseemanagementofthereportcardprogramdesign,budget,communicationplansetc.TherecommendedstructureandmembershipoftheManagementCommitteeseekstoensureadequaterepresentationacrossthepartnersbutnotnecessarilyall.
Representationincludesuptotwoindustry,communityandgovernmentrepresentativesrespectivelyaswellasthePartnershipChairanddeputy-Chair.Representativesareappointedbasedonanominationprocessundertakenwithineachsector(i.e.industry,communityandgovernment).FurtherdetailontheformulaformembershiptotheManagementCommitteeisprovidedinAttachmentE.
Membershipmaybereviewedasmorepartnerscomeonboardtoensurerepresentationisadequatefortheregion.

TheManagementCommitteeTermsofReferenceisatAttachmentE.
TechnicalWorkingGroupresponsibilitiesTheTechnicalWorkingGroup(TWG)isestablishedtoidentifyandcoordinateavailablemonitoringdataandmodellinginformation,identifycriticalgapsanddevelopthereportcardindicator/gradesmethodologyanddesign.TheTWGwillbesupportedbytheTechnicalOfficer.
Duringthedevelopmentofthe2015reportcard,morethanhalfoftheTWGmembersalsocontributedtowardsthedevelopmentofapilotreportcardfortheWetTropicsregion,inaseparateWetTropicsTWG.TheWetTropicsreportcardcloselyfollowedtheMackay-Whitsundayreportingapproach.

FollowingthereleaseoftheMackay-WhitsundayandWetTropics2015reportcards,theTWGforbothreportcardscombined.TheroleofthecombinedRegionalReportCardTWGwillbetoprovidespecialistadvicetotheregionalreportcardPartnershipstoidentifyandreviewavailableenvironmentalconditionmonitoringdataandmodellinginformation,identifycriticalknowledgegapsanddevelopthemethodologyanddesignfortheregionalreportcardsoftheMackay-WhitsundayandWetTropics(andTownsville/Burdekinwhenestablished)regions,andtomakerecommendationstotheISP.
TheRegionalReportCardTWGwillnolongerconsiderthedevelopmentandreviewofstewardship,social,economicandculturalindicators;aseparate‘humandimensions’workinggroup/swillbeestablishedasrequiredtoadviseonthisworkacrossthePartnershipsandwillleverageofftheworkbeingundertakenaspartofRIMMReP.ThefulllistofTWGmembersandexpertisecoveredisatAttachmentB.
TermsofReferencefortheTechnicalWorkingGroupareatAttachmentF.
IndependentSciencePanelTheReefWaterQualityProtectionPlanIndependentSciencePanel(ReefPlanISP)willprovideadviceandreviewandendorsemethodologies,systemsandprocessesusedforthedevelopmentofthereportcard.
TheReefPlanISPhasagreedtothisexpandedroleandwillprovideadviceonhowbesttonestregionalreportcardswithinthewidercontextofGreatBarrierReefreportcards.
TheChairoftheTWGwillbepresentatReefPlanISPmeetingswhenPartnershipbusinessisontheagenda.ItistheresponsibilityoftheTWGChairtoliaisewiththePartnership/ManagementCommitteeChairtoconveyReefPlanISPdecisionstotheManagementCommitteeandPartnership.
TheReefPlanISPTermsofReferenceincludingresponsibilityforthePartnershipwereendorsedinOctober2014bytheIntergovernmentalOperatingCommittee(IOC).TheReefPlanISPTermsofReferenceareavailableuponrequest.
SupportfromRegionalWorkingGroups
TheRegionalWorkingGroups(RWGs)fortheHR2RPwillbetheexisting“ThinkTanks”establishedintheregion,including(butnotlimitedto)grazing,horticulture,cane,coastaldevelopment,urbandevelopment,LMACs,Landcaregroups,andecosystemhealthgroups.New/othergroupsmaybedrawnonasneededforregionalknowledgeandexpertise.
TheRWGswillprovidelocallyrelevantexpertiseandknowledgefortheregion,representinglocalstakeholders,communitygroups,andindustry.TheRWGswillprovideknowledgeandguidanceoncurrentactivitiesoccurringintheregion,resultsofimplementationofsuchactivities,andopportunitiesforimprovements.TheRWGswillalsoprovidekeyinformationtothereportcardregardingABCDManagementPracticeFrameworksrelevanttoeachRWG.RWGswillbeaccessedthroughReefCatchmentsandNQDryTropicsviatheExecutiveandTechnicalOfficersofthePartnershipandmembersmaybeinvitedtoparticipateinspecialistsub-TWGworkshopsasrequired.DetailsofrelevantrepresentativesfromeachRWGcanbeobtainedfromReefCatchmentsdirectly.

HostOrganisationReefCatchmentshasbeenendorsedbythePartnershipashostorganisationfortheMackay-WhitsundayHealthyRiverstoReefPartnershipforthe17/18FY.Thisarrangementwillbereviewedpriorto18/19FYinconsultationwiththePartnershipManagementCommittee.TheroleofthehostorganisationisdetailedintheHostAgreement(refertoAttachmentG).
RoleofRegionalNRMbodiesTheroleoftheRegionalNRMbodieswithinthePartnershipistoprovidetechnicalexpertisetodeveloptheMackay-WhitsundayReportCard.ThetworegionalNRMbodiesforthePartnershipareReefCatchments(thePartnership’shost)andNQDryTropics.
TheTechnicalOfficersinReefCatchmentsandNQDryTropicsarethelinktotheexistingNRMregionalworkinggroupswhoprovideastrongknowledgebasefortheregion.TheTechnicalOfficerswillliaisewiththeofficersservicingtheseworkinggroupsorparticipateintheworkinggroupswhenpossible.
KnowledgeandinformationobtainedthroughtheseregionalworkinggroupswillbemadeavailableviatheTechnicalOfficerstotheTWGandISPwhenrequired.

1. TheExecutiveOfficerwillpresenttheScopeofWorks,developedthroughtheconsultativeanddecisionmakingprocessoutlinedintheOperationalstructureofthePartnership,forendorsementatManagementCommitteemeetings(whereappropriate).
2. TheManagementCommitteewillinformthePartnershipofendorsedScopeofWorksfornoting/discussionatPartnershipmeetings,orviaflyingminute.
3. ThehostorganisationwillprepareandenterintocontractsonbehalfofthePartnershipasagreedundertheHostingAgreement,underthehost’sprocurementpolicyforsupplierselectionandcontracting.
4. TheExecutiveOfficerwillrelease/advertiseScopeofWorksforproposalstoserviceproviders.

HealthyRiverstoReefPartnership1.0 PurposeThepurposeofthismemorandumofunderstandingistoconfirmthesignatories’commitmenttomembershipoftheMackay-WhitsundayHealthyRiverstoReefPartnership(herein‘thePartnership’)
LaunchedinOctober2014,thePartnershipcametogetherwithasharedvisionforhealthyriversandReefcontributingtoaprosperousandiconicregionwherepeoplevisit,live,workandplay.ThePartnershipisacollaborationbetweencommunity,TraditionalOwners,farmersandfishers,industry,science,tourismandgovernmentwhorecognisethatmorecanbedeliveredbyworkingtogetherthanasindividuals.
TheMackayWhitsundayRegionforthepurposeofthisPartnershipextendsfromHomeHillinthenorthtoFlaggyRockCreekinthesouth(southofCarmila),includingthefreshwaterandmarineenvironment.ThisincludesthecatchmentsoftheDon,Proserpine,O’Connell,PioneerandPlanebasins,eightestuariesandthecoastalandmarineareatotheeasternboundaryoftheGreatBarrierReef(GBR)MarinePark.
ThePartnership’sprimaryfocusisthedevelopmentandreleaseofanannualwaterwayhealthandstewardshipreportcard.ThereportcardusesthebestindependentscienceandintegratesarangeofGBR-wideandregionalmonitoringprogramstomeasurewaterwayhealthinanenvironmental,social,economicandculturalcontext.Bydrawingoninformationfromexistingmonitoringprograms,duplicationsandgapscanbeidentified,andmoreeasilycommunicatedinformationprovidedtothecommunityinacosteffectiveway.
ThePartnership’sstrategicdirectionfor2017/18istocontinuetostrengthenthereportcardandtofocusoneffectivecommunicationandengagementstrategiesbywhichtodelivercommunityeducationinitiatives.ThePartnershipisalsocommittedtocommencingaseriesofcollaborativemanagementresponseactions/initiativesinresponsetoreportcardresultsinthe2017/18FYandbeyond.
Thesignatoriesintendtocooperateandcollaborateby:
• committingtotheopensharingoftheirknowledge,programactionsandmonitoringandresearchinformation(formemberswiththisinformation)focusedonunderstandingthehealthofthecatchments,riversandreefintheregion;

• makingacommitmenttolong-termmonitoringandreportingtoinformmanagementresponses;
• workingtogethertopoolresourcesandknowledgetomaximiseoutcomesandunderpineffectiveandefficientmanagementactions;
• ensuringthenestingofthisinitiativewithinotherwholeofReefmonitoring,reportingandmanagementactivities;
• increasingthepositivereputationandbrandawarenessofthePartnershipbysharingtheworkofthePartnershipwithinsignatories’ownnetworks;
• workingtowardsensuringalignmentbetweendifferentpolicyandreportinginitiativesincludingtheReef2050LongTermSustainabilityPlanandassociatedintegratedmonitoringprogramandotherreportingprograms(e.g.PaddocktoReef);and
• engagingwiththelocalandbroadercommunitiesbycommunicatingwaterwayhealthissuesandmanagementresponsesincollaborationwiththePartnership.
Thisisnotalegallybindingdocumentbutconfirmsthatthememberswillexercisetheirbestendeavourstoachievethecollectiveaimsofthegroupofpartners.
2.0 PrinciplesandObjectives
2.1 PrinciplesTheMackay-WhitsundaysHealthyRiverstoReefPartnershipoperatestothefollowingprinciples:
Rigorousscience-Allscienceproductsproducedarereviewedusingrobustindependentscience.
Opennessandhonesty–ReportCardresultsandsupportingdataaremadepubliclyavailable.
Communityeducation–ThereportcardcontributestoensuringtheMackay-Whitsundaycommunityareinformedaboutthestatusoftheircatchments,riversandreefandtheeffectofmanagement.
Communication–InformationontheprogressofthePartnershipandthepositivemanagementresponsesofthesignatoriesisregularlycommunicatedtothebroaderpublic.

3.0 GovernanceOneofthekeyobjectivesofanypartnershipmodelistoensurecommitmentandparticipationfromallmembers.ThefullPartnershipmeets2-3timesayeartoprovidestrategicdirectiontothePartnership’sactivities.TheMackay-WhitsundayHealthyRiverstoReefManagementCommitteeisasub-setofthePartnershipandprovidesoperationaloversightforthePartnership.TheManagementCommitteemeetsuptosixtimesperyeartooverseemanagementofthereportcardprogramdesign,budget,communicationplansetc.TherecommendedstructureandmembershipoftheManagementCommitteeseekstoensureadequaterepresentationacrossthepartnersbutnotnecessarilyall.Representationincludesuptotwoindustry,communityandgovernmentrepresentativesrespectivelyaswellasthePartnershipChairandDeputyChair.
AnelectedIndependentChairhasresponsibilityforchairingboththePartnershipandManagementCommittee.TheelectionoftheChairistooccuratthebeginningofeachfinancialyear.PartnersalsoelectaDeputyChairofthePartnership.TheselectedDeputyChairisresponsibleforchairingboththePartnershipandManagementCommitteeintheabsenceoftheChair.
TheTechnicalWorkingGroup(TWG)isestablishedtoidentifyandcoordinateavailablemonitoringdataandmodellinginformation,identifycriticalgapsanddevelopthereportcardindicator/gradesmethodologyanddesign.
ToensurethereportcardisbasedonbestavailableindependentsciencetheReefWaterQualityProtectionPlanIndependentSciencePanel(ReefPlanISP)providesadviceandreviewsandendorsesmethodologies,systemsandprocessesusedforthedevelopmentofthereportcard.

3.1 LeavingthePartnershipMembersmaywithdrawfromthePartnershipatanytimebywrittennoticetotheMackay-WhitsundayHealthyRiverstoReefManagementCommittee.
4.0 FundingThemembersagreethatthePartnershipisintendedtointegrateexistinginformation,augmentedifrequiredtoprovideanagreedlevelofdetailthatwillmeetthestatedpurpose.Anyadditionalfundingrequiredwillbesoughtcollaborativelyfromthemembers.Thiswillincluderesourcingandin-kindsupporttoundertakedataidentificationandsynthesis,programdesignandreportcardpublication.
5.0 DataandInformationSharingFortheavoidanceofdoubt,nothinginthisMOUaltersoraffectsanyexistingintellectualpropertyrightofanyofthemembers.Ifrequired,anappropriatedatasharingagreementwillbeexecutedpriortothesharingofconfidentialinformationorintellectualpropertybetweenthepartners.Membersagreethattherewillbenosharingofconfidentialinformationorintellectualpropertyuntilsuchdatasharingagreementisexecuted.
ThisMOUdoesnotrestrictinanywaythefreedomofanypartytoconductresearchandconsultingwork(whetherrelatingtotheMackay-Whitsundayregionorotherwise)bythemselvesorwiththirdparties.
6.0 PromotionandcommunicationsTheReportCardproducedbythePartnershipwillbeapublicallyavailabledocument.MembersagreetotheuseoftheircorporatelogosinproducingtheReportCardandanyrelatedinformationaldocuments.
ThePartnershipwillagreeonhowinformationandresultsaretobepresentedandcommunicatedintheannualreportcard.
MembersagreetopromotetheworkofthePartnershipandtheReportCardthroughtheirowncorporatecommunicationsactivitiesand,forexample,insignageandeventmaterialsetc.

ThefurtherdevelopmentofmarineindicatorswillbeinformedthroughotherRIMMRePspecialistworkinggroups.

PurposeofthePartnershipTheprimarypurposeoftheMackay-WhitsundayHealthyRiverstoReefPartnershipistodevelopaMackay-Whitsundayregionalwaterwayhealthreportcard,whichwillinformwholeofcatchmentmanagementintheregionfromthecatchmentstotheriverstotheouterGreatBarrierReef.
ForthepurposesofthisPartnership,theMackayWhitsundayRegionincludesthecatchmentsoftheDon,Proserpine,O’Connell,PioneerandPlanebasins,theurbanareaofMackay,theportsofAbbotPoint,MackayandHayPoint,marinasandthecoastalandmarineareatotheeasternboundaryoftheGreatBarrierReefMarinePark.
TheMackay-WhitsundaysHealthyRiverstoReefPartnership(herein‘HR2RP’)seekstocontinuetodevelopandimplementapartnershipapproachtoreportonthehealthoffreshwaterrivers,wetlands,estuaries,nearshorecoastalandmarineenvironments,aswellasmanagementeffortsandoutcomes.
ThePartnershipwillestablishcollaborativeapproachesthatseektointegrateenvironmental,social,economicandculturalinformationandcatchmenthealthknowledge;andbuilduponandintegrateexistingmonitoring,modelling,recordingandreportingeffortsatthesub-catchment,catchmentandreefwidescale.ThePartnershipwillcontinuetodrivethestrategicdirectionandwillsettheprogramdeliverables,whichwillbeoperationallysupportedbytheselectedhostorganisation.
PurposeofthisdocumentThisHostingAgreementoutlinestheroleofthehostorganisation,relevantOperationalRequirements,KeyPerformanceIndicators(KPIs),measurestoevaluatethoseKPIsandthePartnership’sresponsibilities.ItalsodetailswhatservicesareincludedinfeesapplicabletohostthePartnershipandhowtheyarecalculated.ThisAgreementisvalidfor2017/18FYsubjecttoperformanceonagreedhostKPIs.

RoleoftheHostandOperationalRequirements
Governance• ThehostwillberequiredtoprovidethebenefitoftheirboardstructureinsupportingHR2RP
operationsensuringalllegalandfinancialresponsibilitiesaremet,financesaresound,contractsandoperationsarelegal,andstrategicandoperationalriskaremanagedwithinasoundstrategicframeworkandmonitoredandreportedregularly.
• Thehostwillmaintainanup-to-datecomprehensivesetofpoliciesandprocedurescoveringWorkplaceHealthandSafety(WHS),HumanResources(HR),financialmanagement,contractmanagement,IT,MediaandGovernance.
• ThehostisrequiredtobealegalentitythatcanexecutecontractswithsuppliersorcustomersonbehalfofthePartnershipinitiative.
OperationalManagement• Thehostwillprovidetheday-to-daysupervisionforHR2RPstaffensuringthatworkiscompletedtoa
highstandardandinatimelymanner.• ThehostwillprovideoversightandsupporttoHR2RPstafftoensuresuccessfulimplementationof
HR2Rprojectsandprograms(asguidedbytheManagementCommitteeandthePartnership).• Thehostwillensureprojectsaredeliveredusingbestpracticeprinciplesandgreaterefficiency.• ThehostwillassisttheExecutiveOfficertoprovidecoordinationbetweenHR2Rstaffandthehost’s
communicationsteam(whererelevant)toensurethattheprojectproductsandoutcomescanbecommunicatedandpromoted.
• ThehostwillassistboththeExecutiveOfficerandTechnicalOfficertoprovidecoordinationbetweenHR2Rstaffandthehost’sregionalworkinggroupsanddataandinformationgatheredbyvarioushostprojectsforinclusionandconsiderationintothePartnershipsprojects.
FinancialandAdministrativeManagement• ThehostwillmaintainabankaccountonbehalfofthePartnership,ensuringthebankaccountis
structuredtomaximisethepotentialinterestrevenueforHR2Rfromavailablefunds.InterestshallbeincludedinmonthlyfinancialreportingbacktotheHR2RPExecutiveOfficerandChair.
• ThehostwillinvoiceHR2RMembersyearlyformembershipfees.ThelistofmemberswillbeobtainedfromtheExecutiveOfficer,andnewmemberswillbeinvoicedondirectionfromtheExecutiveOfficer.
• ThehostwillundertakeAccountsPayableandAccountsReceivableonbehalfofHR2RP.• ThehostwillprovidemonthlyfinancialreportsforHR2RPandanyrelevantindividualprojects.• Thehostwillensurethatayearlyindependentauditofthefinancialsachievesanunqualifiedauditand
bestpracticeaccountingisusedinthemanagementofHR2RPfinancials.• ThehostwillbeexpectedtoassistHR2RPstaffinadministrativemattersasrequired,forexamplein
bookingvenuesformeetings,organisingcateringetc.
ContractManagement• ThehostwillprepareandenterintocontractsonbehalfoftheHR2RP.• ThehostwillmanageanycontractswiththeAustralianandQueenslandGovernmentsincluding
invoicingforpayments,financialreporting/acquittal.• Thehostwilladministerprojectdeliveryofcontractsincludingacceptingthelegalliabilityforthe
contracts.• Thehostwillmaintain$20,000,000professionalindemnityand$20,000,000publicliabilityinsurance.• ThehostwillprovidethePartnershipwiththeirownprocurementspolicyforthepurposesofcontract

EmploymentServices• ThehostwillemployallHR2Rstaffandprovideemploymentservicesincludingemploymentcontracts,
HRmanagementandadvice,payroll,superannuation,employmentadministration,approvingpositiondescriptions,establishingannualperformanceplans,andreviewsandkeyperformanceindicatorsforeachemployee,identifyandprovideprofessionaldevelopmenttrainingopportunitiesandcompletingannual,midandprobationaryreviews.
• ThehostinconsultationwiththePartnership’sIndependentChairwillundertakeanyrecruitmentthatisrequiredtofillexistingornewpositionstodeliverHR2Rprojectsincludingreview,classification,advertisement,administrativeandHRsupporttotheselectionManagementCommittee,appointment,onboardingandinduction.ThehostmayberequiredtoassistwiththedevelopmentofPositionDescription(PD)documentation.
OfficeandIT• ThehostwillprovideofficespaceforHR2RPstaff.• Thehostwillhavetherelevantinsurancecoveragetoensurethereisminimalbusinessinterruption
shouldtheofficebedamagedduringadisasterevent.• EachHR2RPemployeeistobeprovidedwithadesk,phone,high-speedinternet,highqualityIT
includingdualscreensandalaptopbythehost,andaccesstoprinters.AllITequipmentistobemaintainedandITsupportavailabletoensurethatanyworkinterruptionsareminimalandquicklyaddressed.
• ThehostwillprovideprofessionalITSupportServicesandwillmaintainrelevantIThardwarerequiredforHR2RPoperations.
• Thehostwillhaveprocessesandsystemsinplacetoensurefileandemailsecurityismaintained,alongwithrecordanddatamanagementprocesses.
• Thehostwillprovideawell-maintainedandcleanofficeenvironmentandassociatedfacilities,ensuringasafeandproductiveworkenvironmentforemployees.
• Thehostwillprovidestaffwithasupportiveteamenvironmenttoworkin(includinginvolvementinwiderhoststaffmeetings,trainingopportunities,etc.)
• ThehostwillprovidesuitablemeetingroomsequippedwithprojectorsandconferencingphonesthatareavailableforusebyHR2RPstaff.
Travel• Thehostwillprovidewell-maintainedvehiclesforHR2RPstaffuse.• Thehostwillprovidetravel-bookingservicestoensuretravelcostsareefficientandcost-effective.
CommunicationsandEngagementWhenthehost’sinternalcommunicationsresourcesareusedtoassistindeliveringtheHR2RPcommunicationsandengagementstrategy(includedintheHR2RPProgramPlan),thefollowingapply:
• ThehostwillprovidesuitableinternalresourcestoassistindeliveringtheHR2RPcommunicationsandengagementstrategy,whichincludesproductionandpromotionoftheannualReportCard.
• Thehostwillprovideaccesstorelevantdesign,webandothercommunicationssoftwareviathecommunicationsteam.
• ThehostwillpromotetheHR2RPanditsactivities/productstostakeholdersatevents,viasocialmedia,viathehost’swebsiteandviaotheractivitiesand/ordeliverables,forexampleAnnualReportingandwholeoforganizationnewsletters.
• ThehostwillidentifyandnotifytheHR2RPofengagementopportunities.• ThehostwillprovidewebsupportservicesfortheHR2RP’swebsite.
Adetailedscopeofcommunicationandengagementproductsandservicestobedeliveredbythehost(whererelevant),includingtimelinesforcompletionandresourcesrequiredislocatedintheProgramPlan

(communicationandengagementstrategy).Itisimportanttheyearlydirectionofthecommunicationandengagementstrategyisdeterminedearlyanddoesnotaltersubstantially.Bothpartiesneedtoagreetoalterations.Anychangesshouldnotpreventthehostfromachievingtheoutcomesofthestrategyandshouldhavecleardirectionondeliveryofthestrategy.Thisscopewillbediscussedattheworkplanningstageforeachfinancialyearwiththehosttoensureobjectivesofthecommunicationsandengagementstrategycanbemetthroughthehost’sresourcingarrangements.ThePartnershipistopayforcommunicationandengagementonamonthlybasisforthehoursthatareworkedonthePartnership’scommunicationandengagementstrategy.
OtherprofessionalservicesThehostmaybeabletoprovideotherprofessionalservicesthatmaybebeneficialtotheHR2RP,includingGISsupport.ThelevelofotherprofessionalservicesrequiredtodeliverontheHR2RP’sworkplanforthenextfinancialyearwillbequantifiedduringtheresourceplanningprocessandwillbediscussedwiththehostorganisationinatimelymannerforthenextfinancialyear.
ConflictsofInterestThehostorganisationmustdiscloseandseektoresolvetothesatisfactionoftheHR2RManagementCommittee,anymaterialintereststhatmayconstituteaconflictofinterest.
DisputeresolutionAnydisputebetweenthehostandthePartnershipmustbereferredinitiallyforresolutionbyarepresentativenominatedbythePartnershipandarepresentativenominatedbythehost,whomustusetheirbestendeavorstoresolvethedisputewithin14daysofgivingnoticeofadisputebyeitherparty.
Ifthepartiesdonotresolvethedisputewithin14days,thenthedisputewillbeboughttotheattentionofthePartnership’sManagementCommitteewherebyaconsensusvotewillseektobeestablishedinrelationtoresolvingthedispute.IfaconsensusvotecannotbereachedatManagementCommitteelevel,theissuewillbeboughttotheattentionofthePartnership,whereaconsensusvotewillagainattempttobereachedontheissue.
IfaconsensusvotecannotbereachedateitherManagementCommitteeorPartnershiplevel,theneitherpartymaybynoticeinwriting,commencelitigation.
Despitetheexistenceofadispute,bothpartiesmustcontinuetoperformtheirrespectiveobligationsunderthisAgreement,unlessadirectionisissuedwhichstatesotherwise.
Re-evaluationand/orTerminationofthisagreementBothReefCatchmentsandthePartnershipcan,atanytime,re-evaluatethetermsofthisAgreement.Ifafterdiscussionsand/ordisputeresolutionprocesseshavetakenplaceeitherpartywishestoterminatethisAgreementeithermaydosoinwritingtothePartnership(throughtheChair)/ReefCatchments’CEO.
FeesThePartnershipwillbesubjecttotwoseparatefeesbythehostorganisationthatareoutlinedbelow.AllfeevaluesareexclusiveofGST.ThetimingofinvoicingoffeesistobeagreeduponbythehostandthePartnershipviaanagreedpaymentschedule.
HostingFeeInclusionsThehostingfeewillbechargedonanannualbasisandincludes:• HRsupportforHR2RPstaffemployedbythehostorganisation(e.g.ExecutiveOfficerandTechnical

HostingFeeCalculationTheannualhostfeeiscalculatedasbeing5%oftheprojectedrevenuestreamfrommembershipcontributionsforthenextfinancialyear,orabaselinefeeof$35,000,whicheveristhegreateramount.For2017/18theprojectedrevenueatEOFYfor2016/17is$579,350sothehostfeehasbeencalculatedasthebaselinefeeof$35,000.Thechargewillbepaidonaquarterlybasis.
BusinessOperatingChargeInclusionsThehostwillchargethePartnershipasetfeeperFullTimeEmployee(FTE)onanannualbasis,separatetothehostingfee.TheBusinessOperatingChargeincludes:
• ITequipment(laptop,phone)andITcostsincludingsoftwarelicensesforsoftwarerequiredbyHR2RPstaff.
• Buildingandofficecosts(workstation,rent,insurance,electricity,R&M,amenities,cleaning,phonebills,buildingmaintenance,andsecurity)
• Managementandofficesystemstosupportinternalcommunication,governanceandeffectiveofficeprocesses
• Useofthehost’sBoardroom,meetingrooms,vehicles,travelbookingservice(viaCorporateTraveller),printers/photocopiers,postageandstationarysupplies.
• Generalinsurances(contents,PL,PI,workcover)• WHS(firstaidkits,training,fireextinguishers,testandtag)• Motorvehiclesexpenses• Uniforms
BusinessOperatingChargeCalculationTheBusinessOperatingChargeiscalculatedonanannualbasisbythehostasaperFTEfigureandissuppliedtothePartnershipforthenextFinancialYearforbudgetplanningpurposes.For2017/18,ReefCatchmentsBoardandthePartnershiphaveagreedtotheequivalentof1.5FTE’sBusinessOperatingChargebeingapplicable,withtheremaining0.5FTEchargebeinggratefullyacceptedasanin-kindcontributiontothePartnership.TheBusinessOperatingChargefor2017/18istherefore$59,030.Thechargewillbepaidtothehostonamonthlybasis.BusinessOperatingChargesfor2018/19andbeyondwillbedeterminedbyReefCatchmentsandthePartnershipandstatedinwritingpriortotheendofthe2017/18FY.
In-kindContributionsTheHR2RPreportsonPartnersin-kindcontributionsaspartofregularfinancialreporting(includedinManagementCommitteeandPartnershipmeetingsagendaandpapers)andanyin-kindcontributionsofferedbythehostorganisationwillbeincludedinthisreportingtohighlightwherevalue-addingisoccurringduringthehostingarrangement.

RemunerationProtocolfortheHealthyRiverstoReefPartnershipChair
Processforclaims
TravelandaccommodationTheChairiseligibletobereimbursedforreasonabletravelandaccommodationcostsassociatedwithmeetings.ThehostorganisationwillorganiseandpaytravelandaccommodationcostsfortheChairfromthebudgetlineitemallocatedtotheChairbythePartnership.IntheeventoftheChairmanagingtheirownbooking,ataxinvoiceorcopyofreceiptsofapprovedflightsandaccommodationaretobeforwardedtothehostorganisationfollowingthemeeting.
SalaryTheChairisappointedonanannualbasistothePartnershipthroughacontractualarrangementwiththePartnershiphostorganisation,reflectingthattheChair’sroleistodrivethePartnership’sstrategicvisionandbuildingrelationshipswithstakeholdersinadditiontochairingmeetings.Theappointmentismadeonaparttimebasisandforafixedfee.ThetimecommitmentandkeyperformanceindicatorsarenegotiatedwithandmonitoredbytheManagementCommitteeinlinewithbudgetandworkplanpreparations.Thisisexpectedtocoverattendanceat,preparationforandreviewfollowingPartnershipandManagementCommitteemeetingsaswellasattendanceatanyothermeetingsrelatedtotheChair’srolewiththePartnershipandthestrategicdirection.
OthersupportTheExecutiveOfficerwillprovidemeetingvenues,cateringandothersupportasneeded.
