MEETING GUIDELINES

The purpose of the Global Roundtable for Sustainable Beef is to discuss sustainability issues related to the global beef system. Conversation and discussion about increasing industry sustainability are neutral and pro-competitive. While compliance with antitrust and other laws that govern participation in industry meetings is the responsibility of each participant, we ask you to follow both common sense and these simple guidelines to help us conduct our meeting according to good practices, and to ensure that your fellow participants are comfortable attending and actively participating.

DO adhere to the written meeting agenda.

DO NOT, in our organized meeting sessions, in informal discussions in the hallway, or in any other setting:

• discuss prices, rates, or other terms of trade among competitors; • engage in discussions that could result in

o the allocation of customers or markets, o the fixing or stabilization of prices, o limitations on production, o boycotts of customers, suppliers, or rivals, or o agreements that would competitively disadvantage certain rivals;

• discuss proprietary or other competitively sensitive information; • discuss or engage in coordinated behavior to maintain prices, profit margins, or

stability in an industry; • engage in any other anti-competitive behavior or any discussion you feel might

be inappropriate.

McCan welcomed everyone to the call and a verbal affirmation of adherence to the GRSB Anti-Trust Policy was received from those on the call. Consideration of Minutes It was moved by McDonald and supported by Sherrard that the minutes of the February 26, 2020 Board of Directors meetings be approved as presented. Motion carried.

GRSB BOARD OF DIRECTORS March 25, 2020 Page 2 of 6 Opening Remarks McCan spoke regarding the Executive Committee call which occurred on March 24. The topic of discussion was how to proceed with the Global Conference given the Coronavirus pandemic. He advised the board that it was decided by the board to postpone the conference until April 2021. The dates will be determined after conversations have been concluded with the Paraguayan counterparts and the hotel. A webinar event is also being planned for the dates of the original Global Conference to promote the global goals work. Prior to the Roundtable reports McCan reminded the Roundtables and Working Group leaders that a new procedure has been implemented where which a report form has been circulated in order for the Roundtables and Working Groups to submit reports prior to the board meetings. Reports will be included as part of the meeting binders. The aim of the process is to provide more clarity and detail to the monthly reports for the board members. Regional Roundtables and Country Initiatives Updates GTPS: Luiza Bruscato reported that GTPS is working on three main items. The first being Payments for Environmental Services. They will be incorporating it into their workplan. She asked the board if anyone has any information that they can share with GTPS. They will be developing a study on the carbon footprint of their roundtable members and planning a conference for April of 2021. CRSB: Monica Hadarits reported CRSB is in the process of transitioning their semi-annual meeting into an online platform. They are incorporating backup plans in the event of difficulty. This is the first time that this meeting will be held in a virtual format. They will report back next month on successes. Registrations are still high despite the online format. CRSB is making good progress on their beef sustainability goals. She also advised the board regarding that an on-line workshop will be held on April 1st that will present the greenhouse gas model work developed by Canfax, a survey has been sent to the membership on how to proceed with the greenhouse gas work and on April 21st there will be a workshop on animal health and welfare. USRSB: Ashley McDonald reported that they just finished a goals development workshop which occurred March 11-12. Their in-person general assembly meeting was canceled due to the Coronavirus. The draft goals report is out to the committee for feedback and will ultimately go out to the membership. The outreach working group is reviewing the education modules and working with the web designers and the goal for completion is mid-April for the membership. The next meeting of the membership will be held virtually in April. MGSC (Colombia): David Calderone reported that 2 weeks ago the Roundtable held a day and a half workshop in FAO Colombia. Half of the members attended and the purpose of the workshop was to determine how livestock was being used and to develop a more detailed workplan. The national roundtable had and meeting with the 12 regional roundtables to share experiences about what is happening on the ground. These meeting helps develop indicators for the national roundtable. Calderon will share feedback at the next meeting.

ERBS (Europe): Bulle Pouzoulet reported that all six platforms have been recognized at either stage 1 or stage 2 of their framework. They are now working on communication plans and the verification/reporting process. They have a technical working group, focused on the verification and reporting framework, and the communications group is working on communications plans for 2020. The April 7-8 ERBS meeting in Paris have been cancelled as a face to face meeting with the plan to have a shorted online meeting. The plans for a May General Assembly are in place and will most likely be virtually.

MPCS (Paraguay): Sanchez reported that until now their primary focus had been planning for the GRSB Global Conference. Now with the postponement, they will shift their focus to the Roundtable General Assembly which is next Monday. The meeting will be held virtually. If any GRSB member wants to attend, they may email Hugo for an invite.

New Zealand: Justin Courtney was unable to attend. Ruaraidh Petre advised that all non-essential work/travel is suspended as the entire country is in lockdown due to the Coronavirus.

Australia Beef Sustainability Framework: Pip Band reported that they are transitioning their Steering Group meeting to online due to Coronavirus. Their Annual Report is due to be launched in May, and plans are being reviewed to see if timing will be impacted. Other goals are being reviewed to determine feasible timeline given current state of the world. Band also reported on a carbon accounting tool that will be part of the goal of carbon neutrality by 2030.

MACS (Argentina): Josefina Eisele reported on behalf of the Argentinean Roundtable. She stated that they are in the process of drafting their by-laws and expect to have them approved soon. They have appointed one of their technical advisors to develop on their indicators. They are also working on their communications. and have hired an agency to promote the Roundtable. Their next meeting will be tomorrow.

Southern Africa Roundtable: Max Makuvise reported that the program represents seven countries currently namely Zimbabwe, Malawi, South Africa, Zambia, Mozambique, Eswatini and Namibia. The organization has a President, a Vice President, a treasurer and country members. The organization is still in its infancy. The Roundtable has submitted a request to be considered as a member of GRSB.

Executive Committee Report

McCan spoke on most of the Executive Committee matters during the opening comments. He did speak regarding the various Working Groups progress and that more work be detailed in the reports to follow. He also discussed wanting to increase membership and dues revenue and bring new ideas to the table.

Executive Director’s Report

Petre reiterated McCan’s comments regarding the conference, and that the venue and location would remain the same and just the dates would change. More information would be following about the virtual event celebrating the Global Goals. All the travel that Petre had mentioned in the

The FAO Leap meeting will tentatively be in September and the C-Sequ meeting has been replaced with a call occurring tomorrow. World Resources Institute has set up a working group and has asked Petre to lead conversations on grasslands and animal product. GRSB will now be coordinating the Roundtable calls. The first call was last week and will recur monthly. Council Reports GHG Working Group Tim Hardman reported that a survey was sent to the committee members in February. Responses have been gathered and are awaiting a quorum on a call to go over them, break into working groups, and advance the work. They will be looking for chairs/co-chairs to lead each working group. GOAL Setting Ian McConnel reported that the technical assessments to inform the goal development have all been begun. Each lead has agreed to a 1st May deadline. Josh White has contracted Dr. Lily Edwards-Callaway to deliver the Animal Welfare piece. He is in the process of contracting Roger Cady to deliver the GHG piece. Simon Hall has organized a subcommittee of the joint working group on forest to deliver the Natural Ecosystems piece. The group will include Simon, Hillary Fenrich, Josefina Eisele, Ruaraidh Petre, Justin Sherrard, Rachael Sherman and Leon Mol.

JWG Forests Simon Hall reported that the first call occurred on March 19 to kick-off the refresh of the group. 28 participants were on the call with good representation from across different constituency groups and throughout the roundtable network. Given the number of people who have expressed interest in the group and based on the recommendations raised by participants on the call, they will be forming a small sub-group that will help take the lead on drafting materials related to the GRSB global goal on forest/vegetation/land-use, sharing with and collecting feedback from the wider group, and processing and integrating edits. On the call, several people noted the importance of including native vegetation and non-forest ecosystems more explicitly in the Joint Working Group (JWG). They are currently working on language that would ensure this important point is reflected in the name and objectives of the group. They will circulate via email a new proposal for the name and objectives of the group for comment and feedback over the next week. On the call, it was recommended that they establish terms of reference for the group. Given that the GRSB has received similar requests from the other technical working groups supporting the development of the new global goals, the GRSB will take the lead on the drafting of a ToR for the JWG. They will share a draft as soon as its ready for review and feedback.

GRSB BOARD OF DIRECTORS March 25, 2020 Page 5 of 6 Communications Council Gurneesh Bhandal was not available for the call. Scott Stuart reported in her absence. He reported that the updated GRSB Strategic Communications Plan RFP will be going out for consideration. An email will be sent to GRSB members asking for input on sending out the RFP for who it can be sent to. The key is that the proposal can be scalable as overall budget is a factor. Deadline for proposals is May 20th. Regional Director’s Report Eisele reported that she has been providing continuous support to the National Roundtables on structure, strategy and legal documents. She’s been in touch with the Savory Institute representatives in Argentina, the organization is called OVIS XXI. They are interested in joining the MACS (Argentine RT) as well as being part of the working groups. They have many regenerative livestock projects in Argentina that can contribute to the Roundtable goals. She is developing a Traceability Project to submit to a donor. She has been providing support to Ian McConnell on the Global Goal Working Group by inviting representatives from each Roundtable and is the co-chair of the Joint Working Group on Forests (Land Conversion). Due to the Coronavirus Pandemic and travel restrictions, she attending any in-person meetings or traveling. Administrative Report Board of Directors Face-to-Face Meeting Petre reported that the April face-to-face meeting will now be held virtually, more details will follow. The by-laws state that GRSB needs to have a meeting of the General Assembly once per year. The meeting can be held virtually. That will be the case since the Global Conference has been postponed. More details will follow on this as well. Membership There were no new members and Petre gave an overall reminder that there were still membership dues outstanding and to remit as soon as possible if applicable. Report on Governance and Organization:

We are dealing with some difficulties, due to the time of the pandemic. Our bylaws do not provide for virtual meetings and the notary does not accept the registration of minutes if they are not in accordance with the bylaws. As a result, we will have to postpone our meeting to June, which will impact the change of 1/3 of the board of directors scheduled for July.

At the same time, I am implementing a new management and governance system, collecting data from the last 12 years of our Institution, conducting knowledge management, also designing internal processes and procedures.

We are also building a new website for GTPS, which will go live next week. Only in Portuguese, by now. Sooner in going to be available in English and Spanish.

Report on Projects and Initiatives:

The GIPS Project with the slaughterhouses is paralyzed due to the impossibility of making trips.

The PES Project is ongoing and we have a new partner who understands the theme and is supporting it.

The Map of Initiative is in progress. We currently have 50 initiatives mapped in the validation process with each responsible.

We are setting up the commission that will review the GIPS. We hired a consultancy that is supporting the review of the indicators and carrying out a statistical analysis of the database.

We prepared a work proposal on Carbon in livestock. We will do a study to draw the profile of low carbon livestock in Brazil. In a second phase, we will make a cross with the profile of the GTPS member farmers.

The first set of our educational modules will be launched on April 29th, which are devoted to the cow-calf sector. These are free, public, and do not require setting up an account. Only basic information is collected, and no personal information (state, sector, head, acres)

Report on Committee and Working Group Activities:

The Goals Phase I Report has gone through a member comment period where we got a few constructive suggestions and mostly thumbs up. The report will be presented to the membership on the April 29th member webinar and then will proceed to a membership vote on the revised report.

GRSB - New Member Consideration Southern Africa Regional Roundtable for Sustainable Beef (Roundtables) The Southern Africa Regional Roundtable for Sustainable Beef was launched in Malawi in the Mangochi District, on the 6th to 7th of February 2018 with the following countries, Malawi, Zambia, Swaziland, Namibia, Mozambique, South Africa and Zimbabwe. Its main objective is to have a unified body that will help in the decision-making processes of the beef sector of all participating member states. The platform acts as a decision-making body comprised of stakeholders who perceive the same resource management problem, realize their interdependence in solutions, and come together to agree on action strategies. Partners in the sector will share experiences, lessons and challenges leading to collective solutions. On why they are interested in membership in the GRSB: “We would like to have the opportunity to engage with leaders from across the beef value chain and participate in shaping the global dialogue on beef sustainability and contributing to the long-term viability of the beef industry”.

GRSB - New Member Consideration Hawaii Department of Agriculture (Consulting – Gov’t and Organizations - $1,000) The Hawaii Department of Agriculture’s 240 employees statewide work to support, enhance, promote, and protect Hawaii’s agriculture and aquaculture industries. They work to create and maximize opportunities for exporting; and facilitate growth of existing and new agricultural commodities and by-products. In addition, the department works to prevent the introduction and establishment of plants, animals and diseases that are detrimental to the state’s agricultural industry and the environment. On why they are interested in membership in the GRSB: “We would like to learn more about efforts to increase and sustain beef production globally, and therefore, in Hawaii”.

GRSB - New Member Consideration King Ranch® Institute for Ranch Management (Civil Society - < $1 Mil. We serve the ranching industry by empowering graduate students and outreach attendees with knowledge and skills that will enable them to strategically manage complex ranching operations and successfully lead our industry. On why they are interested in membership in the GRSB: “The sustainability of beef production enterprises, including stewardship of natural resources, human capital and communities, and economic viability is essential for ensuring a stable global food supply. Working across the value chain to ensure consistent evaluation and definition of sustainability, and to effectively communicate among stakeholders, is vital to the overall sustainability of both individual firms and the provision of high-quality protein to global consumers. We have a particular interest in the complex system of beef production, and the essential stewardship element of primary production in this sector. We seek to discover and provide valid information and develop innovative practices that address all dimensions of sustainable production, and to avoid reactive positioning that affect social license to operate”.
