2. Company History & Year of Establishment:  

Paragon Furniture, L.P. was founded on September 27, 1984 in Dallas, Texas with the intention of 

manufacturing durable furniture solutions for the K‐12th grade school market.  The Company's first 

product introduction was a version of the current 1000 series, a multi‐user trapezoid shaped table.  

By 1990, Paragon had moved its operations to Fort Worth, Texas, reached $1 million in sales, and 

offered several series of computer/technology use tables.  By 1993, sales surpassed the $2 million 

mark and continued on a steep growth trajectory.  In 1997, the Company was sold to its second 

owner who added non‐computer/technology use tables and peripheral items to the Paragon product 

line.  By 2000, the Company was manufacturing science tables, activity tables and student desks, and 

sales exceeded $5 million annually.  In 2001, Paragon’s product demand had outgrown the Fort 

Worth plant's manufacturing capacity which made it necessary to move operations to the current 

location in Arlington, Texas.  Near the end of 2004, with sales hovering around $5 million, the 

Company was sold to its current ownership team.  Since the acquisition, Paragon has diversified its 

product suite to include a complete library line, storage cabinets, technology carrels, and 

administrative furnishings.  Sales climbed to $8 million by the end of 2007 and  have continued to 

consistently increase.  2010 sees the introduction of our new Intuitive line which will give the 

Company a strong representation in classroom, lab, library and other multi‐use educational 

environments. 

Paragon Furniture utilizes a large network of school furniture dealer and catalogers for product 

distribution.  Sales are primarily derived from customers within the U.S., however, since 2007 

product distribution extends to Canada, Mexico, and several South American countries. 

Our reputation is as a high‐quality manufacturer with extraordinary customer service.  Because we 

manufacture the majority of our product inside our plant, we offer the additional service of 

customization if a project opportunity meets certain conditions.

6. Paragon’s standard terms of payment are as follows:  2% discount for payments received within 10 days of 

invoice date; net 30 days payment in full is due. 

7. Paragon’s competitors in the marketplace include Smith Systems, Inc., Bretford, Inc., VS International, and

8. Paragon’s market share varies by State.  We view TCPN as a platform to gain more national market share.  At 

present, the percentage of national share is unknown.

Paragon holds very few furniture contracts directly, thus reducing our overall sales potential.  The 

TCPN Contract presents an important opportunity for us to have a pervasive sales “license.”  As a 

result, we heavily promote our participation on the Contract. 

We utilize various media to promote Paragon products.  Because the TCPN contract can be utilized in 

virtually every State in which we distribute products, we would like to have approval to promote our 

TCPN contract holder status on our website’s homepage.  Additionally, we would like to convey our 

TCPN participation through quarterly email and post‐card product “fliers” sent to our entire 

customer base. 

We will also participate in several tradeshows within the next six months.  Upon contract re‐award 

we will continue to display signage that announces our participation with TCPN. 

Lastly, we regularly meet with purchasing officials of school districts, as well as the architect and 

design community providing professional services.  We will promote our TCPN contract within our 

presentation. 

13. Paragon intends to introduce TCPN to our company by our website, blog, promotional efforts, and the 

national dealer network. 

14. Paragon’s on‐line catalog/ordering capabilities include a comprehensive online product catalog with the 

capability to share a product with a friend, request a dealer’s quote or email Paragon’s  customer service 

department directly. 

15. Paragon’s Customer Service hours are 8:00am – 5:00pm CST.  Operating from our corporate office in 

Arlington, Texas, Paragon employs three (3) customer service representatives to assist with purchase order 

processing, sales acknowledgement, product specification inquiries, return authorization, warranty/repair 

issues, freight and delivery logistics, and customer invoicing.

LOCAL REPRESENTATION:

Paragon Furniture is an Arlington, TX-based manufacturer. As such, we are able to easily call on the

TCPN offices in Houston and Austin.

PRODUCT SUPPORT:

Paragon Furniture employs a staff of (5) sales and customer service representatives. Each staff

person is trained on all products. Additionally, Paragon employs a team of (3) engineers and (2)

engineer assistants to help with product development, product customization, manufacturing

processes, and plant production optimization.

Paragon relies on a large network of national and regional servicing dealers. Our product will be

sold directly to TCPN members, however, we will utilize servicing dealers in the area to work with

end-user to determine the optimal products and services. Services included will be delivery of

freight, assembly and installation of products, and removal of packaging materials.

DELIVERY & INSTALLATION:

Paragon Furniture coordinates product delivery for approximately half of all orders. We deal with a

dozen or so third party freight carriers, as well as dedicated over-the-road moving truck companies.

Our freight prices are all FOB Arlington, TX 76011. Most products ship Knocked Down (KD class 85),

however some items ship Set Up (SU class 125). Shelving product ships class 70. Depending on the

order, Paragon will either pre-pay freight or the dealer will be responsible for direct invoicing. We

understand that TCPN requires freight charges to be included in the delivered price to the end-user.

As we bear responsibility for freight, Paragon will handle any disputes with carrier related to

damages, etc. Installation services are coordinated with the local servicing dealers.

WAREHOUSING:

If order ship date is delayed due to customer’s insistence, Paragon Furniture will warehouse for up

to (2) weeks without charging for storage. After (2) weeks, Paragon will charge $100 per day for

warehousing completed orders. Paragon may waive warehousing charges if extenuating

circumstances warrant relief.

WARRANTY & CLAIMS:

Paragon Furniture provides a LIFETIME structural warranty against product defects in materials,

construction, or workmanship. Paragon reserves the right the repair or replace at original value,

any part or product said to be defective. This warranty, whether expressed or implied, does not

cover normal wear, abuse, improper installation, accidents, or freight damage. Work surfaces,

moving/wearing parts, and finishes are guaranteed for (5) years. This warranty is nontransferable

and applies only to the original purchaser.

IN-STOCK FURNITURE:

Paragon Furniture manufactures complete orders on an “as order is received” basis. Therefore, we

do not “stock” completely finished products. Resultantly, standard product orders are made and

shipped on a 4-8 weeks lead time basis depending on product series/type. If customization is

required, lead times may extend further.

A note on Returned Merchandise:

Assembled products; products not in their original cartons; shipments over 90 days; special

finishes or products; and/or salvaged parts are not subject to return. Products to be

returned must have factory approval and a Return Authorization Number. All returns are

subject to: 25% restocking charge, prepaid freight, UPS call tag charges and UPS freight

charges, and any replacement part costs, when required, to repair damaged return

merchandise. Repackaged return shipments without proper packing or strapping materials

will not meet freight carrier requirements and criteria for claim reimbursement. Returned

goods without proper factory authorization will be refused.
