The quantities and description mentioned in this tender for respective items are approximate and indicative. Tenderers are requested to visit respective HBL Plants and access the scrap quantities and items and quote their
rates accordingly. Please note that HBL will not entertain any disputes and claims arising after quoting the
rates/tender submission.
The BIDDERS are requested to seal their bid documents in envelope. This envelope should be clearly marked as
SCRAP DISPOSAL TENDER and deposited/dropped in tender box to HBL Patna office within the due date
and time of this tender.
Earnest Money Deposit (EMD): EMD SHALL BE SUBMITTED AS PER THE EMD AMOUNT
MENTIONED IN THE LIST GIVEN IN ANNEXURE A OF THIS TENDER. THE EMD AMOUNT
SHALL BE THE TOTAL OF EMD OF ITEMS QUOTED BY THE TENDERER. EMD SHALL BE
SUBMITTED IN THE FORM OF PAY ORDER / DEMAND DRAFT OF ANY SCHEDULED BANK (OTHER
THAN CO-OPERATIVE BANK) IN THE NAME OF HPCL BIOFUELS LIMITED PAYABLE AT PATNA.
EMD SHOULD BE ENCLOSED ALONG WITH THE BID/TENDER. EMD NOT IN LINE WITH THE
AMOUNT CALLED FOR (AS ABOVE) THEN THE EMD AS WELL AS THE BID OF THAT
TENDERER SHALL BE RETURNED TO THE TENDERER & WILL BE SUMMARILY REJECTED. IF
THE EMD DOES NOT ACCOMPANY ALONGWITH THE BID WITHIN THE DUE DATE & TIME OF
BID SUBMISION OF THE TENDER, SUCH BIDS WILL NOT BE CONSIDERED AT ALL AND WILL
BE SUMMARILY REJECTED.
THE EMD SHALL BE REFUNDED INTEREST FREE TO ALL BIDDERS AFTER FINALIZATION OF
THE DO.
SECURITY DEPOSIT: Once the Disposal Order is placed on Successful Bidder/s, the Successful bidder has to submit security deposit of 10% of the Disposal Order (DO) Value in form of Demand Draft of any
Scheduled (Other Than Co-operative Bank) Bank drawn in favor of HPCL Biofuels Ltd, Patna, and
Payable at Patna.
Security deposit shall be refunded interest free within 15 days from the date of completion of upliftment of the total
scrap items of the DO.
In addition to the EMD & Security Deposit the successful vendor has to submit additional 5% of the
Disposal order Value towards liquidated Damages in form of Demand Draft of any Schedule ( Other than
CO-operative Bank) Bank drawn in favour of HPCL Biofuels Ltd., payable at Patna.
Payment terms: The successful bidder on whom the DO is placed shall pay the 115% of the DO amount
(Inclusive of tax) in form of Demand draft of any scheduled bank ( other than Co-operative bank) within 7
days from the date of receipt of the DO order or intimation whichever is earlier. Failing which his EMD will
be seized.

In other words Successful Vendor shall have to deposit 115% payment of value of material including taxes
once the Delivery order is placed within 7 days from the date of receipt of the Disposal Order to accounts
department at Sugauli / Lauriya. (100% payment against material+ 10% against security deposit (SD) +
5% against Liquidated Damages (LD) = 115% shall be submitted within 7 days from the date of receipt of
DO).
Payment shall be commensurate with actual quantity sold, applicable LD and other dues will be deducted
from the amount deposited and balance amount (if any) shall be released to vendor within 15 days from the
completion of successful upliftment of scrap material as per Delivery order (DO). In case the value of actual
scrap quantity is found more than the amount submitted by the party then the party has to deposit /submit
the balance amount by way of DD for the excess scrap qty before upliftment of the excess scraps.
Your sealed quotation should be submitted to this office on 16.03.2015 at 1430 Hrs. It should be opened on the
same day after 1500 Hrs. Bidders and other interested bidder may witness the tender opening.
Upliftment period: Once the above payment is made by the successful bidder to HBL, the bidder shall uplift the scrap items from HBL premises at his own cost within 15 days from the date of making full payment.
Please note: The terms and conditions of this tender is given in both Hindi and in English. However is case of
any dispute arising due to non-understanding of the contract/tender then the terms and conditions in English shall
prevail.

3. All documents of the tender shall be signed and sealed on each and every page. Bids without signatures and seal shall be rejected.
4. Rates must be clearly filled in ink neatly and over writing should be avoided.
5. Vendor to quoted rate against each and every scrap items and in total inclusive of all taxes/duties and levies.
6. Quotations received after the stipulated due date and time due to any reason will not be considered.
7. HBL reserves the right to reject all or any part of your bid without assigning any reason there-off.
8. Rate so quoted against the Disposal tender shall be valid for 90 days.
9. If the bidders/tenderers are not interested in quoting, please return this Inquiry with regret at the mailing address given in the tender.
10. Substitution or extra charges under this order (if given) will not be permitted except on specific cases and within the authority of the office.
11. HBL, reserves the right to suspend, dispatch of the material/item covered by the order in event of strike, accidents or other contingencies beyond purchasers control.
12. The quantity of item/s of this tender, order (if given) is approximate and HBL reserves the right to terminate and suspend the contract/order at any point of time basis requirement of the HBL. No claim / compensation by the
contractor/bidder shall be entertained due to any reasons thereof.
13. Tenderer shall quote all the deviations (if any) before tender submission in the tender document. No changes /deviations in tender terms and conditions, scope of supply/works/services, rates, delivery / shipment locations etc. as
per tender shall be permitted / entertained after opening of priced bid.
14. Contract created by the order and its acceptance or confirmation is subjected to the agreement of the seller or contractor that all persons engaged upon the work hereunder or entering upon the plant, vessel or other property of
purchaser, consigner or owner hereunder named for the purpose of delivery, installing, inspecting, repairing or
estimating supplies materials of work hereunder shall be considered servants of the seller or contractor or sub-
contractor there under and not of the purchase, consignee or owner and that the seller or contractor shall hold the
purchaser, consignee or owner harmless from all liability resulting from any claim for accident to or death of any such
person including liability for compensation under any Workmen's Compensation Act, applicable either State or Union
whether any such claims arises or be caused by negligence or otherwise of the seller, contractor, his agents or
employees or any sub-contractor or corporation.
15. The tenderer / contractor is responsible and shall abide and comply to all the statutory norms like taxation/ minimum wages act, applicable labor laws, licenses and documentation required etc.. The contractor shall produce/submit the
same to HBL as and when demanded. Failing to comply the above shall lead to cancellation of the contract and
applicable penalty shall be wholly on the contractors account.
16. Please quote your PAN / Excise /Sales Tax/Service tax Registration Numbers and Dates on all copies of your Invoices.
17. The terms 'HPCL Biofuels Limited' means and includes its successors and assigns.

18. If the goods / services ordered are not delivered/uplifted within the delivery/ upliftment date/time specified in the order, HBL reserves the right to cancel the order (if given) without prejudice. All cost and expenses, if any resulting
from cancellation of the order (if given) shall be on the Contractors / buyers account.
19. Please note: In case of differences / contradiction of clauses mentioned in This Conditions & Instructions to bidders or any part, the clauses of Un-priced Bid, Special Conditions of Contract shall override the above clauses.
20. The above Conditions & Instruction to bidders shall form the part of the Contract/Disposal order (DO) given thru this tender/quotation.
21. ARBITRATION
21.1 All disputes and differences of whatsoever nature, whether existing or which shall at any time arise between the Parties hereto touching or concerning the agreement, meaning, operation or effect thereof or to the rights and liabilities
of the Parties or arising out of or in relation thereto whether during or after completion of the contract or whether
before after determination, foreclosure, termination or breach of the agreement (other than those in respect of which
the decision of any person is, by the contract, expressed to be final and binding) shall, after written notice by either
Party to the agreement to the other of them and to the Appointing Authority hereinafter mentioned, be referred for
adjudication to the Sole Arbitrator to be appointed as hereinafter provided.
21.2 The appointing authority shall either herself act as the Sole Arbitrator or nominate some officer/retired officer of
Hindustan Petroleum Corporation Limited (referred to as owner or HPCL/HBL) or a retired officer of any other
Government Company in the Oil Sector of the rank of Ch. Manager & above or any retired officer of the Central
Government not below the rank of a Director, to act as the Sole Arbitrator to adjudicate the disputes and
differences between the Parties. The contractor/vendor shall not be entitled to raise any objection to the
appointment of such person as the Sole Arbitrator on the ground that the said person is/was an officer and/or
shareholder of the owner, another Govt. Company or the Central Government or that he/she has to deal or had
dealt with the matter to which the contract relates or that in the course of his/her duties, he/she has/had expressed
views on all or any of the matters in dispute or difference.
21.3 In the event of the Arbitrator to whom the matter is referred to, does not accept the appointment, or is unable or
unwilling to act or resigns or vacates his office for any reasons whatsoever, the Appointing Authority aforesaid,
shall nominate another person as aforesaid, to act as the Sole Arbitrator.
21.4 Such another person nominated as the Sole Arbitrator shall be entitled to proceed with the arbitration from the
stage at which it was left by his predecessor. It is expressly agreed between the Parties that no person other than the
Appointing Authority or a person nominated by the Appointing Authority as aforesaid, shall act as an Arbitrator.
The failure on the part of the Appointing Authority to make an appointment on time shall only give rise to a right
to a Contractor to get such an appointment made and not to have any other person appointed as the Sole Arbitrator.
21.5 The Award of the Sole Arbitrator shall be final and binding on the Parties to the Agreement.
21.6 The work under the Contract shall, however, continue during the Arbitration proceedings, except in case of
termination and no payment due or payable to the concerned Party shall be withheld (except to the extent disputed)
on account of initiation, commencement or pendency of such proceedings.
21.7 The Arbitrator may give a composite or separate Award(s) in respect of each dispute or difference referred to him
and may also make interim award(s) if necessary.
21.8 The fees of the Arbitrator and expenses of arbitration, if any, shall be borne equally by the Parties unless the Sole
Arbitrator otherwise directs in his award with reasons. The lump sum fees of the Arbitrator shall be Rs. 70,000/- .

Reasonable actual expenses for stenographer, etc. will be reimbursed. Fees shall be paid stage wise i.e. 25% on
acceptance, 25% on completion of pleadings/documentation and balance 50% on receipt of award of the arbitrator.
21.9 Subject to the aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification
or re-enactment thereof and the rules made thereunder, shall apply to the Arbitration proceedings under this
Clause.
21.10 The Contract shall be governed by and constructed according to the laws in force in India. The Parties hereby
submit to the exclusive jurisdiction of the Courts situated at Patna for all purposes. The Arbitration shall be held at
Mumbai and conducted in English language.
21.11 The Appointing Authority is the Functional Director of HPCL or CEO HBL.

SPECIAL TERMS & CONDITIONS OF CONTRACT
1. Quantities mentioned are approximate and indicative. Party has to visit the site, inspect the lot and asses the materials and its specifications, quantities etc. and quote the rates accordingly. No claim on later date shall be
accepted or entertained.
2. The bidders shall co-ordinate with the following officers for inspecting the scraps from respective HBL Plants. For Scraps at Sugauli : Shri. R.S.Jha / R.K.Yadav ( mob 7209112998 / 9905386183)
For Scraps at Lauriya : Shri. R.K.Mishra / Ritesh Kumar ( mob 7033872056 / 9973024205)
3. Successful vendor has to deposit 115% payment ( 100% against material value + 10% against security deposit + 5% against liquidity damages) of the value of the material/Disposal Order including taxes and duties within 7 days
from the date of receipt of delivery order.
4. Payment shall be commensurate with actual quantity sold, applicable LD and other dues will be deducted from the amount deposited and balance amount (if any) shall be released to vendor within 15 days from the completion
of successful upliftment of scrap material as per Delivery order (DO). In case the value of actual scrap quantity is
found more than the amount submitted by the party then the party has to deposit /submit the balance amount by
way of DD for the excess scrap qty before upliftment of the excess scraps.
5. Parties are requested to carefully study the terms & conditions and quote their rates on As is where is basis
accordingly. Any counter stipulations of our terms and conditions shall not be accepted.
6. Vendor shall have to lift entire lot from one end without segregating and choosing the material & as directed by HBLs officer in charge. Cutting, dismantling, shifting, loading etc. with all necessary safety precaution and
statutory compliance as required and as applicable shall be in the scope of the vendor.
7. Tender shall be evaluated on item wise highest rate quoted. Tenderers can quote for partial or for all the items. Orders may be splitted between multiple parties.
8. Earnest Money Deposit as stipulated in the tender shall be submitted. Bid without EMD shall be rejected.
9. Rates/prices quoted against this tender shall be inclusive of all applicable taxes/duties and levies.
10. Over writing / alternation should be avoided. In case of any overwriting/alteration(s), the same should be properly
authenticated, failing which the offer is liable to be rejected. Quotation in any other format is also liable to be
rejected.
11. The offer shall be valid for 90 days from the date due date/ extended due date.
12. Successful party on whom the DO is placed shall make payment of 115% of the DO value as indicated above within 7 days from the date of receipt of the DO. The payment shall be made by way of account payee Demand
Draft /Pay Order in favour of HPCL Biofuels Limited of any scheduled bank (other than co-operative bank)
payable at Patna.Failing which EMD shall be seized.
13. Items allotted in the Disposal order shall have to be uplifted/removed from HBL premises within 15 days from the date of making the above payment.
14. Party at his own cost shall have to arrange permission (if any) required from local/Govt. bodies for clearing items
allotted from HBL premises.

15. In case of any delay in uplifting the materials beyond stipulated date, penalty @ 1% per week delay shall be charged from the vendors account and HBL will not be responsible for safety and security of the materials and
HBL shall have the full right to transfer the scraps at other placed and the responsibility of the same shall be
wholly vested on the party.
16. Only the vendors authorized personnel shall be allowed to supervise the loading of the truck, weighment and receiving the materials. The vendor shall submit name and signature of his authorized personnel entrusted for the
job of scrap upliftment to HBL. (
17. For the purpose of receiving the materials, the vendor shall employ or engage only his /their own personnel and
shall keep HBL fully indemnified against any claims whatsoever, including wages, injuries, compensation, deaths
etc. All labour, handling, to & fro expenses/transportation cost from the location shall be borne by the tenderer
directly.
18. While removing the materials, if any accident or damage to property/life etc. arises within HBLs premises to the
vendor or his representatives, then in such case the vendor shall pay compensation to any such person at his own
cost. The vendor is such case shall keep HBL indemnified from any demand, claims, proceeding etc.
19. HBL shall have to sole right to accept or reject any or all part of tender in whole or in part without assigning any
reason whatsoever.
20. Tender/Bid submitted after due date and time of the tender shall be rejected.
21. While upliftment of scrap, HBL shall have the right to select the items and retain the same for their own use at their discretion. No claim from the buyer will be accepted or entertained in this account.
22. The terms and conditions of this tender is given in both Hindi and in English. However is case of any dispute
arising due to non-understanding of the contract/tender then the terms and conditions in English shall prevail.
23. Please Note: All the terms and conditions including special terms and conditions shall form the part of this
contract.
24. Please note: In case of any differences / contradiction of clauses mentioned in The Conditions & Instructions to bidders or in any part of the tender, then The Special terms and Conditions of Contract shall override the above
clauses.
25. For any other cases and disputes the above given "Arbitration" clause shall be applicable.
