Extras Casting Agreement

The following will set forth the basic terms of the agreement between Goosebumps Productions LLC (“Producer”) and Catrett Locke Casting (“Agency”) to cast background artists for the Feature Film Goosebumps (“Picture”): 1. SERVICES: In return for the Compensation outlined below the Agency agrees to provide the Producer with the following services: a) Agency will provide Producer with Background Artists, Stand-ins, Photo Doubles and On-Set Coordinators. b) Agency agrees to perform all services normally provided by Extras Casting Agencies in the Theatrical Motion Picture Industry in accordance with calls given by production that is required for the Picture. c) Agency will maintain all voicemail services for the extras hotline. d) Agency will provide an air card “Wi-Fi” for its On-Set Coordinator. e) If a call is cancelled after 5 pm the night prior to call and deemed impossible to cancel, a half day will be paid to all non-union background artist. 2. COMPENSATION: For it’s Services outlined above the Producer agrees to pay the Agency as follows: a) Producer will pay a weekly rate of $1800 for 7 non-consecutive weeks prep and casting Fee that is to be 10% of the sum total of gross wages, excluding fringes, of all paid Background, Stand-Ins, photo doubles, and specialty performers during principal photography.

• The casting fee will be paid directly from Payroll CAPS company based on totals of wages paid to background, Stand-Ins, photo doubles, and specialty performers

b) Producer will pay for an assistant, of the Agency’s choosing, a weekly rate of 875 during 8 non-consecutive weeks of prep and $875 during principal photography. c) Producer will pay Regular Non-Union Background artist and guarantee rate of 64 for 8 hours then time and half until wrap. d) Additional fees may be applied on as needed basis and will be agreed upon with Producer and Agency to maintain the appropriate look of the call. i.e. exotic dancers, models, tech experts, mileage.

• Stand-in/Photo Double 140/12 • Model types 175/8 • Creature Shooting Rate 250/12 Major 200/12 Minor • Creature Rehearsal Rate 200/12 Major 150/12 Minor • BG in minimal clothing ie. Lingerie bathing suit or anything of a sexual nature 250/8 • Nude bump 75 in addition to 250/8 (not full frontal, from back) Full frontal will be discussed on a

case by case basis • Special ability Minor 75/8 Advanced 120/8 Will be agreed upon beforehand with Producer and

Agency • Minors/babies 120/8 • Car bump 25 • Gas bump 10 if location farther then 30 miles from city center with the exception of Madison

e) Producer will provide ink for printer for picture presentations.

AGREEMENT OF INDEMNITY AND HOLD HARMLESS

I,_______________________________________________________________(Individual’s Name or Company Name) and, if applicable, all related subsidiaries, companies, directors, officers, employees, associates and subcontractors (hereinafter individually and collectively known as “Indemnitor“) agree to indemnify, defend and hold harmless Goosebumps Productions, LLC, its parent(s), all subsidiaries, licensees, successors, related and affiliated corporations, and each of their respective directors, officers, employees, representatives, agents and assigns, from and against any and all complaints, suits, actions, losses, damages, injuries, deaths, costs and expenses, (including attorneys’ fees and expenses), judgments, fines, penalties, amounts paid in settlements, claim demands, actions or causes of action, proceedings and other liabilities of any kind or nature whatsoever (hereinafter individually and collectively known as “Claims”) suffered or incurred by any party or party’s property (including, but not limited to, Indemnitor’s injuries and/or property, and the injuries and/or property of Indemnitor’s subsidiaries, related companies, directors, officers, employees, associates and subcontractors) in connection with Indemnitor’s activities, services rendered and/or acts or omissions in relation to the production currently entitled “Goosebumps”. The only wrinkle is that production told me the casting company will be operating on production’s premises.  If CL operated solely off‐site, we would only require evidence of GL and, if there are employees involved, Work Comp/EL from the casting company.  Andy called me to discuss this last week and I explained to him, this was our standard practice.  I told him the reason we require insurance from the contractor coming onto our premises is in case the contractor causes any damage/injury, the contractor’s insurance should respond, not production’s.  I can check the lease for the production property.  If the landlord doesn’t require us or our vendors to maintain higher limits, I could reduce the liability from $3M to $1M.

COMPENSATION: For it’s Services outlined above the Producer agrees to pay the Agency as follows: a) Producer will pay a weekly rate of $1800 for 7 non-consecutive weeks prep and casting Fee that is to be 10% of the sum total of gross wages, excluding fringes, of all paid Background, Stand-Ins, photo doubles, and specialty performers during principal photography.

• The casting fee will be paid directly from Payroll CAPS company based on totals of wages paid to background, Stand-Ins, photo doubles, and specialty performers

b) Producer will pay for an assistant, of the Agency’s choosing, a weekly rate of 875 during 8 non-consecutive weeks of prep and $875 during principal photography. c) Producer will pay Regular Non-Union Background artist and guarantee rate of 64 for 8 hours then time and half until wrap. d) Additional fees may be applied on as needed basis and will be agreed upon with Producer and Agency to maintain the appropriate look of the call. i.e. exotic dancers, models, tech experts, mileage.

3. Agency shall indemnify, defend and hold harmless Producer, its parent(s), subsidiaries, licensees, successors, related and affiliated companies and their officers, directors, employees, agents, representatives and assigns from all losses, damages, injuries, claims and/or liabilities arising out of the acts or omissions of Agency or its representatives. Prior to rendering Services hereunder, Agency shall provide certificates of insurance and policy endorsements to Producer in accordance with Exhibit A attached hereto and made a part hereof.

STANDARD PRODUCTION INSURANCE REQUIREMENTS

FOR INDEPENDENT CONTRACTORS

A Certificate of Insurance is to be sent to the Risk Management Department of Goosebumps Productions, LLC reflecting the following insurance coverage: Commercial General Liability - $1,000,000. per occurrence $2,000,000. aggregate Umbrella and/or Excess Liability - $2,000,000 per occurrence $2,000,000 aggregate Automobile Liability - $1,000,000. CSL Automobile Physical Damage Workers' Compensation - Statutory Employer's Liability - $1,000,000.

“All Risk” Property and/or Miscellaneous Equipment coverage on all property rented/leased or owned for replacement cost value

For all of these coverages except Workers’ Compensation, provide an endorsement naming Goosebumps Productions, LLC, its parent(s), subsidiaries, successors, licensees, related & affiliated companies, their officers, directors, employees, agents, representatives & assigns as Additional Insureds as their interests may appear and where applicable as loss payees as their interests may appear

All endorsements required above must indicate that the Named Insured's insurance is primary and any insurance maintained by the Additional Insureds is non-contributing to any of the Named Insured’s insurance. Worker’s Compensation should include a Waiver of Subrogation endorsement in favor of Goosebumps Productions, LLC, its parent(s), subsidiaries, successors, licensees, related & affiliated companies, their officers, directors, employees, agents, representatives & assigns

A Thirty (30) Day written notice of cancellation, non-renewal or material reduction in coverage

The insurance carriers must be licensed in the state of California & have an A.M. Best Guide Rating of at least A:VII

Extras Casting Agreement

The following will set forth the basic terms of the agreement between Goosebumps Productions LLC (“Producer”) and Catrett Locke Casting (“Agency”) to cast background artists for the Feature Film Goosebumps (“Picture”): 1. SERVICES: In return for the Compensation outlined below the Agency agrees to provide the Producer with the following services: a) Agency will provide Producer with Background Artists, Stand-ins, Photo Doubles and On-Set Coordinators. b) Agency agrees to perform all services normally provided by Extras Casting Agencies in the Theatrical Motion Picture Industry in accordance with calls given by production that is required for the Picture. c) Agency will maintain all voicemail services for the extras hotline. d) Agency will provide an air card “Wi-Fi” for its On-Set Coordinator. e) If a call is cancelled after 5 pm the night prior to call and deemed impossible to cancel, a half day will be paid to all non-union background artist. 2.
