Bei Kleinaufträgen bis 2 50, kann als Kostenausgleich ein Mindermengenzuschlag berechnetwerden.

III. Zahlung1. Soweit nicht schriftlich anders vereinbart, sind Zahlungen fällig mit Erhalt der Rechnung und wiefolgt zu leisten:• innerhalb 30 Tagen nach Rechnungsdatum netto ohne Abzug• Kleinlieferungen unter 2 50 sind sofort nach Erhalt ohne jeden Abzug zu zahlen.2. Die Zahlung hat grundsätzlich in barem Geld, Scheck-, Bank-, Giro- oder Postschecküberweisungzu erfolgen. Werden Wechsel hereingenommen, so geschieht dies nur zu zahlen. Diskont- undEinzugsspesen sowie Zinsen gehen zu Lasten des Bestellers.3. Kommt der Besteller mit seiner Zahlungspflicht ganz oder teilweise in Verzug, so hat er – unbe-schadet aller uns sonst zustehenden Rechte – ab diesem Zeitpunkt Zinsen in Höhe von 1% pro Monatauf den noch offenstehenden Betrag zu zahlen. Soweit wir Fälligkeitszinsen verlangen können, ist dergleiche Zinssatz vereinbart.4. Ist der Besteller mit einer Zahlung in Verzug, stellt er seine Zahlungen ein, liegt eine Überschuldungvor, oder wird die Eröffnung eines Vergleichs- oder Konkursverfahren beantragt oder löst er fälligeWechsel oder Schecks nicht ein, so werden alle offenstehenden, auch noch nicht fälligen odergestundeten Forderungen sofort zahlbar. Dasselbe gilt bei einer sonstigen wesentlicherVerschlechterung der wirtschaftlichen Verhältnisse des Bestellers. Tritt eine wesentlicheVerschlechterung der wirtschaftlichen Verhältnisse des Bestellers ein, so sind wir berechtigt, nachunserer Wahl Vorauszahlung oder Sicherheitsleistung wegen unserer Ansprüche aus sämtlichenbestehenden Verträgen zu beanspruchen und Erfüllung bis zur Vorauszahlung oderSicherheitsleistung zu verweigern. Kommt der Besteller mit der Vorauszahlung oderSicherheitsleistung in Verzug, so können wir nach angemessener Nachfristsetzung vom Vertragzurücktreten oder Schadensersatz wegen Nichterfüllung verlangen.5. Die Aufrechnung mit Gegenforderungen des Bestellers ist unzulässig, es sei denn, es handelt sich- bei Vorliegen aller sonstigen gesetzlichen Voraussetzung – um eine Aufrechnung mit unbestrittenenoder rechtskräftig festgestellten Forderungen. Ebenso sind Zurückbehaltungsrechte ausgeschlossen,soweit sie nicht auf dem selben Vertragsverhältnis beruhen.6. Stehen dem Besteller gemäss Ziffer VIII wegen mangelhafter Leistung Gewährleistungsansprüchezu, so kann er an der von ihm geschuldeter Zahlung ein ihm gesetzlich zustehendesZurückbehaltungsrecht nur in Höhe eines Betrages geltend machen, der in einem angemessenenVerhältnis zu der, durch die aufgetretenen Mängel bewirkte Wertminderung steht. Auch dieses Rechtist ausgeschlossen, wenn wir unsere Gewährleistungsverpflichtung wegen der betreffenden Mängelanerkennt und in angemessener Höhe Sicherheit geleistet haben, die auch durch eineBankbürgschaft erbracht werden kann.

IV. Lieferpflicht1. Hat der Besteller eine Anzahlung zu leisten oder den Nachweis der Sicherstellung der Finanzierungzu erbringen, so beginnt eine vereinbarte Lieferfrist erst zu laufen, wenn der Besteller dieseVerpflichtung erfüllt hat. Weitere Voraussetzung für den Beginn der Lieferfrist ist das Vorliegen allervom Besteller bei zubringenden Unterlagen und Genehmigungen sowie die Erfüllung aller sonstigenMitwirkungspflichten.2. Die Lieferzeit ist eingehalten, wenn wir bis zum Ihrem Ablauf mindestens die Versandbereitschafthergestellt und mitgeteilt haben.3. Durch nachträglich vom Besteller gewünschte Änderungen verlängert sich die Lieferfrist entspre-chend.4. Unvorhergesehene Hindernisse, die nicht durch unseren Willen bedingt sind, wie z.B. höhereGewalt, behördliche Eingriffe, Streiks und sonstige Betriebsstörungen Verzögerung in der Anlieferungnachweisbar rechzeitig bestellter Waren sowie in Rahmen eines Arbeitskampfes erforderlich gewor-dene Aussperrungen, führen zu einer angemessenen Verzögerung der Lieferfrist. Die vorerwähntenUmstände sind von uns auch dann nicht zu vertreten, wenn sie während eines bereits vorliegen denLieferverzuges entstehen.5. Teillieferungen sind zulässig.6. Geraten wir mit unserer Leistungspflicht in Verzug, so gelten folgende Regelungen: Wir haften demBesteller auf Schadenersatz, sofern der Verzug auf vorsätzlichem oder grobfahrlässigem Verschuldenberuht. Bei bloßer Fahrlässigkeit kann der Besteller Ersatz des ihm entstandenen Schadens nur biszu einem Höchstbetrag von 0,5% für jede vollendete Woche der Verspätung bis zur Höhe von imGanzen 5% des Wertes desjenigen Teiles der Gesamtlieferung verlangen, der infolge der Verspätungnicht rechtzeitig oder nicht zweckdienlich genutzt werden konnte. Ist der Besteller Kaufmann, so isteine Haftung auf Schadenersatz bei nur fahrlässig verschuldetem Verzug ausgeschlossen. Gleichesgilt bei grober Fahrlässigkeit, es sei denn, der Verschuldensvorwurf trifft unsere gesetzlichen Vertreteroder leitende Angestellten. Das Rücktrittsrecht des Bestellers nach Ziffer IX bleibt unberührt.7. Fertigungsbedingte Mehr- oder Minderlieferung behalten wir uns vor. Mehr- oder Minderlieferungvon bis zu 10% der Bestellmenge sind branchenüblich und gelten als vertragsgemäße Erfüllung. BeiUnterlieferung der Bestellmenge besteht kein Anspruch auf Nachlieferung der Fehlmenge.

V. Gefahrenübergang und Entgegennahme1. Die Gefahr für den Liefergegenstand geht spätestens mit Verlassen des Betriebsgeländes auf denBesteller über, und zwar auch dann, wenn lediglich Teillieferungen erfolgen oder wir noch andereLeistungen, z.B. Versandskosten oder die Anlieferung, übernommen haben.2. Wenn sich die Versendung des Liefergegenstandes infolge von Umständen verzögert, die derBesteller zu vertreten hat, so geht die Gefahr vom Tag der Versandbereitschaft auf den Besteller über. 3. Angelieferte Gegenstände sind entgegenzunehmen, auch wenn sie unwesentliche Mängel habenoder wenn es sich um Teillieferungen handelt. Die Rechte des Bestellers aus unserer Mängelhaftungbleiben hiervon unberührt.

VI. Annahmeverzug des BestellersKommt der Besteller in Verzug der Annahme, so können wir - unbeschadet aller sonstigen Rechte - 1. Nach sofortiger Rechnungsstellung die Bewirkung unserer Leistung verweigern, solange nicht derBesteller das von ihm geschuldetes Entgelt völlig erbracht hat.2. Nach Setzen einer angemessenen Nachfrist vom Vertrag zurücktreten oder Schadensersatz wegenNichterfüllung fordern.3. Machen wir in diesem Fall nicht mehr als 15% der Vertragssumme als Schaden geltend, so bedarfdieser keines Nachweises; der Besteller bleibt vorbehalten, den Beweis zu führen, ein Schaden seiüberhaupt nicht entstanden oder wesentlich niedriger als diese vereinbarte Pauschale.

VII. Eigentumsvorbehalt1. Alle gelieferten Gegenstände bleiben unser Eigentum bis zur vollständigen Erfüllung allerForderungen - auch Nebenforderungen - aus der gegenseitigen Geschäftsverbindung.2. Werden die Liefergegenstände mit anderen, nicht uns gehörenden Waren verarbeitet, so erwerbenwir Miteigentum an der neuen Sache gilt als Vorbehaltsware im Sinne dieser Bestimmung. 3. Der Besteller darf Gegenstände, auf denen unser Eigentumsvorbehalt ruht, weder verpfänden oderSicherungsübereignen. Von einer Pfändung oder jeder anderen Beeinträchtigung unserer Rechtedurch Dritte muss der Besteller uns unverzüglich benachrichtigen.4. Der Besteller ist berechtigt, die Ware im Rahmen eines ordnungsgemäßen Geschäftsbetriebes zuveräußern. Die Vorbehaltsware darf nur unter Eigentumsvorbehalt weiter veräußert werden. DieBerechtigung zur Weiterveräußerung entfällt bei Zahlungseinstellung oder bei erkennbaren wirt-schaftlichen Schwierigkeiten des Bestellers. Das Recht des Bestellers zum Besitz der Vorbehaltsware

erlischt, sobald er in Zahlungsverzug gerät, die Vorbehaltsware unsachgemäß behandelt oder beisonstigem vertragswidrigem Verhalten.5. Auf unser Verlangen ist der Besteller verpflichtet, uns jederzeit Auskunft über den Verbleib der unterEigentumsvorbehalt gelieferten Ware und über die aus dem Weiterverkauf entstandenen Forderungenzu geben. Der Besteller hat uns alle zur Wahrung unserer Eigentumsrechte erforderlichenInformationen mitzuteilen.6. Veräußert der Besteller die Ware weiter, verwendet er sie zur Erfüllung eines Werk- oderWerklieferungsvertrages oder vermietet er sie, so tritt er uns hiermit seine daraus entstehenden künf-tigen Forderungen gegen seine Kunden mit allen Nebenrechten zur Sicherung unserer sämtlichenAnsprüche ab. Bis auf Widerruf ist der Besteller zur Einziehung der abgetretenen Forderung befugt.Auf unser Verlangen hat der Besteller die Abtretung dem Kunden bekannt zu geben und uns zurGeltendmachung unserer Rechte gegen den Kunden erforderlichen Auskünfte zu erteilen und die not-wendigen Unterlagen auszuhändigen. Der Besteller trägt alle Kosten der Einziehung und etwaigerInterventionen. 7. Übersteigt der Wert der Sicherungen unsere Ansprüche gegen den Besteller aus der laufenden Ge-schäftsverbindung insgesamt um mehr als 25%, so sind wir auf Verlangen des Bestellers verpflichtet,uns zustehende Sicherungen nach unserer Wahl freizugeben.

VIII. Haftung für Mangel der Lieferung Für Mangel der Lieferung haften wir unter Ausschluss weiterer Ansprüche wie folgt:1. Die Ware ist vom Besteller unverzüglich nach Eintreffen am Bestimmungsort zu untersuchen.Offensichtliche Mängel sind innerhalb einer Ausschlussfrist von 7 Tagen geltend zu machen. Nach derEntdeckung von Mängeln ist die Benutzung des Vertragsgegenstandes sofort einzustellen, wenn dieszur Vermeidung weiterer Schäden geboten ist.2. Unsere Mängelhaftung bezieht sich nicht auf die natürliche Abnutzung, ferner nicht auf Schäden,die nach dem Gefahrenübergang infolge unsachgemäßer Montage oder Inbetriebnahme durch denBesteller oder Dritte, fehlerhafter oder nachlässiger Behandlung, übermäßiger Beanspruchung, unge-eigneter Betriebsmittel oder chemischer, elektrochemischer oder elektrischer Einflüsse entstehen.Eine Gewährleistungsverpflichtung erlischt, wenn am Vertragsgegenstand Änderungen oderReparaturen vom Besteller oder von einem Dritten ohne unser Einverständnis vorgenommen wordensind.3. Bei Ersatzteillieferungen übernehmen wir, wenn der Besteller Kaufmann ist, eine Gewährleistungnur für die Dauer von 3 Monaten.4. Soweit ein Gewährleistungsanspruch besteht, sind wir verpflichtet, die fehlerhaften Teile nachzu-bessern oder – nach unserer Wahl – den Liefergegenstand oder den fehlerhaften Teil durch einenmängelfreies zu ersetzen.5. Zur Vornahme aller uns notwendig erscheinenden Ausbesserungen, sowie zur Lieferung und zumEinbau von Ersatzteilen hat der Besteller uns die erforderliche Zeit und Gelegenheit zu gewähren.Verweigert er diese, so sind wir von der Mängelhaftung befreit.6. Handelt es sich bei unseren Lieferungen um Fremderzeugnisse, so behalten wir uns die Möglichkeitvor, die uns gegenüber dem Zulieferanten zustehende Gewährleistungsansprüche zur Erfüllung unse-rer Gewährleistungsverpflichtung an den Besteller abzutreten. Der Besteller darf uns in diesem Fallauf Gewährleistung erst in Anspruch nehmen, wenn es ihm nachweislich nicht möglich oder nichtzumutbar ist, die ihm abgetretenen Ansprüche außergerichtlich durchzusetzen. Wir werden demBesteller auf Aufforderung alle zur Durchführung der Gewährleistungsansprüche erforderlichenInformationen übermitteln und die in Absprache mit uns gemachten Aufwendungen, sofern sie zumZwecke der Nachbesserung erforderlich werden, erstatten.7. Schlägt die von uns geschuldete Nachbesserung oder Ersatzlieferung fehl, so kann der BestellerHerabsetzung der Vergütung (Minderung) oder nach seiner Wahl Rückgängigmachung des Vertrages(Wandelung) verlangen. Ein Fehlschlagen liegt vor, wenn:• ein bestimmter Mangel trotz mehrfacher Versuche durch Nachbesserung oder Ersatzleistung nicht

beseitigt werden konnte und der Besteller uns erfolglos eine angemessene Nachfrist mit der Bestimmung gesetzt hat, er werde nach Fristablauf sein Recht auf Wandlung oder Minderung geltend machen

• bezüglich dieses Mangels, Nachbesserungsversuche oder Ersatzlieferung von uns, trotz Aufforderung und angemessener Fristsetzung seitens des Bestellers, nicht vorgenommen wordensind und uns der Besteller eine angemessene Nachfrist mit der Bestimmung setzt, er werde nachFristablauf sein Recht auf Wandlung oder Minderung geltend machen.

• Die Beseitigung des Mangels von uns ausdrücklich und endgültig verweigert wird, oder seine Beseitigung durch Nachbesserung oder Ersatzlieferung nachgewiesenermaßen unmöglich ist.

8. Wir können die Beseitigung von Mängeln ohne Rechtsnachteile verweigern, sofern der Besteller dievon ihm geschuldete Zahlung in einem Umfang zurückhält, die in keinem angemessenen Verhältniszu den aufgetretenen Mängeln steht.9. Handelt es sich bei dem Liefergegenstand um gebrauchte Ware, so ist jegliche Gewährleistungausgeschlossen.10. Eine weitergehende Gewährleistung wird von uns nicht übernommen. Insbesondere kann derBesteller keinen Ersatz unmittelbaren oder mittelbaren Schadens verlangen. Eine Ausnahme gilt nur,wenn ein Ersatzanspruch wegen Fehlens einer zugesicherten Eigenschaft begründet ist; auch in die-sem Fall sind, sofern nicht die falsche Zusicherung vorsätzlich oder grob fahrlässig durch unseregesetzlichen Vertreter oder leitenden Angestellten erfolgt ist – Ansprüche auf Ersatz des unmittelba-ren oder mittelbaren Schadens ausgeschlossen, wenn der Besteller Kaufmann ist.

IX. Recht des Kunden auf Rücktritt 1. Wird die uns obliegende Leistung unmöglich, so ist der Besteller berechtigt, vom Vertrag zurük-kzutreten. Bei teilweiser Unmöglichkeit ist der Besteller hierzu nur berechtigt, wenn für die teilweiseErfüllung bei ihm kein Interesse besteht. Tritt die Unmöglichkeit während des Annahmeverzuges oderdurch Verschulden des Bestellers ein, so bleibt dieser zur Gegenleistung verpflichtet.2. Befinden wir uns in Leistungsverzug und gewährt uns der Kunde gemäß § 326 BGB eine ange-messene Nachfrist mit der ausdrücklichen Erklärung, dass er nach Ablauf dieser Frist die Annahmeder Leistung ablehne, und wird die Nachfrist durch unser Verschulden nicht eingehalten, so ist derBesteller zum Rücktritt berechtigt.

X. Eigenes Rücktrittsrecht wegen unvorhergesehener Ereignisse1.Sofern unvorhergesehene Ereignisse im Sinne von Ziffer IV. 4 die wirtschaftliche Bedeutung oderden Inhalt der Leistung erheblich verändern oder auf unseren Betrieb erheblich einwirken, steht unsdas Recht zu, vom Vertrag zurückzutreten. Wollen wir von diesem Rücktrittsrecht Gebrauch machen,so haben wir dies nach Erkenntnis der Tragweite des Ereignisses unverzüglich dem Besteller mitzu-teilen und zwar auch dann, wenn zunächst mit dem Besteller eine Verlängerung der Lieferzeit verein-bart war. Schadensersatzansprüche stehen dem Besteller in einem solchen Fall nicht zu.

XI. Schadensersatz wegen verschuldeter Unmöglichkeit und positiver Vertragsverletzung1. Bei von uns vertretender ganzer oder teilweiser Unmöglichkeiten schulden wir dem Besteller nachden gesetzlichen Vorschriften Schadenersatz, sofern uns vorsätzliches oder grob fahrlässigesVerschulden zuzurechnen ist. Haben wir die Unmöglichkeit nur fährlässig verschuldet, so wird erAnspruch auf Ersatz des nachgewiesen Schadens auf 20% der Gegenleistung beschränkt, die mitdem Besteller für den betroffenen Teil der Leistung vereinbart war. Ist der Besteller Kaufmann, so istein Schadenersatzanspruch bei nur fahrlässig verschuldeter Unmöglichkeit ausgeschlossen. Gleichesgilt bei grober Fahrlässigkeit, es sei denn, der Verschuldensvorwurf trifft unsere gesetzlichen Vertreteroder leitenden Angestellten.2. Ein Anspruch auf Schadensersatz aus positiver Vertragsverletzung steht dem Besteller, sofern wirnur fahrlässiges Verschulden zu Vertreten haben, nicht zu. Gegenüber kaufmännischen Bestellernhaften wir auch bei grober Fahrlässigkeit nur nach Maßgabe der vorstehenden Ziffer XI. 1 Abs. 2.

XII. Ausschluss weitergehender Ansprüche1. Diese Verkaufs- und Lieferbindungen enthalten vollständig alle Ansprüche auf Rücktritt, Wandlung,Minderung oder Schadensersatz, die dem Besteller aus dem Vertragsverhältnis zustehen können.Soweit diese Verkaufs- und Lieferbedingungen Ansprüche nicht gewähren, sind derartige Ansprücheausgeschlossen, es sei denn, dass zwingende gesetzliche Vorschriften den Ausschluss verbieten.2. Werden gegenüber dem Abnehmer Verletzungen gewerblicher Schutzrechte durch unsere Warengerügt, ist er verpflichtet, uns unverzüglich Mitteilung zu machen.3. Wird die Ware in vom Besteller besonders vorgeschriebener Ausführung (nach Zeichnung, Musteroder sonstigen bestimmten Angaben) hergestellt und geliefert, so übernimmt der Besteller dieGewähr, dass durch Ausführung Rechte Dritter, insbesondere Patente, Gebrauchsmuster und sonsti-gen Schutz- und Urheberrechte nicht verletzt werden. Der Besteller ist verpflichtet, uns von allenAnsprüchen Dritter, die sich aus einer solchen Verletzung ergeben könnten, freizuhalten. Von unsübergebene Zeichnungen, Muster, usw. sind, sofern nicht sofortige Rückgabe verlangt wurde, sorg-fältig aufzubewahren und bleiben unser Eigentum.

XIII. Erfüllungsort und Gerichtsstand, anwendbares RechtErfüllungsort und Gerichtsstand sind bei Vollkaufleuten – auch für Wechsel- und Scheckklagen – aus-schließlich Bochum. Für Fälle mit Auslandsberührung gilt deutsches Recht als vereinbart.

XIV. SchlussbestimmungDie Ungültigkeit einzelner Bestimmungen dieser Verkaufs- und Lieferbedingungen lässt dieRechtswirksamkeit der übrigen unberührt. Die ungültigen Bestimmungen sind so umzudeuten bzw.den veränderten Verhältnissen anzupassen, dass der mit Ihnen erstrebte wirtschaftliche Erfolg nachMöglichkeit erreicht wird.

EUGESales and Delivery Conditions

Our deliveries and service are based on the following conditions. Any terms or conditions added tothe contract by the buyer contradicting our terms are not accepted, even if not explicitly objected byus.

I. Offers and Transactions1. Our offers are not binding. They are only fair estimations supplied on request. The offer is only con-sidered accepted, when we have confirmed the contract in writing.2. The pictures and illustrations in our catalogue are only examples and models solely for display pur-poses. Dimensions and weight information are only approximations until confirmed in contract. Wereserve the right to change models and constructions at any time.3. Our confirmation of a contract is authoritative only for the range of our services and delivery.Modifications require our written confirmation.

II. Prices1. All of the prices must be regarded as work prices without the addition of value added tax, packingand transportation costs, which will be determined at the close of the transaction. The packing willbe specially calculated for each individual order and will not be cancelled.2. Our prices are daily list prices and are based on the present cost components for materials, wages,and general costs. They are applicable within four months of the contract confirmation for non-pur-chasers otherwise they are not binding. We reserve the right to correct the prices when there is achange in the aforementioned cost components. Prices are not binding until confirmed by us in thewritten contract. For orders less than 2 50, a small handling charge will be added to cover our costs.

III. Payment1. As long as the arrangement has not been altered in writing, payment is due with the receipt of thebill and should be handled as follows:• Within 30 days of the billing date, net without deduction• Smaller deliveries under 2 50, due immediately after receipt without deductions2. The payment should be made in cash or check, bank-, giro-, or bank giro form transfers. If exchan-ges are made, they occur only for payment. Discount and entry costs, as well as interest, are debitedto the buyer.3. If the buyer completely or partially defaults payment, he/she will be charged from this point on, atax of approximately 1% per month, on top of the contract price. As far as we can demand payableinterest, this interest rate is agreed upon.4. If the buyer is late in making a payment, suspends payment, submits proof of debt, begins bank-ruptcy proceedings, does not honor due bills or checks, and, in addition, does not reply to demandsand continues to default payments when they are due, then a substantial deterioration in the businessrelationship will occur. If substantial degradation of economical conditions of the buyer occurs, thenwe are entitled to demand our choice of either pre-payment or security, on account of our require-ments from all existing contracts, and to refuse fulfillment up to the pre-payment or security. If thebuyer with the prepayment or security comes into delay, then we can withdraw for appropriate respi-te from the contract or require payment of damages because of the default.5. The settling of accounts with counter claims from the buyer is unacceptable. The only exception iswhen (present with all other legal conditions) it concerns the settling of accounts with undisputed orvalidly determined demands. Likewise, rights of retention are excluded, as long as they are not basedon the same contractual conditions.6. If the buyer stands pursuant to claims numeral VIII because of unsatisfactory service warranties,he/she lawfully has the right to claim payment only in the range of the total worth of the product,which is measured in relationship to the product’s value and by the depreciation caused by the defect.Also, this claim is out of the question, if we have recognized the concerned defect and have fulfilledour warranty duties in the measured range of certainty, which can also be broken by bank security.

IV. Deliverer’s Duties1. The compatible date of delivery begins only when the buyer has fulfilled his/her duty to supply adeposit or proof of finance protection. Further conditions to be fulfilled by the buyer before deliverycommences are the submission of all documents and licenses, as well as the fulfillment of all otherobligations to co-operate.2. The delivery time is set only after we have clarified all clerical and technical details and communi-catedthat the order is ready for transport.3. Any additional changes desired by the buyer will increase the delivery period.4. Any unforeseen obstacles that are not in our control, such as increased violence, official interfe-rence, and breakdowns in supply, or the delivery of faulty materials, as well as in the framework oflock-outs and strikes, lead to a measurable delay in delivery. We are not liable for the aforementionedcircumstances, even when they result in the delay of delivery.5. Partial delivery is allowable.6. If we default on our delivery duties, the following rules are valid: We are liable for compensation tothe buyer, as long as the delay was avoidable or due to negligence on our part. If we are at fault fornegligence, the buyer can demand compensation for the damage incurred only up to the amount of0.5% for every full week of delay, totalling, at the most, 5% of the worth of each piece of the entiredelivery which could not be used timely or expediently as a result of the delay. If the buyer is a retai-ler, and thus also has a liability for damage compensation when guilty of negligence or delay, theseliabilities are excluded from our compensation. The buyer is only entitled to compensation when themistake was caused by negligence on the part of our leading staff or legal representatives. The buy-er’s rights to resignation remain intact according to paragraph IX.7. We reserve the right to modify quantities up to plus or minus 10% of the ordered amount. If theorder is reduced, the buyer has no right to demand the shortage.

V. Risk of Passage and Receipt1. The risk for the delivery of the order passes over to the buyer when the order leaves our companyarea, even if only partial delivery takes places, or even if we have taken over services, for exampleshipping charges or the actual delivery.2. If the transport of the objects is delayed as a result of circumstances caused by the buyer, then therisk passes over to the buyer starting on the day that the order is ready to be dispatched.3. Delivered objects must be accepted, even when they contain insignificant shortages or when con-cerning partial delivery. The rights of the buyer on account of our shortages remain intact.

VI. Buyer’s Failure to AcceptIf the buyer fails to accept an order, we can, without impairment to all other rights:1. Refuse the effectuation of our service immediately after rendering the invoice, as long as the buyerdid not completely furnish the payment owed on the invoice.2. After the period of time agreed upon in the contract passes, we can demand compensation fordamages due to non-fulfillment.3. This case requires no proof if we receive no more than 15% of the contract sum as compensation;the buyer reserves the right to offer proof that the damage did not occur or that the damage did occur,but that it was substantially lower than this agreed upon lump sum.

VII. Title of Goods1. All delivered goods remain our property until payment is received in full and all existing contract sti-pulations are fulfilled.2. If the delivered goods are mixed with other goods by the buyer, ownership of the mixed goods isautomatically passed to us until payment has been received in full.3. The buyer is not allowed to pawn articles or transfer protection of articles that remain in ourownership. The buyer must immediately inform us of the seizing of our rights, or of any other impair-ment of our rights by a third party.4.The buyer is entitled to sell the goods in the context of normal business concerns. The goods maybe further sold only under retention of title. The authorization for further sales is cancelled with pay-ment adjustment or with recognizable economic difficulties. The right of the buyer to possession ofthe reserved goods ceases to exist, as soon as he defaults payment, handles the goods carelessly,or behaves contrary to the terms of the agreement in any other way.5. The buyer is bound by our demands, to give us information concerning the whereabouts of our deli-vered goods under the property proviso, as well as information about the whereabouts which resultfrom further sales promotions. The buyer must give us all other necessary information for the preser-vation of our property rights.6. If the buyer continues to sell our goods, uses them for the fulfillment of a work- or work deliverycontract, or rents them, he hereby loses the rights to resultant and future demands for his customers,as well as all additional rights to the protection of our claims. Up to retraction, the buyer is authorizedto the collection of the unfulfilled demands. On our demand, the buyer must communicate to us thetransfer of goods to the customer, supply the necessary information for asserting our rights againstthe customer, and hand over all necessary documents to us. The buyer bears all collection costs andany costs caused by interventions. 7. If the value of the protections of our claims against the buyer exceeds the current business relationtotal by more than 25%, we are obligated upon the request of the buyer to release due protections ofour choice.

VIII. Responsibility for Delivery ShortageFor delivery shortage, we are responsible as follows under exclusion of further claims:1. The buyer should examine the goods immediately after arrival. Apparent shortages must be repor-ted within 7 days of receipt. After the discovery of a shortage, the use of the item under contract isto be ceased immediately, in order to avoid further damage.2. Our warranty against defects refers to natural wear and not to damage which results from inap-propriate assembly or starting by the buyer or a third party; incorrect or careless treatment; excessi-ve demands of the goods; unsuitable working material; or chemical, electrochemical, or electricalinfluences. Our warranty expires if the contractual item is changed or repaired by the buyer or by athird party without our agreement.3. If the buyer is a retailer, we take over a guarantee for replacement part delivery only for a durationof six months.4. As far as our guarantee is concerned, we are obligated to choose to repair faulty parts, replace theentire object, or to replace only the faulty part.5. The buyer must give us the opportunity and the appropriate amount of time to take care of all necessary repairs, as well as the supply and installation of spare parts. If he/she refuses to do this,then we are released from our defect warranty.6. In the case of unknown products in our supplies, we reserve the right to surrender the fulfillment ofour warranty engagement to the vendor opposite the buyer, whom is entitled to the warranty claim.In this case, the buyer may first make a claim on the guarantee to us, whenever it is evidently not pos-sible or reasonable to settle the claim out of court. We will convey all information necessary for theexecution of the warranty claims to the buyer upon request, and will refund expenditures, as long asthese actions are necessary for the purpose of resolution.7. If our attempts at resolution or replacement delivery fail, the buyer can choose to demand a reduc-tion in price or a complete cancellation of the contract. A failure in resolution occurs when:• A definite lack could not be eliminated despite repeated attempts at repair or replacement delivery,

assuming the buyer had informed us of the complaint within the set period of time. If that time periodexpires without resolution, the buyer will have the right to a reduction in price, or the cancellationof the contract.

• Concerning this lack, our attempts at rework or replacement do not resolve the issue, despiterequests from the buyer and an appropriate expectation of the amount of time required for reso-lution. If that time period expires without resolution, the buyer will have the right to reduction in price, or the cancellation of the contract.

• The removal of the lack is explicitly and decidedly refused by us, or its removal by rework or repla-cement is evidently impossible.

8.We can refuse to replace the shortage without damage to the rights of the buyer, if the buyer holdsback payment owed to us, in any extent which is not related to the shortage.9. If it concerns the delivery of a used article, then any guarantee is impossible.10. No further guarantee will be entertained by us. Specifically, the buyer cannot demand compen-sation for direct or indirect damage. An exception applies only if a claim is based on the absence ofan assured feature. Another exception is when the wrong warranty deliberately, or through seriousnegligence by our legal representatives or leading employees, results. Demands for compensation ofthe direct or indirect damage are impossible if the buyer is a retailer.

IX. Customer’s Right to Resignation 1. If it becomes impossible for us to fulfill our service, then the buyer is entitled to withdraw from thecontract. When the service can be partially fulfilled, the buyer is only entitled to withdraw from thecontract if he/she has no interest in partial fulfillment. If the impossibility occurs during a default ofacceptance on the buyer’s part, or is the fault of the buyer, then he/she remains obligated to pay forthe services.2. If we have delayed service and the customer grants us, in accordance with Article 326 BGB, anappropriate respite, with the expressed explanation that he/she can refuse to accept our service atthe expiration of this time period, then the buyer is entitled to resignation from the contract, if we areat fault for not providing service within the set time period.

X. Our Rights to Resignation due to Unforeseen EventsIf unexpected events considerably influence the economic meaning or contents of our service in thesense of numeral IV 4, we are entitled to withdraw from the contract. If we choose to withdraw fromthe contract, we must communicate this to the buyer immediately after the realization of the conse-quences of the event, even if an extension of the delivery time was originally agreed upon with thebuyer. In such a case, the buyer is not entitled to claims for damages.

XI. Payment of Damages due to Breach of Contract 1. When we are completely or partially unable to fulfill our contract obligations because of deliberateor gross negligence, the buyer is entitled to compensation, according to the laws of compensation. Ifthe breach of contract occurs because of negligence on our part, then the compensation for the pro-ven damage is limited to 20% of the affected part of service, which was agreed upon with the buyer.If the buyer is a retailer, then claims for damage due to breach of contract are impossible. The sameapplies with blatant negligence. Therefore, the buyer is only entitled to claims when the negligence isthe fault of our legal representatives or leading employees.2. The buyer is not entitled to a claim for damage compensation due to contract violation if only dueto negligence. When dealing with commercial buyers, we are responsible for gross negligence only inaccordance with the conditions listed in numeral XI. 1 paragraph 2.

XII. Exclusion of Further Claims1. These sales and delivery conditions contain all the rightful claims to resignation, change, reduction,and payment of damages, which can be entitled to the buyer by the contractual agreement. Anyclaims not listed in these sales and delivery conditions will not be entertained unless compelling lawsforbid their exclusion.2. If customers are reprimanded for infringement of commercial patent rights of our goods, he/she isobligated to report it to us immediately.3. If the commodity is specially manufactured and supplied for the buyer according to particularrequests or executions (according to drawing, sample, or certain data), then the buyer is responsibleto guarantee that third party rights are not violated, especially involving patents, utility models, andother protections and copyrights. The buyer is required to claim all responsibility for third party rightsinfringement if it occurs. Designs handed over by us (samples, etc.), if not required to be returnedimmediately, are to be kept carefully and remain in our property.

XIII. Place of Fulfillment and Place of Jurisdiction, Applicable RightsFor our customers, the place of fulfillment, the place of jurisdiction, as well as the place for changeand check complaints is exclusively in Bochum. In case of foreign contacts, German laws are agreedto be valid when settling disputes.

XIV. Final ProvisionThe invalidity of single points within the sales and delivery conditions does not affect the validity ofthe remaining points. The invalid points are reinterpreted/adapted, in such a way as to reach the hig-hest possibility of economic success.
