    The Council of Institutional Investors (CII) is a nonprofit association of pension funds, other employee benefit funds, endowments and foundations with combined assets that exceed $3 trillion. We are a leading voice for effective corporate governance and strong shareowner rights.

    CII educates its members, policymakers and the public about the importance of corporate governance, shareowner rights and related investment issues, and advocates on our members behalf. Corporate governance involves the structure of relationships between shareowners, directors and managers of a company. Good corporate governance is a system of checks and balances that fosters transparency, responsibility, accountability and market integrity.

    Speaker BiosEye on Investors

    Salman BanaeiSalman Banaei is counsel to Commissioner Bart Chilton of the u.S. Commodity Futures Trading Commission. He advises the commissioner on a wide range of matters including CFTC enforcement actions, international regulatory initiatives and rulemakings implementing Dodd-Frank Act provisions. Before working for the commissioner, Banaei was an attorney in the CFTCs Division of Market Oversight. Previously, he worked as an economist in that divisions Market Surveillance Section

    where he was responsible for monitoring the trading patterns of futures and regulated swaps to detect violations. Before joining the CFTC, Banaei worked for an international law firm at its Paris headquarters and for its Abu Dhabi affiliate office.

    Andrew BrooksAndrew Brooks is VP and head of u.S. equity trading at T. Rowe Price. He is also a member of the equity brokerage and trading control committee and the ethics committee at the investment firm. Brooks joined the firm in 1980 as an equity trader and assumed his current role in 1992. He serves on the new York Stock Exchanges Institutional Traders Advisory Committee and is a member of the Investment Company Institute Equity Markets Advisory Committee. He sits on the board of the national Organization of Investment Professionals.

    Ron BurkleRon Burkle is founder and managing partner of the Yucaipa Companies, an investment firm. He also has served as chairman and controlling shareholder of numerous companies including Alliance Entertainment, golden State Foods, Dominicks, Fred Meyer, Ralphs and Food4less. Burkle was a member of the boards of Occidental Petroleum, kB Home, kaufman & Broad, Yahoo! and the J. Paul getty Trust. He serves as co-chairman of the Burkle Center for International Relations at uClA.

    Sarah ClarkSarah Clark is president and CEO of Partnerships BC, a company owned by the Province of British Columbia that oversees major infrastructure projects in that region. Previously, she served as VP of partnership development and delivery. Prior to joining Partnerships BC, Clark worked for Bombardier Transportation where she was responsible for development and delivery of rapid transit projects, both locally and internationally.

    Charles ElsonCharles Elson is the Edgar S. Woolard, Jr., Chair in Corporate governance and the director of the John l. Weinberg Center for Corporate governance at the university of Delaware. He is also of counsel to the law firm Holland & knight. He formerly served as a professor at Stetson university College of law and was a visiting professor at the university of Illinois College of law, the Cornell law School and the university of Maryland School of law. His fields of expertise include

    corporations, securities regulation and corporate governance. Elson was a law clerk to Judges J. Harvie Wilkinson III and Elbert P. Tuttle of the u.S. Court of Appeals for the Fourth and Eleventh Circuits. He is a Salvatori Fellow at the Heritage Foundation and a member of the American law Institute. Elson has served on several of the national Association of Corporate Directors commissions and is vice chairman of the ABA Business law Sections Committee on Corporate governance and was a member of its Committee on Corporate laws. He served as a consultant to Towers Perrin and as a director at Circon, Sunbeam, nuevo Energy, Alderwoods group and AutoZone. Currently, he sits on HealthSouths board.

    Vicki FullerVicki Fuller is CIO for the new York State Common Retirement Fund. She is responsible for developing and implementing investment strategies for the fund, which holds assets in trust for more than one million employees and retirees from state and local governments as well as public authorities. Previously, Fuller worked for investment management company AllianceBernstein for 30 years in many capacities. In her position as managing director there, she was responsible for business

    development, sales and client services. Fuller has lectured extensively on financial planning for young adults and business development for women of color.

    John KayJohn kay is a visiting professor at the london School of Economics, as well as an economist, academic, businessman and adviser to companies and governments around the world. He is most widely known for his weekly column in The Financial Times, which covers topical issues in economics, finance and business. kay also has published many books on economics. In July 2011, he led a review of the u.k. equity markets, which resulted in a final report in July 2012. His academic career began

    when he was elected a fellow of St. Johns College, Oxford, a position that he still holds. He served as research director and director of the Institute for Fiscal Studies, a u.k. think tank. kay has been a professor at the london Business School and the university of Oxford and was the first director of Oxford universitys Said Business School. He also founded london Economics, a consulting business, where he served as executive chairman. He was a director at Halifax and remains on the boards of several investment companies.

    Thomas KimThomas kim is the chief counsel and an associate director of the Securities and Exchange Commissions Division of Corporation Finance. He is the head of the divisions Office of Chief Counsel and oversees the divisions Office of Enforcement liaison. Prior to joining the commission in 2006, kim was the corporate and securities counsel at general Electric. Before that, he served as a law clerk to D.C. District Court Judge louis Oberdorfer.

    David KushnerDavid kushner is CIO of the los Angeles County Employees Retirement Association (lACERA). Before joining lACERA, he served as CIO of the San Francisco Employees Retirement System. kushner worked for Ing Investment Management prior to forming a private investment advisory firm and managing it for seven years. In 1983, he joined the equity staff at the Florida State Board of Administration, ultimately rising to senior portfolio manager. kushner began his career in trust investments, first at

    City national Bank of Miami, then at Flagship Bank of Tampa. He has taught investments to trustees, first for the Florida Public Pension Trustees Association and, more recently, for the California Association of Public Retirement Systems.

    Daniel LoebDaniel loeb is the founder and CEO of hedge fund Third Point where he leads portfolio management, risk management and research activities. Before founding Third Point, he was vice president of high-yield bond sales at Citigroup. Previously, he was a senior vice president in the distressed debt department at Jefferies & Co., where he worked as a bankruptcy analyst, bank loan trader and distressed securities salesman. Before joining Jefferies, he was a risk arbitrage analyst at lafer Equity

    Investors. He began his career as an associate in private equity at Warburg Pincus. loeb sits on the board of Yahoo! and is a member of the Council on Foreign Relations and the American Enterprise Institutes national Council.

    Lord Mynerslord Myners is chair of Cevian Capital u.k., an international investment firm. Although he began his career as a teacher and journalist, Myners eventually entered the investment industry when he began working at gartmore Investment Management. In 2001, at the request of the u.k. Treasury, he authored a review of pension funds investment decisions (referred to as the Myners Report) that resulted in widespread adoption of a code of best practices. Subsequently, he became a professional

    director, serving on the boards of 10 major companies, and chairing the boards of two of these, Marks & Spencer and land Securities. Myners has served as a member of the court (or board) of the Bank of England, a director of the Bank of new York, a member of Singapore-based gICs investment advisory board, chairman of the investment committee of lloyds of london and a member of the u.k. Financial Reporting Council (responsible for the u.k. corporate governance code). Following the collapse of lehman Brothers, he was appointed Financial Services Secretary and tasked with leading the u.k.s 500 billion bank bailout. As lord Myners of Truro, he participates in financial and economic policy debates in the House of lords. He also serves as chairman of Autonomous, an independent equity research firm, and as a director of RIT Capital, a global investment trust.

    Manoj NarangManoj narang is the founder and CEO of Tradeworx, a financial technology and trading firm aimed at democratizing the role of advanced technology in the financial markets. Through its subsidiary, Thesys, the firm offers a trading infrastructure to investors with high-performance trading needs. Tradeworx also operates a hedge fund, as well as an in-house proprietary trading business focused on high frequency trading strategies. narang has taken a leading role in educating the public

    about high frequency trading, writing a popular primer on the subject and briefing Congress, the SEC, FInRA and financial journalists on the topic. He has held a variety of technology, research and quantitative trading positions at several major Wall Street firms, including Citigroup, Credit Suisse and goldman Sachs.

    Patrick ONeillPatrick Oneill is EVP of the organizing department of the united Food and Commercial Workers International union (uFCW). He is also co-chair of the Council of Institutional Investors. As director of organizing, he leads the effort to organize workers in uFCWs core industries at the local, regional and international levels. Oneill began his union activism working on the kill floor of the Farmland Foods (now Smithfield Foods) plant. He was elected the unions chief steward in 1982. Since 1986, Oneill has

    served in several uFCW positions including international VP and executive VP and director of collective bargaining.

    Barry RosensteinBarry Rosenstein is founder and managing partner of hedge fund JAnA Partners, which employs activist strategies. JAnA has been involved in shareowner activism at companies including Marathon Petroleum, TnT, Mcgraw Hill, El Paso, Charles River, CnET, kerr-Mcgee, Artesyn Technologies, Houston Exploration, InterCept and SourceCorp. Most recently, JAnA convinced Canadian company Agrium to increase its dividend and buy back a big chunk of its stock. Prior to establishing

    JAnA, Rosenstein was the founder and managing partner of Sagaponack Partners, a private equity fund. He also helped raise the initial funding for Copart, an auto salvage company. Rosenstein began his career as an investment banker specializing in mergers and acquisitions with Merrill lynch and was a principal in charge of corporate takeovers for Asher Edelmans Plaza Securities.

    Lois Scottlois Scott is the first female CFO of the City of Chicago. Before joining the city, she was co-founder and president of Scott Balice Strategies. In 1997, President Bill Clinton named her a White House fellow tasking her with crafting the u.S. response to the capital funding crisis in Southeast Asia. She also chaired the management committee of the u.S. Export-Import Bank. Scott is one of the founders of Women in Public Finance, a national conference for those employed in the public finance industry. She

    also was a driving force behind the creation of the Women of the Year event honoring the accomplishments of women in the public finance industry. In 2012, Scott helped develop the Municipal CFO Forum at the university of Chicago, which brings together the CFOs of the 30 largest u.S. cities to discuss the financial challenges facing urban America.

    Anne SheehanAnne Sheehan is director of corporate governance for the California State Teachers Retirement System (CalSTRS) and chair of the Council of Institutional Investors. Before joining CalSTRS, Sheehan was chief deputy director for policy at the California Department of Finance for governor Arnold Schwarzenegger. During this time, Sheehan served on the CalSTRS board and the board of the California Public Employees Retirement System. She also served on special assignment as the

    executive director of the California Performance Review Commission, which developed recommendations to restructure and reorganize the state government. Earlier, she directed the governors Post-Employment Benefit Commission, which analyzed the unfunded pension and health care liabilities of all cities, counties and public agencies in California. Sheehan served two other Republican governors in a variety of senior posts. Her career in policy began when she was appointed by President Ronald Reagan as the deputy assistant secretary for congressional affairs at the Department of Energy.

    Anne SimpsonAnne Simpson is the senior portfolio manager and director of global governance at California Public Employees Retirement System (CalPERS). She is also a director on the Council of Institutional Investors board. Her responsibilities at CalPERS include overseeing the governance program, which consists of the CalPERS Focus list of shareholder engagement with companies, global proxy voting, the legal and regulatory reform agenda and CalPERS actively managed corporate governance

    investment strategy. She is leading CalPERS sustainability project to integrate environmental, social and governance considerations across the total fund. Previously, Simpson served as executive director of the International Corporate governance network, head of the World Bank-OECD global Corporate governance Forum and joint managing director of Pensions and Investment Research Consultants. She also is an advisory board member at the Ira Millstein Center for global Markets and Corporate Ownership at Columbia law School and a member of the Public Company Accounting Oversight Boards Investor Advisory group. Simpson sits on the editorial advisory board for the journal Corporate Governance: An International Review and she co-authored Fair Shares: The Future of Shareholder Power and Responsibility.

    Gregory Smithgregory Smith is executive director of the Public Employees Retirement Association of Colorado (Colorado PERA) and a director on the Council of Institutional Investors board. He also serves as chair of the national Institute on Retirement Security. Before he joined Colorado PERA, Smith worked as an equity partner at Hamilton & Faatz. Smith has testified before Congress, the u.S. Treasury Department and the Securities and Exchange Commission advocating for good governance practices.

    Lynn Stoutlynn Stout is a distinguished professor of corporate and business law at Cornell law Schools Jack g. Clarke Business law Institute. She has authored numerous articles and books on corporate governance, securities regulation, financial derivatives, law and economics and moral behavior. Her most recent book is The Shareholder Value Myth: How Putting Shareholders First Harms Investors, Corporations and the Public. Stout also serves as an independent trustee for the Eaton Vance family of

    mutual funds, a member of the board of advisers for the Aspen Institutes Business & Society Program and the executive adviser to the Brookings Institution Project on Corporate Purpose.

    Laura Swansonlaura Swanson is the deputy staff director of the Senate Banking Committee. She previously served as the committees policy director overseeing the legislative agenda and hearing schedule. Swanson also was the committees lead staffer on issues related to the regulation of financial institutions, financial stability and insurance. Before joining the full committee staff, she served as Sen. Tim Johnsons (D-S.D.) staff director for the Financial Institutions Subcommittee and worked in his Senate office. Swanson began her career in politics in South Dakota where she worked on Sen. Tom Daschles (D-S.D.) campaign.

    Margaret TobinMargaret Tobin is executive director of the nY Works Task Force, which was established by new York governor Andrew Cuomo to rebuild the states infrastructure and create jobs. The task force brings together finance, labor, planning and transportation professionals to coordinate a statewide capital investment plan. While previously serving in the new York City Mayors Office of Finance and Economic Development, Tobin orchestrated redevelopment projects including the Brooklyn navy Yard,

    Staten Island Homeport and Renaissance Marriott Hotel. As the EVP and CFO of the Hudson River Park Conservancy, she led the development of the Hudson River Park and negotiated the lease that enabled the creation of the Chelsea Piers Sports & Entertainment Complex. As a senior real estate executive at Vornado Realty Trust and Thor Equities, Tobin developed projects in office, hotel, retail and mixed use developments.

    Randi WeingartenRandi Weingarten is president of the American Federation of Teachers (AFT), AFl-CIO, which represents teachers, paraprofessionals and school-related personnel; higher education faculty and staff; nurses and other healthcare professionals; local, state and federal employees; and early childhood educators. She was elected in July 2008, following 11 years of service as a VP with AFT. Prior to that, Weingarten served for 12 years as president of the united Federation of Teachers (uFT), AFT

    local 2. For 10 years, Weingarten chaired new York Citys Municipal labor Committee, an umbrella organization for the citys public sector unions. She also has been a member of the AFT executive council; served on the AFT executive committee and its democracy committee; and headed the professional compensation committee. Weingarten served as an emissary for the national AFT in Europe, the Middle East and Asia. From 1986 to 1998, she was counsel to uFT President Sandra Feldman, and just before that, she worked as a lawyer for Stroock & Stroock & lavan.

    Ted WheelerTed Wheeler is the Oregon State Treasurer, overseeing the Oregon Public Employees Retirement Fund and administering the states public debt sales and central banking for government agencies. Wheeler sits on several committees including the State land Board, which oversees economic activity on state-owned waterways and common school fund lands. He is also a member of the Oregon Investment Council. Since being appointed treasurer in 2010, he directed efforts to implement

    money-saving technologies, authorized fraud lawsuits against firms that misled investors, earned an upgrade in Oregons credit rating and revamped the Oregon 529 College Savings network. He convened business leaders and spearheaded a new statewide blueprint, dubbed the Oregon Investment Act, which was approved by the states legislature in 2012. Prior to becoming treasurer, Wheeler served as chair of the Multnomah County Commission. Before entering elected office, he worked in the financial services industry.

    Theresa WhitmarshTheresa Whitmarsh is executive director of the Washington State Investment Board (WSIB), which manages $82 billion in state pension, industrial insurance and other funds dedicated to state interests. Whitmarsh joined WSIB as chief operating officer in 2003. In that position, she was responsible for investment operations, technology, research, risk and compliance. In 2009, she was appointed executive director. Whitmarsh came to WSIB with more than 20 years experience in business, government and media.

    Ash WilliamsAsh Williams is executive director and CIO of the Florida State Board of Administration (SBA). Prior to joining the SBA, Williams was a managing director at Fir Tree Partners and previously was president and CEO of Schroder Capital Management. He has extensive experience with both the SBA and Florida government, having served as executive director of the SBA from 1991 to 1996 and in senior management positions in Floridas executive and legislative branches.

    MEMBERSHIP CATEGORIES

    General MeMbers are employee benefit plans, state and local agencies officially charged with the investment of plan assets, non-profit endowment funds and non-profit foundations. However, private-sector employee benefit plans may not join as general Members if the plan or plan sponsors primary line of business includes providing financial, consulting, legal or other services to institutional investors. general Members are voting members of the Council and may participate in one of three constituencies: Public, Corporate or labor. general Members may attend any meetings open to all Council members as well as the general Members business meeting and their respective constituency meetings.

    educational sustainers include any other individual, institution, association or group interested in the work of the Council. Examples include: law firms, asset managers and proxy advisers. Educational Sustainer members participate in Council meetings and receive Council publications but do not vote on Council matters. At Council conferences, Educational Sustainers may attend all general sessions, receptions and breakout sessions open to all Council members.

    Honorary international ParticiPants include organizations that are not u.S. citizens, corporations, trusts or other entities, and do not have material operations in the united States. Honorary International Participant members participate in Council meetings and receive Council publications but do not vote on Council matters. At Council conferences, Honorary International Participants may attend all general sessions, receptions and breakout sessions open to all Council members.
