IMPORTANT INSTRUCTIONS TO BIDDERS FOR E-PROCUREMENT
This is an e-procurement event of MSTC LTD (hereinafter referred to as “MSTC”). Bidders are
requested to read the terms & conditions of this tender before submitting their online tender. Bidders
who do not comply with the conditions with documentary proof (wherever required) will not qualify
in the EOI.

Process of E-tender :
A) Registration: The process involves vendor’s registration with MSTC’s e-procurement
portal which is free of cost. Only after registration, the vendor(s) can submit his/their bids
electronically. This submission of bids shall be done over the internet. The Vendor should
possess a valid Class III signing type digital signature certificate. Vendors are to make
their own arrangement for bidding from a P.C. connected with Internet. MSTC is not
responsible for making such arrangement. (Bids will not be recorded without Digital
Signature).

The Techno-Commercial bid will be opened electronically on specified date and time as
given in the EOI. Bidder(s) can witness electronic opening of bid.

All entries in the tender should be entered in online Techno-Commercial Format without
any ambiguity.

All notices to and correspondence with the bidder(s) shall be sent by email only during the
process, up to the finalization of tender by MSTC. Hence the bidders are required to
ensure that their official email I.D. provided is valid and updated at the stage of
registration of vendor with MSTC (i.e. Service Provider). Bidders are also required to
ensure validity of their DSC (Digital Signature Certificate).

Bidding in e-tender:

c. The bidder should allow to run an application (encryption applet) by accepting the risk
and clicking on run. This exercise has to be done twice immediately after clicking on the
Techno-Commercial bid. If this application is not run then the bidder will not be able to
save/submit his bid.
d. After filling the Techno-Commercial Bid, bidder should click ‘save’ for recording their
Techno-Commercial bid. Once the same is done, the bidder can click on the “Final
Submission” button to register their bid.
NOTE: - The Techno-Commercial Bid cannot be revised once the Final Submission
button has been clicked by the bidder. However, if the bidder wishes to change his bids
then he may delete the bid and re-submit the same.
e. In all cases, bidder should use their own ID and Password along with Digital Signature
at the time of submission of their bid.
f. During the entire e-tender process, the bidders will remain completely anonymous to
one another and also to everybody else.
g. The e-tender floor shall remain open from the pre-announced date & time and for the
duration mentioned above.

h. All electronic bids submitted during the e-tender process shall be legally binding on the
bidder. Any bid will be considered as the valid bid offered by that bidder and acceptance
of the same by MSTC will form a binding contract between MSTC and the Bidder.
i. It is mandatory that all the bids are submitted with digital signature certificate otherwise
the same will not be accepted by the system.
j. MSTC reserves the right to cancel or reject or accept or withdraw or extend the tender in
full or part as the case may be without assigning any reason thereof.
k. No deviation of the terms and conditions of the tender document is acceptable.
Submission of bid in the e-tender floor by any bidder confirms his acceptance of terms &
conditions for the tender.
8 Any contract/agreement/MoU resulting from this e-tender shall be governed by the terms
and conditions mentioned therein.

The proposer shall bear all its costs associated with or relating to the preparation and submission of
its Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated
with any demonstrations or presentations which may be required by MSTC or any other costs

proposer and MSTC shall not be liable in any manner whatsoever for the same or for any other costs

Incorporated in 1964 as a trading company to deal in the export of scrap, MSTC has grown into a
large diversified, multi-product services and trading Company. MSTC was a canalising agency for
import of ferrous scrap until 1992. After de-canalisation it has established itself as one of the leading
e-commerce service providers in the country and also is one of the major player in trading of bulk
raw material. It has also entered into the re-cycling business through a 50:50 joint venture with
Mahindra Intertrade Limited (MIL) for setting up a shredding plant and collection centres across the

which are namely, (i) E-commerce, (ii) Trading, and (iii) Recycling through Mahindra MSTC
Recycling Private Limited (MMRPL). MSTC got listed on NSE and BSE on 29.03.2019.
Headquartered in Kolkata, we have the advantage of a country-wide footprint with four regional
offices located in Delhi, Mumbai, Kolkata and Chennai, thirteen branch offices in major cities of
India and three site offices.
MSTC is one of the leading PSU entity engaged in providing e-commerce related services across
diversified industry segment offering e-auction/e-sale, e-procurement services and development of
customized software/solutions. It has emerged as a pioneer in the e-auction segment catering to the
Government sector, partnering with different Government Agencies and Ministries in conducting e-
Auctions.
Since 2002, MSTC is offering e-auction platform to a large number of Government Departments and
Government controlled entities. It offers a complete package of services from preparation of the
auction catalogue to the issuance of delivery orders and advertisements of the same on case to case
basis with e-payment and e-wallet facilities. Starting with sale of coal through e-auction way back in
2004, MSTC has been developing different modules of e-auction such as lot wise auction, price

quantity auction, tender cum auction, e-tender etc to cater to the various needs of different sellers.
MSTC has conducted e-auction for sale of scraps, old plant & machineries, minerals, agricultural
produce, coal and non-coal mine blocks, land parcels, tea, gorgon nut, tendu leaves, timbers and
other forest produce, etc. A key characteristic of our e-auction is transparency in conducting these
services. MSTC is working towards bringing onboard historically unorganized products and sectors
to create ease in transacting. We are a nominated service provider for all major mineral blocks and
minor mineral blocks of a few states namely, Assam, Chhattisgarh, Jharkhand, Rajasthan and Uttar
Pradesh. E-auction of sand mining blocks in Uttar Pradesh has been one of the signature events in
recent past.
MSTC has launched M3 MSTC Metal Mandi (“M3”), a virtual marketplace for the trading of
metals, ores, engineering goods, and other products. It essentially provides a one stop platform for
sellers and buyers, displaying the products and offerings of MSMEs. More recently, in addition to
the open-market-style of this portal, we also have begun to adopt an inquiry-based process where
prospective buyers submit to us the products they desire, both quantity and price range. There is no
registration fee for either sellers or buyers under this scheme.
On August 1, 2017, we launched a nation-wide electronic portal for trading exclusively in
agricultural produce. The platform primarily deals in food grain, vegetables, fruits, spices, and more
recently, pineapple and ginger, among others. The services include forward auctions, procurement
and fixed price sales.
1.0 Introduction of EOI
The electrical and electronic wastes (e-waste) are one of the fastest growing waste streams in the
world. The increasing “market penetration” in developing countries, “replacement market” in
developed countries and “high obsolescence rate” make e-waste as one of the fastest growing waste
streams. Environmental issues and trade associated with e-waste at local, trans-boundary and
international level has driven many countries to introduce interventions. In accordance with the
National Environmental Policy (NEP) and to address sustainable development concerns, there is a
need to facilitate the recovery and/or reuse of useful materials from waste generated from a process
and/or from the use of any material thereby, reducing the wastes destined for final disposal and to
ensure the environmentally sound management of all materials.
NEP also encourages giving legal recognition and strengthening the informal sectors system for
collection and recycling of various materials. In particular considering the high recyclable potential
of e-waste such wastes should be subject to recycling in an environmentally sound manner.
MSTC seeks to establish an environmentally sound solution for recycling of e-waste viz; un-usable
computers and electronic equipments/gadgets and/or recovery of component materials in an
environmentally safe manner, in accordance with The Ministry of Environment, Forest and Climate
Change (MoEFCC), Govt. of India, Central Pollution Control Board (CPCB) and State Pollution

Control Boards (SPCB) norms, and in compliance with all applicable local, Union, State and
international environmental and safety laws and guidelines.
In the above context, MSTC is looking for eligible and interested companies to work as an Associate
with MSTC for e-Waste Management.
Expression of Interest (EoI) is invited from reputed companies who own e-Waste Management
facilities, requisite authorizations and approvals, and are willing for engagement and enter into a
Memorandum of Understanding (MoU) as an Empanelled Associate with MSTC.
2.0 Objective of the Expression of Interest (EOI):
MSTC intends to enter into the area of e-waste management and planning to make an association
with companies having end-to-end approved e-waste management system, refurbishing process,
recycling process, logistic network and secure technology to destroy all the data from e-waste hard
disks, facilities at their factory premises etc. Offers are invited from eligible bidders, as per the
techno commercial terms and conditions, for Selection, Empanelment and Engagement as
Associate(s) for e-Waste Management.
3.0 Submission of Bid:

The offer shall be submitted strictly as per EOI terms and conditions herein mentioned and no
alteration / modifications should be made to the Annexures / Formats provided in the EOI,
otherwise MSTC reserves the right to reject such offers at its sole discretion. Any decision taken
by MSTC in such regard shall be final and binding on all interested parties.
Bidders shall submit their offer as detailed below:-
1. The Techno-Commercial Bid will have to be filled and submitted online at
https://www.mstcecommerce.com/eprochome/mstc as detailed in the EOI document.
2. All the documents as per EOI terms and conditions have to be signed, stamped, scanned and
uploaded under Digital Signature of Registered Bidder in MSTC e-procurement portal as
detailed in the EOI document.

3. The documents vide Annexure D, E, F (Techno-commercial Bid) have to be signed,
stamped, scanned and uploaded along with supporting documents under Digital Signature of
Registered Bidder in MSTC e-procurement portal.
4. No Physical document submission is required.
4.0 Evaluation of the Bids:
The EOI is in Single Part-Techno-commercial Bid.
The Evaluation of the Techno-commercial Bid will be done on the basis of the documents submitted
online on due date and time. These bids will be subsequently evaluated by MSTC and Qualified
Bidders will be informed separately.
5.0 Prebid meeting
Pre-bid meeting will also be arranged on 24.06.2019 at 11:00 hrs(IST) to explain the queries which
the bidders may have and the same have to be submitted by the prospective bidder at least
one (1) day before the pre bid meeting date preferably through e-mail to the following e-mail
IDs:
6.0 Amendment of EOI:
At any time prior to the deadline for submission of the Proposal, MSTC may, for any reason,
whether at its own initiative or in response to clarifications requested by a Bidder, modify the EOI
document by the issuance of Addendum/ Amendment and posting it on the MSTC’s official website
i.e. https://www.mstcecommerce.com/eprochome/mstc for which bidders may please keep
viewing MSTC’s website for such changes, if any.
In order to afford the Bidders a reasonable time for taking an amendment into account, or for any
other reason, MSTC may, in its sole discretion, extend the Proposal Due Date. Any decision taken
by MSTC in such regard shall be final and binding on all interested parties.

Annexure-C
TECHNO-COMMERCIAL BID
1.0 Essential Criteria
Bidders will be required to submit their online offer within the scheduled time.
2.0 Scope of Work: MSTC
MSTC will enter into an understanding, initially by way of a broad MoU, with the short-
listed proposer(s) to necessarily take up the following activities:-
The empanelled Associate(s) & MSTC together will explore the opportunities in all States /
Union Territories as per mutual agreement for collection & recycling of e-waste, particularly
without limitation in the district Moradabad of Uttar Pradesh which has huge prevalence of
unorganized and potentially hazardous handling of e-Wastes to start with.
3.0 Scope of Work: Empanelled Associate(s)
The empanelled Associate(s) shall be broadly responsible for the following:
3.1. Receive and process all e-waste materials in the ‘as is where is and what so ever is’
condition, with no guarantees or warranties as to the value or functional, usable condition of
the materials. Material may be mixed and require separation prior to processing.
3.2. The empanelled Associate(s) will utilize his expertise / know-how to recycle the e-waste
materials in an environmentally sound manner and arrange for landfills for the residues.
3.3. The empanelled Associate(s) should have own technology or have a tie-up with a suitable
technical partner with expertise of recycling e-Waste material to ensure zero waste.
3.4. Separate the materials into their base commodities for economic recycling/recovery/disposal.
Actual processing methods for individual materials will depend on the type of electronic scrap
received and the current end markets for the units or recovered materials.
3.5. Use best efforts to recycle all equipments, materials and any elements, metals, plastics,
chemicals and/or compounds, particularly hazardous substances thereof, and to minimize
landfills and/or incineration disposal of equipment and/or materials.
3.6. Represent, warrant and covenant that all material that is not recovered, refurbished, repaired
or recycled by Company will be properly disposed off, and that such disposal will, at a
minimum, be in compliance with and will not result in liability under all Environmental Laws
and any and all other local, state, regional or country laws, regulations or requirements of any
kind relating to the disposal of materials.
3.7. Shall take title to and sole custody of the e-waste.

3.8. Provide a process that destroys the function of all received assets (e.g. memory devices) that
are not resold as to render the value from function negligible and the part unusable and un-
repairable, and assures that no data on any media can be recovered.
3.9. Remove all Purchaser asset tags, service tags and any Purchaser information from all
equipment and/or material before selling any items.
3.10. Agree to keep appropriate written records of material management at its processing facility
in order so that the stakeholders can audit those records to insure that such materials were
handled, stored, labeled, shipped and disposed of properly.
3.11. List each facility and transporter to be used in fulfilling the contracts, and identify whether
each facility is contractor-owned and operated or not.
3.12. The e-Waste shall be collected from the locations on back to back terms.
3.13. The e-Waste shall be disposed off in accordance with the timelines laid down by the GOI
guidelines currently in force. On final disposal, the Company would be required to provide a
Certificate to this effect to MSTC/Client within 30 days from receipt of the e-Waste.
3.14. Storage / Magnetic media will be low level formatted before handing over to Company for
data deactivation/degaussing/ storage media destruction. If offsite destruction of the storage
media is done, it should be completed within the timeline that shall be fixed at the time of
execution of MOU with the empanelled Associate(s) from date of pickup of storage media
from the collection location. The Company should carry out onsite destruction of storage
media wherever required. In any case, certification to this effect should be provided to the
Client within 30 days from collection of e-waste.
In case of transportation of e-waste for final disposal to a facility existing in a State other than
the State where the waste is generated/collected, the empanelled Associate(s) shall obtain ‘No
Objection Certificate’ from the concerned State Pollution Control Board and shall intimate
the State Pollution Control Board of State of transit.
3.15. In case of transportation of e-waste for dismantling or for recycling in a State other than the
State where the waste is generated /collected, the empanelled Associate(s) shall intimate the
concerned State Pollution Control Boards beforehand and the State Pollution Control Boards
of the State of transit.
3.16. It would be the responsibility of the Associate(s) for the safe transit of the e-waste from the
Client’s location to the empanelled Associate(s)’s location. In case of any untoward
happening during the transit of e-waste, the empanelled Associate(s) will be solely responsible
for the consequences.
3.17. If storage media is required to be transported to facility of empanelled Associate(s) for data
deactivation/degaussing and/or for destruction, it would be the responsibility of the
empanelled Associate(s) to ensure the security of data from the time it is collected from the
Client and until such time it is finally disposed / destroyed and a Certificate to this effect
would need to be issued to the Client.
3.18. Empanelled Associate(s) will be solely responsible for obtaining/providing all materials,
equipment, supplies, labor and other services required under the Contract as may be necessary

to fulfill the requirements of the Contract. The empanelled Associate(s) will competently and
efficiently supervise and direct all activities necessary to fulfill the requirements of the
contract. The empanelled Associate(s) shall accomplish all services in a timely and appropriate
manner, and, at no additional expense to MSTC Ltd, comply with all applicable laws/rules
/guidelines etc. affecting performance of the Contract, including but not limited to the
compliance of all the laws relating to the handling, storage, disposal and recycling of e-waste
for the time being in force, Environmental or Safety Law, implementing regulations, and
governmental orders, permits, licenses, approvals, authorizations etc. Any work subcontracted
shall come under the provisions of the Contract, and the empanelled Associate(s) shall be
responsible for the prompt, efficient and lawful performance of such work being carried out by
the said contractor & shall also be responsible for the acts of such sub contractor.
4.0 Others
4.1. The empanelled Associate(s) shall jointly with MSTC submit proposal to the Private/Govt.
Companies/corporations/firms /Govt. Agencies in India / abroad, etc. for securing business in
e-Wastes.
4.2. The empanelled Associate(s) shall also be facilitating MSTC throughout the term of its
engagement, for selling of the recycled and refurbished e-waste materials through MSTC’s
online auction platform.
4.3. The empanelled Associate(s) shall submit all required certificates and commitments for
execution of the projects to MSTC / client / concerned authorities as the case may be.
4.4. The empanelled Associate(s) shall arrange all necessary statutory clearances for execution
of the project and also comply with the statutory Provisions of the SPCB/CPCB etc, as may
be required (like filing of returns etc).
4.5. The final terms and conditions of each engagement shall be finalized on case to case basis
within the scope of umbrella MoU under this EOI.
4.6. The empanelled Associate(s) should agree all terms and conditions of MSTC’s service
receipient on back to back basis and undertaking for the same must be submitted by the
Proposer on letter head.
4.7. The empanelled Associate(s) shall submit all required EMD, Performance Bank Guarantee
and bid bonds for bidding such project and subsequent execution.
4.8. Empanelled Associate(s) shall be eligible for Carbon Credit under e-waste management as
per rules.
4.9. The empanelled Associate(s) should conform to all applicable Industry Standards related to
e-Waste Management.

5.0 Proposal Validity
The Proposal(s) shall be valid for a period of 180 days from the date of opening of the proposal(s).
However the same is extendable beyond 180 days based on mutually agreed terms.
6.0 Service Charge of MSTC
The revenue sharing / service charge of MSTC will be decided on the basis of limited e-tender
among empanelled Associate(s) on case to case basis, depending upon the Scope of Work. All the
terms and conditions of Tender/Order/works/contracts received by MSTC from clients shall be
binding on the empanelled Associate(s) on back-to-back basis.
7.0 Emapanelled Associate(s) Usage and Electronic Waste Reports
7.1 The empanelled Associate(s) shall provide reports of electronic waste picked up by them during
the contract term. Within 10 business days of a request, the empanelled Associate(s) will submit to
MSTC/CPCB/Client a report in the prescribed format.
7.2 The report must be clearly titled (Company name, contact information, dates of report period).
The empanelled Associate(s) will provide, upon a request by the MSTC/CPCB/Client, information
sorted according to the MSTC/CPCB/Client request, which may include: invoice specific detail or
summary detail, by item name, by the user name (the MSTC Client placing the order), by
Department, and date or order.
7.3 Provide electronic waste pick up documentation electronically to MSTC/Client. At a minimum
the report will detail: description of items, number and type of items picked up, date picked up, and
certifying where and when each item was processed.
7.4 Report to be provided within 10 days of pick-up.
8.0 Information Security
8.1. The empanelled Associate(s) and its personnel shall not carry any written material, layout,
diagrams, floppy diskettes, hard disk, storage tapes or any other media out of Client’s premise
without written permission from the Client.
8.2. The empanelled associate’s personnel shall follow service recepient’s information security
policy and instructions in this behalf.
8.3. The empanelled Associate(s) acknowledges that service recepient’s data and other Client
proprietary information or materials, whether developed by service recepient or being used by
service recepient pursuant to a license agreement with a third party (the foregoing collectively
referred to herein as “proprietary information”) are confidential and proprietary to service
recepient; and empanelled associate(s) agrees to use reasonable care to safeguard the
proprietary information and to prevent the unauthorized use or disclosure thereof, which care
shall not be less than that used by empanelled associate(s) to protect its own proprietary

information. Empanelled Associate(s) recognize/s that the goodwill of service recepient
depends, among other things, upon empanelled associate keeping such proprietary information
confidential and that unauthorized disclosure of the same by Empanelled Associate(s) could
cause damage to the service recepient. By reason of empanelled associate’s duties and
obligations hereunder, empanelled associate may come into possession of such proprietary
information, even though empanelled associate does not take any direct part in or furnish the
Services performed for the creation of said proprietary information and shall limit access thereto
to employees with a need to such access to perform the Services required by this Contract.
Empanelled associate shall use such information only for the purpose of performing the Services
with the proper consent of the client.
8.4. The empanelled associate shall, upon termination of the Contract for any reason, or upon
demand by service recepient, whichever is earliest, return any and all information provided to
empanelled associate by service recepient, including any copies or reproductions, both hardcopy
and electronic.
9.0 Environmental Indemnification
9.1. The empanelled Associate(s) shall take all necessary precautions for prevention of
accidents, injuries, property damage or environmental degradation, if any.
9.2. The empanelled Associate(s) shall indemnify, release, defend and hold MSTC and its
Clients harmless from and against any and all losses, claims, demands, actions, causes of action,
damages, liabilities, judgments, penalties, and expenses (including reasonable attorneys' fees and
expenses and consulting fees and expenses) relating to any hazardous, dangerous or toxic material,
waste, or substance, or other pollutant or contaminant, or to compliance, with any Environmental
or Safety Law; arising out of or resulting from:
a) The empanelled Associate’s non-performance or lack of performance.
b) The violation of any law or breach of the contract by the empanelled aassociate(s) and/or by
any of its employees, agents, or contractors, or the release/ leakage of any hazardous, dangerous or
toxic material, waste, or substance, or other pollutant or contaminant resulting from empanelled
associate’s performance or lack of performance of any Contract based on this EOI or from the
violation of law, or by breach of this Contract, or by, act or omission of the empanelled
aassociate(s) or any of its employees, agents or contractors, The empanelled associate shall solely
responsible & accountable for the same.
10.0 Insurance Liability
The empanelled Associate(s) shall secure, prior to the commencement of work under the project/s,
and shall maintain at all times during the term of the contract/s, at no expense to MSTC and its

clients/service recepients, policy or policies of insurance in accordance, covering associated risks
arising from accidents, injuries, property damage, etc.
11.0 Force Majeure
Neither party shall be liable for any defaults or delay in the performance of its obligations under this
EOI and subsequent contracts when such default or delay is due to any event beyond its reasonable
control, including act of GOD, strikes, labor dispute, epidemic, cyclone, flood, earthquake, drought,
fire, explosion, atmospheric disaster, war, riot, revolution, act or decision of any Governmental
Authority, change of law which adversely affect the performance of the parties (Force Majeure
events). The party affected by a force majeure event shall promptly and in any case within two days
of occurrence or knowledge thereof inform the other party of the nature, probable duration, and
impact thereof and both parties shall take all reasonable measures to limit the consequences of the
underlying Force Majeure event to a minimum.
12.0 Language and law governing the contract/engagement
English language shall be the binding and controlling language for all matters relating to the
meaning or interpretation of this EOI and any subsequent contract/s pursuant thereto with the
empanelled Associate. The EOI, its meaning and interpretation, and the relation between MSTC and
the Proposer(s) shall be governed by the applicable laws of India for the time being in force.
The Proposer should submit the proposal and all correspondences, supporting documents in English
Language only.
13.0 Arbitration & Jurisdiction:
13.1 Arbitration: In the event of any dispute or difference as to the meaning, scope, interpretation
or performance under the contract between the parties hereto, the same shall be resolved by the
process of Arbitration of a Sole Arbitrator to be appointed by the parties hereto on consent. In case
the parties fail to agree to such appointment of the Sole Arbitrator within 30 days of the invocation
of Arbitration, any of the parties invoking Arbitration shall be at liberty to approach the competent
Court of Civil jurisdiction for seeking appropriate directions for appointment of such sole Arbitrator.
The provisions of the Arbitration and Conciliation Act, 1996 and the Rules framed thereunder or any
statutory modification thereof shall apply to such Arbitration proceedings. The language of the
arbitration shall be English. The place of arbitration shall be Kolkata, India. The cost of the
arbitration proceeding will be borne equally by the parties to the arbitration. The Award including
Interim Award, if any of the arbitrator shall be final & binding on the parties.

13.2: Jurisdiction: Subject to the aforesaid, the competent court at Kolkata alone shall have
exclusive Jurisdiction to entertain and try any proceedings including relating to such Arbitral
proceedings arising out of and/or relating to the Agreement between the parties hereto.
14.0 Integrity Pact
The bidder will have to sign the Integrity Pact with MSTC as available in MSTCs website
www.mstcindia.co.in
The Integrity Pact would be implemented through a panel of Independent External Monitors (IEMs),
appointed by MSTC. The IEM would review independently and objectively, whether and to what
extent parties have complied with their obligations under the Pact.

1.2 Evaluation criteria and Marking System
1.2.1. Proposals of only those proposers who have fulfilled all the pre-qualification criteria as
enlisted in 1.1 of Annexure-D will be evaluated.
1.2.2. Minimum cut-off marks under Annexure-H excluding site visit will be 40 (out of the
cumulative score of 80). Further it may be noted that the site visits will be considered only for
the top 06 (Six) proposers on the basis of total marks out of 80 obtained against points no: 1 to
8 of Annexure-H.
1.2.3. The Shortlisted Proposers (maximum upto 04), who score the highest cumulative marks
out of 100 (including site visits) shall be considered for empanelment as MSTC’s Associate(s).
1.3 Negative lists
1.3.1 The proposer against whom complaints have been registered with CBI/SFIO/Police/court
of law & or blacklisted by any bank/PSU/FI/IBA shall not be eligible.
1.3.2 The proposer convicted of any offence and sentenced to imprisonment/found guilty of
misconduct in professional capacity/convicted under IT Act & /or WT Act & /or Gift
Tax Act & /or Service Tax Act, shall not eligible.
1.3.3 An undischarged insolvent shall not be eligible for Empanelment.
2. Empanelment Procedure
2.1. The empanelment will be done on the basis of bids received by MSTC within due date
& time.
3. Duration of Empanelment
The duration of empanelment shall be for a period of 05 (five) years.
4. Termination:
4.1 However, Parties may terminate the MoU by giving 30 days notice to the other party.
Any decision taken by MSTC pertaining to such shall be final and binding.
4.2 The Competent Authority at MSTC shall take decisions on the reported cases and in
extreme cases where the empanelled associate has been found to be indulging in unfair
practices, guilty of professional misconduct, violating the code of ethics and professional

practice and/or where the empanelled associate has been convicted by any legal authority,
the Competent Authority may decide for removal of the errant empanelled associate.
4.3 Empanelled associate(s) thus removed/de-selected shall be barred for next 3 (three) years
from getting empanelled with MSTC for such services.
4.4 If at any stage it is found that the empanelled associate has misled or has not divulge any
material information, MSTC at its sole discretion may cancel empanelment of such
empanelled associate. The defaulting empanelled associate(s) shall also be liable to
compensate MSTC and/or recipient of services for any loss suffered because of the non-
disclosure of any maertial information. Any decision taken by MSTC in this regard shall be
final and binding on the parties.
4.5 Suppression of material facts: MSTC reserves the right to cancel the empanelment at
any later stage if, it comes to the notice that selection has been granted/obtained by
misrepresentation / concealment of any material fact in respect of eligibility criteria’s as per
the EOI terms.

The empanelled associate(s) will be intimated by MSTC separately and MoU will be entered in
terms of EOI.
