SECTION I - INVITATION TO EMPANELMENT

I. National Productivity Council (NPC), under Ministry of Commerce & Industry invites EOI s for empanelment of reputed and eligible ‘Software Solution providing Agency(s)’ for extending Application Development and IT Support services to the various Groups/Divisions of NPC.

II. The background, objectives and Scope of Work (SoW) to be accomplished by

the empanelled Agency(s) are provided in the subsequent sections of this document. Agency(s) may take note of the same before applying.

III. This Expression of Interest (EOI) for Empanelment document is not a Request

for Proposal (RFP) in any form and would not be binding on the NPC in any manner whatsoever.

IV. To be considered for empanelment process Agency(s) should submit their

EOI in accordance with the requirements contained in the section on ‘Instructions to Agency(s)’.

V. Some of the crucial information on the process of invitation of EOI for

empanelment is given in the Schedule 1 below. VI. NPC reserves the right to update, amend and supplement the information in

this document including the evaluation process before the last date and time of receipt of EOI’s.

SECTION II - BACKGROUND AND OBJECTIVES • NPC is national level organization to promote productivity culture in India. Established by the Ministry of Industry, Government of India in 1958, it is an autonomous, tripartite, non-profit organization with equal representation from employers’ & workers’ organizations and Government, apart from technical & professional institutions and other interests. The organizational structure of NPC is shown in the following figure 1:-

NPC provides consultancy, research & training services towards accelerating productivity, enhancing competitiveness, increasing profits, augmenting safety and reliability and ensuring better quality. NPC extends consultancy services in the following domain areas :-

Accordingly NPC is promoting and disseminating productivity skills through consultancy, training and research to the private and public corporate sectors, Central and State Governments, industry associations, their members, and other client groups, with emphasis on improvement of productivity, quality, profitability, and growth at entire organizational and sectoral level through the above depicted domain specific Groups/Divisions.

OBJECTIVES

• The objective of the empanelment of ‘Software solution providing Agency(s)’ would be to provide support for design and developing the software solutions for various software applications pertaining to the project/assignment specific requirement of NPC’s Groups/Divisions.

• The broad scope of the empanelment exercise is to identify a group of software solutions providers who will facilitate NPC to gather the user requirement as well as extend the design, development, deployment and maintenance of application software for any ongoing as well as new projects undertaken by NPC. The empanelled agencies will deploy resources, on their rolls, at various levels, to form a joint development team with NPC. Such teams would handle the assigned project and work under the overall guidance of respective NPC project heads.

• The short listed panel shall comprise upto three or more agencies for empanelled Software Development support. The empanelment will be initially for a period of one year, which can be extended through mutual consent and the approval of competent authority for a further period of one year. Irrespective of the initial/extended period, the empanelment will be deemed to be operative until the

close of the assigned projects. Only agencies/Agency(s) registered or incorporated in India, shall be eligible to apply.

• This empanelment is for professional support to the software projects, therefore, the empanelled agencies have to ensure continued availability of their professionals for durations exceeding one year until the completion of the project. The agencies would ensure replacement of any deployed resource of equal capability within a period of 5 days in case the deployed resource takes a break or is found unequal to the job assigned.

• All the empanelled agencies would sign a non-disclosure agreement in addition to an undertaking that the software developed by their professionals for NPC projects wouldn’t be used by them for any other purpose.

• The Copyright of the developed software would remain with the NPC and/or the respective user organization (client) as the case may be.

• The service has to be provided anywhere in India.

• The EOI document can be downloaded from NPC’s website http://www.npcindia.gov.in/tenders-and-notices/ & www.eprocure.gov.in/e-publish

• The empanelled solutions provider’s firm/companies will only participate in the solutions which fulfil all the Eligibility Criteria as mentioned in this EOI document.

• Software solutions which come under the project/assignment specific requirement will be implemented by undertaking a limited initiate a tender within the empanelled solutions providers and lowest bidder among the empanelled solutions providers may be awarded the work by NPC.

SECTION III - SCOPE OF WORK The overall scope of work of the Software solution providing Agency(s) would be as follows : Development Stage The empanelled ‘Software solution providing Agency(s)’ would be required to develop applications to execute the solution for projects/assignment specific applications for various NPC Groups/Divisions. When engaged by the Groups/Divisions for development of software applications for the specific projects/assignments, the empanelled Software solution providing Agency(s) should primarily deliver (but not limited to) the following:

• Functional Requirement Specification • Software Requirement Specification • Hardware Requirement Specification • Functional software

• Source code • Complete documentation in the form of system and user manuals

When engaged by the Groups/Divisions for development of web-based centralized Applications for various projects/assignments undertaken by the Groups/Divisions, the empanelled Agency(s) should apart from providing the deliverables would also render customization and maintenance support for deploying the applications at the client side. Deployment Stage In the initial stages of project assignment, agency’s Solution Architect and Project Managers, in consultation with respective NPC Project Head would assess the resource requirements at various levels to ensure delivery of a functional system within a specified time frame. Based on this assessment the resources would be deployed on the projects. Resource deployment will be an ongoing process viz. the resources, on a project; can be increased/decreased depending upon the project requirements. The empanelled Software solution providing Agency(s) would be required to

• Pilot launch the developed application software • Review performance of the application software • Go Live • Full implementation of the application software • Provide specialized support implementation of the application software • Provide specialized manpower to impart training to the requisite number of

personnel as the case may be, belonging to the implementing Groups/Divisions and for the period requested for by the project Implementing Groups/Divisions.

• The deployed personnel would report to NPC project head. By virtue of their working on NPC project there will be no employment obligation for NPC.

SECTION IV – INSTRUCTIONS TO AGENCY(S)

ELIGIBILITY CRITERIA a. The Agency should be a Company registered in India under the Companies Act

1956 or a partnership registered under the India Partnership Act 1932 and/or startup and/or a Society constituted under a Ministry /Department of the Government of India and registered under the Societies Registration Act 1860 or a limited liability partnership firm and/or Not for Profit organization operating in India for not less than 3 years.

b. The agency should be operating in the field of Software development and software solutions.

c. The agency with an annual turnover/ revenue upto Rs. 5 crores or more consecutively for the past three year 2015-16, 2014-15, 2013-14. A copy of the Balance Sheet/an authentic document, clearly specifying software development turnover/revenue, of the company for the year 2015-16, 2014-15, 2013-14 may be enclosed as proof for the turnover/revenue.

d. The agencies must have themselves developed and implemented at least five software development projects for the government sector (in India) of value more than Rs. Twenty lakhs each in the last three years viz. 2015-16, 2014-15, 2013-14. EOI SUBMISSION PROCESS Submission of EOI a. Agencies are advised to study the EOI Document carefully. Submission of the EOI will be deemed to have been done after careful study and examination of all instructions, eligibility norms, terms and requirement specifications in the EOI document with full understanding of its implications. EOIs not complying with all the given clauses in this EOI document are liable to be rejected. Failure to furnish all information required in the EOI Document or submission of an EOI not substantially responsive to the EOI document in all respects will be at the agency’s risk and may result in the rejection of the EOI. b. All the EOIs must be valid for a period of 90 days from the date of EOI opening for placing the initial order. If necessary, NPC will seek extension in the EOI validity period beyond 90 days. The Agency(s), not agreeing for such extensions will be allowed to withdraw their EOIs. c. Detailed EOI has to be submitted in a sealed envelope superscripted “EOI for SOFTWARE DEVELOPMENT SUPPORT” on or before 14/02/2017 at 15:30 Hrs. The EOI download and submission will start from 30/01/2017 at 15:30 Hrs onwards. The envelope should be addressed to IT Group, NPC and submitted at NPC, New Delhi before the due date and time specified. No extension on the specified submission schedule will be entertained.

LAST DATE FOR UPLOADING OF EOIS a. EOIs, complete in all respects, must be submitted by the due date and time as per the submission process given in this EOI document. In the event of the specified date for the submission of EOI is a declared holiday, the EOIs can be uploaded up to the given time on the next working day for which NPC will make necessary provisions. b. NPC may, at its own discretion, extend the date for uploading of EOIs. In such a case all rights and obligations of NPC and the Agencies will be applicable to the extended time frame. c. NPC will not be responsible for any delay on the part of agencies in downloading the EOI document or submission of EOI documents before the due date and time of submission. d. The EOI submitted by telex/fax/Email or any manner other than specified above will not be considered. No correspondence will be entertained on this matter. e. At any time prior to the last date for receipt of EOIs, NPC, may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective agency, modify the EOI Document by an amendment. The amendment will be notified on NPC’s website http://www.npcindia.gov.in/tenders-and-notices/as well as on e-procurement portal http://eprocure.gov.in/e-publish and should be taken into consideration by the prospective agencies while preparing their EOIs. f. In order to give prospective agencies reasonable time to take the amendment into account in preparing their EOIs, NPC may, at its discretion, extend the last date for the receipt of EOIs. No EOI may be modified subsequent to the last date for receipt of EOIs. No EOI may be withdrawn in the interval between the last date for receipt of EOIs and the expiry of the EOI validity period specified by the agency in the EOI. g. The agencies will bear all costs associated with the preparation and submission of their EOIs. NPC will, in no case, be responsible or liable for those costs, regardless of the outcome of the empanelment EOI submission process. h. In case terms and conditions of the EOI document are not acceptable to any agency, they should clearly specify the deviations in their EOIs.

OPENING OF EOI NPC will convene the EOI opening session on duly notified date viz. 14/02/2017 at 16:30 Hrs, where one representative from the agencies, who have successfully submitted the EOI, can participate. One representative from each agency can remain present during the EOIs opening process. The EOIs will then be passed on to a duly constituted Technical Evaluation Committee (TEC).

EVALUATION OF EOI a. When deemed necessary, NPC may seek clarifications on any aspect of the EOI from the agency. However, that would not entitle the agency to change or cause any change in the substance of the EOI submitted. This would also not mean that their EOI has been accepted. c. Any effort by an agency to influence NPC's EOI evaluation, EOI comparison or contract award decisions may result in the rejection of the agency's EOI. d. NPC reserves the right to accept any EOI, and to cancel/abort the EOI process and reject all EOIs at any time prior to award of Contract, without thereby

incurring any liability to the affected agencies or agencies and of any obligation to inform the affected agencies of the grounds for NPC’s action and without assigning any reasons. e. NPC also reserves the right to float a fresh EOI any time during the currency of empanelment of this EOI without assigning any reason.

TECHNICAL EVALUATION The EOIs will be evaluated by a duly constituted Technical Evaluation Committee (TEC). The first process for the TEC is to examine the eligibility of the agencies as per the EOI specifications. EOIs, not satisfying the eligibility criteria will be rejected. However, the TEC reserves the right to call for additional information from the agencies to fully establish their eligibility. The Empanelment criteria shall be based on the following:- AGENCY PROFILE

• Financial Strength (Annual Turnover/ revenue of upto Rs. 5 Cr from software development engagement in each of the previous three financial years)

• Human Resource Competence (Approximately upto 50 Full Time Application development professional on their own payroll as on date of submission)

• Technical Competence (Valid ISO 9001 and ISO 27001 certification and preferably dedicated operational software development centre within Delhi NCR along with certified and audited own Data Centre of the agency)

RELEVENT EXPERIENCE • Past experience of handing software development projects for central and/or

state government departments/ministries/PSUs – (The agency must have completed upto 5 assignments of software development in Government sector with a value of Rs. 20 Lakhs each in previous three years of date of submission),

NPC will evaluate the agencies for short listing, based on weightages assigned to each of the empanelment criteria. The NPC will short list all the agencies who secure the 70 Marks [i.e. minimum required marks]. a. The minimum qualifying requirement for each of the criteria has been specified in the Empanelment Criteria (Table 2) b. Subsequently, the NPC would examine the technical details and may ask for additional information and may call the eligible agencies for a presentation of the projects handled by them and quoted in their EOIs. c. The time limit, in which the agencies’ have to submit the additional information or present their projects, will be decided by the NPC and its decision will be final in this regard. d. The agencies will also assist the NPC in getting relevant information from the agencies’ references. e. Agencies failing to adhere to the specified time limit will not be considered for further evaluation.

SECURITY a. The empanelled agency and their personnel will not, either during the term or after expiration of this contract, disclose any proprietary or confidential information relating to the services, contract or business or operations of NPC or its clients without the prior written consent of NPC. b. The agency will ensure that no information about the software, hardware, database and the policies of the client organization is taken out in any form including electronic form or otherwise, from the client site by the manpower posted by them. c. The agency or its deployed personnel, by virtue of working on NPC/Client’s projects, can’t claim any rights on the work performed by them. NPC/Client will have absolute rights on the work assigned and performed by them. Neither any claims of the agency or its deployed professionals will be entertained on the deliverables.

INDEMNITY d. The empanelled agency will indemnify NPC of all legal obligations of its professionals deployed for NPC projects. e. NPC stand absolved of any liability on account of death or injury sustained by the Agency staff during the performance of this EOI’s empanelment and also for any damages or compensation due to any dispute between the agency and its staff.

SECTION V – GENERAL TERMS & CONDITIONS The selected agency will not, without NPC’s prior written consent, disclose the Contract, or any provision thereof, or any specification, plan, sample of information furnished by or on behalf of NPC in connection therewith, to any person other than a person employed by the agency in the Performance of the Contract. Disclosure to any such employed person will be made in confidence and will extend only so far as may be necessary for purposes of such performance. a. The selected agency will not outsource the work to any other associate/franchisee/third party under any circumstances. If it so happens then NPC will impose sanctions which will include: forfeiture of the security deposit, revocation of bank guarantees (including the ones submitted for other work orders) and termination of the Contract for default. b. NPC may by written notice sent to the selected agency, terminate the work order and/or the Contract, in whole or in part at any time of its convenience. The notice of termination will specify that termination is for NPC's convenience, the extent to which performance of work under the work order and /or the contract is terminated, and the date upon which such termination becomes effective. NPC reserves the right to cancel the remaining part and pay to the selected agency an agreed amount for partially completed Services. c. In the event of the agency’s company or the concerned division of the company is taken over / bought over by another company, all the obligations under the agreement with NPC, should be passed on for compliance by the new company / new division in the negotiation for their transfer.

e. All panel agencies automatically agree with NPC for honouring all aspects of fair trade practices in executing the work orders placed by NPC. f. The Technical support to the project will be provided throughout the country and the period for which the support is required will be indicated by NPC from time to time.

TERMINATION FOR INSOLVENCY & DEFAULT Termination for Insolvency NPC may at any time terminate the work order / contract by giving written notice of four weeks to the agency, without any compensation to the agency, if the agency becomes bankrupt or otherwise insolvent. Termination for default Default is said to have occurred if the agency fails to deliver any or all of the services within the time period(s) specified in the work order or any extension thereof granted by NPC. If the agency fails to perform any other obligation(s) under the contract / work order.

If the agency, in either of the above circumstances, does not take remedial steps within period of 30 days after receipt of the default notice from NPC (or takes longer period in spite of what NPC may authorize in writing), NPC may terminate the contract / work order in whole or in part. In addition to above, NPC may at its discretion also take the following actions o NPC may transfer upon such terms and in such manner, as it deems appropriate

work order for similar support service to other agency and the defaulting agency will be liable to compensate NPC for any extra expenditure involved towards support service to complete the scope of work totally.

o NPC can ask for delivery of source code at any time of project duration, which

can’t be denied by the empanelled agency. This alone can be the reasons for termination.

FORCE MAJEURE a. Force majeure clause will mean and be limited to the following in the execution of

the contract / purchase orders placed by NPC:- War / hostilities. Riot or Civil commotion. Earthquake, flood, tempest, lightning or other natural physical disaster. Restriction imposed by the Government or other statutory bodies, which is

beyond the control of the agencies, which prevent or delay the execution of the order by the agency.

b. The agency will advise NPC in writing, duly certified by the local Chamber of

Commerce, the beginning and the end of the above causes of delay, within seven days of the occurrence and cessation of the force majeure conditions. In the event of a delay lasting for more than one month, if arising out of clauses of force

majeure, NPC reserve the right to cancel the order without any obligation to compensate the agency in any manner for what so ever reason.

ARBITRATION NPC and the agency/vendor will make every effort to resolve amicably, by direct negotiation, any disagreement or dispute arising between them under or in connection with the work order. If any dispute will arise between parties on aspects not covered by this agreement, or the construction or operation thereof, or the rights, duties or liabilities under these except as to any matters the decision of which is specially provided for by the general or the special conditions, such dispute will be referred to two arbitrators, one to be appointed by each party and the third to be appointed by the Director General, National Productivity Council, New Delhi and the award of the arbitration , as the case may be, will be final and binding on both the parties. The arbitrators or the umpire as the case may be, with the consent of parties, may modify the time frame for making and publishing the award. Such arbitration will be governed in all respects by the provision of the Indian Arbitration Act, 1996 or later and the rules there under and any statutory modification or re-enactment, thereof. The arbitration proceedings will be held in New Delhi, India.

APPLICABLE LAW

The work order will be governed by the laws and procedures established by Govt. of India, within the framework of applicable legislation and enactment made from time to time concerning such commercial dealings/processing.

The incumbent must be able to offer value addition to the projected requirements with respect to future needs and socio-economic aspects. Selection and application of technology must be their strength and must be capable of managing multiple projects.

6. Technology Advisor/Sr. Solution Architect The incumbent with relevant experience of 15+ years should be able to steer a project ab-initio. Person should have strength in technology, domain, and application development and possess leadership qualities to lead a team of 40-50 professionals.

Note: The professionals to be deployed on NPC projects have to be the regular employees of the empanelled agencies. Therefore, the agencies, who can’t spare their working professionals for deployment on NPC projects, for durations exceeding one year, need not participate in this EOI.
