The Exhibit Hall dates are March 25-26, 2019.

SHM held its most successful conference thus far in Orlando in 2018, hosting thousands of hospital medicine professionals at all stages of their careers. The annual conference has continued to grow over the years, both in participation and partnerships. Exhibitor ContractThe Society of Hospital Medicine, herein known as SHM, reserves the right to interpret or amend these rules and its decision is final. Exhibitors agree to abide by these rules and regulations, SHM’s Exhibitor Contract, Rules and Regulations and all policies that may hereafter be adopted, including but not limited to the Annual Conference Exhibitor Service Manual and all preferred vendor order forms, which shall be as much a part as the originally incorporated. All issues not addressed herein are subject to the decision of SHM.

Contract and Contractual Agreement: By submitting a registration form, the Exhibitor agrees to adhere to all rules and regulations, requirements, policies and restrictions as set forth in the Exhibitor Catalog and Contract, Rules and Regulations. Failure to abide by such rules and regulations may result in forfeiture of all monies paid and/or eligibility to participate in future SHM meetings. SHM reserves the right to refuse exhibit space to any applicant at its sole discretion. Use of the SHM Name, Insignia, Logo or AcronymThe Society of Hospital Medicine (SHM), and the SHM Annual Conference, Hospital Medicine 2019 (HM19), name, insignia, logo and acronym are proprietary marks. They may not be used in signs, advertising or promotions in any media or product literature either inside or outside of the exhibit area, before, during or after the meeting. This rule applies before, during and after the meeting, unless prior written approval has been received from SHM.

Exhibit Booth Fee(s) All companies that register to exhibit are subject to 100% payment of registration fees set forth in the conference year’s Registration Form and Exhibitor & Sponsorship Catalog fee schedule and approval of SHM. The exhibit booth fee and all associated, available upgrade fees, do not include carpeting or booth furnishings such as tables, chairs, electric, internet, etc. Exhibiting companies will not be approved until full payment has been received by SHM. Exhibiting companies that have not rendered payment in full prior to HM19 beginning will not be allowed entry to the Exhibit Hall. All Payments over $7,400 must be made via check payment.

Nonprofit Exhibit Space Fee(s) A nonprofit exhibit fee is available to qualified organizations and is limited to nonprofit organizations, IRS tax code 501[c][3] or 501[c][6] and/or as approved by SHM. All companies seeking nonprofit status must request nonprofit pricing and provide proof of nonprofit status during the registration process. Nonprofit pricing is not available retroactively.

Cancellation and Reduction Policy Cancellation and reductions must be received by the SHM Exhibits Team in writing (email or fax). SHM will use the date of receipt of the notice as the official cancellation/reduction date.

• If an exhibitor cancels or reduces space on or before September 17, 2018, the fee is 25% of the total exhibit space.

• If an exhibitor cancels space between September 18, 2018 and December 21, 2018, the fee is 50% of the total exhibit space.

• If an exhibitor reduces space between September 18, 2018 and December 21, 2018, the fee is 50% of the difference in price between the original space and the reduced space.

• If an exhibitor cancels space between December 22, 2018 and February 18, 2019 the fee is 75% of the total exhibit space.

• If an exhibitor reduces space between December 22, 2018 and February 18, 2019, the fee is 75% of the difference in price between the original space and the reduced space.

• If an exhibitor cancels or reduces space after February 19, 2019, the fee is 100% of total original exhibit space, irrespective of the reason for cancellation or reduction.

Regardless of the reason for cancellation, this policy is strictly enforced and no exceptions are granted. SHM shall have the right to use cancelled space as deemed appropriate, included the selling of space to another Exhibitor.

Cancellation of Annual Conference Upon execution of the exhibitor application, it is mutually agreed that in the event of cancellation of the Annual Conference due to fire, strikes, governmental regulations or causes that would prevent its scheduled opening or continuance, then and thereupon this agreement will be terminated and SHM management shall determine an equitable basis for the refund of such portion of the exhibit fees as is possible, after due consideration of expenditures and previous commitments.

Exhibit Map A preliminary exhibit floor plan is available online and attached. SHM reserves the right to rearrange the floor plan at any time and to relocate exhibitors if it becomes necessary for causes beyond the control of SHM or is advisable in the best judgment of SHM. SHM will notify exhibitors prior to relocation of exhibit space.

Space Assignment All exhibit space assignments are determined by the Rewards Program* registration wave schedule until July 9, 2018. After July 9, 2018, space will no longer be assigned based on loyalty points but will be available on a first-come, first-served basis. SHM reserves the right to amend the dates and timeframes within the Loyalty Program wave schedule, which is subject to change based on each year’s conference.

SHM reserves the right to manage registration as they deem appropriate. Onsite registration at that year’s conference may be offered, following the Loyalty Program tiers. Priority registration will be offered to the previous year’s conference exhibitors and space will be assigned based on Loyalty Program Status. The Loyalty Program wave schedule progress through each tier; platinum partners will receive first wave exclusive access, gold partners will receive second wave access, silver partners will receive third wave access and bronze partners will receive fourth wave access to the registration process. The company contact on record will receive an email with a log-in and password to enter the registration system during a specific time frame based on the company’s current Loyalty Program level. If you miss this log-in time, you can then register after the Loyalty Program levels cut-off. SHM makes every effort to accommodate your preferred location and recognizes that exhibiting companies may request or require movement based on competition and/or mergers.

Combination of Exhibit Space Two or more companies may not exhibit in a single space without prior approval from the SHM Exhibit Team.

Third-Party Representatives Any agency representing a technical or professional exhibitor must submit their client’s name, contact information, address, telephone and fax numbers, signature and title with application.

Booth Operations and Activities Exhibitors should not operate in a way that violates the rights of another exhibitor. The decision on appropriate conduct will be at the discretion of SHM management.

• Exhibitors may not obstruct the view or interfere with the traffic of other exhibitors.

• Demonstrations and distribution of literature and samples should only take place inside the assigned booth. Canvassing outside the booth and distribution of materials outside the booth and Exhibit Hall are prohibited.

• Exhibit areas should be kept clean and in good order.

• No part of any exhibit or sign shall be posted, nailed or otherwise attached to columns, walls, floors or other parts of the building (or its furniture) so it defaces them in any way. The exhibitor is liable for damage from failure to observe these rules.

• All exhibits and its personnel are to be presented in a dignified manner, without a sideshow atmosphere. No soliciting of attendees in the aisle or high-pressure “pitch” of any kind is permitted. Professional discretion should be observed at all times.

• Exhibitors are prohibited from publishing information, including but not limited to cell phone photographs, lead data captured, and previously published SHM materials, gathered as a result of exhibiting without the prior written consent of SHM.

*The SHM Rewards Program provides a fair and equitable points system with multi-level rewards, recognizing companies that have consecutively exhibited without missing more than (3) years of meetings. FDA Regulations Exhibitors are reminded of Food and Drug Administration (FDA) restrictions on the promotion of investigational and pre-approved drugs and devices. Exhibitors also are cautioned about FDA prohibition of promoting approved drugs for unapproved purposes. Exhibitors who have questions regarding drug promotion should contact the Food and Drug Administration (FDA) directly. The exhibitor assumes entire responsibility for compliance with the FDA rules and regulations. Distribution, Selling of Products or Services Exhibitors may display products that they have manufactured. Sales and order taking are permitted provided that all transactions are conducted in a manner consistent with the professional nature of SHM and SHM’s Annual Conference. Exhibitors that sell taxable gods or services on-site are responsible for registering as a dealer with the respective state’s department of revenue. SHM reserves the right to restrict sales activities that it deems inappropriate or unprofessional. Contests and Drawings Prizes, awards, drawings, raffles, lotteries and games of chance are allowed. However, prizes must be less than $500 in value, follow AMA guidelines, and adhere to local and state laws and ordinances. Notification of the prize should be sent to the SHM Exhibit Team before the start of the meeting. Sound Restrictions No equipment or voice-reproducing machines can be operated in such a manner as to cause a disturbance to other exhibitors. Earphones should

be provided, or such devices should be enclosed in a special soundproof booth. SHM reserves the right to determine when sound is interfering with another exhibit and must be discontinued. SHM does not obtain American Society of Composers, Authors and Publishers (ASCAP) or Broadcast Music Inc. (BMI) licensing that will allow the use of copyrighted, recorded music in your booth. Exhibitors interested in playing copyrighted music must obtain the proper licensing from Broadcast Music In. (BMI) at www.bmi.com or the American Society of Composers, Authors, and Publishers (ASCSAP) at www.ascap.com. Photography and Videotaping The taking of photographs, other than by the official photographer, is expressly prohibited.

Booth Configurations and Policies SHM has provided the below policies for each booth configuration type. SHM, in conjunction with the Gaylord National Resort & Convention Center, reserves the right to amend the booth policies if it becomes necessary for causes beyond the contract of SHM or is advisable in the best judgment of SHM.

Standard 10’x10’ Booth*: • Backgrounds and pop up signs may not exceed

8 feet in height and must not protrude more than 5 feet from the back wall. No exhibit construction can exceed the height of the side rail except in the back half of the booth.

• All signs and furniture must be contained in the exhibitor’s defined 100 square feet. No materials may block the aisles.

• The exhibitor must drape the reverse side of any wing or unfinished back panel extending from the back wall of the display to avoid a raw exposure to a neighboring booth and/or to an aisle. If draping is not in place by the scheduled end time of exhibitor installation, SHM will have Hargrove place draping at the exhibitor’s expense.

• The Gaylord National Resort & Convention Center does not permit noticeable storage of exhibitor’s crates and shipping materials in the booth. If shipping materials and/or crates are not stored properly by the scheduled end time of exhibitor installation, SHM will have those items removed from the booth and stored at the exhibitor’s expense.

Installation and Dismantling of Exhibits The specific requirements as to time for installation and dismantling of exhibits are set forth in the Exhibitor Catalog and Exhibitor Service Manual supplied to each exhibitor. Exhibitors agree to wait until the official hall closing time before dismantling booths, regardless of traffic flow. Dismantling of exhibits prior to the official hall closing time may result in loss of loyalty program status and/or additional action as deemed by SHM.

Exhibit Hall Badges and Registration Exhibitors must register and obtain their badges from the exhibitor registration desk on-site at the Gaylord National Resort & Convention Center. Without badges, exhibitors cannot enter the Exhibit Hall. A complete listing of dates and times will be included in the official exhibitor schedule set forth in the Exhibitor Catalog and Exhibitor Service Manual.

• Exhibitor badges allow access to the Exhibit Hall during installation, dismantling and all exhibit hours. Exhibit Hall access before or after these hours must be requested in writing and approved by the SHM exhibit team.

• Installation and dismantling companies and other exhibitor-designated contractors must obtain work identification for their personnel from the official SHM General Service Contractor (Hargrove). Work identification allows access to the Exhibit Hall during move-in and move-out only. Access will be denied during exhibit hours.

• Exhibit Hall badges do not allow access to educational sessions. Access to educational sessions can be purchased before the start of the meeting or on-site.

• SHM grants complimentary exhibit hall badges for two (2) representatives per 10x10 space. Additional exhibitor badges will cost $100 per badge. Purchasable exhibit personnel badges are limited to (8) additional personnel badges.

• SHM allows one (1) Discounted Conference Registration per 10x10 space ($475).

Exhibit Staffing Exhibits must be staffed and operational during all scheduled exhibit hours as set forth in the Exhibitor Catalog and Exhibitor Service Manual Any exhibitor who vacates his or her booth before the closing of each day will incur a loss of loyalty points and/or other action as deemed appropriate by SHM. Exhibitors agree to wait until the official hall closing time before dismantling booths, regardless of traffic flow. Dismantling of exhibits prior to the official hall closing time may result in loss of loyalty program status and/or additional action as deemed by SHM.

Traffic and Attendance SHM makes no guarantees of traffic flow or the demographic nature, quantity of presumed quality of leads collected by Exhibitors. SHM encourages all exhibitors to market their presence at the annual conference. SHM does provide resources to exhibitors in order to facilitate promotion of exhibitors’ as well as recommendations for increasing traffic flow. Liability, Indemnification and Security Exhibitors must make provisions for safeguarding their goods, materials, equipment and display at all times. The exhibitor is responsible for all liability, losses, claims and demands on account of any injury, death or damage to property (including the exhibit

area), however they occur, that arise from the acts of the exhibitor, or its employees, agents, licensees or contractors. General guard service of the exhibit space (exterior) will be provided by SHM for the exhibition period, but SHM, the guard service and the Gaylord National Resort & Convention Center will not be responsible for the loss of any material by any cause. The exhibitor assumes entire responsibility and hereby agrees to save, protect, defend, indemnify, and hold harmless the Society of Hospital Medicine, Hargrove, Inc. and the Gaylord National Resort & Convention Center from and against any and all liability, losses or damages to persons or property, claims and demands that may arise from or be asserted in connection with the foregoing undertaking and responsibilities of the exhibitor. Neither SHM, Hargrove, Inc. nor the owners of Gaylord National Resort & Convention Center or their respective employees, agents, licensees, or contracts are liable for all claims, losses or damages to any person or property, governmental charges or fines and attorney’s fees arising out of, owned or controlled by the Exhibitor, however they arise, except for claims for damages or injuries caused by or resulting from the gross negligence of SHM or Gaylord National Resort & Convention Center or their respective employees, agents, licensees or contractors. employees and agents harmless against all claims, losses or damages to persons or property, governmental charges or fines and attorney’s fees arising out of or caused by the exhibitor installation, removal, maintenance, occupancy or use of the exhibition premises or part thereof, excluding any such liability caused by the primary negligence of the Society of Hospital Medicine (SHM), Hargrove, Inc. and the Gaylord National Resort & Convention Center and its employees and agents, or by acts of God, or by other events beyond the control of the Society of Hospital Medicine.

Insurance The exhibitor acknowledges that the Society of Hospital Medicine, Hargrove, Inc. and the Gaylord

National Resort & Convention Center do not maintain insurance covering the exhibitor’s property. The Exhibitor and/or the company on behalf of which the Exhibitor is presenting, shall be required to obtain and maintain, in full force and effect, and at its own cost and expense, insurance coverage for General Liability Insurance and Worker’s Compensation Insurance for the installation and dismantling of the exhibit booth. A copy of the exhibitor certificate of insurance, confirming a minimum coverage of $1,000,000 per occurrence and $2,000,000 aggregate, and naming the Society of Hospital Medicine (SHM) and each of its respective affiliates, subsidiaries, regents, employees, agents, officers and directors as an additional insured on each applicable insurance policy, is required. The insurance policies and coverage set forth herein shall be primary as to any other valid and collectible insurance and shall contain an endorsement that such insurance policy shall remain in full force and effect notwithstanding that the insured has waived its right of action against any party prior to the occurrence of a loss, and shall require the insurer to waive all rights of subrogation against SHM, Hargrove, Inc. and the Gaylord National Resort & Convention Center. The Society of Hospital Medicine shall obtain and keep in force during the term of the installation and use of the exhibit premises policies of Comprehensive General Liability Insurance and Contractual Liability Insurance insuring and specifically referring to contractual liability set forth in the foregoing paragraph hereof, in amount not less than $1,000,000 Combined Single Limit for personal injury and property damage. The Exhibitor and/or the company on behalf of which the Exhibitor is presenting, shall be required to obtain and maintain, in full force and effect, and at its own cost and expense, insurance coverage in the following types and amounts as set forth in this paragraph for

installation and dismantling of the exhibit booth: (1) General Liability Insurance: in a Combined Single Limit, which shall include coverage for Contractual liability, bodily injury (including death and disability), and property damage arising out of or relating to the Exhibitor’s participating in SHM’S Hospital Medicine 2019 in amounts as are adequate to ensure full protection from liability to SHM, but in no event shall such General Liability Insurance policy amounts be less than One Million Dollars ($1,000,000.00) per occurrence, and Two Million Dollars ($2,000,000.00) on an annual basis, in the aggregate, and (2) Worker’s Compensation Insurance, as necessary to ensure that SHM is not liable for any damages for any worker’s compensation claim caused by or attributable to the Exhibitor’s participation in SHM’s Annual Conference, within the statutory limits as required by law. The Exhibitor may satisfy the minimum liability coverage policy limits set forth herein through a combination of primary and umbrella/excess policies, if such combination of primary and umbrella/excess policies amount to such minimum coverage limits in the aggregate, provided, however, such usage of a combination of insurance policies shall be subject to SHM’s prior review and approval.

Material Handling Exhibitors may hand-carry their own materials into the exhibit facility. Exhibitors are responsible for the retrieval, management and shipment of their materials, goods and/or display. The exhibitor assumes entire responsibility of payment of all monies associated with the handling, shipment and retrieval of materials, goods and/or display. The use or rental of dollies, flat carts, and other mechanized equipment is not permitted. Hargrove, Inc. is responsible for controlling access to the loading docks and loading areas in order to maintain a safe and orderly move-in and move-out.

Official General Service Contractor Hargrove, Inc. One Hargrove Drive Lanham, MD 20706 Phone: 888-790-9792 Fax: 301-306-9318 The official general service contractor is responsible for labor arrangements, furniture rental and placement of incoming and outgoing freight, signage and drayage service. It also serves as liaison between the exhibitor and other subcontractors (cleaning, electrical or other) and is there to ensure a smooth operation within the Exhibit Hall.

Exhibitor Service Manual An Exhibitor Service Manual containing the necessary forms for ordering equipment, exhibitor badges and services for booths will be made available to each exhibitor no later than December 2018. The Exhibitor Service Manual will not be distributed until receipt of final payment and approval.

Use of Exhibitor-Appointed Contractors If you plan to use a service contractor other than the official contractor, notify the SHM Exhibit Team in writing by February 6, 2019, otherwise the exhibitor-appointed contractor will not be permitted to set up your booth. EACs are required to provide a rendering of your booth to SHM for approval. Renderings are due before February 20, 2019. EACs are required to furnish SHM with an insurance certificate in the amount of $1,000,000 liability to include property damage prior to the meeting. The certificate must indicate full coverage for the installation and dismantle dates. Companies using an EAC must also inform SHM’s decorator, Hargrove. In order to do so, please refer to the Hargrove Exhibitor Service Manual for the use of exhibitor-appointed contractor forms and regulations.

Unauthorized Vendors Exhibitors are sometimes targeted by companies who may claim to be affiliated with SHM or the SHM Annual Conference. Please be aware that these companies are not authorized to provide services on SHM or Hargrove, Inc.’s behalf. All official Annual Conference vendors will be listed online and in the Exhibitor Service Manual. Official vendor forms and communications will be found in the Exhibitor Service Manual. SHM encourages exhibitors who are contacted by an unauthorized vendor to share the soliciting vendors company name and contact information with SHM.

Solicitation Non-exhibitors or representatives of non-exhibiting companies may not solicit business in any part of the Exhibit Hall or Convention Center. Solicitation by Exhibitors outside of their allocated space within the Exhibit Hall is strictly prohibited. Should an Exhibitor be in violation, SHM reserves the right to remove the solicitors from the Exhibit Hall and may result in possible loss of eligibility for participation at future SHM annual conferences.

Center is ADA compliant. As new standards are introduced, it is their goal to implement those changes or upgrades in a timely manner. New Exhibitors Companies who have not exhibited with SHM within the past 3 years are required to submit company brochures or materials that describe their product or service prior to submission of their contract. FAQs1. How do I register my company for exhibitor space?Registration should be completed online to ensure you receive your preferred booth location. The HM19 Exhibit Map is updated in real-time. All registration forms are received in real-time and reviewed and processed during SHM business hours. Payment will not be processed until approval is granted through the SHM Exhibits Team. A PDF version of the registration form is provided on the last page of this catalog for those companies that are not able to register online.

2. Is payment required at the time of registration? Yes, 100% payment of the booth space is required at the time of registration. SHM understands that many of our exhibitors are required to follow procurement and accounts payable processes and, in turn, makes a check option available online. All check payments must be received within 30 net days from the time of registration. Split payments are not available. All payments over $7,4000 must be processed via check payment within 30 days of registration. 8. How many representatives are allowed per booth?SHM includes two complimentary Exhibit Hall badges per 10’x10’ exhibit space. Additional Exhibit Hall badges can be purchased for $100 each. These badges only grant representatives access to the Exhibit Hall.

Does the Exhibitor Badge allow access to the General Session or breakouts?Exhibitors who wish to attend sessions will need to register for the conference separately online through the ESC or by contacting SHM at [email protected]. SHM offers one discounted attendee registration per 10’x10’ exhibit space for $475. This registration fee does not include Pre-Courses offered during HM19. Only registered, approved exhibiting companies may receive this discounted conference registration rate. All remaining exhibitors who would like to attend will need to register for the meeting as an attendee at the prevailing rates.

10. How do I register my booth staff? SHM’s Exhibitor Service Center allows you to register all booth staff registrants as well as the discounted conference registration. With improved functionality to process multiple registrants at one time, the ESC makes it easy for exhibitors to register, substitute and pay for their booth personnel.

12. When will I receive a mailing list so that I can promote our booth at the meeting?Company contacts will receive the pre-conference mailing list four to six weeks prior to the meeting and a post-conference mailing list no more than two weeks after the meeting. The lists will include postal mailing addresses only. Mailing pieces should be sent before the annual meeting begins, and the post-meeting list must be sent within a month of the distribution date of the list. Each mailing list is to be used for a one-time mailing, is subject to the terms and conditions that will be included when SHM distributes the list and must be pre-approved by SHM’s Exhibit Team.

13. Where is the HM19 room block? The Gaylord National Hotel & Convention Center is the official headquarters hotel for HM19. Discounted room rates of $308.00 (single/double occupancy plus tax) are available for reservations made on or before February 21, 2019 (or as long as rooms are still available in the block). All reservations made after February 21, 2019, or earlier if the room block becomes sold out, will be confirmed on a space-available basis at the prevailing rack rate.

14. How do exhibitors order electrical, Internet, lead retrieval, tables/chairs and other booth services?Hargrove, Inc. is the official decorator for HM19 and can provide tables/chairs, etc. You will receive an email (no later than 60 days before the meeting) containing the Exhibitor Kit link and access to the kit through the Exhibitor Service Center. 18. How can I purchase space in the Exclusive Exhibitor Passport?Space in the Exclusive Exhibitor Passport can be purchased through the Exhibitor Service Center if you are a registered exhibitor. You can purchase space during the full exhibitor registration process as an upgrade if you are not already registered. This opportunity is limited to 50 companies and the fee is $500. Each purchased spot will receive a separate, ½ page in the passport that features the company logo and booth number. SHM will also provide each company with stickers that should be placed under your company’s logo in each attendee’s passport to signify that they visited your booth.This upgrade is only available to companies that will be exhibiting at HM19.

19. What is the Exhibitor BINGO Activity?Exhibitor BINGO is SHM’s brand-new attendee engagement game that will help each exhibitor increase its interactions with SHM’s attendees. Each exhibitor will automatically be included in the activity unless it specifically opts out of the game. Each participant will be given a bingo

card with the names of randomly generated companies on it. Each bingo card will be slightly different. Exhibitors will need to sign, highlight or “X out” their company’s square in an attendee’s bingo board. Prizes will range from $25 gift cards, SHM swag to some big-ticket items.
