Our company ExhibitView Solutions, LLC is reaching out to law schools expanding our program for
your trial advocacy students. ExhibitView is the most user-friendly trial presentation software on the market
today, and we want to share that with your school faculty and students.
Last summer we were approached by Duke University School of Law Assistant Dean for Academic
Technologies, Wayne Miller, and asked if he could demonstrate our product to his students. As a result of that,
we decided to offer ExhibitView licenses to their students and they graciously accepted. Since then we have
also added Baylor, Harvard, UT, Wake Forrest, Washburn, Samford and other fine Universities.
The students and faculty already on board LOVE the program and our software!
We would be honored to include your school in our program. The licenses given are good for 2 years
with an option to purchase at the end of this period at a significant discount. We only ask that the school

There is no cost to the student and there is no cost to the school. The purpose of this program is to
prepare your students, our future trial attorneys, for the modern courtroom.

SOFTWARE LICENSE AGREEMENT
This SOFTWARE LICENSE AGREEMENT (“Agreement”) dated as of _________________,
2011 (“Effective Date”) is entered into by and between ___________________________________
________________________________________________ (“School”) and ExhibitView Solutions,
LLC, a Georgia limited liability company (“Licensor”), and describes the terms and conditions
pursuant to which Licensor shall license to School and support certain Software (as defined below).
In consideration of the mutual promises and upon the terms and conditions set forth below, the
parties agree as follows:
1. Grant. Licensor will grant School a nontransferable, nonexclusive license to use the
ExhibitView software (the "Licensed Software") and any accompanying documentation (the Licensed
Software and the documentation are referred to in this Agreement as the "Licensed Materials"),
subject to the following terms and conditions.
2. Term; Termination. This Agreement is effective from the date first set forth above and
shall continue for a period of two (2) years, unless sooner terminated by either party as provided
herein. This Agreement may be terminated by either party, at any time, upon fifteen (15) days advance
written notice. This Agreement will terminate automatically and without notice if School fails to
comply with any term or condition of this Agreement.
3. Ownership. The Licensed Materials are the sole and exclusive property of Licensor.
4. Authorized Users; Use Restriction.
A. School faculty including adjunct faculty shall receive a non-commercial license key code, upon
request, to access the Licensed Materials (ExhibitView for PC). Such license code shall be valid
during the term of this Agreement. School may provide the pass key to its current administrators,
instructors, and other active School personnel (referred to collectively, with the faculty, as “Authorized
Personnel”). Adjunct faculty may request a commercial version of the Licensed Software, as part of
this agreement, for 50% less than the current commercial cost. All requests for commercial license
should be made directly to ExhibitView Solutions, LLC, and/or Bill Roach, Partner at 706-622-3305 or
B. Currently registered students at the School shall be authorized to use the Licensed Software by
Licensor at no cost for so long as such student remains enrolled at the School, and this Agreement is in
force. Students shall be responsible for requesting a pass code from Licensor. Students should be
directed by way of a web link from the school to ExhibitView’s student and faculty page here:

C. School shall not be responsible for verifying whether individuals who access the Licensed
Software are students or Authorized Personnel. However, School will, upon Licensor’s request, verify
the enrollment or employment status of individual accessing the Licensed Materials using School’s
pass code. Licensor shall not request verification of the employment or enrollment status of each user,
but may, instead, request occasional verifications of School.
School agrees that it will not itself, or through any affiliate, agent or other third party:
a) sell, lease, license, sublicense, encumber or otherwise deal with any portion of the Licensed

Software or Licensed Materials;
b) decompile, disassemble, or reverse engineer any portion of the Licensed Software, unless and
to the extent required under national law;
c) use the Software to provide commercial services to third parties; or
d) provide, disclose, divulge or make available to, or permit use of the Licensed Software by
persons other than Authorized Personnel without Licensor’s prior written consent
SCHOOL MAY NOT USE, COPY, MODIFY, OR TRANSFER THE LICENSED MATERIALS,
IN WHOLE OR IN PART, EXCEPT AS PROVIDED IN THIS AGREEMENT.
5. School Duties. School agrees to promote the free access of the Licensed Software to its
students and Authorized Personnel. In addition to providing its students with a Licensor’s student sign-
up website (http://www.exhibitview.net/law_students.html) to activate copies of the Licensed
Software, School must advise Licensor how it will promote the offering to such persons. Promotion is
possible via: lectures, student orientation, e-mail, newsletters or any other method reasonably
calculated to advise permitted users of the right to access and use the Licensed Software.
6. Data Back Up. LICENSOR ENCOURAGES SCHOOL TO MAINTAIN PERIODIC
BACKUP COPIES OF ALL DATA AND PROGRAMS USED IN CONJUNCTION WITH THE
LICENSED SOFTWARE TO PREVENT CATASTROPHIC LOSS.
7. Warranty Disclaimers; Liability Limitations. (a) LICENSOR MAKES NO WARRANTY
OR REPRESENTATION WITH RESPECT TO THE LICENSED SOFTWARE AND IT IS
LICENSED "AS IS." THE WARRANTY AND REMEDY PROVIDED ABOVE ARE EXCLUSIVE
AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT
NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE, AND ANY STATEMENTS OR REPRESENTATIONS MADE
BY ANY OTHER PERSON OR FIRM ARE VOID.
(b) SCHOOL ASSUMES ALL RISK AS TO THE SELECTION, USE, PERFORMANCE
AND QUALITY OF THE LICENSED MATERIALS. IN NO EVENT WILL LICENSOR OR ANY
OTHER PARTY WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR
DELIVERY OF THE LICENSED MATERIALS BE LIABLE FOR SPECIAL, DIRECT, INDIRECT,
INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING INABILITY TO USE THE
LICENSED MATERIALS, EVEN IF LICENSOR OR SUCH OTHER PARTY HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(c) Some states and/or countries do not allow limitations on how long an implied warranty lasts
and some states and/or countries do not allow the exclusion or limitation of incidental or consequential
damages, so the above limitation and exclusion may not apply to School. This warranty gives School
specific legal rights, and School may also have other rights which vary from state to state and/or
country to country.
8. Limitation of Liability. In no event will Licensor be liable for any loss of use, business
interruption, loss of date, indirect, special, incidental or consequential damages of any kind in
connection with or arising out of the furnishing, performance or use of the Licensed Software or

services performed hereunder or any delay in delivery of furnishing the Licensed Software or said
services.
9. Training; Student Information. (a) Licensor may offer in-person seminars and webinars
on the use and application of the Licensed Software. At the schools request, Licensor is willing to
make in-person presentations for a nominal fee, which will be agreed upon in advance of such services.
(b) In the event School provides any confidential information about students enrolled at the School,
Licensor shall keep such information confidential, and shall execute, at School’s request, a
confidentiality agreement reasonably designed to protect such information. (c) School may obtain 10
hours of no cost synchronizing, per advocacy class, for mock video depositions. School must have the
video transcribed and send video and transcript to: VideoOne, 2185 Rosebud Road, Grayson, Ga

10. General. (a) If any provision or portion of a provision of this Agreement is determined to
be invalid or unenforceable, it shall be deemed omitted and the remaining provisions of this Agreement
shall remain in full force and effect.
(b) This Agreement is governed by and construed in accordance with the laws of the State of
Georgia.
(c) This Agreement constitutes the entire agreement between the parties with respect to the
subject matter hereof, and all prior agreements, representations, statements and undertakings are
hereby expressly cancelled.
(d) Any waiver of the provisions of this Agreement or of a party’s rights or remedies under this
Agreement must be in writing to be effective. Failure, neglect or delay by a party to enforce the
provisions of this Agreement or its rights or remedies at any time, will not be construed or be deemed
to be a waiver of such party’s rights under this Agreement and will not in any way affect the validity of
the whole or any part of this Agreement or prejudice such party’s right to make subsequent action.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date and year
first set forth above.

Duke, UT, Baylor, Among Prominent Law Schools Giving Students
Advanced Technology with ExhibitView Software Program.
Cutting edge presentation software for PC and Ipad gives students real courtroom technology experience. Student Dorian Edwards, from JFK Law School used ExhibitView in his final exam and found the software "Fantastic" and very easy to learn.
Rome, Georgia, November 8, 2011 – ExhibitView Solutions, LLC, provider of trial presentation
software on PC and Ipad for legal professionals, has been busy this past summer contacting Law Schools
to promote a new program, “The Presentation, Keep It Simple, Keep It Powerful”. This program provides
students and faculty a no cost license for ExhibitView PC and the upcoming ExhibitView Ipad product.
The genesis for the program came after being contacted in the spring by Wayne Miller, Assistant Dean for
Academic Technologies at Duke University School of Law. Professor Miller requested a short term
license so he could demonstrate the software program to his students. Professor Miller truly appreciated
the opportunity to share ExhibitView and when he learned that the company would provide copies to his
students at no cost, he was eager to work with ExhibitView so that his Fall classes and beyond would have
access to the software.
Will King, Baylor Law School Practice Court Associate, has recently been equipping approximately 100 students
to use ExhibitView in Baylor’s nationally-ranked trial advocacy program. Professor Jim Wren, who has
recommended ExhibitView in his soon-to-be-released Proving Damages to the Jury (James Publishing, December
2011), comments: “ExhibitView gives us what we need. Time is at a premium for these students, and the
combination of functionality and minimal learning curve of ExhibitView is a natural for our program. And Bill
