Pennsylvania Act 319 (NOT enrolled)

The Property contains approximately 29.00± acres of land, and is NOT enrolled in Pennsylvania’s extremely popular Act 319 program (the ‘Pennsylvania Farmland and Forest Land Assessment Act’).

Act 319 is a voluntary, renewable covenant with the State of Pennsylvania which provides preferential tax assessment ( = lower annual property taxes) for properties which serve as agricultural land, timberland, or open space; Act 319 is only available to the owners of parcels which meet a required 10-acre minimum.

Essentially, Act 319 involves a covenant by the landowner not to subdivide enrolled land in less than 10-acre increments during the 10-year term of the covenant ; if the covenant is violated, “rollback taxes” are assessed, in an amount equal to the difference between the Original Assessment and the Preferential Assessment, multiplied by the number of years (up to 7 years maximum, plus 6% interest) during which the subject property has been assessed at the Preferential rate.

In the case of this Property, there is a protective conservation easement in place with the Brandywine Conservancy which prevents further subdivision of the Property (see the next section for a description of the conservation easement).

This conservation easement creates a permanent deed restriction against subdivision; accordingly, because this Property cannot be further subdivided under the conservation easement, it is recommended that this Property be permanently enrolled in Act 319 in order to realize the preferential property tax treatment to which the owner of this Property would be entitled.

There are several protective Easement Agreements in place which assure that the incredibly beautiful setting, views and natural features of this Property are protected forever.

The ‘Viewshed Easement’ and the Conservation Easement in particular are quite valuable, and, are perpetual covenants which run with the land.

In addition, this Property is part of a 2,000+ Acre ‘Agricultural Security Area’ within Willistown Township.

Conservation Easement

This Property is protected by a perpetual conservation easement with the Brandywine Conservancy, identified as ‘Grant Of Easement And Indenture’, which was recorded by the Chester County Recorder of Deeds on December 29, 1981, and is found in Deed Book B-5512 Page P-975.

This Property was originally part of the historically significant ‘Bryn Clovis Farm’, one of the earliest farms in the Philadelphia area; Bryn Clovis was originally surveyed in 1684, and was being actively farmed by the 1700’s.

Most recently, the Subject Property was part of a larger 147-acre tract which was placed under the perpetual conservation easement described above ; it is 1 of 5 large lots that were created under a conservation plan developed in 1981.

Within the ‘Conservation Easement Area’ (being the entire original 147-acre tract), the Conservation Easement seeks to preserve the uniquely beautiful topography and natural features of the land, and to prohibit uses, activities and improvements which are not consistent with this intent.

For example, the Conservation Easement prohibits “quarrying” and “industrial or commercial activities -- except farming and livestock management activities … including horse breeding, training and instruction. “

Of perhaps greater importance, and of much greater value to a prospective buyer, the Conservation Easement establishes significant restrictions on future development of the land. Specifically, the CE mandated that the 147 acres may never be subdivided into more than six (6) separate parcels, and also established that no more than one (1) single family dwelling may be constructed on each parcel.

Subsequently, on May 20, 1983 a supplemental ‘Declaration of Easement Rights’ was executed between the three (3) owners of the parcels which comprised the original 147-acres : the Brandywine Conservancy (owner of a 25-acre parcel of woodlands) ; Robert McClements & Barbara McClements (original owners of the Subject Property, which was at that time approximately 44.37± acres) ; and, Elizabeth R. Moran (who today still owns the balance of the 147 acre tract).

This “Declaration of Easement Rights” was recorded at the Chester County Recorder of Deeds on May 28, 2003, and is found in Deed Book 5713 Page 46, also identified as Document # 10245073.

The pupose of this “Declaration of Easement Rights” was to “clarify, allocate, and confirm the ownership of, or entitlement to, such development rights preserved collectively to the Property under the Easement.

This document apportioned the subdivision rights as follows : “ (4) parcels to Moran : (1) to (Moran’s) TP 54-6-52.8 (28± acres), and the remaining (3) to (Moran’s) TP 54-6-52 (103.6± acres) ; (1) parcel to McClements, TP 54-6-52.6 (at the time, 44.37± acres) and (1) parcel to Brandywine Conservancy TP 54-6-52.7 (25± acres).”

Subsequently in 2003, the McClements exercised their above-described right to subdivide (1) parcel by creating (from their 44.37±-acre parcel) a 15.37± acre parcel, which was sold to their neighbor ; this 15.37-acre parcel was sold subject to a perpetual ‘Viewshed Easement’ (see below) forever for the benefit of the remainder of the McClements property (29.00± Acres, the ‘Subject Property’ being offered for sale).

The ‘Subject Property’; is now identified as Tax Parcel No 54-6-52.5, and may not be further subdivided.

Viewshed Easement

As noted above, the Subject Property is protected by a perpetual ‘Viewshed Easement’, on the adjacent 15.37± acre parcel of land which is owned by the neighbor and which borders the Subject Property along its approximate “northeastern” boundary.

This 15.37± acre parcel of adjoining land was sold by the McClements to the current owner in 2003, and it was at that time that the Viewshed Easement which benefits the McClements property (the Subject Property) became a perpetual deed restriction on the neighboring parcel.

The Viewshed Easement essentially provides that the McClements, and all future Owners of the Subject Property, do retain the right to undertake all such trimming of trees on the neighboring property as may be necessary for the Owners of the Subject Property to maintain satisfactory and unobstructed views.

The Viewshed Easement is entitled “Deed”, and was recorded at the Chester County Recorder of Deeds on May 28, 2003, and is found in Deed Book 5713 Page 51, also identified as Document #10245074.

Agricultural Security Area

In addition, the Subject Property is part of a much larger “Agricultural Security Area’ comprising over 2,000 acres of open land, owned by 40 separate Landowners, most of which is located in Willistown Township.

The Agricultural Security Area is a designation which was adopted by Willistown Township as “Resolution 13” of 2003, pursuant to Act 43 of 1981. The purpose of the Agricultural Security Area is to encourage the voluntary preservation of undeveloped land as farmland, woodlands, horse farms, or other similar use.

In Willistown Township, enrolled landowners are often those who have also placed permanent conservation easements on their land, as is the case with the Subject Property.

A Licensee may have the following business relationships with the Consumer :

Seller Agency

Seller Agency is a relationship in which the Licensee, upon entering into a written agreement, works only for the Seller. Sellers’ Agents owe the additional duties of :

■ Loyalty to the Seller by acting in Seller’s best interests.■ Confidentiality, except that a Licensee has a duty to reveal known material defects about a property.■ Making a continuous and good faith effort to find a buyer for the property, except while the propertyis subject to an existing agreement.■ Disclosure to other parties in the transaction that the Licensee has been engaged as a Sellers’ Agent.

A Seller’s Agent may compensate other brokers as subagents if the Seller agrees in writing. Subagents have the same duties and obligations as the Sellers’ Agent. Sellers’ Agents may also compensate Buyers’ Agents and Transaction Licensees who do not have the same duties and obligations as Sellers’ Agents. If you enter into a written agreement, the Licensees in the real estate company owe you the additional duties described above under Seller Agency. The exception is designated agency. See the designated agency section in this notice for details.

Buyer Agency

Buyer Agency is a relationship in which the Licensee, upon entering into a written agreement, works only for the Buyer. Buyer’s Agents owe the additional duties of :

■ Loyalty to the Buyer or Tenant by acting in Buyer’s best interest.■ Confidentiality, except that a Licensee is required to disclose known material defects about the property.■ Making a continuous and good faith effort to find a property for the Buyer, except while the Buyer is subject to an existing contract.■ Disclosure to other parties in the transaction that licensee has been engaged as a Buyer’s Agent.

A Buyers’ Agent may be paid fees, which may include a percentage of the purchase price, and even if paid by the Seller, will represent the interests of the Buyer. If you enter into a written agreement, the Licensees in the real estate company owe you the duties described above under Buyer Agency. The only exception is designated agency. See the designated agency section of this notice for more information.

Dual Agency

Dual Agency is a relationship in which the Licensee acts as the agent for both the Seller and the Buyer in the same transaction with the written consent of all parties. Dual Agents owe these additional duties :

■ Taking no action that is adverse or detrimental to either party’s interest in the transaction.■ Unless otherwise agreed to in writing, making a continuous and good faith effort to find a Buyer for the property and a property for the Buyer, unless either is subject to an existing contract.■ Confidentiality, except that a Licensee is required to disclose known material defects about the property.

Designated Agency

In Designated Agency, the employing broker may, with your consent, designate one or more licensees from the real estate company to represent you. Other licensees in the same company may represent another party and shall not be provided with any confidential information. The Designated Agent shall have the duties as listed above under ‘Seller Agency’ and ‘Buyer Agency’. In Designated Agency, the employing broker will be a Dual Agent and have the additional duties of :

■ Taking reasonable care to protect any confidential information disclosed to the Licensee.■ Taking responsibility to direct and supervise the business activities of the Licensees who represent the Seller and the Buyer, while taking no action that is adverse or detrimental to either party’s interest in the transaction.

The designation may take place at the time the parties enter into a written agreement, but may occur at a later time. Regardless of when the designation takes place, the employing broker is responsible for ensuring that any confidential information is not disclosed.

Transaction Licensee

A Transaction Licensee is a broker or salesperson who provides communication or document preparation services or performs other acts for which a license is required, WITHOUT being the agent or advocate for either the Seller or the Buyer. Upon signing a written agreement or disclosure statement, a Transaction Licensee has the additional duty of limited confidentiality in that the following information may not be disclosed :

■ The Seller will accept a price less than the asking or listed price.■ The Buyer will pay a price greater than the price submitted in a written offer.■ The Seller, or the Buyer, will agree to financing terms other than those offered.

Other information deemed confidential by the consumer shall not be provided to the Transaction Licensee.

Other Information About Real Estate Transactions

The following are negotiable and shall be addressed in an agreement or disclosure statement with the licensee :

■ The duration of the employment, listing agreement, or contract.■ The fees or commissions.■ The scope of the activities or practices.■ The broker’s cooperation with other brokers, including the sharing of fees.

Any Agreement of Sale must contain the zoning classification of a property, except in cases where the property is zoned solely or primarily to permit single family dwellings.

A Real Estate Recovery Fund exists to reimburse any person who has obtained a final civil judgement against a Pennsylvania real estate licensee owing to misrepresentation, fraud or deceit in a real estate transaction and who has been unable to collect the judgement after exhausting all legal and equitable remedies.
