EASY SOCKET ONE CORP. (ESO)

1.0 EXECUTIVE SUMMARY:

Easy Socket One Corp, (ESO) is a start-up company which has designed a safe and

uniquely easy to use lamp socket now ready to be launched into the $100 Billion global lighting

market. ESO can offer the global illumination market with a patented socket into which a screw

bulb may be inserted into a stable connection with a power source without engaging the screws.

ESO Safe Sockets will have customer appeal because they are safer and easier to use than screw

sockets, especially with overhead lighting fixtures.

The safety factor is important where incandescent and CFL light bulbs are being

installed or removed. A traditional socket’s screws and those of the bulb may corrode and bond

which will then require more torque force to turn the bulb. Too much torque force will break the

bond between the glass part of the bulb and its metal base. This can cause broken glass injuries

and, in the case of CFL, release Mercury into the environment. ESO 26/27 sockets greatly reduce

this risk by having engineered a cleaner and smoother slip interface between the bulb and the

socket. This kind of socket does not exist in anywhere in the world market. It is a practical

innovation on a universally employed electrical device.

Mr. Isaac Sanchez, President of ESO Corp, is the owner of the patent Number US

8,602,802 B2 dated on Dec 10, 2013. Currently, ESO Corp, already has the molds made for

ceramic and plastic lamp socket Models numbers ESO 26/27 and SS/26/27. These models work

with American and European specifications, and they work with incandescent, LED and

fluorescent bulbs 26mm and 27mm.

ESO’s U.S. Patented sockets ESO 26/27 and SS 26/27 are in the final phase of

Underwriters Laboratories (UL) review for certification in the United States. ESO has now

complied with several modifications to SS 26/27 (Safety Socket) requested by UL. SS 26/27

may now be marketable in some foreign markets where UL certification is not required.

Once it enters the market ESO will have first mover advantage which will be

exploited by a stream of new products, some of them already in development. McKinsey and Co.

reports that the “illumination market is in transition”. This is the opportune time to introduce new

products.

This same safe slip concept will be adapted to engage the new models of light bulbs

such different LEDs, or light sources, as they are increasingly referred to. These new light

sources will be installed in refrigerators, microwave ovens, conventional ovens, lamps of all

types and sizes, homes, public lighting, hotels, convention centers, schools, hospitals, office

buildings and more.

ESO has more than ten new electrical sockets in development in response to the current

transitional condition of the $100 Billion global electric lighting market. Incandescent light bulbs

are being phased out after more than a hundred years; CFLs are seen as a transitional technology

with a declining market share. Most importantly for ESO, the increasing variety of LEDs

applications being developed by Phillips and other major companies with investments of

hundreds of millions in LED R/D is leading toward several different lighting sources and the

fixtures with re-engineered sockets, the docking ports that connect the light source to the power

source. This is ESO’s specialty.

The firm seeks five million dollars in new capital in three stages to finance its entry to

the $100 Billion global lighting market of which $18-20 Billion is U.S.

Company Size

Lumination, LLC, was previously a joint venture between The General Electric Company (GE) and the

Emcore Corporation. In August of 2006, GE purchased Lumination for $100 million and formed a

strategic alliance with the Nichia Corporation, the world’s largest LED manufacturer. Since that time,

Lumination has established a reputation as the leader in highend white LED technology and products.

Between 2006 and 2007, Lumination’s investment in new products increased by more than 50 percent.

GE has reported that revenue from energy efficient products in 2007 was greater than $14 billion, and

related research and development funding for these products was increased to $1 billion. It is speculated

that annual sales of GE environmental products is expected to exceed $25 billion by 2010. These numbers

indicate that GE Lumination is not only our largest competitor, but is also the fasted growing one.

Target Markets

Lumination currently supplies LED lighting solutions in signage, architecture, transportation signals, and

retail display markets. Their products are always the best quality available, employ the latest technology,

and are often customized for the client. Because they focus on high‐grade, innovative LED products,

Lumination competes at a different price point than Easy Socket One Corp. However, Lumination’s intent

is to quickly penetrate the general illumination market and replace standard fluorescent fixtures with

LEDs. When they do, they will create lower‐priced products for all of the markets Easy Socket One

Corp is targeting. Their latest white LED specifically is designed for commercial, residential, hospitality,

retail, and architectural purposes. When Lumination’s product pricing decreases, they will become Easy

Socket One Corp’s largest direct competitor.

Relevant Products

In 2006, WM USA installed Lumination’s white LED refrigerated display cases in over 500 test stores.

WM USA spent about $30 million to develop the refrigerator LED lighting system in cooperation with

Lumination.

The Vio™ LED is Lumination’s latest white LED, designed to penetrate the general illumination markets

Easy Socket One Corp is interested in. Fortunately, these lights are point source lights, so this product

would not directly compete with Easy Socket One Corp’s tube lighting system at this time. Also,

Lumination is mainly marketing the lights, rather than the fixtures. If they started producing turn‐key

overhead lighting systems, this product will directly compete would Easy Socket One Corp’s.

In November 2005, Philips purchased Lumileds remaining shares from Agilent Technologies for $948

million. At the time, Lumileds stated that it employed 1760 people. They also released financial data,

showing $324 million in sales and annual growth of 28% ending July 2005.

Target Market

Lumileds creates custom LED instillations for general lighting purposes, tailoring to markets similar to

Easy Socket One Corp’s. However, because Lumileds strictly uses cutting‐edge technologies for custom

applications, they are competing on a totally different price point. Other industries Lumileds serves

include automotive lighting, display backlighting, camera phone flash, and portable light sources.

Company Size

In August 2007, Philips acquired Color Kinetics for $688 million and rebranded the company as Philips

Solid‐State Lighting (SSL). In doing so, they have obtained a large IP portfolio of digitally‐controlled

LED lighting technologies. Philips SSL has currently installed more than 15,000 of their products

worldwide, giving them many contacts in a wide variety of markets. Reported sales in 2006 was

approximately $65 million, with an annual growth rate of 31%.

Target Market

Philips SSL should not be considered a direct competitor of Easy Socket One Corp. Their competitive

advantage is in high technology products that utilize complex integrated lighting control, called

Chromacore. It allows single LEDs to emit a variety of different colors and lighting effects. This

expensive technology is the core of every Philips SSL product. Although Philips SSL is more than

qualified to manufacture high‐power LEDs and fixtures, they are currently not capable of doing so at

low price points for general lighting applications. It is not likely that they are interested in Easy Socket

One Corp’s product markets.

Company Size

In 2006, Osram increased sales by 6% to $7.1 billion. Osram’s profit rose to $747 million. That year, the

research and development budget increased to $371 million. Osram also released that they had 40,307

active employees worldwide. From these figures, it is evident that Osram‐Sylvania has a large amount

of research resources. However, it is important to note that they specialize in older lamp technologies,

including incandescent, compact fluorescent, and HIDs.

Related Products

Sylvania mainly manufactures and sells outdated lighting products. For overhead lighting, they produce

HID and fluorescent bulbs. Although Sylvania does produce LED products, they are only used as

“enhancements and decorative lighting”. In this sense, they currently would not compete with Easy

Socket One Corp for the LED general lighting sector. However, Sylvania recently fitted the Migros

Supermarket in Eschenbach, Switzerland with LED lighting technology for general illumination covering

an 829 square meter store. The area lights, accenting, and refrigerated display cases contain Golden

Dragon LEDs from Osram‐ Sylvania. The partnership of these companies was instigated by Migros, and

is the only retail outlet Sylvania has fitted. Although it appears that Sylvania desires to enter the LED

retail lighting market, this has given them viable experience if the wish to do so in the near future.

Relevant Products

Honeywell currently produces no LED products for general illumination, and has no LED lighting in

retail outlets at this time. This means that they have no relevant product line that could compete with Easy

Socket One Corp’s LED fixtures. However, Honeywell does possess a large IP portfolio of LED patents

that is kept up to date. This, in combination with a variety of industry contacts, means that Honeywell

could easily have LED products in virtually any market by the time Easy Socket One Corp starts selling

lighting fixtures.

4.0 EASY SOCKET ONE (ESO) PRODUCT LINE:

BACKGROUND OF THE INVENTION

4.1 Conventional threaded light bulb sockets for incandescent bulbs are notorious for difficult

removal of the bulbs when over time a bulb may become jammed in the socket. A light bulb may

therefore break from the threaded base and present an electrical shock hazard to a user of the

socket. Removal of the bulb from the socket after the threaded base has broken from the glass

globe can be dangerous if not annoying and problematic.

Also, it is not always easy or convenient to maintain bulbs in threaded light bulb sockets. Hard to

reach threaded sockets in high ceilings do not lend themselves to turning from below. Large

arrays of sockets present serious cumulative time expenditure for unthreading and threading each

one even if every socket is easily accessed.

Threaded sockets and bulbs have been tolerated over the years because they make dependable

and predictable electrical connections. However, there is a long felt need for a quicker, easier and

safer way of connecting light bulbs to a power supply.

4.2 ESO will begin its production with ESO 26/27 and SS 26/27 non-screw sockets for

incandescent, CFL, LED and other screw bulbs. Additional innovative illumination products are

being developed.

5.1.1 Terminology: A light fixture (US English), light fitting (UK English), or

luminary is an electrical device used to create artificial light by use of an electrical

component . All light fixtures have a fixture body and a light socket to hold the lamp and

allow for its replacement. Fixtures may also have a switch to control the light. Fixtures

require connection to a power source; permanent lighting may be directly wired and

moveable lamps have a. Light fixtures may also have other features, such as mirror for

directing the light. Portable light fixtures are often called "lamps", as in table lamp or

desk lamp.

5.2 U.S. Overview: Table 4 reports that the North American lighting market was valued at

$16.2B. This seems conservative when compared to the statement that “Demand for lighting

fixtures in the US will increase 7.5 percent annually to $25.3 billion in 2016. Gains will be

driven by an expected recovery in consumer purchases of lamps and other lighting fixtures,

construction activity and improved outlook for motor vehicle production. Demand will also

benefit from the greater use of fixtures designed for energy-efficient light sources such as

5.3 Market members: The lighting fixture industry includes governmental regulatory agencies,

product certification laboratories, lighting fixture manufacturers, lighting fixture customers and

competitors.

5.3.1 Regulatory Agencies:

5.3.1 International: “The International Electro technical Commission (IEC), based in

Geneva prepares and publishes International Standards for all electrical devices and

related technologies – collectively known as "electro technology". IEC standards cover a

vast range of technologies from power generation, transmission and distribution to home

appliances and office equipment, semiconductors, batteries, solar energy, nanotechnology

and marine energy as well as many others. The IEC also manages three global conformity

assessment systems that certify whether equipment, system or components conform to its

International Standards.

Currently, 82 countries are members while another 82 participate in the Affiliate

Country Programme, which is not a form of membership but is designed to help

5.3.2 United States: In the US the US Department of Energy (DOE) and the

Occupational Safety and Health Administration (OSHA) have published regulations that

govern electrical devices. The Energy Independence and Security Act of 2007 established

new energy efficiency standards. These require roughly 25 percent greater efficiency for

light bulbs, phased in from 2012 through 2014. This effectively eliminates the

manufacturing and importing of most current bulbs, though by 2013 at least one company

(Energy Star) had introduced a redesigned incandescent bulb for which it claimed 50

percent greater efficiency than conventional incandescent.

Various specialty bulbs, including appliance bulbs, "rough service" bulbs, colored

lights, plant lights, and 3-way bulbs, are exempt from these requirements as well as light

bulbs currently less than 40 watts or more than 150 watts. The act requires roughly 200

percent greater efficiency for light bulbs, or similar energy savings, by 2020.

5.4 Private Testing Laboratories: Private laboratories provide testing services to determine

whether an electrical device such as the new socket meets the established specifications.

5.4.1 UL (Underwriters Laboratories) is a safety consulting and certification company

headquartered in Illinois. It maintains offices in 46 countries. UL was established in 1894

and has participated in the safety analysis of many of the last century's new technologies,

most notably the public adoption of electricity and the drafting of safety standards for

electrical devices and components

UL provides safety-related certification, validation, testing, inspection, auditing, advising

and training services to a wide range of clients, including manufacturers, retailers,

policymakers, regulators, service companies, and consumers. UL is one of several

companies approved to perform safety testing by the US federal agency (OSHA). OSHA

maintains a list of approved testing laboratories, which are known as. Easy Socket One

has retained UL to test its innovative sockets ESO 26/27 and ESO SS 26/27.

5.5 POTENTIAL TARGET MARKETS: There are several potential target markets for Easy

Socket One. Customers to whom Easy Socket One can show an economic benefit are the most

likely to buy the Easy Socket One products. The two main market segments are:

Market for Screw Socket Replacement by ESO Sockets

ESO Sockets as original equipment installation

5.5.1 Socket Replacement Market: The large scale replacement of installed traditional

sockets in homes, hotels, other large facilities by Easy Socket One is unlikely as there is

an extra cost but no economic or regulatory benefit gained by replacing traditional screw

sockets with Easy Socket One devices. Mass market outlets such as Home Depot, Lowes

and similar sales points are not likely to generate significant sales.

5.5.2 ESO as original equipment installation: Easy Socket One as Original Equipment

can produce an upscale benefit for lamps and economic benefits for new construction

projects by reducing the direct labor time for installation and replacement of large

numbers of light bulbs. Economic benefit will result from ease of installation/replacement

and less injuries associated with light bulb installation and replacement.

5.6 PRIMARY TARGET MARKETS:

5.6.1 Foreign Distribution: The foreign lighting markets will represent 70-75% of the

global market between now and 2020. However, penetration of these markets can be a

ONE: The global lighting industry is undergoing a fundamental transition. Incandescent

light bulbs are being phased out after more than a hundred years; CFLs are seen as a

transitional technology with a declining market share. This has opened a wide door for

product innovation such as ESO products.

TWO: Sales of light sources (bulbs) will peak in 2016, as the need for replacements will

subside due to longer lived light sources. Light sources will lose market share in a

glowing global market.

THREE: Fixtures hold a 75% global lighting market share and continue to increase. .

New fixture installation globally in 2011 was estimated $57.9 Billion and estimated to

reach $74.0 Billion by 2016. ESO is in the fixtures business and is riding a rising wave.

FOUR: Most importantly for ESO, the increasing variety of LEDs applications being

developed by Phillips and other major companies with investments of hundreds of

millions in LED R/D is leading toward several different lighting sources and the fixtures

with re-engineered sockets, the docking ports that connect the light source (bulb) to the

power source. This is ESO’s specialty

5.8 Summary: ESO can achieve its sales goal of $5,000,000.00 in 2014 with less than

.0005% market share as shown in Table 7 below based on an aggressive, well trained and

supervised sales force.

The US Energy Department's statistics show that the total number of all types of light bulbs sold

each year is reported at around 2 billion as of May 2012. Total North American lighting sales

were estimated at $$19B in 2013, expected to grow to approximately $24.5B in 2016. Light bulb

sales were reported as $1B in 2011. The remaining sales were for new fixtures for residences,

buildings, automobiles and other vehicles, outdoor lighting and other applications. Sockets for

different types of lighting will be required for producing the fixtures.

McKinsey reports that the global bulb replacement market will peak in 2015 and then decline as

the longer life span of new bulbs will require less frequent replacements. The report goes on to

say that the global lighting fixture industry is expected to grow continuously. (P 36).

6.0 MARKETING PLAN: According to a report of the IEA International Energy Agency, the

United States buys on average two billion light bulbs per year at a cost of one billion dollars,

some as replacements and others for new installations. Based on the numbers in TABLE 7.

ESO’s sales goal of $10,000,000-$12,000,000.00 within three years will have six drivers:

1) An aggressive push into foreign markets where the ESO sockets can be imported and

employed prior to UL approval

2) The presentation of the product to lamp manufacturers,

3) Use of industry trade shows and direct marketing contact with companies that construct new

buildings.

4) Employment of social media such as You Tube, Facebook, Twitter, LinkedIn and others to

display short video presentations of the product.

5) Trade magazine and website ads.

6) Large construction project targets of opportunity

6.1 Lamp Retailers and Manufacturers. The ESO sockets will be presented to lamp

retailers that manufacture most of their lamps in China. The ESO USA marketing and

sales staff. ESO will contact lamp retailers such as IKEA, Lowes, Ace Hardware, Home

Depot, Lighting Store Miami, Lighting Paradise Miami and others to demonstrate the

ease of use and safety of its modern SS26/27 sockets as compared to the ordinary screw

socket. These companies manufacture and import a large percentage of their lamps. The

US National Academy of Sciences reports that eighty-six percent (86%) of lamp fixtures

imported into the US came from China. ESO will manufacture some of its lamps fixtures

with SS26/27 sockets in China and will be able to supply the retailers’ lamp

manufacturing partners with SS26/27 as a distinctive and better socket.

6.2 Trade Shows: Easy Socket One will develop a portable presentation for lamp and

construction industry trade shows will fit a 10×10 foot space. This will expose the socket

to the largest number of potential customers. Attachment A provides a list of trade

associations of possible interest to ESO.

convention center and surrounding 52-acre site, estimated as a $1-billion project.” Miami

Herald. Tishman Construction of New York leads the development team, which also

included Atlanta-based tvsdesign, which specializes in convention centers. This billion

dollar project will include an 800 room hotel which will require a minimum of 4,000 new

sockets for the rooms alone. This project should be regarded as a high priority target

6.4. Competition: Traditional Edison screw sockets dominate the market. It will be easy for the

ESO non screw socket to take market share from the screw socket manufacturers. The price of

lamps fixtures will be very similar or equal to the current marked.

screw sockets. This differentiation may provide ESO with a competitive edge as it attempts to

15.0 Assumptions:

1. This is a conservative projection. A market breakthrough is possible if a major target

of opportunity can be identified and exploited.

2. Assumes that cost and price remain constant.

3. Assumes that foreign sales may be 60-75% of sales in year One.

4. Assumes that UL Certification for SS26/27 will be achieved in the third quarter of

5. Assumes that large quantity sales will require months long lead times before the sale is

17.0 STAGE TWO ESO RESEARCH AND DEVELOPMENT REQUIREMENTS

YEAR ONE $200,000.00

ESO currently has more than ten new electrical sockets in development in response to the

current transitional condition of the $100 Billion global electric lighting market. Incandescent

light bulbs are being phased out after more than a hundred years; CFLs are seen as a transitional

technology with a declining market share. Most importantly for ESO, the increasing variety of

LEDs applications being developed by Phillips and other major companies by investing hundreds

of millions in LED R/D is leading toward several different lighting fixtures re-engineering’s of

the socket, the docking port that connects the light source to the power source. This is ESO’s

specialty.

ESO’s U.S. Patented sockets ESO 26/27 and SS 26/27 sockets are in the final phase of

Underwriters Laboratories (UL) review for certification in the United States. ESO has now

complied with several modifications to ESO 26/27 requested by UL. ESO 26/27 may now be

marketable in some foreign markets where UL certification is not required ESO 26/27 are

modifications on the universally known screw socket and will have customer appeal because it is

easier to use, safer than screw sockets and time efficient. The safety factor is important where

incandescent and CFL light bulbs are being installed or removed. A traditional socket’s screws

and those of the bulb may corrode and bond which will then require more torque force to turn the

bulb. Too much torque force will break the bond between the glass part of the bulb and its metal

base. This can cause broken glass injuries and, in the case of CFL, release Mercury into the

environment. ESO 26/27 greatly reduces this risk by having engineered a cleaner and smoother

interface between the bulb and the socket.

ESO has other electrical devices under development. These new products will slipstream

into the customer sales momentum created by ESO 26/27.

18.0 Stage Three: ESO to establish a North American Production Facility. Budget $3.5-4

millions dollars.

ESO will need a North American production facility in order to fulfill surges in demand

and to maintain a ready inventory for sale. This facility will also be used to manufacture new

products developed by ESO.

There are three options for accomplishing this goal:

1. Outsource production to a qualified, certified and equipped North American

manufacturer.

2. Buy an existing, possibly mismanaged, production facility with the necessary equipment,

permits, environmental and other requirements. ESO Management will employ skilled

employees currently with the company if there are any who meet ESO standards. Identify and

hire an experienced production supervisor.

3. Build a new production facility with modern production equipment. This is the riskiest of

the options because the environmental permitting process can be unpredictable, costly and time

consuming. It may also be the most expensive.

The product consist in two essential parts, ceramic part and shell. Models of lamps will

be taken from the current marked, to be analyzed and improve them if would be necessary. The

two years of alliance with factories working in this business, will allow to us prepare the best

way make the manufacturing plan.
