QUOTATION NOTICE TO CONTRACTORS BID NUMBER: RFQ 169-2016/17

1. TENDER INVITATION

THE EASTERN CAPE RURAL DEVELOPMENT AGENCY, REQUIRES QUOTATIONS FOR REFURBISHMENT WORK TO ECRDA OFFICES IN MTHATHA. Attached please find Bills of Quantities that needs to be completed.

Quotations are requested from competent and registered contractors with the CIDB Contractor grading of 2GB and

3 GB . Note: A compulsory pre-tender site inspection will be held at 11h00 on Tuesday 28 February 2017 at No.52 Corner Nelson Mandela & Spring Street Mthatha . Prospective tenderers are required to attend this inspection.

Tenders in sealed envelopes labelled “BID NUMBER RFQ 169-2016/17 : “ REFURBISHMENT WORK TO ECRDA OFFICES, MTHATHA” and the name of the firm tendering, should be hand delivered to Eastern Cape Rural Development Agency, Beacon Bay Crossing, Beacon Bay

by 11h00 (noon/midday) on 06 March 2017.

2. TENDER DATA 2.1 The Employer reserves the right to accept or reject any tender and may cancel the tender process and

reject all tender offers at any time before the formation of a contract. The employer shall not accept or incur any liability to a tenderer for such cancellation and rejection, but will give written reasons for such action upon written request to do so.

2.2 The tenderer shall:

a) Tenderers must have a minimum CIDB Contractor grading of 2 GB and 3 GB.

b) Submit a tender offer only if the tenderer complies with the criteria stated in the tender data and the

tenderer, or any of his principals, is not under any restriction to do business with employer.

c) Submit with the quotation a valid SARS Tax Compliance Status certificate (TCS) PIN and a letter of good standing with the Compensation Commissioner. Persons without employees must submit a letter indicating this.

d) Accept that the employer will not compensate the tenderer for any costs incurred in the preparation

and submission of a tender offer.

e) Not make any alterations or additions to the tender documents, except to comply with instructions issued by the employer, or if necessary to correct errors made by the tenderer. All signatories to the tender offer shall initial all such alterations. Erasures and the use of masking fluid are prohibited.

f) Any unauthorized alterations to the Bill of Quantities will lead to the tender being rejected.

g) Accept that tender offers, which do not provide all the data or information requested completely and

in the form required, may be regarded by the employer as non-responsive.

h) Payment shall be determined from the tendered rates in the Bill of Quantities, and shall be deemed

to be full compensation for the work as specified, including setting up the audits and checks, running the programme, quality control, overheads, profit, insurance, risk, and incidental costs incurred for the successful completion of the work.

i) Accept that a non-responsive tender offer may not be subsequently made responsive by correction

or withdrawal of the non-conforming deviation or reservation. This particularly applies to the submission of Tax Compliance Status certificate (TCS) PIN and Letters of Good Standing.

j) Evaluation will be done in terms of the Preferential Procurement Policy Framework Act (Act 5 of

2000), and its regulations as set out in Government Gazette 34350 of 8 June 2011 and the Departments Supply Chain Management Policy. Points will be awarded on an 80 for Price and 20 for B-BBEE status.

k) The Bidder must return the whole of this document, correctly completed. Should the Tenderer wish to submit different figures or any other changes to the Bills of Quantities or other item in this document, they must submit these as a separate document and refer to it on the form for Alterations and Qualifications.

3. SCOPE OF CONSTRUCTION WORK

Minor refurbishment work to the ECDRA offices in Mthatha including: a) EXTENT OF THE WORKS

Minor refurbishment work to ECRDA OFFICES, MTHATHA.

b) BUILDINGS OCCUPIED

Offices will be occupied, contractor to demarcate areas where they are working

c) ACCESS The offices are situated in Mthatha, 52 Corner Nelson Mandela & Spring Street.

4. EVALUATION OF TENDERS a) First Stage in Evaluation: Compliance with Tender Rules and other Requirements

The Technical Proposals will be checked to ensure that they comply with the Tender Rules and all other requirements of the project document. In particular, the following documentation must be completed and/or included with the Tender:

Copy of completed Invitation to Bid

Certificate of Authority for Signature

Original, valid and certified, Tenderer’s B-BBEE status level verification certificate/SWORN Affidavit.

Valid Tax Compliance Status certificate (TCS) PIN with SARS

Letter of good standing with the Compensation Commissioner or FEM as applicable. In the case of a firm with no employees, a letter confirming this must be attached

A copy of the tenderer’s Insurance

Addenda issued during the tender period

The pricing schedule or Bills of Quantities.

CV’s of all staff to be involved in the project and the tasks they will be undertaking

Completed Project Reference Forms

Failure to provide valid certificates of good standing with SARS and the Compensation Commissioner with the tender will render the tender invalid.

All information supporting the above forms such as details of ownership, relevant experience, CV’s of staff who will be used on the project and their functions in regard to the contract must be supplied. It should be noted that only staff with acceptable experience in Building and Civil construction as well as Occupational Health and Safety exposure under these conditions will be acceptable.

FORM B: RELEVANT EXPERIENCE The Tenderer shall provide A LIST OF RECENT MAJOR BUILT ENVIRONMENT PROJECTS in which the Tenderer has been involved in. Tenderers need only provide details of projects of a similar size and nature carried out in the past 3 years. It is essential that full details of the projects and of the Employer / Engineer/ Principal Agent references be provided in order for the projects to be evaluated. Failure to provide the necessary information will compromise the Tender.

Details of changes made to the provisions of JBCC standard documentation Clause COMMENCEMENT DATE – means the date that the possession of the site is given to the contractor CONSTRUCTION GUARANTEE – means a guarantee at call obtained by the contractor from an institution approved by the employer in terms of the employer’s construction guarantee form as selected in the schedule. CONSTRUCTION PERIOD – means the period commencing on the commencement date and ending on the date of practical completion CORRUPT PRACTICE – means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the procurement process or in contract execution. FRAUDULENT PRACTICE – means a misrepresentation of facts in order to influence a procurement process or the execution of a contract to the detriment of any Bidder, and includes collusive practice among Bidders (prior to and after the Bid submission) designed to establish Bid prices at artificial non-competitive levels and to deprive the Bidder of the benefits of free and open competition. INTEREST – the interest rates applicable on this contract, whether specifically indicated in the relevant clauses or not, will be in terms of the legislation of the Republic of South Africa, and in particular: (a) in respect of interest owed by the employer, the interest rate as determined by

a) Without in any way limiting the contractor’s obligations in terms of the contract, the contractor shall bear the full risk of damage to and/or destruction of the works by whatever cause during construction of the works and hereby indemnifies and holds harmless the employer against any such damage. The contractor shall take such precautions and security measures and other steps for the protection and security of the works as the contractor may deem necessary

b) The contractor shall at all times proceed immediately to remove or dispose

of any debris arising from damage to or destruction of the works and to build, restore, replace and/or repair the works

c) The employer shall carry the risk of damage to or destruction of the works

and materials paid for by the employer that is the result of the excepted risks as set out in 10.6

d) Where the employer bears the risk in terms of this contract, the contractor

shall, if requested to do so, reinstate any damage or destroyed portions of the works and the costs of such reinstatement shall be measured and valued in terms of 32.0 hereof

10.6 Add the following as 10.6 Injury to Persons or loss of or damage to Properties

a) The contractor shall be liable for and hereby indemnifies the employer against any liability, loss, claim or proceeding whether arising in common law or by statute, consequent upon personal injuries to or the death of any person whomsoever arising out of or in the course of or caused by the execution of the works unless due to any act or neglect of any person for whose actions the employer is legally liable

b) The contractor shall be liable for and hereby indemnifies the employer

against any liability, loss, claim or proceeding consequent upon loss of or damage to any moveable, or immovable or personal property or property contiguous to the site, whether belonging to or under the control of the employer or any other body or person, arising out of or in the course of or by reason of the execution of the works unless due to any act or neglect of any person for whose actions the employer is legally liable

c) The contractor shall upon receiving a contract instruction from the principal

agent cause the same to be made good in a perfect and workmanlike manner at his own cost and in default thereof the employer shall be entitled to cause it to be made good and to recover the cost thereof from the contractor or to deduct the same from amounts due to the contractor.

d) The contractor shall be responsible for the protection and safety of such

portions of the premises placed under his control by the employer for the purpose of executing the works until the issue of the certificate of practical completion.

e) Where the execution of the works involves the risk of removal of or interference with support to adjoining properties including land or structures or any structures to be altered or added to, the contractor, shall and will remain adequately insured or insured against the death of or injury to persons or damage to such property consequent on such removal or interference with the support until such portion of the works has been completed

f) The contractor shall at all times proceed immediately at his own cost to

remove or dispose of any debris and to rebuild, restore, replace and/or repair such property and to execute the works

10.7 Add the following as 10.7 HIGH RISK INSURANCE In the event of the project being executed in a geological area classified as a “High Risk Area”, that is an area which is subject to highly unstable subsurface conditions that might result in catastrophic ground movement evident by sinkhole or doline formation the following will apply: 10.7.1 Damage to the works The contractor shall, from the commencement date of the works until the date of the certificate of practical completion, bear the full risk of and hereby indemnifies and holds harmless the employer against any damage to and/or destruction of the

works consequent upon a catastrophic ground movement as mentioned above. The contractor shall take such precautions and security measures and other steps for the protection of the works as he may deem necessary When so instructed to do so by the principal agent, the contractor shall proceed immediately to remove and/or dispose of any debris arising from damage to or destruction of the works and to rebuild, restore, replace and/or repair the works, at the contractor’s own costs 10.7.2 Injury to persons or loss of or damage to property The contractor shall be liable for and hereby indemnifies and holds harmless the employer against any liability, loss, claim or proceeding arising at any time during the period of the contract whether arising in common law or by statute, consequent upon personal injuries to or the death of any person whomsoever resulting from, arising out of or caused by a catastrophic ground movement as mentioned above The contractor shall be liable for and hereby indemnifies the employer against any and all liability, loss, claim or proceeding consequent upon loss of or damage to any moveable, or immovable or personal property or property contiguous to the site, whether belonging to or under the control of the employer or any other body or person whomsoever arising out of or caused by a catastrophic ground movement, as mentioned above, which occurred during the period of the contract 10.7.3 It is the responsibility of the contractor to ensure that he has adequate insurance to cover his risk and liability as mentioned in 10.7.1 and 10.7.2. Without limiting the contractor’s obligations in terms of the contract, the contractor shall, within twenty one (21) calendar days of the commencement date but before commencement of the works, submit to the employer proof of such insurance policy, if requested to do so 10.7.4 The employer shall be entitled to recover any and all losses and/or damages of whatever nature suffered or incurred consequent upon the contractor’s default of his obligations as set out in 10.7.1; 10.7.2 and 10.7.3. Such losses or damages may be recovered from the contractor or by deducting the same from any amounts still due under this contract or under any other contract presently or hereafter existing between the employer and the contractor and for this purpose all these contracts shall be considered one indivisible whole 14.0 Replace the entire clause 14.0 with the following: 14.0 SECURITY 14.1 In respect of contracts with a contract sum up to R1 million, the security to be submitted by the contractor to the employer will be as a payment reduction of five per cent (5%) of the value certified in the payment certificate (excluding VAT) 14.1.1 The payment reduction of the value certified in a payment certificate shall be mutatis mutandi in terms of 31.8(A) 14.1.2 The employer shall be entitled to recover expense and loss from the payment reduction in terms of 33.0 provided that the employer complies with the provisions of 33.4 in which event the employer’s entitlement shall take precedence over his obligations to refund the payment reduction security or portions thereof to the contractor 14.2 In respect of contracts with a contract sum above R1 million, the contractor

1.2 The value of this bid is estimated to not exceed R1 000 000 (all applicable taxes included) and

2.2 “B-BBEE” means broad-based black economic empowerment as defined in section 1 of the Broad-Based Black Economic Empowerment Act;

2.3 “B-BBEE status level of contributor” means the B-BBEE status received by a measured entity based on its overall performance using the relevant scorecard contained in the Codes of Good Practice on Black Economic Empowerment, issued in terms of section 9(1) of the Broad-Based Black Economic Empowerment Act;

2.4 “bid” means a written offer in a prescribed or stipulated form in response to an invitation by an

organ of state for the provision of services, works or goods, through price quotations, advertised competitive bidding processes or proposals;

2.5 “Broad-Based Black Economic Empowerment Act” means the Broad-Based Black Economic

Empowerment Act, 2003 (Act No. 53 of 2003); 2.6 “comparative price” means the price after the factors of a non-firm price and all unconditional

discounts that can be utilized have been taken into consideration; 2.7 “consortium or joint venture” means an association of persons for the purpose of combining

their expertise, property, capital, efforts, skill and knowledge in an activity for the execution of a contract;

2.8 “contract” means the agreement that results from the acceptance of a bid by an organ of state; 2.9 “EME” means any enterprise with an annual total revenue of R10 million or less; 2.10 “Firm price” means the price that is only subject to adjustments in accordance with the actual

increase or decrease resulting from the change, imposition, or abolition of customs or excise duty and any other duty, levy, or tax, which, in terms of the law or regulation, is binding on the contractor and demonstrably has an influence on the price of any supplies, or the rendering costs of any service, for the execution of the contract;

2.11 “functionality” means the measurement according to predetermined norms, as set out in the bid

documents, of a service or commodity that is designed to be practical and useful, working or operating, taking into account, among other factors, the quality, reliability, viability and durability of a service and the technical capacity and ability of a bidder;

2.12 “non-firm prices” means all prices other than “firm” prices; 2.13 “person” includes a juristic person;

2.14 “rand value” means the total estimated value of a contract in South African currency, calculated

at the time of bid invitations, and includes all applicable taxes and excise duties; 2.15 “sub-contract” means the primary contractor’s assigning, leasing, making out work to, or

employing, another person to support such primary contractor in the execution of part of a project in terms of the contract;

2.16 “total revenue” bears the same meaning assigned to this expression in the Codes of Good

Practice on Black Economic Empowerment, issued in terms of section 9(1) of the Broad-Based Black Economic Empowerment Act and promulgated in the Government Gazette on 9 February 2007;

2.17 “trust” means the arrangement through which the property of one person is made over or

bequeathed to a trustee to administer such property for the benefit of another person; and 2.18 “trustee” means any person, including the founder of a trust, to whom property is bequeathed in

order for such property to be administered for the benefit of another person. 3. ADJUDICATION USING A POINT SYSTEM 3.1 The bidder obtaining the highest number of total points will be awarded the contract.

3.2 Preference points shall be calculated after prices have been brought to a comparative basis taking into account all factors of non-firm prices and all unconditional discounts.

3.3 Points scored must be rounded off to the nearest 2 decimal places. 3.4 In the event that two or more bids have scored equal total points, the successful bid must be the

one scoring the highest number of preference points for B-BBEE. 3.5 However, when functionality is part of the evaluation process and two or more bids have scored

equal points including equal preference points for B-BBEE, the successful bid must be the one scoring the highest score for functionality.

3.6 Should two or more bids be equal in all respects, the award shall be decided by the drawing of

5.2 Bidders who qualify as EMEs in terms of the B-BBEE Act must submit a certificate issued by an

Accounting Officer as contemplated in the CCA or a Verification Agency accredited by SANAS or a

Registered Auditor. Registered auditors do not need to meet the prerequisite for IRBA’s approval for the purpose of conducting verification and issuing EMEs with B-BBEE Status Level Certificates.

5.3 Bidders other than EMEs must submit their original and valid B-BBEE status level verification

certificate or a certified copy thereof, substantiating their B-BBEE rating issued by a Registered Auditor approved by IRBA or a Verification Agency accredited by SANAS.

5.4 A trust, consortium or joint venture, will qualify for points for their B-BBEE status level as a legal

entity, provided that the entity submits their B-BBEE status level certificate. 5.5 A trust, consortium or joint venture will qualify for points for their B-BBEE status level as an

unincorporated entity, provided that the entity submits their consolidated B-BBEE scorecard as if they were a group structure and that such a consolidated B-BBEE scorecard is prepared for every separate bid.

5.6 Tertiary institutions and public entities will be required to submit their B-BBEE status level certificates

in terms of the specialized scorecard contained in the B-BBEE Codes of Good Practice. 5.7 A person will not be awarded points for B-BBEE status level if it is indicated in the bid documents

that such a bidder intends sub-contracting more than 25% of the value of the contract to any other enterprise that does not qualify for at least the points that such a bidder qualifies for, unless the intended sub-contractor is an EME that has the capability and ability to execute the sub-contract.

5.8 A person awarded a contract may not sub-contract more than 25% of the value of the contract to any

other enterprise that does not have an equal or higher B-BBEE status level than the person concerned, unless the contract is sub-contracted to an EME that has the capability and ability to execute the sub-contract.

CERTIFICATE OF INDEPENDENT BID DETERMINATION

1 This Standard Bidding Document (SBD) must form part of all bids¹ invited. 2 Section 4 (1) (b) (iii) of the Competition Act No. 89 of 1998, as amended, prohibits an agreement

between, or concerted practice by, firms, or a decision by an association of firms, if it is between parties in a horizontal relationship and if it involves collusive bidding (or bid rigging).² Collusive bidding is a pe se prohibition meaning that it cannot be justified under any grounds.

1 C11.0 OCCUPATIONAL HEALTH AND SAFETY ACT

The contractor shall comply with all the requirements set out inthe Construction Regulations, 2003 issued under theOccupational Health and Safety Act, 1993 (Act No 85 of 1993)

It is required of the contractor to thoroughly study the Healthand Safety Specification that must be read together with and isdeemed to be incorporated under this Section of the bills ofquantities / lump sum document
