SECTION1:EXECUTIVESUMMARYTheTucker-NorthlakeCommunityImprovementDistrict(CID)isapublic-privatepartnershipthatstrivestoprovideaclean,attractiveandsafecommunityforallwholive,workandplayintheTucker-Northlakearea.ThevisualappearanceoftheCIDiscriticaltoattractingnewbusinessestothedistrictaswellasretainingexistingbusinesses.WeinvitequalifiedfirmstosubmitwrittenproposalsforLandscapeServices(MainStreetandMedians),asdescribedinSectionThreeofthisRequestforProposals.ThisRFPincludesbidder’sinstructionsandadetailedscopeofwork.RFPGOALSThepurposeofthisprojectistoprocuretheservicesofacontractorthatwillprovidesuperiorserviceandworkmanshipinaccomplishingthetasksoutlinedinthisRequestforProposals.TheRFPseekstoidentifytheContractor’scapabilities,approachesandtoolsinordertoprovideasolutionfortheTucker-NorthlakeCID(the“CID”)needs,aswellastosolicitacostforthoseservices.ResponsestotheRFPwillprovideuswiththeappropriatelevelofinformationtomakeaninformeddecision.

SECTION2:RFPSUBMITTALSUBMITTALITEMS
SubmittalsmustincludethefollowingitemstobeconsideredcompleteandresponsivetothisRequestforProposals:
1. TitlepageidentifyingtheRFPtitleandnumber,contactinformationoftheprojectmanager/keycontact,address,telephonenumber,faxnumber,emailaddressanddateofsubmission.
2. Onetotwopagecoverlettersummarizingtheconsultant’sinterestandunderstandingoftheprojectandservicestobeperformed.
3. DetailedExecutiveSummarydescribingthebackgroundofthefirm,namesandresumés(includinganemailaddress)oftheprojectmanager/keycontact(ifdifferent)andkeystaffmemberswhowillworkontheprojectandgeneralsuitabilityofthefirmtoperformthiswork.
4. Qualificationsofthefirminperformingthistypeofwork.Thisshouldincludeexamples
ofrelatedexperienceandreferencesforsimilarprojects.Contractormustdemonstratesuccessfulpastperformanceofthefirm’sabilitytoprovideservicesassetforthinthisspecification.Contractorsmustdetailthree(3)referencestodocumentexperience.Referencesmustbeprovided.
5. Proposersshouldidentifyanysubcontractorswhowillprovideservices,their
experience,andtheirindividualqualifications.
6. Astatementofprojectunderstandingandapproachthataddresseshowtheconsultantwillaccomplishtheidentifiedscopeofwork.ProposersshoulddemonstrateageneralunderstandingoftheprojectscopeexpectedbytheCIDinprovidingroadsidemowingandrelatedmaintenanceservices.Aspartofthisunderstanding,Proposer’sshouldaddresstheiravailabilitytomeettheCID’sneeds.
7. CostStructure:TheAttachedLandscapeMaintenancePricingSheet(AppendixD)shall
beutilizedforthesubmittal.

EVALUATIONCRITERIA
Theselectionwillbebasedonthequalificationsoftheconsultanttocompletethescopeofworkontime,withinbudget,andcompletingalltasks.ItistheCID’sintenttoselectdirectlyfrominformationgainedfromthesubmittalreview.TheCIDreservestherighttocallreferencesprovidedinthesubmittalandtorequirephoneorpersonalinterviewswithfirmsrequiringadditionalevaluation.Thefollowingcriteriawillbeusedfortheevaluation:
1.Qualificationsofthefirmtoperformtherequiredservices,thekeypersonneltobeassignedtoperformtheservicesand,theresults-orientedtrackrecordofthefirm.
2.Priorexperienceofthefirmincompletingworkofthisorsimilarnature.

3.Thefirm’sunderstandingoftheTucker-NorthlakeCID’sprofessionalserviceneedsandtheabilitytomeetthebusinessandoperationalrequirementsoftheCIDinacosteffectiveandtimelymanner.
4.Theoverallstructure,content,andqualityoftheproposalandtheproposedapproachtomeetingtheCID’sneeds.
TheExecutiveDirectorwillhavetheflexibilitytomodifytheprojectscope.Tucker-NorthlakeCIDreservestherighttorejectany/allproposalsreceivedoranypartthereofandalsomayacceptaproposalforalloraportionoftheworkproposed.

1. CID/ContractorResponsibilities&MaintenanceGuidelines1.1 Thelandscapingcontractorshallberecognizedasanexperthaving
uniquemethodsofmaintenance,whichhavebeenprovenbyexperience.Itwillbehis/herresponsibilitytokeeptheLandscapeinafreshlymowed,edgedandtrimmedappearanceatalltimes,andwithintheCID’sbudget.THECONTRACTORISREQUIREDTOHAVEASTATELICENSEDCOMMERCIALPESTICIDEAPPLICATORONSTAFF.
1.2 Tocontrolandpreventproblemswithplantinsectsanddiseases,usegoodhorticulturalpractices.Healthy,wellcaredforplantsaremuchlesslikelytohavetheseproblems.

1.3 Pruneandremoveanydamagedordeadbranchingpromptlyasthiscanattractahostofdiseasesandinsectproblems.
1.4 Maintenancepersonnelshouldbetrainedintheproperuseofallequipment.Pruningtoolsandotherequipmentshouldbekeptcleantopreventtransmissionofpathogensorinsectstouninfectedplants.Maintenancepersonnelshouldbeinstructedtolookforproblemsduringtheworkdayandreportanyirregularitiesinthelandscape.
1.5 CIDreservestherighttoprohibitpoorlymaintainedequipmentfrombeingusedinconnectionwiththeservicesdescribedherein.Contractorshouldnotpermitanyequipmentonsitewithleakingfluidsofanytype(oil,radiator,transmission,brake,etc.)
2. Inspections,Observations&Reports
2.1 MONTHLYOBSERVATIONREPORT:Contractorshouldprovideamonthlyinspectionreportpriortoperforminganylandscapeworkateachservicevisit.Inspectionreportshouldnotedeadplantmaterial,diseasedplantings,strugglingturf,strugglingordeadtrees,stormdamage,vandalism,conditionofseasonalflowers,etc.
2.2 MONTHLYSERVICEREPORT:Contractorshouldprovideaservicereport
independentoftheabovedetailingworkperformedduringtheweek,(i.e.turfmowing,fertilization,pruning,edging,plantinstallations,etc.)
2.3 QUARTERLYINSPECTION:ContractorshouldcoordinatemeetingwithProjectManagertodrivethelandscapingareasasaqualitycontrolinspection.Contractorshoulddocumentobservationsmadeand/oractionitemstocorrectandprovideacopytotheCID.Correctionofactionitemsshouldbeidentifiedinquarterlyinspectionreport.
3. Safety
3.1 AllmaterialsandperformanceofworkshouldmeetallcurrentFederal
HealthandSafetyLaws,includingbutnotlimitedtoOSHArequirements.MaterialSafetyDataSheetsofallsuppliesandchemicalsusedshouldbe

posted.TheContractorshouldsatisfytheGeorgiaDepartmentofTransportation's(GDOT)"WorkZone"safetyandsignagerequirements.
3.2 Contractorwillberequiredtosupplyandwearvestswhichshouldinclude
thelettering"Tucker-NorthlakeCID"onthebackwhenperformingworkfortheCID.ContractoracknowledgesthatnosanitaryfacilitiesareprovidedbytheTNCIDintheWorkAreaandContractoragreestomakeprovisionsforsametoitsemployees.
4. TurfGrassAreas
4.1 Mowingfrequencyshouldcoincidewiththeschedule(AppendixC).Allturfshouldbemowedatleastonceperweekduringpeakgrowingperiodsaswithinthebudget.Mowingshouldbeperformedfrequentlyenoughsuchthatnomorethan1/3ofthegrassleafisremovedpercutting.Duringthewintermonths,mowingshouldbedoneonanasneededbasis.
4.2 CommencementandContinuationofServices:mowingoperations
shouldcommenceaccordingtoschedule(AppendixC),soilconditionspermitting.
4.3 TRASH/DEBRIS:Contractorshouldremovealltrashanddebrisfromall
landscapeareasincludingturfareasandallplantersandislandspriortocommencementofmowingoperationsandfollowingmowingoperationswhenneworremainingtrash/debrisispresent.
4.4 Fortireremoval,thesubmittedlumpsumbidistoincludeatotaloffive
(5)tirespermonth.Thedisposalcostforthefivetirespermontharealsotobeincludedinthelumpsumbid.Ifgreaterthanfivetirespermonthifnecessary,thecostfortheremoval,includingdisposalcosts,shouldbenegotiatedbetweentheExecutiveDirectoroftheTNCIDandtheselectedcontractor.
4.5 MOWING:Grassshouldbemowedduringthegrowingseasontoensureheightismaintainedat2”–3”forbroadleaf(redfescue,bluegrass,rye,etc.)and1.5”–2.5”forBermudagrass.Allareasadjacenttohardscape,pavedareas,landscapebeds,andtreeringsshouldbemechanicallyedgetrimmeduponcompletionofmowingoperations1xevery4weeks.ReferenceAppendixCforquantities.

4.6 Mowershouldhaveamulchingbladewithnosidedischarge.Contractorisresponsibleforthecleanupandremovalofalldebris.
4.7 EDGING:Inthisoperation,alllawnareasshouldbekeptneatlyedgedandallgrassinvasionseliminatedfrombedareasandtreecollars.Edgingshouldbedoneinconjunctionwithmowing.Useedgertocutbedsunderhedgesorundertreeswithlowbranchinghabitsandcurblines.Keepallbedareassharplyedgedandrestraingroundcoversfromgrowingintoturfareas.Turfadjacenttowalks,curbsandnon-curbeddrivelanesshouldbeedgedinaquantityidentifiedinAppendixC.
5. Pesticides,Herbicides&Fungicides
5.1 Athoroughinspectionofallplantingsandlawnareasshouldbe
performedateachvisitbythemaintenancesupervisortodetectanyfungiorinsectinfestations.Allinfestationsshouldbeimmediatelytreatedwithinsecticidesorfungicidesasnecessarytoprovideeffectivecontrol.
5.2 Supervisorypersonnelshouldbeknowledgeableandwelltrainedand
abletodetectinfestations.Personnelshouldfollowmanufacturer’sinstructionsforallpesticideandfungicideapplicationsandcarryanynecessaryqualificationsorlicenserequiredbylaw.Allchemicalsshouldbeusedinstrictaccordancewiththefederal,stateandcountydirectivesonenvironmentalcontrolandcarryanEPAapprovalnumber.
5.3 Pestcontrolisdoneonan“asneeded”andpreventivebasis.Maintenancepersonnelshouldbeabletorecognizeplantmaterialdeclineduetodiseaseorinsectinfestationandcontrolthepestbeforeitbecomesamajorproblem.Antsareconsidereda“pest”andshouldbetreatedaccordinglytopreventinfestation.
5.4 Licenses/PermitsandCompliance:Contractorshouldobtainand
maintainallnecessarypermitsandlicensesrequiredfortheservices.Contractorshallcomplywithallapplicablecodes,ordinances,rules,regulationsandlawsgoverningtheservicesrequiredtobeperformed.

6. FertilizationandWeedControl–Turf6.1 Allturf/grassareasshouldbefertilizedinaccordancewithacceptedturf
grassmanagementpracticesforthespecies,toensurethegrassismaintainedinahealthyandthrivingcondition.Preferredfertilizationmethodisslowreleasegranularatarateof6poundscompletefertilizerper1,000squarefeet.
6.2 PRE-EMERGENT:Contractorshouldapplypre-emergentherbicidetoturf
grassareasatappropriateintervalsatsuchseasonaltimesasmayberequiredtoensurethattheareasarefreeofbroadleafandannualgrassyweeds.ReferenceAppendixCforquantities.
6.3 NUTRIENTS:Contractorshouldprovideamaximumoftwo(2)
applicationsoffertilizertofeedtheturfbetweenpreandpostemergentapplications,refertobidformforfrequencyandreferenceAppendixCforquantities.
6.4 POSTEMERGENT:Contractorshouldapplypost-emergentherbicideto
turfgrassareasatsuchseasonaltimesasmayberequiredtoensurethattheareasarefreeofbroadleafandannualweeds.ReferenceAppendixCforquantities.
6.5 Contractorshouldwaterallfertilizedareasfollowingtheapplicationbyanymeansnecessary(includinghandwateringifnecessary)exceptwhenusingaproductrequiringadryperiodpostapplication.

7. Fertilization–LandscapePlantMaterials
7.1 Allplantmaterial(includingbutnotlimitedtoshrubs,plantbeds,flower
bedsandgroundcover)shouldbefertilizedatappropriateintervalsthroughoutthegrowingseasonasmayberequiredtoensurehealthyandthrivingcondition.
7.2 SHRUB&GROUNDCOVER:Inshrubandgroundcoverbeds,fertilizershouldbeapplied2timesperyear,SpringFeeding(April/May),)andFallFeeding(September).Applyfertilizerattherateof1poundcompletefertilizerper100squarefeet,(whenhandbroadcasting,evenlyapply¼cupfertilizerbeneatheachplant).
8. Fertilization–AnnualFlowers
8.1 ANNUALS(allseasonalflowers):Annuals(plantingpotsandbeds)should
befertilizedusingappropriatewatersolublefertilizerappropriateforthespeciesbeingfed.Contractortoverifysquarefootageofplantingpotsandcumulativesquarefootageofflowerbeds.Servicedurationappliestorelevantseasonalannualplanting.
8.2 Flowerbeds&plantersshouldbemonitoredforweedcontrolandpestsateachservicevisit.
9. WeedAbatement
9.1 BEDS&PLANTERS:Contractorshouldensurethatalllandscapebeds,plantingpots,treerings&gravelbedareaswithmulchand/orgroundcoverarekeptinaweedfreeconditionatalltimesbyhand-pullingweedsduringweeklymaintenanceoperations.Contractortoverifysquarefootageoftheabove.Activityoccursateachservicevisit.

9.2 Contractorshouldkeeppropertyfreeofundesirableinvasiveexotics.Contractorshouldtreatallweedgrowthfromcracksandjointsinflatsurfaces(i.e.curbs,sidewalks&medians)withanapprovedherbicide.Useofnon-selectivesterilantsisprohibited.
9.3 Contractorshouldapplypre-emergentherbicideinalllandscapeareasattimes,conditionsandratesrecommendedbymanufacturer.
9.4 PAVEMENT:Contractorshouldtreatallweedgrowthfromcracksandjointsinflatsurfaces(i.e.,curbs,sidewalksandmedians)asnotedinprovision9.3above,duringmaintenanceoperations.Activityoccursateachmaintenancevisitforthedurationswhenareasaresusceptibletoweedgrowth.
10. PlantManagement
10.1 SEASONALCOLOR:Bedsshouldbepreparedannuallypriortoinstallation.Contractortoverifysquarefootageofplantingpotsandcumulativesquarefootageofflowerbedstakingdensityintoaccountasnotedbelow.
10.2 Replacementofannualplantsmustbedeterminedbyseasonalchanges,theconditionofthepreviousplantingsandaswithinthebudget.Annualsplantedinthespringshouldbeinstalledafterthethreatofthelastfreezehaspassed.FallannualsshouldbeplantedaccordingtoAppendixC.Contractormustobtainconsentofplantselectionpriortoplantreplacement.
10.3 Contractorshouldprunedeadblossomsfromseasonalrotations(beds
andplanters)onaweeklybasis.
10.4 Contractorwillberesponsibleforwateringasneededtoensurevigorousplantsurvivalofseasonalannuals.
10.5 Shouldanyseasonalannualsdie,failtosurvive,orotherwisebefoundto
bedefective,damaged,flawedornon-conformingbytheCID,suchplantingsshallbereplacedbytheContractoratnoadditionalcosttotheCIDwithinseven(7)businessdays.

11. TrimmingandPruning
11.1 GeneralCare:Ateachservicevisit,removedeadlimbsandbranchesfromtrees,shrubsandgroundcoverspromptlyasthesecanattractpestsanddiseases.Nopruningshouldbeperformedthatalterstheshape,heightandfullnesswithrespecttotheintendedcharacteroftheplantings.
11.2 TREEPRUNING:Removeallsuckergrowthregularlyduringservicevisits
tomaintainaneatappearance.Removeanylimbsthatmayinterferewithnormalpedestriantrafficasnotedonmonthlyinspectionreport.Cutsshouldbemadeclosetothetrunkormajorbranch;stubsareunsightlyandmayattractpestsanddiseases.Majorpruningshouldtakeplaceonceperyearinthespring(April/March)orasneededtomaintainplanthealthandappearance.Alltreesandevergreens(upto8”intrunkdiameter)shouldbepruneduptoaheightof12feettoremovedeadordamagedbranchesinamannerthatpromotesbloomingandsupportsthenaturalshapeofthetree.Pruningfortreesrequiringabuckettruckisnotincludedinscope.Majorpruningoccursonceperyear.
11.3 SHRUBPRUNING:Pruneshrubstotheirnaturalhabitatandgrowthperiodically.Usehandclipperstoremoveoddorlongundesirablebranches,keepingtheshapenaturalanduniform.Removebranchingwhichmayinterferewithnormalpedestrian/vehiculartraffic.Onornamentalclumpgrasses,prunedeadleavesatbase.ReferenceAppendixCforquantities.
11.4 GROUNDCOVERPRUNING:Prunegroundcoverstotheirnaturalhabitatandgrowthperiodically.Usehandclipperstoremoveoddorlongundesirablebranches,keepingtheshapenaturalanduniform.Groundcovershouldbemaintained4to6inchesoffedges,andshouldbeshearedortrimmedbackannuallyinaccordancewiththerecommendedhorticulturalpractices.RefertoAppendixCforquantities.
12. CleanUp
12.1 SPRINGCLEANUP:Operationsshouldincluderemovalofalldebris,refuseandsandthathasaccumulatedthroughoutalllandscapeareas

includingturfareasandallplantersandmediansoverthewinter.ReferenceAppendixCforquantity.
12.2 WEEKLYCLEANUP:Includesblowdownofhardscapeareas,sidewalks,plantingbeds,shrubbeds,andlawnareas,pickingup&removaloftrash,debris,leaves,branches,illegalsigns,etc.ReferenceAppendixCforquantity.
12.3 FALLCLEANUP:Finalmowingoftheseasonshouldincludeedging,
raking/blowingandbaggingofallleavesandplantdebrisandremovalofsaiddebrisfromthesite.Afterfinalmow,contractorshouldcontinuewithleafandbedcleanupservices,removalanddisposaluntilleaveshavefallenfortheseason.Contractorshouldensurethatthemaximumheightofgrassareasisnotexceeded.
13. Mulch&PineStraw
13.1 General:Mulchisdefinedaswoodmulch,doubleshreddedhardwood,woodchips.Contractorshouldusenon-floatingmulchwherevisuallysimilartoexistingmulch.Treetrimmingmulchshouldnotbeused.Contractorshouldprovideandinstallonlyclean,toxicfreemulch,freeofdiseaseandweedmaterials.Contractorshouldapplymulchtomatchexistingmulchmaterialwithincontractedareas.Pinestrawshouldbeinnaturaltypeandmatchexistingcolor.Colorofmulchand/orpinestrawmustbeapprovedbyProjectManagerpriortoplacingorder.
13.2 Contractorshouldprovideandapplymaterialtoalllandscapebeds,
islands,a24-inchradiusaroundtreebases,andplantersinconformancewithexistingconditions.Depthofmulchmaybe2inches;depthofpinestrawshouldbeinconformancewithindustrystandards.PinestrawquantityishereinillustratedinAppendixC.Pinestrawapplicationsshouldbecollaredandtuckedatcurblines.

SECTION4:SPECIFICINSTRUCTIONSThissectionprovidesguidelinesanddetailedinstructionstoanswerquestionsandbidonallservicesdescribedinthisRFP.Allinstructionsbelowshouldbestrictlyfollowedunlessotherwisestated.ContractTypeTheContractorselectedbytheTucker-NorthlakeCIDwillberequiredtoexecuteoneagreement.Thecontracttermsandconditions,asoutlinedherein,arenon-negotiable.SubmissionofaproposalsignifiesRespondent’sagreementtotheseterms.ItiscurrentlyanticipatedthattheServiceAgreementwillbeafixedpricecontractforaperiodofthreetwelve-monthterms,renewingannuallyautomatically.InthecaseofaFixedPricecontract,therewillbenofinaladjustmenttoactualexpensesincurredbyContractortoperformthedutiesdetailedinthisRFP.ThePropertyrequiresthatalldutiescalledforintheRFPbecarriedoutinafirstclassmanner.RFPTermsandConditionsRespondentAcceptanceofRFPBysubmittingaproposal,theRespondentsignifiesacceptanceofthetermsandconditionsofthisRFP.Further,Contractorunderstandsthatthisisnotanofferforacontract.Acceptance/RejectionProcessTheTucker-NorthlakeCIDreservestherighttomakeanawardwithoutfurtherdiscussionoftheproposalssubmitted.Subsequenttothereceiptoftheproposals,andatTheTucker-NorthlakeCID’soption,discussionsmaybescheduledwithindividualrespondentsifitbecomesnecessarytoclarifyelementsoftheirproposal.EachRespondentshallbepreparedtoelaborateuponandclarifyitswrittenproposal.AmendmentandWithdrawalTheTucker-NorthlakeCIDreservestherighttoamendthisRFPpriortotheduedateoftheProposal.IfitbecomesnecessarytoamendanypartofthisRFP,anaddendumwillbepostedtotheCIDwebsite.ConfidentialityInformationusedhereinshallmeanboth(i)writteninformationreceivedfromtheotherpartywhichismarkedoridentifiedasconfidential,and(ii)oralorvisualinformationidentifiedasconfidentialatthetimeofdisclosurewhichissummarizedinwritingandprovidedtotheotherpartyinsuchwrittenformpromptlyaftersuchoralorvisualdisclosure.

Eachpartymayuseinformationreceivedfromtheotherpartyhereunder,andmayprovidesuchinformationtoitsparentcorporations,ifapplicable,andtheirrespectiveemployeesfortheiruseonlyinconnectionwiththeevaluationandexecutionofthisRFP.Eachpartyagreesthat,foraperiodoftwo(2)yearsfromreceiptofinformation,suchpartyshallusethesamemeansitusestoprotectitsownconfidentialandproprietaryinformation,butinanyeventnotlessthanreasonablemeans,topreventthedisclosureandtoprotecttheconfidentialityoftheinformationreceived.Theforegoingshallnotpreventeitherpartyfromdisclosinginformationwhichbelongstosuchpartyoris(i)alreadyknownbytherecipientpartywithoutanobligationofconfidentiality,(ii)publiclyknownorbecomespubliclyknownthroughnounauthorizedactoftherecipientparty,(iii)rightfullyreceivedfromathirdpartywithoutobligationofconfidentiality,(iv)independentlydevelopedbytherecipientpartywithouttheuseoftheotherparty’sinformation,(v)disclosedwithoutsimilarrestrictionstoathirdpartybythepartyowningtheinformation,(vi)approvedbytheotherpartyfordisclosure,or(vii)requiredtobedisclosedpursuanttoarequirementofagovernmentalagencyorlawsolongasthedisclosingpartyprovidestheotherpartywithnoticeofsuchrequirementpriortoanysuchdisclosure.CostofProposalPreparationThecostsofdevelopingandsubmittingaProposalareentirelytheresponsibilityoftheBidder.AllproposalswillbecomethepropertyoftheTucker-NorthlakeCID.Inquiries/SubmissionNon-compliancetothetermsandconditionsofthisRFPmayresultintherejectionofaproposal.LawsuitsandLegalActionsTheTucker-NorthlakeCIDrequiresinformationaboutanysignificantorrelevantlawsuits,liens,restrainingorders,consentdecrees,foreclosuresorotherlegal/financialactionseithernoworpending,inprogressorwhichhavebeenbroughtagainstthecompanyoranyofitsofficers/principalsinthepastthreeyears.Sub-ContractingandAssignmentTheRespondentshallnotsub-contractthewholeoranypartoftheContractoranyWorkincludingsubcontractingforlaboronly,withoutthepriorwrittenconsentoftheCID.IfsuchconsentisgivenitshallnotrelievetheRespondentfromanyliabilityorobligationundertheContractortheWorkandtheRespondentshallberesponsibleortheacts,omissions,defaultsornegligenceofanysub-contractor,itsagentoremployeesasfullyasiftheyweretheacts,omissions,defaultsornegligenceoftheRespondent.IfconsentisgrantedbytheTucker-NorthlakeCIDundertheaboveclause,theRespondentshallensurethatallrights,dutiesandobligationsthattheRespondenthasundertheContractorWorkshallbeincludedinanycontractthattheRespondenthaswithanysub-contractor.

TheRespondentshallnotassigntheContractoranyWorkinwholeorpartoranyforanybenefitorinterestthereinwithoutthepriorwrittenconsentoftheTucker-NorthlakeCID.Non-SolicitationUntilthecontractisawarded,Respondentshallnot,directlyorindirectly,solicitanyemployeeoftheTucker-NorthlakeCIDinordertoacceptemploymentwiththeRespondent,itsaffiliates,actualorprospectivesubcontractors,oranypersonactinginconcertwiththeRespondent,withoutpriorwrittenapproval.ThisdoesnotpreventtheemploymentbyaRespondentofanemployeewhohasinitiatedcontactwiththeRespondent.
