Corporate Governance Charter
Op 4 oktober 2007 heeft de Raad van Bestuur van Arseus het Corporate Governance Charter goedgekeurd. Bijgewerkte versies zijn op 24 april 2008, 23 maart 2010, 27 oktober 2010, 6 februari 2012 en 14 mei 2012 door de Raad van Bestuur goedgekeurd.
Arseus is van mening dat ze voldoet aan alle principes en bepalingen uit de Belgische Corporate Governance Code 2009, onder één afwijking
Er werd geen onafhankelijke interne auditfunctie opgericht. Het Auditcomité van Arseus was van mening dat er voor 2012 geen noodzaak bestond om een onafhankelijke interne auditfunctie op te richten.

voor een periode van drie jaar de burgerlijke vennootschap die de vorm heeft aangenomen van een CVBA PricewaterhouseCoopers Bedrijfsrevisoren (B00009), met maatschappelijke zetel te Woluwedal 18, 1932 Sint-Stevens-Woluwe en administratieve zetel te Woodrow Wilsonplein 5G, 9000 Gent, die overeenkomstig artikel 132 van het Wetboek van vennootschappen als vertegenwoordiger aanduidt de burgerlijke vennootschap die de vorm heeft aangenomen van een BVBA Peter Van den Eynde, met zetel te Gentstraat 65C, 9170 Sint-Gillis-Waas, op haar beurt vertegenwoordigd door haar vaste vertegenwoordiger de heer Peter Van den Eynde, bedrijfsrevisor, welke belast wordt met de uitoefening van het mandaat. Het mandaat vervalt na de algemene vergadering van aandeelhouders van 2016.
De vergoeding voor de controle van de NV Arseus (inclusief consolidatie en half-jaar nazicht) werd in onderling overleg bepaald op 84.460 euro. Dit bedrag kan jaarlijks worden aangepast in functie van de evolutie van het indexcijfer van de consumptieprijzen of zoals overeengekomen tussen partijen.

Voorstel van besluit: De algemene vergadering herbenoemt voor een periode van 4 jaar WPEF IV Holding Cooperatief W.A., met kantoren te Nieuwe ’s-Gravenlandseweg 17, 1405 HK Bussum, Nederland, vast vertegenwoordigd door de heer Frank VLAYEN, tot niet-uitvoerend bestuurder. De opdracht van WPEF IV Holding Cooperatief W.A. zal eindigen onmiddellijk na de jaarvergadering van het jaar 2017.

14. Volmacht.
Voorstel tot besluit: Toekennen van een volmacht aan de heer
Johan Verlinden, woonplaats kiezende te Textielstraat 24, 8790 Waregem, en aan mevrouw Inge Stiers, woonplaats kiezende te Tervurenlaan 268a, 1150 Brussel. Ieder van voornoemde personen is bevoegd om individueel te handelen en om de Vennootschap te vertegenwoordigen met betrekking tot het vervullen van de neerleggings- en bekendmakingsverplichtingen vervat in het Wetboek van vennootschappen. Deze volmacht houdt in dat de volmachtdrager alle noodzakelijke en nuttige handelingen kan stellen en alle documenten kan ondertekenen die verband houden met deze neerleggings- en bekendmakingsverplichtingen, met inbegrip van, maar niet beperkt tot, de neerlegging van voornoemde besluitvorming op de bevoegde griffie van de rechtbank van koophandel met het oog op de publicatie ervan in de Bijlagen bij het Belgisch Staatsblad.
