The year ended December2005 was a challenging yearfor the Company. Turnoverincreased by 23%, whileearnings per share rose by11%. The market showeddouble digit growth.However, the rising worldfuel prices resulted inincreased operational andtransportation cost. This,together with unreliable raildistribution contributed toincreased distribution costs,resulting in high cementprices in the market. Theincreased volume did notresult in a correspondingincrease in profit due to thehigher cost incurred.
The commissioning of thecoal mill was completed inDecember 2005 allowingthe Company to switchfrom expensive heavy fueloil to coal thereby reducingproduction costs to morecompetitive levels.
DividendsA dividend of 50% of netprofit after tax is proposedand consequently theBoard has proposed a finaldividend of Tzs 29 per share,which will bring the totalfor the year to Tzs 57 pershare.
ProspectsI expect the current levelsof growth in the market tocontinue in 2006. Thegrowth, however, will beaffected by the shortages ofelectricity and food as aresult of the drought. Onbalance, our expectationsare that profit growth willexceed that of 2005.

The year 2005 was a challenging year forTanga Cement as the price increases ofheavy fuel oil (HFO) in the world oil marketcontinued to impact negatively on boththe Company’s production and distributioncosts.Despite the high fuel and distribution costscombined with the further deterioration ofthe railway transport infrastructure to theLake Zone, Tanga Cement was able toexceed the previous year results andattained record sales and net profit in 2005. During the year, Tanga Cement undertookits ever biggest investment since theCompany’s inception in 1980 with theinstallation of the coal mill. This investmentwill allow the Company to be lessdependent on HFO and use coal which is amore cost effective source of fuel.
Achievements in 2005:• Expanded our market presence within
Tanzania, resulting in a 13% increase ofour sales volumes compared to previousyear.
• Exceeded the previous year’s profit aftertax by 11% with Tzs 7.233 million up fromTzs 6.517 million in 2004.
• Increased the usage of biomass as analternative fuel resource to burn in ourkiln.

The biomass we use is an environmentallyfriendly fuel and includes cashew shells,sunflower cake, and coconut husks.
• Installed and commissioned the new coalmill making it possible to switch fromHFO to coal. This will result in a substantialdecrease of our production costs. Thenewly commissioned coal mill willenhance Tanga Cement’scompetitiveness in an increasinglycompetitive environment.
• Successfully negotiated with the TanzaniaUnion of Industrial and CommercialWorkers (TUICO) on amendments to theSubstantive Agreement for 2006,ensuring continued good and respectfulrelations between management and thepeople who continue to make TangaCement the pride of Tanzania.
Challenges in 2006:The steady reduction of production anddistribution costs continues to be of utmostimportance for Tanga Cement to remaincompetitive. Improvement of the nationalinfrastructure, especially the rail andelectricity infrastructure are basic stepstowards developing industry in Tanzania. Distribution of our cement is complicatedby the poor railway infrastructure.Additionally, the port rehabilitation in

national infrastructure,
especially the rail and
electricity infrastructure
are basic steps towards
developing industry in
Tanzania.
Zanzibar affected the delivery of cement tothe isles. Alternatives have been put inplace to improve delivery of cement to thedifferent markets.Unreliable power supply continue to affectour operations by impacting negatively onour operating costs. Talks with TanzaniaElectricity Supply Company Limited(TANESCO) have been initiated. However,improvements on the power supply remainto be seen. As this problem is likely toremain, Tanga Cement will need to invest inits own power generation facility to ensurecontinuous supply of required electricity forits cement production. The increased usage of biomass asalternative fuel for our kiln is an additionalstep towards reduction of our productioncosts and shows our continuedcommitment to the environment. Thesourcing of the required volumes ofbiomass remains a challenge to beovercome due to collection andtransportation logistics. Plans are on thetable to plant cashew crop in Tanga toreduce the transportation distance and to

ensure enough volume is available to meetboth our current and future needs.
Future Prospects:With the strong growth of construction inTanzania, we expect 2006 to be a strongyear for the Company, which is nowapproaching its currently installedproduction capacity. Optimization projectsare in place to further improve the capacity.Capacity expansions are under way tomeet local cement demand in the future.The conversion from HFO to coal, theimprovement of the distribution networkand the various cost reduction projects willlead to sustainable success for TangaCement and its shareholders.

Vyanzo vya kiasicha biomasi inayotakiwa ni changamotoinayotukabili kutokana na taratibu zakuikusanya na kuisafirisha. Matarajio ya BaadayePamoja na ongezeko kubwa la ujenzi nchiniTanzania, tunatarajia mwaka 2006 uwemwaka mzuri kwa kampuni ambayo sasainakaribia uwezo wake wa uzalishajiuliowekwa. Miradi ya uboreshajiimeanzishwa ili kuimarisha zaidi uwezopamoja na utafiti kwa ajili ya kuongezauwezo ipo kwa ajili ya kukidhi mahitaji yandani ya saruji kwa siku zijazo. Mabadilikokutoka kwenye mafuta ya Fueli kwendaMakaa ya Mawe, kuimarika kwa mtandaowa usambazaji na miradi mbalimbali yakupunguza gharama vitaleta mafanikio yakudumu kwa kiwanda cha Tanga Cementna wanahisa wake.

The Mkapa bridge has been heralded not only as a major engineering achievement but agreat step for national development. This is one of the many engineering marvelsconstructed using Simba Cement.
This bridge was officially inaugurated in August 2003 and has contributed to the wellbeing ofthe people in the southern part of the country. For the past 25 years Simba Cement hasgone into the construction of homes, schools, hospitals, markets, orphanages, roads, etc.

The first Tanga Cement annual general meeting (AGM) heldon the 16 May 2003. Tanga Cement became a publiccompany in 2002 when it got listed on the Dar es SalaamStock Exchange and the Government of Tanzania sold its32.5% stake in the Company to the general public.

Tanga Cement continues to contributesignificantly to the Tanzanian communitythrough its Corporate Social ResponsibilityPolicy.
During the year, the Company spentTzs 87.2 million shillings on buildingclassrooms, hospitals, humanitarian aid,environmental conservation andcommunity development programmes.
Some of the social investments made inthe year include:
Construction of a classroom for theChanganyikeni Primary School inDar es Salaam: Tanga Cement constructed a classroomusing concrete panels at a cost ofTzs 7 million for the school. This schoolis in the outskirts of the city and haslimited resources. The additionalclassroom has enhanced the quality ofthe learning environment for the pupilswho now have more room for theirstudies.
ZAYEDESA’s Community DevelopmentActivities:Tanga Cement has continued to partnerwith the Zanzibar Youth, Education,Environment and Development
Support Association (ZAYEDESA). The Company donated 125 tons of cement to theassociation which was used to renovate schools andhospitals in Zanzibar. Heavy rains in the month of Maydestroyed homes and cement was used to repair thesehomes. ZAYEDESA also constructed an HIV/AIDS, Drugsand Substance Abuse Councelling & RehabilitationCentre for the youth in Pemba.
Machame Hospital’s Orthopaedic Unit:Tanga Cement donated 15 tons of cement to theMachame Hospital to enable them complete theirorthopaedic unit.
Kifungilo Girls Secondary SchoolTanga Cement donated 20 tons of cement to theschool to enable them construct toilets for thestudents.
In addition to the above, in the course of the year TangaCement supported various organizations working for thebetterment of the community. Some of theseorganizations include the Rotary Club of Dar es Salaamworking towards eradication of malaria; Manzese Parishorganizing youth sporting activities in Dar es Salaam, andUzima kwa Sanaa (UZIKWASA) using culture to educate thegeneral public on HIV/AIDS in Pangani. The company alsocontinues to support the Government of Tanzania in selectcommunity development and humanitarian initiatives thatfall within the Company’s CSI focus areas as defined by itsCSI Policy shown on the next page.

Tanga Cement continues to improve itslevels of corporate governance and hascommittees that have been formed in linewith established best practice.
Tanga Cement believes that high standardsof corporate governance are fundamentalto achieving its long term strategic goalsand to meet the needs of the company’sstakeholders.
Board of Directors The Board is primarily responsible forsetting the broad direction of the Companyby approving strategic objectives, keypolicies and financial performance criteria.
Accountability to shareholders andresponsibility to other stakeholders remainsof paramount consideration in Boarddecisions, being balanced against thedemands of the regulatory environment inwhich the group operates.
The Board structure comprises oneexecutive director and seven non-executivedirectors.
Each shareholder having a 12.5%shareholding is entitled to nominate adirector.
The non-executive directors are selectedon the basis of their experience,knowledge and independence. They bringa wealth of experience to the Board.
The strong independent composition ofthe Board provides for independent andobjective judgement in the decisionmaking process and ensures that no oneindividual has unfettered powers ofdecision and authority.
All directors are subject to retirement byrotation and re-election by the share-holders at least once every three years inaccordance with the Company’s Articles ofAssociation. The Board as a wholeapproves the appointment of newdirectors, based on recommendations ofthe Nomination Committee.
The Board meets formally at least once aquarter or more frequently if circumstancesso require, to review matters specificallyreserved for its decision, including thereview of financial and operational results,and to consider issues of strategicdirection, major acquisitions and disposals,approval of major capital expenditure andconstruction tenders as well as any othermatters having a material effect on theCompany.

Internal AuditInternal audit is outsourced to HolcimSouth Africa. It is an independent appraisalfunction, which examines and evaluatesthe activities and the appropriateness ofthe systems of internal control, riskmanagement and governance processes.
The objective of internal audit is to assistmanagement in the effective discharge oftheir responsibilities and acts as a resourcedesigned to add value and improve theorganization’s operations. Everyassignment is followed by detailed reportsto management includingrecommendations on aspects requiringimprovement. Significant findings arereported to the audit committees.
External AuditThe external auditors express their opinionon the annual financial statements.
The external auditors attend the TangaCement Company Audit Committeemeetings.
Share Dealing by Directors andOfficersThe company operates closed periods priorto publication of its interim and year-endfinancial results. The closed periods arefrom 1st December and 1st June untilpublication of the results.
During these periods the directors, officersand employees of the company may notdeal in the shares or any other instrumentpertaining to the shares of the company.

1. PRINCIPAL ACCOUNTING POLICIES The principal accounting policiesadopted in the preparation of thesefinancial statements are set out belowand are consistent with those of theprevious year unless otherwiseindicated. Where necessary, fordisclosure purposes, comparativefigures have been reclassified andrestated.
(a) Basis of AccountingThe financial statements have beenprepared in accordance withInternational Financial ReportingStandards. They have been preparedon the historical cost accounting basismodified to include revaluation ofproperty, plant and equipment. Noother adjustments have been made forinflationary factors affecting thestatements.
(b) Adoption of Revised AccountingStandardsThe accounting policies adopted areconsistent with those of previousfinancial year except that the companyadopted those new or revisedstandards mandatory for financial yearsbeginning on 1 January 2005.
The changes in accounting policiesresult from the adoption of thefollowing revised standards:
IAS 16 (revised) Property, plant andequipmentIAS 36 (revised) Impairment of AssetsIAS 38 (revised) Intangible Assets
The adoption of revised standardsdoes not have any effect on equity asat 1 January 2004.
(c) Revenue RecognitionRevenue is recognized only when it isprobable that the economic benefitsassociated with a transaction will flowto the Company and the amount ofrevenue can be measured reliably.Value added taxation is excluded.
Revenue arising from the sale of goodsis recognized when significant risksand rewards of ownership of thegoods have passed to the buyer.
Dividends are recognized when theright to receive the dividend income isestablished.
Interest is recognized on a timeproportional basis that takes account

of the effective yield on the asset andan appropriate accrual is made at eachaccounting reference date.
(d) Translation of Foreign CurrenciesTransactions in foreign currencies duringthe year are translated into TanzanianShillings at the exchange rate ruling at thedate of the transaction. Foreign currencymonetary assets and liabilities aretranslated at the exchange rate ruling atthe balance sheet date.Resulting exchange differences arerecognised in the income statement forthe year. Non-monetary assets andliabilities denominated in foreign currencyare recorded at the exchange rate ruling atthe date of transaction.
(e) Property, Plant and EquipmentProperty, plant and equipment is statedat cost, excluding the costs of day today servicing, less accumulateddepreciation and accumulatedimpairment in value.
Depreciation on property, plant andequipment is computed on a straightline basis over the estimated usefullives of the assets.
The carrying values of property, plantand equipment are reviewed forimpairment when events or changes incircumstances indicate that thecarrying value may not be recoverable.
Property, plant and equipment of theCompany were revalued to reflect theirmarket value at the acquisition date bythe new owners. Any excess of thevalue of the net assets acquired overtheir cost at the date of take over isdescribed as non-distributable reserve.
An annual transfer from the non-distributable revaluation reserve toretained earnings is made for thedifference between the depreciationbased on the revalued carrying amountof the assets and depreciation basedon the assets original cost.
An item of property, plant andequipment is derecognised upondisposal or when no future economicbenefits are expected from its use ordisposal. Any gain or loss arising onderecognition of the asset, (calculatedas the difference between the netdisposal proceeds and the carryingamount of the asset) is included in the

income statement in the year the assetis derecognised.
The assets’ residual values, useful livesand depreciation methods arereviewed and adjusted if appropriate ateach financial year end.
(f) ProvisionsProvisions are recognised when theCompany has a present obligation(legal or constructive) as a result of apast event, it is probable that anoutflow of resources embodyingeconomic benefits will be required tosettle the obligation and a reliableestimate can be made of the amountof obligation.
(g) Provision for Site RestorationA provision is made over the life of thequarry, for the restoration of the quarryand general upkeep of the environmentsurrounding the quarry. The annualcharge to the income statement isbased on the expected life of the quarryand is included in operatingexpenditure.
(h) Investments in AssociatesThe investments in the associates areaccounted for under the equity
method. An associate is an entity inwhich the company has significantinfluence and which is neither asubsidiary nor joint venture.
Under the equity method theinvestment is carried in the balancesheet at cost plus post acquisitionchanges in the Company’s share of thenet assets of the associate. The incomestatement reflects the share of theresults of operations of the associates.After application of the equity method,the Company determines whether it isnecessary to recognise any additionalimpairment loss with respect to theCompany’s net investment in theassociate. The income statementreflects the share of the results ofoperations of the associate.
The reporting dates of the associatesand the company are identical.
(i) InventoryInventories are valued at the lower ofcost, established on a first-in-first-outbasis, and net realisable value.Estimated net realisable value is thenet estimated selling price in theordinary course of the business lessany costs of completion and disposals.

Cost is determined on the followingbasis:
Raw materials and consumable stores are valued on a first-in-first-out basis.
Finished goods and work in progress are valued at raw materials cost plus labour cost and appropriate portion of related fixedand variable overhead manufacturing expenses based on normal operating capacity.
(j) Trade and Other ReceivablesTrade receivables which generally have30 days terms are recognised andcarried at original invoice amount lessan allowance for any uncollectibleamounts.
The allowance is raised when there isobjective evidence that the companywill not be able to collect the debts.Bad debts are written off whenidentified.
(k) Cash and Cash EquivalentsFor the purposes of the cash flowstatement, cash and cash equivalentscomprise cash in hand and deposits
with maturity of 3months or less, net ofbank overdrafts.
(l) Intangible AssetsIntangible assets acquired separatelyare measured on initial recognition atcost. Following initial recognition,intangible assets are carried at cost lessaccumulated amortisation and anyaccumulated impairment losses.
(m) RoyaltiesRoyalties, payable to the Ministry ofEnergy and Minerals, included underthe cost of sales, are calculated basedon quantities of limestone and red soilcrushed/hauled during the year underreview.
(n) Impairment of AssetsThe carrying amounts of tangible andintangible assets are reviewed at eachbalance sheet date to determinewhether there is objective evidencethat an asset or a group of assets maybe impaired. If such evidence exists,the estimated recoverable amount ofthat asset is determined and animpairment loss recognised for thedifference between the recoverableamount and the carrying amount.

(o) TaxationCurrent tax
Current tax assets and liabilities for thecurrent and prior periods are measuredat the amount expected to berecovered from or paid to the taxationauthorities. The tax rates and tax lawsused to compute the amount are thosethat are enacted by the balance sheetdate. The current rate of taxation is30%.
(p) Deferred taxDeferred income tax is provided usingthe liability method on temporarydifferences at balance sheet datebetween the tax bases of assets andliabilities and their carrying amountsfor financial reporting purposes.
Deferred tax liabilities are recognisedfor all taxable temporary differencesexcept:
where the deferred tax liability arises from the initial recognition ofgoodwill or of an asset or liability ina transaction that is not a business combination and, at the time of the transaction, affects neither the
accounting profit nor taxable profitor loss; and
in respect of taxable temporary differences associated with the investments in associates where the timing of the reversal of the temporary differences can be controlled and it is probable that the temporary differences will not reverse in the foreseeable future.
Deferred income tax assets arerecognised for all deductibletemporary differences, carry-forward ofunused tax credits and unused taxlosses, to the extent that it is probablethat taxable profit will be availableagainst which the deductibletemporary differences and carry-forward of unused tax credits and taxlosses can be utilized except:
where the deferred income tax asset relating to the deductible temporary difference arises from the initial recognition of an asset orliability in a transaction that is not abusiness combination and at the time of transaction, affects neither accounting profit nor taxable profitor loss; and

in respect of deductible temporary differences associated with the investments in associates, deferred tax assets are recognised only to the extent that it is probable that the temporary differences will reverse in the foreseeable future and taxable profit will be available against which the temporary differences can be utilised.
The carrying amount of the deferredincome tax assets is reviewed at eachbalance sheet date and reduced to theextent that it is probable that futuretaxable profit will allow the deferred taxasset to be recovered.
Deferred income tax assets andliabilities are measured at the tax ratesthat are expected to apply to the yearwhen the asset is realised or liabilitysettled, based on the tax rates thathave been enacted at the balancesheet date.
Income tax relating to itemsrecognised in equity is recognised inequity and not in the incomestatement.
(q) Value Added TaxRevenues, expenses and assets arerecognised at amounts net of valueadded tax except;
where the value added tax is incurred on a purchase of assets or services is not recoverable from the taxation authority in which case the value added tax is recognised as part of the cost of acquisition of the asset or part of the expense item as applicable.

26 RELATED PARTY TRANSACTIONS
(a) The Company sells at arm's length a major portion of its production through Cement Distributors (East Africa) Limited (CDEAL), an associate Company and charges CDEALtechnical fees at an agreed rate of Tzs 400 per ton.

(c ) East African Rail Hauliers Limited, a Company in which Tanga Cement Company Limited owns 20% of the issued share capital. The company commenced operations in December 2003. Its business is to provide rail services to Tanga Cement Company Limited for the transportation of cement into mainland Tanzania according to a commercial contract signed between the two parties.

(e) The Company pays fees to the ultimate holding company Holcim Limited as follows:

(ii) A group management fee is calculated at 1.5% of turnover per formula in the management contract. This amounted to Tzs 951,742,000 and Tzs 812,463,000 for the years 2005 and 2004 respectively.

27 CONTINGENT LIABILITIES
(a) (i) There are several court cases instituted against the Company by some of its ex-employees whose services ceased as part of a specific redundancy exercise.These ex-employees are claiming various termination employment benefitsaggregating to over Tzs 5.3 billion.
In one of the cases, involving 53 ex employees, who are claiming Tzs 1,251,693,779, the court had ruled in the employees' favour in October 2004 but the Company appealedagainst the ruling and was asked to pay a security deposit of Tzs 5 billion which it alsoappealed against and got a ruling on stay of execution. The Court ruled on 27 January2006 in favour of Tanga Cement Company Limited. However the employees were granted leave to appeal. The Company's legal advisors are of the opinion that Tanga Cement Company will win the appleal.

(ii) There is also a pending litigation with Trans Africa Railway Corporation. Trans Africa Railway Corporation (TARC) was a supplier of rail wagons for cement transportation.The claims made are for underpayment of haulage charges. The total claim by TARC isTzs 3,8billion. A provision has been made of Tzs 740 million.The Company's legal advisors are of the opinion that only USD 395,000 is a valid claim.Arbitration proceedings are currently underway and the outcome of this litigation can only be known when the case is decided.
(b) Security granted to Cement Distributors (East Africa) Limited. The Company provided security to the value of USD 1,3 million for an NBC Limited loan taken by its associate, Cement Distributors (East Africa) Limited (CDEAL) - the liability will only crystallize in the event that CDEAL fails to repay the loan. Currently the outstanding loan balance isTzs 693 million.

The immediate holding company is Holcim (Mauritius) Investment Holdings Limited.
