DECOLORES MINISTRIES OF GRAND RAPIDS

RESTATED CONSTITUTION & BYLAWS

Adopted September 9, 2017

By-laws amended November 11, 2017

This is a combined constitution and bylaws. Constitutional provisions are in bold underlined italics to distinguish them from the bylaws. Constitutional provisions are “timeless” in the sense that they are to protect and safeguard DeColores Ministries of Grand Rapids’ long-term mission, purpose, principles and beliefs. In contrast, the bylaws are to be more “dynamic” so that the organization can adopt its operations, policies and guidelines as the environment changes and unique circumstances otherwise present themselves. It is for these reasons that a constitutional provision is more difficult to amend or suspend than a bylaw. PREAMBLE DeColores Ministries of Grand Rapid’s mission is to encourage greater involvement in Christian churches by calling both men and women to a new or renewed faith in Christ. It does not seek church status nor does it offer any sacrament.

DeColores Ministries of Grand Rapids subscribes to the Nicene and Apostles Creeds and welcomes all persons seeking a deeper faith in Jesus Christ. Having its roots in the Cursillo movement, it still employs much of the Cursillo method. Nevertheless, DeColores Ministries of Grand Rapids is a separate entity that is distinct from the Cursillo movement, centering on the Word of God. The Spanish word “DeColores” means “of colors” and refers to the diverse ecumenical nature of the community and the many colors of God’s love and grace that shine through Christ. The atmosphere of a DeColores weekend is meant to facilitate its mission and to be an experience of the grace and truth of Christ, moving in powerful ways in the midst of a loving, joyful, and serving Christian community. The teachings by lay leaders and clergy emphasize both the connection of biblical principles to the realities of human hearts and experiences and a life of discipleship to Christ through piety, study and action.

1. NAME & OFFICE OF RECORD The name of the organization is DeColores Ministries of Grand Rapids (“DeColores – GR”). The office of record for DeColores – GR is:

Rhodes, McKee PC. 161 Ottawa NW, Suite 600 Grand Rapids, MI 49503

5.6.1.2. The Secretariat elects the next year’s vice president with that election taking place before the end of the current vice president’s term. The next year’s president and past president positions are then filled by the current year’s vice president and president respectively.

5.6.1.2.2. 7.2.2. In order to encourage nominations from the community, the Secretariat shall from

time to time communicate to the community a) the current number (but not the names) of rector and rectoress candidates; b) the qualifications needed to become a rector/ess candidate; and c) the process for nominating a person for addition to the rector/ess candidate list.

Page 18: DECOLORES MINISTRIES OF GRAND RAPIDS RESTATED … · 2.1. DeColores – GR is a non-profit corporation for all Christians and is intended to lay the essential foundation for a Christian

7.2.5.1. All persons attending that meeting who are not members of the Secretariat shall be excused from the meeting room before the nominee’s name is revealed and discussed and all discussion regarding the nominee and the outcome of the preliminary vote shall be held in confidence.

7.2.5.2. If the preliminary vote is unfavorable, the nomination process will be deemed completed and that person will not be considered again for addition to the rector/ess candidate list unless re-nominated at a later date.

7.2.6. If, however, the Secretariat’s preliminary vote is favorable, the final vote shall be postponed until the next regularly scheduled meeting so that the president and the Secretariat may take additional preparatory actions, they being:

7.2.6.1. The president shall speak in confidence with the nominee about the nominee’s interest in being added to the rector/ess candidate list;

7.2.6.1.1. If the nominee is not interested in his/her name being added to the rector/ess candidate list, the president will report that to the Secretariat at the next meeting and unless the Secretariat directs otherwise, the nomination process will be deemed completed and that person will not be considered again for addition to the rector/ess candidate list unless re-nominated at a later date.

7.2.6.1.2. On the other hand, if the nominee is interested, the president shall immediately provide the rector/ess pre-read to the interested nominee together with an agreement to be signed by him/her that the interested nominee has read the rectoress pre-read and that he/she will conduct the weekend consistent with the DeColores-GR constitution, bylaws and rector/ess manual should he/she be selected as a rector/ess.

Page 19: DECOLORES MINISTRIES OF GRAND RAPIDS RESTATED … · 2.1. DeColores – GR is a non-profit corporation for all Christians and is intended to lay the essential foundation for a Christian

7.2.7. If the nominee is interested in having his/her name added to the rector/ess candidate list and the president is also satisfied from the conversations with that nominee (and, if applicable, with others) that the nominee meets the remaining qualifications to be a rector/ess, the president will report that to the Secretariat at the next regularly scheduled meeting for further discussion and a final vote regardless of whether the signed agreement has been returned.

7.2.7.1. As with the preliminary discussion and vote, the interested nominee’s name will not be revealed nor will there be any discussion about that nominee or a vote until all persons who are not members of the Secretariat are excused from the meeting. Likewise, all discussion about the interested nominee and the vote will be held in confidence.

7.2.7.2. If the final vote is to add the interested nominee’s name to the rector/ess candidate list and he/she has already returned to the president the signed agreement, then that nominee’s name will be added immediately. Otherwise, that nominee’s name will not be added to the rector/ess candidate list until the president has received the signed agreement.

7.2.7.3. If the final vote is not to add the interested nominee’s name to the rector/ess candidate list, the nomination process will be deemed completed and that person will not be considered again for addition to the rector/ess candidate list unless re-nominated at a later date.

7.2.7.4. The Secretariat may also adjourn final consideration of the interested nominee’s addition to the rector/ess candidate list to a later meeting of the Secretariat with instructions to the president that he/she continue speaking with the nominee and others in the interim and report again at the later meeting.

7.2.8. In the event the nominee is interested in having his/her name added to the rector/ess candidate list but the president is not satisfied from the conversations with that nominee (and, if applicable, with others) that the nominee meets the remaining qualifications to be a rector/ess, the president will give his reasons for not recommending the interested candidate to the Secretariat at the next regularly scheduled meeting.

7.2.8.1. As with the preliminary discussion and vote, the interested nominee’s name will not be revealed nor will there be any discussion about that nominee or a vote until all persons who are not members of the Secretariat are excused. Likewise, all discussion about the interested nominee and any vote will be held in confidence.

7.2.8.2. If the Secretariat agrees with the president that the interested nominee’s name should not be added to the rector/ess candidate list, the nomination process will be deemed completed and that person will not be considered again for addition to the rector/ess candidate list unless re-nominated at a later date.

Page 20: DECOLORES MINISTRIES OF GRAND RAPIDS RESTATED … · 2.1. DeColores – GR is a non-profit corporation for all Christians and is intended to lay the essential foundation for a Christian

7.2.8.3. Alternatively, the Secretariat may override the president’s recommendation and vote to add the interested nominee's name to the rector/ess candidate list. If that person has already returned to the president the signed agreement, then that nominee’s name will be added immediately. Otherwise, that nominee’s name will not be added to the rector/ess candidate list until the president has received the signed agreement.

7.2.8.4. The Secretariat may also adjourn final consideration of the interested nominee’s addition to the rector/ess candidate list to a later meeting of the Secretariat with instructions to the president that he/she continue speaking with the nominee and others in the interim and report again at the later meeting.

7.3. REMOVAL FROM RECTOR/ESS CANDIDATE LIST

7.3.1. VOLUNTARY WITHDRAWAL

7.3.1.1. A candidate may at any time ask to have his/her name withdrawn from the rector/ess candidate list.

7.3.1.2. A candidate who does not respond within a reasonable time to the past president’s annual inquiry regarding the candidate’s continued interest in being on the rector/ess candidate list shall, upon vote of the Secretariat, be deemed to have voluntarily withdrawn his/her name from the list.

7.3.1.3. A former candidate whose name has been voluntarily withdrawn from the rector/ess candidate list may at any time “re-nominate” himself/herself to be added again to the rector/ess candidate list simply by sending a letter to the president. However, the former candidate’s name will be returned to the list only after the former candidate is vetted again and voted upon as if he or she was being considered for the first time.

7.3.2. INVOLUNTARY WITHDRAWAL

7.3.2.1. If a candidate is selected three times to be a rector/ess and declines the invitation each time, that candidate is no longer eligible to be a rector/ess and his/her name will be immediately removed from the rector/ess candidate list. Removal, though, does not preclude that candidate from being nominated again at a later time.

Page 21: DECOLORES MINISTRIES OF GRAND RAPIDS RESTATED … · 2.1. DeColores – GR is a non-profit corporation for all Christians and is intended to lay the essential foundation for a Christian

7.3.2.2. Upon the prayerful recommendation of the past president, the Secretariat may, after making its own prayerful assessment, remove a candidate’s name from the rector/ess candidate list if a) the candidate is no longer active in the DeColores – GR community; b) the candidate is no longer regularly and actively participating in an organized Christian church; c) the candidate’s lifestyle is no longer consistent with the DeColores movement as set forth in the preamble; or d) there is good reason to believe that the candidate is no longer capable of organizing and overseeing a weekend. Removal, though, does not preclude that candidate from being nominated at a later time and then vetted and voted upon once again as if he or she was being considered for the first time.

7.4. SELECTION OF RECTOR/ESS FROM CANDIDATE LIST

7.4.1. The rector and rectoress for the upcoming men’s and women’s weekends are selected by prayerfully drawing names from containers at a Secretariat meeting.

7.4.2. The drawings shall take place approximately 4 to 6 months prior to the expected dates of the pertinent men’s and women’s weekends.

7.4.3. All persons who are not members of the Secretariat will be excused from the meeting prior to the drawings.

7.4.4. The names of all persons on the rector/ess candidate list (with the exception of the president or vice president (as the case may be) if his/her name is on the list and he/she would be president during the weekend for which the drawing is being made) are placed in the prospective rector or rectoress containers for purposes of the drawings.

7.4.5. Only a member of the Secretariat whose name is not in the container may draw the names.

7.4.6. Prior to the drawings, the members of the Secretariat present will pray over the names for God’s choice to lead the upcoming men’s and women’s weekends.

7.4.7. The first name drawn from the prospective rector’s container will be offered the rector’s position for the next men’s weekend and the first name drawn from the prospective rectoress’s container will be offered the rectoress position for the next women’s weekend. A second name will be drawn from each of the containers as an alternate in the event the first person declines the position.

7.4.8. The president will contact the selected person to receive his/her answer. If declined, the president will contact the alternate person. If the alternate also declines, two more names will be drawn at the next Secretariat meeting and the same process will be followed until the position is filled or there are no more names to be drawn.

Page 22: DECOLORES MINISTRIES OF GRAND RAPIDS RESTATED … · 2.1. DeColores – GR is a non-profit corporation for all Christians and is intended to lay the essential foundation for a Christian

7.4.9. Upon accepting the position, the selected person will be asked to review again the rector/ess pre-read and then sign an agreement to abide by the constitution, the bylaws and the rector/ess manual in organizing and leading the weekend he/she is to rector.

7.4.10. Members of the Secretariat shall keep the name of the next rector confidential until the close of the preceding men’s weekend and shall keep the name of the next rectoress confidential until the close of the preceding women’s weekend.

7.5. RESIGNATION OR REMOVAL OF RECTOR/ESS AFTER ACCEPTANCE

7.5.1. If the rector/ess resigns after having accepted the position, he/she shall be replaced by the co-rector/ess if one has been designated or, if not, the Secretariat shall select a new rector/ess in the same manner as it would have had the resigning rector/ess not accepted the position in the first place.

7.5.2. The Secretariat may remove a rector/ess at any time after having accepted the position if he/she a) significantly deviates from the constitution, bylaws, rector/ess manual or the intent of the DeColores-GR ministry; or b) is not satisfactorily preparing for his/her weekend.

7.5.3. Because removal of a rector/ess is not to be taken lightly, the Secretariat is to take all reasonable steps to inform, guide and assist an errant rector/ess before removal.

7.5.4. If removed, the Secretariat shall either replace the removed rector/ess with the co-rector/ess (if one has been named) or select a new rector/ess in the same manner as it would have had the removed rector/ess not accepted the position in the first place.

7.5.5. The Secretariat may, after prayerful consideration, cancel or postpone the weekend if the rector/ess’s resignation or removal is too close to the weekend’s date to make proceeding with the weekend practicable.

8. CO-RECTOR/ESS

8.1. A co-rector/ess must meet all of the requirements needed to be a rector/ess with the exception that a co-rector/ess may have been a rector/ess of a prior weekend.

9.2.1. Any member of the DeColores-GR community or the candidate himself/herself may submit to the Secretariat an application for spiritual director.

9.2.2. The spiritual advisor and the vice president shall review each application and then both shall interview the candidate either together or individually.

9.2.3. The spiritual advisor and vice president will make their recommendation regarding the candidate at a meeting of the Secretariat and the Secretariat shall then vote whether to accept the candidate’s application.

9.2.4. If approved, the candidate will be added to the approved spiritual director list as soon as the vice president has verified that the candidate’s name does not appear on the Michigan sexual offender registry.

9.2.5. A new spiritual director should (but is not required to) first serve a weekend as a spiritual director “in-training” with two other spiritual directors who have already served on DeColores weekends.

10.1.2. The rector/ess’s organization and execution of the weekend, including the pre-weekend planning and post-weekend follow up, shall be consistent with the constitution, the bylaws and the rector/ess manual unless the deviation contemplated by the rector/ess is brought to the president’s attention beforehand and it is within either the president’s or the Secretariat’s authority under the constitution, bylaws or rector/ess manual to permit that deviation.

10.1.2.1. In the event it appears to the rector/ess that a provision in the rector/ess manual is inconsistent with either a constitutional provision or a bylaw, the rector/ess should consult with the president to determine whether the apparent inconsistency can be reconciled.
